Eligibility (Demo Units)

1. A Channel Partner can request a Demo or Seed Unit for the purpose of promoting

Dells sales in his territory. All such requests must be made by a Channel Partner tothe relevant Dell Sales Representative who manages the Channel Partner Account. APartner must request Dell by filling and submitting the proper Demo Unit/Seed UnitRequest Form

2. Demo/Seed Units can be issued only within the budget available with Dell. Dell may ormay not accept the request without assigning a reason

3. A partner cannot be assigned more than one Demo Unit of the same type within 6

months.

6. Demo/Seed Units issued by Dell must be used to promote only Dell products and

accessories available from Dell in India

7. Dell may choose to fund a Demo Unit 100% or partially as per its priorities at thattime. In case of partial funding,Partner will have to pay for full unit at the time ofreceipt and claim back the amount confirmed by Dell as support.

8. Dell will provide Demo Units to the channel partners on a best effort basis. A receiptof request is not guarantee of issue. Dell may decline a request for a Demo Unitwithout assigning a reason

9. Channel Partner must not modify or tamper the Demo/Seed unit issued by Dell in anyway

Eligibility (Demo Units)10. All Demo/Seed Units once issued by Dell shall become the responsibility of the

Channel Partner. The Channel Partner will ensure that the Demo/Seed Units are

taken proper care of. The Channel partner will also be responsible for the logistics ofsuch units as necessary including any insurance etc as required for the said units.

11. Dell may recall a Demo/Seed Unit from a Channel Partner at any time. Dell maychoose to replace the unit or refund the eligible amount on the same on recall,unless the Channel Partner Agreement has been terminated.

12. All Demo/Seed units will be covered under the Demo/Seed Unit warranty policy.Demo/Seed Units will not carry standard Dell product warranty terms

13. Channel Partner may not resell a Demo/Seed Unit during the initial lock-in period of6 months from date of issue. Channel Partner may resell a Demo/Seed unit anytimeafter 6 months from date of issue. Once resold, such Demo Units will cease to becovered under standard Dell warranty or the Demo/Seed Unit warranty terms.

14. All Hardware failure issues on Demo/Seed units within the period these units are in

use at the Partner for Demo purposes will attended to by Dell on a Return to Deskpolicy. All Software recovery issues will be attended to by the Channel Partners.

15.Partners may need to enter into a non-disclosure agreement with Dell for use ofDemo/Seed units of products that are yet to be launched by Dell in the India market.In all such cases, the Demo/Seed Unit utilisation by Partners will be subject to theconditions of the non-disclosure agreement till the time the products are officiallylaunched by Dell in the market

16.All Demo/Seed Units must be ordered by the Channel Partners along with relevantaccessories recommended by Dell Marketing in a single P.O.. Demo/Seed units cannotbe ordered separately from the accessories..
