ITEM NO. 1/1: GRANTING OF LEAVE OF ABSENCE

ITEM NO. 1/2: TO CONSIDER AND TAKE NOTE OF MEMORANDUM OF
ASSOCIATION & BYE LAWS OF THE GSWMA
The Government of Gujarat, Panchayat, Rural Housing and Rural Development
Department has vide GR No. GVK/GSWMA/01/07/SFS-42/KH.2 Dated 12th
July, 2007 approved incorporation of “GSWMA” under Societies Registration
Act, 1860 and the Bombay Public Trust Act, 1950. Accordingly, the
Memorandum of Association & Bye-laws were also approved.
Members are requested to consider and approve the Memorandum of
Association and Bye-laws and pass the following resolution:
“RESOLVED THAT the Memorandum of Association and Bye-laws of
“GSWMA” as registered by the office of the Asst. Charity Commissioner,
Gandhinagar and Asst. Registrar of Societies, Gandhinagar be and is hereby
noted.“
ITEM NO. 1/3:
A. TO CONSIDER AND APPROVE ADMISSION OF FIRST MEMBERS OF
“GSWMA”
The Names and Designations of the First Members of the Governing Body is
given in the Clause 5 of the Memorandum of Association of “GSWMA” and
accordingly those members shall be the first members of the Governing body
and they shall hold the office by virtue of their posts and that membership shall
be vested with and transferred according to the official designation as
mentioned in the Bye-Laws.
Members are requested to pass the following resolution :
“RESOLVED THAT the admission of first members of “GSWMA” be and is
hereby approved and the management of the affairs of the “GSWMA” is
entrusted in accordance with the Bye-laws & Regulations of the “GSWMA”, to
the Governing Body of which following are the first members:

B. CONSTITUTION OF THE GOVERNING BODY:
As per Bye-law No. 5, The Governing Body at any time shall consist of not less than 7 members but not more than 16 members, including non-officials. The Governing Body shall consist of the following members:

Up to four members shall be appointed by the State Government out of
distinguished persons, representatives of leading non-government agencies
working in the field of water supply, sanitation, environmental, health,
engineering science and technology and management with experience and
exposure in social sector management. Representatives of the local bodies,
PRIs including reputed community based organizations, experts in the
administrative, financial or general management of similar nature as may be
decided by the State Government from time to time, may also be nominated.
Moreover, Governing Body will appoint District Watershed Management Cell,
Project Implementation Agencies and Watershed Management Team as per
the common guidelines for water management issued by Ministry of Rural
Development, Government of India, New-Delhi.
The State Government may reconsider and reconstitute the total strength of the
Governing Body at any time, if so required.
Members are requested to note the constitution of above governing body and
suggest remaining four names of non-officials as above to state government for
appointment in the governing body.
ITEM NO. 1/4: TO CONSIDER AND TAKE NOTE OF REGISTRATION OF “GSWMA” UNDER
SOCIETIES REGISTRATION ACT, 1860 AND THE BOMBAY PUBLIC TRUST
ACT, 1950 :
An application along with Memorandum of Association and Bye-laws etc. was
submitted to competent authority for Registration of “GSWMA” under the
Societies Registration Act, 1860, and the Bombay Public Trust Act, 1950. The
Assistant Charity Commissioner, Gandhinagar and Assistant Registrar of
Societies, Gandhinagar have issued necessary Certificates, bearing No.
GUJ/1463/GANDHINAGAR and F/1419/Gandhinagar dated 20TH July, 2007 for
registration under the Societies Registration Act, 1860, and the Bombay Public
Trust Act, 1950 respectively. (A Copy of Certificates will be placed on table,
duly initialed by the Member Secretary of “GSWMA” for the purpose of
identification),
Members are requested to take note of the same and pass the following
resolution:
“RESOLVED THAT Certificate No. GUJ/1463/GANDHINAGAR dated 20th July,
2007 issued by the Assistant Registrar of Society under the Societies
Registration Act, 1860, and Certificate No F/1419/Gandhinagar dated 20th July,
2007 issued by the Assistant Charity Commissioner, under the Bombay Public
Trust Act, 1950, be and is hereby noted.”
ITEM NO. 1/5: REGISTERED OFFICE OF THE GUJARAT STATE WATERSHED
MANAGEMENT AGENCY (GSWMA).
As per Clause 2 of Memorandum of Association of “GSWMA”, the registered
office of “GSWMA” shall be situated at a place as may be decided by the
Governing Body from time to time. Presently, the registered office of the
GSWMA is situated at 3rd Floor, Block No. 16, Dr. Jivraj Mehta Bhavan,
Gandhinagar- 382010
Members are requested to pass the following resolution in this respect:
“RESOLVED THAT Registered office of the GUJARAT STATE WATERSHED
MANAGEMENT AGENCY (GSWMA) shall be situated at 3rd Floor, Block No.
16, Dr. Jivraj Mehta Bhavan, Gandhinagar- 382010 and that Member Secretary
of “GSWMA” be and is hereby authorized to inform various authorities and
others as and when statutorily required regarding Registered Office of the
“GSWMA”
ITEM NO. 1/6: TO APPROVE ACTION TAKEN BY SHRI. RAM KUMAR, IFS, CONSERVATOR
OF FORESTS (WATERSHED) FOR REGISTRATION OF “GSWMA”.
Members are requested to ratify the action taken by Shri. Ram Kumar, IFS in
his capacity as Conservator of Forests (Watershed) and pass the following
resolution:
“RESOLVED THAT action taken by Shri. Ram Kumar, IFS, Conservator of
Forests (Watershed) for registration of “GSWMA” under Societies Registration
Act, 1860, and the Bombay Public Trust Act, 1950, be and is hereby approved
and ratified.”
ITEM NO. 1/7: FINANCIAL YEAR OF THE “GSWMA”.
Members are requested to pass the following resolution for financial year of the
“GSWMA”.
“RESOLVED THAT the “Financial Year” of “GSWMA”, be and is hereby fixed
from 1st April to 31st March, of the following and subsequent years and the first
year’s account be prepared for the period commencing from the date of
incorporation i.e. 20th July, 2007 up to and including 31st March, 2008.”
ITEM NO. 1/8: AUTHORITY TO DEAL WITH CENTRAL/STATE GOVERNMENT OR
LOCAL AUTHORITIES, AND CUSTOM / EXCISE / OCTROI/ INCOME
TAX/SERVICE TAX AUTHORITIES OR ANY OTHER STATUTORY
AUTHORITIES .
Members are requested to pass the following resolution
“RESOLVED THAT the Vice Chairman or Member Secretary of the “GSWMA”,
be and is hereby authorized to represent the “GSWMA” before the
Central/State Government, Local Authorities, and
Custom/Excise/Octroi/Income Tax/Service Tax Authorities or any other
statutory authorities and to sign and execute all documents and papers as may
be required by any such authority and to do all such acts and things as may be
necessary or incidental thereto.”
“RESOLVED FURTHER that Vice Chairman or Member Secretary may
delegate the above referred powers to any committee or officer of the GSWMA
as he may deem fit and necessary from time to time”
ITEM NO. 1/9: REGISTRATION OF THE GSWMA AS CHARITABLE TRUST UNDER
SECTION 12A OF THE INCOME TAX ACT, 1961.
As per provision of Section 12A of the Income Tax Act, 1961, a charitable
institution like GSWMA shall have to register with income tax authority so as to
avail income tax exemption benefit from payment of income tax.
In view of the above, members are requested to authorise Member Secretary to
submit an application before the income tax department and to sign necessary
papers/forms on behalf of the GSWMA.
ITEM NO. 1/10 : RATIFICATION FOR APPOINTMENT OF CONSULTANT FOR
REGISTRATION OF SOCIETY:
Mr. Arvind Gaudana of M/s Arvind Gaudana & Associates, Practising Company
Secretaries, Ahmedabad, was consulted for the registration of GSWMA under
the Societies Registration Act, 1860 and the Bombay Public Trust Act, 1950.
Mr. Gaudana has carried out assignments for Registration of Gujarat Council of
Science City (SCIENCE CITY), Gujarat Jail Welfare Board, Gujarat Council on
Science & Technology (GUJCOST), Gujarat State Rural Road Development
Agency, Gujarat Mineral Research and Development Society, Development
Support Agency of Gujarat (D-SAG) and many other Government undertaking
Societies and having wide experience in this field. Accordingly the task for
registration of society was assigned to Mr. Arvind Gaudana of M/s Arvind
Gaudana & Associates. Scope of work was as under:
a. To prepare a note to be submitted to Government for creation of society
b. Preparation of draft GR to be issued by State Government
c. Preparation of draft Memorandum of Association & Bye-laws
d. Meeting the State Officials in Rural Development, Finance Department etc.
to discussed about MoA, Bye-laws, draft GR and other legal requirement for
registration of the society.
e. Obtaining signatures of Members.
f. Preparation of Application and other forms to be submitted to the office of
the charity commissioner.
g. Co-ordination for verification of application and other paper from SDM.
h. Submission of application, follow-up, reply of quiries and registration of
society by Charity Commisioner/Registrar of Societies.
i. Preparation of Agenda papers for 1st GBM.
j. All incidental misc. work regarding registration of GSWMA
Members are requested to ratify the appointment of Shri Arvind Gaudana as a
consultant and pass the following resolution :
“RESOLVED THAT appointment of Mr. Arvind Gaudana of M/s Arvind
Gaudana & Associates, Practising Company Secretaries, Ahmedabad, for
Registration of GSWMA, be and is hereby ratified and the Member Secretary,
GSWMA be and is hereby authorized to pay fees of Rs. 15,000/- plus service
tax and out of pocket & conveyance charges on actual basis to Shri Arvind
Gaudana.”
ITEM NO. 1/11 : ROLE AND RESPONSIBILITY OF GSWMA
(Proposed Common Guidelines for Watershed Management 2007 issued
by Government of India) :-
The Technical Committee on Watershed Programmes in India, was constituted by
Department of Land Resources, Ministry of Rural Development, Govt. of India, has
submitted its report. From aforesaid report, Common Guidelines for Watershed
Management 2007 have been evolved and proposed by the Govt. of India and shall be
implemented with effect from date to be decided by GoI . It is mentioned that projects
sanctioned prior to this date shall continue to be implemented as per the existing
guidelines. The new guidelines prescribe new vision to implement watershed
progaramme on “Mission Mode”. The guidelines have prescribed separate agencies at
national level, state level and district level with functionally focused, operationally
integrated, collaborative with diverse set of stakeholders with flexibility and autonomy.
Response of Govt. of Gujarat on watershed programme to the technical committee in
form of recommendations which is in consonance with the key recommendations-
action points prescribed of the report.
Restructuring of the Programme :-
It is important to state that on 12th and 13th April, 2007 MoRD, GoI has convened
meeting of Performance Review Committee, agenda note of this meeting is kept bellow
separately. In the aforesaid Agenda Item: III deals with watershed programme and
Agenda Item: III( 4 ) mentioned observations of a working group under the
Chairmanship of Dr. Y. K. Alagh on Rainfed Areas for formulation of 11th Five Year
Plan which also stressed on key recommendations prescribed in the report of the
technical committee on watershed programme.
In the 11th five year plan, action plan for the year 2007-2008 prescribe restructuring of
watershed programme under Agenda Item on priority basis as per proposed Common
Guidelines -2007. The salient features are as under:-
Integration of all watershed programme as Integrated Watershed
Management Programme (IWMP).
Livelihood Orientation should be incorporated at planning stage
Three Tier Approach for the implementation of IWMP viz in upper
reaches through Forest Department and Joint Forest Management
Committee, in the intermediate slope effective and good quality
implementation of IWMP and as to third level of the plains wherein
large concentration of labor intensive work through NREGs.
Present approach of treating 500ha area is not viable, therefore,
the new approach will be based on natural hydro-geographical unit
of average size of 4,000 to 10,000 ha and will include critical
processes and instruments for proper institutionalization of
peoples’ participation through Cluster Approach.
Scientific planning with help of GIS and MIS
Dedicated institutional and professional support through separate
institutional framework at national level, state level and district level
Thrust will be given for convergence of IWMP with other inter and
intra departmental scheme.
Delegation of power to state level agency for sanction of all
projects within state and enhancement of the cost norms.
Key role to Panchayti Raj Institutions (PRIs) both at the Gram
Panchayat and Zilla Panchayat levels.
Institutional framework in unified watershed programme
At the national watershed management authority (NWMA), a professional and output
oriented agency with autonomy and functional freedom will be responsible to manage
the watershed programme. It will be registered as a society and trust under the
provisions of Societies Registration Act, 1860 and the Bombay Public Cheritable Trust
Act, 1950 respectively.
At the State level there would be an agency equipped with requisite professional
support which will be ensure close ground level supervision.
At the District level, there will be a dedicated team which will be fully involved with the
implementation of the programme from start to finish. They will provide technical as well
as administrative inputs and will ensure high levels of quality with respect to the
deliverables.
Management structure as per proposed Common Guidelines - 2007 (Issued by Government of India) :- New management structure recommended by proposed Common Guidelines for
Watershed Management-2007 required to be adopted by the state as GoI proposed
these guidelines and accepted the constitution of National Watershed Management
Agency under Society Registration Act, 1860.
As per proposed Common Guidelines for Watershed Management-2007, following
structure required to be adopted by Government of Gujarat.

State Level
As per guidelines, the structure of Gujarat State Watershed Management
Agency is proposed. Constitution and functions of the agency would be as
per proposed Common Guidelines-2007. thus GSWMA is registered under
Society Registration Act, 1860 and Bombay Public Trust Act, 1950. The
framework of structure is being adopted as per guidelines and it is like the
framework of the Water And Sanitation Management Organization. The
Memorandum of Association & Rules & Regulation is also prepared as per
this guidelines.
District Level
As per the Common Guidelines-2007, at district level separate dedicated
body will oversee the implementation of watershed progaramme. This body
shall be termed as the District Watershed Management Cell (DWMC).
Constitution and functions of district level agency is being adopted from
Common Guidelines for Watershed Management-2007.
The DWMC in turn, will constitute a District Watershed Management Team
(DWMT). This team will again comprise professionals competitively selected
from the open market in a fully transparent manner. They would represent
various disciplines involved in running a watershed programme, including
inter alia, soil and water conservation, agriculture science, veterinary science
/ animal husbandry, social works, hydrogeology , life sciences, gender
studies, management and accounts. They could again be serving
government officers on deputation, persons from the NGO sector or
independent professionals. Preference will be given to women in
appointment to the DWMT. The DWMC will sign a 5 – year MoU with each
member of the DWMT that will spell out well-defined annual goals, against
which the performance of the member will be monitored each year by the
DWMC. The DWMT would be responsible for overseeing the implementation
of the watershed programme in the district. They will select Project Managers
(PMs) for each milli-watershed, They will also provide to each PM/Watershed
Development Team (WDT) technical assistance, capacity building inputs,
field support, commission monitoring and evaluation of project, impact
assessment studies and ensure complementarily and convergence of work
undertaken at different milli-watershed within the district.
Milli Watershed Level
The DWMT will identify the remaining untreated milli- watershed in the
district, ranging from a minimum of 4, 000 it a maximum of 10,000 ha. Since
Village Watershed Committees (VWCs) within each Gram Panchayat are to
be the ultimate implementing agency, the final selection of implementation
area must be according to the Gram Panchayat boundaries, to which milli-
watershed boundaries are to be approximated. These milli-watersheds will
comprise a number of micro – watersheds that ideally should be but need not
necessarily be absolutely contiguous to each other. The micro – watersheds
may lie within a sub-basin of 25,000 ha.
At the milli- watershed level there will be Milli-Watershed Council (MWC) that
will consist of nominated members (one man and one woman, at least one of
whom should be SC/ ST) from each VWC within the milli-watershed. The
members from each VWC will have a fixed tenure of two years and will
change by rotation. The MWC will also have the following as members-
representative of the local MLA, one representative each from the WDT and
Taluka Panchayat, representative of the Taluka Development Officer,
representative of the Forest Department, as also all the Gram Panchayat -
Sarpanches within the milli-watershed. The PM will be the Member –
Secretary of the body that will give overall direction to the programme. It will
also help resolve conflicts that may arise across micro-watersheds.It will
monitor and review progress and carry social audits of the programme. Each
MWC will be registered with the DWMC.
Village Level
Each milli-watershed will consist of a number of villages. For each village
there be a VWC that will implement the watershed project with the technical
support of the WDT in their village. The VWC will be a committee of the
Gram Panchayat that will be elected at a meeting of the Gram Sabha. Each
VWC should have a maximum of 20 members. It must mandatory have at
least 50% members as women and at least 33% SC/ST community
members. The VWC musty also ensure that each hamlet gets a
representation proportionate to its size. It should include 3-4 members each
from User Groups and SHGs and one member each from the Gram
Panchayat and the WDT. Representative must also be given to the landless,
with a minimum of two members being accommodated in the committee.
The formation of the VWC must be a gradual process. The VWC must grow
organically from its constituents, the User Groups and the SHGs over the first
year of the project.
Each VWC will be registered with the DWMC. The VWC will be answerable
to and work under the control of the Gram Sabha.
To facilitate real participation of women, a separate Women Watershed
Council (WWC) will be formed with in each village. The duty of the WDT will
be to mobilize women to actively participate in meetings of the WWC and
give requisite weight to women’s perceptions and priorities in the formation of
the watershed action plan. Similar arrangements may be worked out to give
requisite weightage to the interests of the SC, ST and landless wherever they
in a minority or where there is acute danger of their interests being
overlooked.
Financial Implications
Thus as per GOI new guidelines for Watershed Programme, there will be no
financial implications and extra burden on the state and the proposed
management structure would be run by present setup for watershed
programme available with DRDAs and state level and grants released by
Govt. of India for the administration of watershed programme.
As per Action Plan -2007-08 for watershed programme, the 1st year of 11th
Five Year Plan, it is mandatory to adopt the new guidelines and constitute
the state level Agency because delegation of power regarding sanctioning of
projects and releasing of grants would be vested with the Gujarat State
Watershed Management Agency.
The State level Agency (GSWMA) to be an autonomous body would be
empowered to scrutinized and sanction all projects within the State.
1. The Government of India envisages that GSWMA will be empowered to
sanction watershed projects. Thus, GOG is prepared with the administrative
mechanism. Annual Budgeted Provisions for watershed programme are as
per “as per annexure”. Government of India will provide with an initial capital
grant of Rs.1 crore to meet establishment costs and a recurring grant of
Rs.70 lakhs per annum to meet its annual expenses of the GSWMA. The
proposal of the same is submitted to GOI.
2. Similarly Government of Gujarat and other agency may give certain activities
and assignments related to objective of Watershed Development. The
GSWMA may undertake such activities and assignments as may be required
by the Government from time to time.
The Governing Body of GSWMA are requested to note the above and
approve the role and responsibility of GSWMA.
ITEM NO. 1/12 : Transfer of State level administration fund to GSWMA
As per Clause 6 of Bye Laws of Society, the GSWMA shall have the
following funds :

the GSWMA shall function with an initial Fund of Rs.1501/- ; The Government of India will fund the GSWMA for administration &
execution of programme as per guidelines.
Funding will be provided by the Government of India on the basis of felt needs, for both recurring and non-recurring expenses as follows:
State will prepare a State and district level annual Action Plans reflecting activities and budgetary provision for approval of Government of India. Action plans should comprise of (i) Activities (ii) Staff (iii) One time procurement of equipment & (iv) Establishment cost (Contingency, TA/DA etc.) requirements. Equipment/ Accessories procured so far for IEC & HRD in the state. GOI assistance shall be transferred to the GSWMA. There should be full compliance to GFR requirements of maintenance of separate accounting of assets created out of Government Grants.
Salary, including establishment expenditure, should not be
more than total annual expenditure of the GSWMA.
In view of the clause d, the reserved fund lying with state level
administration should be transferred to bank account of GSWMA from the
various districts. The governing body is requested to authorise Member
secretary cum CEO to take necessary actions for transfer of state level
administration fund to GSWMA
ITEM NO. 1/13: TO OPEN BANK ACCOUNTS WITH ____________________Bank,
________________ BRANCH, GANDHINAGAR
The GUJARAT STATE WATERSHED MANAGEMENT AGENCY
(GSWMA) has been registered under The Societies registration Act,
1860 and Bombay Public trust Act,1950 on 2Oth July, 2007. By virtue
of its registration, GSWMA is an autonomous Body and it will be
appropriate that GSWMA should have a bank account for funds
transaction. Further, in order to open the Bank Account it is necessary
to pass resolution in the Governing Body Meeting.
The members are requested to pass the following resolution for
opening of Bank Account:
“RESOLVED THAT the Current Accounts of the “GUJARAT STATE
WATERSHED MANAGEMENT AGENCY (GSWMA)” be opened with,
__________________________ Bank, ________________ BRANCH,
GANDHINAGAR, in the name & style of “GUJARAT STATE
WATERSHED MANAGEMENT AGENCY”.
“RESOLVED FURTHER THAT the said Bank be and is hereby
authorized to honour all cheques, demand drafts, bill of exchange,
promissory notes and any orders for payment drawn, accepted or
made or signed by Member Secretary (presently Shri Ram Kumar)
and _____________________ ( presently Shri
____________________ ) jointly.
“RESOLVED FURTHER THAT, Member Secretary jointly with
_______________ be and is hereby authorized to endorse on behalf of
the GSWMA, all cheques, bill of exchange and other negotiable
instruments lodged for collection to credit of the GSWMA’s account,
whether the same be overdrawn or not or relating to any transaction of
GSWMA.
RESOLVED FUTHER THAT, Member Secretary cum CEO be and is
hereby authorized to certify this resolution and submit a copy of this
resolution to the said Bank for information and record.”
ITEM NO. 1/14 : STRUCTURE OF GSWMA AND OUT SOURCING POLICY
Members are aware that, the state government has lot of expectation
from GSWMA as an autonomous body. It is provided in the guidelines
by Government of India that A Team of Experts will assist the
GSWMA. This team will be competitively selected on contract by the
GSWMA from the open market. Their disciplines will include soil and
water engineering, agricultural science, veterinary science/animal
husbandry, forestry, hydrogeology, social work/gender studies and
management/accounts. A requisite number of administrative staff will
support this team of experts.
The minimum manpower required will be taken on deputation from
Government and other organization on deputation. Therefore, GWSMA
may not have permanent manpower at this stage.
Further, existing staff and officers including conservator of forest
working in the office of the CRD may continue to draw salary etc as per
present arrangement, till GWSMA gets grants from GOI and GOG.
In view of the above, it would be necessary to avail services of
required manpower in the various fields having professional approach
and relevant experience.
In view of the above following manpower may be out sourced so that
GSWMA to remain as a thin organization.
Experts in the field of Water Management (e.g. soil and water
engineering, agricultural science, veterinary science/animal
husbandry, forestry, hydrogeology, social work/gender studies and
management/accounts) - As narrated above

Steno typing work
Vehicle with driver
Maintenance & Cleanliness including AMC
Accounting, Finance & Legal
Feasibility study, survey, data collection etc.
Preparation of project and other reports.
Image building & PR
Members are requested to suggest similar work which could be out
sourced and approve the out sourcing policy.
