    I. NOTICE INVITING TENDER

    1.1 Sealed competitive tenders are invited on behalf of the Director , Indian Institute of

    Management Kozhikode, IIM Kozhikode Campus PO, Kozhikode, 673 570 ,Kerala for “Substation

    Operation & Electrical Maintenance in IIMK Campus” from experienced Electrical contractors

    who have carried out services related with Operation of substations (with HT generator,

    transformer, synchronizing panel, four pole structure, LT panel) etc. and Electrical day –to-day

    maintenance of HT Generator, transformer, lighting ,UPS, Telephone system etc. or undertaking

    similar works in Central/State Government Departments/Public Sector Undertakings/ Autonomous

    bodies/Large Industrial/Educational Campus/Reputed Companies, etc. The Tenderer should have

    been in the business of Operation of 11kV substation, Electrical and DG set operation and day-to-day

    maintenance for at least 3 years in similar field with a minimum work force of 12 persons.

    Documents and certificates in proof, to the satisfaction of the Institute, of their previous experience

    in the work of Substation Operation & Electrical Maintenance as described above shall be enclosed.

    The Contractors have undertaken contract with 30 persons in a year OR 20 persons in 2years OR 15

    persons in 3 years during last seven years.

    Tender documents can be obtained from the Office of the Chief Manager (Infrastructure), IIM Kozhikode,

    Kozhikode Campus P.O., Kozhikode – 673 570, either by post or in person on payment of ` 1000/-(Rupees

    one thousand only)by Demand Draft/Bankers Cheque /Pay Order (non refundable) drawn in favour of IIM

    Kozhikode, and payable at Kozhikode, on any working day between 15.02.2016 to 15.03.2016 (10:00 a.m. to

    04:00 p.m.). Tender documents will be issued on production of copy of Experience Certificate/ Testimonials

    only. Tender form can also be downloaded from website https://www.iimk.ac.in/announcements/Tender.php

    and in such case cost of tender as DD and Experience Certificate/ Testimonials are to be attached while

    submitting the tender:-

    1.2 Tenderers should quote their rates both in figures and in words. The Annexure I, II and III and schedule of must be fully priced and signed by the tenderer. No blank space shall be left.

    Tenders not properly filled, mutilated, with incorrect calculations or generally not complying with the

    conditions are liable to be rejected.

    1.3 Tenderers are required to quote not less than the minimum wages fixed by Central Government.

    1.4 Tenders received after the due date and time will not be considered

    1.5 Director, IIM Kozhikode reserves the right to accept or reject any or all the tenders without assigning any reason whatsoever and his decision shall be final and binding

    1.6 Receipt and Opening of Tenders

    Sealed Tender along with EMD, super scribing the name of contract on the sealed envelope, should

    reach the Chief Manager (Infrastructure), IIM Kozhikode, IIM Kozhikode Campus PO, Kozhikode-

    673 570 by 03:00 p.m. on due date. Alternatively, the tender can be dropped in the Tender Box

    entitled ‘Engineering Section’ kept in the Reception Counter in Administrative Building of the

    Institute. Tenders will be opened by him or his authorized representatives in his office on the same

    day at 4.00 p.m., in the presence of those tenderers who are present in the office, subject to only one

    representative of each tenderer.

    1.7 Authorised Signatory

    If the tender is submitted by or on behalf of a company incorporated under the Companies Act (of

    1956), it shall be signed by their Managing Director or one of the Directors duly authorised on that

    behalf. If it is made by a partnership firm, it shall be signed with the co-partnership name by a

    member of the firm who shall sign his own name and give the name and address of each partner of

    the firm and attach a copy of Power of Attorney with the Tender authorising him to sign on behalf of

    the other partners. A certified copy of the registered partnership deed shall also be submitted along

    with the tender.

    1.8 Acceptance Period

    The tender shall remain firm for acceptance for a period of 90 days from the date of opening of

    tender. Any withdrawal during firm period will entail forfeiture of the EMD.

    1.9 Site Inspection

    Every tenderer is expected to inspect the campus at his own cost before quoting. He must also go

    through all the conditions in the tender documents. It will be construed that the contractor has

    inspected the site and satisfied himself about site conditions, availability of labour etc and other

    relevant matters and the quoted value shall hold good in all conditions.

    1.10 Contractor’s Rates

    The Contractors' quoted rates shall be all inclusive of cost/hire charges of all tools & implements,

    labour, ESI, EPF, Income tax, WCT, Service Tax, and all other taxes, duties and other incidentals.

    The Tenderer must have Service Tax and Work Contract Tax registration valid within the State.

    1.11 Alterations in Tender Documents No alterations shall be made by the tenderer in the Tender document, and if any alterations are made or any special condition attached, the tender is liable to be rejected. 1.12 Acceptance of Tender

    The acceptance of the tender rests with the Institute, which does not bind by itself to accept the

    lowest tender. The Institute also reserves the right to reject any or all the tenders, without assigning

    any reason(s) thereof.

    The Institute also reserves the right of accepting the whole or any part of the tender received and the

    tenderers shall be bound to perform the same at their quoted rates.

    1.13 Quality

    The Institute's decision with regard to the quality of work assigned to the contractor will be final and

    binding.

    1.14 Commencement of work / Period of Completion

    The Contractor shall commence the contract and deploy all the labours within 10 (ten) days from the

    date of issue of the work order (or on any date after the period of 10 days) . The contract is for a

    period of 24 Months initially and, if found satisfactory extendable up to one more year as per

    mutually agreed terms, conditions and rates.

    1.15 Income Tax

    Every tender shall be accompanied with the latest Income Tax Clearance Certificate, copy of income

    tax PAN card without which his tender is liable to be rejected. The Institute will deduct amount

    towards Tax at Source (TDS) as per the latest Income Tax Rules from all payments made to the

    Contractor.

    1.16 Defects Liability Period

    Any complaints /defects happened by the contractor during the contract period but noted within

    'Defect Liability Period' of 60 days from the actual date of completion, will have to be rectified by

    the contractor at his own cost. In case of failure to do so, the Institute shall get the rectification done

    by some other agency at the risk and cost of the contractor. The rectification of such defects shall be

    done immediately on receipt of written notice from the Institute.

    1.17 Contract Signing

    After acceptance of the tender, the tenderer shall sign the necessary contract agreement in

    non-judicial stamp paper worth `100/- within 7 days of intimation in the prescribed form. Expenses

    for the agreement including cost of stamp papers etc. shall be borne by the Contractor. In case of

    delay/ non-compliance the 'Earnest Money' shall be forfeited and the tender cancelled or the contract

    enforced as per terms of the tender and the tenderer shall thus be bound by the terms of contract even

    though the formal agreement has not been executed and signed by the tenderer.

    1.18 Earnest Money Deposit (EMD), Performance Guarantee (Security Deposit)

    (a) EMD of ` 3.00 Lakhs to be submitted along with the tender document in the form of Demand

    Draft/Bankers Cheque/Pay Order/Deposit at call receipt in favour of the Indian Institute of

    Management Kozhikode, Kerala payable at Kozhikode. The tender received without EMD or

    with EMD in any other form than as stated above is liable to be rejected. The EMD will be

    refunded to the unsuccessful tenderer within one month of the acceptance of the tender based on

    requisition letter.

    (b) Performance guarantee (Security Deposit): Within 7 days of the award of the contract, the

    Contractor shall furnish to the Institute a bank guarantee for a sum equivalent to 5% of contract

    value as Performance Guarantee (Security Deposit) valid for the duration of the contract period +

    2 months. EMD already deposited along with tender shall be returned on furnishing the

    performance guarantee.

    1.19 Refund of deposit

    Security deposit shall be returned after the defect liability period.

    1.20 Payments.

    The monthly payment shall be based on the bill submitted by the contractor. The bill for previous

    month shall be prepared and submitted on first working day of the current month and payment will

    be normally released within 15th working day(released as per normal terms of institute). The

    contractor shall submit 3 copies of the bill along with copy of muster roll.

    1.21 E.S.I. & Provident Fund Obligations

    The Contractor shall include in his rates all expenses towards meeting obligations under the

    Employees State Insurance Act and the Provident Fund Act. The contractor shall obtain necessary

    registration for his employees and shall follow all rules and regulations required under the Act as

    may be in force from time to time. All employees engaged upon shall be covered under these

    schemes and the required amount shall be deposited by him directly with the concerned authorities.

    All records in connection with the above shall be properly maintained by the Contractor and

    produced for scrutiny by the Institute.

    1.22 Postal Address for communication

    Every tenderer shall state in the tender his postal address fully and clearly. Any communication sent

    to the tenderer by post at his said address shall be deemed to have reached the tenderer in time.

    1.23 The courts at Kunnamangalam/Kozhikode alone shall have the jurisdiction to hear and decide

    action and proceedings for the purpose of action and proceedings arising out of the contract.

    Sub: Annual maintenance contract for “Substation Operation & Electrical Maintenance in IIMK Campus”

    With reference to the tender invited by you for the above I/we write this after having: (a) Examined the details, annexure, appendixes, schedule, instructions to tenderers, draft agreement

    and the conditions of contract annexed thereto (here in after called the Contract Documents) relating to the above maintenance.

    (b) Visited and examined the site of the proposed contract and, (c) Acquired the requisite information as affecting the tender. I/We undersigned, hereby offer to execute the above work in strict accordance with the contract documents for the consideration to be calculated in terms of the priced schedule. We undertake to deploy labour as per the contract within a period of 10 days from the date of issue of intimation by you that our tender has been accepted. We hereby deposit with you an 'Earnest Money' of ` 3.00lakhs carrying no interest and I/we do hereby agree that this sum shall be forfeited in the event of the Institute accepting my/our tender and I/We failing to take up the contract when called upon to do so. I/We further agree to the deposit of 5% of contract value as PERFORMANCE GUARANTEE (Security Deposit) within 7 days of the award of the contract in the form of a Bank Guarantee/DD valid for the duration of the contract period.     III. DRAFT AGREEMENT

    having its Registered Office at IIM Kozhikode Campus P.O. Calicut – 673 570 (hereafter called ‘The

    Institute’ which expression shall, wherever the context so requires or admits, mean and include its successor)

    on the one part and

    AND WHEREAS the contractor has supplied the Institute with a fully priced copy of the said

    Schedule (which copy is hereinafter referred to as 'The Contract Bill')

    AND WHEREAS the said contract bills have been signed by or on behalf of the parties hereto: AND

    IV. GENERAL CONDITIONS OF CONTRACT

    1. Definitions and interpretations The following terms shall have the meaning hereby assigned to them except where the

    context otherwise requires.: -

    (a) Institute means Indian Institute of Management Kozhikode (IIMK), or its authorized

    representative.

    (b) Contractor shall mean the successful tenderer to whom the contract has been awarded.

    (c) Contract shall mean and include the following:

    i. Notice inviting tender

    ii. Tender form

    iii. Draft Agreement

    iv. General Conditions of contract

    v. Safety code

    vi. Special Conditions Governing the Contract.

    vii. Annexure -I(Guidelines for quoting)

    viii. Declaration

    ix. Proforma

    x. Appendix-I,II,III(price bid)

    xi. Schedule

    (d) Site shall mean the actual place in, over or under which work is to be done, allotted by

    the institute for the purpose of carrying out the contract

    (e) Work shall mean the work or works contracted to be executed under this agreement

    whether original, altered, substituted (or) additional and includes labour.

    (f) Contract price, shall mean the sums referred to in the formal agreement if any ,or the

    work order.

    2. Terms & Conditions of Service a.General

    The Substation Operation & Electrical Maintenance in the premises of Indian Institute of

    Management Kozhikode shall be initially for duration of two years, effective from the date of

    commencement, extendable up to one more year on mutual consent.

    b. Scope of work

    The campus of the Institute is spread over an area of 115 acres of land. The successful Tenderer will

    be required to provide Staff for the Substation Operation & Electrical Maintenance in IIMK

    Campus. This includes routine checkup equipments in the substations as per the procedures and

    carryout minor repairs/ corrections etc. They are responsible for the proper upkeep of all equipments

    connected with the substations, including four pole structures, etc. operation of DG sets, routine

    checking of batteries, etc. shall be the part of the responsibility. The upkeep and maintenance of all

    electrical and communication system in the campus is the responsibility assigned to the staff deputed

    by the contractor in addition to the Operation & Electrical Maintenance of substation.

    The contractor has to depute licensed and experienced staff round the clock throughout the

    year and carryout the instructions from the institute’s engineer on all occasions apart from the regular

    /routine jobs described above. No materials/spares are involved under this contract.

    3.Clarification before submitting tender

    Should the contractor notice any discrepancy or error in the tender schedule etc, he shall immediately

    bring to the notice of the authorities by e -mail ([email protected]) on or before 15/03/2016 and

    necessary clarifications for the queries submitted will be published in website

    https://www.iimk.ac.in/announcements/Tender.php on 16/03/2016 by 5.30p.m . The tender shall be

    based on such clarifications published , failing which the Institute shall have the right to ask the

    contractor to execute the work according to the clarifications made in the tender without any

    compensation

    4.Communications to be in writing

    All references, communications, correspondences made by the Institute and their representative or

    the contractor concerning the works shall be normally in writing unless otherwise specified,

    However, In case of emergency the contractor is expected to carry out forth with the Institutes given

    directly by the Institute’s Engineer over telephone and such instruction shall be got confirmed by the

    contractor or his authorized representative.

    5.Occupation and use of land

    No land/ building belonging to or in the possession of the Institute shall be occupied by the

    contractor. The contractor shall not use or allow to be used the site for any purpose other than the

    contract.

    6.Damage to persons and property

    The contractor shall indemnify and keep indemnified the Institute against all losses and claims for

    injuries or damages to any person or property what so ever which may arise out of or in consequence

    of the maintenance work and against all claims, demands, proceedings, damages, costs, charges,

    expenses whatsoever in respect thereof or in relation there to.

    7.Co-operation with other agencies

    The contractor shall co-operate with the work of other agencies or contractors that may be employed

    or engaged directly or indirectly by the Institute. The sequence of work shall be so arranged that the

    works of other agencies are also in progress simultaneously

    8.Safe storage of materials

    The contractor shall be responsible for the safe storage of materials supplied by the Institute for

    execution of the works. Materials lost or damaged or un-accounted for or made unserviceable by the

    contractor shall be charged at the prevailing market price.

    9. Safety, Health and Welfare of work people

    The contractor shall be responsible for providing for all costs and charges incurred by complying

    with all safety health and welfare regulations, pertaining to staff and work people employed on the

    site including registration with the labour dept. of Govt. of India/ Kerala (whichever is applicable).

    The contractor shall be responsible for and shall allow for providing medical facilities including

    emergency medical facilities for his staff.

    10.Preservation of peace

    The contractor shall take requisite precautions to prevent any riots or unlawful behavior by or

    amongst his workmen and/or others employed on the works by him for the preservation of peace and

    protection of the inhabitants and security of property in the neighborhood of the works. As the work

    will have to be carried out in building and area in use the contractor shall ensure:-

    a) That the normal functioning of IIMK activity is not affected as far as possible.

    b) That the work is carried out in an orderly manner without noise and obstruction to flow of traffic.

    c) That all rubbish etc. is disposed off at the earliest and the place is left clean and orderly at the end

    of each day’s work.

    11.Age limit of labour.

    The age limit for employment of labour shall be in strict accordance with the existing labour

    legislations.

    V. SAFETY CODE

    1. The contractor shall be responsible for the safety of the labour employed by him and he shall be liable to pay the necessary compensation in case of accidents as per the workmen’s compensation act.

    2. Suitable and strong scaffolds/stage should be provided for workmen for all works that can not

    safely be done from the ground or from solid construction except such short period work as can be done safely from ladder.

    3. No portable single ladder shall be over 8 mtr. In length and the width between side rays shall not

    be less than 30 cm (clear). Suitable foot holds and hand holds shall be provided on the ladder and the ladder shall be given sufficient inclination. When a ladder is used an extra mazdoor shall be engaged for holding the ladder.

    4. Scaffolding or staging more than 3.6 M above ground or floor swung or suspended from an

    overhead support or erected with stationary support shall have a guard rail properly attached, bolted, braised and otherwise secured at least 90 cms. above the floor or platform of such scaffolding and extending along the entire length of the necessary for the delivery of materials. Such scaffolding or staging shall be so fastened has to prevent it from swaying from the building structure.

    5. Working platform, gangway, stairways etc. should be so constructed that they should not sag

    unduly or unequally. Such gangway, stairway etc. should have adequate width and should be suitably fastened as described in the para. above.

    6. Suitable fencing or railing of 90 cms. minimum height should be provided for every opening in

    the floor of building or in a working platform to prevent the fall of persons or materials. 7. Safe means of access shall be provided to all working platform and other working places. 8. Adequate precautions shall be taken to prevent danger from electrical equipments 9. The contractor shall provide all necessary fencing and lights to protect the public from accident

    and shall be bound to bear the expenses of defense of every suit, action or other proceedings at law that may be brought by any person for injury sustained owing to neglect of the above precaution and to pay damage and cost which may be awarded in any such suit, action or proceedings to any such persons or which may with the consent of the contractor be paid to compromise claim by any such person.

    10. Suitable face masks should be supplied for use by the workers when nailing the reinforcement to

    the face of the earth cut slopes. 11. Hoisting machines and tackles used in the work including their attachment anchorage and

    supports shall be in perfect condition. 12. The ropes and pulleys etc. used in hoisting or lowery materials or as means of suspension shall

    be of durable quality and adequate strength and free from defects.

    13. All scaffolds / stage, ladders and other safety devices mentioned or described here in shall be maintained in safe and good condition and no scaffold/stage and ladder or equipment shall be altered or removed while it in use.

    14. Contractor should provide safety helmets for all their employees and to be insisted to wear the

    helmet while on duty. 15. Contractor should insist the workmen to use safety gloves of appropriate standard for all their

    employees and to be insisted to wear as and when required. 16. The contractor should provide adequate training for the work men for fire protection/prevention,

    use of fire fighting devices in the campus. 17. There shall be maintained at readily accessible place at work site, first aid appliances including

    adequate supply of sterilised dress(medical) and sterilised cotton wool. 18. An injured person shall be taken to a public hospital without loss of time in cases where the

    injury necessitates the help of a doctor or hospitalisation.

    VI. SPECIAL CONDITIONS GOVERNING THE CONTRACT

    1. The work to be carried out should be in accordance with the Indian Electricity Rules 1956. All safety gears made mandatory under this rule have to be arranged by the Contractor.

    2. Qualification of Workmen: The Qualification of the operator, electrician and supervisor shall meet

    the Indian Electricity Rules. (1956). 3. Experience of Workmen : The operating staff having post qualification experience in the relevant

    field, from a similar class of institution/industry should be posted. Operator: Diploma in Electrical Engineering with 7 years experience. Diploma holders with 4

    years experience in maintenance and Operation in IIMK also will be considered. ITI holders with 7 years experience in maintenance and Operation in IIMK will also be considered.

    Electricians : All electricians must be of minimum 7(six)years post qualification experience in the

    relevant field, from a similar class of industry/institution OR 5(five) years in which 2(two)years of service in IIMK.OR Diploma holders in Electrical Engg. having 3 year post qualification experience in IIMK also will be considered.

    Supervisor: Supervisor must be Diploma Holder in Electrical Engineering and having 7 years post

    qualification experience in the relevant field from a similar institution or industry. B. Tech with 4 years experience will also be considered

    Asst.supervisor: ITI holder with minimum 10 (ten) years experience + one year experience as

    supervisor in IIMK Or Diploma in E Engg. with 5 years post qualification experience 4. All the Staff employed by the contractor should be of good antecedents and character. The

    contractor will have to take prompt action and replace any staff that does not obey the instructions of the Office In Charge/Engineer of the institute.

    5. The employees of the contractor shall carry personal identity cards issued by the contractor

    bearing the contractors stamp ,a distinct uniform while on duty. In addition to this the contractor shall furnish from time to time a complete list of employees, copy to prove identity, along with passport size photographs and their residential address, to the security officer of the Institute. Alternately the contractor will issue numbered ID card to his workers and furnish to the controlling officer, a list of workers and the ID card number issued to them. On change of staff, the contractor will have to recover identity card and also inform in writing of the change.

    6. The operation & Maintenance section will be functioning round the clock 365 days including all

    holidays and Sundays. The Contractor shall arrange the manpower accordingly and the prescribed number for substation operation & electrical maintenance of the entire electrical systems in IIMK ,including cleaning/dusting of HT transformers, transformer room, HT switchgear room, 11kV DG set, LT panel control room, Automatic Power Factor correction Panel, HT & LT cable network, DP structure, bus bars, LT distribution panels HV&MV DG set at various substations.

    The contractor is expected to attend to all electrical related maintenance works as per instruction 7. The contractor shall maintain all records/registers(provided by IIMK) in connection with the

    maintenance work – like Maintenance diary to record day to day work, complaint register, UPS records, Electricity consumption register etc are examples. Any new system / registers if found necessary shall be introduced without delay.

    8. All tools and tackles for the execution of the contract will have to be arranged by the Contractor. 9. Inspection and preventive maintenance including oiling & greasing of electrical equipment will be

    carried out by the contractor’s staff as per the schedule.

    10. The breakdown/failure complaint of electrical installation shall be attended /rectified promptly until unless there are any specific reasons for which electrical in charge of must be kept informed

    11. The contractor or supervisor or work men need not wait for written instructions from the Institute

    and any instructions at emergency situation directly or over phone shall be carried out without delay.

    12. Any delay in obtaining spares or consumable should not affect the progress of the work and can

    refer the matter to Engineer – In charge or Institute representative.

    13. The workmen of the contractor are not allowed to enter any premises/offices/rooms/cabins without permission. They should not involve with any activities of the Institute staff/students without permission.

    14. The workmen are strictly prohibited from use of any kind of narcotics drugs / Alcohol,

    smoking/spitting etc. inside the campus and any illegal activity. This should be reported to the Institute without delay. Violation of this rule by the employees of the contractor shall render them liable for prosecution as per law and automatically disqualify them from deployment on the work

    15. The contractor shall not sublet the contract. He will post qualified responsible supervisor to

    oversee the satisfactory working of all his employees (workers) and to co-ordinate with & carry its instruction.

    16. The contractor has to keep the electrical installations always in neat and clean and healthy

    conditions. No electrical wires, cables, fittings and conduit pipes should remain in loose and hanging conditions any where i.e. on the wall or in the panel / pillars. He shall also insure that all the covers handles of panels, feeder pillars & DB's & SB's are intact and properly screwed / closed., The shock treatment charts, danger plates and identification marking of panels / boards should be maintained properly.

    17.Contactor shall execute the work as per I.S. code of practice of relevant equipments & follow I.E.

    rules 1956. If in case it is proved / established at any stage that the cause of electrical failure / cause of fire /

    cause of electrical accident has taken place due to bad / poor maintenance carried out by the contractor or due to carelessness of his staff then the cost of damages of electrical equipment's or otherwise shall have to bear by the contractor, which shall be recovered from his monthly bill or security deposit.

    18.The contractor shall comply with all the statutory requirements in respect of engaging the

    personnel, their service conditions, rules and regulations and all liabilities under the various labour laws like EPF, ESI,Bonus, Workmen's compensation(or any such regulations declared by the authorities from time to time) etc. It shall be the responsibility of the contractor and Institute shall in no way be responsible or liable in case of any dispute, prosecution or awards made by court of law or other authorities.

    19. The contractor shall ensure that the salary/wages paid to the employee is as per the annexure. Public holidays (4Nos permitted), casual leave and other eligible leave, bonus, gratuity, etc shall be allowed to the employee as per rules and without any reduction in wages. The wage register shall be presented to the authorized person of the Institute at any time for verification and the salary disbursement shall be done in the presence of the Institute’s representative.

    20.The contractor shall indemnify against all loses, damages, or liability arising out of or imposed in

    pursuance of any labour laws. The contractor shall produce the labour License from the competent authority within 45 days from the date of award of contract (if not exists at the time of awarding the work), failing which the contract is liable to terminate.

    21.The contractor shall employ sufficient staff in all the shifts together (round the clock) during all

    the 7 days in a week as per the general guidelines below which may change depending on requirement

    Shift A : 00:00 to 08:00 Hrs Shift B : 08:00 to 16:00 Hrs Shift C : 16:00 to 24:00 Hrs General Duty: 12:00 to 20:00 Hrs

    21.1 One operator will be required in each substation during each shift. The shift timings and Staff allocation per shift may change with prior notice.

    Six electricians will be required for maintenance work in B shift, Three electricians in Shift C and two in A shift. Remaining Electricians in General Duty. The shift timings and Staff allocation per shift may change with short notice.

    21.2 Institute has the right to modify the shift timing, allotment of shift etc depending upon the

    requirement with prior intimation (of 7 days ) to the contractor . 21.3The staff should be sufficient and competent to handle the day-to-day schedule maintenance

    work of the installations and to attend the complaints regarding failure / break downs in a minimum down time.

    21.4 The Staff deputed by the contractor shall report at the duty spot, 10 minutes prior to the

    commencement of shift timing and should leave the premises only on completion of the duty after ensuring the workmen to relieve and with the permission of the supervisor. There should be system for giving permission to go out of the Institute Campus on emergency situations and a written permission record shall be kept in the office for verification.

    21..5 The contractor shall be responsible for producing the full strength, at any shift 22. The contractor / supervisor/ (shift in charge) shall maintain all the material, equipment's & T&P

    for attending the maintenance & failures and keep the records 23. The contractor / his representative should daily report to the officer in charge or any other

    officer so indicated & produces a book for taking day to day instructions and should also get his work verified from the electrical in charge or his representative carried out on previous date.

    24. It is the responsibility of the contractor to maintain a (manual) daily complaint log at the

    maintenance section. The format will be approved by the Engineer In charge. 25. All daily records / registers required to be maintained in the section shall be listed and handed

    over to the engineer in charge. It is the responsibility of the contractor to get new prints / new log books etc and the cost shall be paid by the institute on production of bills.

    26. The contractor / his representative should approach the officer in charge / supervisor, if he needs any instructions, help or has any difficulty.

    27. The staff should be well behaved; obedient and well conversant with the electrical power maintenance system.

    28. The contractor shall not withdraw / remove the staff from the installation without prior permission of the electrical in-charge / representative of Institute.

    29. The contractor / supervisor / staff shall not make any change / addition / alternation or

    modification in the existing electrical system installations without prior approval of the Electrical in –in charge / representative of Institute.

    30. The contractor & staff shall follow the security regulations in force or as amended from time to

    time. Suitable action shall be taken, including summarily termination and / or legal action for breach of security regulations by either the contractor or his staff and shall be the sole arbitrator to the course of action.

    31. The institute shall be exempted from all the liabilities, what so ever created under the

    WORKMEN’S COMPENSATION ACT / ESI, act in respect of any injury suffered by the workers

    32. Notwithstanding anything contained herein before, it is agreed that IIMK shall have the right to alter, modify and or add such other terms and conditions considered necessary and the contractor in such case shall abide by the same.

    33. At the initial stage, the contract shall be awarded for a period of 24 months from the date of commence of contract. Institute will have discretion for extending it as per the terms and conditions and rates quoted and if extended, the contractor should continue the service.

    34. UNSATISFACTORY PERFORMANCE & CONSEQUENCES THEREOF 34.1 The contractor shall work in close consultation with and as per guidance and direction of the

    Institute Engineer In -Charge. The different types of work required to be executed on day to day basis will be advised to contractor by the official- in -charge.

    34..2 In addition, in the event of unsatisfactory service or any failure at any time on the part of

    contractor to comply with the terms and provisions of this contract to the satisfaction of institute the Director IIMK shall be the sole judge and whose decision shall be final and binding. The contractor shall be liable to be fined for an amount not less than `.2500/- (Rupees two thousand and five hundred Only) on every single occasion or equal to the loss incurred to the Institute due to the unsatisfactory service, on the sole discretion of the nominated official.

    34.3 The contractor shall at all times ensure that his performance is satisfactory, failing which Institute shall be at the liberty to get the affected work done through any other agency, at the risk and cost of the contractor and the same shall be recovered from any money due to him or from his security deposit. 34.4 Further more in case of repeated failure / unsatisfactory performance on part of contractor, it

    shall be open for to give a show cause notice to the contractor for replaying for such failures / unsatisfactory performance within 10 days and in case of being not satisfied with the reply of the contractor the contract can be terminated without further notice.

    In the event of such termination of the contract, contractor shall be entitled to (i) forfeit the security deposit as it may consider fit, (ii) get the balance work done at the risk and cost of the contractor by making an alternative arrangement as deemed necessary and (iii) recover from the

    contractor any extra expenditure incurred by in getting the work done and damages which may sustain as a consequence of such action.

    34.5 The certificate of the official in charge as to the sum recoverable from the contractor, if the

    work in question had not been carried out by him under terms of the contract, shall be final and binding on the contractor.

    34.6 If the extra expenditure incurred is more than the Security Deposit proposed to be forfeited,

    the expenditure over and in excess of the security deposit may be recovered by deducting the said amount from any pending bills of the contractor by under this contract. The contractor shall have no claim whatsoever against in consequence of the termination of contract as stated above.

    34.7 Any financial loss incurred by the authority arising due to any procedural lapses on the part of

    the contract shall be recovered by from the contractor. In the event of the contractor failing to attend the complaint with 24 hours , the officer in charge shall have the option to make alternative arrangement & the entire amount spend on this account will be recovered from the contractor bill. The fine of `.500/- only can be imposed by the officer in charge in respect of each case of breach of terms of contract. The contractor shall in addition to the fine, shall also be responsible to compensate for any liability which may fall on under any statutory or otherwise obligation for the breach of any of the terms of the agreement.

    34.8 Recovery of penalty as mentioned above shall be continued till the job is not carried out

    satisfactory, after 10 days the contract is liable to be summarily terminated without any notice. 34.9 The Competent Authority is the person who shall be empowered to consider waiver of the

    above-mentioned penalties on the account either in part or in full at his sole discretion. 35 OWNERSHIP OF MINIMUM EQUIPMENT REQUIRED AND MAINTAINED AT SITE

    UNDER THE CONTRACT The following minimum instruments and tools, which are not limited, will be required for carrying the work under the contractor which may be owned or can be on lease. 1) The contractor has to use his own equipment's, tools and tackles, ladders etc required for this

    work. There should be sufficient number of tools sets for the electricians to work. 2) The following Instruments are required. a) Cable fault locator (HT/LT) (This equipment may not be the property of the contractor, but it

    would be the duty of the contractor to ensure that the equipment is made available within 24 hours of breakdown.)

    b) Crimping tools for connecting cable, c) Megger (2000 volts),Megger(500volts),Earth Megger, d)Multi-meter, e) Tongue tester, Tongue tester(s) should be adequate to handle currents of up to 1000 amperes &

    should be able to grip wires/cables of up to 300 sq. mm. . f) Chain pulling block with tripod stand, wire rope, jute rope, g) wrench set, pliers and screw driver sets. h) Two Torches (heavy duty type) for operating during the night. i) Drilling machine, hammer drill machine, Cutting machine j) Safety belt for the staff to carryout works on the poles and towers. k) Hand gloves electrically insulated. l) Watch & ward of all the material brought by the contractor at site will be the responsibility of the contractor.

    36. PAYMENT AGAINST ADDITIONAL OR EXTRA SERVICES The contractor shall have to perform all the services provided for in this contract and shall be paid at the rates quoted by him and accepted by him , subject, to the terms and conditions of this contract. The contractor shall also provide any additional service not specifically provided for in this contract, which (the remuneration) shall be payable as per the contract terms. In the absence of an agreement being reached on the rates for such additional services will not confer a right upon the contractor to refuse to carryout or render such services. 37. Payment of wages to Staff. The payment to the staff employed by the contractor should be on monthly basis, before 5th working day of every month, irrespective of the payment from Institute. The wages should be credited to the Bank account of each employee on or before 5th working day of every month. The payment to the staff by the contractor shall be equal to the amount agreed as monthly wages and difference (If it is less than the agreed amount) in the same shall be recovered in the next bill payable to the contractor. Any payment to the staff on account of the extra payment like overtime etc shall not be considered. 38. ESCALATION CLAUSE NO CHANGE IN AMOUNT QUOTED IS ALLOWED DURING THE CURRENCY OF THE CONTRACT. The rates accepted by the competent authority of IIMK shall remain fixed and valid for original period of contract i.e. during the initial two year period. In case, management decides to extend the contract period , the rate agreed by the contractor will be considered 39 . EXIT CLAUSE The contractor will also have the Liberty to seek termination of contract by serving an advance Ninety days (90) notice in case there are strong business reasons for doing so. 40 . GENERAL Any clarification in regard to the meaning or intent or interpretation of any of the provisions of these terms and conditions required on any point shall be sought from the Institute, the decision of Director, IIMK shall be final and binding. Any other matter relevant to but not covered in the contract shall also be decided by making reference to him and his decision shall be final and binding.

    41. The tenderer shall fully comply with all the applicable laws, rules and regulations relating to EPF, ESI, Bonus, Minimum Wages, Workmen’s Compensation Act, Contract Labour (Regulation & Abolition) Act, Migrant Labour Act, and/or such other Acts or Laws or Rules or Regulations passed by the Central/State/Local Government and/or any other act as may be relevant and applicable to him from time to time and must be conversant with maintenance of related records like certificates of registration, license, issue of employment card, maintenance of various registers, rendition of periodical returns, etc. 42. Contractors who do not meet the qualification criteria or who submit bids not substantially responsive to the bidding, their bid documents will be rejected. Tenders without proof of claims/documents will not be considered for evaluation. 43. EMD is liable to be forfeited if the Contractor selected for the work fails to accept and sign the formal agreement or to start the work on the date stipulated in the work order. 44. The prospective tenderers may satisfy themselves about the requirements by visiting the Institute on any working day (Monday to Friday) between 10:00 a.m. to 04:00 p.m. Offers must be firm and no price revision will be accepted during the period of the contract except the minimum

    wage revision by the Government. Any changes in government levies / taxes shall be payable at actual. 45. Income-Tax (TDS) at the prevailing rate will be deducted from the monthly bill of the Contractor. Service Tax @ 14.00% and other taxes if any ,is applicable in addition to the quoted rates. 46. Additional manpower ie. the revision in the scope of contract , if required, should be provided within 15 days on the same rate, terms and conditions on written intimation. Reduction in the scope of contract – ie. Reduction in manpower, if required shall be implemented on 3 months advance notice. 47. The Contractor or his nominee shall ensure his presence at a short notice when required by the Institute. 48. No residential accommodation, subsidized food or transport will be provided to the personnel deployed by the Contractor. The contractor shall provide the transport facility inside the campus for his staff for reaching work spots quickly for maintenance work. 49. Maintenance of safety & hygiene in shall be the sole responsibility of the contractor. 50. Tools, tackles, scaffolding such as ladder,, etc. required for the Maintenance of Electrical System & other miscellaneous works will be borne by the Contractor. 51. The Contractor shall submit the proof of having deposited the amount of contribution claimed by him on account of ESI and EPF in respect of the persons deployed, in their respective names, before submitting the bills for the subsequent month. In case the Contractor fails to do so, the amount claimed towards ESI and EPF contribution will be withheld till submission of required documents. 52. EPF and ESI remittances in respect of the personnel deployed at IIM Kozhikode should be made in the concerned offices in Kozhikode and individual wise details should be provided to the Institute. The Institute may monitor such payments as per statutory obligations. 53. The Contractor shall make payment of wages etc. to the workers and supervisors deployed by him by 5th working day of every month in the presence of an authorized representative of the Institute so that there is no disruption on the performance of duties of the deployed persons. 54. The actual payment made by the Institute to the Contractor will be based on the actual deployment of workers. In other words, if on any day the number of workers deployed is less than that specified in the contract, the payments will be adjusted accordingly. 55. The Contractor will pay rates and wages and observe hours of work and conditions of employment as per existing rules under Minimum Wages Act, Contract Labour (Regulation and Abolition) Act, etc. It shall be his responsibility to ensure that he pays his workmen wages which are not lower than the minimum wages as prescribed from time to time by the Government. He must comply with and carry out all the previsions and obligations under the said Acts and Rules and furnish all information(s) to the Director, IIM Kozhikode as may be required. He shall indemnify the Institute against any penalties/ claims arising from any default on his part. 56. The Contractor shall be solely responsible for all the claims of his employees and the employees of the Contractor shall not make any claim whatsoever against the Institute.

    57. The Contractor shall be solely responsible for maintenance all records as stipulated under various rules and regulations. 58. The Contractor or his nominee should visit the Institute once in a month to ensure that there is no deficiency in the services being provided. 59. Deployment of office staff required for smooth conduct of the services will be the responsibility of the Contractor and no additional amount, apart from that mentioned in the Price Bid as service charges of the Contractor, shall be payable by the institute. 60. The Contractor shall obtain adequate insurance policy in respect of his workmen to be engaged for the work, towards meeting the liability of compensation arising out of death/ injury/disablement at work, etc. 61. The Agency that offers services under this tender should have a clear recruitment and exit policy for the personnel. 62. The contract shall be for a period of two years subject to review after six months and satisfactory performance by the agency. Depending on the performance of the Contractor and on mutual agreed terms and conditions, IIM Kozhikode reserves the right to renew the contract subsequently. 63. The successful bidder shall execute an agreement on a Non-judicial stamp paper of appropriate value before taking up the contract agreeing to abide by all the terms and conditions mentioned herein (agreement format attached). 64. Police verification of antecedents of the persons to be engaged at IIM Kozhikode will be obtained by the Contractor in advance before they are deployed for the work. 65. Contractor shall ensure that the persons are punctual, disciplined and vigilant in performance of their duty. The Contractor shall engage medically and physically fit persons only and they shall be duty bound to display the same at the time of providing the service. The Contractor shall not deploy personnel above the age of 60 years and below 18 years at the time of signing of the contract. 66. The Contractor shall communicate the names, residential address, age, Photo, proof for identity etc., of the persons deployed for duties at the Institute. The Contractor shall issue Identity Cards to the persons and they shall be duty bound to display the same at the time of providing the service. The Identity Card to be displayed prominently. 67. The Director of the Institute or any person authorized by the Director or any Engineer in Engineering dept. shall be at liberty to carry out surprise check on the persons deployed by the Contractor in order to ensure that required numbers of persons are deployed and that they are providing the service properly. 68. (a) The persons deployed by the Contractor for the work shall be the employees of the Contractor for all intents and purposes and in no case, shall a relationship of employer and employee between the said persons and the IIM Kozhikode accrue implicitly or explicitly. (b) The persons so deployed shall remain under the control and supervision of the Contractor and he shall be liable for payment for their wages etc. and all other dues which the Contractor is liable to pay under various labour regulations and other statutory provisions.

    (c) The Contractor shall ensure that all the employees get minimum wages as per the Minimum Wages Act, 1948 read with Minimum Wages (Central) Rules for Kozhikode (B region), and such other benefits as are admissible under various labour laws. He shall provide full information in respect of wages etc., paid to his employees so deployed in conformity with the provisions of Contract Labour (Regulation and Abolition) Act, 1970. (d) The Contractor shall deploy his persons in such a way that the persons get weekly rest, the working hours/leave for which the work is taken from them, under relevant provisions of Minimum Wages Act, and such other Acts as applicable. (Only 48 hours per week and 8 hours per day is allowed for each person.) The Contractor shall in all dealings with the persons in his employment have due regard to all recognized festivals, days of rest and religious or other customs. In the event of Contractor committing a default or breach of any of the provisions of the Labour Laws including the provisions of Contract Labour (Regulation & Abolition) Act, 1970, as amended from time to time or furnishing any information, or submitting or filing any settlement under the provision of the said regulations and rules which is materially incorrect, they shall without prejudice to any other liability pay to the Institute a sum as may be claimed by the Institute. 69. All bids shall remain valid for 90 days after the date of tender/bid opening. A bid valid for a shorter period shall be rejected by IIMK as non-responsive. In exceptional circumstances IIMK may request the bidder to extend the period of validity. 70. The tenders should be submitted in the specified form (non-transferrable) as given in format. The tender should be sealed and should contain bid security (EMD) and price bid. The envelope shall be marked/super scribed as “Tender Substation operation &Electrical maintenance in IIMK campus”, and shall be addressed to The Chief Manager Infrastructure , IIM Kozhikode, IIM Kozhikode Campus P.O., Kozhikode-673 570 by 03:00 p.m. on due date. Alternatively, the tender can be dropped in the Box entitled ‘Engineering Section’ kept in the Reception Counter in Administrative Building of the Institute. If the envelop is not sealed and marked as required, IIM Kozhikode will assume no responsibility for the bid's misplacement or premature opening. 71. The bid must be submitted as per the deadline detailed above. Any bid received in the Institute after the deadline will be rejected. IIM Kozhikode is not responsible for postal delay of any kind. 72. Before award of work, if any bidder withdraws his bid within the validity period of 90 days or makes any modification in the terms and conditions of the bid which are not acceptable to the Institute, then the Institute shall, without prejudice to any other right or remedy, be at liberty to forfeit 50% (fifty per cent) of the earnest money absolutely. After award of contract, if any bidder withdraws his bid or fails to execute a formal agreement or fails to take up the work in time, EMD will stand forfeited fully. The EMD will also be forfeited if the contractor fails to comply with the terms and conditions of award letter and agreement. 73. During evaluation of the bid, IIM Kozhikode may ask for clarification of the bid. Request for clarification will be in writing and the response shall be in writing. No other correspondence regarding the status of the bids will be entertained. 74. If any relative of the tenderer is an employee of IIM Kozhikode the name, designation and relationship of such employee shall be intimated to the Director, IIM Kozhikode, in writing while submitting the tender.

    75.. It is the responsibility of the contractor to get the security clearance by the State Government authority like Police etc for the persons deployed by him. The Contractor shall deploy only those whose antecedents have been verified by the respective authorities and he is liable to produce the records if instructed in writing. 76. The Contractor should furnish a list of personnel deployed by him in IIM Kozhikode on Form XIV Employment Card to the Institute with details like name, age, qualification, present and permanent addresses, previous employment details, etc. for records. Deployment of any fresh staff in replacement should only be with the prior permission of the Institute. 77. The Contractor and the persons employed by him shall not divulge to outsiders any information about the installations or the employees as well as activities of the Institute. 78. Contractor has to ensure that any loss/damage to goods or property of IIM Kozhikode due to negligence on the part of the personnel of the Contractor shall be made good by the Contractor within 7 days of the date of its communication to him. Non-compliance of the same shall entail forfeiture of the security deposit along with recovery of the loss in part or full from the dues of the Contractor and/or termination of the contract. 79. No report/complaint for any loss/damage to property of IIM Kozhikode shall be lodged with police by the Contractor or his staff, without the written approval of Director, IIM Kozhikode. 80. The contractor should have full knowledge of handling HT/LT system. He should have staff

    having professional qualification in Electrical Maintenance &operation of substation. 81. It shall be the duty of the Contractor to remove all the persons deployed by him on termination of the contract for whatsoever reason and ensure that no person create any disruption/hindrance/problem of any nature to the Institute. 82. The Contractor must maintain the following important Forms and Registers among others as per Contract Labour (Registration & Abolition Act 1970) and such other acts. a. Form XIII - Register of Workmen employed by Contractor b. Form XIV - Employment Card c. Form XVI - Muster Roll d. Form XVII - Register of Wages e. Form XIX - Wage Slip f. Form XX - Register of deductions for damage or loss g. Form XXI - Register of Fines. 83. In the event of any question, dispute, difference arising under the agreement or in connection herewith (except where resolution has been specifically provided under the agreement) the same shall be referred to the Sole Arbitration of the Director, IIM Kozhikode or his nominee. The award of the arbitrator shall be final and binding on both the parties. 84. Any disputes arising out of or in any way connected with this contract shall be deemed to have arisen in Kozhikode, Kerala and only the courts in Kozhikode shall have jurisdiction to determine the same. 85. The tenderer shall accept all terms and conditions and shall sign the tender forms with the official seal of the firm/agency for having accepted all the conditions.

    86. The Director, IIM Kozhikode reserves the right to accept or reject any or all the tenders without assigning any reason whatsoever and his decision shall be final. 87. If the contract agreement is executed the validity of the agreement will be initially for a period of two years. However, the contract can be terminated any time by giving a notice of three months by either of the parties. It can be extended for any further period by mutual consent with the same terms and conditions or with modifications as mutually agreed. 89. The work/services to be carried out should be in accordance with IE rule /Manufacturers specifications and best trade practices as approved by the Institute. 90. All the Workmen employed by the Contractor should be of good antecedents and character. The Contractor will have to take prompt action and replace any workman who does not obey the instructions of the Officer-in-Charge/Engineer of the Institute.

    91. The substation operation & maintenance will be functioning round the clock 365 days - including all Holidays and Sundays. The contractor shall ensure that the service will be made available to the Institute round the clock on all days (including holidays). The Contractor shall arrange the manpower accordingly. 92. The Contractor shall maintain all records/registers, in connection with the maintenance work, such as Maintenance diary to record day to day work, complaint register, etc. any additional documentation as may be required by the Institute from time to time shall be maintained by the contractor. 93. All Tools and Tackles for the proper execution of the contract will have to be arranged by the Contractor at his own cost. The contractor shall issue safety shoes, helmet and dress etc. any other safety items to labour employed by them 94. Operation &Maintenance will be carried out by the Contractor as per the general guidelines below. However any item not mentioned or covered shall be as per the instruction given by the Engineer in Charge. Keeping the DG set area properly clean. The contractor is not allowed to handle the engine for maintenance purposes, but shall clean & brush the canopy & other parts externally only. It will be the duty of the staff of the contractor to operate DG set immediately after the electric supply is disrupted. Ensuring that all the changeovers are immediately put to DG set/KSEB mode as per the need/requirements. Regular checking of DG set batteries, water coolant level, oil level, Diesel etc. Regular checking of earth connections continuity. The neutral connections are vital & need constant tightening monthly on fortnightly basis Maintaining Log book of the DG set with all the required data on daily basis & put up the same AEE(electrical). If any of the desired parameters for smooth running are needed, the same shall be brought to the notice of the Institution engineer in writing for immediate action. If any failure/defect in the DG set occurred due to Non-compliance of the precautionary measures/not bringing the same into notice of IIMK, the contractor’s lapse shall attract financial penalties. Providing necessary assistance in case of regular servicing if needed. Regular checking & tightening of all terminal connections of the cables in the DG set and connected panels Electrical maintenance Besides the above the contractor is expected to attend to allied/miscellaneous works such as follows 1. Replacement of fuses (all types) repair/replacement of faulty switches, holders, screws, lamps, fittings etc. 2. Oiling, greasing of fans (ceiling and exhaust) as and when required. 3. Repair and replacement of, wiring, tube lights, bulbs, chokes & starters etc. 4. Rewiring of circuit wiring point wiring on need basis 5. Checking of earthing system to make it functional and effective. 6. Electrical maintenance of pumps, motors and general electric equipments , Electrical maintenance works including H.T/L.T. Panels, Generators, UPS, relays, internal wiring, communication system, etc.. 7. Providing of experienced and qualified manpower for electrical Maintenance as per instruction 8. Any other work directly related to Electrical maintenance of specified buildings. 95. The breakdown/failure complaint of Electrical installation shall be attended/rectified promptly until unless there are any specific reasons, for which Engineer-in- charge of the Institute must be kept informed. 96. In case of any delay in obtaining spares/ consumables (arranged by the Institute) for any installation the Contractor in consultation with the Officer-in-Charge/Engineer, shall ensure that the functioning of the installation is not affected. 97. The workmen of the Contractor are not allowed to enter any premises/offices/rooms/cabins of the Institute without permission. They should not interfere with any activities of the Institute without permission.

    98. In case it is proved / established at any stage that the cause of failure in electrical system has taken place due to bad / poor maintenance carried out by the contractor or due to carelessness of his workmen, then the cost of damages of such components/ equipment, shall be recovered from the monthly bill or security deposit of the Contractor. 99. The Contractor shall comply with all the statutory requirements in respect of engaging the personnel, their service conditions, rules and regulations and all liabilities under the various labour laws like E.P.F., E.S.I, Bonus, Workmen's Compensation etc. It shall be the responsibility of the contractor, and Institute shall in no way be responsible or liable in case of any dispute, prosecution or awards made by court of law or other authorities. 100. The Contractor shall indentify, and keep identified, the Institute against all loses, damages, or liability arising out of or imposed in pursuance of any labour laws. 101. The Contractor should produce the labour Licence from the Competent Authority within 45days from the date of award of Contract, if applicable. 102.The contractor should provide adequate training for the work men for fire protection/prevention, use of fire fighting devices in the campus

    VIII. DECLARATION

    1. I/We have gone through the terms and conditions of the tender as given above and have

    fully understood the significance of the same. I/We have visited the Institute and obtained all

    necessary clarifications from the concerned officials of the Institute on the work and services to be

    2. It is clearly understood that, the persons deployed by us for the work/service in the Indian

    Institute of Management Kozhikode Campus will not be treated as employees of the Institute and

    I/We will be solely responsible for making all statutory payments to the persons so deployed and no

    employer-employee relationship will exist between the IIMK and the persons so deployed. The only

    relationship that exists between me/us and the IIMK is that of a Principal and Service provider.

    3. I/We hereby agree that in case the Institute is made to suffer any loss/damage on account

    of any negligence or act on the part of any person or persons deployed by me/us in the IIMK campus,

    such loss/damage shall be made good by me/us and in case we fail to make good the same, the

    amount can be recovered from the Security Deposit kept by me/us with the Institute and in case the

    Security Deposit become insufficient to meet such sum, the Institute can proceed against me/us for

    recovery of the sum, in whatever manner it deems fit.
