Yash Ashar

Amarchand Mangaldas

Yash Ashar has been a partner in the Amarchand Mangaldas Mumbai office since April 2008, joining the

firm in 2001. He focuses largely on capital markets. An experienced practitioner in Indian securities law,

Yash has been associated with a number of capital markets transactions including initial public offerings,

follow on offerings, QIPs, rights offerings, ADRs, GDRs and FCCBs. He has advised on several pioneering

capital markets transactions involving various leading Indian and overseas companies. He also has experience in privatisation, joint

ventures, private equity investments and general corporate law. Yash is part of the faculty of the Securities Law Course at the

Government Law College, University of Mumbai on topics relating to Indian securities markets and also conducts the securities law

related modules related to the IPOs and continuous listing obligations at the Bombay Stock Exchange Training Institute. He was

also nominated by the firm on the GRIP Committee established by SEBI for review of IPO processes. Yash is ranked as a leading

Arun Balasubramanian

Arun is a US qualified lawyer whose corporate experience includes securities offerings, mergers

and acquisitions, spin-offs, joint ventures, private equity transactions, corporate restructurings,

banking transactions and general corporate advisory matters. He has significant experience in

capital markets transactions with SEC registration or Rule 144A elements, and is recognised as

Microfinance, YES Bank, Larsen & Toubro, Unitech, Hindustan Construction Company, Infrastructure

Development Finance Company and Kotak Mahindra Bank;

GDR/ADR offerings by issuers such as Tata Power, Larsen & Toubro and HDFC Bank; and

the $700 million AIM listing by Unitech Corporate Parks plc, the largest AIM fund raising backed by

investment assets in India.

Arun is also the Global Head of the Firm’s IT, Business Services and Media sector.

Paritosh Basu

Dr. Paritosh C. Basu is the Group Controller of Essar Group, one of the largest business conglomerates of

India. He was with Reliance Communications Ltd. as Joint President and CFO till mid August, 2008.

He is associated with ‘Management Education and Training’ for about twenty years. He was a regular visiting faculty member of the

Indian Institute of Social Welfare & Business Management, Kolkata and Narsee Munjee Institute of Management Studies, Mumbai

for about six years each.

Dr. Basu holds a Master degree in commerce from the Calcutta University. He was awarded Ph. D. degree on “Transfer Pricing

System in a Multi-divisional Environment” from the same University in 1999. He is a fellow member of the Institute of Chartered

Accountants of India and the Institute of Cost & Works Accountants of India. He has about thirty two years’ working experience in

various functions namely corporate accounts and reporting, finance and treasury, international business, IT enablement and

systems integration, management audit, etc.

He has conducted many training and development programmes for Professional Institutes, Universities, Chambers of Commerce

and Corporate Houses. He has presented score of papers in summits, conferences, conventions, and seminars as well as

participated in programmes of electronic media.

He engages himself as a free lance knowledge partner for management training and development activities as his hobby. He was

also a co-opted member of Research Committee of the Central Council of the Institute of Chartered Accountants of India for the

year 2010-11.

Varoon Chandra

AZB Partners

Varoon Chandra, Partner at AZB & Partners, earned his Bachelor of Law from the National Academy of

Legal Studies and Research University of Law, Hyderabad, in 2004. He is a member of the Bar Council of

Maharashtra and Goa. He has been a partner of the Firm since 2011.

The focal areas of his practice include Capital Markets, Securities Laws, Mergers & Acquisitions and Private Equity. He has been

involved in a number of international and domestic capital market transactions, including issuances of FCCBs, ADRs and and

GDRs as well as Indian initial public offers, rights issues and qualified institutions placements. He has also advised on a number of

FCCB restructuring transactions undertaken by Indian issuers, including consent solicitations and exchange offers. He has advised

on securities regulations issued by the Securities and Exchange Board of India pertaining to matters such as takeover regulations,

the investment/acquisition of shares in Indian listed companies, insider trading in the context of investment/ acquisition of shares in

Indian listed companies and the listing of companies on an Indian stock exchange. He has also advised on the structuring of joint

venture companies and private equity investments and has assisted in drafting and negotiating documentation for such

transactions.

Rahul Chawla

Rahul Chawla is a Managing Director of Credit Suisse, Investment Banking Division and Head of Global

Markets Solutions Group, based in Mumbai. He is in charge of all the Capital Markets (ECM, DCM)

product origination execution and delivery in India. He is also a key person for continuing to build / grow

CS strong platform on Structured Lending and Equity Linked Derivatives business in India.

Rahul Chawla joined Credit Suisse Securities in July 2007 from Deutsche Bank where he was a Director in the Debt Capital

Markets team. Prior to that, Rahul Chawla worked with GE Capital Services as Head of Structured Finance, S.E.Asia for 2 years.

Across CS and DB, Rahul Chawla has closed several trades with a total value upwards of $5 bn of funding raised spread across

Real Estate, Infrastructure, Construction, Renewable Energy, Retail, Commodities etc.

Rakesh Garg

Barclays Capital

Rakesh Garg is a Managing Director at Barclays Capital, based in India. He is responsible for the Global

Finance business in India, and also the lead relationship banker for certain quasi-sovereign clients and

frequent issuers.

Prior to joining Barclays Capital in 2003, he worked at HSBC in Mumbai, where he held various roles in

Treasury and Capital Markets and in his last role, he was Head of Debt Capital Markets and Risk Advisory for India.

Rakesh completed his Post Graduate Diploma in Management (MBA) from the Indian Institute of Management, Ahmedabad in

Rajiv Gupta

Rajiv Gupta is a partner in the Corporate Department of the Singapore office of Latham & Watkins.

Rajiv has extensive experience in a wide range of corporate finance matters, including representing

issuers and underwriters in both US and international securities transactions, particularly in initial public

Aloke Gupte

Aloke is currently the Head of Equity-Linked Origination for Asia-Pacific at J.P. Morgan based in Hong

Kong. He is responsible for the origination, structuring, and execution of equity-linked transactions in

Asia-Pacific. As a part of his role, Aloke leads equity-linked conversations with clients across the region

whilst also working with investors in Asia & Europe. He has been involved in over 50 capital markets

transactions, raising in excess of US$15bn of new capital across various sectors.

Andrew Harrow

Andrew Harrow is a partner in our international capital markets practice and Managing Partner of our India

Group. He has been based in Asia since 1996 and has extensive experience in debt capital markets issues

(both MTN programmes and standalone debt and equity-linked issuances), advising sovereigns,

Sumit Jalan

Sumit Jalan is a Director and Head of Equity Capital Markets in Credit Suisse based in Mumbai. He is in

charge of Equity and Equity Linked product origination, execution and delivery in India.

Mr. Jalan joined Credit Suisse in 2010 from Bank of America Merrill Lynch, where he was responsible for

origination in Equity Capital Markets. He also worked with CLSA, part of Credit Agricole Group for over 5 years.

David Makarechian

David Makarechian is a partner in O'Melveny's Singapore office and a member of the Firm’s Capital

Markets Practice Group.

David represents issuers, financial institutions, sovereigns and investors in capital markets transactions

Nathan McMurtray

Deutsche Bank

Nathan McMurtray is a Managing Director at Deutsche Bank and Head of Equity-Linked

Origination, Asia. He is based in Hong Kong and focuses on the origination, structuring and

execution of equity-linked products for clients throughout Asia. He joined Deutsche Bank in

2011 and has in excess of 17 years experience in public and private capital raisings as well as

restructurings for companies in Asia, the US and Europe. Prior to joining Deutsche Bank,

Nathan was Global Head of Equity-Linked Origination at Standard Chartered Bank. He spent

nine years prior to that at Morgan Stanley in New York and Hong Kong, including heading the

Vikas Rathee

Vikas Rathee is the Head of Corporate Finance and M&A at Suzlon Energy Ltd. At Suzlon, Vikas is responsible for a broad range of

Prior to joining Suzlon in mid-2009, Vikas was an Investment banker based out of New York and London, most recently with Bank

Melwyn Rego

IDBI Bank

Mr. Melwyn Rego is an MBA rank holder in Finance from Symbiosis Institute of Business Management,

Pune. He started his career with Alfa Laval, Pune in 1981 in the Finance function.

Mr. Rego, joined IDBI in 1984. His assignments were in the areas of Rehabilitation Finance, Project

Finance and International Resources. He has been responsible for raising foreign currency resources for IDBI from multi-lateral

(World Bank, ADB and Nordic Investment Bank), ECA backed lines of credit, bi-lateral and syndicated loans from the Bank market

as also bond issuances (Reg S and 144A) as also in domestic capital markets in Japan, Germany, Singapore, Hong Kong (Dim

Sum Bonds) and Switzerland. Mr. Rego has extensive international experience and was a rank holder at a programme on

In September 2003, IDBI Bank took over a housing finance company from the Tata Group. Mr. Rego was deputed as Managing

Director & CEO of the Company which was christened IDBI Homefinance Limited. In recognition of his efforts in taking the

company to new heights, Mr. Rego was conferred the "Achiever of the Year" award by Symbiosis Institute of Business Management

Pune in 2005.

In January 2008, Shri Rego returned to IDBI Bank Ltd. after its conversion into a commercial bank and took over as Head-

International Banking Division to spearhead IDBI Bank's overseas initiatives. Arising out of his efforts, the Bank has set up a

Category I Branch at the Dubai International Financial Centre and has plans for setting up an overseas banking unit at Singapore

and a Representative Office at Shanghai. Mr. Rego also manages the raising of rupee resources through bond issuances in the

domestic market. Currently, Shri Rego is Executive Director at IDBI Bank Ltd. responsible for International Banking, Treasury,

Investments and Compliance function.

Sanjay Sharma

Deutsche Bank

Sanjay heads Deutsche Bank’s India Equity Capital Markets business where he is responsible for the

origination, structuring, and execution of public equity and equity-linked transactions. He has over 19 years

in the industry accounting for over 100 equity transactions.

Prior to joining Deutsche Bank, he was in the Investment Banking Division of Merrill Lynch in India where he

was heading the Corporate Finance Group before heading its Equity Capital Markets business. He has worked on equity, debt and

advisory assignments including a 7 month stint in ML Asia Pacific Hong Kong.

Sanjay has received his Post-graduate Diploma in Business Management from Indian Institute of Management, Ahmedabad and a

Bachelor of Engineering (Mechanical) from Regional Engineering College, Surathkal. He has a good understanding of the

Regulations and has worked towards bringing international best practices in the Indian Capital Markets. He is also Chairman of

Cyril Shroff

Cyril Shroff is managing partner of Amarchand Mangaldas & Suresh A. Shroff & Co. He has over 25 years

of experience in the securities market and a range of other areas including corporate laws, banking and

infrastructure. Cyril is regarded and has been consistently rated as India’s top corporate, banking and project finance lawyer by

several international surveys including those conducted by International Financial Law Review (IFLR), Euromoney, Chambers

Amit Singh

Amit Singh is a US, UK and India qualified consultant in the international capital markets department in our

Hong Kong office. He advises on a broad range of capital market transactions with a special focus on India

Pooja Sinha is a counsel in O’Melveny’s Singapore office and a member of the Corporate Finance and

Capital Markets Practice. Pooja assists with the coordination of the Firm’s India Practice and has

experience working on a wide range of debt and equity offerings in India, Europe and across Southeast

Asia including both Rule 144A and Regulation S offerings.

She has represented both underwriters and issuers in initial public offerings by Indian corporates; qualified institutions placements

by Indian corporates; offerings of Indian Depository Receipts by non-Indian corporates; offerings of Global Depository Receipts

(GDRs) listed on the London and Luxembourg stock exchanges by Indian corporates; offerings of convertible bonds listed on the

Singapore stock exchange by Indian corporates; and exchange and tender offers and consent solicitation exercises for convertible

bonds issued by Indian corporates. Pooja was a key team member of Power Finance, SCI, Power Grid and BHEL further public

offering teams. She also represented the underwriters in one of India’s landmark capital-markets transactions — the first-ever

offering of Indian Depository Receipts in India by Standard Chartered PLC.

She has worked on a wide range of restructuring transactions with a capital markets element in South and South-East Asia with a

particular focus on transactions governed by English law.

Prior to joining the Firm, Pooja practiced at other leading law firms in Singapore, London and New Delhi.

Pooja earned her BCL at the University of Oxford and her B.A. and LL.B. (Honors) from the National Law School of India University.

She is a member of the Law Society of England and Wales and the Bar Council of Delhi. She is also fluent in English and Hindi.

Bhavna Thakur is the Head of the Equity Capital Markets for India, a group which is primarily responsible

for executing and originating all equity and equity linked transactions.

Bhavna has worked on numerous equity, debt and M&A transactions during her fourteen year career in the

finance industry. Prior to joining Citi in 2009, she worked with Morgan Stanley in Mumbai leading transaction execution in equity

and M&A and prior to that, as a corporate finance lawyer at Davis Polk and Wardwell and Paul Weiss, in NY and London.

Bhavna has been involved in the execution of over 50 capital market transactions and was most recently involved in Carlyle

Group’s US$840mn stake sale in HDFC, Cairn Plc’s US$1bn and US$374 mn stake sale in Cairn India, Citi’s US$1.9 bn stake sale

in HDFC, ONGC US$2.5 bn OFS, Wipro US$150 mn OFS, Coal India’s US$3.4 bn IPO, Tata Steel’s US$760 mn Follow-on

Offering, Citi’s US$237 mn sell down in HDFC Ltd., Daimler’s US$430 mn sell down in Tata Motors, US$375 mn CB and Exchange

Offer for Tata Motors, US$1.65 bn Bond Offering for Vedanta Resources, US$1.5 bn Bond Offering for Reliance Industries, NTPC &

Bhavna holds a Bachelor of Laws (Hons.) from National Law School of India, Bangalore and a Masters of Laws from Columbia

University, New York. She has successfully transitioned from being a corporate finance lawyer to a corporate finance banker in a

Jeremy is a capital markets specialist with 15 years’ experience in Asia. Jeremy's focus includes equity

issues, equity-linked bonds (including pre-IPO convertibles), MTNs and straight debt/eurobonds

(including regulatory capital and hybrid securities). He has also worked on a number of debt

restructurings and liability management exercises. Significant deals in the last few years include:

Hong Kong's first REIT (representing The Link Management Limited);
