5. Both Partner Sales Representative and Partner Systems Engineer must identify his or her role, contact information, deal specifics and submit registration in Perks tool.

6. Partner Sales Rep is eligible for both the Lead SPIFF of $150 and Closed Revenue SPIFF of $300.

7. Partner Systems Engineer is only eligible to receive the Closed Revenue SPIFF of $300 per approved closed deal.

8. Lead review and approval can take up to 5 business days. SPIFF pay-out can take up to 30 days from Approval date to be completed.

9. Partner Sales Rep and Partner Systems Engineer named on approved registration must also submit final claim for the SPIFF (once the deal has closed and invoiced) using Perks Deal tool. Upon submission for SPIFF Payment entitlement, Partner Participant must provide the Perks Deal Registration ID number, Purchase order number to Distributor and total wireless revenue amount invoiced and shipped. Extreme reserves the right to request additional documentation reasonably requested to process eligible Program entitlements.

10. The Closed Revenue SPIFF Payment entitlement is only eligible on wireless sales to New Wireless Customers (defined below) who order and results in Closed Revenue (defined herein) and per the deal minimum requirements included herein. A New Wireless Customer is defined as not having purchased Extreme Networks IdentiFi wireless products (Eligible Products as identified herein) in the prior 12 months from the date of lead submission.

11. Closed Revenue is defined as product fees for wireless products that are shipped, invoiced and tracked via point of sale data within the Program period. To be eligible for “Closed Revenue SPIFF” deal must have shipped and invoiced within the Promotion Program period. Any Revenue from sales of wireless products received after 12/31/14 is not eligible for SPIFF Payment.

12. The Lead SPIFF Payment entitlement is only eligible on approved registrations for New Wireless Customer opportunities (defined below) that have a validated and approved requirement for Extreme Networks wireless products that meet the deal minimum requirements included herein. A New Wireless Customer is defined as not having purchased Extreme Networks IdentiFi wireless products (Eligible Products as identified herein) in the prior 12 months from the date of lead submission. Lead” required to be a “New Wireless Customer.

13. An approved Lead is defined as an opportunity that has been submitted through the Perks tool, reviewed, validated and approved via email by Extreme Networks to the Partner Sales Representative.

14. Lead must be an end-user opportunity worth at least $25K net (purchase price to Distribution) in Extreme Networks wireless products.

15. Partner Systems Engineer and Sales Rep are both are eligible for a SPIFF Payment of $300 each for each registered opportunity that results in closed revenue and meets the program requirements.

16. Closed Revenue SPIFF claim, and any associated back-up documentation, must be submitted through Perks by Partner Sales Rep and Systems Engineer no later than 12/31/14 to be eligible.

17. Extreme Networks will only issue payment on one SPIFF to the Partner Sales Rep and Partner System Engineer per approved registered end-user opportunity.

18. Upon submission of request for SPIFF Payment Program claim it can take up to 30 days to process SPIFF Payment.

19. Partner Sales Rep and Partner Systems Engineer named on the lead opportunity will be the Participants who will receive the SPIFF Payment provided the Claim form is completed and meets the applicable Program terms and conditions.

20. Eligible Products: Extreme Networks IdentiFi wireless products and appliances only

21. Deal minimum $25K Net revenue on Eligible Products (purchase price from Distribution). Any services revenue shall not be included in the deal minimum requirement.

22. A New Wireless Customer must be an end-user customer. New Wireless Customer is defined as not having purchased Extreme Networks IdentiFi wireless gear from Extreme Networks or its authorized partner community within the past 12 months.

23. Each individual that receives the SPIFF Payment is responsible for his/her tax liability.

24. Only authorized Extreme Networks Sales Reps and Partner Systems Engineers are eligible to participate. Authorized reseller partners shall include resellers contractually authorized by Extreme subsidiaries, including Enterasys Networks, Inc., and its regional subsidiaries.

25. Distribution partners are not eligible for this Program.

26. Extreme Networks reserves the right to change or cancel any aspect of this promotion at any time.

27. Extreme Networks reserves the right of refusal of any claim that, in Extreme Networks sole judgment, does not meet the specifications of the promotional offer.

28. This Program cannot be combined or stacked with any other Extreme Networks Wireless SPIFF program.

29. This offer is void where prohibited or restricted by law.

30. This offer does not apply to purchases made by distributors or resellers for use in their own networks or to sales made by one reseller to another reseller, whether the purchase is intended for use in their own network or for resale.
