interested parties conforming to pre-qualification as mentioned in this document for

providing Storage Facilities along with related services for various branches of Ahmedabad

Region of IDBI Bank Ltd, by Regional Office, 1st Floor Sigma Icon, Opp. Medilink

Hospital, 132 ft. Road, Shivranjani, Satellite, Ahmedabad-380015 [hereinafter referred to as

“ The Bank “].

Interested parties [hereinafter referred to as “The Bidder” or ‘The Vendor’ or ‘ The

facility with good reputation and experience in providing and servicing storage facilities to

Financial Institution/Banks.

SECTION 1

Requirements

IDBI Bank is a company incorporated and registered under the Companies Act, 1956

(1 of 1956) and a Company within the meaning of Section 2 (20) of the Companies Act,

2013 having Corporate Identification Number L65190MH2004GOI148838 and a banking

company under section 5 (c) of the Banking Regulation Act, 1949 (10 of 1949). IDBI

Bank is also a scheduled bank as notified by the Reserve Bank of India (RBI) under the

Reserve Bank of India Act, 1934 and has been categorized under a new sub group "other

public sector bank". As on March 31, 2015, IDBI Bank had a network of approximately

1900 branches and approximately 3400 ATMs across the country.

Regional Office, Ahmedabad of IDBI Bank is presently situated at 1st Floor Sigma Icon,

Opp. Medilink Hospital, 132 ft. Road, Nr IOC Petrol Pump, Shivranjani, Satellite,

Ahmedabad- 380015. It controls 36 branches located in Ahmedabad and North Gujarat.

Many Records related to account opening/processing are generated in usual course of

business at branches/offices, which needs to be preserved. Bank is looking for Service

Providers who can provide such storage facility along with related services to shift and

safe keep some of its existing records as well as records which may be generated in

future.

Specification of Requirements

The Bidder selected as service provider shall be providing storage space along

with services as below:

1. The storage space should be a permanent structure constructed & maintained as per

due regulatory provisions & approvals.

2. The storage space should be available preferably within radius of 50 KMs from

IDBI Complex, C G Road, Ahmedabad. The distance from road through which

trucks & tempos can travel during any normal day to be considered.

3. The place should be easily accessible by public transport.

4. The facility should have 24 X 7 security guards, who shall ensure the documents

being taken out should be as per permission document issued by Bank’s authorised

signatory (list of authorised signatories would be provided and updated from time

to time).

5. All entrance/ exits of the space should be covered under CCTV camera. The CCTV

recordings should be maintained for at least 90 days. The area should be covered

under smoke detectors.

6. There should be provision of power backup for CCTV systems, smoke detectors &

emergency lighting. During the tenor of agreement CCTV system & smoke

detectors should be kept under warranty/ AMC to ensure their performance. Bank

reserves the right to get the CCTV system & smoke detectors checked or call their

service/ AMC records from time to time

7. Sufficient no. of gas / powder based fire extinguishers should be deployed at

location to prevent any fire. These extinguishers should be kept filled and should

be refilled before expiry.

8. There should be provision of receiving urgent retrieval permissions by emails from

email ids already intimated earlier.

9. Letters / retrieval orders/ gate pass based on which retrievals have been allowed

should be preserved for a period of at-least 5 years. One registers containing details

of all such retrievals should be maintained by the service provider.

10. Registers / logs should be maintained containing list of persons visiting the storage

along with time of entry & exit.

11. The access of staff of service provider to the area allotted to IDBI Bank should be

controlled. Visit to the area by any person related to service provider should not be

allowed except for genuine requirements like for housekeeping, maintenance etc.

Such person should not touch or open the boxes or the documents kept there.

Register of person visiting the area should also record all such entries.

12. There should be facility of incoming landline no. at the facility, through where one

can contact the Bank’s representative available at the site.

13. The security personnel at site should be well trained to control movement of

persons, documents and in fire fighting activities.

14. The box size would be as per banks prescribed norms and bank may change the

size of standard box any time solely at its discretion. The service provider should

not have objection to it.

15. If storage area is not at ground floor there should be working & well maintained

goods lift available from the place near where trucks can go.

16. The structure should have proper arrangement to keep it waterproof, damp proof,

termite proof, having proper drainage provision as per Municipal approval. The

facility including the place where truck could be parked and passage to storage

should be free from water logging, flooding/ inundation. This condition should be

maintained throughout tenor of the contract.

17. There should be regular (every quarter) pest control, rodent control, white ant

control and control of anything else which may harm the documents. Services of

reputed pest control service provider should be taken for the same and such

arrangement should be maintained throughout period of contract.

18. The whole area should be conducive of working for storage & retrievals. It should

be having proper arrangement of lighting with provision of emergency lighting in

case of power cut. Also, exhaust fans should be installed to arrange air circulation

as required.

19. Few times bank may undertake shredding & disposal of old documents at site.

Same should be permitted & supported by providing suitable space & electricity

connection without any cost. The documents taken out for disposal should also be

recorded

20. Bank shall pay on per square feet. The space will be measured by Bank’s technical

staff/ technical advisor before execution of the agreement.

21. Storage Services should be available on all working days of Bank. Storage timing

should match Bank’s working hours.

22. The Vendor shall allow any person, officers, and auditors or authorized representative

from the Bank to visit / inspect the Storage arrangement only after receipt of prior

written notice issued / given by the Bank.

SECTION 2

Eligibility criteria 1. The bidder may be an individual or a duly incorporated (registered as per Applicable

Law) entity, eligible & competent to provide the required facility & service.

2. The Bidder should have minimum 5 years of experience in storing and managing

physical records for Nationalized / Scheduled / Commercial Banks in India. The Bidder

should have registered office in India and shall submit the Certificate of Incorporation in

respect of this requirement.

3. In the last three financial years, the Bidder should have achieved satisfying average

annual financial turnover and also has good net profit consecutively, from their

business of records storage services rendered.

4. Vendors should not be under a declaration of ineligibility for corrupt and fraudulent

practices issued by the Tendering Authority. A Self-declaration Certificate should be

enclosed.

5. Storage building should be a permanent Construction, of preferably on minimum four

feet high plinth, with RCC / Strong and corrosion resistance modern metal roofing,

specially designed to protect Bank’s Records from fire, theft, pests, dust and having

proper drainage provision as per proper approval.

6. In this tendering process bidder should be represented by person whose all actions in

matter of this tender & subsequent contract should be binding on the bidder, such as

an individual should be represented by self or a PoA holder; a partnership firm by all

the partners or, by a partner eligible to bind all the partners by his acts as per

registered partnership deed/ PoA, a company by a PoA holder as per board

resolution. Wherever applicable, the Bidder should submit the certified extract of the

charter documents and documents such as a resolution/power of attorney/ partnership

deed (registered) in favour of the Person executing this Power of Attorney for the

delegation of power. (PoA should be made as per annexure IV)

7. The bidder should have valid & clear ownership/ irrevocable tenancy right to the

place/ building being offered. Such right should not end before 66 months from the

date of agreement and can’t be revoked by anyone. In case of tenancy arrangement,

the bidder shall arrange certificate from the landlord confirming irrevocable tenancy

rights.

8. If there is any loan or charge on the property NOC from lender/ charge holder along

with lender’s certificate that loan is fully regular & being repaid timely should be

furnished. Otherwise- owner’s declaration of property being free of any charge

should be provided.

9. Proposed storage being offered should be located preferably within 50 km distance

from the Bank’s C G Road branch at IDBI Complex, off C G Road, Near Lal

Bungalow, Navrangpura, Ahmedabad-380006.

10. The proposed storage space should be a permanent structure constructed &

maintained as per due regulatory provisions & approvals.

11. Vendor should certify that proper Municipal, Fire brigade, Shops & Establishment,

Police licenses have been obtained and able to produce whenever required by the

Bank.

12. The structure should have proper arrangement to keep it waterproof, damp proof

having proper drainage provision as per Municipal approval. The facility including

the place where truck could be parked and passage to storage should be free from

water logging, flooding/ inundation. This condition should be maintained throughout

tenor of the contract.

13. The facility should have 24 X 7 security guards, who should be well trained to

control movement of persons, documents and in fire fighting activities.

14. The area allocated to IDBI Bank should be separated by walls/ fencings from area

used by others. Also permanent board should be fixed indicating area allocated to

IDBI Bank.

15. There should be proper provision of racks, fire fighting infrastructure & CCTV to

meet the required services.

16. Service Provider must confirm and furnish their Business Continuity Plan, Disaster

Recovery Plan, Emergency Response Plan, Waste Management Policy, Safety

Manual and Standard Operating Procedure for record storage and services.

17. The vendor should have E.S.I.C., P.F. registration, Labour License and other statutory

certificate mandatorily required under the law. Photocopies of valid registrations,

certificate(s) and license should be furnished with the Tender.

18. Title of Space acquired by the Vendor should be legally managed by Vendor only.

Subcontracting the work is not permitted. Title of space should be clear and it

should be free from any encumbrances. Vendor should certify that all legal &

technical formalities are completed for this storage space.

19. Sketch Map of storage area with its location shall have to be furnished to the bank

20. Vendor should certify that proper applicable Municipal, Fire brigade; Shops &

Establishment, labour licenses and any other required regulatory approval/ permit/

license have been acquired and should be able to produce whenever required by the

Bank. All such permissions should be renewed periodically and held on record.

Tender Rejection Criteria

Even though the bidders meet the above qualifying criteria, they are subject to be disqualified

if they have:

a) Made misleading or false representations in the forms, statements and attachments

submitted in proof of the qualification requirements; and/or

b) Record of poor performance such as abandoning the works, not properly completing the

contract, inordinate delays in completion, litigation history or financial failures etc.

Any change in the structure or formation of the bidder after being technically qualified shall

not be entertained. The same will be considered as a breach and the bidder shall be

disqualified by the Bank and be rejected without any further notice.

SECTION 3 Tendering Process

Interested, Competent & Capable parties can submit their sealed tenders in two parts

viz Technical bid (Part I) & Price bid (Part II). Please refer requirements, eligibility

criteria, terms & conditions of the services in respective sections of this document.

Technical Bid

Cover forming Part I of the tender should be super scribed with the words

“Tender for storage facility along with related services –Technical Bid - <Bidder’s

Name>”

This will contain the followings:

a. Application for tender in annexure-I – {This document itself}

b. Details of the applicant in annexure – II

c. Details of the storage offered annexure – III

d. Security Deposit in an unsealed envelope

e. A set duly signed & stamped on all pages containing the original tender document

and additional addenda/ corrigenda or any other related information posted by The

Bank on its website in matter of the tender

f. Certified copy of PoA in favour of person(s) authorized along with related charter

documents.

g. Copy of sanction Building plan, completion certificate, layout of racks

h. Certificate from a chartered engineer regarding space being offered confirming

-its being fire resistant and that sufficient measures to control fire, pest, seepages &

leakages and any other risk for records in paper format.

- It should also certify that the structure and proposed usage are as per regulatory

approvals.

i. Copy of PAN, Service Tax Regn. No. & Shop Act license (as applicable)

j. Copy of ownership document of the premises / lease deed (lessors permission for

seb-letting / licensing out to IDBI Bank)

k. If there is any loan or charge on the property NOC from lender/ charge holder along

with lender’s certificate that loan is fully regular & being repaid timely.

l. Any other additional document which applicant intends to submit

Bank may also demand any other document or information or clarification during the

evaluation process or before awarding contract. Same should be supplied within period

specified by the Bank.

Price Bid

Cover – 2 should contain rates duly signed by the authorized person in the prescribed

format (Annexure- XI). The envelopes should be super scribed with the words.

“Tender for storage facility along with related services – Price Bid - <Bidder’s

Name>”

Overwriting/cuttings in anywhere in documents should also be authenticated under full

signatures by the same authorized person.

1. All the Covers containing the technical bid & price bid should be put in a single cover

(super scribing the words)

“Tender for storage facility along with related services - <Bidder’s Name>”

On front of this cover bidder should also mention contacts details of contact

person(S) in their organization regarding the bid viz name, address, contact numbers &

email id.

Sealed Tender should be submitted by dropping in the tender box kept for this

purpose during period and at location mentioned in document control sheet.

Revision of bids due to amendments/ addenda/ corrigenda etc by Bank after

submission of bids:

As besides the initial tender document, the Bank may post additional information/

Amendments/ Addenda/ Corrigenda/ Clarifications/ Responses to bidders’ queries

regarding the tender on its website. If any bidder needs to revise his submission:

- they may submit a letter giving

o list of documents being submitted afresh as part of technical bid, and

o list of documents to be ignored as part of earlier technical bid

o It should also have mention whether Price bid has to be revised. If same

has to be revised Price bid should be submitted in a separate sealed

envelope super scribing the words “Tender for storage facility along with

related services – Revised Price Bid - <Bidder’s Name> - Revision Sr.

<1/2/3…>”

o Documents other that price bid should be put in a separate envelope super

scribing “Tender for storage facility along with related services – Revised

Technical Bid - <Bidder’s Name> - Revision Sr. <1/2/3…>”

o All these documents should be placed in a sealed single larger envelope

super scribing “Tender for storage facility along with related services –

Revised Bid - <Bidder’s Name> - Revision Sr. <1/2/3…>”

o SECURITY DEPOSIT should not be submitted along with revision (as

same would have been submitted along with initial submission

- For any amendment/ addenda/ corrigenda from Bank’s side maximum one

revision can be filed by a bidder (if required consequent of changes by the Bank).

Such revisions would be acceptable only if consequent of the Bank’s action

necessity provide revised/ additional information, or there may be change in the

costing for the bidder.

The Vendor/s representative may be present at the time of opening of tenders. Date and

time of opening of Price Bid of technically qualified would be intimated separately by email

as furnished in Application.

Price bids of the agencies not satisfying the pre-qualification criteria (Part I) will not be

opened.

Please note the Bank reserves the right to accept or reject the lowest or all offers without

assigning any reason therefore.

The tenders submitted should be as per this document. Any conditional tender will be

summarily rejected.

In regard of tendering process followings should be noted

i. All pages of each application, annexure & enclosure should be authenticated with

full signature & seal.

ii. Normally overwriting/ corrections should be avoided. However, if any should must

be authenticated with full signature. Bank reserves the right to reject any bid due to

improper authentication or ambiguity due to overwriting/ correction.

iii. All costs and expenses (whether in terms of time or money) incurred by the Bidder

in any way associated with or incidental to the preparation and submission of

responses/Bids, including but not limited to attendance at meetings, discussions,

demonstrations, etc. and providing any additional information required by Bank,

will be borne entirely and exclusively by the Bidder. IDBI Bank shall in no case be

held responsible or liable for such costs, regardless of the conduct or outcome of the

biding process including but not limited to cancellation / abandonment / annulment

of the bidding process.

iv. The Bidder is expected to examine all instructions, forms, terms and specifications

contained in the tender document Bid shall be deemed to have been made by the

Bidder after careful study and examination of the tender, with full understanding of

its implications. Each Bidder should, at its own costs without any right to claim

reimbursement, conduct its own investigations, analysis and should check the

accuracy, reliability and completeness of the information in this tender document

and wherever felt necessary obtain independent advice. The Bid should be precise,

complete and in the prescribed format, as per the requirement of this tender. Failure

to furnish all information required or non-submission of a Bid in accordance with

the tender document in each and every respect will be at the Bidder’s risk and may

result in rejection of the Bid for which IDBI Bank shall not be held liable or

responsible. Any decision taken by IDBI Bank as to completeness of the Bid or

rejection of any / all Bid(s) shall be final, conclusive and binding upon the Bidder(s)

and shall not be question / challenged by the Bidder(s).

v. The tender document is intended solely for the information of the party to interest in

bidding. Any party may notify the Bank of any error, fault, omission, or

discrepancy found in this tender document as pre-bid query on or before the last

date of submission of pre-bid query by email.

vi. IDBI Bank reserves the sole right to amend / modify the tender document &/or

process and/or to include any addendum to this tender document. The Bidders shall

not claim as a right for requiring IDBI Bank to do the aforesaid.

vii. At any time before the deadline for submission of Bids, IDBI Bank may, for any

reason whatsoever, whether at its own initiative or in response to a clarification

requested by prospective Bidders, modify this tender document &/or process and all

such modifications shall be binding on them.

viii. Further to this document any information/ Amendments/ Addenda/ Corrigenda/

Extension of Dates/ Clarifications/ Responses to bidders’ queries regarding the

tender shall be posted on the Bank’s website. Any change due to such posting on

website shall be applicable & binding on all bidders.

ix. If required, in order to allow prospective Bidders reasonable time, in which, to take

the amendment/addendum into account in preparing their Bids, IDBI Bank at its

sole discretion reserves the right (but shall not be bound) to extend the deadline for

the submission of Bids. However, no request from the Bidder, shall be binding on

IDBI Bank for the same. The decision of IDBI Bank shall be final, conclusive and

binding on all the Bidder(s) and shall not be questioned / challenged by the

Bidder(s).

x. Notwithstanding the above, IDBI Bank in its sole discretion, may amend /modify

the tender after the deadline for submission of Bids and in such an event IDBI Bank

shall extend the deadline so fixed for submission of Bids.

xi. The document is not recommendation, offer or invitation to enter into a contract,

agreement or any other arrangement, in respect of the Services to be rendered/

Scope of Work to be performed herein. The provision of the Services is subject to

observance of selection process and appropriate documentation being agreed

between the Bank and Successful Bidder(s) as identified by the Bank, after

completion of the selection process as detailed in the tender document.

xii. The application, price bid and all certifications need to be on the letter heads of the

Bidders/Clients of the Bidders.

Technical Evaluation: Technical bids shall be opened at place & time mentioned in

document control sheet. Representatives of bidders (maximum 2 from a bidder) may be

present during opening.

Proposals not conforming to the specifications may be rejected summarily. Any

incomplete or ambiguous terms/conditions will disqualify the offer.

The Bids will be evaluated on the basis of information/documents submitted by the

Bidders. As a part of evaluation process of Technical Bids, the Bank may also inspect the

Bidder’s premises. The Bank, at its sole discretion, may engage technical consultants for the

purpose.

The Bank at its discretion may call upon the Bidders to provide additional

information & or documents within timeframe provided by the Bank.

Date, time & venue of opening of commercials bids will be informed to technically

qualified vendors separated by emails to email ids of authorised persons and contact persons

mentioned by them in annexure-I.

IDBI Bank is not bound to accept the lowest or any Bid and has the right to reject

any or all Bids without assigning any reason whatsoever. IDBI Bank also reserves the right to

re-issue / re-commence the Bid process. Any decision in this regard by IDBI Bank shall be

final, conclusive, and binding on the Bidders.

SECTION 4

Terms & Conditions of the services

1. The tenure of the contract will be for 3 years at the fixed rate. Thereafter

arrangement can be extended on mutually agreed terms.

2. Security Deposit amount paid by a bidder is not transferable in favour of

other party/bidder

3. If further extension is not mutually agreed upon, still the Bank will have

right to continue with the facility on same terms & conditions for further 6

months.

4. The service provider will have to arrange extension of performance security

till the date contract / arrangement is extended as per bank’s discretion.

5. No additional charges shall be payable after Bank vacates the space after end

of agreement or by terminating the agreement.

6. Bank will also have option to surrender spaces in parts if agreed mutually.

7. The successful bidder will be issued offer letter, which should be accepted

unconditionally within 7 days of issuance of the letter.

8. Within 15 days of acceptance of the offer, the selected bidder shall be

required to execute service level agreements, indemnity bond and other

documents, as may be required in the form and manner acceptable to the

Bank. The incidental expenses of execution of Contract & indemnity

including but not limited to payment of proper stamp duty shall be borne by

the Successful Bidder

9. Bank can terminate the contract by giving 90 days notice without assigning

any reason. However, the service provider can terminate the contract by

giving minimum180 days notice.

10. Any delay by the Successful Bidder in the performance of its contractual

obligations, which the IDBI Bank in its sole discretion may adjudge, shall

render the Successful Bidder liable to any or all the following sanctions:

i. Termination of the Contract for default

ii. Forfeiture of its security deposit

11. In case of deficiency of services Bank reserves the right to terminate the

contract without any notice and reserves right to recover the liquidated

damages from the Security Deposit or any amount payable by IDBI Bank to

the bidder / service provider

12. Tender without Security Deposit amount shall not be accepted. Security

Deposit will not carry any interest.

13. Security Deposit for unsuccessful bidders would be returned within 30 days

of finalization of the Vendor for performing the work.

14. The Bidders should agree to indemnify and hold the Bank harmless from all

losses, claims, damages, costs, taxes, duties, additions, penalties, interest

charges and expenses of any kind to which the Bank may be subjected to on

account of any proven warranty representations, unauthorized acts, fraud,

deed or thing done by Vendor & its employees, officers, agents,

subcontractors and Vendor will be liable for consequent damages that the

Bank may suffer.

15. Bank on its discretion can use the services for any of its office &/or

branches.

16. Throughout the period of contract the condition of the storage along with

amenities therein should be maintained in condition which should be

required for fulfillment of ‘Specification of Requirements’ as mentioned in

section -1.

17. Bidders shall allow & facilitate any person, officers, auditors, regulators or

authorized representative from bank to visit/inspect the Storage arrangement.

18. Vendor should comply with applicable Central, State and local laws,

ordinance, regulations in performing its obligations including the

procurement of licenses, permissions, certificates, etc. payment of taxes, as

required.

19. By applying for the tender the bidder confirms that they are having all

requisite licenses, registration and permissions etc required under the

applicable laws for carrying out this activity and would keep them renewing

throughout the period of contract. They shall also be required to obtain any

additional license, permission, registration etc if due to change in law or

situation same is required to carry out the services.

20. The arrangement will be Principal to Principal. The staff / manpower

engaged by the service provider shall not have any recourse on IDBI Bank

or any of its employees. The Service Provider should comply with all the

Labour laws prevailing and as applicable from time to time.

21. The service provider selected should agree to meet the personnel of the

client periodically or as and when called upon to review its performance.

22. The service provider selected shall not assign the agreement and or any of its

obligations under this agreement to any third party without the prior written

consent of the Bank.

23. Bidders should acknowledge that during tendering or in connection with the

services to be performed under the contract all tangible and intangible

information received, obtained or disclosed, including all information,

documents and data shall be considered to be confidential and proprietary

information, if explicitly stated otherwise.

24. All the documents stored with the service provider shall be treated as

confidential and should not be accessed, copied, disclosed or distributed to

anyone including the owners, staff or agents of the service provider.

25. In the event of any misuse, Document/data lost or any reasons thereof which

could incurred a any type of loss to the Bank, The Bank reserves the right to

take necessary action including inter alia, but not restricted to deducting a

suitable amount from the monthly bill or recovering from other amount

payable to service provider by IDBI Bank or Security Deposit.

26. Bills will be submitted to our office on Monthly basis on completion of

particular month. Bank will process the bill in due course and payment will

be settled. Bank shall deduct the tax at source at the prevailing regulations.

Bank in turn will issue TDS certificate to the vendor by financial year

ending. A vendor has to make arrangement to collect the TDS certificates

from bank.

27. Payments shall be made by electronic mode only. For the same the selected

service provider shall be having an account with IDBI Bank & the details

thereof shall be mentioned on the invoices.

28. The bills should normally be submitted within 5 days of end of month.

Normally bills are settled within 30 days of its submission. However, no

interest / penalty would be admissible for the time taken in payment.

29. On termination of the agreement or on expiry of the period of this

Agreement, Vendor shall allow retrieval of all the records in its possession

to the designated authorised official of Bank. Any additional charge for

allowing such retrieval should not be demanded.

30. All disputes or differences, whatsoever, arising between the parties out of or

in relation to the terms and conditions, meaning and operation or effect of

this tender Document or breach thereof shall be settled amicably. In case

they are not able to settle the disputes or differences between them amicably,

the same shall be settled by arbitration in accordance with the Indian Laws

relating to arbitration viz Arbitration and Cancelation Act, 1996 and the

award made in pursuance thereof shall be binding on the parties. The

Arbitrator/Arbitrators shall give a reasoned award. Each Party to the dispute

shall appoint 1 arbitrator each and the two arbitrators shall jointly appoint

the third or the presiding arbitrator. In case, the Bidder/Successful Bidder

fails to appoint its arbitrator or any conflict in the appointment of the

arbitrator, sole arbitrator appointed by IDBI Bank will arbitrate the matter

and decision of such arbitrator shall be binding on the parties. The

arbitration proceedings shall be conducted in English language. Each Party

shall bear the cost of preparing and presenting its case, and the cost of

arbitration, including fees and expenses of the arbitrators, shall be shared

equally by the Parties unless the award otherwise provides. Any appeal will

be subject to the exclusive jurisdiction of courts at Ahmedabad.

31. Storage area should be insured against fire, flood, cyclone and other natural

calamity besides theft, burglary etc. and the service provider will bear the

cost of such insurance and any loss/ damage and the copy of the policy shall

be shared with the Bank from year to year basis.

32. Storage should be available on all working days of Bank. Storage timing

should match Bank’s working hours. If required Bank the service provider

shall be required to extend services on holidays also.

33. If a Force Majeure situation arises, the Service provider shall promptly

notify IDBI Bank in writing of such conditions and shall serve the notice on

IDBI Bank within 15 (fifteen) calendar days from the date of happening of

Force Majeure and also submit all necessary proof to the satisfaction of IDBI

Bank and the time when the Service provider is likely to resume its

obligations. IDBI Bank shall decide the happening of the Force Majeure and

the decision of IDBI Bank shall be final, conclusive and binding on the

Service provider. Unless otherwise directed by IDBI Bank in writing, the

Service provider shall continue to perform its obligations under the Contract

as far as it is reasonably practical, and shall seek all reasonable alternative

means for performance not prevented by the Force Majeure event. The

decision of IDBI Bank in deciding whether the event is force majeure or not,

is at the sole discretion of IDBI Bank and binding on the Service provider. In

such a case, the time for performance shall be extended by IDBI Bank (but

shall not be bound to) by a period(s) not less than the duration of such delay.

If the duration of delay continues beyond a period of one month, IDBI Bank

and the Service provider shall hold consultations with each other in an

endeavor to find a solution to the problem and in the event of not finding a

solution, IDBI Bank shall be entitled to terminate the Contract without being

responsible or liable to any damages. Notwithstanding the above, decision of

IDBI Bank shall be final and binding upon the Service provider.
