I: Instruction to Bidders

1. The request for quotation (RFQ) document can be downloaded from July 21, 2020 to July 30, 2020 (till 01:00 PM) from the tender page of the Institute’s website (www.icsi.edu/tender) and/or Central Public Procurement Portal (CPPP) (https://eprocure.gov.in/epublish/app) for which bidder would be required to enclose a demand draft of Rs.236/- (Rs.200/- + 18% GST) (non-refundable). 2. The sealed quotations are to be submitted in prescribed format on the business letter head of the bidder or in the enclosed bid format duly stamped, signed and dated on each page by the bidder. Details/supporting documents wherever applicable, if attached with the quotation must be duly authenticated by the bidder. No over-writings shall be accepted unless authenticated with full signature of the bidder.

3. The quotation to be put in a sealed envelope duly super scribed, “Quotation for

Comprehensive Annual Maintenance Contract of EPABX systems installed at ICSI

House, 22, Institutional Area, Lodi Road, New Delhi-110003 and ICSI Houses at C-36

& C-37, Sector 62, Noida 201 309”, should be addressed to The Secretary, ICSI and

sent at the Institute’s address given below either by courier/registered post/speed post/or

by dropping in the tender box placed at below address so that it reaches on or before July

30, 2020 by 2:00 PM.

Quotations received after the stipulated date and time shall not be entertained. The

Institute shall not be liable for any transit delays what so ever and quotations received

after the stipulated time/date are liable to be rejected summarily without giving further

notice to the bidder.

Note: The password protected quotation soft copy (complete in all respect) is also to be submitted by the bidders through downloadable link and such download link is to be shared on the following email ids: [email protected]. The quotation soft copy has to be password protected (Combination of six characters consisting of Alphabet, numeric, special character). The password need not be sent along with submission of quotation. The password to be shared by bidders only when it is sought from the bidders by ICSI through email/written communication. The bidders who submit their quotation without password as directed, the ICSI may disqualify their quotation without any further notice to the bidder. In such case, their quotation may not be evaluated further.

4. The quotations shall be opened on July 30, 2020 by 3:00 PM. in the Institute of Company Secretaries of India at ICSI House C-36, SECTOR 62, NOIDA 201309, in the presence of those bidders who wish to be present. In view of emergent situation which has arisen due to pandemic of Coronavirus (COVID-19) in India, ICSI may decide to open the quotations on electronic mode. Mode, Date & time of opening of quotations will be informed through the e-mail id those who requests for the same and also be notified on the on ICSI’s website (www.icsi.edu) and/or Central Public Procurement Portal (CPPP) (https://eprocure.gov.in/epublish/app). No separate communication will be sent in this regard through any other mode of communication. In the event of due date being a closed holiday or declared Holiday for ICSI-HQ / Central Government offices, or due to emergent situation which has arisen due to pandemic of Coronavirus (COVID-19) in India, the due date and time for opening of the quotations can be changed on the sole discretion of ICSI which will be notified only at the ICSI website (tender page).

5. For implementation of GST in ICSI, Firms which have not migrated to or registered with

GST regime will not be able to participate in any tender/RFQ of this Institute. Any offer

received from the firms/bidder without GST registration details will be summarily rejected.

6. Bidders eligibility criteria:

a. Average of the annual turnover of the bidder for the last 3 years (FY 2018-19, 2017-18, 2016-17) should not be less than Rs. 3.75 lakhs. (Attach Copies of duly audited balance sheets and profit and loss Account for FY 2016-17 and FY 2017-18 and FY 2018-19).

b. Bidders must have GST registration and PAN. (Please attach self-attested photocopy of the documents).

c. The bidder must have authorisation from the Original equipment Manufacturer to take up AMC/service contract on behalf of the OEM of the EPABX i.e. M/s Siemens, now M/s Unify.

d. The bidder must have their own service centre/operating office set up in Delhi/NCR and they should have complete tools for support /repair of EPABX equipment and peripherals. (Physical inspection may be done by officials).

e. The Bidder must have at least 3 years’ experience of providing similar maintenance service in reputed establishments with full satisfaction of the client ended as on RFQ/tender date. (Please enclose certificates / work orders from the previous or existing clients).

f. Self-attested undertaking that the firm has never been black listed by any Government Department / Ministry / Organization / PSUs / Autonomous bodies / Statutory bodies etc. (Self-declaration from the bidder in company letter head, signed by authorized signatory).

g. Bidder must have sufficient Technical & supervisory staff proficient in managing the RFQ/tender service (Please enclose undertaking on bidder’s business letterhead signed by the authorized signatory).

The bidder must comply the above mentioned eligibility conditions. If any bidder does not fulfill

the same, they will be technically rejected.

7. Duly filled in and signed Bidder’s details, Declaration & Acceptance of Terms and Conditions, as per Performa enclosed in Annexure – A.

8. Correction and overwriting in the quotation should be avoided. Under the unavoidable circumstances any correction or/and overwriting must be authenticated by putting bidder’s seal and signature otherwise the quotation is liable to be rejected.

9. The Bidder are required to study the Institute’s EPABX system as per the

configuration/specifications/working condition while quoting for the maintenance charges for the same.

10. Prices quoted should be FOR Institute premises and should be all inclusive of statutory

taxes, fees, cesses, duties, levies, charges, surcharges and other components, etc.

except GST which is to be shown separately in the quotation by the bidder.

11. Bidder has to submit an Earnest money of Rs.2,500/- (Rupees Two Thousand and Five Hundred only) along with the quotation by way of a demand draft of Rs.2500/- drawn in favour of The Institute of Company Secretaries of India, payable at New Delhi. The bidder can also make online payment using following online link : “https://apps.icsi.edu/TenderApp/” and enclose the receipt of online payment generated by the system with the quote. The tender/Quotation not accompanied with earnest money summarily shall be rejected. The EMD of the successful bidder shall be refunded after receipt of Performance Security. The earnest money of the unsuccessful bidders will be refunded without any interest/bank commission/collection charges after the order has been issued in favour of successful bidder. The bidders having valid registration with NSIC/MSME may avail exemption from submission of EMD but must enclose valid NSIC / MSME certificate/document insteadd of EMD demand draft. (Note: The bidders having valid registration with NSIC/MSME may avail exemption

from submission of EMD but must enclose valid NSIC / MSME certificate/document

in envelope No. 1 instead of EMD demand draft. However, all bidders irrespective

of their registration with NSIC/MSME have to submit the requisite Tender/RFQ Fee).

12. The EMD of the bidder shall be forfeited in the following circumstances:- the bidder

withdraws its bid; (i) the bidder does not accept the Purchase / Work Order; (ii) the bidder fails to supply goods / services as per the terms of the quotation

and Purchase / Work Order. (iii) any other justified reasons e.g. misleading or wrong information in the Bid,

violation of the terms and conditions of the Tender/RFQ, involvement in forming ring / cartel, submission of multiple bids in different names etc.

13. Bid Validity: Price quoted must be valid for at least 120 days from the date of opening of

the technical bids.

14. Bid Evaluation:

ICSI shall have the right to assess the competencies and capabilities of the bidder by going

through the eligibility criteria /credentials given in the Bid/quotation and on the basis of

such credentials, ICSI may reject the candidature of the Bidder without assigning any

reason.

15. The Institute reserves the right to accept or reject any or all the bids/quotations including

the lowest bid/quotation(s) without assigning any reason at its sole discretion and the

decision of the Institute will be final and binding on all concerned. The Institute also

reserves its rights to cancel the whole tender/RFQ process at any stage without

assigning any reason whatsoever.

16. At any time, prior to the date of submission of bids, ICSI may, for any reason, at its own initiative modify tender/RFQ document by bringing out addendums/corrigendums before the last date of submission of the bid. The addendums/corrigendums shall be notified on ICSI’s website (www.icsi.edu) and/or Central Public Procurement Portal (CPPP) (https://eprocure.gov.in/epublish/app). The addendums/corrigendums will be binding on all the Bidders.

17. The vendor who has not performed as per terms & conditions of the ICSI contract in respect of any earlier contract at ICSI, may not be considered for participation in this RFQ/tender.

II: Terms and conditions of the Contract

1. Comprehensive AMC shall be for a period of three (03) years. However, Institute at its

discretion, can terminate the contract without citing any reason at any point of time by giving three (03) months’ notice. In case of termination, Institute will be liable to pay pro-rata amount to the vendor only for the period for which the AMC services availed by the Institute. On mutual consent, contract may be extended for a further period of two years on the same rates, terms and conditions.

2. The EPABX systems (Make : Siemens, now M/s Unify) are installed at ICSI House, 22, Institutional Area, Lodi Road, New Delhi-110 003 and ICSI Houses at C-36 & C-37, Sector 62, Noida 201 309. The selected vendor will be required to maintain the system in the mentioned location/site(s).

3. The vendor has to visit the site periodically for preventive maintenance of the system. 4. The term “maintenance” implies comprehensive maintenance which will cover

maintenance, repair and/or replacement of parts, components or modules as required and which have been caused due to any manufacturing defect in the equipment. This shall not cover the defects arising due to any external damage, seepage of water/liquid, natural calamity or any burnt cases etc. The vendor has to ensure maintenance by using genuine spare part from the OEM.

5. The vendor will be responsible for the trouble free integrated working of the EPABX

system. 6. Annual maintenance charges will be paid on quarterly basis at the end of each quarter for

the preceding quarter and the rates quoted shall remain valid for the whole duration of the contract period.

7. Response Time: One business day. 8. Resolution Time: After response time the resolution time is 24 working Hrs. 9. Escalation matrix up to the level of CEO must be provided with phone numbers and e-mail

addresses of all personnel in the matrix.

10. Payment of any kind what-so-ever will not be made to the vendor except the contracted

price mentioned in the work order. 11. Prices quoted should be for Institute premises and should be all inclusive of statutory

taxes, fees, cesses, duties, levies, charges, surcharges and other components, etc. except GST which is to be shown separately.

12. During the contract period, any hardware/equipment under AMC may be removed from the contract as per the requirement of the Institute and the same will be informed to the vendor through a formal communication. In such cases, the amount against the removed hardware from AMC will NOT be invoiced by the firm from the date of the Institute’s communication. Similarly, any additional hardware may be added under AMC during the contract period at the AMC contract rate of the respective hardware. In case the rate for the respective hardware is not available in the contract, AMC for the same may be awarded at a mutually agreed rate. The invoice for such hardware under AMC will be invoiced by the firm from the date of acceptance of the Work Order for the same.

13. The successful bidder has to submit the security deposit /performance guarantee from nationalized bank of equivalent amount of 5% of the contract value within 10 days of issue of order on awarding the contract but before execution of the agreement, to cover any loss or damage caused to or suffered by the Institute due to acts of commission and omission by the successful bidder or any failure on the part of the successful bidder in fulfilment of terms and conditions of the contract and conditions contained in the agreement. The Bank Guarantee shall have to remain valid for the entire duration of the Contract plus three months beyond the completion of contract period. The successful bidder shall not be entitled to any claim or receive any interest on the amount of performance guarantee. The EMD of the successful bidder will be refunded after submission of the performance Guarantee/Security Deposit. Successful bidder may also submit the performance guarantee in the form of demand draft payable to ICSI at New Delhi.

The successful bidder having valid registration with NSIC/MSME on the date of

submission of bid/quotation, are also required to submit requisite security

deposit / performance guarantee.

14. Payment Terms

Maintenance charges will be paid on quarterly basis at the end of each quarter for the

preceding quarter against the bill only and the rates quoted shall remain valid till three

years from the start date of contract.

Payments shall be subject to deductions of any amount for which the Bidder is liable

under the agreement against this contract. Further, all payments shall be made subject

to deduction of TDS (Tax deduction at Source) as per the prevailing income- Tax Act

and any other taxes as on the date of invoice submission and/or payment date.

15. Payment of Taxes

The vendor shall be responsible for and shall pay all taxes, duties, assessments or other charges of any kind or nature whatsoever levied by any government or governmental body on or in connection with the Services including, but without limitation, all statutory levies, taxes, fee, duties, rate, charges, surcharges etc. and any other tax ("taxes") levied on service provided by the Vendor. ICSI may withhold from payments due to the

Vendor any amounts required with respect to the aforementioned taxes and to remit the same with the relevant authorities, in case of failure on the part of the Vendor.

16. Liquidated Damaged (LD): a. ½ per cent of total value of contract, for each day of delay, in case of services are

delivered either in full or partly within 7 days after the due date;

b. 1 per cent of total value of contract subject to maximum 10%, for each day of delay, in case of services are delivered either in full or partly beyond 7 days but up to 14 days after the due date;

c. Even after two (02) weeks of delay, if the vendor fails to deliver the goods and

services, ICSI may reject or accept the goods and services at its sole discretion after imposing applicable penalty and decide accordingly on approval of the competent authority.

17. Penalty: The vendor and the employees of the vendor shall be held responsible for guilty

of fraud, mischief, misappropriation or any other type of misconduct or breach of condition on the part of bidder or his employee.

i. Penalty for Deficiency in Service: The Secretary of the ICSI may impose penalty

as he finds appropriate on case to case basis based on the damage or loss or any

other inconvenience incurred to ICSI, including stopping the payment of bills of

respective service, if vendor fails to provide the desired service or making delay in

providing services or not able to provide services up to the satisfaction of ICSI.

ii. Penalty for Misconduct or Breach of Condition of Contract: The vendor and the

employees of the vendor shall be held responsible for guilty of fraud, mischief,

misappropriation or any other type of misconduct or breach of condition on the part

of vendor or his employee. The Secretary of the ICSI may impose for the aforesaid

misconduct or breach of condition on the vendor a penalty of minimum Rs.500/-

(Rupees five hundred only) to twice to the maximum damages and loss incurred to

ICSI, apart from the right to terminate the contract, blacklisting of vendor, forfeiture of

security deposit / EMD and claim damages.

18. The vendor shall ensure that all the relevant licenses / registrations / permission, which are/may be required related to the Services provided are valid during the entire period of the Contract, failing so will attract the appropriate penalties.

19. In case of any damage or loss caused to the Institute due to breach of term or condition of the RFQ/tender / contract, negligence, carelessness, inefficiency, fraud, mischief and misappropriation or any other type of misconduct of the Bidder or its staff, the Bidder shall make the loss good. The Institute shall have right to adjust the damage / loss suffered by it from the security deposit / earnest money deposit / bank guarantee and / or to charge penalty as decided by the Institute. Decision of the Institute in this respect shall be final & binding.

20. The vendor will provide all safety appliances i.e. gloves/gears/gadgets, tool kit etc. to the deputed personnel as per their requirement on duty while attending to fault rectification or routine maintenance or to take up preventive maintenance as and when required and follow all safety rules regulations and all statutory provisions. The cost for such aforesaid arrangement shall be borne by the vendor. No extra payment will be made for the same. Vendor must ensure that every deputed personnel is covered by adequate insurance

coverage to address any contingencies. The vendor shall be liable for accident, injury, losses due to any accident or negligence of their workers and shall also be liable to incur all the expenses in consequence thereof and Institute will in no way responsible for any damages arising out of this tender/work contract.

21. GENERAL:

(a) Law, governance and jurisdiction:

(i) Dispute Resolution: Any dispute, difference, controversy or claim (“Dispute”)

arising between the successful bidder and ICSI hereinafter jointly to be called

“parties” and singularly as “party” out of or in relation to or in connection with the

contract, or the breach, termination, effect, validity, interpretation or application

of this contract or as to their rights, duties or liabilities hereunder, shall be

addressed for mutual resolution by the authorized official of the parties. If, for any

reason, such dispute cannot be resolved amicably by the Parties, the same shall

be referred to the Sole Arbitrator who would be the Secretary of the Institute of

Company Secretaries of India or any other person appointed by him as Sole

Arbitrator. The provisions of the Arbitration and Conciliation Act, 1996 or any

statutory modifications on re-enactment thereof as in force will be applicable to

the arbitration proceedings. The venue of the arbitration shall be at New Delhi.

The cost of the Arbitration proceedings shall be shared equally by both the

parties. The language of the arbitration and the award shall be English. The

decision / award of the arbitrator shall be final and binding on parties to the

arbitration proceedings.

(ii) Law: This Tender/RFQ shall be governed in accordance with the laws of

Republic of India. These provisions shall survive the Contract

(iii) Jurisdiction: The courts of India at Delhi have exclusive jurisdiction to determine

any proceeding in relation to this Tender/RFQ. These provisions shall survive the

Contract.

(b) CONFIDENTIALITY: The successful bidder acknowledges that all material and information which has and will come into its possession or knowledge in connection with this agreement or the performance thereof, whether consisting of confidential and proprietary data or not, whose disclosure to or use by third parties may be damaging or cause loss to ICSI will all times be held by it in strictest confidence and it shall not make use thereof other than for the performance of this agreement and to release it only to employees requiring such information, and not to release or disclose it to any other party. The successful bidder agrees to take appropriate action with respect to its employees to ensure that the obligations of non-use and non-disclosure of confidential information under this agreement are fully satisfied. In the event of any loss to ICSI in divulging the information by the employees of the successful bidder, the ICSI shall be indemnified. The successful bidder agrees to maintain the confidentiality of the ICSI’s information after the termination of the contract also. The successful bidder will treat as confidential all data and information about the ICSI /Contract, obtained in the execution of this tender/RFQ including any business, technical or financial information, in strict confidence and will not reveal such information to any other party.

(c) SUB-CONTRACTING: The successful bidder will not assign or transfer and sub-contract its interest / obligations under this contract to any other concern / individual without the prior written consent of the ICSI.

(d) Statutory Compliance: The successful bidder will be required to comply with all statutory obligations from time to time applicable to this contract.

(e) Right to Black List: ICSI reserves the right to blacklist a party / bidder for a suitable period in case such party / bidder fail to honour his bid without sufficient grounds or found guilty for breach of condition /s of the contract or guilty of fraud and mischief and misappropriation or any other type of misconduct on the part of party(s) / bidder(s).

(f) Indemnity Clause: The successful bidder will indemnify ICSI against all statutory liabilities present and future arising out of this contract. In the event of violation of any contractual or statutory obligations, the successful bidder will be fully and solely responsible for the same. Further, in the event of any action, claim, damages, suit initiated against ICSI by any individual, law enforcement agency or government authority due to acts and omissions, the successful bidder will be liable to make good/compensate such claims or damages to the ICSI. As a result of the successful bidder action, inaction or any omissions, if ICSI is required to pay any damages to any individual, law enforcement agency or government authority, the successful bidder would be required to reimburse to ICSI such amount along with other expenses incurred by ICSI or ICSI reserves the right to recover but not limited to such amount from the payment(s) due to the successful bidder while settling its bills or from the amount of security deposit lying with ICSI. However, ICSI reserves its right to take legal recourse as permitted under law of the land. In case of any damage caused to the institution due to negligence, carelessness or inefficiency of staff of the vendor, the vendor shall be responsible to make good the loss. The ICSI shall have right to adjust the damage / loss suffered by it from the security deposit or / and to charge penalty as decided by the Institute. Decision of the ICSI in this respect shall be final & binding on the vendor.

(g) TERMINATION:

Either party may terminate this Agreement by giving a three (3) months’ notice in

writing to the other party for termination of agreement.

The ICSI without prejudice to any other remedy for breach of contract or fails to

discharge its obligation under this contract without sufficient ground or found guilty

for breach of condition(s) of the contract negligence, carelessness, inefficiency, fraud,

mischief and misappropriation or due to any other type of misconduct by the

successful bidder or by its staff or agent, by giving written notice of default, sent to

the vendor, terminate this contract in whole or in part:

i. If the agency fails to deliver any or all the services within the time period(s)

specified it the contract, or any extension thereof granted by the ICSI.

ii. If the agency fails to perform any other obligations under the contract.

iii. If the agency, in either of the above circumstances, does not remedy his failure

within a period of 15 days (or such longer period as the ICSI may authorize in

writing) after receipt of the default notice from the ICSI.

iv. Without any notice or on a notice period of maximum of 30 days.

v. Any pending or unresolved operational issues, performance, unpaid fees and any

other remedies shall be continued by the vendor during the period of the

termination notice and the same must be satisfied / completed before the

contract is terminated. The ICSI may also put in place any other vendor for

carrying out the remaining work and expenditure incurred on same shall be

recovered from the defaulting vendor.

(h) Force Majeure i) For the purpose of this Article, Force “Majeure” means any cause, which is

beyond the successful bidder control or that of the Institute, as the case may be, which both could not foresee or with a reasonable amount of diligence could not have foreseen, and which substantially affect the performance of the order, such as:-

- War / hostilities

- Riot or civil commotion

- Earth Quake, Flood, Fire, Tempest, Epidemics, Lightning or other natural physical

Disaster, Quarantine restricts and Freight embargoes

- Restrictions imposed by the Government or other statutory bodies, which is

beyond the successful bidder control or of the Institute, which prevent or delay the

execution of the order either by the successful bidder or by the Institute.

ii) If a Force Majeure situation arises, the successful bidder are required to promptly

notify ICSI in writing of such condition and the cause thereof within a period of

three (3) days from the date of happening of such an event requiring invocation

of this force majeure article. Unless otherwise directed by the ICSI in writing, the

successful bidder will continue to perform its obligations under this order as far

as is reasonably practical and shall seek all reasonable alternative means for

performances of this order.

The services/items indicated in Part “C” (Financial Bid) are tentative and may be

increased / decreased at the sole discretion of the Institute and the vendor shall have

no right to claim any minimum/definite/guaranteed volume of business.
