ii) Average annual financial turn over of last three years ending 31st March of previous years should be at least 30% of estimated cost, proof to be attached.

Annexure to Tender Notice

1. Sealed tenders in the prescribed format are required to be submitted in two parts. The contents of part I and part II shall be sealed in separate envelope and both envelopes shall be put in a single double sealed envelope with sealing wax. I. Sealed Envelope No.1 (Part I) Technical bid (other than price bid) shall

contain the following: - a) Earnest Money Deposit of Rs. 1904.00 in the form of Demand Draft from a

Nationalized Bank/Scheduled Commercial Banks in India drawn in favour of Hindustan Aeronautics Limited, Avionics Division, Korwa.

b) Following updated credentials/ certificates: (Subject verification). (i) All credential mentioned at point no.8 (Eligibility Criteria) of tender notice. (ii) Bank A/C details like bank name, address, A/C no. IFSC code for E-Payment.

This envelope shall be super scribed Envelope No. 1 – “Technical Bid “ for the Rate

Contract for Repair & Rewinding of Single phase motors.

II) Sealed Envelope No.2 (Part II) Price bid shall contain the following:- a) Priced copy of schedule -A (in original) containing priced Bill of Quantities duly filled in

and signed on each page by the Tenderer. b) No commercial or technical conditions or clarifications of any sort shall be indicated by

the tenderer in Envelope No. 2, otherwise, the tender shall be rejected. This envelope shall be super scribed Envelope No. 2 – “Price Bid“ for the Rate

Contract for Repair & Rewinding of Single phase motors. 2. The quoted offer should include all the applicable taxes including service tax and an amount of towards service tax will be withhold from the bills, which will be

reimbursed after furnishing the proof of payments already made for the same.

3. Tenderers are requested to submit tender in original duly filled in part I & part II in double sealed cover with sealing wax, addressed to Ch. Manager (Plant Maint), H.A.L, Avionics Division, Korwa. The name of work and reference to this tender notice is to be super scribed on the top cover in capital letters as under: -

at Korwa. HAL shall not be responsible for delay or non-receipt of documents submitted

by post/ courier by either side. 5. Tenders received late on account of any reason whatsoever and tenders in telegraphic

or facsimile transmission shall not be considered. The item rates quoted must be written in figures as well as in words against each item. In case of discrepancy between the two, those written in words shall take precedence. The item rate quoted should correspond to the “units” given under unit column.

6. The Tender shall be valid for a period of 90 days, from the last date of submission of the tender.

7. The following requirements shall be strictly complied with

(i) Tenderers shall sign all pages of the tender document accompanying the tender document before submission of the tender.

(ii) All tender documents shall be filled and signed and submitted in the original form

only, failing which tenders are liable to be rejected.

(iii) Tenderer shall ensure that their tender is dispatched well in advance, so that it reaches this office before the time & date stipulated in the tender documents.

8. Tenderers are advised to visit site to access work. 9. Work order will be awarded to L1 party on overall Grand Total basis.

10. HAL reserves the right to issue / accept any tender in part or in full or to reject any or all tenders without assigning any reason for the same. Issuance of tender documents shall not be automatically construed qualification of intending tenderers.

Note: HAL Avionics Division, Korwa is located 135 Kms from Lucknow by road via Jagdishpur

and Musafirkhana (HAL Korwa is 19 Kms from Musafirkhana on Musafirkhana- Amethi road). HAL Korwa is 28 Kms from Sultanpur on Sultanpur – Raebareli road; HAL Korwa is 06 Kms from Amethi Railway station on Lucknow – Varanasi Rail route via Raebareli.

04. Late tenders and conditional tenders are liable to be rejected. The company does not

bind itself to accept the lowest or any tender. 05. Tenderers are required to write the items rates in figure as well as in words against each

item. In case of any discrepancy between the two, those written in words shall take precedence. The rates to be inserted should invariable correspond to the items given under unit column. In exceptional cases only, the tenderers shall be called upon to clarify the unit/rates in relation to the extended total given under the amount column.

06. The quantities written against each items are only approximate and hence any reduction/increase thereof during the currency of the contract shall not vitiate the contract.

07. Tender will be kept valid for a period of three months from the date of opening of the tender or such further period as may mutually be agreed between the parties. 08. You are requested to attach a bank draft in favour of M/s Hindustan Aeronautic Limited

Avionics Division Korwa for Rs. 1904/- from any scheduled/ nationalized bank along with tender towards Earnest Money Deposit. Earnest Money Deposit in the form of bank draft is only acceptable.

09. The Hindustan Aeronautic Ltd., Avionics Division, Korwa reserves the right to reject any or all the tenders received or accepted or a part thereof without assigning any reason thereof. In the case of acceptance of a part of the tender, time for completion may also reduced to the extent considered appropriate by the accepting Authority.

10. If you have not already deposited with HAL a permanent security deposit, please furnish

the following documents and stipulated earnest money deposit along with tender to verify your suitability or other wise prior to entrusting the work failing which, your tender is liable for rejection. a) PAN No. b) Solvency certificate from the bankers c) If borne on the approved list in any other Govt. deptt./PSU, indicate category limit and

11. Quotations other than those called for in the enclosed tender form are liable for rejection. 12. The following requirement shall be strictly complied with the places provided for in the documents.

I) The tender should be signed, dated and witnessed in all the places provided for in the documents. ii) The tender should be accompanied by a certified true copy of the power of attorney in favour of the signatory to the documents. Name of work:- Rate Contract For Repair & Rewinding of Single phase motors.

Sealed tenders for the above noted work are hereby invited from contractors

experienced in the works of similar kind and magnitude. Tender will be received by Chief Manager (Plant Maint) up to 1400 hours on 15.05.15 and on the same day technical bid will be opened at 1430 hrs thereafter in the presence of such tenderers or their representative, as may wish to attend.

02. Tenders forms and other particulars regarding the proposed work can be obtained on any

working day between 0900 hrs to 1600 hrs. up to 13.05.15 on payment of the prescribed tender cost per set (in the form of Bank Draft in favours of HAL, Avionics Division Korwa)

(Amount nonrefundable). 03. Tender must be submitted in sealed covers and should be addressed to Chief Manager

(Plant Maint). The full name and address of tenderer and also name of the work should be written on the tender cover.

04. All entries in the tender documents should be in ink. Erasures and over writing are not

permitted. All cuttings, corrections, cancellations and insertions should be duly singed by the concerned tenderers.

05. Tenderers are required to sign each and every page of the tender documents including the

drawing attached there of. 06. In case of contracts unit rates should be quoted in words with reference to each item and

for all items shown in the attached schedule. These rates shall be for the finished work at the site. Amount of each item and the total page by page as also grand total amount of the whole contract should also be filled in by the tenderers. While quoting the rates in schedule “Ä” of quantities, the words only should be written in the next line or in the column given.

07. Quotation shown in annexure to schedule “Ä” are only approximate and are liable for

variation without entitling the contractor to any compensation for variations provided that the variation of any trade item of the contract does not exceed by more than ±50 percent and provided further the total value of the contract does not vary by more than ±10%/20%.

08. Any error in description, quantity or rate in schedule “A “ or any omission there from shall not vitiate the contract or release the contractor from the execution of the whole or any part of the work contained there in according to the drawings/ specifications or from any of his obligations under the contract. Any error in quantity, amount in schedule -A shall be adjusted in accordance with the followings: -

(a) In the event of discrepancy between description in words and figures quoted by the

tenderers, the description in words shall prevail.

(b) In the event of any error occurring in the amount of schedule “A “of bill of quantities as a result of wrong extension of unit rate and quantity, the unit rate quoted by the tenderers shall be regarded as firm and extension shall be amended on the basis of rates. Similar in the event of an error occurring in amount added to the total at the end of schedule “A “or on account of wrong extension of percentage quoted by tenderers, the percentage quoted by the tenderers shall be regarded firm and extension shall be amended on the basis of percentage.

(c) Any omission to include in the totals or to carry forward the price cost sums and or

provisional sum shall be corrected. (d) The total of the bill of quantities as above amended shall be carried over to Schedule

”A“. Similarly the total of various sections of schedule “A “as amended shall be carried over to the General summary and the tendered sum so altered shall for the purpose of the tender, be submitted for the sum originally tendered and considered for acceptance instead of the original sum quoted by the contractor.

(e) All errors in totaling in the amount column and in carrying forward total shall be

corrected. Before tendering, the tenderers are advised to inspect site of work and its environments and be well acquainted with the actual working and other conditions of contract, instructions to tenderers, drawings and specifications and all other documents which form part of the agreement to be entered into. Completed quotations should be submitted within the specified time and any clarifications required should be sought for well in advance.

09. In quoting the rate, the tenderers are advised to take into account all facts including any

fluctuations in the market rate etc. No claim will be entertained on this account after acceptance of the tender or during the currency of the contract.

10. The rate quoted in the tender shall remain valid for minimum three months from the date of

opening of tenders. 11. In the event of the tender being submitted by a partnership firm, the tender must be

signed separately and legibly by each partner of member of the firm or a person holding the power of attorney on behalf of the firm concerned. In later cases the copy of the power of attorney duly attested by a Notary Public must accompany the tender.

12. Every tender should be accompanied by an earnest money. This earnest money will be

refunded to the unsuccessful tenderers after the award of work is finalized. In the case of the successful tenderers, the earnest money will be retained as part of the security deposit and will be refunded only after completion of the work and expiry of the maintenance period as provided for in the tender documents.

The earnest money shall be in the form of a demand draft, drawn on any scheduled bank of India in favour of Hindustan Aeronautics Ltd., Avionics Division, Korwa. No other form of payment shall be accepted.

The earnest money is liable to be forfeited in case the Chief Manager (Plant Maint) feels that the tenderer is not bonafide or the tendering modified of revokes the tender during the period the tenders are kept open. The decision of the Senior Manager (Plant Maint) whether a tenderer is bonafide or not is final and conclusive and is binding on the tenderer.

13. a) The successful tenderer will be required to furnish security deposit for the fulfillment of contract. The security deposit shall be 10% of the original contract sum. This mount shall not be altered during the execution of work due to deviation, either plus or minus. Security deposit shall consist of two parts;

i) Performance Guarantee to be submitted at award of work, and ii) Retention money to be recovered from Running Bills.

b) Performance Guarantee should be 5% of Contract amount and should be submitted as Bank Guarantee (Format at performa C), DD or any other form of deposit stipulated in Tender Document within 30 days of receipt of letter of acceptance.

c) Retention Money should be deducted at 5% from Running Bills. Total of Performance Guarantee & Retention Money should not exceed 10% of Contract amount. However, Retention money recovered should not be less than 5% of final Bill value including Deviations if any.

d) 5% Performance Guarantee should be refunded within 30 days of the issue of the defect liability certificate (taking over certificate with a list of defects)/ Completion Certificate. Retention money should be refunded after Defects Liability period.

(The contractor shall, within 30 days of the acceptance of the contract or before start of work which ever is earlier as stipulated in acceptance letter, deposit the difference between earnest money paid and full security deposit by Bankers Demand Draft. For contracts exceeding Rs.10.00 lakh, bank guarantee may be accepted as security deposit as laid down hereunder. ) In respect of contract costing more than Rs. 10.00 lakh, a bank guarantee in the prescribed form is acceptable to HAL in lieu of security deposit, defect liability deposit. The earnest money deposit paid along with the tender by the contractor, whose tender has been accepted, will be adjusted towards security deposit with in 30 days of the acceptance of the contract or before start of work whichever is earlier. The contractor shall deposit the difference between the earnest money and the full security money deposit amount as

calculated above. Where the contractor has lodged a standing earnest money, he shall deposit the full amount of security deposit calculated as above within 30 says of acceptance of the tender or date of start whichever is earlier.

14. All compensation or other sums of money payable by the contractor to HAL on any account what so ever under the term of contract may be deducted from :-

(a) His security deposit Or

(b) From the interest arising on such security deposit. Or

(c) From any sum which may be due or may become due to the contractor from HAL. Or

(d) From any amount lying to the credit of contractor or payable to contractor by HAL for any reason what so ever.

15. The Hindustan Aeronautics Ltd. , Avionics Division, Korwa reserves the right to reject any

or all the tenders received or accept any tender or part there of without assigning any reason therefore. In case of acceptance of a part of the tender, time of completion may be reduced to the extent considered appropriate by the Accepting Authority.

16. Conditional and un-witnessed tenders containing absurd rates and amounts, tender which are incomplete or otherwise considered defective and tenders not in accordance with the tender conditions laid down by the accepting officer are liable to be rejected.

17. Tender not submitted in the prescribed forms are liable to be rejected.

18. The work must be completed within the specified period from the date of start stipulated in work order to commence the work or handing over the site to contractor which ever is later. Time is the essence of contract.

19 The General Manager, HAL, Avionics Division, Korwa shall be the Accepting officer here in

after referred to as such for the purpose of this contact.

20. The acceptance of the tender will rest with the General Manager HAL Avionics Division Korwa, who does not bind himself to accept the lowest tender and reserves to himself the Authority to reject any or all tenders received without assigning any reason .All tenders in which any of the prescribed conditions are not fulfilled or in any respect, are liable to be rejected.

21 .The successful tenderers will be required to sign an agreement on a form approved by the

owner for the fulfillment of the contract. But the written acceptance of the owner of a tender will constitute a binding agreement between the owner and the contractor, whether such a formal agreement is or not subsequently entered into.

22. The successful tenderer has to submit indemnity bond of required value on a stamp paper

of Rs.100/- for taking out the chambers and carry out the work at Vendor’s place.

CHAPTER -1

General Condition of contract 01- Definitions etc:-

In these General Conditions of Contract the following terms shall have the meaning here by assigned to them except where the context otherwise requires:-

(a) The ‘CONTRACT’ means the documents forming the tender and acceptance thereof together with all documents referred to therein including General Conditions of Contract, special conditions of contract, Schedule “A’B”C” & D attached to the tender, instructions to tenderers, summary of tender and acceptance of contract the MES schedule, general specifications, particular specifications and the drawing and correspondence with the contractor from submission of tender till its acceptance. All these documents as applicable taken together shall be deemed to form one contract and shall be complementary to one another.

(b) The ‘TENDER DOCUMENTS’ means the form of tender, the applicable schedule,

General conditions of contract , instructions to tenderer and the technical specification and / or drawing as given to contractors on payment for the purpose of preparing their tenders.

(c) The ‘WORK” means the work described in the tender documents, in individual work order

and /or accompanying drawings and specifications as may be issued from time to time to the contractor by the Chief Manager (Plant Maint)/ Sr. Manger/ Manager, within the powers conferred upon them including all modified or additional works and obligations to be carried out either at site or at any factory or workshop or other place as required for the performance of the contract.

(d) The” SITE “means the lands and/ or other places on in/into or through which the work is

to be executed under the contract or any adjacent land path or street which may be allotted to or used for the purpose of carrying out the contract.

(e) The ‘CONTRACTOR’ means the individual or firm or company whether incorporated or not undertaking the work and shall include the legal personal representatives of such individuals or the persons composing the firm or company or the successors of the firm or company and the permitted assignee of such individual or firm or company.

(f) The letters Sr. Mgr. / Ch. Mgr. means Senior Manager/ Chief Manager who administer the

contract. The Engineer-in-Charge means the Deputy Manager or Manager appointed by the Sr. manage/Chief Manager to execute the works or part of the works.

(g) The “Contract sum” means the sum accepted or the sum calculated in accordance with the prices accepted in tender and/or the contract rates payable to the contract or for the entire execution and full completion of work.

(h) The ‘FINAL SUM’ means the actual amount payable under the contract by the Hindustan Aeronautic Ltd. to the contractor for entire execution and full completion of the work.

(i) The “Date for completion” is the date or dates for completion of the whole or any part of the work as set out in or ascertained in accordance with the individual work order or the tender document or any subsequent amendment thereto as provided in the conditions 7 and 9 here in - after.

(j) ‘DEVIATION ORDER’ means an order given by the Ch. Mgr /Sr. Mgr./Mgr. to affect an alteration, addition, or deduction, which does not radically affect the scope or nature of the contract.

(k) ‘EMERGENCY WORKS’ means any urgent measures which , in the opinion of the Ch.

Mgr /Sr. Mgr. / Mgr become necessary during the progress of the work to obviate any risk of accident or failure which become necessary for security.

(l) Hindustan Aeronautics Limited, having its registered office at Bangalore, here in after referred to as HAL, shall mean the Board of Directors, Chairman, Managing Director, General Manager Korwa Division and other officer of the said company including the Ch. Mgr /Sr. Mgr. / Mgr. authorized to invite tenders and enter into contracts for works on behalf of HAL, Avionics Division, Korwa. “Accepting officer “means the duly authorized officer on behalf of the Hindustan Aeronautic Limited. The Ch. Mgr /Sr. Mgr. / Mgr. if specifically authorized by the Chairman /Managing Director or General Manger shall exercise the same powers in the respect of contract concluded by the Chairman or managing Director or the General manager on behalf of HAL and subject as otherwise provided in the contract, all notices to be given and all actions to be taken on behalf of HAL in respect of such contracts, may be given or taken by the Ch. Mgr /Sr. Mgr. / Mgr..

(m)‘I.S. means “Indian standard “as issued by Indian Standards Institution, ‘B.S.‘ means the

”British Standards” as issued by British Standards Institution, “I.S.D.” specifications means the edition of specifications issued by the Ministry of Industry and Supply, Government of India.

Wherever the above mentioned specifications are referred to in the specifications and /or Work order it means the edition, with all amendments, current at the date of issue of the tender document.

In the case of measurement and Term contracts “Specifications” means those contained in the M.E.S. schedule together with any amendments, at authorized thereto by the tender document. ‘Drawings “refer to those accompanying the tender documents, current at the date issue of the tender to therein.

(n) M.E.S. Schedule’ means the Military Engineer Service ‘Standard Schedule of rates

1996(Part I Specification, and part II Rates) Zone C’ with all amendments, current at the date of issue of the tender document.

(o) “Approved and directed’ means the approval or direction of the Ch. Mgr /Sr. Mgr. / Mgr.

Or persons deputed by him for the particular purpose.

(p) A ‘Week’ means seven days without regard to the number of hours worked or not worked in any day in that week.

Chapter -2

Scope of the contract 02- Heading to the conditions;-

The heading to those conditions shall not affect the interpretation thereof.

03- Contract Conditions :-

The Accepting officer shall furnish to the contractor on demand “FREE OF COST ‘one copy of the signed agreement preamble to General and technical specifications schedules etc.

04. Work to be carried out:-

The Rate Contract for Repair & Rewinding of Single Phase Motors is to be carried out as per schedule A of specification in stipulated time beyond which penalty will be levied.

05. Discrepancies and Adjustment of Errors:- The several documents forming the contract are to be taken as mutually explanatory one of another. In the case of discrepancy between schedules Á “the bills of Quantities” and the specifications and /or the drawings, the following order of precedence shall be observed: (a) Description in schedule ‘A’/Bills of quantities (b) Particular specification (c) General Specification

If there are varying or conflicting provisions made in any one documents forming part of the contract, the Accepting officer shall be the sole deciding authority with regard to the intention of the document and his decision in this respect shall be final and binding. Any error in description, quantity or rate in schedule Á’ and Bills of quantities, or any omission there from shall not vitiate the contract or release the contractor from the execution of the whole or any part of the works comprised therein according to the drawing and specifications or from any of his obligations under the contract . Any error in quantity, rate or amount in Schedule Á’ /Bills of quantities and general summary shall be adjusted in accordance with the following rules:- (a) In the event of discrepancy between description in words and figure quoted by a

tenderer, the description in words shall prevail.

(b) In the event of error occurring in the amount column of schedule Á’ or Bill of quantities as a result of wrong extension of unit rate and quantity, the unit rate whether inserted by HAL prior to issue of tenders or quoted by the tenders shall be regarded as firm and the extension shall be amended on the basis of the rate.

(c) All errors in totaling in the amount column and in carrying forward total shall be

corrected.

(d) Any omissions to include in the totals, or to carry forward the prime cost sums and the percentage thereon, or provisional sums, shall be corrected. If no percentage or prime cost sums is quoted by the contractor , the percentage shall be considered as “Nil”

(e) In case of contracts for addition/alteration work where contractors are required to quote credit for demolished materials specified to become contractor’s property in the event of omission on the part of a contractor to indicate any credit, the tender shall be treated as one with nil credit.

(f) The totals of Bills of Quantities as amended above, shall be carried over to schedule

‘A ‘. Similarly, total of various section of schedule Á’ as amended shall be carried over to the General Summary and the tendered sum amended accordingly. The tendered sum so altered shall, for the purpose of the tender be substituted for the sum originally tendered and considered for acceptance instead of the original sum quoted by the contractor. Any rounding off totals in various sections of schedule ‘A ‘or in General summary by the tenderer shall be ignored.

06- Deviation:-

The contractor shall not make any alteration, addition to or omission from the works, as described in the tender documents except in presence of the written instructions of the Ch. Mgr (Plant Maint). No such deviation from the work described in the tender documents shall be valid unless the same has been specifically confirmed and accepted by the Accepting officer in writing and incorporated in the contract.

The Accepting Officer may deviate, either by way of addition or deduction, from the work so described, provided that the contract sum be not thereby varied on the whole by more than the following limit. The Contractor shall execute all the works referred to in the tender documents upon the terms and conditions contained or referred to therein and as detailed in the schedule Á ’and shall carry out such deviations as may be ordered. Deviations orders within the following limits are binding on the contractors. (i) Lump sum contracts based on drawings and specifications ± 10 Percent (ii) All other contracts: below Rs. 50 Lakhs ± 20% above Rs. 50 Lakhs ± 10%

Ordering of deviations is also subject to the following conditions:-

a) Deviations ordered in respect of quantities in individual items shall not exceed (+/-) 50% of the quantity of that individual item.

b) The value of additions of items of Non Tendered items not already in the contract shall not exceed 50% of the deviation limit prescribed in contract. These items will be called Non Tendered items and the rates for the same will be approved by ATA with financial concurrence. However, the total value of work including deviation and Non-tendered items shall not exceed the prescribed deviation limit. Ordering or work on a contract beyond the deviation limit will be through an amendment

to the contract.

The value of all additions and deductions will be added to, or deducted from the contract sum. Where ever the Accepting officer intends to exercise such a right, his intent on shall specify the deviation which is to be made the lump sum assessment or the proposed basis of payment, the extra time allowed, if any, and the date for completion of entire contract. Any objection by the contractor to any matter concerning the deviations, order shall be notified by him in writing to the Mgr./ Engineer-in-charge with in 07 days from the date of such order but under no circumstances shall the works be stopped (unless so ordered by the Ch. Mgr /Sr. Mgr. / Mgr ) owing to difference or controversy that may arise from such an objection. In absence of such notification of objection by the contractor, he will be deemed to have accepted the order and conditions stated there in. In the event of the contractor failing to agree with the Ch. Mgr /Sr. Mgr. / Mgr regarding the term of the proposed deviation, the objection shall be referred to the General Manager, whose decision shall be final, conclusive and binding on the contractor.

07. Time delay and extension:-

(A) Time is the essence of the contract and is specified in the tender document or in each individual order. As soon as a work order is placed and before work under it is begun, the Ch. Mgr /Sr. Mgr. / Mgr / EIC and the contractor shall agree upon a time and progress chart. The chart shall be prepared in direct relation to the time stated in the contract documents or the work orders for completion of the individual items there of and / or the contract or the work orders as a whole. It shall indicate forecast of the dates for commencement and completion of the various trade, processes or sections of the work and shall be amended as may be required by an agreement between the Ch. Mgr /Sr. Mgr. / Mgr /Engineer –in- charge and the contractor within the limitations of the time imposed in the contract documents of work order.

In the absence of any specific time and progress chart to be agreed to between the contractor and the Ch. Mgr /Sr. Mgr. / Mgr, Engineer ––in charge the contractor shall ensure and maintain uninterrupted progress of the work such that the entire work shall be completed within the time mentioned in the tender document or order and that the proportion of work completed up to any time in relation to the work to be done under the contract or order shall not be less than the proportion that the elapsed bears to the total time of completion provided in the tender document of before time .

If the work be delayed:-

(i) By force majeure or (ii) By reason of abnormally bad weather or (iii) By reason of serious loss or damages by fire or (iv) By reason of Civil commotion, local combination of workmen, strike or lockout

(v) By reason of delay on the part of nominated supplies which the contractor has in the opinions of the Engineer in –charge taken all practical steps to avoid or reduce or

(vi) By reason of delay on the part of the contractor or tradesmen engaged by the HAL in executing works not forming the part of the contract or

(vii) By reason of any other cause which in the absolute discretion of Accepting officer is beyond the contracts control.

Then in any such case the Accepting officer may make fair and reasonable extension in the completion of dates of individual items or groups of items of work for which separate period of completion had been mentioned in the contract documents of work order as applicable. Upon the happening of any such event causing delay, the contractor shall immediately give notice there of in writing to engineer –in –charge, shall nevertheless use constantly his best endeavor to prevent of make good the delay and shall do all that may reasonably be required to the satisfactions of the Ch. Mgr /Sr. Mgr. / Mgr /Engineer- in - charge to proceed with the works. Extension of time, as granted above, shall be communicated to the contractor by the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge in writing and shall be final and binding.

08- (A) Assignment or Transfer of contract:-

` The contractor shall not without the prior written approval of the Accepting Officer assign or transfer the contract or any part there of or any share or interest there on to any other person be payable to any other person other than the contractor unless prior written approval of the Accepting Officer to the assignment or transfer or such money is given.

(B) Sub – Contract:- The contractor shall not sublet any portion of the contract without the prior written approval of the Accepting Officer.

09- Compliance to Regulations and Bye –Laws:-

The contractor shall confirm to the provision of the any statute relating to the work and regulations and bye –laws of any local authority and of any water and lighting companies or undertakings with whose work system the work is proposed to be connected. The contractor shall be bound to give all notices required by statute regulations or bye-laws as aforesaid and to pay all fees and taxes payable to any authority in respect thereof.

CHAPTER-III

Performance of the contract

10. Security Deposit:-

a) The successful tenderer will be required to furnish security deposit for the fulfillment of contract. The security deposit shall be 10% of the original contract sum. This mount shall not be altered during the execution of work due to deviation, either plus or minus. Security deposit shall consist of two parts;

i) Performance Guarantee to be submitted at award of work, and ii) Retention money to be recovered from Running Bills.

b) Performance Guarantee should be 5% of Contract amount and should be submitted as Bank Guarantee (Format at Annexure-M), DD or any other form of deposit stipulated in Tender Document within 30 days of receipt of letter of acceptance.

c) Retention Money should be deducted at 5% from Running Bills. Total of Performance Guarantee & Retention Money should not exceed 10% of Contract amount. However, Retention money recovered should not be less than 5% of final Bill value including Deviation if any.

d) 5% Performance Guarantee should be refunded within 30 days of the issue of the defect liability certificate (taking over certificate with a list of defects)/ Completion Certificate. Retention money should be refunded after Defects Liability period.

The contractor shall, within 30 days of the acceptance of the contract or before start of

work which ever is earlier as stipulated in acceptance letter deposit the difference between earnest money paid and full security deposit by Banker’s demand draft. For contract exceeding Rs. 10 Lakh Bank Guarantee may be accepted as security deposit as laid down here under.

In respect of contracts costing more than Rs. 10.00 lakh a Bank Guarantee in the prescribed form acceptable to HAL (Proforma ‘C’) may be accepted in lieu of Security Deposit, defect liability deposit. (i) All compensation or other sums of money payable by the contractor to HAL under the

terms of this contract or under any other contract with HAL may be deducted from the security deposit or realized by the sale of the securities as may become due to HAL on any account what so ever against the contract in HAL and in the event of his security deposit being reduced by reason of such deduction or sale as aforesaid, the contractor shall within 07 days there after make good in cash any sums by which security deposit has been reduced.

(ii) HAL shall not be responsible for any loss of security or for any depreciation in the value

of securities while in the charges of HAL not for loss of interest there of.

11. Orders under the contract:-

All order notices etc to be given under the contract shall be in writing, typescript or printed and if sent by registered post to the address given in the tender of the contractor, shall be deemed to have been served on the date when in the ordinary course they would have been delivered to him.

The contractor shall carryout without delay all orders given to him. 12. (A) Contractor’s Supervision:-

(i) The contractor shall either himself supervise the execution of the contract or shall appoint a Competent Agent approved by accepting officer to act in his instead.

(ii) Where the contractor is not a qualified Engineer or even if he is qualified he can not in the opinion of the Mgr./Dy.Mgr/ give full personal attention to the works shall at his own expenses, he shall employ a competent Engineer possessing the following qualifications, from University/ Govt. recognized institution as his accredited Agent to supervise the works and to receive instructions from the Engineer –in- charge for the cost of work as under:

a) For works costing upto : A Degree or Diploma Holder Civil/Electrical Engineering

S 10.00 L: as applicable with min of 6 months experience in work of the nature contracted for

b) For works costing S 10 to: A Degree or Diploma Holder Civil/Electrical Engineering L: 20.00 L as applicable with min of 6 months experience in work of the nature contracted for

c) For works costing S 20 to: A Degree Holder Civil/Electrical Engineering as L: 50.00 L applicable with at least 2 years practical experience (OR)

A Diploma Holder in Civil/Electrical Engineering as Applicable with at least 4 years practical experience in work of the nature contracted for

The employment of an Engineer as aforesaid shall be with the approval of the Ch. Mgr /Sr. Mgr. / Mgr / who may verify his qualification and experience by referring of original degree / diploma testitimonials etc. which shall be made available to him by the contractor or the individual employed or proposed to be employed. If the contractor fails to appoint a suitable Engineer /Agent as aforesaid, the Ch. Mgr /Sr. Mgr. / Mgr shall have full powers to suspend the execution of work and stop payment of any advance that may have become due until such date as suitable Engineer /Agent is appointed and the contractor shall be held responsible for the delay caused to the work and no extension of time on its account shall be given to him as stipulated in conditions-7 above.

(iii) Order given to contractor‘s agent shall be considered to have same as if they had been

given to the contractor himself. (iv) The contractor or his accredited agent shall attend when required and without making

any claim for doing so either the office of the engineer-in-charge or the work site to receive instructions.

(v) The EIC shall have full powers and without assigning any reason to require the contractor immediately to cease to employ in connection with in the contract any Agent, servant or employ whose continued employment ,is in his opinion undesirable . The Contractor shall not be allowed any compensation on this account.

(vi) If the contractor fails to employ Engineer as required above E.I.C. shall deduct a sum equal to current wages per month for an Engineer as decided by E.I.C. till he complies the provisions of clause-19.

(B)- Training of Apprentices:-

The contractor shall comply with the provision of Apprentices Act. 1961 and the rules and orders issued here under from time to time. If he fails to do so his failure will be a breach of contract and the Accepting officer may in his discretion cancel the contract. The contractor shall also be liable for any pecuniary arising on account of any violation by him of the provisions of Act.

13. - Labour:-

The contractor shall employ labour in sufficient number to maintain the required rate of progress and the quality required to ensure workmanship of the degree required by the specification and to the satisfaction the Engineer –in-charge.

The contractor shall remain liable for the payments of all wages or other money to his work people or employees under the payment of Wages Act 1936, Employers Liability Act 1938, Workman Compensation Act. 1923 or any other Act on enactment relating thereto and rules framed hereunder from time to time. The contractor shall work only on and during the hours of a working day unless he obtains the prior written approval of the Engineer –in –charge to do otherwise. If such approval is given no liability in respect of any excess cost arising there from shall be incurred by HAL. He shall not work at any night or on weekly holidays as declared previously by Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge.

14.- Accommodation for Labour :-

The contractor shall during the progress the work provide, erect and maintain at his own expense and to approved standard and scales all necessary temporary living quarters and sanitary arrangement required for his work people on the site in connection with the execution of the work and also arrange for supply of wholesome drinking water for his work people. The planning ,sitting lay out and erection of these temporary building shall be approved by the Engineer –in –charge and the whole of such temporary accommodation shall at all time during progress of he work be kept tidy and in a clean and sanitary condition to the entire satisfaction of the E-I-C and at the contractor‘s expense. The contractor shall confirm generally to the sanitary requirement of the Local Medical and Health Authorities and at all times adopt such precautions as any be necessary to prevent soil pollution of the site.

On completion of the work all such temporary building shall be cleared away, all rubbish burnt, , execrate or other disposal, pits or trenches filled in and effectively sealed off and the whole of the site left clean and tidy to the entire satisfaction of the Engineer –in charge and at the contractor‘s expense.

15. Water:-

The contractor shall allow in his tender and provide at his cost all water required for the work for his employee on the work , together with all pipe and fitting or other means that may be necessary or required to ensure a proper and ample supply of water for all purposes connected with the work.

16. Temporary Workshop and Stores etc.

The contractor shall during the progress of the work provided, erect and maintain at his own expenses all necessary temporary workshop, offices etc required for the proper and efficient execution of the work. The planning ,sitting and erection off these building shall have the approval of the E-I- C and the contractor shall at all times keep them tidy and in clean and sanitary condition to the entire satisfaction of the Engineer –in charge . On completion of the work all such temporary building shall be cleared away and the site restored and left in a clean and tidy condition to the entire satisfaction of the Engineer –in –charge and at the contractor ‘s expenses.

17. Store and Materials on site:-

All stores and materials required for the work are to be deposited by the contractor only in places to be indicated by the Engineer –in –charge. Where in accordance with the contract stipulation certain store and materials (for incorporation in the work) are to be issued to the contractor by the HAL as detailed under schedule ‘B’, such items will be so issued only to the extent required for the actual completion of the work as stipulated in the contract. The decision of the EIC for the quantities to be issued as above shall be final and binding on the contractor. For any excess quantities consumed on the work, their cost will be recovered from the contractor at punitive rate which will be 100 % (hundred percent) more than issue rate of the HAL.

In regards to the material and stores which may be issued to the contractor by HAL the contractor shall give the Engineer -in –charge reasonable notice in writing of his requirement of such stores and materials and on the approval of his demand being notified to him, he shall make immediate arrangements for drawing the same. Such store and materials shall be transported by the contractor at his own expense direct from the place of issue to site of the work unless prior written approval is obtained from the Engineer –in –charge to take them to a store workshop or elsewhere. The contractor shall have to build a water proof shed for the storage of cement. H.A.L. officer connected with the contract shall have the power at any time to inspect and examine any stores or materials intended to be used in or on the work whether on the site or at any factory or workshop or other place where such stores or materials are being

fabricated or manufactured or at any place where the same are lying and the contractor shall give necessary facilities for such inspection and examination. The Engineer in charge shall be entitled to have tests made to any stores or materials supplied by the contractor who shall provide his own expense all facilities which E-I-C may required for this purpose apart from this at the discretion of the Engineer –in –charge an independent expert is employed to make any such tests, his charges shall be borne by the contractor only if the tests discloses that the said stores or material are not in accordance with the provisions of the contract,. Should the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge consider at any time during the construction or re- construction or prior to the expiry of the ”MAINTENANCE PERIOD” that the store or materials provided by the contractor are unsound or of a quality inferior to that contracted for or other wise not in accordance with the contract ( in respect of where of the decision of the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge shall be final and conclusive ) the contractor shall on demand in writing from the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge specifying the stores or materials complained of not with standing that the same may have been inadvertently passed, certified and paid for ,forthwith remove the stores or materials so specified and provide other proper and suitable stores or materials at his own expenses to the entire satisfaction of the EIC and in the extent of his failing to do so with in a period to be specified by Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge in his demand aforesaid ,the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge may replace with others the stores or materials complained of at the risk and expenses of the contractor . The liability of the contractor under this condition shall not be extended beyond the maintenance period aforesaid except as regards stores or materials which the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge shall have previously given notice to the contractor to replace (Maintenance period for any work under this organization will be 12 months from the date of actual completion of the particular work and handing over to HAL). All stores and materials brought to the site shall become and remain the property of HAL and shall not be removed from the site without the prior written approval of the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge. However when the work is finally completed the contractor shall at his own expense forthwith remove from the site all surplus stores and materials originally supplied by him and upon such removal the same shall revest in and become the property of contractor. All HAL stores and materials issued to the contractor for incorporation or fixing in the work and which making allowance for reasonable wear & tear or waste have not on completion of the work been so incorporated or fixed ,shall be returned by the contractor at his own expense to place of issue . Credit for surplus stores and /or materials returned by the contractor to HAL will be given to him at a price based on the prevailing market rate but not exceeding that at which the said stores and materials were originally issued to him by due consideration shall be given to the allowance claimed by HAL in respect of any damage or depreciation suffered by the stores and or materials whilst in the custody of the contractor regarding which the decision of Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge shall be final and conclusive.

If in the opinion of the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge (which shall be final and conclusive) any stored supplied by HAL have either during currency of the work or after completion of the work /whilst under the custody of the contractor become damaged to such an extent that they can not be usefully utilized, either in the same work or in others work ,the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge shall not accept the stores and in the event of his so rejecting, the contractor shall be charged for the said stores at a rate fixed by the Accepting officer. The contractor shall not be entitled to any claim whatsoever on this account.

18- Tools and plants at site:-

All tools, plants and equipment brought to the site shall become the property of HAL and shall not be removed from the site without the prior written approval of the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge. When the work is finally completed or the contract is determined for reason other than the default of the contractor, the contractor shall forthwith remove from the site all tools, plants and equipment (other than those as may have been provided by HAL) and upon such removal the same shall revest in and become the property of the contractor.

19. Statement of Hire Charges:-

A monthly detailed statement of the hire charge incurred in respect of HAL tools, plant, equipment etc. shall be given to the contractor by the Engineer –in-charge.

20. Precautions against risks:-

The contractor shall be responsible for providing at his own expense, all precautions to prevent loss or damage and from any and all risks and to minimize the amount of any such loss or damage and for the necessary steps to be taken for the said purpose until the work have been handed over, completed in all respect to the satisfaction of Engineer –in- charge. The contractor shall provide all watchmen necessary for the protection of the site, the work, the materials, tools, plants, equipment and any thing else lying on the site during the progress of the work. He shall solely be responsible for and shall take all reasonable and proper steps for protecting, securing, lighting and watching all places on or about the works and the site which may be dangerous to any persons whomsoever.

21. Notices and Fees:-

The contractor shall give all notice required by any statutory provision or by the regulation and /or by bye-laws of any local Authority and /or of any public service company or Authority affected by the work or with whose system the same are or will be connected . The contractor shall pay and indemnify HAL against any fees and charges demand by law under Acts Regulations and /or bye –laws in respect of the work and shall make and supply all drawing and plans required in connection with any such notice.

22. Setting out the works and protecting and maintaining signals and marks:

The Engineer –in-charge shall supply dimensioned drawing, levels and other information necessary to enable the contractor to set out the work. The contractor shall at his own expense set out accurately according to the drawings as figured dimension thereon all the work comprised in the contract and any extras or additions there to and shall be solely responsible for their being so set out and executed.

All bench marks, pegs, signals on the surface alignment, stones, mile stones and all similar works whether put in by HAL authorities for the purpose of checking the contractor’s works in the nature or permanent survey marks , will during the tenure of the contract be under the care of the contractor who shall at his own expense take all proper and reasonable precautions and care to preserve and maintain them and their true position in the event of these marks being disturbed or obliterated by accident or due to any other cause whatsoever the same may if deemed necessary be replaced by the EIC at the contractors expense and the cost there of deducted from any money then or there after becoming due to the contractor. Where required by the contractor the level marks, center line and change pegs corresponding to those shown on the drawing will be pointed to the contractor on the ground but all bench mark or change pegs additional to those shown on the drawing will be set out by HAL Authority .

23. Site Drainage:-

All water that may accumulate on the site during the progress of the work or in trenches and excavation shall be removed to the entire satisfaction of the Engineer –in-charge and at contractor’s expense.

24. Excavations, relics etc:-

Materials of any kind obtained from excavation on the site shall remain the property of HAL and shall be disposed of as the Engineer –in- charge directs. All gold, silver, oil and other materials of any description and all precious stones, coins, treasures, relics antiques and other similar items which may be found in or upon the site shall be the property of the HAL .The contractor shall duly preserve the same to the satisfaction of the HAL and shall from time to time deliver the same to such person or persons as the HAL may appoint to receive the same.

25. Foundation:-

The contractor shall not lay any foundation until the excavation for the same have been examined and approved in writing by the Engineer –in –charge.

26. Covering in Work:-

The contractor shall give reasonable notice in writing to the Engineer –in- charge whenever any work is to be permanently covered up or concealed , whether by earth or other means so that can be finally inspected or measured if necessary. In default of so doing the contractor shall, if required by the Engineer –in –charge, uncover such work at his own expense.

27. Approval of works by stages:-

All work embracing more than one process shall be subject to examination and approval at each stage thereof and the contractor shall give due notice in writing to the Engineer-in-Charge when each stage is ready. In default such notice being received, the Engineer –in-charge shall be entitled to disapprove the quality and extent thereof at any time he may choose and in the event of any dispute the decision of the Ch. Mgr (Plant Maint) thereon shall be final and conclusive.

28. Execution of the work:-

The work shall be executed in a workman like manner and to the satisfaction in all respect of the Engineer –in –charge. The Engineer -in –charge will communicate or confirm instructions to the contractor in respect of the execution of the work in a “Work site order book” maintained at his office and the contractor shall visit his office daily and shall confirm receipt of such instruction by signing the relevant entries in his book. Such entries will rank as orders notices in writing within the intent and meeting of these conditions.

29. Inspection of work:

H.A.L. officers concerned with the contract shall have power at any time to inspect & examine any part of the work and the contractor shall give such facilities as may be required to be given for such inspection and examinations. Should the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge consider that work although not executed in strict accordance with the specification, may be allowed to stand, he can order to pay the same at such reduced rates as may all the proceeding is however quite optional on the part of the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge.

30. Responsibilities for building:-

In the event of any building or part of any building being handed over to the contractor for the execution of work there to under provisions or the contract he shall give a written receipt of all fixtures, glass etc, and he shall be required to make good at own expense all damaged resulting from any cause whatsoever while in his charge and on completion of the work to deliver up the building or fault thereof in a clear state complete in every particular to the entire satisfaction of the engineer –in charge

31. Insurance of work against damage and loss due to fire, tempest, floods etc. :-

The contractor shall within one month after the date of acceptance of the contract insure the work against loss and damage by fire, tempest, flood, earthquake and riot and against damage by air craft with an insurance shall be effected in the name of HAL and shall be for full value of the contract sum. The contractor shall lodge with the HAL the policies and receipts of the premiums for such insurance and shall maintain such policies in force until the entire completion of the work as certified by the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge.

If the contractor fails to comply with the terms of this condition the Accepting Officer may insure the work and may deduct the amount of premiums from any money that may become payable to the contractor until the contractor shall have complied with the terms of this condition. Such insurance whether affected by the Accepting Officer or the contractor shall not be a limit or ban to liability as obligation of the contractor to complete the entire work in all respects as certified by the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge. In case of such a loss or damage as aforesaid to money payable any such insurance shall be received and may be retained by HAL until the work is finally completed and shall be credited to the contractor in the final statement of account in the event of his contract not having been previously cancelled under these conditions

32. Workman compensation and damage to property:

The Contractor shall at his own expense reinstate and make good to the satisfaction of the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge and pay compensation for any injury, loss or damage occasioned to any property or right whatever including property and right of HAL (or agents, servant or employees to HAL ) the injury loss, damage arising out of or in any way in connection with the execution or purported execution of the contractor and further the contractor shall indemnify HAL against all claims enforceable against HAL which would be so enforceable against HAL ,were HAL, a private person in respect of any such injury ( including resulting in death , loss or damage to any person) whosoever or property including all claim which may arise under the Workmen’s Compensation Act or otherwise.

33. Time for Completion:-

The works shall be completed to the entire satisfaction of the Engineer –in –charge and in accordance with the contractor’s forecast of Time and Progress where operative and all unused stores and materials, tools, plant, equipment ,temporary building and things shall be recovered and the site and work cleared of the rubbish and all waste materials and delivered up clean and tidy to the satisfaction of the Engineer –in charge at the contractor expense on or before the schedule date of completion. The HAL shall have power to take over from the contractor from time to time such sections of the work as have been completed to the satisfactions of the Engineer –in –charge.

The EIC shall certify to the contractor the date on which the work is completed and the state thereof. The EIC shall also certify to the contractor the state of work at the end of the maintenance period where applicable.

34. Compensation for delay:-

If the contractor fails to complete the work and clear the site on or before the extended date /period of completion the contractor shall, without prejudice to any other right or remedy of the company on account of such breach, pay as agree compensation calculated as stipulated as below:-

1. The amount of compensation may be adjusted or set off against any sum payable to the

contractor under this or any other contract with HAL. In deserving cases the penalty may be remitted subject to approval by competent authority without any prejudice to any right to the company at the sole discretion of the authority.

2. When the delay in not of full week or in multiples of week but involves a fraction of week the compensation payable for the fraction shall be proportion to the number of days involved. The amount of compensation may be adjusted or set off against any sum payable to the contractor under this or any other contract.

35. Laws Governing the contract:-

This contract shall be governed by the Indian Laws for the time being in force. 36. Cancellation of contract for corrupt Acts:-

The Accepting Officer, whose decision shall be final and conclusive shall, without prejudice to any other right or remedy which shall have accrued or shall accrue thereafter to HAL cancel the contract in any of the following cases and the contractor shall be liable to make payment to HAL for any loss or damage resulting from any such cancellation to the same extent as provided in the case of cancellation for default.

If the contractor shall:-

(a) Offer or give or agree to give any person in HAL service any gift or consideration of any kind as an inducement or reward for doing or for bearing to do or for

having done or for borne to do any act in relation to the obtaining or execution of this or any other contract for HAL service.

OR (b) Enter into a contract with HAL in connection with which commission has been

paid or agreed to be paid by him or with his knowledge, unless the particulars or any

(c) such commission and the terms of any payment thereof have previously been disclosed in writing to the Accepting Officer.

OR (c) Obtain a contract with HAL as a result of ring tendering or by non bonafide

methods of competitive tendering without first disclosing the fact in writing to the Accepting Officer.

37. Cancellations of contracts for Insolvency Assignment or transfer or subletting of Contract.

The Accepting officer without prejudice to any other right or remedy which shall be accrued thereafter to HAL shall cancel the contract in any of the following cases: If the contractor:-

(a) Being an individual or if a firm and any partner thereof, shall at any time be adjudged

bankrupt or have a receiving order or orders for administration or his estate made against him or shall take any proceedings for liquidation or composition under any Bankrupt Act for the time being in force or make any conveyance or assignment of his effect of composition or arrangement for the benefit of his creditors or purport to do so or if any application be made under any bankrupt Act for the time being in force for the sequestration ,of his estate or if a trust deed be granted by him on behalf of creditors.

OR (b) Being company, shall pass a resolution or the court shall make an order for the

liquidation of its affairs or receiver or manager on behalf of the debenture holders shall be appointed or circumstance shall arise which entitle the court or debenture holders or appointed a receiver or manager .

OR (c) Assign, transfers sub-lets or attempts to assign transfer or sub-let any portion of the

work without the prior written approval of Accepting officer.

Whenever the Accepting Officer exercises his authority to cancel the contract under this condition, he may complete the work by any means at the contractor’ risk and expense provided always that in the event of the cost of the completion (as certified by EIC which is final and conclusive) being less than contract cost. The advantage shall accrue to HAL that if the cost of completion exceeds the money due to the contractor under the contract, the contractor shall either pay the excess amount ordered by Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge or the same shall be recovered from the contractor by other means.

In case the HAL completes the work under the provisions of this condition the cost of such completion to be taken into account in determining the excess cost to be charged to the contractor under this condition shall consist of addition of such percentage to cover superintendence and establishment charges as may be final and conclusive.

38. Cancellation of contract in part or in full for contractor’s Default:-

If the contractor:-

(a) Makes default in commencing the work within a reasonable time the date of handing over the site and continues in that estate after a reasonable notice from the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge

OR (b) In the opining of Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge at any time whether

before or after the date or extended date for completion ,make default in proceeding with the work with due diligence and continues in that state after a reasonable notice from the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge.

OR (c) Fails to comply with any of the terms and conditions of the contract after reasonable

notice in writing with orders properly issued hereunder. OR

(d) Fails to complete the work, work order and items of work with individual dates for completion and clear the site on or before the date of completion or fails to achieve the progress as set out under clause 7 of the general conditions of contract, the Accepting Officer may without prejudice to any other right or remedy which shall accrue or shall accrue thereafter to HAL cancel the contract as a whole or in part thereof or only such work order or items or work in default from the contract. Whomever the Accepting officer exercise his authority to cancel the contract as whole or in parts under this condition he may complete the work at the contractors risk and cost provided always that in the event of the cost of completion (as certified by Ch. Mgr (Plant Maint) which is final and conclusive) being less than the contract cost, the advantage shall accrue to the HAL if the cost of completion exceeds the means due to the contractor under this contract , the contractor shall either pay the excess amount ordered by Ch. Mgr (Plant Maint) or the same shall be recovered from the contractor by other means.

The HAL shall also be at liberty to hold and retain in their hands, materials, tackle machinery and other stores of the all kinds on site of the contractor as they may think proper and may at any time sell any of the said materials, tackle, machinery and stores and apply the proceeds of sale in or towards the satisfaction of any loss which may arise from the consolation of the contract as aforesaid. The HAL shall also be at liberty to use the materials, tackle machinery and other stores on site of the contractors as they think proper in completing the work and the contractor will be allowed the necessary credit. The value of materials and stores and the amount of credit to be allowed for tackle and machinery belonging to the contractor and used by the HAL in completing the work shall be assessed by the EIC and the amount so assessed shall be final and binding.

In case the HAL. Completes the work or any part thereof under the provisions of the condition, the cost of such completion to be taken into account in determining the excess cost to be charged to the contractor under this condition, shall consist of the cost of materials purchased and /or labour provided by HAL with an addition of such percentage to cover superintendence and establishment as may be decided by the Ch. Mgr(Plant Maint) whose decision shall be final and conclusive.

39. Termination of contract for Death:-

Without prejudice to any of the right or remedies under this contract if the contractor dies, the Accepting Officer shall have the option of terminating the contract without compensation to the contractor.

40. Special Power of termination:-

If at any time after the acceptance of the tender ,the HAL shall for any reason what so ever not require the whole or any part of the work to be carried out, the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge shall give notice in writing of the fact to the contractor who shall have no claim to any payment of compensation or otherwise whatsoever on account of any profit or advantage which he might derived from the execution of the work in full but which he did not derive consequence of the foreclosing of the work. He shall be paid at contract rates for the full amount of the work executed including such additional works (e.g.) clearing site etc. as may be rendered necessary by the said foreclosing. He shall also be allowed a reasonable payment (as decided by the Accepting officer). He shall also be allowed a reasonable payment (as decided by the Accepting officer ) for any expense sustained on account of labour and materials collected but which could not be utilized on the work as verified by the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge. Neither shall the contractor have any claim for compensation on account of any alterations having been made in the original specifications, drawings, decisions and instructions involving and curtailment of the work as originally contemplated.

41. Fair Wage:- (a) The contractor shall pay not less than the ‘Fair Wage’ to labourers engaged by him.

“Fair Wage” means wage whether for time of pieces work notified at the time of inviting tender for the work and where such wages have not been so notified the wages prescribed by the Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge for the stations at which the work is done . “

(b) The contractor shall not withstanding the provision of any contract to the contrary ,cause to be paid a “Fair Wage” to labourers indirectly engaged on the work including any labour engaged by his Sub-Contractor in connection with the said work as if the labour has been directly employed by him.

Chapter IV

Valuation and Payment

42. Records and Measurement:-

All items having a financial value shall be entered in the H.A.L. Measurement Book so that a complete record is obtained of all work performed under the contract. Buildings etc. priced in Schedule ‘A’ as a unit lump sum will be entered by number at the unit lump sum. Work carried out for agreed lump sum will be described and similarly recorded Lump sum omission will be entered for deduction .Measurement shall be restricted to that required to ascertain the financial liability of HAL under the contract. Work which falls to be measured in details shall be measured physically without reference to any local custom that may obtain excepting where it may otherwise be directed in the tender document. The measurement shall be taken jointly by any person or persons duly authorized on the part of HAL and by the contractor. The contractor shall without extra charges provide assistance with appliance and other things necessary for measurement. The contractor shall bear all the cost of measurement of his work. Measurements shall be entered in the HAL Measurement book and signed and dated by both parties each day on the site on completion of measurement. If the contractor objects to any of the measurement recorded on behalf of the HAL, a note to that effect will be made in the HAL measurement book or against the items objected to any such note shall be signed and dated by the both parties engaged in taking the measurement. If the contractor ‘s representative fails to attend when required, the Engineer –in-charge shall have power to proceed himself to take measurements and in that case these measurement shall be accepted by the contractor as final. The contractor shall once in every month submit to Ch. Mgr /Sr. Mgr. / Mgr /Engineer–in- charge a copy of his claims for the work done by him up to and including the previous month which is not covered by his contract Agreement in any of the following respects:-

(a) Deviation from the items and specifications provided in the contract documents. (b) Extra items /new items of work. (c) Quantities in excess of those provided in the contract schedule. (d) Items in respect of which rates have not been settled.

He should in addition furnish a clear certificate to the effect that the claims submitted by him as aforesaid cover all his claims and that no further claims shall be raised by him in respect of the work done and including the period under report.

43. Valuations of Deviation: - The contractor is also bound to execute any new items of work (not already included in the specifications) if he is directed to do so at accepted rates after obtaining in writing the orders of the Chief Manager or his authorized representative regarding the specifications .The following order of precedence or pricing deviations are binding on the contractors.

a) Deviations will be priced at Schedule Á’ rates where the items is already included in

Schedule” A” b) In respect of item not included in schedule Á’ but where similar items are found in

deviation, if possible Schedule-A at rates derived directly from Schedule-A items where such a direct deviation is possible.

c) Where the rate cannot directly be deduced from Schedule Á’ but where similar items

are found in Schedule-A at rates derived directly from Schedule-A item where such a direct deviation is possible.

d) Where the rate cannot directly be deduced from schedule Á’ same will be worked out by adding/subtracting overall tender percentage calculated on MES standard Schedule of rates 1996 Zone-C rate to the relevant item of the above mentioned SSR.

e) Where it is not possible to derive the rate from the standard schedule of rates, the

same will be based on prevailing market rate. However the contractor may be asked to produce satisfactory evidence as proof of the expenditure on such items if desired by the department.

44. Variation of prices:-

If as the result of an Act of the Legislature being other than a provincial sales Tax the contractor shall necessarily and properly pay in respect of any material incorporated in the work, a price which is in excess of the basic price of that material or if the basic price of that material is reduced the contract sum shall accordingly be varied provided always that any increase so payable is not in the opinion of the Chief Manager ( whose decision shall be final and conclusive ) attributable to delay in the execution of the contract within the control of the contractor . The contractor, shall for the purpose of this condition keep such book of account and other documents as are necessary to show the amount of any increased claimed or any reduction available and shall allow inspection of the same by any duly authorized representative of HAL and further shall at the request of the EIC furnish for verification such other information as the EIC may require. The contractor shall within a reasonable time of his becoming aware of any alteration in the prices of any materials give notice thereof in writing to the EIC stating that the same is given percent to this condition together with all information relating thereto which he may be in a position to supply.

45. Running Account Remittance (RAR) Bills:-

RAR payments will be made at intervals not less than a week subject to maximum of two bills in a month to expedite the progress of work. On submission of RAR by contractor to the EIC, the 75% of the bill value shall be released within TWO working days after Technical scrutiny and certification by EIC and recommended by head of the department. The balance 25% shall be released after detailed scrutiny by finance department within a week. Payment of RAR up to 100% value of work completed shall be made on the Engineer-in-charge certifying that the contractor is entitled for such payment taking into consideration:-

(a) Value of work executed after deducting there from the amount already paid.

Payment in respect of work done will be based on certificate from Engineer-in-charge (not lower than Dy. Manager) as to the value of work done. This certificate should be supported by a bill form the contractor indicating the quantities of work done and rates adopted. The quantities billed shall be as per the measurements recorded in the MB and the MB shall accompany each bill. The items ordered as deviation, either due to variation in quantity or due to inclusion of non-tendered item for this purpose the EIC will submit “Deviation for Approval in principle” as per Annexure –C to the head of the department on approval of which 75% of value will be admitted for payment along with RAR without financial concurrence. The balance 25% will be released on approval of the Final Deviation Order with finance concurrence. The item of work partially executed/being executed shall be admitted for payment in RAR as per the certification of EIC. The statement showing rate analysis how part rates are derived is to be enclosed along with bill. A register shall be maintained for this purpose at site. While making running account payments, following deductions shall be made:-

a) All previous running accounts payments b) Cost of stores issued by HAL if any c) Charges for electricity and water supplied by HAL d) Balance mobilization advance with interest recoverable from the Contractor, if any;

and e) Any other dues recoverable by HAL from the contractor under the present or any

other contract. f) Penalties/compensation if any due to non compliance of statutory provisions

46. Final Bill:-

On completion of the work and recording of l measurements, of all the items executed including NTI’s and deviations, a final deviation statement will be drawn duly representing the actual quantum of work executed against each item in the BOQ, NTI’s and deviations.

(a) This final deviation statement along with recommendation for extension of time if any

Shall be submitted to the competent authority for approval. On approval from competent authority the contractor shall submit the final bill in the prescribed format within three months. To enable the contractor to do so, the Engineer-in- charge will furnish to him necessary statements showing recoveries to be made on account of stores issued, hire charges for tools and plant supplied, charges recoverable for electricity and water consumed etc., if any Before submission of the final bill the contractor should sign a “NO CLAIM CERTIFICATE’ at Annexure – B, indicating that he has no claim against the company under the contract in question except as included in the final bill. Where the contractor is not in a position to prepare the final bill, or not submitting the final bill due to whatsoever reasons even after Three(3) months from approval of Final D.O/amendment the Engineer-in-charge may give due notice by registered post/speed post indicating specific time limit for submission of final bill. If the contractor is not turning up in spite of the notice, the Engineer-in-charge may with the permission of the Sr. Manager/Chief Manager, prepare the final bill.

a) The Engineer In Charge may processes the bill further and the contractor shall be asked to sign the no claim certificate before forwarding the same to accounts department.

b) If the contractor is still not attending, the bill may be processed ex-parte with due intimation to the contractor that no further claim will be entertained on the subject bill thereafter. The Engineer- in-charge shall ensure that all recoveries including defect liability deposits etc. have been made from the bill as per the terms of contract.

On receipt of the final bill duly signed by the Contractor, the same will be scrutinized by the Engineer-in-charge to see that the claim is in order. He will also attach to the final bill, a statement showing the stores issued for incorporation in work along with recoveries if any, the statement showing the theoretical requirement and the actually incorporated by the contractor in the work, and whether there has been any over-issue/under-issue of stores to the contractor. Where either the contractor has not fully utilized the stores issued for incorporation in the work or where the quantities used are less than those theoretically required resulting in work being below specifications, Sr. Manager/Chief Manager will personally examine the case to see what action should be taken against the contractor. Acceptance criteria for under utilization/excess utilization of stores, issued by department shall be stipulated in the tender conditions. The final bill duly signed by the Engineer-in-charge will be submitted to ATA for his approval before forwarding to Accounts Section for arranging payment. At the time of receiving payment of the final bill, the contractor will sign a ‘No Claim Certificate’ (Format at Annexure –B) against HAL stating that they do not have any claim or demand against the subject contract except for the defect liability deposit or any other refundable deposits like EMD for integrity pact etc. If the contractor does not sign the ‘No Claim Certificate’, the amount due will not be disbursed to the contractor pending settlement of disputes.

b) Pre- Final Bill:

RAR within one month form the completion of work can be admitted for payment and can be considered as PRE-FINAL Bill. where the contractor is not in a position to prepare and submit the final bills and the ATA/ Head of the Engineering Department is satisfied that the submission of final bill is delayed beyond one month after completion of the work, the contractor may be permitted to submit a pre –final bill subject to the following conditions.

a) In case extension of time is not approved the penalty amount shall be withheld and released only after approval of extension of time along with final bill . b) In case Final D.O/NTI’s are pending for approval from CFA. c) All the items of work done including the NTI’s are reflected in the bill and the bill is

signed without any protest /reservations. d) In order to avoid inordinate delay on the part of contractor in submitting the final bill

due to meager amount left after payment of pre-final bill, it is necessary to have the stipulation in the contract that if the final bills are not submitted within one month from the date of receipt of payment against the pre-final bill, the amount so paid will be recovered from any other amount payable to the contractor.

47. Payment of Bills. :-

All payment to be made to the contractor under this contract shall be through E-Payment (within a reasonable time after the certification by the Chief Manager).

48. Recovery from contractor:-

Wherever under contract any sum of money shall be recoverable from or payable by the contractor the same may be deducted from any sum due or which at any time thereafter may become due to the contractor under the contract or under any other contract with HAL or from his security Deposit or he shall pay the claim on demand.

9. Post Technical Audit of Work Bills.

(a) The HAL reserves the right to carry out a post –payment audit and technical examination of the work and final bill including all supporting vouchers, abstracts etc. The company further reserve the right to enforce recovery of any over payment when detected, nit withstanding the fact the amount of the running bills / final bill may be included by one of the parties at an item of dispute before an arbitrator appointed and not withstanding the fact that the amount of the running / final bill figure in the arbitration award.

(b) If as a result of such audit and technical examination any over payment is discovered in respect of any work done by the contractor or alleged to have been done by him under the contract, it shall be recovered by the company from the contractor or if any underpayment is discovered amount shall be duly paid to the contractor by the company .

c) Provided that the afore said right of the company to adjust over payment against

amounts due to the contractor under any other contract with the company shall not extend beyond the period of years from the date of payment of the final. Bill or in case the final bill is a MINUS bill from the date of amount payable by the contractor under the MINUS final bills is communicated to the contractor.

50. Defect Liability Deposit

5% of bill value shall be recovered from RARs as a part of Security deposit and same will be treated as defect liability deposit. On expiry, of the Defect Liability period or on payment of the assessment of the Final Bill, whichever is later, the Engineer-in-charge shall on demand from the contractor, refund to him the remaining portion of the Security Deposit, provided the Engineer-in-charge is satisfied that there are no dues outstanding against the Contractor and that the defects noticed during the maintenance period have been rectified. A certificate to his effect will be furnished by the Engineer-in-charge of the work/Head of the department. No deposit will be recovered for work on routine maintenance service, Term contract works & AMC except in special cases where maintenance period is essential and specifically stipulated in the contract, i.e, tarfelting, water proofing etc. Defect Liability Deposit for a work having combination of civil works and special nature works will be divided into two parts. DLD for the maintenance work will be calculated as above and returned after one year. DLD for special nature work will be calculated based on value of special nature work and 10% of its value [Concerned Items Amount] shall be kept for the DL period as indicated. A suitable tender clause to be provided in this regard. Before refunding the defect liability Deposit, the Engineering Department should furnish a ‘No Demand Certificate’ indicating that there are no demand dues from the contractor under this or any other contract. On receipt of the “No Demand Certificate”, Accounts Department will verify whether any amounts are due for recovery from the contractor and after deducting any such amounts, pass the claim for payment. The contractor should, while accepting refund, certify that he has no further claims against HAL.

51. Arbitration:-

Except where, other wise provided for in the contract, all questions and disputes relating to meaning of the specification, designs, drawings and instructions herein before mentioned and as to the quality of workmanship or materials used on the work or as to any other question , claim, right, matter or thing what so ever in any way arising out of or relating to the contract, designs , drawings , specification ,estimates , instruction , orders or these conditions or otherwise concerning the work , or the execution or failure to execute the same whether arising during the progress of the work or after the completion or abandonment thereof shall be referred to the sole arbitration of the Managing Director /

General Manager and if the Managing Director/ General Manager is unable or unwilling to at , to the sole arbitration of some other person appointed by the Managing Director/ General Manager willing to act as such arbitrator. The arbitrator to whom the matter is originally referred being transferred or vacating his office or being unable to act for any reason such Managing Director/ General Manager aforesaid at the time of such transfer vacating of office or inability to act shall appoint another person to act as arbitrator in accordance with the terms of the contract . Such person shall be entitled to proceed with the reference from the stage at which it was left by his predecessor subject as aforesaid the provision of the arbitration act 1940 or any statutory modification or re-enactment thereof and the rules made there under and for the being in force shall supply to the arbitration proceeding under the clause.

It is a term of the contract that the party involving arbitration shall specify the dispute or disputes to be referred to the arbitration under this clause together with the amount or amounts claimed in respect of each such dispute.

The Arbitration may from time to time with the consent of the parties enlarge the time for making and publishing the award.

The work under the contract shall, if reasonable possible to continue during the arbitration proceedings and no payment due or payable to the contractor shall be withheld on account of such proceedings. [

The Arbitrator shall be deemed to have entered on the reference on the date he issues notice to both the parties fixing the date of first hearing. The Arbitration shall give a separate award in respect of each dispute or difference referred to him.

The venue of Arbitration shall be such places as may be fixed by the Arbitrator in his sole discretion.

The award of the Arbitrator shall be final, conclusive and binding on both parties to the contract.

52. Secrecy:-

a) The contractor shall take all steps necessary to ensure that all persons employed on any work in connection with the contractor have noticed that Indian Official Secret Act 1923 ( IX of 1923 ) applies to them and will continues so to apply even after the completion of such works under the contract.

b) Contract documents: - This is confidential and must be strictly confined to the contractors own use (except so for as confidential disclosure to sub contractors or suppliers i.e. necessary) and to the purpose of the contractor. All documents/drawings thereof and there from furnished to the Contractor shall be returned to the Employer on completion of the work or the earlier determination of the contract (cost non-refundable).

c) Contractors shall employ only Indian Nationals as his representatives, Agents, servant, and Work men and verify their antecedents and loyalty before employing them for the work. He shall ensure that no person of doubtful antecedents and nationality is in any way, associated with the works. If for reasons of technical collaboration or other consideration, the employment of any Foreign Nationals is unavoidable, the Contractor

shall furnish full particulars to this effect to the Accepting Officer at the time of submission of his tender.

The General Manager, HAL shall have full powers and without giving any reason to require the contractor immediately to cease to employ in connection with this contractor any representative, agent ,servant ,workman or employee whose continued employment is in his opinion undesirable. The contractor shall not be allowed any compensation on this account,.

53. Accidents to Workers Employed by the Contractor:-

While executing the work under the contract in case workers engaged by the contractor meet with accidents, may be minor or major, the contractor’s representative at the site should invariably intimate the name of the accidents, nature of injury, date and time of accident, nature of job assigned to the worker, place of work, rate of wages per day, total service with the contractor as on the date of accident, precaution taken, permanent / present address etc to the Ch Mgr. /Sr.Mgr/Mgr/ /Engineer –in-charge .

In case the accident is fatal on or likely to be proved fatal or sustain major injuries the contractor or his representative at site should inform telegraphically to the following authorities immediately within 2-3 hours from the time of occurrence of such accident.

a) The Inspector of Factories, Faizabad b) District Magistrate, C.S.M. Nagar c) A copy of the telegram should be sent by the contractor to the following

authorities:

i) The Police Station, Munshiganj, Amethi ii) The Industrial Relations Officer, HAL Korwa Division iii) The of Chief Manager (Plant Maint), HAL Korwa Division

The contractor is liable to pay and settle all claims arising out of such accident as per statutory provisions. As regards the amount towards compensation required to be deposited with the Sr. Judge Korwa in case of fatal accidents in accordance with the Workmen Compensation Act, the same should be deposited by the contractor within 3 days from the date of accident .In case the contractor requires any advice in this connection he may contact the Industrial Relations Officer, HAL Korwa Division.

HAL can withhold the payment of bill payable to the contractor to the extent of claim for compensation pending /not settled in respect of such accident of the workers engaged by him. In case of any failure on the part of the contractor to comply with above conditions the HAL reserves the right to take appropriate action as deemed fit.

INSTRUCTIONS TO TENDERERS 01. The tenderers should return the document while submitting tender and shall treat the

contents of the tender documents as secret .In case the tenderer is unable to quote, the tender documents should be returned to the Chief Manager (Plant Maint) Hindustan Aeronautics Limited, Avionics Division, Korwa.

02. The contractor for electrical works shall posses necessary license issued by State

Government for executing works and shall furnish a completion and test report before the system can be commissioned.

03. Tender must be submitted in sealed covers and should be addressed to the Chief Manager

( Plant Maint), Hindustan Aeronautic Limited ,Avionics Division , Korwa the full name and address of the tender and name of work being noted on the cover .

04. Tenders submitted by post should be sent by “Registered post Acknowledgement Due”.

These should be posted with due allowance for any delay in postal delivery. On no account, will tenders received after the due date and time of receipt, tenders be considered.

05. In the event of a tender being submitted by a firm, the tender must be signed separately

and legibly by each partner or member of the firm or in firm or in their absence by the person holding the power of attorney on behalf of the firm concerned .In the latter case ,a copy of the attorney duly attested by a Gazettes Officer must accompany the tender.

06. The tender should be accompanied by a list of contracts already held by the Contractor at

the time of submitting the tender and giving the full particulars as per Proforma-B. 07. All entries in the tender documents should be in one ink. Erasures and overwriting are not

permitted. All cancellations and insertions should be duly singed by the tenderer concerned.

08. Tenderers should fill in all the required particulars in the blank spaces provided for this

purpose in the tender documents and also sign each and every page of the tender documents including the drawings attached there to before submitting their tender.

09. Unit rates should be quoted in figures as well as in words with reference to each item and

for all the items shown in the attached schedule. These rates shall be for the finished work on site. Amount of each items and the total page by page and also the grand total amount of the whole contract should also be filled in by the tenderer.

10- Rate for each items of the tender schedule be quoted in Rupees and paisa only. 11. Rates quoted shall include all royalties, terminal taxes, octroi, duties central or provincial,

Excise Duty, sales –Tax, Service Tax and any other taxes leviable under the State or Central Government Rules. The Hindustan Aeronautic Limited will not entertain any claim whatsoever in this respect.

12. Should a tenderer find discrepancies or omission in the drawings or any of the tender documents or should be in doubt as to their meaning he should at once address the authority inviting the tender for clarifications.

13. Quantities shown in the attached schedule are only approximate and are liable to variation

more than the percentage stipulated in conditions 6 of General Conditions. 14. In quoting their rates, the tenders are advised in to take in to account all factors including

tender or during the currency of the Contract. 15. Tenders shall not increase their quoted rates in case the Hindustan Aeronautic Limited

negotiates for reduction of rates. Such negotiations shall not amount to cancellation or withdraw of the original offer and the rates originally quoted shall be binding on the tenderer for a period of three months from the date of opening of tender.

16. Before tendering, the tenderers are advised to inspect the site of work and its

environments and get well acquainted with the actual working and other prevalent conditions of material and labor, general and special conditions of contract ,instructions to tenderers ,drawings and specifications and all other documents which form part of the agreements to be entered into.

17. Validity of Tender:-The rate quoted in the tender shall be valid for period of three months

from the date of opening of the tender. 18. Earnest Money Deposit:-

The amount of Earnest Money which a Contractor shall deposit along with the tender equal to and amount of 1% of the approx. estimated amount put to tender of the work subject to a minimum of q 500.00 and subject to maximum of q 50 Lakhs.

The amount of Earnest Money which a Consultant/Architect shall deposit along with the tender shall be equal to an amount as listed below:-

The Earnest Money may be accepted in the form of Banker’s Cheque/Pay order/ Demand Draft from scheduled bank/Nationalized bank. Tender shall be considered as invalid and rejected if it does not accompany the appropriate earnest money deposit in the prescribed mode. The earnest money given by all Contractors except L1 shall be refunded as per the guidelines provided by CO Circular HAL/CO/617/EMD/2011, Dtd: 31.01.2011 that the tender submitted by the Contractors, in the opinion of the accepting officer, is bonafide. EMD deposited by the tenderer shall not bear any interest to the contractor. The earnest money of the successful tenderer paid through Bankers Cheque/Demand Draft may be adjusted with the security Deposit payable by him.

19. The maintenance period of any work under this Organization will be TWELVE MONTHS from the date of actual completion of particular work. 20. SHOULD a tenderer or a contractor on the list of approved contractor have a relative or

in the case of a firm or company of contractor, any of its shareholder or shareholders relative, employed in a supervisory capacity in the Engineer Department of the Hindustan Aeronautic Limited the authority inciting the tenders shall be informed of this fact at the time of submission of the tender failing which the tenders may be disqualified if such fact subsequently comes to the light the contract may be rescinded in accordance with the relevant provisions in the General Conditions of contract.

21. If the tender deliberately gives wrong information in his tender or creates conditions

favorable for the acceptance of this tender, the Accepting authority reserves the right to reject such tender at any stage.

22. Words importing the single number shall also be deemed to include the plural number and vice versa where the context requires.

23. The expenses for completing and stamping the agreement shall be paid by the contractor. 24. Canvassing in any form in connection with the tender is strictly prohibited and the tenders

submitted by the contractors, who resort to canvassing, are liable to be rejected. 25. All contractors will have to produce Income tax Clearance certificates from the Income -

Tax Officer concerned alongwith their tenders. Those contractors whose income is not taxable will be required to give affidavit of their income on the prescribed form. If the successful tenderer fails to produce the Income tax clearance certificate within the stated period, the earnest money and security deposits of the tenderer may be forfeited and the contract may be terminated.

26. Unless the contractor , whose tender is accepted, signs the contract bond and make the

necessary security deposit within 30 days ( Thirty days ) of acceptance of the tender or before the date of start as indicated in the acceptance letter, the amount of Earnest

Money already deposited by him will be forfeited and acceptance of his tender withdrawn.

27. If the tenderer withdraws his offer after submission of his tender or after acceptance

of his tender fails to start the work in accordance with the instructions of the Engineer –in-charge , the earnest money deposit by him will be forfeited and acceptance of his tender withdrawn.

28. Conditional and unwitnessed tender containing absurd rates and amount , tenders

which are incomplete or otherwise considered defective and tenders not in accordance with the tender conditions laid down by the Accepting officer are liable to be rejected.

29. Tender not submitted on the prescribed forms are liable to be rejected. 30. These instructions to tenderer shall be deemed to form an integral part of the contract of the

work to be entered into. 31. The contractor shall allow in his tender and provide at his cost all electricity required

for the work or employee, machinery on work together with all materials such as cable line, poles meters etc. as may be required to ensure ample supply for all purposes connected with the work. However the levy of energy consumption charges to be borne by the contractor will be recovered from his bills on actual consumption & at admissible rates.

32. The levy of water charges to be borne by the contractor and will be ½ percent (half percent)

of gross value of work done which shall be recovered from the bill of the contractor.

HAL Contractor‘s Labour Regulations 1. Short Title:-

These regulations may be called HAL contractor’s Labour Regulations.

2. Definition: - In this regulations unless otherwise expressed or indicated the following word and expressions shall have meaning hereby assigned to them respectively that is to say:-

i) Labour means workers, employee by contractor directly or indirectly through a Sub

– contract or other person or by an agent on his behalf on HAL work referred to in the contract.

ii) “ Fair Wages” means whether for time or piece work notified at the time of

inviting tenders for the work and where such wages have not been so for notified the wages prescribed by the Chief Manager (Plant Maint) .

iii) “Contractor “shall include every person whether a sub-contractor or headman or

agent employing, labour on the work taken on contract. iv) “Wages” shall have the same meaning as defined in the payment of Wages Act and

includes time and piece -rate wages.

3. Delay on Notice Regarding Wages:-

i) The contractor shall before the commencement of his work on the contract, display and correctly maintain in a clean and legible condition and conspicuous places on the work notices in English and in local Indian Languages spoken by the majority of the workers giving the rate of wages which have been certified by the Chief Manager Plant Maint) as fair wages and the hours of work for which such wages are earned and

ii) Send a copy of such notices to the Certifying Officer.

4. Payment of Wages:-

i) Wages due to every worker shall be paid to him directly. ii) All wages shall be paid in current coin or currency or in both.

5 Fixation of Wage period:-

i) The contractor shall fix the wages period in respect of which the wages shall be payable.

ii) No wage period shall exceed one month.

iii) Wages of every workman employed on the contractor shall be paid before the expiry of ten days after the last day of the wage period in respect of which the wages are payable.

iv) When the employment of any worker is terminated be or on behalf of the contractor

, the wages earned by him shall be paid before the expiry of the day succeeding the one of which his employment is terminated .

v) All payment of wages shall be made on working day.

6. Wage Book and Wage Slip etc:-The contractor shall maintain wage book of each worker

in such a form as may be convenient but the same shall include the following particulars.

a) Rate of daily or monthly wages. b) Nature or work on which employed c) Total number of days worked during each wage period d) All deduction made from the wages with an indication in each of the ground for

which the deduction is made. e) Total amount payable for the work during each wage period. f) Wages actually paid for each wage period g) The contractor shall also maintain a wage slip for each worker employed on the

work. h) The Chief Manager (Plant Maint) may grant an exemption from the maintenance

of wage book and wage slip to the contractor, who, in his opinion may not directly or indirectly employ more than 50 persons on the work.

7. Fines and Deductions which may be made from wages:-

i) The wages of worker shall be paid to him without any deductions of any kind except the following :

a) Fines. b) Deductions for absence from duty i.e. from the places where the terms of his

employment he is required to work. The amount of deduction shall be proportion to the period of which he was absent.

c) Deductions for damage to or loss of goods expressly entrusted to the employed

person for custody where such damage or loss is directly attributable to his neglect or default.

d) Any other deductions which the HAL may from time to time allow.

ii) No fine shall be imposed on a worker and no deductions for wage or loss shall be made

from his wages until the worker has been given an opportunity of showing the cause against such fines or deduction.

iii) Total amount of fines which may be imposed in any wage period on a workers ,shall

not exceed an amount equal to three paisa in a rupee of the wages payable to him in respect of that wage period.

iv) No fine imposed on any worker shall be recovered from him by installments after the

expiry of 60 days from the date on which it was imposed.

8. Register of Fines:-

i) The contractor shall maintain a register of fines and of all deductions for damage or loss. Such register shall mention the reason for which the fine was imposed or deductions for damage or loss was made.

ii) The contractor shall maintain a list in English and in the local Indian language clearly defining acts and omission for which penalty or fine can be imposed. He shall display such list and maintain it in a clean and legible condition in conspicuous places on the work.

9. Preservation of Register:-

The wage book, the wage slips and the Register of fines and deductions required to be maintained under these regulations shall be preserved for 12 month after the date of last entry made in thereon.

10. Power of Labour Welfare Officer to make investigation or enquiry:

The Labour Welfare Officer of HAL or any other person authorized by HAL on their behalf shall have power to make enquires with a view to ascertaining and enforcing due and proper observance of the fair wage caused and provisions of these regulations . He shall investigate into any complaint regarding the default made by the contractor, sub-contractor in regard to such provisions.

11. Report of Labour Welfare officer:-

The labour welfare officer or other person authorized as aforesaid shall submit a report or the result of the investigation or enquiry to the Chief Manager ( Plant Maint) indicating the extent , if any, to which the default has been committed with a note that necessary deduction from the contactor bill be made and the wages and other dues be paid to the labour concerned.

12. Appeal against the decisions of Labour Welfare Officer:-

Any person aggrieved by the decision and recommendation of the laboure welfare officer or other person so authorized , may appeal , against such decision to the officer referred to shall be final and binding on the contractor .

13. A prohibition regarding representation through lawyer:-

No party shall be allowed to be represented by a lawyer during any investigation, enquiry appeal or any other proceeding under these regulations.

14. Inspection of Register:-

The contractor shall allow inspection of the wage book ,the wage slip and the register of fines and deductions to any of the worker or to his agent at a convenient time and place after due notice is received or to the labour welfare officer or HAL or any other person authorized by HAL on their behalf .

15. Submission of Return:-

The contractor shall submit periodical returns as may be specified from time to time by HAL.

16. Amendment:- HAL may from time to time add to or amend these regulation in regard to any question as to the application, interpretation or effect of these regulations, the decision of the Chief Manager ( Plant Maint) in that behalf shall be final and binding on the contractor

The contractor shall coordinate with the owner’s, other contractors, compare specifications, time schedule and so arrange his work that there will be no interference. Particular Specifications

Section-I

1. Special Requirement General:

(a) Particular specification given hereinafter are in brief and only to particularisation aimed and emphasize the specification given in the MES schedule which are not repeated here. (b) The work shall be done as per Indian Standard where applicable as per MES- SSR and as per sound engineering practice in order of preference.

2. MES-Schedule of specifications:

General rules, preamble, special conditions, method of measurement etc. specified in MES schedule and specification shall form part of the contract. In case of any discrepancy between the provisions in the contract conditions and the MES schedule the conditions of the contract shall /take precedence.

3. Security and Passes etc. (a) Engineer –in-charge shall at his discretion have the right to issue passes to control the

admission of the contractor, his agents, servant and work people to the site of work or any part there of. The contractor shall on demand by the E.I.C. submit a list of the personnel concerned and shall satisfy the E.I.C. as to bonafide of such people passes shall be returned at any time on demand by EIC and in case on the completion of the work.

(b) The contractor and his work people shall observe all the rules promulgated by the

authority controlling the area in which work is to be carried out i.e. prohibition of smoking and lighting fire or precautions, search of persons and for vehicles on entry and exist keeping to specific routes observing specified timing etc. No extra payment shall be admissible for any man hours etc. lost on this account.

(c) If the contractor desires to employ female labour on work to be carried out inside the area

of factory ,Depot ,Park etc. and a female searchers is not borne on the authorised strength of the Factory ,Depot, Park etc. at the time of submission of the tender shall be deemed to have allowed in his tender for pay and allowances etc for a female searcher (Class IV servant ) calculated for the period female labour is employed by him inside that area. If more than one contractor employ female( labour any) during any month and female searcher ( s) has / have to be employed in addition to the authorized strength of the

factory, depot protect. The salary and allowances paid to the additional female searcher (s) shall be distributed on equitable basis between the contractors employing female labour taking into consideration the values and periods of completion of their contracts.

The Chief Manager (Plant Maint) decision in regard to the amount recoverable in this account from any contractor shall be final and binding.

(d) This clause shall be applicable only to areas where security conditions are in force .The

contractor shall ascertain the actual position from Chief Manager (Plant Maint). Even where security conditions are in force, contractor’s transport and labour shall follow routes indicated by the engineer –in –charge.

4. Site Visit:-

(a) The contractor is required to visit the site of work with prior appointment with the Chief Manager (Plant Maint) and make him thoroughly acquainted with the working conditions, availability to site of materials and all other cognate conditions in connection with.

(b) A tenderer, whether or not visited the site will be deemed to have ascertained the requisite knowledge of the materials and labour and such other conditions which are likely to affect his prices and execution / completion of work.

(c) The site of work is a restricted area and the contractor, his labour, agents and transport are however liable to be searched at any time or any number of time by the security staff.

5. Signing of the contract documents

The person signing the tender or on behalf of the another or on behalf of a firm shall attach with the tender proper power of attorney duly executed in his favors by such other person or by all the partners stating that he has authority to bind such their persons or the firm as the case may be in all matters pertaining to the contract including the arbitration clause.

6. Contract Document:

(a) The contract document is confidential and must be strictly confined to the contractor‘s own

(except so for confidential enclosure to sub contractor or supplier is necessary) and to the purpose of the contract.

(b) For the purpose of inspection of relevant documents other than those sent here with, the

contractor is required to contact Chief Manager (Plant Maint), HAL, Avionics Division, Korwa who shall give reasonable facility for the purpose.

7. Order under contract:

All tender, notices, etc to be given under the contract shall be in writing, type-script or printed and if sent by registered post to the last known place of above or business of the contractor shall be deemed to have been served on the date where in the ordinary course of post it would have been delivered to him .The contractor shall carryout without delay all order given to him.

8. Issue of Notice:

Subject as otherwise provided in the contract all notice to be given on behalf of the company and all other actions to be taken on behalf of the company may be given or taken by the Engineer –in-charge or any officer for the time being entrusted with the functions, duties and power of the Engineer –in-charge

9. Stacking of Materials:

All material brought to site of work for incorporation therein shall be stacked at place and in manner as directed by the Engineer –in-charge.

10. Attendance open department labour or other agencies:

The contractor shall permit free passes and afford all facilities and usual convenience to other agencies of department workmen to carry out work, if any, under separate arrangement without any extra payment on this account.

11. Record of Consumption of Cement:

a) For the purpose of keeping a record of cement issued and consumed in work the contractor shall maintain a properly bound register and separately for each site in the form approved by the Engineer –in- charge showing daily receipts from the company quantity used in works and balance in hand .This register shall be signed daily by the contractor‘s representatives in token of correctness of the entire entries made .It shall be signed in token of check by the company ‘s representatives as follows:-

i) Daily by the Assistant Supervisor or Overseer placed on the work. ii) Fortnightly by the Engineer –in-charge of supervision.

b) The register shall be kept at site in the safe custody by the contractor during progress of

the work and he shall on demand produce the same for certification of Inspecting Officer. c) Theoretical consumption of cement will be based on attached constant for the cement with

3% variations on either site. The cement used in excess or less than the variation limit shall be recovered at double the issue rate specified in the Schedule ‘B’.

12. Accepting of Tender:

The tender shall remain open for acceptance for a period of minimum three months from the date of receipt of the tender.

13. Materials and Stores:

The contractor shall obtain the store from the reputed firm approved by the ISI/EIC. The sample shall be got approved before he places bulk order for the same .All materials shall be brought to site with original container /wraps intact. The materials have got to be approved

by the EIC before incorporating in the works .All the rejected materials shall be removed from the site of work with in the time limits specified by EIC.

14. Issue of Essentiality Certificate:

Contractor may be issued on essentiality certificate on request for procurement of steel (to be incorporated in the work) from Government agencies but in no way the department will be responsible for the supply of steel by Government agencies for either extension of time or any other claim whatsoever.

15. Use of existing building:

The contractor shall not use existing building latrines /bath and other building for his work people , storage of his materials or for any other purpose unless to do so in writing by the Chief Manager (Plant Maint).

16. Steel & Iron Works:

Payment of steel under the contract shall be on metric unit for the purpose of weight of various items as per standard weight norms given in MES-SSR.

17. Material of proprietary nature;

(a) Proprietary articles such as Bitumen, Tar ,water proofing compounds, paints and the

like quantity can not be checked after incorporations in the work shall when collected at site and recorded in the measurement books signed both by the contractor and EIC as a check to ensure that the required quantity has been brought at site for incorporation in the work.

(b) Materials for which the contractor is unable to produce authentic vouchers shall be

rejected except that in case of each category of materials in less than Rs. 500.00 production of vouchers may not be insisted upon if the EIC is other wise satisfied with the quality and quantity of materials brought at site for incorporations in these works .

(c) The contractor shall ensure that the materials are packed in original sealed containers /

packing bearing manufactures markings and brands etc. (Except where the quantity require is a fraction of the smalls packing).

Materials not complying with the requirements shall be rejected.

(d) The contractor shall obtain the specified bitumen directly from the manufacturer or from

their authorized stockiest, if any. He shall obtain other materials of proprietary nature from the firms approved by the Chief Manager (Plant Maint) or through their authorized stockiest only as proof that he has actually brought the materials from the authorized firms /stockiest the contractor shall produce them showing quantities and qualities or materials to satisfy Chief Manager (Plant Maint) that materials comply with the specification. These vouchers shall be endorsed, dated and initialed by the EIC

giving the correct number and name of work and certified copy of each such voucher signed by the EIC and contractor and shall be kept as HAL record.

18. ISI certified materials:

Proprietary materials bearing ISI certification markings will be given preference on non certified goods even though the manufacturer of the latter may claim that their products confirm to ISI specification.

19. Cleaning Down etc. :

The contractor shall clean all floors, remove cement, lime or paint drops etc. touchup all

paints work and carry out all necessary items of works in connections with and leave the whole premises clean and tidy before handing over the building for immediate occupation with out any extra cost

20. Materials obtained from dismantling:

All materials obtained from dismantling shall remain HAL property and contractor shall be responsible for the safe custody of all such materials till these are returned by the contractor to HAL store yard and a proper receipt is obtained in this regard .No extra claim on this account shall be entertained .

21. Employment of Licensed plumber & Electrician:

All water supply and electrification works required to be executed under this contract shall be done by the qualified plumber and Electrician, holding a licence from appropriate authority. Contractor shall intimate to the EIC names and addresses of all such Plumber / Electricians employed by him immediately as on their employment to unable him to verify that work is not being done by unauthorized person.

22. Layout of Electrical wiring and water supply :

Layout of electrical wiring and water supply line shall be indicated on walls lightly by chalk for approval of EIC and their actual fixing shall be carried out only after the EIC approval in writing. Similarly the laying of all pipes and cable in trenches shall be subject to prior written approval of the EIC.

23. Unit rate in Schedule “A”:

The rates quoted by the contractor shall be deemed to allow all minor extras and constructional details which are not specifically shown on essential to the execution of work to confirm to good workmanship and sound engineering practices. In case of difference of opinion as to whether or not a certain, item of work constitute of minor extra and constructional details are included in contractor ‘s price and decision of the Chief Manager (Plant Maint) shall be final ,conclusive and binding .

24. Damage to Existing Roads, Apron, Drains etc:

The contractor shall be responsible to reinstall and make good any damage done by the workman etc. to existing road, drains, pipes, cable etc. at his own expenses. Rectification, reinstallment, replacement, making good or touching up etc, shall confirm to the standard of workmanship and materials originally used and finished to entire satisfaction of the EIC.

25. Recovery from contractor:

Whenever any claim for the payment of sum of money arises out of or under this Contract against the contractor the same may be deducted form any sum then due or which at any time thereafter may become due to the contractor under the contract or under any other contract with the company or from his security deposit , he shall pay , claim on demand any amount due to the contractor under this contract may be adjusted against any amount then due to which may any time there after become due to the company on any other contract with company . If as a result of audit and technical examination any over payment is discovered in respect of any work done by the contractor or alleged to have done by him under the contract it shall be recovered by the company from the contractor by any or all of the methods prescribed above .

Provided that nothing here in after contained shall entitles the company to recovery any over payment in respect of any price agreed between the Chief Manager (Plant Maint) and the contractor under the circumstances specially prescribed for such method of assessment and that the said right of the company to adjust over shall not extend beyond period of three year from the date of payment of the final sum. All notices under these conditions shall be given by Chief Manager (Plant Maint).

26. Termination of contract :

If at any time after the acceptance of the tender ,the company shall for any reason what so ever not require the whole or any part of the works to be carried out Chief Manager (Plant Maint) shall give notice in writing of the fact to the contractor who shall have no claim to any payment of compensation or otherwise what so ever on account of any profit for advantage which might have derived from the extension of the work in full but which did not deprive on consequence of the foreclosing of the work . He shall be paid at contractor rates, for the full amount of the work executed including such additional works e.g clearing of site etc as may be rendered necessary by the said foreclosing . He shall be allowed a reasonable payment as decided by the Accepting officer for any expenses sustained on account of labour and materials collected but which could not be utilized on the works as verified by Chief Manager (Plant Maint).

27. Labour Strength:-

The contractor shall submit daily report to the E-I-C regarding strength of labour employed by him on the work both skilled and un-skilled with prescribed statement. The contractor if

directed by E-I-C. shall increase or decrease the strength of the labour without demanding any reason thereof.

28. Programme of Work:-

The contractor shall furnish for the approval of the E-I-C. a schedule giving the programme of the work. The E-I-C may suggest suitable modification in the programme prepared by the contractor. Adoption of any such changes shall not entitle the contractor for claiming extra rate or payment for the same.

Annexure –D

INSTRUCTION ON SAFETY CODE

1. Suitable scaffolds shall be provided for workmen for all work that cannot safely be done from the ground from solid construction except such short period work as can be done safely from ladders. When a ladder is used for carrying materials suitable footholds aid hand –holds shall be provided on the ladder and the ladder shall be given an inclination not steeper than ¼ to 1(1/4horizontal and 1 vertical).

2. Scaffolding for staging more than 3.25 meters above the ground or floor, swing or suspended

from an over head support or erected with stationary support , shall have a guard rail properly attached, bolted braced and otherwise secured at least 1 meter high above the floor or platform of such scaffolding -or staging & extending along the entire length of the out side and ends thereof with only such openings as may be necessary for the delivery of materials . Such scaffolding or staging shall be so fastened as to prevent it from swaying from building or structure.

3. Working platform, gangways and stairways shall be so constructed flat they do not sag unduly

or unequally, and if height of platform or gangway or stairway is more than 3.25 meters above ground level or floor level, it shall be closely boarded, have adequate width and be suitably fenced, as described in 2 above.

4. Every opening in floor of a building or in a working platform shall be provided with suitable

nearest to prevent fall of persons or materials by providing by suitable fencing or railing with a minimum height of 1 meter.

5. Safe means of access shall be provided to all working platforms and other working places.

Every ladder shall be securely fixed. No portable single ladder shall be over 9 meters in length, width between side rails in a rung ladder shall in no case be less than 30 cm. for ladders up to and including 3 meters in length. For longer ladders this width shall be increased at least 6 mm. for each addition 30 cms of length uniform step spacing shall not exceed 30 cm.. Adequate precautions shall be taken to prevent danger from electrical equipment. No materials on any of the sites shall be so stacked or placed as to cause danger or inconvenience to any person or the public.

The contractor shall provide all necessary fencing and lights to protect public from accidents and shall be bound to bear expenses of defense of every suit action of other proceedings at law that may be brought by any person for injury sustained owing to neglect of the above precautions and to pay any damages and costs which may be awarded in any such suit , action or proceeding to any such , person or which may, with the consent of the contractor ,be paid to compromise any claim by such person.

6. Excavation and Trenching : All tenches,1.5 meters or more in depth, shall at all times be

supplied with ,at least one ladder for each 20 meters in length or fraction there of . Ladder shall be extended from bottom of trench to at least 1 metre above surface of the ground. Sides of a trench which 1.5 meters or more in depth shall be stepped back to give suitable slope, or

securely held by timely bracing , so as to avoid the danger of sides collapsing .Excavated material shall not be placed with 1.5 meters of edge or trench or half of depth of trench, whichever is more. Cutting shall be done from top to bottom. Under no circumstances shall undermining or undercutting be done.

7. Demolition:-

Before any demolition work is commenced and also during the process of the work.

A) All roads and open area adjacent to the work site shall either be closed or suitably protect.

B) No electric cable or apparatus which is liable to be a source of danger over a cable or apparatus used by operator or shall remain electrically charged.

C) All practical steps shall be taken to prevent danger to persons employed, from risk of fire explosion or flooding. No floor, roof or other part or a building shall be so over loaded with debris or materials as to render it unsafe.

8. All necessary personal safety equipment as considered adequate by the engineer-in charge

shall be available for use of persons employed on the site and maintained in a condition suitable to immediate use and the contractor shall take adequate steps to ensure proper use of equipment by the concerned .

a) Workers employed on mixing- as phallic materials cement and lime mortars/Concrete

shall be provided with protective foot wear and protective goggles. b) Those engaged in handling any material which is injurious to eyes shall be provided with

protective goggles. a) Those engaged in welding works, shall be provided with welder’s protective eye-shields. b) Stone breakers shall be provided with protective goggles and protective clothing and

seated sufficiently at safe intervals. c) When work are employed in sewers and manholes ,which are in use ,the contractor

ensure that manhole covers are opened and manholes are ventilated at least for an hour to get into them. Manholes so opend shall be cordoned -off with suitable railing and provide with warning signals or boards to prevent accident to public.

f) The contractor shall, not employ men below the age of 18 and women on the work of

paying with products containing lead in any form whenever the men above the age of 18 are employed on the work of lead painting the following precautions shall be taken:

- No painting containing lead or lead product shall be used except in the form of Pasteur

ready made paint. - Suitable face masks shall be supplied for use, by workers when paint is applied in the

form of spray or a surface having lead paint dry rubbed and scrapped. - Overalls shall be supplied by the contractors to workmen and adequate facilities be

provided to enable working painters to wash during and on cessation of work. 9. When work is done near any place where there is risk of drowning , all necessary equipment

shall be provided and kept ready for use and all necessary steps taken for prompt rescue of any personal danger and adequate provision made for prompt first aid treatment of all injuries likely to be tained during the course of the work .

10. Use of hoisting machines and tackle including heir attachments, anchorage and supports

shall conform to the following. a) (i) These shall be of good mechanical construction, sound materials and adequate

strength and free from patent defects and shall be kept in good repair and in good working.

ii) Every rope used in hoisting or lowering materials or as a means of suspension shall be of durable quality and adequate strength and free from patent defects.

b) Every crane driver or hoisting appliance operator shall be properly qualified and no person under the age of 21 years shall be in charge of any hoisting machine including any scaffolds which gave signals to operator.

c) In case of every hoisting machine and of every chain ring hook, shackle swivel and pulley

block used in hoisting or lowering or as means of suspension safe working load shall be ascertain by adequate means. Every hoisting machine and all gear referred to above shall be plainly marked with safe working load. In case of a hoisting machine having variable safe working load, each safe working load and the conditions under which it is applicable shall be clearly indicated. No part of any machine or off any gear referred to above in this paragraph shall be loaded beyond safe working load except for the purpose of testing.

d) In case of departmental machine safe working load shall be notified by the Engineer –in-charge. As regards contractors‘s machine die, contractor shall notify safe working load of each machine to the Engineer –in charge when ever he brings it to site work and get it raffled by the Engineer –in charge .

Motors gearing, transmission electric wiring and other dangerous parts of hoisting appliance shall be provided with efficient safeguards hoisting appliance shall be provided with such means as will reduce to the minimum risk of accidental descent of load adequate precautions shall be taken to reduce to the minimum risk of any part of a suspended load becoming accidentally ,displaced .When workers are employed on electrical insulations, which are already energized insulating mats, working apparel such as gloves ,sleeves and boots as may be necessary shall be provided .Workers shall not wear any rings, watches and carry keys or other materials which are good conductors of electricity . All scaffolds, ladders and other safety devices mentioned or described herein shall be maintained in a safe condition and no scaffold ladder or equipment shall be altered or removed while it is in use. Adequate washing facilities shall be provided at or near places of work.

This safety provision shall be brought to the notice of all concerned by display on a notice board at a prominent place at the work spot. Persons responsible for ensuring compliance with flue safety code shall be named therein by the contractor.

To ensure effective enforcement of the tubes and regulations relating to safety precautions arrangements made by the contractor shall be open to inspection, by the Engineer –in-charge or his representatives and the Inspecting Officer as defined in the contractor’s labour regulations.

Notwithstanding the above condition 1 to 14, the contractor is not exempted from the operation of any other Act or Rule in force.

Preamble To Schedule ‘A’

1) The quantities given in schedule ‘A’ are purely for guidance of the contractor to enable

him to quote the rates. The quantities can be varied to any extent, items can be omitted, added or substituted at the discretion or the company. The contractor is bound to execute any items required for completion of the job or contingent on the work.

2) The rates quoted are for complete items covering any minor details even if not detailed any unless other wise specified as exclusive. 3) No claim whatsoever will be entertained for idle labour or any delay in decisions /drawing

etc. 4) Payment of running bills after submission, by the contractor with full supporting documents

will be subject to satisfaction of Engineering and audit authorities of HAL. No claim what so ever on any delay in payment shall be admissible.

5) The contractor shall not stop/low down the progress of the work for want of decision on rates of deviation items and bound to maintain the progress of the work. The decision by Ch. Mgr (Plant Maint) interpretation of contract shall be final and binding on the contractor.

6) The decision by Ch. Mgr (Plant Maint) on extra /deviation items and their rates will be final and binding on the contractor.

7) Any error in units appearing in printed Schedule ‘A’ such as M3 in place M2 or any such genuine mistake shall be subject to be corrected by Ch . Mgr (Plant Maint) and binding on the contractor.

8) Any work contingent on the main work located in HAL premises will be considered as one work though the location of individual work may be away from each other.

9) Where there is duplicacy or any over lapping in schedule ‘A’ items or any portion there of the contractor will execute after decision from E.I.C. & he will be paid once without any claim what so ever.

10) The rate quoted shall include execution of work according to MES SSR 2010 Zone ‘C’ India / Bharat Standards for material /Workmanship and code of practices, sound engineering practice and as per direction of E.I.C. in order of preference.

11) Wherever sand is to be used, it shall be coarse except under floors / floors /foundations (where specifically mentioned).

12) The drawings shall be used progressively during the currency of the work as per site requirement. No claim what so ever on this account shall be entertained.

13) The drawing is subject to change /revision due to architectural /structural requirement etc. and working drawings shall be issued from time to time.

14) The contractor must deploy tradesman with proven performance and will take prior approval of Engineer –in –charge to his satisfaction before deployment.

SCOPE OF WORK:

a) The scope of work includes Rate Contract for Repair & Rewinding of Single phase motors at vendor site as listed in Schedule A.

b) The scope of work includes replacement of Bearing, Capacitor, Nuts, Bolts and rework of Motor shaft, grinding etc.

c) Motor is to be collected from HAL Korwa for repair at vendor’s site. After repairing, vendor will have to return the motor to HAL Korwa. The vendor will use standard HAL gate pass for the same.

d) The contract will be up to 31st March 2016. The single phase motors will be sent in batches. After receiving a particular lot, work is to be completed in 30 days.

e) The winding of motor should be by copper wire only.

f) For accessing the spares, and requirement of motor shaft machining & grinding, motors are to be opened in HAL by vendors. If it is not possible it may be opened at vendor’s site in the presences of HAL personnel before start of work.

g) All replaced old parts except burnt winding is to be returned to HAL as a proof of replacement.

h) The price of the above scope of work will be based on individual rate of rewinding plus cost of spares, motor shaft machining & grinding on actual basis plus taxes and, freight & insurance, levies etc.

i) Work order will be awarded on L1 basis, Grand total of rewinding cost & spare cost. PRICES: a) The price of the above scope of work shall be on the total rate basis. b) Prices are inclusive of all taxes, levies, freight & Insurance etc. HAL has no liability in this regard. c) Payment of spares including motor shaft machining & grinding will be made on actual basis after

opening of single phase motors. d) Sales tax & service tax will be deducted as per Government rules. TERMS OF PAYMENT:

100% Payment will be made for each satisfactory completion of repair & rewinding work within 30 days after due certification of Engineer-in-charge.

OTHER TERMS & CONDITIONS: 2 % Income tax/as applicable shall be deducted as per rules.

PENALTY:

For non completion of work within the stipulated period, penalty shall be levied @1% per week or part there of on the total value of work order subject to maximum of 10%.

WARRANTY:

Any defaults reported during one year shall be attended or carried out free of charge by the contractor either at HAL Korwa site or taking motor to contractor’s site free of cost.

SECURITY DEPOSIT:

You will be required to furnish security deposit of 10% of order value in the form of Demand draft from Nationalized Bank drawn in favour of HAL Korwa Division, Amethi, (U.P) for the fulfillment of contract.

DEFECT LIABILITY:

One half of the security deposit amount will be retained as defect liability for a period of one year from the date of handing over to HAL.

RISK PURCHASE CLAUSE:

HAL reserves the right to cancel/terminate the contract if the service are not provided in time and also reserves the right to get the work done form other source at the risk and cost of vendor.

AGREEMENT:

An agreement on a Non Judicial stamp paper of value Rs. 100/- will have to be executed as per standard format within 30 days of the acceptance of order or before start of work whichever is less.
