Liquefied Petroleum Gas and Equipment

Sealed Proposals to be Received by January 22, 2018 at 2:00 p. m.The Russellville City Board of Education (RCBOE) is seeking proposals from qualified and certified suppliers for a five (5) year lease agreement with a Liquefied Petroleum Gas (LPG) supplier to furnish all equipment, LPG (Liquefied Petroleum Gas), and infrastructure as noted for one (1) locations as noted to fuel buses.

Responses must be in a sealed envelope and marked “Request for Proposal FY2018-02, Liquefied Petroleum Gas and Equipment.” Proposals may be hand delivered or mailed to the Russellville City Board of Education, Attention: Heath Grimes, Superintendent, 1945 Waterloo Road, Russellville, Al 35653. Please allow ample time for delivery of mail by the postal service.

Sealed proposals will be publicly opened on January 22, 2018 at 2:00 p.m., at the Russellville City Board of Education, Russellville, Alabama. Proposals will be evaluated after the proposals have been reviewed for responsiveness by the Transportation Director. An apparent award will not be determined at the time of opening.

Proposals received after 2:00 p.m. on January 22, 2018 will be considered a “No Bid” and will not be opened.

The Russellville City Board of Education reserves the right to award by line item, to accept or reject any or all proposals, to waive any irregularity in proposals received, and to accept the proposal that in the district’s best judgment is from the lowest, most responsible and responsive Contractor/Supplier.

In the operation of the Russellville City Board of Education, it is the policy of the Board of Education that no person shall, on the grounds of race, color, national origin, handicap, disability, or sex, be excluded from participation in, be denied the benefits of, or be subjected to discrimination in educational programs, activities, or employment practices.

Section I - Preparation and Submission of Proposals

1. Introductiona. To be entitled for consideration, sealed proposals shall be submitted in accordance with the

included instructions. The original must be submitted in sealed envelope and received in the Board Office, 1945 Waterloo Road, Russellville, Al 35653, no later than the date and time set forth in the “Request for Proposal,” at which time and place the proposals will be opened.

b. Suppliers are instructed to read carefully all terms, conditions and specifications as set forth in the proposal. Proposal forms must be completed in their entirety. Any correction made on the proposal form (white out or strike through) must be initialed by an authorized representative of the company submitting the proposal or the proposal may be rejected by the RCBOE. Each supplier is required to furnish all information requested in the proposal.

c. Proposals received after the date and time specified will not be considered.

d. The Owner reserves the right to reject any or all proposals and to waive technicalities and informalities. The judgment of RCBOE on such matters shall be final.

2. Owner

The Owner for whom work will be executed is:

Russellville City Board of Education, Alabama, hereinafter “RCBOE.”

3. Preparation of Proposalsa. All proposals shall be printed in ink or typewritten. No erasures permitted. Errors may be crossed

out and corrections printed in ink or typewritten adjacent to the error. The person signing the proposal shall initial correction in ink. One (1) original must be provided.

b. Specifications used are intended to be open and non-restrictive.

c. Brand names and numbers when provided in solicitations are for reference to establish a quality standard. Any reference to a brand name shall not be construed as restricting to that manufacturer (unless “no substitutes” is stated). Proposals on equal items will beconsidered, provided the proposal clearly describes the article offered and it is equal or better in quality and function and fully compatible with this requirement.

d. By submitting a proposal the vendor warrants that any goods supplied to the RCBOE meet or exceed specifications set forth in this solicitation except as may be otherwise noted in the vendor’s exceptions.

e. If bidding on other than the make, model, brand, or number as requested in the solicitation and offered as an equal, complete technical information, specifications, manufacturer’s name and catalog reference shall be clearly stated on the proposal or on an attached letter. Any deviation between brand offered and brand specified shall also be clearly indicated. A complete list of deviations and a descriptive catalog cut shall be attached to proposal.

f. The Transportation Director will be the sole judge in making determination as to the quality. Bid on each item separately. Prices shall be stated in units specified in the solicitation.

g. All supplies, materials, and equipment provided to RCBOE shall be new and in first-class condition unless the solicitation specifically allows offers of used, reconditioned, or remanufactured items.

h. Time of delivery is a part of the solicitation and an element of the contract that is to be awarded. If the supplier cannot meet the required delivery date (where applicable and defined), a proposal should not be submitted. Time shall be stated in “calendar” day. Failure to deliver in accordance with the contract could result in the vendor being declared in fault and subject. In lieu of canceling the purchase order, the RCBOE may levy a charge for each day beyond the required delivery date that the successful vendor fails to complete delivery. Such charge is not a penalty, rather it is the agreed upon liquidated damages representing the estimated damages that will be incurred by the RCBOE as a result of the vendor’s failure to deliver as required. Partial completion on a purchase order will not exempt a vendor from this charge. RCBOE further has the right after assessing such charge, and after the continuing failure of the vendor to make complete, to terminate the purchase order.

i. Proposals shall be signed by an authorized officer of the company.

j. Telephone or fax proposals in lieu of this form will not be accepted.

4. Failure to Bid

If a proposal is not submitted, the solicitation is to be returned marked “no bid.” Failure to provide a proposal or “no bid” may result in the company being removed from the RCBOE mailing list.

RCBOE is exempt from all sales tax and Federal Excise Tax. These taxes shall not be included in the proposals.

6. Charges and Extras

Proposals are to be firm net prices, F.O.B. destination, freight prepaid, to include all charges for delivery, unloading, placing in our building as directed by the authorities in the building, express, parcel post, packing, cartage, insurance, license fees, permits, cost of bonds and any other cost.

7. Solicitation Questions

Questions regarding this solicitation shall be submitted via email to Alan Wilson [email protected] or addressed to Transportation Director, 1945 Waterloo Road, Russellville, Al 35653. Questions should be submitted no later than one week prior to solicitation date.

8. Addenda

It is the vendor’s responsibility to check the RCBOE website for any addenda, responses to vendor questions, or other communications which may be necessary during the solicitation period. Following receipt of vendor responses to a solicitation, it is the vendor’s responsibility to be available via email, phone and/or fax during the review process in the event that clarification or additional information is required. If clarification or additional information is requested, the responsibility rests on the vendor to ensure that RCBOE receives said information prior the deadline(s) indicated.

9. Revision or Withdrawal of a Proposal

A proposal may be revised or withdrawn by the Contractor/Supplier prior to the proposal opening date and hour with the permission of the RCBOE Transportation Director. Requests to withdraw a proposal, along with supporting documentation, will be made in writing to the Transportation Director. After the proposal opening, the RCBOE Transportation Director will permit withdrawal only when the best interest of RCBOE would be served. Generally, withdrawal will only be allowed in cases where there has been an honest mistake made in preparing the proposal not resulting from negligence and the mistake is clearly ascertainable. If withdrawal is allowed, RCBOE reserves the right to disqualify the withdrawing Contractor/Supplier from bidding on RCBOE solicitations for a period of up to one year.

All property or services furnished shall comply with all applicable Federal, State, and Local laws, codes, and regulations.

11. Purchasing Policy

By acceptance of this solicitation a Contractor/supplier, potential contractor/supplier, or contractor agrees to be bound by the RCBOE Purchasing Policy and Purchasing Regulations in any issue or action related to this solicitation or subsequent contract resulting from this solicitation.

Section II - Contract

1. The Russellville City Board of Education (RCBOE) is seeking a five (5) year lease agreement with a Liquefied Petroleum Gas (LPG) supplier to furnish all equipment, LPG (Liquefied Petroleum Gas), and Infrastructure as noted for one (1) location as noted to fuel buses.

The agreement shall be for an initial period of three (3) years from the date of Board approval with two (2) twelve (12) month extensions. The contract shall terminate immediately at such time as appropriated and otherwise un-obligated funds are no longer available to satisfy the obligations of the RCBOE under the contract. The determination of the occurrence of such unavailability of funds shall be made by the RCBOE in its sole discretion and shall be conclusive.

2. The Contract Agreement (where applicable) and Alabama Security and Immigration Compliance Documents must be completed by the contractor/supplier and returned with the proposal.

Contractor’s full compliance with all applicable federal and state security and immigration laws, including the E-Verify and Immigration Compliance Act. Contractor is required to affirm compliance by completing and returning the E-Verify and Affidavit of Immigration Compliance Documents with Contractor’s proposal. Award will not be granted until these forms are completed and in the possession of the RCBOE Finance Department.

3. Contractor/Suppliers Qualifications

The RCBOE, before Contract Award, may require contractor/supplier to document that they are “responsible” to the complete satisfaction of the RCBOE.

4. Samples Samples, when required, shall be furnished free of expense to the RCBOE. Samples shall be tagged with

bidder’s name and proposal number. Samples not used or not destroyed in testing will be returned to bidder upon request and at the bidder’s expense after contract award.

5. Prices Quoted

As described in the Special Terms and Conditions, all Proposal prices must remain firm. The quantities, if included, are estimated. Vendors are advised that the actual requirements may vary from those listed depending upon the needs of the RCBOE and availability of funds.

6. Rejection of Proposal

Proposals will be rejected if:

a. The bidder fails to submit requested samples with the time specified by RCBOE.b. The Proposal contains a minimum order/ship quantity or dollar value.c. The Proposal contains a prepayment and/or progress payment requirement (unless called

for in the solicitation).

d. The Proposal contains provisions for late charges whether designated as interest charges or otherwise.

7. Discounts

Award will be made on the basis of the net unit price or the all items net price. When submitting proposals or quotations, all discounts shall be calculated by the bidder and reduced to a net unit price or, when requested, to an all item net price. Discounts offered in any other form or time limit will not be considered in making the award.

Section III - Post Award

1. Assignment By the submission of this proposal, the bidder agrees not to assign the contract or purchase order to

others unless specifically authorized in writing by the RCBOE Procurement Director.2. Payment All invoices should be mailed to Russellville City Board of Education, Attention: Accounts Payable, 1945

Waterloo Road, Russellville, Al 35653. Payment may be made when the item/product has been satisfactorily delivered complete; within thirty (30)

1. Liability Insurance

Within three (3) working days of notification of award, the awarded vendor must provide proof of liability insurance coverage. for a minimum of $1 Million for single liability (CSL - Combined Single Limit). Statutory Workers’ Compensation must also be provided. The vendor awarded the contract should mail or fax the Certificate of Insurance to the RCBOE Purchasing Department at 256-332-7323.

• Commercial General Liability with limits of $1,000,000 and $2,000,000 aggregate. Coverage must include products and completed operations with reporting of claims on occurrence basis.

• Commercial Auto Liability with limits of at least $1,000,000 CSL (Combined Single Limit) or $500,000/$1,000,000/$500,000.

• Umbrella Coverage in excess of GL and Auto of at least $2,000,000.• Statutory Workers’ Compensation.• Employer’s Liability of at least $100,000/$500,000/$100,000.• Russellville City Board of Education must be named as an additional insured on all

applicable policies. The insurance carriers should be licensed to do business in the State ofAlabama and carry an AM Best rating of A- or higher.

Proof of insurance is not required with submission of proposal, but must be made available upon request including during the evaluation process. RCBOE will require proof of insurance before issuance of Award Letter/Contract. By participating in this solicitation and/or signing the Contract Agreement, the awarded contractor agrees to comply with insurance requirements as specified.

The contractor/vendor shall hold harmless the Russellville City Board of Education from any and all claims, suits, actions, damages, liability, and expenses in connection with loss of life, bodily or personal injury, or property damage, including loss of use thereof directly or indirectly caused by, resulting from, arising out of or occurring in connection with the performance of this contract. The contractor’s obligation shall not be limited by or in any way to any insurance coverage or by any provision in or exclusion or omission from any policy of insurance.

2. Security

Upon arrival at location, Contractor must check in with the office to notify the school/bus shop that contractor work is being performed. This is to be done for every day Contractor is on site. Failure to do so may void contract.

The Contractor shall provide the number of qualified employees required to complete the work within the allotted time and these employees shall meet with the approval criteria specified in this proposal. The

Contractor will remove, or cause to be removed, any workman or workmen that the RCBOE deems unsuitable. Contractor has sole responsibility for suitability of all his employees, including background screening and employment verification status (I-9).

3. Background Screening

RCBOE may require contractors to perform background screening on any employee or subcontractor that will be working on the RCBOE property (delivery personnel included).

If requested, a comprehensive criminal history background screening shall be required on each applicant assigned to RCBOE. Minimum findings that warrant exclusion include:

- Any felony conviction - Any drug conviction- Any crime against children - Any sex-related conviction

When background screening is required, screening results must be provided to the RCBOE Transportation Department upon request by the RCBOE.

Please note: It is preferred that all necessary screening be completed prior to employee beginning work. If business demands warrant assignment before the screening is completed, then it is acceptable for employee to begin assignment as long as the background screening is in progress and the application for employment does not list offenses of any type. RCBOE must be informed of any employee assigned without completed background screening and the results must be on file within 30 days.

4. Non-Discrimination

The contractor, by the submission of a proposal or the acceptance of an order or contractor, does agree in providing the goods and services covered under the proposal or contract not to discriminate in any way against any person or persons or refuse employment of any person or persons on account of race, color, religion, age, disability, national origin, sex, or any other legally protected status.

5. RCBOE Non-Discrimination

Russellville City Board of Education does not discriminate on the basis of race, color, religion, sex, national origin, age, disability, or any legally protected status in any of its employment practices, education programs, services, or activities.

6. Drug-Free Workplace

By submission of a proposal, the bidder certifies that he/she will not engage in the unlawful manufacture, sale, distribution, dispensation, possession, or use of a controlled substance or drug during the performance

of the contract and that a drug-free workplace will be provided for the contractor’s employees during the performance of the contract. The bidder also certifies that he will secure from any subcontractor who works on the contract, written certification of the same drug free workplace requirements. False certification or violation by failing to carry out requirements may cause suspension, termination of contract, or debarment of such bidder.

7. Certification of Non-Collusion

By submitting a proposal, the bidder certifies “that this proposal is made without prior understanding, agreement, or connection with any corporation, firm, or person submitting a proposal for the same materials, supplies, or equipment, and is in all respects fair and without collusion or fraud. That collusive bidding is understood to be a violation of State and Federal law and can result in fines, prison sentences, and civil damage awards.”

8. Authorized Official

It is agreed that all conditions of the proposal shall be abided and that the person signing this proposal is authorized to sign the proposal for the bidder.

9. Debarment and Suspension Status

Supplier certifies that the supplier and/or any of its subcontractors (if applicable) have not been debarred, suspended, or declared ineligible by any agency of the State of Alabama or as defined in the Federal Acquisition Regulation (FAR) 48 C.F.R. Ch. 1 Subpart 9.4. Supplier will immediately notify RCBOE in writing if supplier is debarred by the State of Alabama or placed on a Consolidated List of Debarred, Suspended, and Ineligible Contractors by a federal entity.

F.R. Section 180.300 requires that when the School District enters into a covered transaction with an entity at a lower tier, the School District must verify that the entity is not suspended, debarred or otherwise excluded. “Covered transactions” include those procurement contracts for goods and services awarded under a grant or cooperative agreement that are expected to equal or exceed $25,000. Furthermore, grantees and subgrantees must not make any award or permit any award at any tier to any party which is debarred or suspended or is otherwise excluded. By signing this contract, you are affirming that neither you, the Supplier, nor any principal of the Supplier are at the date of your signature suspended, debarred or otherwise excluded.

Sealed Proposals to be Received by January 22, 2018 at 2:00 p.m.The Russellville City Board of Education (RCBOE) is seeking proposals from qualified and certified suppliers for a five (5) year lease agreement with a Liquefied Petroleum Gas (LPG) supplier to furnish all equipment, LPG (Liquefied Petroleum Gas), and infrastructure as noted for one (1) location as noted to fuel buses. Additional site(s) may need to be added in the future depending on growth and route scheduling. This project is to be 100% completed by the successful vendor. There is to be no additional expenditures to the school system for site prep and infrastructure to house the LPG equipment.

ANTICIPATED SCOPE OF WORK - LIQUEFIED PETROLEUM GAS & EQUIPMENT

1. Background:

The RCBOE anticipates purchasing one (1) or more LPG powered school buses. The use of LPG is new to the school district and will require a supplier that has the experience, knowledge, and capability of meeting the requirements of the RFP.

2. Requirements of the Fuel System:

A. The supplier will furnish all technical and professional services required to obtain and maintain compliant on-site refueling operations including but not limited to: site survey(s), drawings, permit applications, inspections, certifications, controls, protection and equipment. Equipment furnished under this specification shall be the latest improved model in current production, as offered to commercial trade, and shall be of quality workmanship and material. The vendor represents that all equipment offered under this specification will through the term of this agreement remain in good working order and shall be in compliance with the currentLiquefied Petroleum Gas (LPG) Safety Rules, National Fire Protection Association (NFPA-58) safety codes, and all other applicable Federal, State & local Codes or regulations.

B. All equipment (Tank, Pump, and Dispenser System) shall be considered leased and will remain the property of and in the care of the supplier for duration of the lease agreement.

C. The propane fueling station will be skid mounted, horizontal tank which must meet the plot size restrictions as determined by supplier. The tank shall be an ASME propane tank, 250 psi working pressure. The pump shall be a high differential pump. Initially the RCBOE expects to purchase 1 or more LPG powered school buses. The average annual route miles per bus is 6,000

D. The selected supplier is expected to provide training to RCBOE employees on all aspects of the onsite fueling system, to include, but not be limited to:

a. Autogas station operator & maintenance trainingb. Propane properties & characteristics, safe handlingc. Station operation and maintenance & fueling vehicle propane tanks

E. Billing and Supply Management

a. Supplier to provide monitoring of fuel levels and provide auto-replenish order and delivery.

b. Provide supply disruption plan and alternative fueling capability in theevent of site outages or natural disaster. Plan shall include bobtail truck fueling and 24-hour service.

c. Provide end customer billing/invoicing and bulk tank inventory reconciliation reports.

3. All site work and installation of said equipment must be coordinated with the Transportation Department.

4. Proposal Form

The proposal form shall be filled out in full. Each item quoted shall be described by brand name. Failure to provide this information on the proposal form may be cause for rejection of the RFP.

5. Method of Award and Delivery

RFP will be awarded on a lump sum basis to one supplier, and awarded in the best interest of the RCBOE.

Prices will not be sole determinant for the award. Proposals will be evaluated based upon the criteria formulated around best value, which may include among other criteria: price, quality, performance, references, financial information, and the ability to successfully supply services or commodities. A contract will be awarded to the most responsive and responsible vendor whose proposal meets the requirements, specifications, and contract terms contained in this RFP.

During the evaluation phase, discussions may be conducted with offerors who submit proposals determined to be reasonably likely to be selected for award. These discussions are for the purpose of negotiations, clarification, and to assure full understanding of any responsiveness to the solicitation requirements. Offerors will be accorded fair and equal treatment with respect to an opportunity for

discussion and revision of proposals. Purchasing may permit revisions, after submission and prior to award, for the purpose of obtaining best and final offers.

The RCBOE is not required to furnish a statement of the reason (s) why a proposal was not deemed to be the most advantageous. The RCBOE reserves the right to award the RFP under the most beneficial economic terms for the RCBOE.

Notice of awards will not be announced until approved by the RCBOE Board at their regularly scheduled board meeting.

All correspondence, including Notices of Awards and Purchase Orders, will be sent to the address appearing on the vendor’s proposal.

The following criteria will be used in evaluating and determining the awarded supplier for this project/service.

All items are to be quoted F.O.B. Destination; Transportation Fueling Sites, 26 Rube Courington Dr., Russellville, Al 35653. The title and risk of loss of the goods will not pass to the RCBOE until receipt and acceptance takes place at the FOB point.

6. Products Quoted

All equipment shall meet specifications with specified LPG gas as written.

7. Pricing and Contract Terms

A. All equipment below will be leased in accordance with the requirements of this proposal from the supplier for a period of three (5) years.

All other improvements made to the site locations such as electrical, concrete slab, bollards, etc., and at the end of the lease term becomes the property of RCBOE at no cost.

B. Pricing:

The Supplier shall price the LPG at a fixed margin over the posted wholesale cost of LPG at the Mont Belvieu, TX pipeline. The fixed margin will remain the same throughout the first three (3) years of the lease with an option to renew for two (2) one (1) year renewals with the fixed margin over posted wholesale presented to RCBOE four (4) months prior to the end of the initial three (3) year period. The only price change shall be the actual wholesale price as posted in the BPN (Butane propane News) weekly posting. A copy of the BPN report used for pricing is to be included with each invoice sent for payment, or an annual subscription to the weekly BPN newsletter shall be provided to the RCBOE.

C. The supplier shall assist the RCBOE with all required reports when filing for the annual Federal Tax Credit refund.

8. Mobile to Vehicle Refueling

Mobile to Vehicle Refueling, whereby the supplier presents that mobile refueling is the best option for an interim solution, the selected supplier shall be fully responsible for providing such services ensuring all federal, state and local regulations are met.

A. Vehicles will not be refueled inside a building.

B. Regular, agreed upon refueling schedules will be established based upon usage and vehicle availability. Refueling will not occur during high entry/exit traffic periods of the property.

C. Unscheduled, on-demand or emergency refueling must be provided within 2 hours of request.

D. Metering systems must be used that can capture fuel dispensed by vehicle and summarized by customer.

E. Supplier must have delivery capability for remote fueling of vehicles as required. This will be done by supplier vehicles and personnel and not sub-contractors or third-party designees.

F. Supplier will disclose the number of delivery vehicles available to service primary location and potential remote fueling needs.

3. What assistance can you offer in the development of an expanding autogas program, to include white fleet and lawn care equipment?

4. Please describe your experience and history of providing propane autogas refueling solutions to a school bus fleet.

5. Describe the solutions, functions and processes that distinguish your firm from your competitors.

6. Provide the number of clients serviced per month.

7. Please list your five (5) largest current school district clients, including reference contact names and titles as well as complete contact information.

8. Within the last 5 years, has your firm been and/or is it now involved as a defendant in any lawsuits or administrative charges/complaints surrounding any service types included in this RFP, including those filed by or for customers or employees of customer companies? If yes, please provide a brief summary of the case(s) and current status.

9. Identify and describe the industry standards that are adhered by you and how you meet or exceed such standards. Do you have ISO certification and if so, when did you receive it? Do you have other relevant certifications and if so, what are they and when did you receive them?

12. What is your contingency or disaster recovery plans should your operations be interrupted?

13. Describe in detail your quality control procedures to ensure that best in class products and services are provided on a consistent basis.

14. Define what the average turn-around time would be for refueling an on-site tank?

15. Do any options exist to request fuel on an “expedited” basis? How will that affect cost?

16. Can you provide emergency refueling services in the event a vehicle runs empty and needs road side assistance? If so, what are the associated cost(s)?

10. SPECIFICATIONS FOR THE FUELING DISPENSERS

1. LP gas dispenser must be capable to supply 10 gallons per minute, and not less than 8 gallons per minute. Pump shall be Corkin model HDP150 or approved equal with a minimum 7.5 Hp motor to ensure a minimum of 8 gallons per minute at a high differential pressure.

2. The Awarded vendor shall ensure that the refueling equipment offered remains in good working order and shall be and remain in compliance with all federal, state and local codes (including NFPA).

3. The Tank(s) shall be an ASME propane tank, 250 psi working pressure, of sufficient size as determinate of vehicles in the fleet and estimated weekly/monthly fueling requirements.

4. The Awarded vendor shall supply all safety training for the proper handling of propane and the proper method of refueling of SBBC buses.

5. The Awarded vendor shall be required to provide emergency refueling in the event of a break down or loss of power for an extended period at the on-site refueling location. This could be accomplished by fueling buses directly from a truck or through other means of providing temporary emergency fueling of buses.

6. The Awarded vendor will be responsible for all technical and professional services required to obtain and to maintain compliant on-site refueling equipment including: site survey (s), drawings, permit applications, certifications, equipment and inspections.

7. The Awarded vendor shall ensure all required safety measures and state, federal and local compliance regulations are satisfied.

1. Propane fuel must meet the vehicles’ manufacturers’ specification HD5 for Autogas vehicles.2. Filling tanks operations will take place daily or when needed.3. Propane delivery vehicles shall be equipped with a home state seal, -approved and -inspected

meter capable of providing a metered delivery ticket for each fueling station. Propane fuel will be delivered and dispensed in accordance with the applicable Federal, State and any local environmental regulations up to and including standards established by the Occupational Safety and Health Administration (OSHA) and NFPA.

CERTIFICATE OF NON-DISCRIMINATION

In connection with the performance of work under this contract, the bidder agrees as follows:

The bidder agrees not to discriminate against any employee or applicant for employment because of race, creed, color, sex, national origin or ancestry. In the event the bidder is not in compliance with this non-discrimination clause, the contract may be cancelled or terminated by the Russellville City Board of Education. The Russellville City Board of Education may declare the bidder, ineligible for further contracts with the Russellville City Board of Education until satisfactory proof of intent to comply shall be made by the vendor.

The bidder agrees to include this non-discrimination clause in any sub-contracts connected with the performance of this agreement.
