THIS AGREEMENT is made this 151day of July 2002, by and between the CITY OFDANBURY, 155 Deer Hill Avenue (hereinafter "CITY") and MICHAEL HALAS, of the City ofDanbury, County of Fairfield and State of Connecticut, (hereinafter "LICENSEE"):

WHEREAS, the CITY is owner of land at the comer of Barnum and Pembroke Road, inDanbury, Connecticut;WHEREAS, the LICENSEE wishes to beautify andmaintain said property in accordancewith the right and approval as granted by the Danbury Common Council on October 5, 1999, andin accordance with a letter of request to former Mayor Gene F. Eriquez, attached hereto andmade a part hereof, and subject to the terms and conditions provided for herein;

WITNESSETHTHAT CITY grants a license to the LICENSEE for the consideration of the mutual

promises contained herein, the right to maintain and beautify the premises located at the comerof Barnum and Pembroke Road, in Danbury.Said LICENSEE agrees to save harmless and indemnify the CITY from any 'and allclaims, actions and other proceedings arising as a result of the negligence or action of theLICENSEE.Said LICENSEE further agrees to provide to the CITY, a certificate of insurance namingthe CITY an a4ditional insured for the purposes of said intended use.Said LICENSEE further covenants with the CITY that it will commit no waste on the

premises, nor suffer the same to be committed thereon, nor injure or misuse the same, and alsothat it will not assign or sublicense the premises in any manner, but will deliver the premises tohe CITY at the request of said CITY at any time during the course of this Agreement.
