WHEREAS' PHILHTIALTH invited Bids for tre procurement of 6,000,000 piecesPhilHealth Number c'rds for the LGU-sponsored poor Families (ITB No. pNc LGU-sF 20u-010-GS) and har accepted a Bid by Allcard plastics philippines, Incorporated for thesupply of those goods in ttre sum of srxrEEN MrLr,roN TVENTT rHoasAND pEsos8hP16,020,000.00) AN'Lri ftereinafter called ..the Contract price').

NOW THIS AGREEMENT WITNESSETH AS FOLLOWSI

1. In this Agreemenr words and expressions shall have the same meanings as are respectivelyassigned to them in the Condinons of Contract referred to.

3. In consideration of the payments to be made by PHILHEALTH to ALLCAR_D ashereinafter mendr>ned, ALLCARD hereby covenants with PHILHEALTH to providethe PVC-type PhlilHealth Number Cards and to remedy defects therern per Annex E inconforrnity in a1l respects with the provisions of the ContracU

4. PHILHEALTH hereby covenants to pay ALLCARD in consideradon of the pro.i,rsionof the goods and services and the remedying of defects therein, the Contract Price orsuch other sum a; may become payable under the provisions of the contract at the nmeand in the manner: prescribed by the contr2ct.

Both parries hereby agree to keep the member data and details of LGU-Sponsored Progrlm Members confidentral, which will be provided as basis for printrng ofthe IDs. The sard Data shall be provided in cD Formaiwith one (1) d.,plicat copy. Itshall be kept confidential and ALLCARD shall ensure safety of the actr_rj drtu prooid"dand covenants drat the same will be retumed to philHealth. Further all copies, files,records retained with ALLCARD shall be kept confidential even after *re efiectiviw oitl.ris contracL.

For every deliver;' to and acceptance by PHILHEALTH of the finished cards, and thesubmission by ALLCARD of the STATEMENT OF BILLING ACCOUNT andother documentzLry requirements for such cards, PHILHEALTH sha1l pay, withinfifteen (15) worLing days, the sum as stated in the invoice/statement of billing accountand/or the cor:responding pnce of the IDs deLvered and accepted by PHILHEALTH.

First delivery shall be within thirty (30) days after issuance of the Notice to Proceed

Q'{TP), submission of the members' data record in CD Format and approval of the finalproof of card desrgn.

Second delivery shall be done within fifteen (15) days from the tumover of the members'Data record in CI) format.

Subsequent deliveries sha.ll be done widrin seven (7) days fiom dre tumover of tiemembers' data rer:ord in CD format,

The quantity of INCs based on the schedule of deliveries may be adjusted depending onthe avarlability oF members' data record and requests from the LGUs.

Upon each delivery by ALLCARD and acceptance of PHILHEAL'TH of delivered goodsand services, as ol:ligation for the Warranty, PHILHEALTH shall wrthheld ten percent(10%) of the pro[Fess payrnent of each delivery in the Whereas Clause hereof as retentjonmoney. The said proportional amount shall only be released after t}le lapse of three (3)

months after each delivery, which is dre warranty period for expendable supplies pursuantto Section 62 ofthe Revised IRR of Republic Act No. 9184. Provided thag the goods andsupplies are free ltom patent and latent defects and all the conditions imposed under thecontract are fully met. guafantee equlvalent to 2t le2st ten percent (107") of the total contaft price. The saidspecial bank guan'rtee must be valid at all time until three months after the last derivery.

MUTUAL NON"DISCLOSURE AGREEMENT

-WITNESSETH.

The Receiving Party desires to enter into contract with the Disclosing Pa y, Contract for the procurement of 6,000,000pieces PhilHealth Number Cards for the Lcu-sponsored Poor Familjes, heieinafter known as the ,,Transactioni,.

In rnecourse of conducting the transaction, Disclosing Party may share certain proprietary and confidential information with theReceiving Party. Therefore, in consideration of the mutual promises and covenants contained in this Agreement, the receiptand sufficiency of which is hereby acknowledged, the parties hereto agree as forrows:

1. CONFIDENTIALINFORIIIATION:

A. Definition of Confidenti;tl Information

(a) For purposes of this Agreemeni, "Confidential Information" means any data or information that is proprietary tothe Disclosing Party and not generally known to the public, whether in tangible and intangible form, whenever andhowever disciosed, ncluding, but noi limited to: (i) any strategies, plans, financial jnformation, or projections,operations, estimaterJ, business plans, and performance results relating to the past, present or future businessactivities of such party, its affiliates, subsidiaries and relating to the past, present or future business activities ofsuch pa(y, jts affiliat3s, subsidiaries and affiliated and/or contracting agencies/organizations/LGUs/companiesj(ii)plans for products or services, and membership\healthcare provider/supplier/contractor/accredited agents lists;(iii) any scientific or iechnical information, invention, design, process, procedure, formula, improvement,technology or method; (iv) any concepts, reports, data, know-how, works-in-progress, designs, developmenttools, specifications, computer software, source code, oblect code, flow charts, databases, inventions, informalionand trade secrets; and (v) any other information that should reasonably be recognized as proprietary orconfidential information of the Disclosing Party and/or of its affiliated/accredited/contracting entities. Confidentiallnformation need not be novel, unique, patentable, copyrightable or constitute a trade secret in order io bedesignated Confidential Information. The Receiving Pa(y acknowledges that the Confidential Information isproprietary to the Disclosing Party, has been developed and obiained through great efforts by the DisclosingPary and that the Disclosing Party regards all of this as Confldential Information.

As defined in PhilHe,alth Office Order No. 0050, s-2011 regarding the PhilHealth Policy on Confidentiality andSecurity of Protected Health Information, Confidential Information shall include, but not limited to, protected healthinformation, personal financial information, patient records, or informaiion gained from the Disclosing party.

Notwithsianding anything in the foregoing to the contrary, Confidential Information shall not include informationwhich: (i) was known by the Receiving Party prior to receiving the Confidential Information from the DisclosingParty (b) becomes rightfully known to the Receiving Party from a third-Party source not known (after diligentinquiry) by the Rece ving Pa(y to be under an obligation to Disclosing Party to maintain confidentiality; (c) is orbecomes publicly avirilable through no fault or failure to act by the Receiving Party in breach of the Agreement;(d) is required to be disclosed by law or regulation, although the requirements of paragraph 4 hereof shall applyprior to any disclosufe being made; and (e) or has been independently developed by employees, consultanis oragents of the Receiving Pgrty without violation of the terms of this Agreement or reference or access to anyConf idential lnf ornation. B. Disclosure of Confidenrtial lnformation

From tim-e to time,lhe Disclosing Party may disclose confidential lnformaiion to the Receiving party. The ReceivrngParty will: (a) limit disdosure of any confidential Information to its directors, omcers,

.obligations set forth in this Agreement and similarly stricfly require suchRepresentatives to keep the Confidential Information confidentialj (ci shall keep all Confidential tnformaiion stricuyconfidential by using a r€)asonable degree of care, but not less than tire degree of care used by it in sareguaroini rtsown proprietary/confidenl1al information; and (d) not disclose any confldeniial Information received by it to any iniroparties without the Disclosing Party's consent or as otherwise provided for herein.

Disclosing party shall be responsjble for any breach of this Agreement by any of its/his Agents and/or Representatives.

C. Use of Confidential Information

The Receiving Pa(y agr€,es to use lhe Confidential Informatjon solely in connection with the transaction contemplatedherein and not for any prurpose other than as authorized by this Agreement through a prior written consent ol anauthorized representative of the Disclosing Party. No other right or license, whether express or implied, in meconfidential information i$ granted to the Receiving Party hereunder. Title to the confidential information will remarnsolely in the Disclosing Party.

D. Restriction and Reproduction

The Receiving Party shall not copy, reproduce, summarize, disclose, share or distribute any Confidential Information,in whole or in part, excepl with priof written consent of the Disclosing party.

E. Me!3Sprnell_Silllleleg!:ual Propertv Riqhts

(a) The Receiving Pa(y shall refrain from any reverse engineering, decompiling or disassembling in connection withthe Confidential Infomation disclosed by the Disclosing Pa(y unless given priof written approval by the DisclosingParty.

(b) lf any copyrighted work or other creation is made by the Recejving Party upon the Confidential Informationsupplied by the Disclosing Party, the Receiving Party shall immediaiely notify the Disclosing Party and the Partieshereto shall determine the athibution and handling of rights including Intellectual Property Rights through mutuaiconsultation.

F. Compelled Disclosure 0f Contidential Inlormation

Notwithstanding anything in the foregoing to the contrary, the Receiving Party may disclose Confidential Informa1onpursuant to any governntental judicial, or administrative order, subpoena, djscovery request, regulatory request orsimilar mehod, provided that the Receiving Party promptly notifies, to the extent practicable, the Disclosing Party inwriting of such demand for disclosure so that the Disclosing Party at iis sole expense, may seek io make suchdisclosure subject to a protective order or other appropriate remedy to preserve the confidentiality of the Confidentiallnformationj provided in the case of a broad regulatofy request with respect to lhe Receiving Party's business (nottargeted at Disclosing Party). The Receiving Pa(y agrees that it shall not oppose and shall cooperate with efforts, tothe extent practicable, by the Disclosing Party with respect to any such request for a protective order or other relief.Notwithstanding the foregoing, if the Disclosing Party is unable to obtain or does not seek a protective order and theReceiving Party is legall) requested or required to disclose such Confidential lnformation, Disclosure may be madewithout liability.

G. Term

This Agreement shall remain in effect perpetually. The parties' duty to hold in confidence Confidential Informationdisclosed during the term ol this Agreement shall remain in full force and effect indeflnitely.

H. Remedies

Both parties acknowledge that the Confidential information to be disclosed as provided in the paragraph in No. 7 of theContract is of unique and valuable character, and that the damages caused by authorized dissemination of lhe ,7 -Confrdential lnformation lvould be impossible to calculate. Notice of Breach

Receiving Party shall notify the Disclosing Pa(y immediately upon discovery of any unauthorized use or disclosure ofConfidential Information ry Receiving Pary or its Representaiives and/or ihird persons, or any other breach of thisAgreementty Receiving Party or its Representatives, and will cooperate with efforts by the Disclosing party io n.fp in.Disclosing Party regain possession of confidentiar lnformation and prevent its fu(her unauthorized use.

K. Penaltv

In the ev€nt that the receiving party willfully discloses any such information as is refened to in paragraph No. 7 of thecontract in contravention of the provision of the said contract, on complaint made by or on behalf of phllHealth and arrstakeholders affected, be, punishable wth fine amounting to three (3) times of the contract prize or FORTY EIGHTl\/iLLlON SIXTY TH0USAND PESOS (php 48,060,000).

Miscellaneous Provisions

a This Agreement constitutes the entire understanding beiween the parties and supersedes any and all priorcontemporaneous understandings and agreements, whether oral or written, between the parties, with respect tothe subject matter hereof. This agreement can only be modified by a written amendment signed by the partyagainst whom enforcement of such modificatlon is sought.

b The validity, construdion and performance of this Agreement shall be governed and construed in accgrdance withthe laws of the Philippines applicable to contracts made and to be wholly performed wiihin the said jurisdiction,wiihout giving eflect lo any conflict of laws provisions lhereof.

c. Any failure by either party to enforce the other party's strict performance of any pfovision of this Agreement willnot constitute a waiver of its right to subsequently enforce such provision or any other provision of this Agreement.

d. Although the restriclion contained in th s Agreement are considefed by the parties to be reasonable for thepurpose of protecting the Confidential Information, if any such restriction is found by a court of competentjurisdictton to be un€nforceable, such provision will be modified, rewritten or interpreted to include as much of itsnature and scope as will render its enforceable. lf it cannot be so modified, rewritten of interpreted to beenforceable in any r(lspect, it will not be given effect, and the remainder of the Agreement will be enforced as ifsuch provision was not included.

e. This Agreement is personal in nature, and neither party may directly or indirectly assign 0r tfansfer it by operationof law or otherwise without the prior written consent of the other party, which consent will not be unreasonablywithheld. All obligalions contained in this Agreement shali extend to and be binding upon the parties to thisAgreement and their respective successors, assigns and desjgnees.
