James Gaughan asked the Board to put the motion back on the floor to fund the repairs to the Cobblestone School
House and vote to keep it in.
Assemblywomen Patricia Fahy gave a brief update on the State budget. She then urged the Board to spend the
money to stabilize the Cobblestone School House. She said she feels it is an important investment and she thinks of
it as a gem. She also said she would be willing to help the District with grants.
Jerry Houser spoke in support of repairing the Cobblestone School House. He gave examples of other lost historical
artifacts. He feels the school district is being neglectful to children's education by not using the building as a
education learning tool.
Ann Wemple-Person, Town of Guilderland town historian, spoke of the history of the Cobblestone School building.
She said the building, like the school system, was built to last. She recommended the Board make a small
investment to help stabilize the building then have a group of stakeholders decide what to do with it.
Kim Blasiak asked the Board to reinstate the occupational therapist assistant position for at least one more year. She
then invited the Board to a PTA meeting for special education parents on April 25 at 7:00 pm at Farnsworth Middle
School.
Kerry Dineen, building president at Pine Bush Elementary, asked the Board to reinstate the occupational therapist
assistant position and to lower class sizes at the Pine Bush Elementary School. She feels after two years of
expanding inclusion services the district has not moved any closer to the ideas.
Carol Rothenberg spoke in support for Cobblestone School House funding. She asked the Board to look into
obtaining grants but preserve the building for now. She feels that it should be included in the curriculum for
elementary students.
Kristin Casey spoke in support for Cobblestone School House funding. She said as stewards of the community and
educators we need to preserve our history. She said there are all sorts of possibilities for the building. The

community will come together to help. She asked the Board to do what is necessary to preserve the building and
vote yes to the funding.
Mary Giordano also spoke in support for the Cobblestone School House funding. She stated it is a great educational
opportunity. She asked board to look at it again and vote yes to the funding.
Donald Csaposs spoke in support of the Cobblestone School House. He said the District needs to be good stewards
for the community and maintain the building. He gave the Board information on two available grants.
Kathy Trestick asked the Board to reinstate the occupational therapist assistant position. She said she is worried the
workload will be very heavy and may result in her child missing out on services.

I. Curriculum & Instruction Information
A. Greater Capital Region Science and Engineering Fair
Congratulations to Guilderland High School tenth grader, Ved Kumar. Ved participated in The Greater
Capital Region Science and Engineering Fair (GCRSEF) on March 18th
at Rensselaer Polytechnic Institute.
His project titled, Vision Based Robot Intelligence came in 2nd
place in the senior division of the
competition, and he will be moving on to the nationals to be held in California from May 14-19.

B. Guilderland High School Teacher Selected as WNYT Top Teacher
Congratulations to Guilderland High School social studies teacher, James Corona who has been selected as
a WNYT Channel 13 Top Teacher. You can view the segment that was aired on March 22nd by visiting

C. Elementary Art Exhibit
Dr. Singleton invited everyone to visit the Guilderland School District elementary art exhibit at the
Guilderland Public Library. The exhibit will run through April 26th
.

D. 18th Annual Capital Region Juried High School Art Exhibition
This year’s exhibit will be held at the Opalka Gallery SAGE Colleges of Art and Design in Albany from
March 21 through April 23, 2017. The exhibit includes a variety of works selected by a panel of judges
from 20 Capital Region high schools. There were a total of 484 pieces submitted and 130 pieces selected.
In selecting student artwork for the annual Regional Exhibit, mastery of technical skill is a factor, as is
students’ ability to go beyond both technical competence and the apparent classroom assignments to
present original or unique visual solutions that reveal something of the artist. It is quite an honor to be
included in this annual regional exhibition.

E. Guilderland Music Ensembles Attend NYSSMA Evaluation Festival

Each year choral and instrumental ensembles from the Guilderland School District attend the NYSSMA
(NYS School Music Association) Major Ensemble Evaluations. In these events, large ensembles received
written and recorded comments, suggestions and critiques from two adjudicators. The music performed is
specifically selected from graded literature approved by NYSSMA and groups from across the state strive
for a perfect performance.
On April 10th-11th the following musical groups attended the instrumental evaluation at Shaker High
School:

These events are free and open to the public. Good luck to our young musicians and their teachers at this

F. Students Selected for Suburban Council Music Festival
The Suburban Scholastic Council Music Festival will be held at Schenectady High School on Saturday,
April 29, 2017. Over three hundred talented music students were selected from the fifteen Suburban
Council schools. The groups performing this year include a Middle School Band, Chorus and Orchestra as
well as a High School Jazz Band.
The Guilderland music department is pleased to announce that 26 students were selected by audition to
participate. Performing in the Symphony Orchestra under the direction of Michael Lee will be: Maia
Regan and Katelyn Waltz -Violin, Grace Wei - Viola, and Ivan Nieto - Cello.
The Concert Band includes Farnsworth Middle School students: Meghana Uppala - Flute,
John Giordano and Melody Yu - Clarinet, Elizabeth Novak - Bassoon, William Angus - Tenor Sax,
Bohdan Kinal- Bari Sax, Aidan Fusco and Alex Jambunathan- Trumpet, Anna Berezansky -
Trombone, Alexander Evans - Tuba. They will perform under the direction of Michael Christy.
Vocalists selected to sing with the Concert Choir include: Lacey Allen, Alejandro Castillo, Joanna Chen,
Aria Grisham, Emma Harbeck, Colin Dane Ingraham, Camille Lajoie, Jaimee Lowe, Jack Parsons,
Glenn Trechel, and Gregory Trechel. These students will perform under the direction of Anthony
Alvaro (West Genesee CSD).
Avery Heaney was selected to play the Bari Sax in the High School Jazz Ensemble, led by jazz educator
Mark Beaubriand.
Congratulations to all these fine young musicians and their teachers: Nancy Casellini, Susan Curro, Kristy
Dame, Shannon deFrancqueville, Kathleen Ehlinger, Claudia Feeney, Terri Meworter, Lee Russo, Jason
Utter, and Alexis Ziomek.
The concert on Saturday, April 29, 2017 at Schenectady High School East begins at 2:00 p.m. and is free
and open to the public.

II. School Business Information
A. District Health Insurance Committee Recommendation for the 2017-18 School Year
The District Health Insurance Committee consisting of representatives of the ten bargaining units along
with Lin Severance and Neil Sanders met four times during the 2016-17 school year to attend informational
sessions, review health insurance plan benefit designs and identify opportunities for cost savings. In
addition, representatives will attend a Spring Conference hosted by Amsure Associates, the plan
administrator for the Capital Area Health Insurance Consortium (CASHIC), on topics of interest for
CASHIC members intending to bridge the gap between labor and management to promote a shared
responsibility for employee health benefits.
Key Issues for 2017-18
At the federal level, the proposed repeal and replacement of the Affordable Care Act (ACA) failed to
garner legislative approval. The current provisions of the ACA remain in place but there is still a
possibility that the entire Act, or certain portions, could be repealed and replaced According to Amsure
Associates, the third part administrator for the health insurance consortium, any changes would not affect
our 2017-18 renewal.
The district’s medical premiums continue to trend below the national average, which is currently of 7.5%,
except for the MVP HMO plan. That consistent low level of volatility experienced with medical claims has
not carried through to prescription drugs. The increased availability of and utilization of high cost specialty
drugs with a projected 18.7% trend rate nationally, following an 18.9% increase last year, is causing
another large spike in the district’s premium rate. National surveys show that while typically less than one
percent of all medications are specialty drugs, those drugs account for 35% of the overall drug costs.
Finally, the Capital Area Schools Health Insurance Consortium (CASHIC) continues to grow. Next year
East Greenbush, Averill Park, and Troy will join the consortium.
The District Health Insurance Committee presents to the Board of Education for comment and discussion
the following recommendations for employee health insurance benefits for the 2016-17 school year:

a. Blue Shield PPO - $20 office copay with vision and dental coverage
Rate Renewal Increase: 5.9%
b. Blue Shield POS - $20 office copay with dental coverage

III. Superintendent Information
A. Annual Meeting with the Guilderland Library Trustees
The annual meeting with the Guilderland Public Library Trustees is scheduled for Tuesday, April 25 at
5:00 p.m. at the public library.
The agenda will be an opportunity to review and discuss current collaborative efforts between the library
and the school district.

B. Special Board of Education Meeting Scheduled - April 25, 2017
As a reminder, the Board of Education established a special meeting date of Tuesday, April 25, 2017 at
8:00 a.m., in the district office for the purpose of voting on the 2017-18 Board of Cooperative Educational
Services budget and election.

C. School in Session - May 26, 2017
Dr. Wiles reminded everyone that an SNN was recently sent announcing schools will be in session on
Friday, May 26, 2017 due to the number of used snow/emergency days during the 2016-17 school year. All
district and school offices will be open on that day.
Monday, May 29, 2017 is still a school recess day district-wide, in observance of the Memorial Day
holiday.

D. National Junior Honor Society Induction
On April 3, 2017, 161eighth-grade students were inducted into the National Junior Honor Society at
Farnsworth Middle School. Dr. Wiles congratulated the students for all their hard work to be inducted in
the NJHS and the teachers and parents for the support given to the students. Mr. Laster, his administrative
team, and the two faculty advisors, Mr. Rausch and Ms. Abbasi, do an excellent job putting together a
highly professional induction ceremony.

IV. Board President Information
A. Upcoming Board of Education Election - May 16, 2017
At this time, petitions are available through the district clerk for any district resident who might be
considering running for the Board of Education (42 signatures of eligible district voters are required based

on 2% of those voting in last year’s election). There are three seats on the Board that expire June 30, 2017.
Each of the three seats is for a three-year term of office.
General Information
In order to be eligible to run for the Board of Education, nominating petitions with 42 or more signatures
from qualified voters in the district, must be submitted to the district clerk on or before Monday, April 17,
2017, 5:00 p.m. Anyone who has questions about the duties and responsibilities of a Board member may
contact the Superintendent, Board President, or any current member of the Board.
A candidate must be able to read and write, be at least 18 years of age, a qualified voter and a
district resident for at least one year prior to the date of the vote on Tuesday, May 16, 2017.
Candidates do not run for a specific seat on the Board; if there are more than three candidates running, the
individuals with the three highest vote totals are elected.
Further qualifications and information is in the packet available through the district clerk.

B. Voter Registration Required for May 16, 2017 Budget Vote and Election
The public vote on the school budget and Board of Education will be held on Tuesday, May 16, 2017.
Voter registration is required in the Guilderland School District. To vote, you must be 18 years old, a U.S.
citizen and a resident of the Guilderland School District for at least 30 days prior to the vote. If you are not
registered with the school district or the Albany County Board of Elections, you must do so prior to the
vote.
The district has established three registration dates for residents to vote at the May 16, 2017 Budget Vote
and Election. You may register any time between 8:30 a.m.-2:30 p.m. at one of the elementary schools or
from 8:30 a.m.-4:30 p.m. at the district office on the following dates:

Monday, May 8, 2017
Tuesday, May 9, 2017
You may also register with the Albany County Board of Elections during their normal business hours,
Monday - Friday from 8:30 a.m. - 4:30 p.m.

C. Industrial Development Agency Proposed Tax Exemption - Crossgates Hotel
The board discussed the proposed construction of the Crossgates Hotel and its request for a $1,385,000
property tax exemption. The Board had many unanswered questions and concerns:
-What the impact will be on the community; more housing? restaurants? etc.
-What is the amount of tax we are receiving now and would like to see the calculation of the
numbers that the district will be missing out on?
-If it isn't granted will they still build?
-A PILOT agreement will affect the tax levy limit
-Feels like the additional employment numbers will not generate more income to the community.
The Board indicated that they need additional information before they can give an opinion. Mr. Sanders

indicated that he has sent a letter to Don Csaposs requesting additional information.

Communications Committee
At the April 6 meeting, the Committee met with representatives from BOCES to discuss the redesign of website.
The process is going to take a while and the Committee encourages the Board to make suggestions. They decided to
put the strategic planning initiative with Robert Hendriks, Leadership for Educational Achievement Foundation, Inc.
on hold. The How to….pamphlet for Board members is being developed, the input from the other board
committees is due back by July 1. They also discussed the board meeting survey. They feel the Board is not
meeting their responsibilities by completing the survey after each meeting. Mrs. Towle-Hilt asked the Board to
take a few minutes to complete the few questions.
The next meeting is scheduled for May 3, 2017 at 5:45 pm and May 18, 2017 at 5:45 p.m.
Policy Committee
The Committee has not met since the last Board meeting. The next meeting has been scheduled for April 25, 2017
at 5:45 p.m. at the Guilderland Public Library.

Judy Slack invited the Board to stop by Lynnwood Elementary and see the Women in History display.
Seema Rivera said she hopes the community can take the energy that they have shown for the Cobblestone School
House and create a committee to develop a plan for the building.

Mark Grimm thanked the Board and recognized that they have a hard job. He said he wanted to help relieve the tax
burden on Guilderland residents. He told the Board they need to make hard choices and cut taxes; enrollment is
down but spending is up. He suggested every year programs be evaluated. He asked why there is a need for so
many subs. He said he doesn't like the idea that instructional money is being spent on a scoreboard, the Board
should find a sponsor to fund the cost of a new scoreboard. Mr. Grimm also said he would be willing to help the
Board find a sponsor.
2017-18- BUDGET DEVELOPMENT
A. 2017-18 Superintendent's Budget Discussion
Board members and community members had the opportunity to ask the administration questions regarding the
budget. The main topics of discussion were the following:
The cost of repairing the Cobblestone school house vs. the cost of getting a clear title and trying to
sell the property,
The cost of the scoreboard should first be put to the community. Mark Grimm offered to help find a
sponsor,
Request for more unassigned teaching assistant hours,
A parent requested more students be allowed to attend Tech Valley High School, and
A parent asked the Board to reconsider the occupational therapist assistant reduction for at least a
year. She said parents are afraid their children will not get the services needed.

II. Superintendent Information
A. Review of the Proposed 2017-18 School Calendar
The proposed 2017-18 school calendar was reviewed and discussed. Christopher McManus reiterated the
need for more school days. He said there should be 183 instructional days a year. He suggested school
start on the Tuesday after Labor Day and then one additional day added during the year. Barbara
Fraterrigo asked why kindergarten starts with a half day of school every year. She feels that it is not
necessary; kindergartners are prepared to start school with a full day.
Dr. Wiles explained that due to Altamont Elementary closing on December 16, because of a power outage,
and the additional snow days used, we will need to make up the days. The following changes will occur:
o April 4 will be a half day for all K-2 students
o April 12 will be a full day for all Altamont Elementary students (K-5) and a half day for
K-2 students in Guilderland Elementary, Lynnwood, Pine Bush and Westmere
Elementary
o April 14 will be a half day for all Altamont Elementary students.
The May 26 contingent holiday has been taken away; it will be a school day.

B. Annual Meeting with the Guilderland Library Trustees
The annual meeting with the Guilderland Public Library Trustees will be scheduled; several dates have

C. State of the Town Forum - March 16, 2017
The Guilderland Chamber of Commerce sponsored its annual State of the Town Forum at Crossgates Mall
on March 16, 2017. The focus was to provide an update on current conditions and what is on the horizon

different community leaders.
Panel members included Supervisor Peter Barber, Patricia Fahy, NYS Assemblymember; Mark Grimm,

III. Board President Information
A. Upcoming Board of Education Election - May 16, 2017
At this time, petitions are available through the district clerk for any district resident who might be
considering running for the Board of Education (42 signatures of eligible district voters are required based
on 2% of those voting in last year’s election). There are three seats on the Board that expire June 30, 2017.
Each of the three seats is for a three-year term of office.
General Information
In order to be eligible to run for the Board of Education, nominating petitions with 42 or more signatures
from qualified voters in the district, must be submitted to the district clerk on or before Monday, April 17,
2017, 5:00 p.m. Anyone who has questions about the duties and responsibilities of a Board member may
contact the Superintendent, Board President, or any current member of the Board.
A candidate must be able to read and write, be at least 18 years of age, a qualified voter and a district
resident for at least one year prior to the date of the vote on Tuesday, May 16, 2017.
Candidates do not run for a specific seat on the Board; if there are more than three candidates running, the
individuals with the three highest vote totals are elected.

Donald Csaposs complemented the Board on the proposed budget. He asked the Board to maintain the Cobblestone
School House property, stating it was the schools responsibility to keep the building from deteriorating. He then
asked the Board to increase the additional .5 English as a New Language (ENL) teaching position to a 1.0 FTE. He
feels .5 is simply not enough. Westmere Elementary in particular needs the increase. He also said he was pleased
to see the enrichment program back and using in-house staff, rather than BOCES.
BUDGET WORKSHOP
Board members discussed various items that they would like to see added or deleted from the proposed 2017-18

This year’s exhibit will be held at the Opalka Gallery SAGE Colleges of Art and Design
in Albany from March 21 through April 23, 2017. The exhibit includes a variety of
works selected by a panel of judges from 20 Capital Region high schools. There were a
total of 484 pieces submitted and 130 pieces selected.
In selecting student artwork for the annual Regional Exhibit, mastery of technical skill is
a factor, as is students’ ability to go beyond both technical competence and the apparent
classroom assignments to present original or unique visual solutions that reveal
something of the artist. It is quite an honor to be included in this annual regional
exhibition.

E. Guilderland Music Ensembles Attend NYSSMA Evaluation Festival
Each year choral and instrumental ensembles from the Guilderland School District attend
the NYSSMA (NYS School Music Association) Major Ensemble Evaluations. In these
events, large ensembles received written and recorded comments, suggestions and
critiques from two adjudicators. The music performed is specifically selected from
graded literature approved by NYSSMA and groups from across the state strive for a
perfect performance.
On April 10th-11th the following musical groups attended the instrumental evaluation at

F. Students Selected for Suburban Council Music Festival
The Suburban Scholastic Council Music Festival will be held at Schenectady High
School on Saturday, April 29, 2017. Over three hundred talented music students were
selected from the fifteen Suburban Council schools. The groups performing this year
include a Middle School Band, Chorus and Orchestra as well as a High School Jazz
Band.
The Guilderland music department is pleased to announce that 26 students were selected
by audition to participate. Performing in the Symphony Orchestra under the direction of
Michael Lee will be: Maia Regan and Katelyn Waltz –Violin, Grace Wei – Viola, and
Ivan Nieto – Cello.
The Concert Band includes Farnsworth Middle School students: Meghana Uppala –
Flute,
John Giordano and Melody Yu – Clarinet, Elizabeth Novak - Bassoon, William
Angus – Tenor Sax, Bohdan Kinal– Bari Sax, Aidan Fusco and Alex Jambunathan–
Trumpet, Anna Berezansky – Trombone, Alexander Evans – Tuba. They will perform
under the direction of Michael Christy.
Vocalists selected to sing with the Concert Choir include: Lacey Allen, Alejandro
Castillo, Joanna Chen, Aria Grisham, Emma Harbeck, Colin Dane Ingraham,
Camille Lajoie, Jaimee Lowe, Jack Parsons, Glenn Trechel, and Gregory Trechel. These students will perform under the direction of Anthony Alvaro (West Genesee CSD).
Avery Heaney was selected to play the Bari Sax in the High School Jazz Ensemble, led
by jazz educator Mark Beaubriand.
Congratulations to all these fine young musicians and their teachers: Nancy Casellini,
Susan Curro, Kristy Dame, Shannon deFrancqueville, Kathleen Ehlinger, Claudia

A. District Health Insurance Committee Recommendation for the 2017-18 School Year
The District Health Insurance Committee consisting of representatives of the ten
bargaining units along with Lin Severance and Neil Sanders met four times during the
2016-17 school year to attend informational sessions, review health insurance plan
benefit designs and identify opportunities for cost savings. In addition, representatives
will attend a Spring Conference hosted by Amsure Associates, the plan administrator for
the Capital Area Health Insurance Consortium (CASHIC), on topics of interest for
CASHIC members intending to bridge the gap between labor and management to
promote a shared responsibility for employee health benefits.
Key Issues for 2017-18
At the federal level, the proposed repeal and replacement of the Affordable Care Act
(ACA) failed to garner legislative approval. The current provisions of the ACA remain
in place but there is still a possibility that the entire Act, or certain portions, could be
repealed and replaced According to Amsure Associates, the third part administrator for
the health insurance consortium, any changes would not affect our 2017-18 renewal.
The district’s medical premiums continue to trend below the national average, which is
currently of 7.5%, except for the MVP HMO plan. That consistent low level of
volatility experienced with medical claims has not carried through to prescription drugs.
The increased availability of and utilization of high cost specialty drugs with a projected
18.7% trend rate nationally, following an 18.9% increase last year, is causing another
large spike in the district’s premium rate. National surveys show that while typically less
than one percent of all medications are specialty drugs, those drugs account for 35% of
the overall drug costs.
Finally, the Capital Area Schools Health Insurance Consortium (CASHIC) continues to
grow. Next year East Greenbush, Averill Park, and Troy will join the consortium.
The District Health Insurance Committee presents to the Board of Education for
comment and discussion the following recommendations for employee health insurance
benefits for the 2016-17 school year:

A. Upcoming Board of Education Election - May 16, 2017
At this time, petitions are available through the district clerk for any district resident who
might be considering running for the Board of Education (42 signatures of eligible
district voters are required based on 2% of those voting in last year’s election). There are
three seats on the Board that expire June 30, 2017. Each of the three seats is for a three-
year term of office.
General Information
In order to be eligible to run for the Board of Education, nominating petitions with 42 or
more signatures from qualified voters in the district, must be submitted to the district
clerk on or before Monday, April 17, 2017, 5:00 p.m. Anyone who has questions about
the duties and responsibilities of a Board member may contact the Superintendent, Board
President, or any current member of the Board.
A candidate must be able to read and write, be at least 18 years of age, a qualified voter
and a district resident for at least one year prior to the date of the vote on Tuesday,
May 16, 2017.
Candidates do not run for a specific seat on the Board; if there are more than three
candidates running, the individuals with the three highest vote totals are elected.

The public vote on the school budget and Board of Education will be held on Tuesday,
May 16, 2017. Voter registration is required in the Guilderland School District. To vote,
you must be 18 years old, a U.S. citizen and a resident of the Guilderland School District
for at least 30 days prior to the vote. If you are not registered with the school district or
the Albany County Board of Elections, you must do so prior to the vote.
The district has established three registration dates for residents to vote at the May 16,
2017 Budget Vote and Election. You may register any time between 8:30 a.m.-2:30 p.m.
at one of the elementary schools or from 8:30 a.m.-4:30 p.m. at the district office on the

AGREEMENT made this of April 2017, by and between GUILDERLANDCENTRAL SCHOOL DISTRICT, registered under the laws of the State of New York, having aplace ofbusiness at 8 School Road, Guilderland Center, New York, [2085 thereinafter refeffed to asthe SCHOOL; and BELL’S AUTO DRIVNG SCHOOL, INC. with a place of business at 632 PlankRoad, Suite 110, Clifton Park, New York, 12065, hereinafter called the CONTRACTOR.
WITNESSETH;
WHEREAS, the SCI-IQOL intends to operate a program consisting of a “driver educationprogram” commencing at about June 26, 2017 through approximatelyJune 30, 2018, at its premisesin Guilderl and, New York; and
WHEREAS, the SCHOOL is desirous of entering into an agreement with theCONTRACTOR to perform all duties in connection with said NYSED approved driver educationprogram.
NOW, therefore, in consideration of the mutual covenants exchanged herein and other goodand valuable considerations, the parties agree as Ibllows:
1. The CONTRACTOR shall provide at all times while he is performing the obligations ofthe agreement the following;
A. Department of Motor Vehicles licensed and approved instructors in drivertraining as necessary for in-car instruction.
B. Dual controlled automobiles equipped with automatic transmissions, powersteering and all required safety equipment.
C. Proof of valid insurance for the purpose of conducting in-ear instruction.
2. The CONTRACTOR agrees, without charge, to supply the necessary gasoline, repairs andinsurance in connection with the operation of the automobiles hereinbefore mentioned.
3. The CONTRACTOR agrees that it shall provide, per enrolled student, the following:
A. Six hours of behind the wheel training.
B. Eighteen hours of student observation.
C. A written log detailing the instructional hours provided for each student.

day of , 2017 between the Guilderland Central SchoolDistrict. (hereinafter referred to as “Plan”) and Benetech, Inc. (hereinafter referred to as“Administrator”) with its principal place of business located at P.O. BOX 348, One Dodge Street,Wynantskill, NY 12198.
WITNESSETH:
WHEREAS, the Plan and Administrator wish to enter into an agreement for the provision of SelfInsured Workers’ Compensation Third Party Administrative Services.
NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY COVENANT AND AGREEAS FOLLOWS:
ARTICLE I — SERVICES TO BE PERFORMED
For consideration set forth below, Administrator shall perform the Self-Insured Workers’Compensation Third Party Administration Services hereinafter set forth under Article III of thisAGREEMENT.
ARTICLE II- DEFINITIONS
The following definitions shall apply to terms which appear in this Agreement.
2.1 “Record Only Claim” shall mean the creation and maintenance ofa data file in thoseinstances in which an accident (first or third party) involving only actual or alleged minorinjury or property damage requiring minimal or no medical treatment or remedy had come tothe Plan’s attention and, even though no injury or property damage had been formallyreported. claimed or as anticipated, the Plan requests the maintenance of a record of theincident and associated data for informational tracking purpose (to determine frequency ofincident, safety awareness, possible repeat occurrences, etc.).
2.2 “Medical Only Claim” shall mean any reported Workers’ Compensation accident or claiminvolving an injured worker who is, will, or may be entitled to medical benefits but has not

lost and does not appear likely to lose time from work or submit a claim for indemnitybenefits.
2.3 “Indemnity Claims” shall mean:
(i) any reported Workers’ Compensation accident or claim with respect to which theinjured worker would be entitled to medical benefits but in addition has lost orappears Likely to lose time from work or submit or has submitted a claim forindemnity benefits, including any claim originally classified as a Medical Only Claimwhich becomes an Indemnity Claim if and when the injured worker becomes eligiblefor indemnity benefits;
(ii) any claim in litigation;
(iii) claims which would otherwise be classified as Medical Only Claims involving aninjured worker who has returned to work on alternative or “light “ duty due torestrictions from the work-related injury, but follow-up by a claim representative willbe needed to facilitate a return to fill duty; and
(iv) claims which merit investigation by a claim representative or private investigator dueto a question regarding compensability.
2.4 “Qualified Claim or Loss” shall mean any claim, loss, monetary demand, occurrence or suitoccurring within the Term of this Agreement, provided the type of claim or loss is one whichis to be administered hereunder.
2.5 “Late Reported Claims” shall mean claims which are within the definitions of Claims andwhich are reported after the cancellation or expiration of this Agreement and any renewalshereof.
2.6 “Allocated Loss Adjustment Expenses” shall mean any cost or expense incurred byAdministrator in connection with administration, investigation, adjustment, settlement ordefense of claims on behalf of the Plan, including but not limited to any of the following:
a. subrogation;b. automobile or other physical damage appraisal;c. all court cost, fees and expenses;d. fees for service of process;e. fees and expenses to attorneys for legal services;f. the cost of services of undercover operations and detectives;g. fees to obtain medical cost containment services, including but not limited to
bill review services;h. the cost of employing experts for the purpose of preparing maps,
photographs, diagrams, and chemicaL or physical analysis, or for experts’advice or opinion;
i. the cost of obtaining copies of any public records, and the cost of depositionsand court reporters or recorded statements;
j. And any other similar cost, fee or expense reasonable or chargeable for theinvestigation, negotiation, settlement or defense ofa Qualified Claim orindemnification and/or salvage rights of the Plan.

2.6.1 Allocated Loss Adjustment Expenses shaLl not include any fee, cost or expense whichthis Agreement specifically provides. Such expenses shall be included in the services tobe provided by Administrator hereunder at no additional or separate cost to the Plan.
ARTICLE III - SCOPE OF WORK
During the term of this AGREEMENT, Administrator shall provide the following services:
3.1 All customary and appropriate Workers’ Compensation Claim handling functions for allQualified Claims or Losses.
Such claim handling ffinctions generally include but are not limited to the investigation of eachQualified Claim or Loss to the extent deemed necessary by Administrator, or as otherwisedirected in writing by the Plan; adjusting, settling or litigating all Qualified Claims within thestated discretionary settlement authority limit or with specific approval of the Plan if outside thestated authority limit; investigation and pursuit of subrogation activities on behalf of the Plan;determination of appropriate claim reserve; and the performance of necessary and customaryadministrative and clerical work in connection with each Qualified Claim or Loss. In addition,the following services will apply to the type of claims listed:
3.1.1 Record Only Claims. With respect to Record-Only Claims, no services will be providedwith the exception of recording and maintaining the relevant data, and no medical billswill be paid.
3.1.2 Medical Only Claims. With respect to Medical-Only Claims, services will be limited tothe recording of the claim and associated data, contact with the Plan to verifS’ Medical-Only claim status, and the payment of medical bills and expenses in accordance with theterms of this agreement.
3.1.3 Lost-Time Claims. With respect to Lost-Time Claims, a Claims Professional will providewhatever services may reasonably be required to make a determination regardingcompensability, pay the appropriate leveL of indemnity benefits, and attempt to achieve areturn to frill active duty.
3.1.4 Late Reported Claims. In no event shall Administrator have any obligation or liabilitywith respect to any Late Reported Claims resulting from the Plan’s untimely handling ofsaid claim. However, Administrator shall have frill responsibility for any fines, penalties,or cost, including legal fees imposed by any regulatory body, agency, or third party orwhich occur in any manner as a result of errors, omissions, or non-compliance by theAdministrator.
3.2 Administrator shall prepare and issue indemnity payments to the Plan’s injured employees.
3.3 Administrator shall provide the Plan with an explanation of services, claim reportinginformation and forms, and location coding schemes.
3.4 Administrator shall complete all forms required to be used in the adjustment of Workers’Compensation Claims by the New York State Workers’ Compensation Board (the “Board”)and the New York State Workers’ Compensation Act (the “Act”) with the exception of theEmployers First Report of Injury, which shall be prepared by the Plan.

3.5 Administrator shall be entitled to engage outside vendors when deemed necessary and bymutual consent with the Plan to handle or defend a claim.
3.6 Administrator shall communicate to the Plan in a manner mutually agreed to by the partiesand make reconmwndations regarding proposals to resolve any Workers’ CompensationClaims.
3.7 Should Administrator determine that a particular claim meets any of the Plan’s excessinsurance reporting requirements about which requirements it has been specifically informedby the Plan in writing, then Administrator shall notify the Plan’s excess insurance carrieraccordingly.
3.8 The Plan shall promptly report all claims to Administrator.
3.9 At the Plan’s request, Administrator shall meet with the Plan on a quarterly basis to reviewopen claims and other matters related to the Plan.
3.10 Administrator shall provide weekly or bi-weekly statements of finds drawn from all findingaccounts. The finding will be in the manner presently in use by the Plan.
3.11 Administrator shall make necessary paid claims and reserve reports available to the Plan,provide monthly loss-runs by year, delineated by departmenUdivisionlftrnd, type of injury, andcause of injury or such other delineations as may be reasonably requested by the Plan. Inaddition, Administrator will provide quarterly claim review reports.
ARTICLE IV—FEES
Inconsideration of the terms and obligations of this AGREEMENT, the Plan agrees to pay, andAdministrator agrees to accept, as fill compensation for all services rendered under thisAGREEMENT the following annual amounts:

Administrator shall notify the Plan for prior authorization of Private Investigation services andVocational rehabilitation.
Before any payments can be made Administrator shall submit invoices, in a form and manner tobe mutually agreed to by the parties, to the Plan Treasurer, or other appointee, for review andapproval. Each invoice and Claim Form shall itemize and detail the services rendered and anynecessary disbursements, if applicable. The approval of invoices and payment of fees shall not beunreasonably delayed or withheld.
ARTICLE V - TERM OF THE AGREEMENT
This AGREEMENT shall commence on 07-01-2017 and will continue in effect through 06-30-2020.
ARTICLE %TJ- REPRESENTATLONS
In order to induce the Plan to enter into this AGREEMENT, Administrator has made thefollowing representations:
6.1 Administrator is familiar with the nature and extent of this AGREEMENT, the servicescontemplated by this AGREEMENT, the locality and all local conditions, and all federal, stateand local laws, ordinance, rules, regulations, and orders of public authorities that in any manneraffect cost, progress, or performance of the services contemplated by this AGREEMENT;
6.2 Administrator shall give notice and comply with all laws, ordinances, rules, regulations,and orders of public authorities bearing on the performance of the services contemplated by thisAGREEMENT;
6.3 Administrator will meet with the Plan to formulate a specific return-to-work program foreach Plan department;
6.4 Administrator will train Plan employees charged with processing Workers’ compensationclaims;
6.5 Administrator shall provide the required notification to the Plan excess insurance andexcess employer’s liability insurance carriers;
ARTICLE VII- AVAILABLE DATA
All technical or other data relative to the work in the possession of the Plan or in the possessionof Administrator shall be made available to the other party to this AGREEMENT withoutexpenses to the other party.
ARTICLE VIII - COOPERATION
Administrator shall cooperate with representatives, agents and employees of the Plan and the Planshall cooperate with representatives, agents, and employees of Administrator to the end that workmay proceed expeditiously and economically.

ARTICLE IX - EXTRA WORK
If Administrator is of the opinion that any work it has been directed to perform is beyond thescope of this AGREEMENT and constitutes EXTRA WORK, Administrator shall promptlynotify the Plan of that fact and before engaging in any said EXTRA WORK. The Plan shall bethe sole judge as to whether or not it constitutes Extra Work. In the event that the Plandetermines that such work does constitute Extra Work, it shall provide extra compensation toAdministrator on a negotiated basis.
ARTICLE X - RIGHT TO AUT
10.1 Whenever it is deemed appropriate, the Plan reserves the right to audit the claim recordsand other records of the selected carder, as they pertain to the Workers’ Compensation Program.The Plan also reserves the right to assign outside auditors and to conduct on-site audits ofAdministrator’s records and files.
10.2 Administrator may not charge extra fees for providing data tape(s) or for space andequipment utilized by outside auditors. Upon completion of the audits, the Administrator’srepresentatives shall make themselves available to the Plan and its representatives in order toresolve any deficiencies and shortcomings of the Administrator services.
ARTICLE XI - ACCOUNTING RECORDS
Proper and fill accounting records shall be maintained by administrator. The records shallclearly identify the cost of the work performed under this AGREEMENT, and shall be subject toperiodic and final audit by the Plan upon request. The records shall be accessible to the Plan for aperiod of two (2) years following the date of final payment by the Plan to Administrator for theperformance of the services contemplated herein.
ARTICLE XII - ASSIGNMENTS
Administrator specifically agrees as required by Section 109 New York General Municipal Lawthat it is prohibited from assigning, transferring, conveying, subcontracting, or otherwisedisposing of this AGREEMENT, or of its right, title or interest therein without the previousconsent in writing of the Plan.
ARTICLE XIII - MODIFICATION
This AGREEMENT may only be modified by a formal written amendment executed by both thePlan and Administrator.
ARTICLE XIV - MATERIALS
All rights, title and ownership in and to all materials, including open and closed claims files andhistorical data whether saved in paper or computerized format, prepared under the provisions ofthis AGREEMENT shall be in the Plan, including the right of republication. The Plan reservesthe right to take custody of the claims files an&or make copies of any information deemedappropriate. The Plan reserves the right to monitor and audit claims files.

ARTICLE XV - RELATIONShIP
Administrator is, and will function as, an independent contractor under this AGREEMENT forany purpose. The employees of Administrator shall not in any manner be, or be held out to be,agents or employees of the Plan.
ARTICLE XVI- INDEMNIFICATION
Administrator shall defend, indemnify and save harmless the Plan, its employee and agents, fromand against all claims, damages, losses and expenses (including, but not limited to, reasonableattorney’s fees) arising out of, or in consequence of, any negligent or intentional act or omissionof Administrator, its employees, or its agents, to the extent of their responsibility for such claims,damage, losses and expenses.
ARTICLE XVII - INSURANCE
Administrator agrees to procure and maintain for the entire term of this AGREEMENT, withoutthe additional expense to the Plan, insurance policies of the kinds and in the amounts that wouldnormally be required as an administrator.
ARTICLE XVIII- TERMINATION OF CONTRACT
The Plan and Administrator shall have the right at any time to terminate the services required ofAdministrator upon ninety (90) days advance notice in writing to the other party.
In the event of a termination of this Agreement under this Article, Administrator shall be entitledto compensation for all work theretofore authorized and performed pursuant to thisAGREEMENT in accordance with Article IV of this AGREEMENT. Additionally, in the eventof the termination of this AGREEMENT under this Article, all historical data and records,including claim files, pertaining to this AGREEMENT shall be delivered within twenty (20) daysto the Plan or its duly authorized representative. In case of failure to Administrator to make suchdelivery on demand, Administrator shall be liable to the Plan for any damages that the Plan maysustain by reason thereof.
ARTICLE XIX - DISSOLUTION
In the event of dissolution of Administrator as a partnership or corporation during the term of thisAGREEMENT. Administrator shall give thirty (30) days advance notice in writing to the Plan ofany such dissolution.
ARTICLE XX - LICENSES
Administrator shall at all times obtain and maintain all licenses required by the State of NewYork to perfonn the services required under this AGREEMENT.

ARTICLE XXI - NON-DISCRIMINATION REOUIREMENTS
In accordance with Article 15 of the Executive Law and all other State and Federal statutory andconstitutional non-discrimination provisions, Administrator agrees that it shall not, by reason ofrace, creed, color, national origin, age, sex, or disability: (a) discriminate in hiring against anyperson who is qualified and available to perform the work; or (b) discriminate against orintimidate any employee hired for the work contemplated by this AGREEMENT.
ARTICLE XXII - NON-APPOPRIATIONS CLAUSE
Notwithstanding anything conlained herein to the contrary, no default shall be deemed to occur inthe event that no ftinds or insufficient funds are appropriated and budgeted or are otherwiseunavailable to the Plan for payment. In that event, the Plan will immediately notifyAdministrator of such occurrences and this AGREEMENT shall terminate, without penalty orexpenses to the Plan of any kind whatsoever, on the last day of the fiscal period in whichappropriations were received except as to those portions herein agreed for which funds shall havebeen appropriated and budgeted.
ARTICLE XXIII - INVALID PROVISIONS
If any term, part, provision, section, subdivision, or paragraph of this AGREEMENT shall beheld to be unconstitutional, invalid, or ineffective, in whole or in part, such determination shallnot invalidate the remaining terms, pans, provisions, sections, subdivisions, or paragraphsthereof.
ARTICLE XXIV - NOTICE
All notices and documents required to be given or made by Administrator pursuant to thisAGREEMENT shall be given or made to:

This Agreement shall be governed and constructed in accordance with the laws of the State ofNew York without reference to conflict of laws and principles. No provision of this Agreementshall be applied or constructed in any manner inconsistent with applicable federaL or state lawsand regulations. Notwithstanding the provisions of this section, the parties hereby agree that allstandards with respect to the license and conduct of Benelech, Inc. as a professional Worker’sCompensation Third Party Administrator will be strictly governed by the law of the State of NewYork. Any actions concerning this Agreement shall be brought in the Supreme Court of NewYork in Rensselaer County.
ARTICLE XXVII - ENTIRE AGREEMENT
This agreement sets forth all promises, covenants, agreements, conditions and understandingsbetween the parties hereto and supersedes all prior to contemporaneous agreements, oraL orwritten, except as herein contained. This Agreement may not be modified other than by anagreement in writing signed by each of the parties hereto.
ARTICLE XXVIII - TITLES NOT TO AFFECT INTERPRETATION
Titles of paragraphs contained in this Agreement are inserted for the convenience of referenceonly. They neither form a part of this Agreement, nor are they used in construction ofinterpretation thereof.
