1 The University System of Georgia (USG) is introducing enhancements to the retirement plans to help simplify retirement planning and offer you options to create a diversified retirement portfolio to help you work towards your goals. The Transition Guide enclosed in this mailing provides an overview of what is changing in the USG retirement plans. This insert includes specific information about how these changes will occur, including the merger of USG plans, the new investment lineups, how contributions and balances will transfer, and specific fees associated with the investments. This information applies if you: • Currently invest with TIAA. • Choose TIAA to replace an eliminated provider. Do not enroll with either Fidelity, TIAA or VALIC to replace one of the eliminated providers. Plan mergers

USG will merge the individual 403(b) and 457(b) plans administered by each institution into systemwide 403(b) and 457(b) plans administered by USG. As a result, TIAA will create three new plans to hold current 403(b), 457(b) and ORP mutual fund and annuity balances. No new contributions will be made to these plans, and they will be labeled as “Frozen” plans on your statements.

Three additional 403(b), 457(b) and ORP plans will be created and will be the primary retirement plans going forward. These three additional plans will hold future contributions beginning with the April 30, 2019 monthly payroll and will accept the automatic transfer of mutual fund balances from the Frozen plans on May 10. Annuity balances will not automatically transfer, though you can choose to move these assets after May 10.

If you are a current TIAA participant, your current beneficiary information will be applied to your new account(s). If you choose TIAA as a new provider, you will be prompted to designate a beneficiary during that process. If you default to TIAA, your beneficiary will be set to Estate. After your new contract is issued, you may review and update your beneficiary designation any time by logging in to your account at TIAA.org/usg.

Important information if you contribute to an eliminated provider

If you currently contribute to a provider other than Fidelity, TIAA or VALIC, including but not limited to Ameriprise, AXA, First Investors, Lincoln Financial Group, MassMutual, Primerica, USAA, Voya, and Waddell and Reed, you must enroll with a new provider(s) for each plan and select from the investment options offered by the providers by April 19.

If you don’t make a selection, you will be defaulted to TIAA as your provider and you will be enrolled in a new TIAA account as noted above the week ending May 3. Your future contributions will be directed to the default fund for the plans—the Vanguard Target Date Institutional Fund that corresponds with your projected retirement date based on your age. Your beneficiary will be set to Estate.

Action needed if you contribute to Peach State Reserves 401(k)/457(b) If you currently invest with Peach State Reserves, you must enroll with either Fidelity, TIAA or VALIC by April 19. Understanding your plan fees and expenses

To keep the retirement plans in line with industry best practices, USG will update the fee structure arrangement. The new structure provides a significant savings overall. However, the amount of savings each participant will experience depends on how individual contributions and balances are allocated among the investment options.

Plan-related costs

Participants in the plan have generally paid for three categories of plan-related costs:

• Recordkeeping fees (paid to the plan’s recordkeepers – for example, TIAA).

• Administrative fees (paid to the plan’s investment consultant, auditors, accountants, outside counsel and other administrative resources).

• Investment expenses (taken out of individual investments by the managers of the funds in which participants were invested).

In the past, participants did not see separate charges for these plan-related costs on their quarterly statements; the costs were netted against participants’ investment balances. The recordkeeping and administrative fees were paid out of the investment expenses charged by the providers of the funds in which the participants were invested, and were based on the total assets in each participant’s account.

Quarterly fee deductions and credits explained

Plan servicing fee and Plan administration fee: Effective July 1, 2019, an annual Plan Servicing Fee and Plan Administration Fee will be deducted quarterly. This amount will be realized by assessing a fee or credit to each investment you choose within the plan. Each fee or credit will be applied to your account on the last business day of each quarter and is identified as a “TIAA Plan Servicing Fee” or a “Plan Servicing Credit” on your quarterly TIAA statements.

Loan issuance fee: Loan fees vary by loan type, as noted in the chart below.

Retirement plan loans

Beginning May 1, 2019, TIAA will change from collateralized loans to a new Retirement Plan Loan program for loans taken from the 403(b) and 457(b) plans. These new loans will have a fixed rate of interest and the principal amount will be deducted from your plan account(s). Your subsequent loan payments, including interest, will be credited to your account(s) based on the allocation for your contributions or the default investment option, if no allocation is provided. Most aspects of a new loan request will remain the same, including the online application and approval process. Any new loans will have a one-time origination fee of $75 for general purpose loans and $125 for residential loans.

Previously issued loans at TIAA will not be affected by this change, and there will be no interruption to repayment schedules or to the terms of existing loans. If you are, or become, a former employee, you will not be eligible to request new loans.

Investment-specific expenses

Each of the plan’s investment options has an expense charge for investment management and associated services. These fees are measured by what is called an expense ratio. The net expense ratio takes into account any investment fee waivers and expense reductions, giving an indication of what is currently being charged. Expense ratios are reported as a percentage of assets.

For example, an expense ratio for a particular fund of 0.05% means a participant pays $5 annually for every $10,000 in assets invested in that fund. Knowing the expense ratio charged by each fund helps you understand the cost associated with your investments. In some cases, an investment provider may pay a portion of an investment’s expense ratio to TIAA, the recordkeeper, as a means of offsetting the cost of plan administration. This practice is called “revenue sharing.”1

The investment expenses charged by the managers of the funds are listed in the New investment lineup tables included on pages 4-6. These expenses are generally lower than the expenses charged by the managers of the funds in the prior lineup.

Beginning May 1, 2019, you will be able to view the updated investment lineup and details online at TIAA.org/usg.

Brokerage fee

Brokerage customers may be charged a commission on certain transactions and other account-related fees. Please visit TIAA.org/SDA_CAA for a complete list of commissions and fees at TIAA. Other fees and expenses apply to a continued investment in the funds and are described in the fund’s current prospectus.

1 Revenue sharing describes the practice of an investment manager, distribution company or transfer agent paying a portion of a mutual fund’s expense ratio from their revenues to a plan recordkeeper for keeping track of the ownership of the mutual fund’s shares and other shareholder services. Any revenue shared by an investment provider is included as part of each investment’s expense ratio (it is not in addition to the published expense ratios). Please note that TIAA Traditional, TIAA Real Estate Account and all CREF Annuity accounts do not have revenue sharing. You have choices for your investments

USG offers you some flexibility to decide how your account will be invested during this transition. You can choose from the options below. Please note you are not required to make any changes at this time.

Option 1: Take no action

If you make no changes to your investments, USG will automatically direct your future contributions and transfer your existing assets according to the transfer charts on the previous pages.

Option 2: Select new investments before or after the new lineup is available

You have the option to choose the investments to which your future contributions will be directed and your existing mutual fund balances will transfer rather than accept the automatic transfer shown in the transfer charts on pages 9-19. When choosing your own investments, it’s helpful to first talk with a financial consultant about your financial goals and review the investment transfer charts to understand how contributions and assets will be automatically invested.

You can choose to select investments before the new investment lineup is active or after the plans take effect. Please note: choosing your own investments is an optional step and is not required by USG.

Because new investment lineups are not active until May 1, choosing the future investments requires two steps:

Step 1: Choose investments for both future contributions and current assets from the Future TIAA investment option column.

Step 2: Log in to your account at TIAA.org/usg and choose the corresponding investment from the Current TIAA investment option column. Please see the example on the following page.

Please note: Some current investments are available only until the new investment lineup is active.

Beginning with the April 30, 2019, monthly payroll:

Your future contributions will be invested in your selected options.

The week ending May 10:

Your current assets transfer to your selected options.

Any changes that you choose to make to your investments in the Current TIAA investment options prior to the conversion to the new options will remain in effect until the funds are either eliminated or transferred to the new options in early May. At that time, the Current TIAA investment options will no longer be available and all future contributions will continue to be invested according to your elections and the mapping strategies in effect at that time.

For future contributions:

After May 3, log in to your account at TIAA.org/usg and choose from the new investment lineup for your future contributions. Your future contributions will be invested in your selected options with the next payroll period.

For existing balances:

Between May 3 and May 10, log in to your account at TIAA.org/usg to transfer existing balances to the new lineup before the automatic transfers shown on pages 9-19 take place.

After May 10, all mutual fund assets will be in the new investment lineup. To make changes to your investments, log in to your account at TIAA.org/usg and choose new options.

Example

The following example illustrates how to choose new investments before the new lineup is active.

• Your existing mutual fund assets in the USG 403(b) Plan are invested in the current Fund A.

• Fund A will transfer to Fund X on May 10, according to the TIAA 403(b) investment transfer chart.

• After reviewing the new investment lineup, you prefer to invest in Fund Y, the replacement option for Fund B.

To ensure you’re invested in Fund Y once the automatic transfer occurs, you would transfer your mutual fund assets in Fund A to Fund B before the transfer takes place. On May 10, your mutual fund balances transfer to and are invested in Fund Y.

What happens to TIAA annuity balances

Any annuity balance(s) you have with TIAA will remain in your existing account(s) until you decide what action to take, and no new contributions, rollovers or transfers may be made to these accounts. You can continue to transfer balances among the available annuity options. If you would like to transfer balances to your new account, contact a TIAA financial consultant for more information.

If you have systematic distributions or payments, you will need to provide updated investment instructions. TIAA will provide information about updating these instructions before the transfer date.

There are a number of differences between your current RA, SRA, GRA and GSRA contracts and the new Retirement Choice contracts. Most of the differences apply to the TIAA Traditional Annuity and are highlighted below. If you’re thinking about transferring some or all of your account balances to your new contract, make sure you understand the differences before you initiate a transfer.

• Under the Retirement Choice contract, TIAA Traditional has a rate guarantee that is between 1% and 3%, determined annually, which may be lower than the guaranteed rate in your current contract. The adjustable rate guarantee in the new contracts allows TIAA to be more responsive to the prevailing interest rate environment, and provides the potential for higher credited rates through the crediting of additional amounts. You can find the current TIAA Traditional rate for all contracts at TIAA.org/performance.

• When TIAA Traditional balances are transferred out of an existing contract, you risk giving up a favorable crediting rate(s) on older contributions.

• TIAA Traditional balances in the Retirement Choice contract can be liquidated within a shorter time frame than under the existing Retirement Annuity and Group Retirement Annuity contracts.

• Moving money from an existing contract to a new contract is a permanent decision. Money cannot be moved back into legacy contracts.
