1. InthisAct,unlessthecontextotherwiseindicates-
“Board”meanstheTrainingandDevelopmentBoardofNIPAMreferredtoinsection16;

“State-owned Enterprises Governance Act” means the State-owned EnterprisesGovernanceAct,2006(ActNo.2of2006);and
“thisAct”,includestheregulationsandrules.

Establishment of NIPAM
2. (1) Thereisestablishedapublicinstitutefortraining,operationalresearch,capacityevaluationandconsultancytobeknownastheNamibiaInstituteofPublicAdministrationandManagement.
(2) TheshortenedformoftheNamibiaInstituteofPublicAdministrationand Management is “NIPAM”, and which may be used as an alternative to, andindependentfrom,thatname.
(3) TheseatofNIPAMisinWindhoek.
Status of NIPAM
3. NIPAMisajuristicpersonandaState-ownedenterprisegovernedbythisActandtheState-ownedEnterprisesGovernanceAct.
Common seal of NIPAM
4. (1) NIPAMmust have a common seal and such sealmay fromtimetotimebechanged,alteredormadeanewasNIPAMthinksfit.
(2) AlldeedsandotherdocumentsrequiringthesealofNIPAMmustbesealedwiththecommonsealofNIPAM.
(3) TheCouncilmay, by resolution or otherwise inwriting, appoint anofficerofNIPAMoranyotheragent,generallyorinanyparticularcasetoexecuteorsignonbehalfofNIPAManyagreementorotherinstrumentinrelationtoanymatterfallingwithinthepowersofNIPAM.
(4) All courts, judges and persons acting judicially must take judicialnoticeofthecommonsealofNIPAMaffixedtoanydocumentandpresumethatitwasdulyaffixed.

Objects of NIPAM
5. TheobjectsofNIPAMare–
(a) to systematize capacity building interventions and to function as adedicated traininganddevelopment institution for theunifiedPublicServiceinNamibia;
(b) to provide such training or cause such training to be provided, andto conduct such examinations or tests as may be necessary as aqualificationfortheappointment,promotionortransferofpersonsinortothepublicservice;
(c) to foster among public servants a sense of the purpose, values, andtraditionsofapublicservicewhichservesthepeopleofNamibiaandpromotestheirwelfareandlawfulinterests;
(d) to develop a new generation of holistic managers with capacity tomanage public policies, strategies and projects in a dynamic andcomplexenvironments;
(e) toenablethepublicservantstoacquireanalytical,creative,advisory,administrativeandotherskillsandknowledgenecessarytoformulateand execute policies and directives, respond to change, includingchanges in social, cultural, racial and linguistic character of theNamibiansociety,andimplementgovernmentprogrammes,resourcesandservicesefficiently,effectively,sustainablyandequitably;
(f) to provide flexible learning opportunities and platform byway of aLearning Resource Centre supported by authentic information anddocumentation;
(g) to help public servants develop cooperative relationships withcolleagues,professionals andotherpersonsatoffices,ministries andagencies and at all levels of the Public Service through enlightenedleadership, motivation, effective communication and innovation forhigh-qualityservicetothepublic;
(h) to facilitate awareness building in Namibia and internationally onissuesrelatedtopublicsectormanagementandgoodgovernanceandto involve awide range of individuals and institutions in pursuit ofexcellenceinpublicadministration;
(i) toactasacentreofexcellenceandthinktankforthepublicsectorofNamibia,organizedebates,workshopsorseminarsontopicsrelatedtopublicmanagementandadministration;
(j) toestablishanobservatoryofcapacitybuildingneedsintheNamibianPublic Service, especially through capacity evaluation, regularsurveys,impactassessmentstudiesforgovernment,developmentanddonoragenciesandundertakeprivate sectorandpublicmanagementconsultingassignments;

(k) to collaborate and strengthen partnerships between publicadministrations and civil society organizations at central, regionalandlocallevels,andwithotherinstitutionsandbodieshavingsimilarobjectives;and
(l) tostudyanddocumentthegoodpractices,successandfailurestoriesandcreateabankofsuchpracticesforpublicsectorcapacitybuilding.
Powers of NIPAM
6. (1) Incarryingoutitsobjects,NIPAMhasthepowerto-
(a) acquire, manage, maintain, design and implement programmes fordevelopment;
(b) assist offices, ministries, agencies, organizational components andotherentitiesoftheGovernmentoftheRepublicofNamibiathroughcapacity building programmes, operational research, studies anddocumentationdevelopedat,byoronbehalfoftheNIPAM;
(c) cooperate with other persons and bodies engaged in publicadministration,managementanddevelopment;
(d) contribute funds for the pursuit of operational, applied research orother activities related to the theory and practice of public sectormanagement;
(e) providetraining,operationalresearchandcapacityevaluationservicesandfacilitiestopublicservicestaffmembers,andchargefees;
(f) license,sellorotherwisemakeavailableanycopyright,trade-markorotherlikepropertyrightsheld,controlledoradministeredbyNIPAM;and
(g) doallsuchthingsasarenecessaryorincidentaltotheattainmentoftheobjectsofNIPAM.
(2) In carrying out its objects and exercising its powers under thisAct,NIPAM,with theconsentof theheadofsuchentity,maymakeuseofanyavailableservices or facilities of office, ministry, agency, organizational component or otherentityoftheGovernment,thatareappropriatefortheeffectiveoperationofNIPAM.

GOVERNINGCOUNCILANDTRAININGANDDEVELOPMENTBOARD
Constitution of Council
7. (1) Subject to thisAct, the governance and general control ofNIPAMandof all its affairs and functions, and themanagementof itsproperty, arevestedintheGoverningCouncilofNIPAM.

(2) The members of the Council, including the chairperson and thevice-chairperson, are constituted or appointed in accordance with, and for a perioddeterminedundersections14and15oftheState-ownedGovernanceAct,asfollows–
(a) theSecretarytotheCabinet,aschairperson;
(b) theExecutiveDirector,exofficio;
(c) twopersonsselectedbythePrimeMinisterbyconsideringthegenderbalance,academicexcellenceandexperiencerelevanttotheobjectsofNIPAM;
(d) a person nominated by the Namibia Chamber of Commerce andIndustrywhorepresentstheinterestsofthatsector;
(e) apersonnominatedbythePublicServiceCommission;
(f) apersonnominatedby the recognized tradeunionwithanexclusivebargainingstatusforpublicserviceemployees;
(g) apersonnominatedbytheAssociationofRegionalCouncils;
(h) a person nominated by theAssociation of the LocalAuthorities inNamibia;and
(i) twopersonsnominatedbyNIPAMtorepresentthecapacitybuilding,researchorrelatedinterestsofNIPAMkeepingthegenderbalanceintoconsideration.
(3) ThemembersoftheCouncilmustatthefirstmeetingoftheCouncilelectapersonfromamongsttheirnumberasvice-chairpersonoftheCouncil.
(4) TheCouncilmayco-opttwopersonsasmembersonarotationbasisfrom the countries or international organisations offering assistance and support inpublicsectorcapacitybuildingtoNIPAMortheGovernment,andsuchmembersmaytakepartindeliberationofmattersbeforetheCouncil,buthavenorighttovote.
(5) Wheneveranynominationintermsofsubsection(2)(d),(e),(f),(g),(h)or(i)becomesnecessarythePrimeMinistermust,inwriting,requestthenominatingauthorityreferredtointhatsubsectiontonominate,withintheperiodspecifiedintherequest,apersonforappointmentasmemberoftheCouncil.
(6) IfanominationisnotreceivedbythePrimeMinisterwithintheperiodrequested,thePrimeMinistermayappointsuchpersonorpersonsasthePrimeMinisterthinksfit,andapersonsoappointedholdsofficeasifsuchpersonhadbeennominatedasrequiredundersubsection(2).
(7) A staff member of NIPAM may only qualify for appointment asmemberoftheCouncilundersubsection(2)(b)or(i).
(8) ThePrimeMinistermayrequestthenominatingauthoritiesreferredtoinsubsection2(d),(e),(f),(g)or(h)tonominatepersonsforappointmentasalternatemembersoftheirrespectivemembersoftheCouncil.

Powers and functions of Council
8. ThepowersandfunctionsoftheCouncilare-
(a) tomakerulesandguidelinesofNIPAM;
(b) toapproveStrategicPlanandAnnualBusinessPlanofNIPAM;
(c) toapprovetheannualbudgetofNIPAM;
(d) toacceptthemanagementofanyendowmenttrust,fund,subscriptionordonationconsistentwiththeobjectsoftheinstitute;
(e) toapproveproposalsforloansfromfinancialinstitutionsforfundingofNIPAMactivities, in agreementwith theMinister responsible forfinance;
(f) to create posts on the establishment of NIPAM, and determineconditionsofservice;
(g) toconsiderandapproveannualreports,includingfinancialstatementsandaccountsofNIPAM;
(h) to prepare and execute detailed plans and programmes for thefurtheranceoftheobjectsofNIPAM;
(i) toapprovethedevelopmentandexpansionplanofNIPAM;and
(j) to appoint, suspend or discharge administrative staff, trainers,specialistsorconsultantsofNIPAM.
Disqualification for appointment as member
9. A person is not qualified for appointment as amember or alternatememberoftheCouncil,iftheperson–
(a) isanun-rehabilitatedinsolvent;
(b) hasunderanylawbeendeclaredtobeofunsoundmind;
(c) isamemberofParliamentorofaregionalcouncilorlocalauthoritycouncil;or
(d) hasbeenremovedfromanofficeoftrustonaccountofmisconduct;
(e) hasbeenatanytimeconvictedofanoffenceandsentencedtoaperiodofimprisonmentwithouttheoptionofafine.
Terms of office of member
10. Unlessotherwisedeterminedintermsofsection14oftheState-ownedEnterprisesGovernanceAct,amemberof theCouncilappointed in termsof section7(2)(c)to(i)holdsofficeforaperiodofthreeyears,andiseligibleforreappointmentattheexpiryofthatterm.

Vacation of office of member
11. (1) Theofficeofamemberbecomesvacant,ifthenominationiswithdrawnbythenominatingauthoritywhonominatedthememberforappointment,orifthemember–
(a) becomessubjecttoadisqualificationmentionedinsection9;
(b) resignsbynoticeinwritingtothePrimeMinister;
(c) isabsentfromtwoconsecutiveCouncilmeetingswithoutpermissionoftheCouncil;or
(d) isremovedfromofficeundersubsection(2).
(2) ThePrimeMinister,bynoticeinwriting,mayremoveamemberfromofficeifthePrimeMinister,afteraffordingthememberanopportunitytobeheard,issatisfiedthatthemember-
(a) isincapacitatedbyphysicalormentalillness;or
(b) is, for any valid reason, unable or unfit to properly, efficiently andeffectivelydischargethefunctionsofamember.
(3) Whenever the Prime Minister acts under subsection (2), the PrimeMinistermayfirstsuspendthememberconcernedfromhisorherofficependingafinaldecisiononwhetherornotthemembershouldberemoved.
(4) Ifamemberdiesorvacatesofficebeforetheexpiryofhisorhertermofoffice,thePrimeMinistermust,assoonasreasonablepossiblyafterreceivingnoticeofthevacancy,appointapersoninaccordancewithsection7tofillthevacancyfortheremainingportionofthatmember’stermofoffice.
Disclosure of interest of members of Council and committees
12. (1) IfamemberoftheCounciloracommitteehasanydirectorindirectinterestinanymatterwhichisthesubjectofconsiderationatthemeetingoftheCouncilorcommittee,andthatmattermaycauseaconflictofinteresttoarise,themember-
(a) must disclose the nature of the interest to theCouncil or committeebeforeoratthecommencementofthemeeting;and
(b) may not participate in the meeting, unless the other members,after considering the disclosure made in terms paragraph (a) directotherwise.
(2) IfatanystageduringameetingoftheCounciloracommitteeitappearsthatamemberormemberofacommitteehasormayhaveanyinterestwhichmaycauseaconflictofinteresttoarise,themembermustassoonaspossible–
(a) fullydisclosethenatureofsuchinterest;and

(b) leave themeeting to enable the remainingmembers to consider thedisclosure and determine whether the member is excluded fromparticipatinginthemeetingbyreasonofaconflictofinterests.
(3) Adisclosurebyamemberoramemberofacommitteeinaccordancewith subsection (1)or (2), andadecision takenby themembersormembersof thecommitteeinconnectionwithsuchdisclosuremustberecordedintheminutesofthemeetingconcerned.
(4) AdecisiononamattertakenbytheCounciloracommitteeatameetingwhereamemberormemberofacommitteetookpartincontraventionofsubsection(1)or(2)mustbecancelledandthematterreconsideredattheensuingmeetingoftheCouncilorcommittee.
(5) Despite subsection (4), amember of theCouncil or amember of acommitteewhocontravenesorfailstocomplywithsubsection(1)or(2)commitsanoffenceandisliabletoafinenotexceedingN$8000ortoimprisonmentnotexceedingaperiodoftwoyears,ortobothsuchfineandsuchimprisonment.
Meetings and decisions of Council
13. (1) TheChairpersonor,inhisorherabsence,theVice-Chairperson,presidesatmeetingsoftheCouncil,or,intheabsenceofboththeChairpersonandVice-Chairperson,thememberspresentatthemeetingmustelectfromamongsttheirnumberamembertopresideatthatmeeting.
(2) TheCouncilmustholdatleastthreemeetingsduringthefinancialyearofNIPAM.
(3) Thefirstmeetingof theCouncilmustbeheld at the timeandplacedeterminedbythePrimeMinisterandthereaftermeetingsmustbeheldatsuchtimesandplacesas theCouncilmaydetermine,but theChairpersonmayatany time,andmust at thewritten request of the PrimeMinister or at least three votingmembers,conveneaspecialmeetingoftheCouncil.
(4) The business which is of urgent nature and which cannot be keptpendingtillthenextmeetingmaybetransactedbycirculationamongallmembersoftheCouncilandanyresolutionsocirculatedandapprovedbyamajorityofthemembersisaseffectiveandbindingas ifsuchresolutionhadbeenpassedatameetingof theCouncilprovidedthatanybusinesssotransactedmustbereportedatthenextmeetingoftheCouncil.
(5) ThemajorityofallthemembersoftheCouncilformsaquorumatanymeetingoftheCouncil.
(6) A decision of the majority of the members present at a meetingconstitutes the decision of theCouncil and in the event of an equality of votes thememberpresidingatthemeetinghasacastingvoteinadditiontohisorherdeliberativevote.
(7) A decision of the Council or an act performed on authority of theCouncilisnotinvalid–

(a) byreasonofavacancyontheCouncil;
(b) by reasonof the fact that apersonwho is not entitled tobepresentasamemberwaspresentwhenthedecisionwastakenortheactwasauthorized,
ifthedecisionwastakenortheactwasauthorized,byamajorityofthememberswhowerepresentandentitledtovoteatthemeeting.
(8) TheCouncilmustcauseproperminutesofproceedingsofitsmeetingstobekept.
(9) The Council may make rules governing the manner in which itsmeetingsormeetingsofcommitteesareheldandtheproceduresatsuchmeetings.
Committees of Council
14. (1) TheCouncilmayestablishanycommitteeoftheCouncil-
(a) toadvisetheCouncilonanymatterwhichtheCouncilreferstoit;or
(b) toexerciseanyof thepowersorperformanyof thefunctionsof theCouncilwhichtheCouncildelegatesorassignstoit.
(2) Acommitteeestablishedundersubsection(1)–
(a) consistsofatleasttwomembersoftheCouncilandsuchothermembersoftheCouncilorotherpersonsastheCouncilmayappointasmembersof the committee on such terms and conditions as theCouncilmaydetermine;and
(b) meetsat the timeandplaceandonsuchtermsandconditionsas theCouncilmaydetermine.
(3) TheCouncilmustdesignatetwomembersoftheCouncilaschairpersonandvice-chairpersonofsuchcommittee.
(4) The vice-chairperson of the Council and, subject to section 26(4),the Executive Director are ex officio members of any committee established undersubsection(1).
Delegation and assignment of powers and functions
15. (1) The Council, in writing and subject to such conditions orrestrictionsasitmayimpose,maydelegateanypowerorassignanyfunctionconferredorimposedonitbyorunderthisActtotheExecutiveDirectororanycommitteeoftheCouncil,exceptthepowertomakerulesortoappointmanagementstaffordischargeanystaffmember.
(2) The Council is not divested or relieved of the power or functiondelegatedorassignedundersubsection(1)anditmayatanytime-
(a) withdraworamendanysuchdelegationorassignment;or

(b) withoutprejudiceofanyright,setasideorvaryanydecisionmadeintheexerciseofsuchpower.
Constitution of Training and Development Board
16. (1) The organization and superintendence of capacity buildinginterventions,trainingprogrammes,courses, trainingsessions, instructions,curricula,assessment,awardofqualifications,accreditation,researchandconsultancyactivitiesarevestedintheTrainingandDevelopmentBoardofNIPAM.
(2) TheBoardconsistsofthefollowingmembersappointedbytheCouncil-
(a) theExecutiveDirector,whoisthechairperson;
(b) theDeputyExecutiveDirector,whoisthevice-chairperson;
(c) twomembersoftheCouncilappointedintermsofsection7(2)(i);
(d) a staff member designated by NIPAM from its senior managementadministrativestaff;
(e) atrainingspecialistdesignatedbyNIPAMfromitstrainingstaff;
(f) a staff member designated by the Office of the Prime Ministerrepresenting the Human Resource Management and Developmentfunction;
(g) a person designated by the Namibia Qualifications Authorityestablishedbysection2oftheNamibiaQualificationsAuthorityAct,1996(ActNo.29of1996)havingexpertiseinaccreditationofbodiesandcapacitybuildingservices;and
(h) apersondesignatedbytheNamibiaTrainingAuthorityestablishedbysection4oftheVocationalEducationandTrainingAct,2008(ActNo.1of2008).
(3) TheBoardmayco-optpersons,asmaybeprescribedbytherules,asmembersandsuchmembersmaytakepartindeliberationofmattersbeforetheBoard,buthavenorighttovote.
Powers and functions of Board
17. ThepowersandfunctionsoftheBoardare-
(a) todevelopstrategicplanandannualbusinessplanofNIPAM;
(b) to coordinatewith theMinistry ofEducation andNational PlanningCommissionwithregardtonationalcapacitybuildingneeds;
(c) todevelopthecurricula,trainingdesignandimplementationstrategyof training programmes, courses, workshops and capacity buildinginterventions;

(d) todetermine thenormsandstandardsfor theawardofqualificationsandaccreditationforapprovalfromNamibiaQualificationsAuthorityorotheraccreditationbodies;
(e) to exercise quality control on the capacity building interventions toensurevalueformoney;
(f) tomakerecommendationstotheCouncilinconnectionwiththeannualbudgetofNIPAMandonmattersreferredtoitbytheCouncilorwhichtheTraining&DevelopmentBoardconsidersnecessaryintheinterestofNIPAM;
(g) tosubmittotheCouncilsuchreportsinconnectionwiththefunctionsofNIPAMorTraining andDevelopmentBoard as theCouncilmayrequire;and
(h) toperformsuchotherfunctionsasmayberequiredtodevelopNIPAMasacentreofexcellenceinpublicservicesectorcapacitybuilding.
Disqualification for appointment as member of Board
18. ApersonisnotqualifiedforappointmentasamemberoftheBoard,iftheperson–
(a) isnotaNamibiancitizenorholderofapermanentresidencepermit;
(b) isanun-rehabilitatedinsolvent;
(c) hasunderanylawbeendeclaredtobeofunsoundmind;
(d) hasbeenremovedfromanofficeoftrustonaccountofmisconduct;
(e) hasbeenatanytimeconvictedofanoffenceandsentencedtoaperiodofimprisonmentwithouttheoptionofafine.
Terms of office of member of Board
19. Exceptmembersappointedbyvirtueoftheiroffices,amemberoftheBoardholdsofficeforaperiodofthreeyears,andiseligibleforreappointmentattheexpiryofthatperiod.
Vacation of office of member of Board
20. (1) TheofficeofamemberoftheBoardbecomesvacant, if thedesignationiswithdrawnbythedesignatingauthoritywhodesignatedthememberforappointment,orifthemember–
(a) becomessubjecttoadisqualificationmentionedinsection18;
(b) resignsbynoticeinwritingtotheCouncil;
(c) isabsentfromtwoconsecutiveBoardmeetingswithoutpermissionoftheBoard;or

(d) isremovedfromofficeundersubsection(2).
(2) TheCouncil,bynoticeinwriting,mayremoveamemberoftheBoardfromofficeif theCouncil,afteraffordingthememberanopportunity tobeheard, issatisfiedthatthemember-
(a) isincapacitatedbyphysicalormentalillness;or
(b) is, for any valid reason, unable or unfit to properly, efficiently andeffectivelydischargethefunctionsofamember.
(3) Whenever the Council acts under subsection (2), the Council mayfirstsuspendthememberconcernedfromhisorherofficependingafinaldecisiononwhetherornotthemembershouldberemoved.
(4) IfamemberoftheBoarddiesorvacatesofficebeforetheexpiryofhisorhertermofoffice,theCouncilmust,assoonasreasonablepossiblyafterreceivingnoticeofthevacancy,appointapersoninaccordancewithsection16tofillthevacancyfortheremainingportionofthatmember’stermofoffice.
Meetings and decisions of Board
21. (1) Thefirstmeetingof theBoardmustbeheldat the timeandplacedeterminedby theExecutiveDirector and thereaftermeetingsmustbeheldatsuchtimesandplacesastheBoardmaydetermine,butthechairpersonmayatanytime,andmustatthewrittenrequestofatleastone-thirdofthemembers,conveneaspecialmeetingoftheBoard
(2) Thechairpersonor,inhisorherabsence,thevice-chairpersonoftheBoard presides atmeetings of theBoard or, in the absence of both the chairpersonandvice-chairperson,thememberspresentmustelectfromtheirnumberamembertopresideatsuchmeeting.
(3) TheBoardmustholdatleastthreemeetingsannually,ofwhichatleastonemeetingmustbeheldineachhalfofthefinancialyearofNIPAM.
(4) ThemajorityofallthemembersoftheBoardformsaquorumatanymeetingoftheBoard.
(5) Adecisionof themajorityof themembersof theBoardpresentatameetingconstitutesthedecisionoftheBoardandintheeventofanequalityofvotesthememberpresidingatthemeetinghasacastingvoteinadditiontohisorherdeliberativevote.
(6) The business which is of urgent nature and which cannot be keptpendingtillthenextmeetingmaybetransactedbycirculationamongallmembersoftheBoardandanyresolutionsocirculatedandapprovedbyamajorityofthemembersisaseffectiveandbindingas ifsuchresolutionhadbeenpassedatameetingof theBoardprovidedthatabusinesssotransactedmustbereportedatthenextmeetingoftheBoard.
(7) AdecisionoftheBoardoranactperformedonauthorityoftheBoardisnotinvalid–

(a) byreasonofavacancyontheBoard;or
(b) by reasonof the fact that apersonwho is not entitled tobepresentasamemberwaspresentwhenthedecisionwastakenortheactwasauthorized,
ifthedecisionwastakenortheactwasauthorized,byamajorityofthememberswhowerepresentandentitledtovoteatthemeeting.
(8) TheBoardmayprescribetheproceduresatmeetingsoftheBoardandcommitteesoftheBoard.
Committees of Board
22. (1) TheBoardmayestablishanycommitteeoftheBoard–
(a) toadvisetheBoardonanymatterwhichtheBoardreferstoit;or
(b) toexerciseanyof thepowersorperformanyof thefunctionsof theBoardwhichtheBoarddelegatesorassignstoit.
(2) Acommitteeestablishedundersubsection(1)–
(a) consistsofatleasttwomembersoftheBoardandsuchotherpersonsastheBoardmayappointasmembersofthecommitteeonsuchtermsandconditionsastheBoardmaydetermine;and
(b) meetsat the timeandplaceandonsuchtermsandconditionsas theBoardmaydetermine.
(3) TheBoardmustdesignatetwomembersoftheBoardaschairpersonandvice-chairpersonofacommitteeoftheBoard
(4) Subjecttosection26(4),theExecutiveDirectorisanexofficiomemberofeverycommitteeestablishedundersubsection(1).Delegation and assignment of powers and functions
23. (1) The Board, in writing and subject to such conditions orrestrictionsasitmayimpose,maydelegateanypowerorassignanyfunctionconferredorimposedonitbyorunderthisActtotheExecutiveDirectororanycommitteeoftheBoard.
(2) TheBoardisnotdivestedorrelievedofthepowerorfunctiondelegatedorassignedundersubsection(1)anditmayatanytime-
(a) withdraworamendanysuchdelegationorassignment;or
(b) withoutprejudiceofanyright,setasideorvaryanydecisionmadeintheexerciseofsuchpower.

Joint committees of Council and Board
24. (1) TheCouncilandtheBoardmaybymutualagreementestablishjointcommitteesconsistingofmembersoftheCouncilandtheBoard,designatedbytheCouncilandtheBoard,respectively.
(2) TheCouncilortheBoardmaydelegateanyofitspowerstoanysuchjointcommittee,butisnotbedivestedofapowersodelegated,andmayalterorsetasideadecisionofsuchjointcommitteeatthefirstensuingmeetingoftheCouncilortheBoard.
(3) The Vice-Chairperson, and, subject to section 26(4), the ExecutiveDirectorareex officiomembersofeveryjointcommitteeestablishedundersubsection(1).
Remuneration of members of Council, Board and committees
25. (1) ThePrimeMinistermustdeterminetheallowancespayabletomembersoftheCouncilandtheBoard,anycommitteeoftheCouncilortheBoardandanyjointcommitteeoftheCouncilandtheBoardinaccordancewithsection22oftheState-ownedEnterprisesGovernanceAct.
(2) Theallowancesdeterminedundersubsection(1)maydifferaccordingtotheofficeheldorthefunctionsperformedbythememberconcerned.
(3) Anyallowancepayabletoamemberwhoisinfull-timeserviceoftheStateissubjecttothelawsgoverningtheconditionsofemploymentofsuchmember.
PARTIV
ADMINISTRATIONOFNIPAM
Executive Director
26. (1) TheCouncil,withtheconcurrenceofthePrimeMinister,mustappointedasuitableperson,whohasknowledgeandexpertiserelevanttothefunctionsofNIPAMasExecutiveDirector, on such terms and conditions as theCouncilmaydetermine,subjecttosection22(3)oftheState-ownedEnterprisesGovernanceAct.
(2) ThepowersanddutiesoftheExecutiveDirectorareasprescribedbytherules.
(3) TheExecutiveDirector–
(a) holdsofficeforaperiodoffiveyearsandiseligibleforre-appointmentattheexpirationofthatperiod;
(b) istheheadoftrainingandaccountingofficerofNIPAM;
(c) isresponsibleforthecarryingoutoftheresolutionsoftheCouncilandtheBoard;and

(4) TheExecutiveDirectormayfromtimeto timedesignateanypersonintheserviceofNIPAMtoserve,inanyparticularcaseorforsuchperiodasheorshemaydetermine,inhisorherplaceasamemberofanycommitteeestablishedunderthisAct.
Performance agreements of management staff
27. (1) The Councilmust require the ExecutiveDirector, and suchotherseniormanagementstaffofNIPAM,toenterintoaperformanceagreementwiththeCouncil,withdueregardtoanydirectivelaiddownundersection4oftheState-ownedEnterprisesGovernanceAct,settingout,amongothers-
(a) thetermsandconditionsofappointment;
(b) objectivestobeachievedandthetimeframeforachievementthereof;and
(c) measuresnecessarytoevidencesuchachievement.
(2) FailureonthepartoftheExecutiveDirectororotherseniormanagementstaffmembertocomplywithanyprovisionofaperformanceagreementwhichheorsheenteredintowiththeCouncil,constitutesagroundforhisorherdismissalfromtheserviceofNIPAM,subjecttotherulesofnaturaljustice.
Deputy Executive Director
28. (1) TheCouncilmayappointapersonfromthetrainingstaffasDeputyExecutiveDirectorofNIPAM.
(2) ThepowersanddutiesoftheDeputyExecutiveDirectoraredeterminedbytheCouncil.
(3) TheExecutiveDirectormaydelegatetotheDeputyExecutiveDirectororanyotherstaffmemberanyofhisorherpowers,butisnotdivestedofapowersodelegated.
Finance Controller
29. TheCouncilmustappointapersonfromtheadministrativestaffastheFinanceControllerofNIPAM–
(a) toassisttheExecutiveDirectorintheadministrationandmanagementof the funds ofNIPAMaccording to policies, rules and regulations;and
(b) toserveasthedepositoryofthefinancialrecordsandotherdocumentsofNIPAM.

Training and administrative staff
30. (1) TheCouncilmay–
(a) on the recommendationof theBoard, appoint trainers, specialists orconsultantstorenderserviceaspartoftrainingstaffofNIPAM;or
(b) appointpersonstoserveaspartofadministrativestaffofNIPAM.
(2) TheCouncil-
(a) withtheconcurrenceofthePrimeMinister,determinestheconditionsof service, remuneration and benefits of the ExecutiveDirector andother management staff of NIPAM, subject to section 22(3) of theState-ownedEnterprisesGovernanceAct;and
(b) determines the conditions of service, remuneration and benefits ofotherstaffmembersofNIPAMbelowmanagementlevel.
(3) NIPAM may only employ a non-Namibian on a fixed contract ofemploymentandonsuchtermsandconditionsastheCouncilmaydetermineineachparticularcase.
Registration for programmes or courses and fees
31. (1) TheCouncil,ontherecommendationoftheBoard,determinesrequirementsfornominationandregistrationforcapacitybuildingoffersatNIPAM.
(2) SubjecttothisAct,theCouncil,afterconsultationwiththeBoardmay-
(a) prescribe minimum eligibility requirements for registration andattending a training programme or course, or cancellation ofregistration;
(b) refuse permission to a person to register or attend a programme orcoursewhodonotsatisfytheminimumrequirements;
(c) refusepermissiontoapersontoregisterforaprogrammeorcourse,ifitisconsideredtobeintheinterestofNIPAMtodoso;or
(d) determinethenumberofpersonswhomaybepermittedtoregisterforaparticularprogrammeorcourse,andselect,fromamongthepersonswhosatisfytheminimumrequirementsforsuchprogrammeorcourse.
(3) The Council, after consultationwith the Board, determines the feespayablebyapublicservant,anyperson,client,organisationorbeneficiary.
(4) A person attending a training programme or course or an event atNIPAMissubjecttothestandardofconductprescribedbytherules.
Certificates and diplomas
32. (1) Subject to thisAct and the rules, NIPAM, may confer anycertificateordiplomaintrainingasitmayconsidernecessarytoconfer.

(2) Subjecttosection31,NIPAM,maynotconferacertificateordiplomauponanypersonunlesssuchpersonhas-

(b) attainedthestandardofproficiencyinanexaminationortest,

FINANCIALPROVISIONS
Funds, accounts, financial year and audit
34. (1) ThefundsofNIPAMconsistof-
(a) moneys appropriated by Parliament for supporting the objects ofNIPAM;
(b) moneysaccruedtoNIPAMintermsofthisAct,includingtrainingandotherfees;
(c) anymoneyreceivedbyNIPAMfromanysource,includingdonationsandbequests;and
(d) anyinterestearnedoninvestmentsofanymoney.
(2) TheExecutiveDirectoradministersthefundsofNIPAM,and–
(a) ischargedwith theresponsibilityofaccountingformoneysreceivedandpaymentmadebyNIPAM;
(b) must keep records of thefinancial transactions, accounts, assets andliabilities;and
(c) assoonaspracticableaftertheendofeachfinancialyear,mustcauseannualfinancialstatementstobepreparedinaccordancewithgenerallyaccepted accounting practice, inclusive of an income statement andbalance sheet in respect of that financial year, for adoption by theCouncil.
(3) MoneysorotherpropertydonatedorbequeathedtoNIPAMareutilizedinaccordancewiththeconditions,ifany,ofthedonationorbequestconcerned.
(4) Moneys not required for immediate use may be invested witha registered financial institution, in such manner as the Prime Minister, with theconcurrenceoftheMinisterofFinance,mayapprove.

(6) TheCouncilmustcausetobeopenedandmaintainedwithabankorbanksapprovedbythePrimeMinister–
(a) anaccountintowhichallmoneyspayabletoNIPAMmustbedepositedandfromwhichpaymentsmustbemade;and
(b) areserveaccountintowhichsurplusmoneymaybedepositedandfromwhichanyinvestmentscontemplatedinsubsection(4)maybedrawn.
(7) TheCouncilmustappointanauditorregisteredintermsofthePublicAccountants’andAuditors’Act,1951(ActNo.51of19951)toannuallyauditaccountsandfinancialstatementsofNIPAM.
Granting of subsidies and loans to NIPAM
35. ThePrimeMinister,withtheconsentoftheMinisterofFinance,mayoutofmoneysappropriatedbyParliamentforthepurpose-
(a) grant subsidies toNIPAMin respectofcapital andnormal recurrentexpenditureofNIPAMon the termsandconditionsmutuallyagreeduponbythePrimeMinister,theMinisterofFinance,andNIPAM;
(b) subjecttosuchconditionsasthePrimeMinister,withtheconsentoftheMinisterofFinance,maydetermine,grantloanstoNIPAMinrespectof-
(i) theerectionofbuildingsandtheacquisitionofequipmentofapermanentnature;
(ii) theacquisitionofimmovableproperty,includingrightsthereinor thereto, and the defrayment of costs connected with thesurveythereof;
(iii) the defrayment of the capital outlay on the improvement ofimmovableproperty;
(iv) the purchase, lease or acquisition otherwise of movablepropertyofacapitalnature;or
(v) the payment of any other loan raised by NIPAM for anypurposementionedinsubparagraphs(i)to(iv).
Exemption from payment of tax and other charges
36. NotaxorchargeonincomeortransferorstampdutyimposedbyorunderanylawispayablebyNIPAM.
Annual report
37. (1) TheCouncilmust,inaccordancewithsection26oftheState-ownedEnterprisesGovernanceAct, not later than sixmonths after the end of each

financialyear furnish to thePrimeMinisteranannual report, including theauditor’sreportonthefinancialstatementsandactivitiesduringtheprecedingfinancialyear.
(2) The Prime Minister must table the annual report in the NationalAssemblywithin30daysofreceiptthereofiftheNationalAssemblyistheninordinarysession,or,iftheNationalAssemblyisnottheninordinarysession,within30daysafterthecommencementofitsnextordinarysession.

GENERALPROVISIONS
Preservation of secrecy
38. (1) A person who has confidential information relating to theaffairsoftheCouncilortheBoardoranycommittee,orwhoobtainsorhasaccesstosuchinformationbyvirtueofsuchperson’sofficeoremploymentorparticipationintheactivitiesoftheCouncil,BoardorcommitteeintermsofthisAct,maynotdisclosesuchinformationtoanyperson,except-
(a) to a personwho of necessity requires it for the performance of anyfunctionsintermsofthisAct;
(b) if the person discloses such information in the performance of anyfunctionsintermsofthisAct;
(c) ifsuchinformationisrequiredintermsofanylaworasevidenceinanycourtoflaw;or
(d) withthepriorwrittenapprovalofthePrimeMinister,thechairpersonof the Council or the Board, or the Executive Director, granted inrespectofanymatterwhichintheopinionofthePrimeMinister,thechairpersonortheExecutiveDirector,isofageneralnatureandmaybedisclosedinthepublicinterest.
(2) Apersonwhocontravenessubsection (1)commitsanoffenceand isliabletoafinenotexceedingN$8000ortoimprisonmentforaperiodnotexceedingtwoyears,ortobothsuchfineandsuchimprisonment.
Limitation of liability of members of Council, Board and committees and staff of NIPAM
39. AmemberoftheCouncil,Board,orcommitteeorastaffmemberofNIPAM is not personally liable for anything done or omitted in good faith and notattributabletogrossnegligenceduringtheexerciseorperformanceofhisorherpowersorfunctionsassuchmemberorsuchstaffmemberintermsoforunderthisAct.
Offences and penalties 40. Apersonwho,withouttheauthorityofNIPAM-
(a) establishes or conducts an institution, not being an institutionestablishedbyorunderanylaw,underanamethatincludestheword“InstituteofPublicAdministrationandManagement”or“NIPAM”;

(b) in anywaymakes it knownor pretends to anyother person that heorshecanofferanycourseofstudyorpartthereofwhichentitlesthepersonwhohasfollowedsuchacourseorpartthereoftothegrantingofadiplomaorcertificateofferedbyNIPAM;
(c) confersadiplomaorcertificatepurportingtobeadiplomaorcertificategrantedbyNIPAM;or
(d) performsanyactwhichpurportstohavebeendonebyoronbehalfofNIPAM,
commitsanoffenceandisliabletoafinenotexceedingN$20000ortoimprisonmentforaperiodnotexceedingfiveyears,ortobothsuchfineandsuchimprisonment.
Agreements
41. TheCouncilmayenterintoagreementswithanytraining,educationalor other institution, whether in Namibia or elsewhere, to effectively and efficientlycarryingoutitsfunctionstoachievetheobjectsofNIPAM.
Regulations and rules
42. (1) The Prime Minister may, on the recommendation of theCouncilortheBoard,asthecasemaybe,makeregulationsonanymatterwhichtheCouncilortheBoardconsidersnecessaryorexpedienttoregulateforthepurposeofgivingeffecttotheobjectsofNIPAMortheachievementofthepurposesofthisAct.
(2) Subjecttosubsection(3),theCouncilmaymakerules,notinconsistentwiththisAct,relatingto-
(a) anymatterrequiredorpermittedtobeprescribedintermsofthisAct;
(b) anymatterwhichtheCouncilconsidersnecessaryorexpedientfortheefficientandeffectivecarryingoutofthefunctionsofNIPAMorfortheachievementoftheobjectsofNIPAM;and
(3) TheCouncilmaynotmakeanyruleundersubsection(2)whichdealswithanymatterrelatingtotheactivitiesoftheBoard,unlesstheCouncilhasconsultedwiththeBoard.
Short title and commencement
43. ThisActiscalledtheNamibiaInstituteofPublicAdministrationandManagementAct,2010,andcomesintooperationonadatedeterminedbythePrimeMinisterbynoticeintheGazette.
