The IT Leadership group is designed for all levels of leaders within the IT space including: IT Managers, IT Directors, and VPs of IT within the Chicagoland area.

What is the BOD?▪ A group of people (directors) that jointly supervises an organization
• Based on government regulations (including shareholders for publicly traded companies)
• Companies constitution and bylaws• Often appoints the CEO
▪ The BOD has defined objectives• Meetings conducted based on rules & procedures defined for the BOD• The duties are fiduciary
▪ Comprised of committees• Executive• Finance• Governance & Nominating• Communication and Public Relations• Audit• Adhoc

Who is on the BOD?
▪ Know your audience well• Research each member you interact with – Bloomberg, D&B, Reuters, news, etc.
• Attend any dinners or invites
• Listen
• Know who sits on which committee
• Understand their SME
• Interview internal directors to understand the players & the dynamics
▪ Review historical BOD Books (if you have access)• What’s the history of shared IT information
• How do risks relate to current IT issues
• Keep in mind the bigger picture

Prepare Your Materials▪ A picture paints 1000 words
• Focus primarily on what the BOD needs to hear, not what you want to communicate• Simplify or chart portions of your information (trends, volumes)• Never drop open ended issues
• If you have an issue, what’s the plan• If the issue is incredibly new, it may be too soon to discuss
• Slides should be concise, particularly in IT• Align comments with board directives or issues• Only mention issues as they pertain to the committee directly• Anticipate questions you will be asked
▪ Review the entire BOD Book prior to the session – all sections• Review the action items, assignments and deadlines• Often the conversation and issues are a continuation or theme • Some things have been discussed for months or years…..• Understand the pace and cadence of change that occurs within the BOD and
assignments given to the executive leaders

The Meeting is for the BOD
▪ Don’t be intimidated• Often the audience is very accomplished• Personalities can be larger than life• Outside Directors may sit on multiple boards
• Those linkages may influence their opinions
• 1+ days of meeting where your subject is less than 45 minutes can push your limits of concentration – get some rest
• It’s okay to say “I don’t know, but I’ll find the answer” – and follow through 100%
• Picture them naked??• Do not ask your colleague questions when they present, this is not a meeting• Leave yourself available during executive sessions• Realize all BODs are different, so if you change companies, start the process all
over and be specific to that BOD
