With the launch of the new Germanwings, our Check-

in Kiosks have also taken on a new look and have

been upgraded with a new advertising opportunity.

We implemented a new advertising placement on the

control screen and the touch screen below it: A cycling

screensaver operating in an animated Flash format.

These kiosks are available at the German airports in

Cologne, Hannover, Hamburg, Munich, Berlin-Tegel

Terms for booking advertising media

1. Responsibility/Contracting parties Germanwings GmbH – hereafter referred to as Germanwings – shall be responsible for marketing the special types of adverti-sing. The contract for the execution of the advertising order authorized by the client shall be concluded in the name of and for the account of Germanwings.

2. Contract conclusion In any case, offers from Germanwings shall be subject to change. The contract shall become effective with the written confir-mation by Germanwings. Verbal, telephone and electronic orders shall be deemed to be stipulated as confirmed by German-wings in writing, provided that the client does not object to these in writing within 24 hours after receipt of the order confirmati-on. Solely the respectively valid General Terms and Conditions (GTC) shall apply for all orders. The validity of the client’s general terms and conditions shall herewith be explicitly excluded.

3. Orders from agencies Orders from advertising agencies shall only be accepted for specifically named advertisers (name, complete address). Ad-vertising agencies or advertising brokers shall receive an agency commission of 15 % on the net sum of the order, i.e. on the net amount payable without VAT after the deduction of discounts, provided that they verify respective services. In the event of amendments to an order value and/or a discount by means of posting or cancellation, the agency commission shall be recalcu-lated.

4. Period of processing Orders shall be processed within a calendar year. The contractual year shall be the calendar year.

5. Withdrawal With the confirmation pursuant to item 2 of these GTC, the advertising objective shall be accepted. In well-founded individual cases, Germanwings shall be able to grant the client a withdrawal option at its sole discretion. In any case, the withdrawal request shall be addressed to Germanwings in writing and must be duly (i.e. generally before the material deadline) made available to Germanwings in writing. The withdrawal shall only be effective if Germanwings explicitly accepts it in writing.

6. Rejection of advertising orders / sampling campaigns Germanwings shall reserve the right to reject advertising objectives/sampling campaigns – also legally binding confirmed orders – as well as individual orders in line with a conclusion (withdrawal) if they violate the law, official provisions or are immoral, cont-radict the principles of Germanwings due to their content, their origin or technical form, or would be unacceptable for German-wings to publish. Furthermore, Germanwings shall reserve the right to take individual special types of advertising out of the offer according to its best judgement and also to withdraw, in the case of legally binding confirmed orders, provided that a decision of the Germanwings product management requires this to be done. In this case, the obligation to pay for the respective service shall not apply. The assertion of other claims shall be explicitly excluded. Should the booked advertising service be rendered despite the initially declared rejection, the client’s original obligation to pay shall still exist.

7. Price alterations Alterations in the price list shall be possible at any time. However, price alterations for stipulated and confirmed advertising orders/sampling campaigns shall only be effective if they are announced by Germanwings at least one month before the imple-mentation. In the event of a price increase, the client shall be entitled to a right of withdrawal. The right of withdrawal must be exercised in writing within 5 work days after receipt of the notification.

8. Terms of payment The placed advertising orders/sampling campaigns shall be invoiced in advance on a monthly basis. The invoices shall be issued with the addition of the statutory value-added tax. They shall be due for payment 10 work days, at the latest, after the

receipt of the invoice without deductions. Germanwings shall reserve the right to demand prepayment for business transactions with new clients. Payments shall solely be effected to the accounts specified by Germanwings on the invoice. Bank service charges shall be on the client’s account. Cheques and bills of exchange shall only be accepted on account of performance. In the event of default of payment, Germanwings shall be entitled to postpone the implementation of the order without this cons-tituting a claim for compensation on the part of the client. The client shall be liable for the resulting damage caused by default. This shall include, if other damage caused by default is not verified, interest for default amounting to 4 % above the respectively valid bank rate of the Central Bank of Germany. A default of payment shall entitle Germanwings to withdraw from the contract. Any resulting damage shall be compensated for by the client.

9. Print documents At the latest, the advertising text must be available for approval by Germanwings 5 work days before the material deadline. The client shall be responsible for the punctual delivery of the advertising text and acceptable print documents to the location to be specified by Germanwings.

10. Circulation, remainders, page impressions The amount of advertising media (boarding passes, napkins, samples, cups) can vary according to passenger fluctuations and cannot be limited in regard to time; surplus amounts shall be distributed. The page impressions indicated in the catalogue shall be reference values and average values which result from the entire calendar year. In the event of an under-delivery, Germanwings shall attempt, as far as possible, to additionally deliver the missing page impressions after expiration of the placement of the advertising medium. Over-deliveries shall be exempt from charges for the client.

11. Client’s responsibility with regard to product, media, competition and copyright laws In the business relationship with Germanwings, the client shall bear sole responsibility for the advertising message / the sampling product with regard to product, media, competition and other laws. The client shall indemnify Germanwings from all third-party claims. The client shall be liable to Germanwings for damage resulting from a possible use and in this respect shall indemnify Germanwings from the use by third parties.

12. editorial rights Germanwings shall maintain the editorial rights. The advertising partners shall be able to supply text and image suggestions. The decision regarding the ultimate placement, text design and the layout shall lie with Germanwings. Furthermore, the ad-vertising partner shall not be able to refer to the display and placement of the illustrations depicted in the media catalogue as these merely serve as an example.

13. Liability The liability of Germanwings (including its vicarious agents) shall be unlimited in the event of intent or gross negligence as well as in the case of a guarantee. For slight negligence, liability shall be unlimited in the event of injury to life, limb or health. In the event of a slightly negligent breach of essential contractual obligations, liability shall be limited to the resulting material and financial damages, amounting to the foreseeable, typically occurring damage. Any other, additional liability for compensation shall be excluded – except for claims pursuant to the Product Liability Act. In particular, this shall apply for cases of default, non-fulfilment or faulty performance.

14. Final provisions Alterations and amendments regarding the contract, including auxiliary agreements and alterations of these provisions, shall require the written form. Should individual provisions of these GTC be or become ineffective, the remaining components of the contract shall remain unaffected. In business transactions with merchants, corporate bodies or special funds under public law, the jurisdiction in the event of legal action shall be the registered office of Germanwings. As far as claims by Germanwings are not asserted in a collective procedure, the jurisdiction for non-merchants shall be determined according to their place of residence. If the place of residence or the client’s permanent dwelling, also for non-merchants, is unknown at the time of commencement of an action or if the client has changed his/her place of residence or permanent dwelling from the territory of the law after contract conclusion, the registered office of Germanwings shall be stipulated as the place of jurisdiction.
