COMPANY HISTORY AND FINANCIAL STABILITY

Less than half a percent of North American companies survive for over a century. The Garland Company, Inc. founded in 1895, is one of them. When purchasing roof systems with life cycles of 20 to 50 years, there is a major benefit to contract directly with a manufacturer whose track record and financial stability is proven, stable, and secure. Garland's oldest roofing material patent dates back to 1917, and roofing products and services continue to be our core competency. An organization that began as a small family-owned enterprise was revitalized, in 1974, by a younger management team, the majority of whose members continue to play an active role in the business. New managers are continually being groomed, many of them from the ranks of our field representatives, to ensure continuation of Garland's dynamic, customer-responsive culture. Our manufacturing operations use proprietary mixing and process technologies and are independently audited for continuous quality control under ISO 9001-2008. We use the latest testing methods available to ensure that products meet or exceed customer expectations of performance, employing testing protocols in a precise and frequent manner to ensure consistently predictable results. Testing protocols include, but are not limited to:

• Thickness and placement of the scrim – Regular visual examination ensures compliance with rigorous ASTM standards and Garland’s own exacting specification requirements.

• Compound stability – Verification of ASTM and Garland-specified softening point temperatures ensures the high-temperature stability of our modified sheets. (Garland’s own specification requirements significantly exceed ASTM minimums.)

• Tensile and tear strength – Garland membranes are tested to exacting specifications to ensure superior strength, flexibility, and elongation and to resist the most severe thermal shock, for exceptional performance in any climate.

Sub-Contractor/Supplier Relationships Through our wholly owned subsidiaries, sub-contractor relationships, authorized contractor network, and suppliers, Garland provides a full range of products and services to support the most complex roofing projects with turnkey accountability. Our raw material suppliers are subjected to the same diligent scrutiny as our locally based contractors to ensure compatibility with a philosophy that demands the highest standards of accountability. workmanship, personal integrity, and worker safety, as well as stringent compliance with Garland's rigorous performance standards and all applicable CCOHS (Canada’s National Centre for Occupational Health and Safety) standards, certifications, and licensing.

Authorized Contractor Network Throughout the United States, Canada, and the United Kingdom, Garland has developed relationships with highly qualified roofing contractors. By subcontracting roofing installation to local contractors, we help support the local economy. Each contracting firm, prior to being authorized to install our systems, is screened for financial stability, safety performance/compliance with CCOHS (Canada’s National Centre for Occupational Health and Safety Administration) standards, and appropriate certifications and licensing. Garland also offers both classroom and on-site training so that all crews are well versed in system application. In addition to being qualified, each contractor is monitored on-the-job several times a week, and evaluated after every project for his ability to meet Garland standards of performance. Job-site inspections and post-installation surveys provide checks and balances to ensure that our installed systems meet customer specifications, and that each contractor merits retention of his Garland authorized status. As part of any contract derived from this proposal, Garland field representatives will conduct on-site inspections on a timely basis throughout every phase of construction, supervising the application process on every project. In addition, Garland technical support teams are available on an as-needed basis, to provide on-site troubleshooting and problem-solving assistance.

Corporate Account Program Our expertise and experience in protecting building assets around the world enables us to handle the multi-site facilities of large corporations. Our Corporate Account Program offers you all the advantages of locally based field representatives to supervise individual projects, with the added benefits of consolidated purchasing and management.

• A wide product offering provides the added benefits of complete accountability, even for projects that combine several different roofing solutions. For example, it is very common to combine metal and modified bitumen on a single project. By using diverse roofing solutions through a field-tested and proven manufacturer, you can eliminate any possibility of finger-pointing if problems should occur.

• Through a corporate account agreement, we can offer you volume purchasing

and streamlined invoicing. Traditionally our products are purchased by customers through our contractor network. By purchasing directly from Garland, you will eliminate any contractor mark-up for greater control of material costs and inventory.

• For each corporate account, Garland assigns a dedicated account executive to

coordinate the program and ensure consistency and accountability, whether nationally or internationally. As your primary contact at the corporate level, your account executive is responsible for developing the program specifications, handling any concerns that might arise, and ensuring that all projects are handled consistently by the local Garland representatives working with your local facility management teams.

• Because of the breadth of our product and service solutions, Garland can

provide unbiased recommendations for the best possible roof materials and preventive maintenance programs to meet specific application requirements. In those cases where materials are purchased rather than directly manufactured, or where services are provided through subsidiary or associated organizations, Garland demands the highest standards of quality, ensuring customers of complete accountability for performance-based outcomes.

• As the warranty holder, Garland has a vested interest in the long-term

performance of a project because we are accountable as well as responsible for its success. Garland's only bias is that our customers get the best roof systems and services that their budgets allow.

PRICING AND QUALIFICATION CRITERIA

Garland's over 115 years history of successful long-term partnerships with public and private facility owners and managers is founded on a simple philosophy. We believe that every building envelope must be individually and comprehensively evaluated, and that roofing-related problems must be resolved using quality materials that are applied by experienced subcontractors and protected through long-term preventive maintenance. Garland’s pricing methodology parallels that four-step approach.

Scope of Roof Management Services

Step One: Comprehensive surveys, evaluation and analysis, customer review, and recommendations

Comprehensive evaluation and analysis is the foundation on which all Garland roofing solutions are built. In the roof management program proposed, Garland provides, for all roofs specified:

• Comprehensive surveys • A Roof Asset Management Database (RAMP)∗ containing:

Step Two: Quality materials and labor considerations Garland understands that roofing projects can be accurately quoted on an individual basis, only after project scope, location, and performance requirements have been determined. We propose that Garland work closely with your management to establish appropriate performance criteria for each of your roofing project on an individual basis. Materials will be selected according to their ability to match performance criteria mutually agreed upon by your company and Garland. Garland will then provide management for all aspects of subcontractor contracts, regardless of the materials selected, provided those materials match the mutually agreed upon performance criteria.

Step Three: Stringent pre-qualification certifications and education for all subcontractors, combined with timely inspections of work in progress and complete management of all roofing projects Proper installation is essential to the long-term integrity of every roof system. The Garland commitment to the most stringent roofing application guidelines begins with our authorized roofing contractor program. As a provider of the highest quality, commercial roofing products, Garland also provides comprehensive support services to ensure that our roofing solutions provide their warranted performance. As part of every Garland roof project, Garland will provide the following services at no additional charge:

• The pre-approval of all roofing contractors • Pre-bid meetings • Pre-construction meetings on an as-needed basis • Coordination of all roof-related subcontractors • Daily inspections during roof construction projects • Regular progress reports to the appropriate authorities on inspection results,

using our proprietary Roof Asset Management Program, and including all applicable aforementioned RAMP components

• Preparation of specifications • Preparation of details • As-needed updating of RAMP, including on-line updates, with all relevant

specifications, details, etc., as necessary for effective long-term management of your roofing assets

• Additional technical support, including engineering services, on an as-needed basis

• Final inspection • Contractor punch list and issuance of warranty

If you require Garland to act as a General Contractor on a specific project, for a fee*, our wholly owned subsidiary will assume complete accountability for that roofing project management, including but not limited to:

• The pre-approval of all roofing subcontractors • Pre-bid meetings • Management and negotiation of all subcontractor contracts • Pre-construction meetings on an as-needed basis • Coordination of all subcontractors • Training all subcontractors in regards to specified performance criteria • Handling of all insurance requirements, licenses, approvals, permits, bid

bonds, and performance and payment bonds • Timely inspections during every phase of construction • Regular progress reports to the appropriate authorities on inspection results,

using our proprietary Roof Asset Management Program, and including all applicable aforementioned RAMP components

specifications, details, etc., as necessary for effective long-term management of your roofing assets

• Additional technical support, including engineering services, on an as-needed basis

Step Four: Proactive preventive maintenance Garland believes that proper, proactive, preventive maintenance is essential to preserving the long-term integrity of the building envelope, and that all such maintenance is a shared responsibility, in which both the roof system manufacturer and the building owner must participate. In the roof management program proposed, Garland will provide, for all Garland roofs, at no additional charge:

• Annual inspections, with the first inspections to begin 12 months subsequent to the comprehensive surveys conducted at the outset of any contract derived from this proposal

• Annual updating of the RAMP database with the information derived from each year's inspections

*Fees for General Contracting or Construction Management are approximately 10 percent of the contract price, with specific pricing dependent on the complexity and degree of full-time project management required.

• General housekeeping recommendations • Maintenance recommendations based on the results of those inspections • 24-hour emergency response • Garland ten-step comprehensive services

In the roof management program proposed, Garland will provide, for an annual fee of $0.01 (one cent) per square foot for all non-Garland roofs (minimum fees apply):

• Annual inspections, with the first inspections to begin 12 months subsequent to the comprehensive surveys conducted at the outset of any contract derived from this proposal

• Annual updating of the RAMP database with the information derived from each year's inspections

• General housekeeping recommendations • Maintenance recommendations based on the results of those inspections • Supporting documentation, such as roof repair specifications or scope of work

for repairs to be completed • 24-hour emergency response • Garland ten-step comprehensive services

It is suggested that pricing for any recommended preventive or corrective maintenance be determined as follows, with actual pricing to be finalized based on whatever is required to ensure excellent turnaround time for minor work:

For preventive or corrective maintenance projects estimated to be under $1,000: • Work will be performed by approved roofing contractors on a time and

material basis, drawing from the pool of mutually approved contractors. This will ensure timely repairs at a competitive price and excellent turnaround time for your company and building occupants.

For preventive or corrective maintenance projects estimated to be over $1,000:

• Garland will write a scope of work document for the recommended maintenance.

• The project will be bid to three or four contractors, drawing from the pool of mutually approved contractors.

Additional Unanticipated Costs: Should any project require additional services for building locations in remote areas not specified as part of this proposal, such services would be charged to your company on a travel and expense basis only, with billings to be supported by invoices. In any construction project, modifications are sometimes made to an original contract due to unforeseen circumstances. Garland understands that such changes inevitably affect pricing. Under Garland procedures, should such changes occur in the course of any project, Garland will notify you at the first available opportunity, taking subsequent action only after the consent of all affected parties has been obtained, with Garland representing the best interests of your company at all times.

Timeline for Completion It is Garland’s intent to provide the highest level of service and quickest turnaround time to your company. Performing surveys of roofs and completing reports are dependent on several factors including weather, condition of roofs and accessibility. Priority will be given to all roofs identified by your company as problematic or critical and these surveys will be completed within a two-week period. The balance of the facilities will be surveyed and the reports completed at a rate of 30 to 40 per week. Online access to the data will be made available as each report is completed. Performing Infrared Thermals Scans, if requested, will be scheduled after initial surveys are completed.

Insurance Garland Industries maintains a general liability insurance policy for $50 million. In addition, we maintain a professional liability insurance policy of $3 million.

Warranties Garland offers a variety of warranty options, up to 30 years of protection, designed to meet the size and scope of individual applications; the materials chosen; and the customer's desired level of participation in preventive maintenance. The only thing that remains on your roof after all the bills have been paid is the material you have selected. Garland Canada has had very few warranty claims. By exercising due diligence in every aspect of our customer relationships, from design and specification, through application, to long-term maintenance and technical support, it is the Garland philosophy to prevent problems from occurring. Built Up Roofing Garland has manufactured and specified various construction products, such as built up roofing materials and coatings, for over a century. Many of our early built up roofing materials were used in industrial and agricultural applications. Since those modest beginnings, Garland’s line of built-up roofing materials has grown to include asphalt, felts, base sheets, emulsions, aluminum coatings, and high-performance liquid-applied rubberized coatings.

Modified Bitumen Roofing Modified bitumen roofing materials were first manufactured and installed in Europe in the late 1960s. In the mid-1970s, when most of the roofing industry was moving toward single ply roof systems, Garland began investigating modified bitumen roofing systems. Garland specified and sold some of the first modified bitumen roofing materials used in the United States. Initially, the modified membranes were imported from England; by 1978, Garland had become the first U.S. manufacturer/distributor of modified bitumen roofing materials in the United States. Metal Roofing In 1992, Garland invested in the growing popularity of metal roofing by purchasing the flat seam, watertight, light-weight, R-Mer Lite® insulated steel roofing system. With a 20-year history throughout the western United States, the R-Mer Lite system had already proven to be an ideal solution for the extreme temperature fluctuations and repeated thermal cycling of Arizona and New Mexico, and for weathering the brutal winters in Idaho and Montana. Alternative Roofing Since Garland's target markets are industrial facilities, schools, and hospitals, where roofs tend to be nearly flat, and penetrations and foot traffic are very common, single ply systems are seldom the best solution for our customers' requirements. Traditional single ply systems such as EPDM, PVC, CSPE, TPO, all rely heavily upon perfect workmanship. Although Garland has an expansive and experienced contractor base, each of these systems can only be successful if they are installed over areas with limited foot traffic, excellent slope, and few penetrations.

Locally Based Technical Representatives Garland offers comprehensive coverage of field representatives throughout the country. Not only do we have coverage in every area where you might have a facility, we have a well trained and, most often, a seasoned veteran in the area. Garland locally based representatives are conscientious employee-owners committed to putting their customers first. Each of our field representatives understands the complexities of roofing projects and is trained to identify potential problems before they develop into major problems. William R. Bean, President, Garland Canada With over 40 years of experience in the roofing industry, Bill Bean began his career as a sales representative for a major roofing manufacturer and spent 17 years in the field, carrying a bag and taking core cuts, before beginning his progressive advancement through every level of management. He joined the Garland organization in 1987 as General Manager of the newly formed Garland Canada Inc., and later he has continued to drive its development as its President. He was attracted to the Garland organization because of a philosophy that “puts people, rather than numbers, first,” and continues to play a critical role in guiding generation after generation of Canadian technical representatives in the implementation of that philosophy. “You need to hear what the customer is saying, and you need to be accountable. This is an organization of people committed to getting the job done — whatever it takes. That’s what it’s all about.”

Charbel Boulos, P.Eng., General Manager, Garland Canada Charbel studied Engineering at the University of Toronto, specializing in chemical processes and petroleum-based products. His work terms were spent at Carling O’Keefe Breweries, the University of Toronto Research Department, and The Bruce Nuclear Power Plant for Ontario Hydro. Upon graduating in 1988, Charbel immediately joined the management-consulting arm of Arthur Andersen and Company. Andersen Consulting (now called Accenture), the largest management consulting company in the world, provided excellent exposure to numerous industries. In his role as a staff consultant assigned to manufacturing productivity improvement projects, he continued to hone his problem-solving skills. In 1990, Charbel received his Professional Engineering Designation and License. In March 1991, Charbel joined Garland Canada as a Sales and Technical Consultant and has progressively advanced to the roles of Senior Technical Consultant, Sales and Technical Trainer, and District Manager Regional Manager for the Greater Toronto area and Quebec, until assuming his current role, 2009, as General Manager. Charbel’s industry-specific training includes on-going instruction in all facets of roofing design and construction including hot asphalt, modified bitumen, cold process, and sustainable roofing. “Technical expertise is the underpinning of everything we do. Marisa Rea – Director of Operations, Garland Canada Marisa studied at the University of Toronto, receiving a Bachelor of Commerce. After assuming her career in accounting and human resources at Noranda Inc., she completed university and became a Corporate Account Manager for the Toronto Dominion Bank, where she managed a $52 million portfolio. In 1991, she assumed the role of Office Manager at Garland Canada, coordinating all office procedures and staff functions. In her subsequent role as Operations Manager and her current role as Director of Operations, she has initiated and implemented the complete computerization of the Canadian division and its management information system, in addition to coordinating the revamping of the logistics design, training, human resources, office procedures, software development, and marketing systems. Marisa is responsible for Garland’s operations across Canada, which includes sourcing and negotiating capital assets, warehousing, sub-contractors, advertising and leases. “The enthusiasm and commitment of our sales force continues to astonish those of us whose job it is to support their efforts in servicing our customers. Greg Scott, Regional Manager Ontario East, Garland Canada Greg joined Garland Canada in 1993 as a Sales and Technical Consultant. During the next 16 years Greg advanced to Senior Technical Consultant, Sales and Technical Trainer, District Manager, and, in 2003, to his current position as Regional Manager for Ontario East and the Maritimes. In addition to managing from 30 to 40 roofing construction projects annually, he directs a regional sales and technical staff of 11 people who currently manage over $16 million annually. Prior to joining Garland Canada, Greg earned a degree in marketing. Those formative experiences made him an exceptional listener who adapts easily and creatively to the specific needs of every customer’s environment. His problem-solving ability, combined with a sincere and empathetic interest in the customers he serves, has made him one of Garland’s most consistent performers. He is also an excellent mentor for Garland Canada’s expanding network of technical representatives, who are trained to put each customer’s long-term needs above short-term opportunity, in order to sustain a lasting career. Soren N. Vaerum, Regional Manager, Garland Canada Soren studied business at the University of Manitoba. Upon his completion, he joined CanTalk Canada, Ltd. as an Executive Account Sales Manager, where he was responsible for human resources, software development, marketing, sales, call center management, and office procedures. Soren soon outgrew his position at CanTalk and in 1998 joined Newcourt Credit Group (now The CIT Group Inc.), one of the world’s largest commercial finance corporations. During his three years at Newcourt, Soren advanced from District Sales Manager to Western Canadian Sales Manager before the Canadian Retail Finance Group was closed due to its merger with The CIT Group, Inc. Soren then joined State Industrial Ltd. as an Area Sales Manager, with eight territory managers reporting to him. In that capacity, he was responsible for sales management and sales growth in Ontario for a multi-national industrial chemical company. In 2003, Soren joined Garland Canada as a Sales and Technical Consultant. During the next six years, Soren advanced to Senior Technical Consultant and Sales and Technical Trainer and currently Regional manager of Ontario West where he mentors 8 field representatives. Charles A. Ripepi, CFO, Garland Industries, Inc. Charles A. Ripepi joined Garland in 1987 as a CPA, after four years of experience as the treasurer of another Cleveland-based company and three years with the Meaden & Moore accounting firm. The extensive technical training of Garland field representatives, management personnel, and internal support teams ensures you of the highest level of quality and consistency in every aspect of roof project delivery.

Field Representative Training Each year Garland invests over four million dollars in its international training program, committing appreciable monetary and personnel resources to this endeavor. Garland's sustained growth is directly dependent on its ability to recruit and train talented people, since Garland’s long-term success is founded on its field representatives’ ability to:

Evaluate and resolve roofing problems Offer various solution options Assist with the development of technical performance specifications Guide installation by authorized and experienced contractors

Unlike many typical roofing sales representatives, who focus on large distributors selling directly to contractors, Garland representatives are on customers' roofs every day, discussing and resolving problems directly with building owners. Garland representatives are thoroughly trained so they can help educate building owners about the causes of roofing problems; the preventive measures necessary to avoiding them; and the remedial measures necessary to resolving them. This comprehensive training program is also essential to Garland’s long-term interests. As agents of Garland, our employee-owner representatives make recommendations and help develop specifications worth millions of dollars each year. Given the length of Garland’s long-term warranties, this represents a great deal of liability, which more than validates Garland’s investment in extensive technical training. The field representatives Garland hires are most often from the construction industry, and many times come from within the roofing industry. Regardless of their backgrounds, all new field representatives are required to go through Garland’s two-year training program prior to becoming a senior representative. This two-year program begins at our corporate headquarters and consists of several weeks of in-house classroom training, where they learn the basics of construction and roofing. This initial training is followed by several months of working in the field with senior representatives to better understand the intricacies of the roofing industry. Garland then brings its new representatives back to corporate for another

several weeks of more advanced classroom training. Only then are Garland technical representatives permitted to begin fieldwork. Initially, each rep is teamed up with a senior representative or regional manager in a mentor program. The mentor works with the newer rep, reviewing all proposals and specifications for the first two years. After successful completion of this exhaustive two-year program, the representatives then graduate to senior representative status. In the last ten years, the roofing industry has advanced faster than at any time in its past, making continuing education more critical than ever. In order to ensure that Garland representatives remain on the cutting edge of technology, we offer several continuing education tools and programs. Garland’s in-house marketing department publishes a quarterly magazine, GarPeople, in addition to weekly FAQ e-newsletters to help educate its sales force on changes and developments in the roofing industry. Garland’s Intranet site for field representatives includes a vast library of technical articles on everything from asbestos to wind uplift. The site also includes photos of typical problems found on roofs, jobs in progress, and completed projects, and encourages reps to use an on-line forum to solicit and share problem-solving advice. This ever-expanding reference hub allows each rep to research problems, as he encounters them, on a daily basis. Garland also offers two special continuing education opportunities for its senior reps. Each year, the entire sales force is brought together for a sales conference whose primary focus is education. The conference includes intimate breakout sessions where problems are discussed and ideas are exchanged. In addition, each geographic region gets together at least once a year to review its progress and explore relevant topics such as metal roofing, sustainable design, and cold-process roofing. Such continuing education is critical to keeping our reps one step ahead of the competition.

Managerial and Support Training To ensure that support personnel remain current in their respective disciplines, a portion of each department’s budget must be used for continuing education. Employees may use this money to upgrade communications, technology, business skills, etc., in any certified educational institution. In addition, employees are encouraged to participate in the numerous seminars presented by the roofing industry, such as classes offered by the Canadian Roofing Contractor Association (CRCA), the Construction Specifiers Institute (CSI), and the Roof Consultants Institute, (RCI). Such seminars are frequently recommended to managerial and support staff personnel, and sometimes mandatory, depending upon an individual's scope of work. Support staff is also encouraged to actively participate

Contractor and Customer Training Understanding that the quality workmanship is an integral factor in the performance outcome of any roof system, Garland offers training opportunities and on-going education to its network of authorized contractors, architects, facility managers, and building owners.

For Contractors The primary reason that Garland has a network of contractors is to provide the best value for our customers. Working with several contractors in a local area assures you of an apples-to-apples comparison during competitive bid situations. By leveling the playing field, you can be sure that every contractor who bids on your projects has the labor, equipment, and familiarity with local building codes, to successfully complete your project. Garland extends equal opportunities for participation in the Garland contractor certification program to all subcontractors capable of meeting standard requirements for financial stability and regulatory compliance. The actual certification process is product-specific, and includes elements of field, classroom, Internet, or video training, according to the scope-of-work capabilities of the contractor. Typically, the training is provided to contractor employees at the managerial/foreman level, who then transfer that training to their crews.

For Customers Garland University was created to provide our valued customers with an educational experience that will help them improve the longevity and reduce the life-cycle costs of their commercial building envelopes. Held periodically in Cleveland, Ohio, these interactive seminars feature top-rated building science faculty members as well as knowledge experts from Garland’s own team of roofing professionals.
