Economics

The Company is seeking to sell three of its five dispensary properties with triple net lease back’s The leases will be 10 year terms adjusted every five years by the lower of cumulative CPI or 11% the rents will be calculated based on five dollars per square foot per month all expenses whatsoever except federal income tax including personal property real property taxes utilities insurance maintenance common area fees “all expenses” will be paid by the tenant.

The tenant will be Clear River LLC the parent company of Nevada made marijuana who will also guarantee the lease The company will provide financial records showing profitable historical records and 2020 EBITDA of $3.34MM on revenues of $23.8MM.

The three new locations, two of which will have drive thrus located on St. Rose and on Warm Springs, and the other at a prime corner near Summerlin, along with the production and grow expansion will increase the company’s overall profitability significantly.

The founder/owner of Clear River, LLC has been in Real Estate, investment, and development in Nevada since 1972. He developed the nine story City of Las Vegas Development center, residential housing, condominiums, warehouses, shopping centers, and built and operated hotel casinos in Mesquite, Nevada. He spent 26 years in the Gaming Business, has served as president of The Southern Nevada Homebuilders Association, and Chairman and member of the Las Vegas planning commission.

The company owns two, Brands KABUNKY and FARM DIRECT. Currently all of the grown and manufactured products from their existing grow and production are sold exclusively through their Dispensaries. The company operates a 20K sq ft grow and production facility in Laughlin and to accommodate all of its 5 licensed dispensaries. A 9,400 sq ft expansion is underway that will double the companies grow and manufacturing capabilities. By the end of Q4 the company will be open, operating 5 Dispensaries and an expanded grow and production. Revenues are estimated to be at $52.1MM in 2022. Financial statements and tax returns will be provided to qualified purchasers.

LEGAL MARIJUANA THE MOST EXCITING NEW INDUSTRY IN THE WORLD!

The LEGAL CANNABIS market is one of the world’s fastest GROWING industries. The use of medical and recreational Marijuana in the United States has risen dramatically in the last 10 years and a recent Gallup poll shows 73% of Americans favor legalization of the medical use of Marijuana. The acceptance rate of Americans of the full legalization of marijuana is over 60%. The current administration has said it will make decriminalization a priority and that is sure to explode the already fast paced growth in the LEGAL MARIJUANA industry. Marijuana use is fully legal in 15 States and Washington D.C. and medical use is legal in 34 states. Overall sales of marijuana in 2021 in the United States is expected to be $8.7 billion. The gross Nevada Sales of legal Marijuana in 2019 was 692MM. Revenues are projected to be $956MM by 2024. Nevada Made’s revenues after the completion of the ongoing projects under construction is projected to be is $62.5MM in 2024.

Marijuana is like all commodities; it is volatile! When a new state opens it usually starts as just medical, but most have allowed recreational. It is always hard to predict what approved licensee would start, how much they would grow, and in what time frame they would ramp up. In some cases whole crops could not pass testing and not many got going early so prices were high. Conversely, some medical cards were expensive and hard to get, but some were cheap and easy and over 65% of the population had a card. Some states gave out a lot of licenses and way too many unqualified and underfunded people jumped in. Markets with reasonable control on the number of licenses with recreational use are the most successful. Nevada has limited licenses in both medical and recreational and does not allow importing or exporting MARIJUANA so the market is very stable.

The company has always believed producing the supply, quality, and types of products produced based on the market demands was the key to operating successfully. Growers MUST sell to manufacturers or dispensaries. Manufactures must buy from growers and sell to dispensaries. Dispensaries are dependent on growers and manufacturers. By having a license in all three we are able to grow, manufacture, and sell the products the consumer wants. We can’t produce EVERTHING, but we can grow and manufacture a few of the most desirable and sellable quality products. Sometimes crops and products fail. We are able to extract them or change them and make them into other marijuana products such as infused chocolate bars, gummies, shatter or crumble, or just package and sell as a lower quality brand! We are able to remanufacture and sell under that scenario because we have all three licenses.

We will always buy from other producers because product diversity is key to attracting customers. Other producers usually have deals we capitalize on or they control the number one product in the market that we need to sell in our dispensaries. Think of Marijuana as Liquor; The more products you have on your shelf, the more customers you will attract. You can’t just sell Bud Light. By having “HOUSE BRANDS” we always have a market we own. Nevada Made currently owns two brands, The KABUNKY brand premium cannabis and FARM DIRECT, a low price leader.

In the recent Covid disaster we have seen truckloads of milk being poured out, meat prices skyrocketing and toilet paper disappearing from market shelves. Clear River virtually guarantees its own market because we grow our own products that ensures us a continuous supply of quality marijuana and affords the company the opportunity to create new products and manufacture the products that are selling the most and price them accordingly in our own dispensaries. The company can also increase or decrease production according to demand.
