THE FUND is managed by DiversyFund, Inc., (“DiversyFund”), a professional real estate

investment and development firm based in San Diego, California. The Fund is the first

ever “NO FEES” fund to hit the market.

The Fund was launched in March 2013 and has posted an impressive 10.5% average

annualized return (net) to its investors since its inception. The Fund has never lost

any principal and makes quarterly distributions of interest income to its investors.

DiversyFund.com, is a leading real estate crowdfunding website/platform, owned by

self-performs as the general contractor on the construction for many of its projects.

DEAL FLOW UNDERWRITING INVESTMENT LIQUIDITY

DiversyFund’s prominence in the United States national real estate crowdfunding space, along with its 20 years of relationships, has created a steady flow of off-market and below-market real estate deals.

DiversyFund conducts institutional grade underwriting and due diligence on potential development projects. Once approved, DiversyFund will place the offering on its online crowdfunding platform.

The Fund will then make a Loan secured by the underlying real estate. The Loan generates passive income for the Fund and pays interest on a quarterly basis.

The Fund’s Loans typically mature in 60 to 120 days. If an investor needs to redeem its shares after the 2 year lock-up, the Fund will redeem on a first come, first served basis.

INVESTOR LIQUIDITYThe Fund has an initial 1 year lock-up period for new investors. After

your 1 year period is up, you can submit a redemption request at any

time. Redemption requests are handled on a first come, first served

basis upon providing 90 days written notice to the Fund.

Best Efforts Basis: Although all redemption requests are made on a

“best efforts” basis by the Fund, we expect to honor all redemption

requests by (i) cycling in new investor subscriptions and/or (ii) using

proceeds from loan principal payoffs in the Fund’s portfolio. Please note

that depending on these variables, some redemption requests may take

longer than 90 days to complete.

ALAN LEWIS,CHIEF INVESTMENT OFFICERMr. Lewis is a Co-Founder and Chief Investment Officer for DiversyFund, Inc. where he oversees the Company’s investments in commercial real estate with a focus in multifamily value-add projects. Mr. Lewis was formerly the head of the real estate private equity division of JF Capital, a real estate investment and development firm based out of Salt Lake City, Utah, where he oversaw capital raising, deal structuring and development work for Class A multi-family projects and master-planned residential communities.

Prior to joining JF Capital in 2014, Mr. Lewis worked for nearly ten years on Wall Street as both an investment banker and a corporate lawyer, most recently working as a Managing Director of the Investment Banking Division of Brill Securities where Mr. Lewis provided financial advisory and capital raising services for high-growth companies and real estate projects. Prior to joining Brill Securities in 2010, Mr. Lewis practiced as a corporate attorney at Davis Polk & Wardwell, a Tier 1 ranked Wall Street law firm. His practice included IPO’s, mergers and acquisitions, and commercial real estate, including the acquisition and refinancing of several Fifth Avenue commercial buildings and real estate development for a $6 billion private equity fund. Over his career, Mr. Lewis has worked on transactions totaling over $41 billion. Mr. Lewis received a BA from Brigham Young University and a JD from Columbia Law School.

CRAIG CECILIO,CHIEF EXECUTIVE OFFICER & FOUNDERMr. Cecilio is a Co-Founder and Chief Executive Officer for DiversyFund, Inc. where he oversees the Company’s strategy and operations. My. Cecilio is a recognized leader in the fintech space, utilizing data analytics and segmentation to connect investors with cash-flowing commercial real estate opportunities. Mr. Cecilio’s accomplishments have been recognized in Forbes, US News & World Report and Inc. Magazine. He has worked in the real estate industry for nearly 20 years. Over the course of his career, Mr. Cecilio has participated in the development of over 1,000 single family residences in California as either a joint venture equity partner, lender or sponsor. Mr. Cecilio previously owned and operated a California-licensed real estate lending business for residential renovations and ground-up construction (residential and multi-family) in California coastal markets such as San Diego, Orange County, Los Angeles and San Francisco.

Since 1997, Mr. Cecilio has financed nearly $500 Million of real estate assets, having raised over $100 million in debt or equity for real estate transactions in the last three years, and has developed and managed over $25 million of residential property (renovations and ground-up). Mr. Cecilio also managed a real estate bridge loan fund that consistently provided double-digit returns for its investors. Mr. Cecilio is a graduate of the University of Colorado at Boulder.
