Food Cart Contract All information is required in order to register an event The Contract dated from September 2016 to May 2017 is between ASUP hereinafter called “Sponsor” and ___________________________ hereinafter called “Vendor”. General Terms: Sponsor agrees to allow vendor to use sponsor’s premises to provide food and drinks from vendors’ establishment. Dates will be mutually agreed upon completion of this contract. Vendor will not be allowed to sell alcoholic beverages at any time while on the sponsors premises. In return for allowing the vendor to provide its services on sponsors premises, the vendor will be required to give 8% of gross revenue made every time the service is provided, to ASUP (Associated Students at the University of Portland) Terms of Payment: A. Vendor agrees that all sales of their food products will be on a cash, credit or debit basis only. B. Payments will be made in the form of a check or money order for 8% of gross revenue, each time the Vendor comes to the Sponsors premises and provides its services, within 10 Business days. Licenses and Insurance: A. Vendor hereby attests to hold all proper establishment licenses issued by the appropriate local and state authority. B. Licenses needed by the Vendor include their Business License and their Food Handler License. 1

The Contract dated from September 2016 to May 2017 is between ASUP hereinafter called “Sponsor” and ___________________________ hereinafter called “Vendor”.

General Terms:

Sponsor agrees to allow vendor to use sponsor’s premises to provide food and drinks from vendors’ establishment. Dates will be mutually agreed upon completion of this contract.

Vendor will not be allowed to sell alcoholic beverages at any time while on the sponsors premises.

In return for allowing the vendor to provide its services on sponsors premises, the vendor will be required to give 8% of gross revenue made every time the service is provided, to ASUP (Associated Students at the University of Portland)

Terms of Payment:

A. Vendor agrees that all sales of their food products will be on a cash, credit or debit basis only.

B. Payments will be made in the form of a check or money order for 8% of gross revenue, each time the Vendor comes to the Sponsors premises and provides its services, within 10 Business days.

Licenses and Insurance:

A. Vendor hereby attests to hold all proper establishment licenses issued by the appropriate local and state authority.

B. Licenses needed by the Vendor include their Business License and their Food Handler License.

C. Vendor attests to be properly insured with at least a minimum of $1,000,000 of general liability insurance evidenced by a properly completed certificate of insurance prepared by the insurance provider.

D. Said insurance documents must be made available upon request of sponsor.

Scheduling:A. Vendor will come to campus on an irregular bi-weekly schedule1. This schedule will be

agreed upon by the ASUP (Associated Students at the University of Portland) President or

1 An irregular bi-weekly schedule is an agreement between both parties. It does not guarantee that each and every week the vendor will come to the premises of the Sponsor. The appearance of the vendor is limited to once a week. Dates and times will be mutually agreed upon by both parties.

his/her designee, and the vendor. Dates are subject to change due to weather and other circumstances.

B. This agreement does not entail a permanent residence on the sponsors location. The vendor is limited to coming to campus on the irregular bi-weekly schedule, and only a maximum of once a week. Hourly restrictions apply and will be negotiated by both parties prior.

Hold Harmless Clause

This agreement is made upon the express condition that the University of Portland, its employees and students shall be free from all liabilities and claims for damages and/or suits for or by reason of any injury, or death to any person or property of the Vendor, its staff or third parties, from any cause or causes whatsoever while in or upon said premises or any part thereof during the term of this agreement or occasioned by any occupancy or use of said premises or any activity carried on by the Sponsor in connection herewith, and the Vendor hereby covenants and agrees to indemnify, defend, save and hold harmless the University of Portland, its staff and students from all liabilities, charges, expenses, and costs on account of or by reason of any such injuries, deaths, liabilities, claims, suits, or losses however occurring or damages growing out of the same.

By signing this, all parties involved acknowledge that they have read the contact and agree to all terms.
