Fee Regulations

of Flughafen Dortmund GmbH for the commercial airport

in Dortmund

Part A Fees subject to authorisation within the meaning of section 19b of the German Air

Traffic Act (LuftVG)

I. General Terms and Conditions Flughafen Dortmund GmbH (FDG GmbH) imposes the following airport fees according to these fee regulations under the following general terms and condi-tions. Deviating terms and conditions do not apply, even if FDG GmbH has not contradicted them.

1. According to these regulations, debtors of all fees are, as joint debtors:

a) the airline under whose airline code/flight number the respective flight is con-ducted; b) the airlines under whose airline code/flight number the respective flight is op-erated (code sharing); c) the aircraft operator; d) the natural or legal person who has use of the aircraft without being the holder or owner, such as a tenant or lessee.

2. The airport fees are payable before the start in euros. In these cases, the in-

voicing and payment is made immediately. An agreement can be made with the debtor by request for the airport fees to be

invoiced at set intervals if the following prerequisites are met: - Bank transfers of appropriate advance payments on the accruing airport charges - Appropriate collateral – in particular a directly enforceable guarantee or de-posit. The security is deemed sufficient if it secures the fees to be paid by the debtor to an appropriate extent.

In these cases, the invoice will be issued on a monthly basis. Invoices are to be paid immediately after receipt of the invoice in euros. No discounts will be

granted. The assertion of interest at a reasonable rate is reserved for late pay-ment. The right of the repayment determination of the remuneration debtor is excluded. Offsetting with non-recognised or legally established claims is ex-cluded. Claims can be considered only within a period of 4 weeks from the date of in-voice.

If there is a default in payment, the aircraft handling can be interrupted or com-pletely denied.

3. All fees are subject to the VAT law in accordance with Article 10, Paragraph 1.

Therefore, the debtor has in addition to pay the turnover tax if no exemption exists pursuant to the Value Added Tax Act.

4. The Airport Usage Regulations for the Dortmund airport in their respectively

valid version is part of these terms and conditions. 5. The General Conditions and fact-based contractual relationships are subject to

the law of the Federal Republic of Germany.

Place of performance and jurisdiction for all services, in particular the obligations of the Contracting Party, is Dortmund.

In case of dispute between the German version and the English translation, the German version has priority.

Changes and additions to this list are reserved.

Should any provision of these terms and conditions not meet the legal require-ments, this provision should be replaced by a legally permitted provision that comes closest in meaning to the invalid provision. This does not affect the va-lidity of the remaining provisions.

II. Approach and Take-off Charges 1. Approach charges For the use of services and facilities of the air traffic control by aircraft during

take-off and landing at Dortmund Airport, a fee (approach charge) is payable to the airport operator. A claim applies when the test flight in the CTR or an ap-proach is in connection with a landing. Counting unit is the approach or landing.

1.1 Approach fee assessment

The approach fee is calculated according to the maximum take-off mass (MTOM) as recorded in the certificate of registration of the aircraft. The MTOM of an aircraft shall be demonstrated by the "Airplane Flight Manual" (AFM) basic manual section for weight limitations. The highest known MTOM of this aircraft type will be applied to the submission of these documents. Retroac-tive refunds will not be made. A change in the MTOM in accordance with the AFM is only recognised if the change is communicated at least four months before beginning a flight schedule period.

1.2 Approach fee rates

The fee per 1,000 kg of the highest MTOM is EUR 3.50.

2. Take-off Charges For each take-off of an aircraft at Dortmund Airport, a take-off fee is payable to

the airport operator. 2.1 Take-off fee assessment for flights in the non-scheduled flight traffic (non-

scheduled flights) The take-off fee will be determined independently of any respective operational

criteria for the MTOM. The MTOM of an aircraft shall be demonstrated by the "Airplane Flight Manual" (AFM) basic manual section for weight limitations. The highest known MTOM of this aircraft type will be applied to the submission of these documents. Retroactive refunds will not be made. A change in the MTOM in accordance with the AFM is only recognised if the change is communicated at least four months before beginning a flight schedule period.

Turbojet aircraft or aircraft with other engine types in accordance with the con-ditions of ICAO Annex 16, Chapters 2 and 3 and Chapters 5, 6, 8, 10 or the LSL Chapters II and III, V, VI, X, provided for them on the basis of certification doc-uments a licensing authority or comparable documents of the manufacturer is proven in every case, that approved in these chapters, noise limits are not ex-ceeded (NfL I-134/99). Decisive for the calculation of fees is the actual submis-sion of a complete proof of compliance with the above conditions, verifiable by the airport operator, by the aircraft operator prior to take-off. If no presentation of evidence has been made, fees for aircrafts for classification in the category of "Chapter 3" shall be calculated based on the category "Chapter 2" and further on the basis of "without approval according to ICAO Annex 16 or LSL". Retro-active refunds will not be made. The bonus policy applies only to aircraft which comply with the conditions of ICAO Annex 16, Chapter 3 or 4, and are included in the bonus list of the BMVBW (last NfL I-83/03) in the currently valid version. For aircraft that are not used in the commercial passenger traffic (account transport), the specified fees in 2.1.1 b) shall be reduced by 35%. Transport is the transport of persons and goods in the interests of the business and not on behalf of third parties against payment.

2.1.2 School and training flights For educational and training flights, the fees referred to in 1 and 2.1 according to the MTOM shall be reduced - up to 3,000 kg by 25%, and for stationed aircraft by 35%. - over 3,000 kg by 45%, and for stationed aircraft by 45%.

School flights are flights where a civilian flight student, within the framework of their training at an approved training organisation (aviation school), learns skills that are necessary to obtain a civilian pilot's licence or an authori-sation within the meaning of the test regulations for aviation personnel.

Instruction flights are flights for the aeronautical and technical instruction of ci-vilian pilots; the pilots being instructed must be in possession of a pilot's licence for the prescribed aircraft type rating; the instructor must be on board the aircraft used.

2.2. Take-off fee assessment for flights in scheduled traffic (scheduled flights)

The take-off fee is based on the number of passengers located on board the aircraft at take-off.

An airline serving the Dortmund airport not over the course of a full calendar

year, the volume limits to apply each pro rata. For airlines that use aircraft of different categories in a calendar year, the total

number of passengers transported by the airline per calendar year is decisive for the calculation of the take-off fees. In this case, a standardised allocation of all passengers in the charge category in which the largest proportion of passen-gers were transported takes place.

The aforementioned take-off charge applies only to aircraft which comply with

the conditions of ICAO Annex 16, Chapter 3 or 4, and are included in the bonus list of the BMVBW (last NfL I-83/03) in the currently valid version.

A percentage surcharge is levied for aircraft of noise categories of each above

mentioned fees. It is as follows:

2.2.4 Minimum fee In any case, a take-off fee of at least EUR 200.00 is payable for take-off.

2.2.5 Communication of the scheduled passenger numbers

Before or immediately after the beginning of each flight schedule period, the airline will share with the airport operator the planned number of passengers to be transported during this period. The airport operator will set the take-off fee provisionally on the basis and having regard to budget figures according to 2.2.3 in the invoice. The final settlement takes place within 30 days after the end of the flight schedule period on the basis of the number of actual passengers. Any compensation will be made within 7 days after delivery of the settlement.

3. Special Regulations 3.1 Ground contact with immediately ensuing take-off. The take-off fee assessed according to the aircraft MTOM is payable even for

a ground strike with immediately ensuing acceleration and take-off of the air-craft.

3.2 Emergency landings

For emergency landings due to technical problems of the aircraft or due to actual or threatened use of force or due to on-board passenger medical emergencies - unless the airport is not the scheduled destination airport - no approach and take-off fees are charged. Diversionary landings are not emergency landings.

3.3 A civil aviation authority staff

For aircraft which are flown by the personnel of the civil aviation authority of the German Federal state or state in the exercise of official duties as a pilot in com-mand, no approach and take-off fees are payable, provided that an appropriate confirmation (possibly subsequent) will be submitted by the Civil Aviation Au-thority.

III. Parking charges

A user fee (off-site fee) to the airport operator is payable for parking of aircraft at the Dortmund airport. No off-site fee shall be charged for a parking of no more than 3 hours between the landing and take-off of the aircraft.

1. Parking fee assessment The rate of parking fees are calculated according to the approved MTOM of the

aircraft.

2. Rate of parking charges The parking fee is for each commenced 24-hour engine aircraft with a MTOM

4. Date of payment / currency

The parking fee is payable before take-off in euro; under certain conditions, it can subsequently be paid upon prior agreement with the airport operator.

5. Secondment with a duration of more than 30 days

For the parking of aircraft which is expected to include a period of more than 30 consecutive days, a lease can be connected between the aircraft owners and the airport operator prior to the secondment.

IV. Security Fees To compensate for the costs according to the Aviation Security Act, an addi-

tional security fee is payable which is calculated according to the number of on-board passengers at take-off.

The security fee per passenger is EUR 1.93

V. Capping limit If the full utilisation of the airline, including all of its dominated or controlled air-lines for flights in flight scheduled traffic is more than 80 % in one calendar year, then for the number of departing passengers that exceed this 80 %, a cap amount of EUR 3.00 of the total sum of the fees according to Part A II will be charged. – IV. of this fee regulation will be refunded. The full utilisation will be defined here as the total outlying passengers divided by the sum of the departed seat capacity of all passenger flights.

VI. Entry into force The fee regulation comes into force with effect from 1 January 2017. The fee

Part B Fees for the use of central infrastructure facilities

The following services and fees relate to the central infrastructure laid down in the regulations for airport use. The disposition of the central institutions, i.e. the establish-ment of amount and period of delivery, is carried out by Flughafen Dortmund GmbH. The airlines / aircraft operators are required to pay a user fee for the use of the cen-tralised infrastructure in commercial traffic for all aircraft handling at the Dortmund air-port.

1. Equipment for piloting and docking The airport operator is responsible, according to section 45 LuftVZO, for the order of the movements on the area not belonging to the airside areas. The guidance of the aircraft is carried out centrally in the apron control via appropriate media such as ra-dio and Follow-me vehicles. 2. Airport apron The parking positions are ground handling positions for the period of commercial ac-tivity. The provision and operation of the areas necessary for aircraft handling are car-ried out in the context of the respective stage of construction. The ground handling positions are managed and operated by the airport operator. 3. Flight information system Airlines have to pay a fee for the use of the communication network and the central technological information centres for the provision of ground handling services. The flight information systems are managed and operated by the airport operator. 4. Baggage handling system The airlines shall pay a fee for the use of the baggage handling systems (central bag-gage conveyor system for the outgoing and incoming baggage, locking luggage stor-age area, storage area). The flight information systems are managed and operated by the airport operator. 5. Fees The fee for the use of this infrastructure is per handling process per 1,000 kg of the MTOM for all positions EUR 3.00. 6. Underground fuelling system A fee for the throughput of air turbine fuel is payable by the authorised enforcers. The underground fuelling system is a central infrastructure managed and operated by the airport operator. The charges for the use of this infrastructure amounts to EUR 5.00 per cubic meter of aviation turbine fuel. The invoicing is done directly between the underground fuelling system operator and the enforcers.

Part C PRM fees

For assistance at airports for disabled passengers and passengers with reduced mo-bility according to EU Regulation No. 1107/2006, a levy will be charged (PRM fee) for all flights in commercial transport and is based on the number of passengers located on-board at take-off. The levy on passenger flights is 0.46 EUR per departing passenger.

Part D Fees for Terminal Services

I. General terms and conditions for handling services in the passenger and freight transport

1. Basic services

Flughafen Dortmund GmbH, hereinafter called FDG GmbH, performs basic ser-vice specifications for aircraft handling in accordance with Paragraph II, Section 1 and the clearance services listed under Part E "Special Services" within their technical and personnel means itself or by and through contracted companies.

2. Standards for all services

The services are provided according to the practices of FDG GmbH and inter-national standard.

3. Special services

On request, FDG GmbH also carries out such services required for the aircraft handling, which are not listed in the primary and special services directory. Such additional services are provided depending on the availability of personnel and equipment and invoiced separately.

4. Employed staff

FDG GmbH will carry out the acquired services with trained personnel. Repre-sentatives of the airlines and FDG GmbH will meet when necessary to discuss pending questions about the processes and quality of ground handling services. In assessing the causes of pending clearance problems, the airlines punctuality conduct must be included.

5. Agents FDG GmbH is entitled to make use of a third party as agents. At the request of airlines and / or FDG GmbH, both parties will be advised on the implementation of the handling services and when possible, incorporate them into mutually ap-propriate recommendations.

6. All other services rendered

FDG GmbH reserves the right to charge services induced and going beyond the specification of services according to the directory of the fees for special ser-vices, if necessary due to handling regulations.

7. Information

The airlines will provide FDG GmbH with the information and instructions that allow for proper performance of the airport. FDG GmbH will request information and instructions from the airlines when needed. FDG GmbH will provide infor-mation contained in flight documents of the airlines, only with their consent to third parties, insofar as the legal provisions do not preclude.

8. Scheduled flights FDG GmbH undertakes to provide the listed ground traffic services without prior request for scheduled flights of airlines at the airport of Dortmund. Scheduled flights are serving for commercial passenger transportation flights that are con-ducted regularly and must be reported before the start of each flight schedule period to FDO GmbH, so that FDG GmbH can fulfil the deliverables. For this purpose the airlines are obliged, to inform FDG GmbH about the number and the traffic data of scheduled flights within a flight schedule period. These include the aircraft type and version, the flight number, the scheduled arrival and depar-ture times and the origin airport as well as all significant special features that are relevant for handling. The airlines also undertake to notify FDG GmbH, in sufficient time, of all changes affecting the scheduled flights. This applies in par-ticular for delays, early arrivals and cancellations of flights.

9. Non-scheduled flights, special flights

FDG GmbH will provide the ground handling services also for other scheduled flights operated by the airlines or on behalf of the Dortmund airport, taking into account the obligations already - within their technical and personnel means - as soon as possible. The airlines agree to announce these flights well in ad-vance.

10. Priority If an overlap arises in clearance by aircraft of other airlines as a result of delayed

or non-registered aircraft, FDG GmbH reserves the right to handle the sched-uled and announced planes with priority.

11. Documents for the ground handling services For the implementation of the ground handling services, the airlines will provide documents and information to FDG GmbH, in each case and in a timely manner.

12. Special assistance (emergency)

In an emergency (emergency landing, accident) FDG GmbH will immediately, even without waiting for the instruction of aviation companies, take all reasona-ble and possible measures to assist the passengers and crew and to protect the baggage, cargo and mail transported in the aircraft, against loss or damage. In the event of an act of violence, the procedure shall be in accordance with section 29 LuftVG.

The airlines will refund the costs thereby incurred by FDG GmbH.

13. Fees

For the basic services carried out by FDG GmbH are independent of the amount actually utilised to pay handling fees according to the following directory. Addi-tional and special services that are not included in the basic services but are taken by the airlines, claim a remuneration and are paid according to the follow-ing directory. An offset against counter-claims is permitted only with the consent of FDG GmbH.

The handling fees and special service fees are charges within the meaning of section 10 Para 1 of the law on turnover tax. Therefore, the airlines must pay the sales tax separately

14. Adjustment of fees

FDG GmbH has the right to adjust their handling fees in accordance with cost developments or for important reasons. The adjustments shall be communi-cated to the airlines a month before entry into force.

15. Terms of payment

The airport fees are payable before the start in euros. In these cases, the in-voicing and payment is made immediately.

16. Liability FDG GmbH is not liable for damage suffered by the airlines, or for punitive dam-ages levied against the airlines, that arise in connection with the services to be provided by FDG GmbH, unless these damages or the collected damages due to intentional or grossly negligent behaviour of FDG GmbH, its staff or its agents, have been or are justified.

The airlines release and exempt FDG GmbH from all claims of third parties, including costs which are levied in connection with the services adopted by FDG GmbH, unless such claims are due to intentional or grossly negligent behaviour of FDG GmbH, its staff or its assistants founded.

In individual cases, the liability is limited to the airlines and its contractual part-ners.

The Contracting Parties shall be free from its obligations if one of the parties cannot fulfil its obligations as a result of labour disputes, force majeure or other reasons, which are beyond its sole choice.

16.1. Liability for cargo handling Unless mentioned otherwise, the General German forwarding conditions (ADSp) apply in their respective current version. These limits in Paragraph 23

ADSp the legal liability according to section 431 of the German Commercial Law (HGB) for damage to goods detained on EUR 5.00/kg. multimodal transport, including sea transport to 2 SDR/kg and also per damage or event on EUR 1 million or EUR 2 million or 2 SDR/kg, depending on whichever is higher. Para-graph 27 ADSp does not constitute an agreement for alternative maximum lia-bility sums within the meaning of art. 25 Montreal Convention.

17. Airport User Regulations

The Airport acceptable use policy (FBO) is part of these terms and conditions in their current valid version.

18. Other

The General Conditions and fact-based contractual relationships are subject to the law of the Federal Republic of Germany. Dortmund has been agreed as the place of performance of all services, in par-ticular the obligations of the Contracting Party. Court of jurisdiction is Dortmund. In case of dispute between the German version and the English translation, the German version has priority. Changes and additions to this list are reserved. Should any provision of these terms and conditions not meet the legal require-ments, this provision should be replaced by a legally permitted provision that comes closest in meaning to the invalid provision. This does not affect the va-lidity of the remaining provisions.

III. Fees for Basic Services and Ground Handling Services 1.1 Fee assessment

Basis of assessment for the handling fee for passenger aircraft is the current seating capacity of the aircraft. Until documentation of evidence is provided, the maximum seating capacity is taken as a basis. Retroactive refunds will not be made.

1.3 Special Regulations 1.3.1 Handling flat-rate The fee for services referred to in Paragraph 1 is a handling fee; taking partial

performance of ground handling services does not cause a reduction of the fee. 1.3.2 Handling when returning to terminal position

Return of an already dispatched aircraft before the take-off, back to the terminal position, shall not be charged, provided that only crew and passengers exit the aircraft. But if the aircraft is unloaded again and / or reloaded, then the full fee is also charged again.

1.3.3 Separate handling

Separate handling, i.e. when landing and take-off of an aircraft is no longer in direct connection (accommodation, flight cancellation, transfer, etc.), or if the temporal distance between landing and take-off of an aircraft is more than 3 hours, then the clearance fee for basic services increases by 40% to 140%, and the fee for a stay of the aircraft over 24 hours increases by 100% to 200%.

1.3.4 Handling outside of normal operating hours

For the handling of the aircraft in scheduled traffic outside of the published op-erating hours of the airport, the handling fee for basic services increases by 50% to 150% and handling in non-scheduled traffic, a handling fee of €200 is charged per 30 minutes in addition to the basic service.

1.3.5 Handling of technical landings

No basic fee will be charged for technical landings (handling without altering the charge).

1.3.6 Reloading or partial loading

If after a completed loading, a reloading or partial loading becomes necessary, the resultant overtime is calculated by a surcharge of 50% on the handling fee.

1.3.7 Handling of cargo and ambulance flights

For pure cargo flights (cargo only) and ambulance flights the handling fee is calculated according to the maximum seating capacity of a passenger plane corresponding to the type of aircraft used.

1.3.8 Additional services

For additional services, the fee shall be calculated according to kind and extent of the services.

IV. Additional services fees 1. De-icing of aircraft For the de-icing of aircraft, the airport operator provides, upon request by the

aircraft operator, a de-icing vehicle with driver and de-icing fluid disposal. The professional de-icing is performed by the airport operator or his representative. Requested, but unused de-icing will be charged 15% of the respective basic fee.

1.1 Fee assessment The amount of the fee payable for the de-icing is calculated according to the

highest take-off weight recorded in the certificate of registration of the aircraft (MTOM).

1.2 Rate of charges The fee is for engine aircraft with a MTOM of
