Legal Framework for FAIR

Discussion on legal Framework for FAIR since 2004:

One company or two company model:GSI GmbH is transformed into company with international shareholdersorGSI GmbH (Federal Government plus State of Hessen are Shareholders)plus FAIR GmbH (with international shareholders)

Different legal frameworks considered:•International Organisation (like CERN)•EEIG (European Economic Interest Grouping)•GmbH (Company with Limited Liability under German Law)

Disadvantages of GmbH as legal framework for FAIR

Tax status: Exemption from value-added tax (VAT) was difficult to achieve

Staff Rules:Depend on rules of German Treasury for public funded institutions (TVöD).International Allowance and more adequate salaries in senior-scientist pay groupwere difficult to achieve.

Financial Rules:Significant Loans (e.g. from EIB) not permitted (only if shareholder does not pay in time hiscontribution (up to 10 % of the annual budget of the operation period) may be taken as a loan for 6 months).

FAIR GmbH has to perform annual financial statement on profit and lossand cameralistic accountancy (income and expenditures) two annual balance sheets
