Codes and AgreementsThese Rules and Regulations are a part of the agreement be-tween ELFA and Exhibitor for a Lease to use designated spaceat the 55th Annual Convention. Exhibitor hereby agrees tobe bound by the "Rules and Regulations for Exhibitors." Ex-hibitor further agrees to adhere to and be bound by (i) all ap-plicable fire, utility, and building codes and regulations; (ii)any rules or regulations of the facility where the Exposition isheld; (iii) the terms of all leases and agreements between ELFAand the managers or owners of said facility; and (iv) the termsof any and all leases and agreements between ELFA and anyother party relating to the exposition. Exhibitor shall not, norshall Exhibitor permit others to do anything to the Booth ordo anything in the facility, which would cause a difference inconditions from those previously approved by the insurancecarriers of ELFA, or the owners or managers of said facility,which will in any way increase premiums payable by any ofsaid parties. Exhibitor will be responsible for and will imme-diately reimburse ELFA or the facility for any such increase re-sulting from a violation of this section.

Space Assignments ELFA uses its best efforts to locate the booth in one of the lo-cations designated by the Exhibitor on the floorplan and toprovide physical separation from competitors from whom Ex-hibitor has requested such separations. Notwithstanding theabove, ELFA reserves the right to change location assignmentsat any time, as it may in its sole discretion deem necessary.

Hospitality Suites and Private PartiesHospitality suites and private parties shall not be open duringregularly scheduled hours of meetings, exhibits or other ELFAfunctions.

EquipmentBooth equipment provided by ELFA through the designatedexhibit eompany Innovative Expo shall be returned to the ex-hibit eompany at the end of the term herein, complete andin good condition, normal wear and tear expected. Exhibitorshall have no right, title or interest in such equipment, butonly the right to use it under this Lease. Exhibitor shall provideall other equipment at his or her own expense. All drapingand decorative materials used by Exhibitor shall be flameproof. All booth equipment shall be in keeping with and con-sistent with all rules, codes, and regulations referred to underCodes and Agreements above. All demonstrations and dis-plays shall be confined to the Booth.

ExclusionELFA shall have the right to exclude or to require modificationof any display or demonstration, which, in its sole discretion,it considers unsuitable to or not in keeping with the characterof the Exposition. ELFA shall have the right to prohibit the useof amplifying equipment or music, which, in its sole discre-tion, it considers objectionable. ELFA shall have the right todemand modification of the appearance of dress of personsor mannequins used in connection with displays or demon-strations.

Assignment and SubleaseExhibitor shall not sublet or share the whole or part of theBooth or any equipment provided by ELFA, nor shall Exhibitorassign this Lease in whole or in part without written noticeto and approval from ELFA. Exhibitor shall not permit repre-sentatives of non-Exhibitors to conduct business in its booth.

LiabilityThis Agreement shall not constitute or be considered a part-nership, employer-employee relationship, joint venture oragency between ELFA and Exhibitor.

Exhibitor shall assume all liability for loss or damage by reasonof its exhibit or presence at the Exhibition. In no event shalleither party be liable for any indirect, consequential, specialor punitive damages. Exhibitor hereby agrees to and shall in-demnify, hold harmless and defend ELFA from and againstany and all liability, responsibility, loss, damage, cost, or ex-pense of any kind whatsoever (including but not limited tocourt costs, interest and attorney’s fees) which ELFA mayincur, suffer, be put to, pay or be required to pay, incident toor arising directly or indirectly from any intentional or negli-gent act or omission by Exhibitor or any of its employees, ser-vants, or agents. Exhibitor further agrees that ELFA and itsrespective agents and employees shall not be responsible in

any way for (i) any damage, loss or destruction of any prop-erty of Exhibitor or (ii) injury to exhibitor or its representatives,agents, employees, licensees or invitees, except in cases ofgross negligence by ELFA.

Postponement of ExpositionIn the event that the Exposition is postponed due to any oc-currence not occasioned by the conduct of ELFA or Exhibitor,whether such occurrence be an Act of God or the commonenemy or the result of war, terrorism, riot, civil commotion,sovereign conduct, or the act or conduct of any person orpersons not party or privy to this Lease, then the performanceof the parties under this Agreement shall be excused for suchperiod of time as is reasonably necessary after such occur-rence to remedy the effects thereof, and in any event for theduration of such postponement.

Cancellation of ExpositionIn the event that the Exposition is cancelled for any reason,the obligations of the parties under this Agreement shall beautomatically terminated and all rental payments made underthis Lease shall be refunded to the Exhibitor, less a pro-ratedshare of expenses actually incurred by ELFA in connectionwith the Exposition. Exhibitor shall accept such refund in fullsettlement of all loss or damage suffered by Exhibitor.

Handling and StorageELFA and the owners or managers of the facility where theexposition is to be held shall not accept or store display ma-terials or empty crates and Exhibitor shall make its ownarrangements for shipment, delivery, receipt and storage ofsuch materials and empty crates.

Cancellation of Lease by ExhibitorOnce Exhibitor pays the fee for this exposition, it is under-stood that it is non-refundable if cancellation occurs after Fri-day, September 23, 2016.

SecurityELFA shall either provide or arrange for security servicethroughout the hours of installation, show and dismantlingperiod, and exercise reasonable care for the protection of theexhibitors’ materials and display. Exhibitor agrees that the pro-vision of such services constitutes adequate discharge of allobligations of ELFA or the facility to protect the Exhibitor’sproperty within the Exhibition.

InsuranceExhibitor is required to maintain the following insurance poli-cies: (i) Commercial General Liability of not less than$1,000,000 per occurrence/$2,000,000 aggregate; (ii) Com-mercial Automobile Liability (including hired and non-owned)of not less than $1,000,000 CSL; and (iii) Worker Compen-sation in accordance with applicable statutory limits. The in-surance company or companies providing such insurancemust have authority to operate in the jurisdiction where theExhibition is held and have at least an A VIII A.M. Best rating.Exhibitor is also required to (i) include ELFA, the facility andtheir respective employees and agents as additional insuredson these policies; (ii) obtain coverage which will apply as pri-mary without regard to contribution from other sources; and(iii) include a waiver of subrogation clause in the policies. Ex-hibitor shall provide ELFA with a certificate or certificates ofinsurance as evidence of the above.

MusicELFA has agreements with the two major music-licensing or-ganizations, American Society of Composers, Authors andPublishers (ASCAP) and Broadcast Music, Inc. (BMI). Theseagreements require the reporting of any music played at ex-hibits and meetings and the payment of appropriate fees.Therefore, any exhibitors playing music, either live orrecorded, during show hours in the exhibit hall, will be re-quired to reimburse ELFA for any fees payable to ASCAPand/or BMI as set forth in the licensing agreement.

Governing LawThis Agreement shall be deemed to have been entered intoand shall be construed, governed and interpreted in accor-dance with the laws of the State of New York without givingeffect to its principles of conflicts of laws.
