ADVERTISEMENT FOR BIDS

MADISON METROPOLITAN SEWERAGE DISTRICT

EXHAUST STACK EXTENSIONS The Madison Metropolitan Sewerage District will receive sealed proposals for the Exhaust Stack Extensions. Proposals will be received at the office of the District, 1610 Moorland Road, Madison, Wisconsin 53713 until 2:00 p.m., Thursday, August 1, 2013, at which time and place all proposals will be publicly opened and read aloud.

The project is located within the Nine Springs Wastewater Treatment Plant at 1610 Moorland Road, Madison, WI.

The project includes all work necessary to furnish and install stainless steel exhaust stack extensions for three separate 10-inch engine exhaust stacks and three separate 20-inch ID double wall boiler exhaust stacks. The new stack extensions will require guy wires and guy wire anchors. Two of the engine exhaust stacks will require stainless steel structural framing for support. The Contractor shall provide all materials, labor, equipment, and services necessary for construction of the project.

Proposals shall be addressed to the Madison Metropolitan Sewerage District; Mr. Michael Mucha, Chief Engineer and Director; 1610 Moorland Road; Madison, Wisconsin 53713; and shall be marked “Sealed Proposal, Exhaust Stack Extensions.” A mandatory pre-bid meeting will be held at 10:00 a.m. on Wednesday, July 17, 2013 at the District office, 1610 Moorland Road, Madison, Wisconsin. All bidders must be qualified for this specific work. All Contractors seeking to become pre-qualified for this type of work must provide written documentation that their personnel have adequate experience and training in the type of work required. All prospective prime bidders must submit qualifications for review and approval by the District. Prequalification applications will be distributed with the Contract documents or can be obtained from the District. Bidders who have already submitted prequalification documentation to the District within the current calendar year need not resubmit, but must notify the District in writing by the due date (using the form provided) of their desire to prequalify for this specific work. Prequalification applications must be completed and submitted to the District office no later than 5:00 p.m., Friday, July 12, 2013. Bidders will be notified only of disqualification no later than 5:00 p.m., Tuesday, July 16, 2013. If a Bidder has not filed the prequalification application, his proposal shall not be opened. The District reserves the right to reject any or all proposals or to waive any technicality and accept any proposal that may, in its opinion, be advantageous to the District. Contract letting is subject to the provisions of Section 66.0901, Wisconsin Statutes. Contractors are required to pay not less than the prevailing wage rates on the project as established by the State of Wisconsin, Department of Workforce Development, Equal Rights Division – Labor Standards Bureau, pursuant to Wisconsin Statutes. Copies of the prevailing wage rate will be included in the Contract Documents. In Connection with the performance of work under this contract, the contractor agrees not to discriminate against any employee or applicant for employment because of age, race, religion, color, handicap, sex, physical condition, developmental disability, or national origin. This provision shall include, but not be limited to, the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff and termination; rates of pay or other forms of compensation; and selection for training, including apprenticeship. INSTRUCTIONS TO BIDDERS 1. PREPARATION OF PROPOSALS a. General

All Proposals must be made on the forms herein provided. In case of a conflict between a unit price bid and the corresponding extended amount, the unit price bid shall govern. When any proposal by combination or joint venture is presented, the District will require that one responsible party be delegated authority to act for the joint venture.

b. Basis on Which Bids Are Requested

Bids are requested on the basis of lump sum and unit prices as clearly set forth in the Proposal forms. Where unit prices are requested, quantities are subject to variation, and payment will be made on the basis of actual quantities of completed work as measured by the Engineer. Such measurement will be made in terms of the units indicated in the Proposal form. All work included under the Contract Documents but not listed as bid items shall be considered as work incidental and subsidiary to the bid items and will not be measured for payment. Bidders shall list the names of manufacturers of major equipment items included in their Bid as required in the Proposal Form. Failure to list the names of the manufacturers shall result in the Proposal being considered nonresponsive. No change in manufacturer of the major equipment items will be allowed without written approval of the OWNER. When so indicated in the Proposal form, the bidder shall provide supplemental unit prices for the purpose of additions to, deductions from, or modifications of the planned work.

c. Bidder’s Responsibility

The bidders are required to carefully review all the Contract Documents and to inform themselves of the conditions under which the work is to be performed. The bidder, if awarded the Contract, shall not be allowed any extra compensation by reason of his failure to have fully informed himself prior to the bidding of any matter or thing which such bidder might have fully informed himself. The bidder shall obtain the permission of the property owners and the District prior to entering any private property for inspection, subsurface exploration, or any other purposes.

d. Interpretation of Contract Documents

If the bidder is in doubt as to the true meaning of any part of the Contract Documents, the bidder may submit to the District a written request for an interpretation thereof. Any interpretation of the Contract Documents will be made only by an addendum duly issued.

e. Sales Tax

The bidders shall note the policy regarding sales tax as stated in the Proposal Form. f. Requirements for Signing Bids

1. Bids which are not signed by individuals making them shall have attached thereto a power of attorney with authority to sign the bid in the name of the person for whom it is signed.

2. Bids which are signed for a partnership shall be signed by all of the partners or

by an attorney-in-fact. If signed by an attorney-in-fact, there shall be attached to the bid a power of attorney extending authority to sign the bid executed by the partners.

3. Bids signed for a corporation shall have the correct corporate name thereon and

the signature of the president or other authorized officer of the corporation manually written below the corporate name.

4. Any bid manually signed by an official other than the president of the

corporation shall have attached to it a certified copy of a resolution of the Board of Directors directing authority of such official to sign the bid and bearing the attesting signature of the secretary of the corporation. The impression of the corporate seal shall be placed on the bid. If the corporation does not have a seal, a statement to that effect shall appear following the corporate name.

2. PREQUALIFICATION OF BIDDERS

The requirements for qualification of Bidders are as stated in the Advetisement. All Bidders and major subcontractors must be prequalified for this project.

3. PRE-BID CONFERENCE The time, place and attendance requirements for the pre-bid conference are as stated in the Advertisement.

4. BID GUARANTEE No proposal will be accepted unless accompanied by a certified check or bid bond equal to at least five percent (5%) of the amount proposed, payable to the District, as guarantee that if the Proposal is accepted, the bidder will execute and file the proper Contract and Bonds within ten (10) calendar days after award of the Contract. Certified checks will be returned to bidders upon proper execution of the Contract and Bonds. If the successful bidder shall fail to execute

and file the Contract and Bonds within ten (10) calendar days after the award of the Contract, the certified check or bid bond shall be forfeited to the District as liquidated damages.

5. DELIVERY OF BIDS

Each bid shall be placed, together with the bid guarantee, in a sealed envelope and endorsed as stated in the Advertisement. Proposals will be received until the hour and date set for the opening thereof and must be by that time in the possession of the Madison Metropolitan Sewerage District.

6. WITHDRAWAL OF BIDS

A bidder may withdraw his proposal, providing such a written request is in the hands of the District by the time set for opening proposals. When such a proposal is reached, it will be returned unopened to the bidder. No proposal shall be withdrawn after the opening of proposals for a period of thirty (30) calendar days after the scheduled time of receiving proposals without the consent of the District.

7. AWARD OF CONTRACT Within twenty (20) calendar days after the opening of proposals, the OWNER will accept one of the Proposals for each Contract or will act in accordance with “Basis of Award,” as stated herein. The acceptance of the Proposal will be by written Notice of Award, mailed or delivered to the office designated in the Proposal. If the bidder whose Proposal is accepted should fail to execute the proper Contract and Bonds within the time allowed in “Execution of Contract,” the OWNER may award the Contract to another bidder in accordance with the “Basis of Award”; and the certified check or bid bond of the first-mentioned bidder shall be forfeited.

8. BASIS OF AWARD

The District reserves the right to reject any or all proposals or to waive any irregularities in any proposal or to accept any proposal which will be in the best interests of the District. The District also reserves the unrestricted privilege to reject any unit prices for additions to or deductions from the scheduled amount of work as given in the proposals, if the same are considered excessive or unreasonable, or to accept any or all of such unit prices which may be considered fair or reasonable. Before award of any Contract can be approved, the District shall be satisfied that the bidder involved:

a. maintains a permanent place of business. b. has adequate plant and equipment to do the work properly and expeditiously, c. has a suitable financial status to meet obligations incident to the work, d. has appropriate technical experience, and e. has a satisfactory performance record.

The award, if made, will be made to the responsive, responsible bidder as recommended by the Chief Engineer and Director and approved by the Commission of the District.

9. EXECUTION OF CONTRACT

Within ten (10) calendar days after receiving the Notice of Award, the successful Bidder shall sign the Contract hereto attached, submit to the District acceptable certificates of insurance required under the Contract Documents, and, together with the Surety, execute the Performance Bond and Payment Bond hereto attached. Within fifteen (15) calendar days after receiving the signed Contract with acceptable bonds and insurance from the successful bidder, the OWNER’s authorized agent will sign the Contract. Three executed counterparts of the Contract, Performance Bond, Payment Bond, and certificates of insurance will be required.

10. PERFORMANCE AND PAYMENT BONDS

The successful Bidder will be required to execute a Performance Bond and a Payment Bond on the forms attached with good and sufficient sureties satisfactory to the District. The penalty of each bond shall not be less than the full Contract price. Bonds shall be executed in accordance with the following conditions:

a) The form of the Performance Bond and the Payment Bond attached hereto shall be used. b) The forms contemplate one corporate surety only. In case co-sureties or individual

sureties will be furnished, proper forms therefore shall be obtained at the office of the District.

c) Every bond must run to the Madison Metropolitan Sewerage District. d) The surety on the bonds shall be licensed to underwrite contracts in the State of

Wisconsin, and a certificate to that effect shall be attached to the bond. e) If the principal is an individual, his full name and residence shall be inserted in the body

thereof; and he shall sign the bond with his usual signature on the line opposite the scroll seal.

f) If the principals are partners, their individual names shall appear in the body of the bond

with the recital that they are partners comprising a firm and naming it; and all members of the firm shall execute the bond as individuals.

g) The signature of a witness shall appear in the appropriate place, attesting to the signature

of each individual party to the bond. h) If the principal is a corporation, the name of the State in which incorporated shall be

inserted in the appropriate place in the body of the bond; and said instrument shall be executed and attested under the corporate seal as indicated on the form. If the corporation has no corporate seal, the fact shall be stated, in which case a scroll or adhesive seal shall appear following the corporate name. This also applies to execution by surety.

i) The date of the bond must not be prior to the date of the Contract for which it is given.

j) A power of attorney, authorizing the execution of the bond by an attorney-in-fact or agent, shall be attached to one executed counterpart of the bond. If the bond is executed by an out-of-state agent, it shall be countersigned by a licensed resident agent of Wisconsin; and evidence of his being so licensed shall be furnished.

11. WAGE RATES

All bidders are notified that all work must be performed in accordance with the minimum wage rates and other employment conditions determined for this project by the State of Wisconsin Department of Workforce Development. A prevailing Wage Rate section is included in these Contract Documents. The Contractor shall comply with all applicable federal, state, and local rules and regulations regarding the posting, certification, and filing of the Wage Rates paid to employees. Bidder shall submit with his bid a completed Disclosure of Ownership form which is included in the Wage Rate section of the Contract Documents.

Contractors are responsible for correctly classifying their workers. Time and one-half must be paid for all hours worked:- over 10 hours per day on prevailing wage projects- over 40 hours per calendar week- Saturday and Sunday- on all of the following holidays: January 1; the last Monday in May; July 4;

The following statutory provisions apply to local governmental unit projects of public works and are set forth belowpursuant to the requirements of s. 66.0903(8), Stats.

s. 66.0903 (1) (f) & s. 103.49 (1) (c) "PREVAILING HOURS OF LABOR" for any trade or occupation in any area means 10hours per day and 40 hours per week and may not include any hours worked on a Saturday or Sunday or on any of the followingholidays:

s. 66.0903 (10) RECORDS; INSPECTION; ENFORCEMENT.(a) Each contractor, subcontractor, or contractor's or subcontractor's agent performing work on a project of public works that issubject to this section shall keep full and accurate records clearly indicating the name and trade or occupation of every personperforming the work described in sub. (4) and an accurate record of the number of hours worked by each of those persons andthe actual wages paid for the hours worked.

s. 66.0903 (11) LIABILITY AND PENALTIES.(a) 1. Any contractor, subcontractor, or contractor's or subcontractor's agent who fails to pay the prevailing wage rate determinedby the department under sub. (3) or who pays less than 1.5 times the hourly basic rate of pay for all hours worked in excess ofthe prevailing hours of labor is liable to any affected employee in the amount of his or her unpaid wages or his or her unpaidovertime compensation and in an additional amount as liquidated damages as provided under subd. 2., 3., whichever isapplicable.2. If the department determines upon inspection under sub. (10) (b) or (c) that a contractor, subcontractor, or contractor's orsubcontractor's agent has failed to pay the prevailing wage rate determined by the department under sub. (3) or has paid lessthan 1.5 times the hourly basic rate of pay for all hours worked in excess of the prevailing hours of labor, the department shallorder the contractor to pay to any affected employee the amount of his or her unpaid wages or his or her unpaid overtimecompensation and an additional amount equal to 100 percent of the amount of those unpaid wages or that unpaid overtimecompensation as liquidated damages within a period specified by the department in the order.3. In addition to or in lieu of recovering the liability specified in subd. 1. as provided in subd. 2., any employee for and in behalf ofthat employee and other employees similarly situated may commence an action to recover that liability in any court of competentjurisdiction. If the court finds that a contractor, subcontractor, or contractor's or subcontractor's agent has failed to pay theprevailing wage rate determined by the department under sub. (3) or has paid less than 1.5 times the hourly basic rate of pay forall hours worked in excess of the prevailing hours of labor, the court shall order the contractor, subcontractor, or agent to pay toany affected employee the amount of his or her unpaid wages or his or her unpaid overtime compensation and an additionalamount equal to 100 percent of the amount of those unpaid wages or that unpaid overtime compensation as liquidated damages.5. No employee may be a party plaintiff to an action under subd. 3. unless the employee consents in writing to become a partyand the consent is filed in the court in which the action is brought. Notwithstanding s. 814.04 (1), the court shall, in addition to anyjudgment awarded to the plaintiff, allow reasonable attorney fees and costs to be paid by the defendant.

GENERAL CONDITIONS

PART 1: DEFINITIONS The following terms as used in these Contract Documents are respectively defined as follows: Change Order-- A written order, authorization, or agreement executed by the

Contractor and the Owner covering revisions in our amendments to the Contract Documents or conditions specifically prescribed in the Contract Documents as requiring change orders.

Commission-- The Commission of the Madison Metropolitan Sewerage District. Contract Documents- The Contract Documents consist of the Agreement or Contract

together with all component parts specifically mentioned therein (such as Advertisement, Instructions to Bidders, Contractor's Proposal, Performance Bond, Payment Bond, General Conditions, Special Conditions, Specifications, Addenda, Plans, or Drawings) and all change orders duly executed.

Contractor-- The person, firm, or corporation to whom the within Contract is

awarded by the Owner and who is subject to the terms thereof. District-- Madison Metropolitan Sewerage District 1610 Moorland Road Madison, WI 53713 Engineer-- The Chief Engineer and Director of the Madison Metropolitan Sewerage District, including his authorized representatives. Notice-- Wherever the Contract Documents refer to the giving of any notice

to the Owner, Contractor, or Surety, such notice shall be deemed to have been given when written notice has been delivered to, or placed in the United States mails addressed to, the authorized representative of the respective Owner, Contractor, or Surety at his permanent place of business or, in the case of notice to the Contractor, at the site of the project.

Order-- Wherever under the provisions of the Contract an order to the Contractor from the Engineer or Owner is required, such order shall be understood to mean a written order addressed to the Contractor and signed by the Engineer or a duly authorized representative of the Owner. Owner-- Madison Metropolitan Sewerage District 1610 Moorland Road Madison, WI 53713 Subcontractor-- Any person, firm, or corporation to whom the Contractor sublets any part of the Work. Substantial Completion-- That point in the execution of the work when, in the opinion of the Engineer, the work is sufficiently complete such that it can be placed into service by the Owner and used for the purposes for which the work is intended. Surety-- Any person, firm, or corporation that has executed, as Surety, the Contractor's Performance or Payment Bonds securing the within Contract. The Work-- Wherever the words "the Work" are used herein, they shall be interpreted to mean the Work, including all materials, labor, tools, equipment, appurtenances, and all other items necessary to perform and complete everything specified or implied in the Contract Documents, in full compliance with all the terms and conditions thereof.

PART 2: INSURANCE, BONDS, AND LEGAL MATTERS 201. CONTRACTOR'S INSURANCE The Contractor shall not commence work under this Contract, and shall not allow

any of his subcontractors to commence work, until he has obtained all the insurance required hereunder and such insurance certification has been reviewed by the Owner. Review of the insurance certification by the Owner shall not relieve or decrease the liability of the Contractor hereunder. The insurance certification shall name as Additional Insureds the Madison Metropolitan Sewerage District and its consulting engineers, if any.

The Contractor shall obtain, pay for, and maintain during the life of this Contract

such Worker's Compensation and Employer's Liability, Comprehensive General Liability, Business Automobile Liability, and Umbrella Liability Insurance to protect the Contractor performing work covered by this Contract from claims for damages for bodily injury, including accidental death, as well as for claims for property damage which may arise from operations under this Contract whether such operations be by himself or any Subcontractor, or by anyone directly or indirectly employed by either of them, on the forms, and with limits not less than set forth below:

a) General Liability

Comprehensive general liability coverage shall include, but not be limited to, Products and Completed Operations, Independent Contractors, Contractual Liability, Broad Form Property Damage, Personal Injury, Premises and Operations, and Explosion, Collapse and Underground.

General aggregate limit shall be at least $2,000,000. Policy shall be

endorsed such that this full limit is reserved specifically for the named Madison Metropolitan Sewerage District project.

Products-Completed Operations Aggregate limit shall be at least

$2,000,000. Each Occurrence limit shall be at least $1,000,000.

b) Automobile Liability

Auto liability policy shall cover all autos, whether owned, non-owned, or hired.

Bodily injury and property damage limits shall be at least $1,000,000 each, or

Combined single limit shall be at least $1,000,000.

c) Excess Liability Umbrella Form

For contract amounts under $2,000,000, Umbrella limits shall be at least $2,000,000 aggregate/$2,000,000 each occurrence.

For contract amounts of $2,000,000 or more, Umbrella limits shall be

at least equal to the contract amount. d) Worker’s Compensation and Employer’s Liability

Worker’s Compensation limits shall be in accordance with all applicable state and federal statutes.

Employer’s Liability limits shall be at least $100,000 each accident,

$500,000 disease policy limit, and $100,000 disease-each employee.

e) Builder’s Risk Insurance

All Risk builder’s risk insurance shall be provided by the Contractor and shall cover, but not be limited to, fire, lightning, windstorm, hail, explosion, riot, riot attending a strike, civil commotion, smoke damage, damage by aircraft or vehicles, vandalism and malicious mischief, theft, collapse, flood, and earthquake. This insurance shall name the Owner and the prime contractors as insureds and shall include coverage, but not by way of limitation, for all damage or loss to the work and to appurtenances, to materials and equipment to be used on the project while same are in transit or stored on or off the project site, and to construction plant and temporary structures. The policy shall provide the Owner the right to occupy the premises without termination of the policy until the final acceptance of the project. Copies of this policy shall be submitted to the Owner. For construction projects that are organized as a single prime contract between the Owner and one Contractor, the amount of the builder’s risk insurance shall be equal to the total contract price. For construction projects that include multiple prime contracts between the Owner and Contractors, the builder’s risk insurance for the entire project shall be provided by the General Contractor, and the amount of the builder’s risk insurance shall be at least equal to the sum of the multiple prime contracts.

202. OWNER'S INSURANCE The Owner, at his option, may maintain such insurance as will protect him from

liability for injuries to persons or damage to property which may arise from operations under this Contract.

203. PERFORMANCE AND PAYMENT BONDS The Contractor shall furnish a Performance Bond and a Payment Bond each in an

amount at least equal to 100% of the Contract price, as security for the faithful performance of this Contract and for the payment of all persons performing labor and furnishing materials in connection with this Contract, including without limitations because of specific enumeration therein all of the items mentioned in Section 779.14 (1) Wisconsin Statutes. The Performance Bond and the Payment Bond shall each run for the life of the Contract including any guarantee or warranty periods.

204. COMPLIANCE WITH LAWS The Contractor shall at all times comply with all laws, ordinances, rules, and

regulations bearing on the Work. The Contractor shall indemnify, defend, and save harmless the District and all of its officers and employees against any claim or liability arising from or based on the violation of any such law, ordinance, rule, or regulation, whether by the Contractor or the Contractor's employees, Subcontractors, or agents. The Contractor shall comply with the Wisconsin Unemployment Compensation Act and Title Eight of the Social Security Act.

205. ROYALTIES AND PATENTS The Contractor shall pay for all royalties and patents relating to the Work, shall

defend all suits or claims for infringement on any patent right, and shall save the Owner harmless from loss on account thereof.

206. INDEMNIFICATION The Contractor shall indemnify, defend and save harmless the District and all of

its officers, employees, consultants and agents against any claim or liability arising from or based on, in whole or in part, any negligent act or omission by the Contractor or the Contractor’s employees, subcontractors or agents.

PART 3: SCOPE OF THE WORK 301. INTENT OF THE CONTRACT DOCUMENTS The Contract Documents are complementary and what is called for by one shall

be as binding as if called for by all. The intention of the Contract Documents is to include in the Contract price the cost of all labor and materials, water, fuel, tools, plant, equipment, power, light, transportation, and all other expenses as may be necessary for the proper execution of the Work.

In interpreting the Contract Documents, words describing materials or work

which have a well-known technical or trade meaning, unless otherwise specifically defined in the Contract Documents, shall be construed in accordance with such well-known meaning recognized by architects, engineers, and the trade. Standard specifications and codes which are referenced in the Contract Documents shall be made a part of the Contract Documents by reference. The most recent revisions of such standard specifications or codes shall apply.

In any case of discrepancy in the Contract Documents, the matter shall be

immediately submitted to the Engineer, without whose decision said discrepancy shall not be adjusted by the Contractor except at his own risk and expense.

302. SAFETY, HEALTH, AND SANITATION The Contractor shall comply with all Federal, State, and Local laws and codes

governing safety, health, and sanitation; shall provide and maintain all safeguards, safety devices, and protective equipment; and shall take any other actions necessary to protect the life and health of employees on the job and the safety of the public and to protect property in connection with the performance of the Work covered by the Contract. Unless otherwise indicated in the Contract Documents, the Contractor shall provide and maintain acceptable portable toilets and other sanitary conveniences at the site of the Work.

The Contractor is specifically notified that wastewater treatment plants, pumping

stations and sewer systems contain confined space work areas which may be susceptible to accumulation of hazardous gases or depletion of oxygen levels. The Contractor must familiarize himself with and abide by all applicable state and federal regulations regarding confined space entry precautions and procedures. The Contractor shall familiarize himself with the proper use of gas detectors, breathing apparatus, tripods/harnesses, ventilation and all other measures as called for in the applicable state and federal regulations.

303. PROTECTION OF THE WORK The Contractor shall continuously maintain adequate protection of all his Work

from damage and shall protect the Owner's and adjacent property from injury arising in connection with this Contract. Proper supports, braces, barricades, fences, signal lights, warning signboards, or watchmen shall be provided and maintained by the Contractor as needed to properly protect the Work, persons, animals, and property against injury.

These statements of specific duties on the part of the Contractor shall not be

considered as a limitation of the general duties imposed by the Contract Documents.

The Owner reserves the right to remedy any neglect on the part of the Contractor

as regards protection of the Work after 24 hours' notice in writing, except in case of any emergency when the Owner shall have the right to remedy any neglect without notice and, in either case, to deduct the cost of such remedy from any money due or to become due to the Contractor.

304. PERMITS, LICENSES, AND NOTIFICATIONS Unless otherwise indicated in the Contract Documents, the Contractor shall

obtain, pay for, and comply with all permits and licenses and shall give all notices which are necessary for the due and lawful prosecution of the Work. The Contractor shall furnish proof to the Owner that such permits and licenses have been obtained.

305. USE OF THE JOB SITE The Contractor shall confine his equipment, apparatus, storage of materials, and

operations of his workmen to limits indicated by laws, ordinances, permits, easements and directions of the Owner and shall not encumber the premises with his materials. The Contractor shall not enter or occupy with men, tools, equipment, or materials any private property without consent of the property owner and the Engineer.

306. OTHER CONTRACTS The Owner may undertake additional work at the job site through other

contractors or through the Owner’s employees. The Contractor shall cooperate fully with such other contractors and employees shall carefully fit his own Work to that provided by others. The Contractor shall not commit or permit any act which will interfere with the performance of work by any other contractor or employee.

307. CUTTING AND PATCHING The Contractor shall do all cutting, fitting, or patching of his Work that may be

required to make its several parts fit together properly and fit it to receive or be received by work of other contractors shown upon or reasonably implied by the plans.

308. CLEANING UP The Contractor shall at all times keep the premises in a neat condition and free

from accumulations of waste material, rubbish, dirt and spillages caused by his operations. At the completion of the Work he shall remove from the worksite all tools, equipment, scaffolding, and surplus materials and shall leave the Work clean and ready for use. In case of a dispute, the Owner may remove the rubbish or surplus materials and charge the cost to the Contractor.

309. CHANGES IN THE WORK The Engineer reserves the right to order additions, deductions, alterations, or other

changes in the Work to be performed under the Contract Documents. All such additions, deductions, alterations, or changes which are not already stated or reasonably implied under the Contract Documents, shall be designated as Changes in the Work. All such Changes in the Work, except those which in the Engineer's opinion are minor or incidental, must be authorized by a written Change Order issued by the Owner. The Contractor agrees to perform all such Changes in the Work in such manner as approved by the Engineer.

Adjustments, if any, in the amounts to be paid to the Contractor due to Changes in

the Work shall be determined on the basis of an agreed lump sum amount, an agreed unit price, or time-and-materials. For adjustments based on a lump sum amount, the Contractor shall submit supporting documentation acceptable to the Engineer showing how the lump sum amount was computed. The Contractor or Subcontractor who actually performs the Change in Work shall be allowed a maximum mark-up of 15% to the actual cost to do the Work. Any higher tier Subcontractors and the Contractor shall be allowed a maximum mark-up of 5% to the next lower tier Subcontractor. It is understood that these mark-ups constitute full compensation for overhead and profit and that additional costs or mark-ups for items such as bonds, insurance, administration, estimating, engineering, general conditions, vehicles, equipment, small tools, consumables, paperwork preparation, etc., will not be allowed. For credit Changes in Work, the total decrease in cost shall be the actual decrease in cost to the Contractor plus a 5% decrease for overhead and profit.

If any Change in the Work is such that an estimated Work item quantity stated in

the Proposal is increased or decreased by 50 percent or less, the Contractor agrees that payment adjustments for such Change in the Work shall be computed in

accordance with the original unit price given in the Proposal for that Work item. If, however, any Change in the Work is increased or decreased by more than 50 percent of such quantity, the Contractor agrees that payment adjustments for such

Change in the Work shall be as re-negotiated by the Owner and Contractor.

For Changes in the Work to be paid for on the basis of time-and-materials, the Contractor shall be paid the costs of labor, materials, and equipment, all as defined below. The Contractor or Subcontractor who actually performs the Change in Work shall be allowed a maximum mark-up of 15% to the actual cost to do the Work. Any higher tier Subcontractors and the Contractor shall be allowed a maximum mark-up of 5% to the next lower tier Subcontractor. It is understood that these mark-ups constitute full compensation for overhead and profit and that additional costs or mark-ups for items such as bonds, insurance, administration, estimating, engineering, general conditions, vehicles, equipment, small tools consumables, paperwork preparation, etc., will not be allowed. For credit Changes in Work, the total decrease in cost shall be the actual decrease in cost to the Contractor plus a 5% decrease for overhead and profit. It is also understood that this mark-up shall constitute full compensation for overhead and profit and shall apply regardless of whether the labor, materials and equipment are furnished by the Contractor's own forces or by a subcontractor or supplier. The costs of labor, materials and equipment shall be determined as provided in the following paragraphs:

a. Labor The cost of labor shall include the cost of all workers and supervisors devoting

their exclusive attention to the work in question, whether they are employed directly by the Contractor or by a Subcontractor. Unless otherwise approved by the Engineer, the cost of labor shall be based on an hourly rate and shall be computed as the sum of the employee's basic hourly wage, fringe benefits (including health and welfare, pension, vacation, holiday pay, and training), worker's compensation insurance premiums, state and federal unemployment insurance contributions, social security taxes, property damage insurance premiums, and liability insurance premiums. A detailed breakdown of the hourly rates shall be submitted by the Contractor prior to starting the time-and-materials work and shall be subject to the Engineer's approval.

b. Materials The cost of materials shall be the actual cost to the purchaser (whether Contractor

or Subcontractor) of materials which are approved by the Engineer and which are actually used or incorporated into the work in question.

c. Equipment The cost of equipment shall be computed on the basis of rental rates which are

acceptable to the Engineer and which are no higher than those used by established distributors or equipment rental agencies in the local area of the work. Rental rates shall be understood to include the costs of fuel, oil, lubrication, supplies, attachments, depreciation, insurance and all repairs, maintenance and incidentals. Rental rates shall not include any markup for Contractor overhead and profit, since this is included in the markup discussed earlier.

Rental rates shall be allowed only for equipment whose use is authorized by the

Engineer and only for the period of time during which the equipment is actually required for the time-and-materials work in question. Equipment stand-by rates

shall not be allowed. When equipment is transported, rental rates shall be allowed for the transporting vehicle only. Rental rates shall not be allowed for non-working days nor for time when the equipment is inoperable due to breakdowns. Rental rates shall not be allowed for small tools or any items of equipment having a replacement value of less than $200. If the Contractor and Engineer cannot agree on acceptable rental rates, the rates shall be in accordance with the following paragraphs.

For all Contractor-owned equipment used on the time-and-materials work,

equipment rental rates contained in the Rental Rate Blue Book, published by Equipment Watch, will be used, unless otherwise provided, to compute the equipment rental rate. The rental rates in effect on April 1 of each year will be used for work throughout the season. Rental rates will not be adjusted to account for regional differences in cost. The equipment rental rate shall be the sum of the monthly or weekly rental rate expressed on an hourly basis and the hourly operating cost and will be determined as follows: The monthly rental rate will be divided by 176 to obtain the monthly-hourly rental rate and the weekly rental rate will be divided by 40 to obtain the weekly-hourly rental rate. The equipment rental rate for on-job equipment will be based on the monthly-hourly rental rate for all hours of operation. The equipment cost rate for equipment furnished only to accomplish time-and-materials Work will be based on the weekly-hourly rental rate for all hours of operation up to and including 88 hours and on the monthly-hourly rental rate for all hours of operation over 88 hours. The rate for any specialized equipment not listed in the Rental Rate Blue Book must be approved by the Engineer prior to use.

For equipment which is rented by the Contractor for time-and-materials work, the

cost of equipment shall be the actual amount shown by invoice from the rental agent, or shall be computed in the manner described above for Contractor-owned equipment, whichever amount is less.

d. Exemptions No additional allowance shall be made for general superintendence, the use of

small tools, or other costs for which no specific allowance is herein provided. e. Records The compensation as set forth above shall be received by the Contractor as

payment in full for Work done on a time-and-materials basis. At the end of each day the Contractor's representative and the Engineer shall compare records of the cost of Work done on a time-and-materials basis.

f. Itemized Statements No payment will be made for Work performed on a time-and-materials basis until

the Contractor shall furnish to the Engineer duplicate itemized statements of the cost of such Work, detailed as to the following:

1. Name, classification, dates, daily hours, total hours, rate, and extension of

each laborer and supervisor. 2. Designation, dates, daily hours, total hours, rental rate, and extension of

each truck and other unit of machinery and equipment. 3. Quantities of materials, prices, and extensions. 4. Transportation of materials. 5. Such statements shall be accompanied and supported by original receipted

invoices for all materials used, equipment rented, and transportation charges; provided that if materials used on the time-and-materials Work are not specifically purchased for such Work but are taken from the Contractor's stock, then in lieu of the original invoices the statements shall contain or be accompanied by an affidavit of the Contractor certifying that such materials were taken from stock, that the quantity claimed was actually used, and that the price and transportation claimed represents the actual cost to the Contractor.

No verbal order or suggestions given by an employee of the District shall be construed as authorizing or laying the basis for any claim on the part of the Contractor for extra compensation, either for work or materials or for damages because of the Contractor's compliance therewith. Such verbal orders and suggestions as to the performance of the Work may be freely given, but in case they appear to the Contractor to involve Changes in the Work, for which the Contractor should receive extra compensation, the Contractor shall obtain a written order from the Engineer for such Changes in the Work prior to performing

the Work unless an emergency situation is determined to exist by the Engineer. In case of a dispute as to what does or does not constitute Changes in the Work, a decision will be made by the Engineer.

310. CONTRACTOR'S GUARANTEE Unless otherwise stated in the Contract Documents, the Contractor shall guarantee

the Work performed under this Contract against defects in workmanship and materials for a period of one year from the date of final acceptance of the Work by the Commission. This guarantee shall cover all the Work and materials provided under the Contract, including that provided by any Subcontractors or manufacturers. If any defect should appear during the guarantee period, the Contractor shall make required replacement or acceptable repairs of the defective Work at his own expense and shall pay for any damage to other Works resulting from such defects. This expense includes total and complete restoration of any disturbed surface to its original or better than original condition which existed before the repairs or replacement, regardless of improvements on lands where the

repair or replacement is required. The Performance Bond and Payment Bond shall remain in force during this

guarantee period. The Contractor shall make all repairs and replacements promptly. If the Contractor fails to make the repairs and replacements promptly, the District may do the Work; and the Contractor and his Surety shall be liable for the cost thereof. The Contractor also agrees to hold the District harmless from liability of any kind arising from damage due to said defects in workmanship or materials.

311. PARTIAL OWNER OCCUPANCY The Owner, at its discretion, may place into service certain portions of the

completed work. The Contractor shall provide proper access to Owner's personnel for this purpose.

If the Owner places a certain portion of the work into service, and if the Owner becomes fully satisfied with the performance of that specific work, the Owner may, at Owner’s sole discretion, allow the contractor’s guarantee period for that specific work to begin on a date earlier than the overall final acceptance date for the project. Unless the Owner specifically notifies the contractor, in writing, of such an earlier guarantee date, the Contractor's Guarantee against defects in workmanship and materials for work which has been placed into service shall remain for one full year after the date on which the work receives final acceptance by the Commission.

PART 4: CONTROL OF THE WORK 401. NOTICE TO PROCEED The Contractor shall not begin the Work until written Notice to Proceed has been

issued by the Owner. The Contractor shall abide by any special instructions which may be stated in the Notice to Proceed.

402. PRE-CONSTRUCTION SUBMITTALS Before beginning the Work, the Contractor shall submit the following

preconstruction submittals to the Engineer, for review and comment:

Detailed construction schedule, in graphical chart form, showing the Contractor’s proposed start and finish dates for all key construction tasks required on the project.

Detailed schedule of values showing all component costs of the

Contractor's Proposal.

Copies of all building permits, dewatering permits, erosion control permits and any other construction related permits required by local, state or other bodies.

Additional special preconstruction submittals as may be required in the

specifications. 403. SUPERINTENDENCE The Contractor shall have at the site of the Work at all times a competent

foreman, superintendent, or other representative satisfactory to the Owner and having authority to act for the Contractor.

404. ENGINEER'S STATUS The Engineer shall resolve all questions which arise as to the quality and

acceptability of materials furnished and the Work performed, manner of performance, rate of progress of the Work, interpretation of the Contract Documents, compensation, and disputes and mutual rights between Contractors under the Contract Documents. The Engineer shall determine the amount and quantity of the Work performed and materials furnished. The Engineer shall have the authority to order the partial or complete suspension of the Work whenever it may be necessary to insure the proper fulfillment of the Contract. The Work shall be prosecuted in such order as is acceptable to the Engineer.

The Engineer and all duly authorized representatives shall at all times have access to the Work wherever it is in preparation or progress and the Contractor shall provide proper facilities for such access and for inspection. If any Work should be covered up or made inaccessible without approval or consent of the Engineer, it must, if required by the Engineer, be uncovered or made accessible for

examination at the Contractor's expense. The presence or absence of the Engineer shall not relieve in any degree the responsibility or the obligation of the Contractor to construct in accordance with the Contract Documents.

If the Contract Documents, the Engineer's instructions, laws, ordinances, or any

public authority require any Work to be specially tested or approved, the Contractor shall give the Engineer timely notice of its readiness for such inspection or testing. If the inspection or testing is by an authority other than the Engineer, the Contractor shall give the Engineer timely notice of the date fixed for such inspection.

The Engineer shall have the right to reject any materials and workmanship which,

in the Engineer's opinion, are defective or unacceptable. The Contractor shall promptly remove, replace, and make good at the Contractor's cost any such defective or unacceptable Work. Any failure to reject Work at the time of its construction shall not be construed as an acceptance of defective Work.

If any doubt exists as to the character or acceptability of Work performed, the

Engineer may order the Contractor to perform special tasks needed to expose, examine, or verify the character or acceptability of the Work and the Contractor shall promptly perform such special tasks. No extra payment shall be allowed to the contractor for such special tasks if the Work in question is found to be defective or unacceptable or if such special tasks are already required or implied under the Contract Documents. If, however, the Work in question is found to be acceptable and the said special tasks are not already required or implied under the Contract Documents, such special tasks shall be paid for as Changes in the Work.

405. PLANS, DRAWINGS, AND SPECIFICATIONS Unless otherwise provided in the Contract Documents, the Owner will furnish the

Contractor, free of charge, all copies of the plans, drawings, or specifications reasonably necessary to carry out the Work. The Engineer may also furnish from time to time such additional detail drawings or other information as he may

consider necessary. The Contractor shall keep on the worksite a copy of the plans, drawings, and specifications and shall at all times give the Engineer access to them.

The Contractor shall check carefully all dimensions shown on the plans and

drawings before beginning the Work. Should errors be discovered, the Engineer's attention shall be called to the same and proper corrections made.

Contours or profiles of the ground, where shown on the plans or drawings, are believed to be reasonably correct but are not guaranteed to be absolutely so and, together with any schedule of quantities, are presented only as an approximation. No payment shall be made for additional Work due to minor discrepancies in existing grade.

406. SHOP DRAWINGS The Contractor shall submit to the Engineer shop drawings or schedules of all

materials and products required for the Work. Shop drawings and schedules shall be submitted before materials and products are ordered and in ample time to permit satisfactory progress of the Work. Unless otherwise specified in the contract documents, shop drawings and schedules shall be submitted in six (6) copies and in such detail as may be necessary for the Engineer to inform himself of the design and character of the various materials and products which the Contractor proposes to use for the Work. Material samples or additional data shall be submitted by the Contractor if so directed by the Engineer.

The Contractor shall promptly make any corrections or revisions in the shop

drawings or schedules as may be required by the Engineer and shall resubmit the same without delay. Upon the Engineer's review of shop drawings, schedules, or other data, three (3) copies shall be returned to the Contractor, unless otherwise specified in the contract documents. Materials and products furnished shall be in conformance with such approved shop drawings, schedules, and data.

It is expressly understood that review by the Engineer of the Contractor's

submitted shop drawings, schedules, samples, or other data shall in no way release the Contractor from his responsibility to properly fulfill the requirements of the Contract Documents nor from his liability to replace materials or products should they prove defective or inappropriate or fail to meet the specified requirements.

407. MATERIALS AND WORKMANSHIP Unless otherwise stipulated in the specifications, all workmanship, equipment,

materials, and articles incorporated in the Work covered by this Contract are to be new and of the best grade of their respective kinds for the intended purpose. The Contractor, if required, shall furnish such evidence as to kind and quality of materials. If not otherwise provided, material or Work called for in this Contract shall be furnished and performed in accordance with well-known established practices and standards recognized by architects, engineers, and the trade.

408. "OR EQUAL" CLAUSE Unless indicated otherwise, products which are specified in terms of a specific

manufacturer’s name shall be understood as indicating the type, function, minimum standard of design, efficiency, and quality desired and shall not be construed in such a manner as to exclude other manufacturers' products of comparable type, quality, design, and efficiency.

409. OWNER'S RIGHT TO DO WORK If the Contractor should neglect to prosecute the Work properly or fail to perform

any provision of this Contract, the Owner may, after 3 days' written notice to the Contractor and his Surety, without prejudice to any other remedy he may have, make good such deficiencies and may deduct the cost thereof from the payment due the Contractor.

In case of an emergency which threatens loss, damage, or injury to persons or

property and which requires immediate action to remedy in the absence of the Contractor's personnel, then and in that event the Owner, with or without notice to the Contractor or his Surety, may provide suitable protection to the said property and persons by causing such Work to be done and such material to be furnished as shall provide such protection as the Owner may consider necessary and adequate. The cost and expense of such Work and material so furnished shall be borne by the Contractor, and if the same shall not be paid on presentation of the bills therefore, then such costs shall be deducted from any amounts due or to become due the Contractor. The performance of such emergency Work under the direction of the Owner shall in no way relieve the Contractor from any damages which may occur during or after said emergency Work.

In the event that the Contractor refuses or neglects to use measures to protect the

work from damage or the Contractor is guilty of carelessness or incompetence in the execution of the work such that public or private property is left in an unacceptable condition at the end of the work day and the Contractor is unavailable or unwilling to rectify the unacceptable condition to the satisfaction of the Engineer in a timely manner, the Owner may remedy the situation and deduct all costs incurred from the amounts due the Contractor.

PART 5: PROSECUTION, PROGRESS, AND PAYMENT 501: PARTIAL PAYMENTS Not later than the 20th day of each calendar month, the Owner will make partial

payment to the Contractor on the basis of a duly certified and approved estimate of the Work performed by the Contractor during the preceding calendar month. Such estimates shall be submitted by the Contractor not later than the 1st day of the respective calendar month on forms acceptable to the Engineer and shall be subject to the Engineer's review and approval. If approved by the Engineer, such estimates may include materials and equipment for the Project which are suitably stored at the site of the Project.

The Owner will retain 5% of the amount of each estimate until 50% of the

Contract dollar amount of the Work is complete. This retainage will be held by the Owner until final acceptance of the Work by the Commission. No additional retainage by the Owner will be made unless the Work does not proceed satisfactorily. If the Work does not proceed satisfactorily, the Owner may retain up to 10% of the value of the completed Work.

The Contractor shall pay (1) for all transportation and utility services not later

than the 20th day of the calendar month following that in which such services are rendered; (2) for all materials, tools, and other expendable equipment to the extent of 90% of the cost thereof, not later than the 20th day of the calendar month following that in which such materials, tools, and equipment are incorporated or used; and (3) to each of his Subcontractors not later than the 5th day following each payment to the Contractor the respective amount allowed the Contractor on account of the Work performed by his Subcontractors to the extent of such Subcontractor's interests therein.

The Contractor shall make prompt payment of all claims for labor performed and

material furnished, used, or consumed in the Work including, without limitation because of specific enumeration, fuel, lumber, building materials, machinery, vehicles, tractors, equipment, fixtures, apparatus, tools, appliances, supplies, electric energy, gasoline and other motor oil, lubrication oil and greases, and the premiums for Worker's Compensation Insurance.

502. FINAL INSPECTION, FINAL ACCEPTANCE OF THE WORK, AND FINAL PAYMENT Upon completion of all the Work required under the Contract, including any field

testing, site restoration, and cleanup, the Contractor shall request in writing a final

inspection of the Work. Such final inspection shall then be conducted by the Chief Engineer or his authorized representative within ten (10) days after receipt of the Contractor's written request. If, in the opinion of the Chief Engineer, the final inspection reveals items of Work still to be performed, the Contractor shall promptly perform them and then request a re-inspection. If the final inspection or re-inspection reveals that all the Work has been completed to the satisfaction of the Chief Engineer, the Chief Engineer shall certify that the Work has been completed as of such inspection date.

Upon completion of all the Work under this Contract to the satisfaction of the

Chief Engineer and after the Contractor shall have submitted acceptable evidence as to the satisfaction of all claims, the Chief Engineer shall, within thirty (30) days thereof, recommend to the Commission final acceptance of the completed Work and submit a final estimate of the amount due the Contractor under this Contract. Upon final acceptance of the Work and approval of this final estimate by the Commission, the District shall pay to the Contractor within ten (10) days all monies due him under the provisions of these Contract Documents, such monies not to include special retainers for maintenance guarantees or any other sums which may have been provided for in the Contract Documents. The Contractor agrees that he shall not be entitled to demand or receive payments for any portion of the Work except in the manner set forth in this agreement.

503. OWNER'S RIGHT TO WITHHOLD CERTAIN AMOUNTS In addition to payment to be retained by the Owner under preceding provisions of

these General Conditions, the Owner may withhold a sufficient amount of any payment otherwise due to the Contractor to cover payments that may be earned or due for (1) just claims for labor or materials furnished in or about the performance of the Work on the Project under this Contract; (2) defective Work not remedied; and (3) failure of the Contractor to make proper payments to his Subcontractors. The Owner shall disburse and shall have the right to act as agent for the Contractor is disbursing such funds as have been withheld, pursuant to this paragraph, to the party or parties who are entitled to payment therefrom. The Owner will render to the Contractor a proper accounting of all such funds disbursed on behalf of the Contractor.

504. DEDUCTION FOR UNCORRECTED WORK If the Owner deems it expedient to accept Work injured or not done in accordance

with the Contract, the difference in value together with a fair allowance for the damages shall be deducted.

505. TIME OF COMPLETION AND LIQUIDATED DAMAGES All the Work required under the Contract, including any field testing, site

restoration, and cleanup, shall be fully completed by the Contractor, as certified to the satisfaction of the Chief Engineer, within the time fixed by the Contract for completion of the Work or within such extra time as may have been allowed by authorized extensions to the time of completion.

It is mutually agreed between the parties that time is of the essence on this

Contract and that there will be on the part of the District considerable monetary damage in the event the Contractor should fail to complete the Work within the time fixed for completion of the Contract or within the time to which such completion may have been extended.

The sum of five hundred dollars ($500) per day, or other amount if stated

elsewhere in the Contract Documents, whichever amount is greater, is hereby agreed upon as the liquidated damages for each and every calendar day that the time consumed in completing the Work exceeds the time allowed therefore. The amount shall in no event be considered as a penalty or otherwise than as the liquidated and adjusted damages of the District because of the delay, and the Contractor agrees that the said sum per day for each day shall be deducted and retained out of the monies which may become due hereunder. This sum shall be in addition to any special sums for damages which may be stated elsewhere in the Contract Documents.

506. DELAYS AND EXTENSIONS OF TIME If the Contractor is delayed in the completion of the Work by any act or neglect of

the Owner or the Owner's representative; by any other contractor employed by the Owner; by strikes, lockouts, fire, unavoidable casualties, or any causes beyond the control of the Contractor, then the time of completion may be extended for a reasonable time as determined by the Owner. The Contractor shall notify the Owner in writing of the cause of such delay within five (5) days from the beginning of any such delay. The Contractor shall hold the Owner harmless for any such delay and shall not be entitled to any additional compensation from the Owner.

In the event any material alterations or additions are made as herein specified,

which in the opinion of the Engineer will require additional time for the execution of any Work under this Contract, the time of completion of the Work shall be extended by such a period of time as may be fixed by the Engineer if the Contractor shall request in writing an extension of time within five (5) days after being notified in writing of such alterations or additions. No extensions of time

shall be given for any minor alterations or additions. The Contractor shall not be entitled to any damage or compensations from the Owner on account of such additional time required for the execution of the Work. The Engineer's decision on the time extension necessary to complete such additional Work shall be final and binding upon both the Contractor and the Owner.

507. SUBCONTRACTING If the Contractor shall subcontract any part of the Work, the Contractor shall be as

fully responsible to the Owner for the acts and omissions of his Subcontractor as he is for the acts and omissions of a person directly employed by him. This Contract obligation shall be in addition to the liability imposed by law upon the Contractor. Nothing contained in the Contract Documents shall create any contractual relationship between any Subcontractor and the Owner.

On request, the Owner shall furnish to any Subcontractor whenever practicable

evidence of the amounts certified to or on his account. The Contractor agrees to bind every Subcontractor (and every Subcontractor of a

Subcontractor) and every Subcontractor agrees to be bound by the terms of the Contract Documents as far as applicable to his Work, unless specifically noted to the contrary in a Subcontract approved in writing as adequate by the Owner.

508. ASSIGNMENT OF CONTRACT The Contractor shall not assign this Contract or any part thereof without the

written consent of the Owner. No assignment of this Contract shall be valid unless it shall contain provision that the funds to be paid to the Assignee under the assignment are subject to the prior lien for services rendered or materials supplied for the performance of the Work called for in this Contract in favor of all persons, firms, or corporations rendering such services or supplying such materials.

509. VIOLATION OF CONTRACT PROVISIONS If the Contractor shall abandon the Work under this Contract or if he shall fail to

perform the Work of the character and in the time herein specified or if he shall fail financially or for any other cause whatsoever shall be unable to carry out this Contract and complete the Work or if he shall assign the Contract or if he shall lose control of the Work for any cause whatsoever except by act of God, the United States Government, or the public enemy or if he shall refuse or neglect to follow instructions of the Engineer or if in the opinion of the Engineer any one of the following conditions exists: (1) the Contractor refuses or neglects to use measures to protect the Work from damage or (2) the Contractor is guilty of

carelessness or incompetence in the execution of the Work or (3) the Work has been or is being delayed by the Contractor or (4) the rate of progress is not such as to insure completion of the Work within the time specified or (5) the Work or any part thereof is unnecessarily or unreasonably delayed or (6) the Contractor is willfully or persistently violating any of the conditions or covenants of this Contract or (7) the Contractor is not fulfilling the Contract in good faith, then at such time and upon certification by the Engineer, in cases where the Engineer's opinion is required, the Owner may proceed to terminate this Contract as provided in these General Conditions.

510. TERMINATION FOR BREACH If the Contractor or any of his Subcontractors shall in the judgment of the

Engineer be unable to carry on the Work satisfactorily or if the Contractor or any of his Subcontractors shall violate any of the provisions of this Contract, the Owner may serve written notice upon the Contractor and his Surety of his intention to terminate this Contract. Such notice shall contain the reasons for the Owner's intention to terminate the Contract. If within ten (10) days after the service of such notice the Contractor, the Subcontractor, or the Surety have not proceeded to carry on the Work in accordance with this Contract and to the satisfaction of the Engineer, this Contract shall cease and terminate and the Owner shall have the right to take over the Work and prosecute the same to completion at the expense of the Contractor and the Surety. The Contractor and his Surety shall be liable to the Owner for any excess cost incurred by the Owner thereby; and in such event the

Owner may take possession of and utilize in completing the Work such materials,

appliances, and plant as may be on the site of the Work and necessary therefore.

In the event the Engineer determines that the failure of the Contractor, Subcontractor, or Surety to perform the Work in accordance with the Contract has resulted in an emergency which will require that the Owner take over the Work immediately to avoid loss or waste of a substantial part of the Work already performed, the Owner may immediately take over the Work and prosecute the same at the expense of the Contractor and Surety to the extent necessary to avoid damage.

SUMMARY OF WORK PART 1–GENERAL 1.01 DIVISION ONE

A. The requirements of Division 1 apply to all sections of all Contracts.

B. The project is located at the Blower Bldg No. 1 and Sludge Control Bldg No. 2 of the Nine Springs Wastewater Treatment Plant in Dane County, Wisconsin. The mailing address is 1610 Moorland Road, Madison, WI 53713.

1.02 PROJECT SCOPE

A. Contractor shall provide all items, articles, materials, operations or methods mentioned or scheduled on the drawings or herein specified: including all labor, supervision, equipment, incidentals, taxes and permits necessary to complete the work as described within the Contract Documents.

1.03 MILESTONES / TIME OF COMPLETION

A. Completion Dates: 1. Substantial Completion, December 27, 2013: CONTRACTOR shall by that date, have

all equipment and systems installed and operational. 2. Final Completion, January 31, 2014: CONTRACTOR shall by that date have all close

out requirements complete. 1.04 CONTRACT DOCUMENTS–INTENT AND USE

A. Intent of Documents: 1. Singular notations and specifications shall be considered plural where application is

reasonably inferred. 2. Mention or indication of extent of work under any work division or specification section

is done only for convenience of CONTRACTOR and shall not be construed as describing all work required under that division or section.

3. Some individual sections may contain a list of related sections. The list of related sections in individual sections is provided for the convenience of CONTRACTOR and is not necessarily all-inclusive. CONTRACTOR may not rely upon this listing for determination of scope of work. Other sections of the specifications, not referenced in individual sections shall apply as required for proper performance of the work.

4. Command type sentences may be used in the Contract Documents. These sentences refer to and are directed to CONTRACTOR.

5. Symbols for various elements and systems are shown on the drawings. Should there be any doubt regarding the meaning or intent of the symbols used, a written interpretation shall be obtained from ENGINEER.

B. Use of Documents: 1. CONTRACTOR shall examine all specifications and drawings for the work, including

those that may pertain to work CONTRACTOR does not normally perform with its own forces.

2. CONTRACTOR shall use all of the project drawings and specifications: a. For a complete understanding of the project. b. To determine the type of construction and systems required. c. For coordination with other contractors. d. To determine what other work may be involved in various parts or phases. e. To anticipate and notify others when work by others will be required. f. And all other relevant matters related to the project.

3. CONTRACTOR is also bound by all requirements of the Contract Documents which are applicable to, pertain to, or affect its work, as may be shown or inferred by the entire set of project drawings and specifications.

1.05 CONSTRUCTION REQUIREMENTS

A. General Information and Requirements: 1. Normal operations of the Nine Springs WWTP will continue during construction.

Cooperate with Owner to minimize conflict and to facilitate Owner’s operations. Schedule the Work to accommodate this requirement.

2. Access: Except as specified, CONTRACTOR shall maintain roadways and parking lots open at all times to meet OWNER's requirements, including access for operation and maintenance. Closure of any road or parking lot for any length of time is subject to approval of OWNER.

B. Coordination:

1. Contractor shall coordinate scheduling, submittals, and work of the various sections of the work to assure efficient and orderly sequence of installation of interdependent construction elements, with provisions for accommodating items installed later. Contractor shall provide a detailed schedule incorporating all elements of the work. The schedule shall be provided within 14 days of the Notice to Proceed.

2. Keep ENGINEER informed of work and delivery schedule. 3. Minimize amount of time engines are off line:

a. Notify OWNER at least 3 business days prior to any required engine or boiler shut down.

b. Coordinate construction sequence so that one engine generator may be run at all times.

1.06 FIELD ENGINEERING

A. Contractor shall provide field engineering services as required to establish elevations, lines, and levels, utilizing recognized engineering survey practices.

B. Contractor shall be responsible for all lines, elevations, and measurements of buildings,

structures, piping, utilities, and other work executed by Contractors under the Contract. All Contractors must exercise proper precaution to verify figures before laying out the work, and will be held responsible for any error resulting from its failure to exercise such precaution.

1.07 CONTRACTOR’S DUTIES

A. Except as specifically noted, provide and pay for: 1. Labor, materials, and equipment. 2. Tools, construction equipment, and machinery. 3. Samples, shipping costs, and tests. 4. Other facilities and services necessary for proper execution and completion of the

work.

B. Perform all the work described in these General Requirements except where specifically indicated to be done by others.

C. Pay legally required sales, consumer, and use taxes.

D. Secure and pay for legally required permits, licenses, and government fees.

E. Give required notices.

F. Employ workmen and foremen with sufficient knowledge, skill, and experience to perform

the work assigned to them.

G. Comply with the codes, laws, ordinances, rules, regulations, orders, and other legal requirements of public authorities bearing on the conduct of the work.

H. Submit written notice to OWNER of observed variance of Contract Documents from legal

requirements. Any necessary changes will be adjusted as provided in the Contract for changes in the work.

I. Enforce discipline and good order among his own and subcontractor employees. Any

person employed by CONTRACTOR or subcontractors who does not perform his work in a skillful manner, is incompetent, or acts in a disorderly or intemperate manner shall, at the written request of OWNER, be removed from the project immediately and shall not be employed again in any portion of the work without the approval of OWNER.

J. Provide at all times facilities for access and inspection of the work by representatives of

OWNER and of official governmental agencies designated by OWNER as having the right to inspect the work.

K. Cooperate with other contractors who may be performing work for OWNER and with

OWNER’s employees working in the vicinity of the work done under this Contract.

L. Make proper provisions so all deliveries are directed to CONTRACTOR at job site properly identified with CONTRACTOR name and contact person. OWNER will not accept deliveries.

1.08 CONTRACTOR USE OF SITE

A. General: 1. The "area of the site" referred to in these specifications shall be as shown on the map

of Nine Springs WWTP building locations attached to these Contract Documents. 2. Construction activities shall be confined within the "area of the site" limits.

3. From the start of work to completion CONTRACTOR is responsible for the care of the site and the premises which are affected by operations of work of this Contract.

4. Except for permanent site improvements provided under the Contract, CONTRACTOR shall restore property disturbed during the work, to the conditions which previously existed.

5. Work in occupied spaces shall be restricted to specified work and essential activities, such as making necessary connections and extending services or constructing temporary access ways. Such work shall be scheduled in advance with OWNER.

B. Parking and Deliveries:

1. CONTRACTOR is responsible for control of traffic by vehicles and persons within the limits of its operations.

2. Parking for employees, subcontractors, and agents of CONTRACTOR shall be in areas subject to approval of OWNER.

3. Access to the site for delivery of construction material or equipment shall be subject to approval of OWNER.

1.09 EXISTING SERVICES, STRUCTURES AND UNDERGROUND FACILITIES

A. Interruption of existing services and systems including heating, ventilating, air conditioning, water, sanitary, lighting and power, signal and security will not be permitted, unless specifically indicated otherwise. Provide temporary facilities to maintain services.

B. If deemed necessary by OWNER, such work shall be accomplished after OWNER’s

normal office hours.

C. Work shall not commence until all labor, materials and equipment are available so work can continue without interruption or delay.

D. Should uncharted or incorrectly charted piping or other utilities be encountered during

installation, notify OWNER and consult with utility owner immediately for directions.

E. Cooperate with OWNER and utility companies in keeping respective services and facilities in operation and repair any damaged utilities to satisfaction of utility owner.

F. CONTRACTOR shall not interrupt existing utilities serving facilities occupied and used by

OWNER or others, except when permitted in writing by OWNER.

G. Any accidental interruption of services shall be repaired immediately, including provision of temporary facilities until permanent repairs can be made.

1.10 PROTECTION OF WORK AND IMPROVEMENTS

A. CONTRACTOR shall protect the property of OWNER, existing improvements, and work installed by CONTRACTOR and others from abuse, damage, dust, debris, and other objectionable materials resulting from construction activities.

B. CONTRACTOR shall provide suitable covers, partitions, or other dust and fume

containment devices to suit construction operations.

C. CONTRACTOR shall keep property, existing improvements and the work, including structures, mains, fittings and accessories free from dirt and foreign matter at all times.

D. CONTRACTOR shall provide temporary plugging of openings, holes and pipe ends that

are existing or that CONTRACTOR has installed.

E. Property, improvements and work damaged by CONTRACTOR shall be repaired or replaced by CONTRACTOR to the satisfaction of OWNER.

F. If more than one contractor is responsible, the cost shall be shared. OWNER will

determine responsibility for damages. All repair and replacement methods shall be approved by OWNER.

1.11 NORMAL WORKING HOURS

A. Except for emergency work and operation of safety equipment, dewatering equipment, and temporary utility equipment, and as otherwise specified, all work at the project site, shall be performed during weekdays between the hours of 7 A.M. and 5:30 P.M. unless otherwise approved by ENGINEER. Any request to work outside of the normal weekday hours listed above shall be made to ENGINEER a minimum of seventy-two hours in advance of the planned work.

SECTION 01300

SUBMITTALS PART 1–GENERAL 1.01 SUMMARY

A. Work Included: 1. Whenever possible throughout the Contract Documents, the minimum acceptable

quality of workmanship and materials has been defined either by manufacturer's name and catalog number or by reference to recognized industry standards.

2. To facilitate CONTRACTOR's understanding of the design intent, procedures have been established for advance submittal of design data and for its review or rejection by ENGINEER.

3. The type of submittal requirements specified in this section include shop drawings, product data, samples, and other miscellaneous work related submittals.

B. Related work described elsewhere: Additional requirements for submittals are described in

other sections of these specifications. Submittals shall conform to Article 6 of the General Conditions.

1.02 SUBSTITUATION REQUEST

A. All substitution requests must be sent in writing to the engineer for review and approval prior to acceptance of bid and submittlals.

1.03 IDENTIFICATION OF SUBMITTALS

A. CONTRACTOR shall completely identify each submittal and re-submittal by showing at least the following information: 1. Name and address of submitter, plus name and telephone number of the individual

who may be contacted for further information. 2. Name and location of project and identification number. 3. Drawing number and specifications section number to which the submittal applies. 4. Include the date of each submittal or re-submittal.

1.04 GROUPING OF SUBMITTALS

A. Unless otherwise specifically permitted by ENGINEER, CONTRACTOR shall make all submittals in groups containing all associated items so that information is available for checking each item when it is received.

B. Partial submittals may be rejected as not complying with the provisions of the Contract

Documents. 1.05 TIMING OF SUBMITTALS

A. CONTRACTOR shall make all submittals far enough in advance of scheduled dates of installation to provide required time for reviews, for securing necessary approval, for possible revision and re-submittal and for placing orders and securing delivery.

1.06 SHOP DRAWINGS

A. Shop drawings include specially-prepared technical data for this project including drawings, diagrams, performance curves, data sheets, schedules, templates, patterns, reports, calculations, instructions, measurements and similar information not in standard printed form for general application to a range of similar projects. Shop drawings shall be submitted for all manufactured or fabricated items. See individual technical sections for special requirements.

B. CONTRACTOR shall make all shop drawings accurately to scale and sufficiently large to

show all pertinent aspects of the item and its method of connection to the work.

C. Shop drawings shall be checked, approved, and stamped by CONTRACTOR before transmittal to ENGINEER for review and approval. CONTRACTOR shall verify field measurements, field construction criteria, catalog numbers and similar data. Allow space on submittals for Contractor and ENGINEER review stamps.

D. CONTRACTOR shall submit shop drawings and manufacturer’s data for major equipment

items in one package to permit checking complete installation details. Indicate the applicable specification section, paragraph, and subparagraph numbers on the manufacturer’s data sheets and product literature.

E. Clearly mark the selected product by use of arrows, underlines, or circles where more than

one product is shown. Use of highlighters to identify the selected product is unacceptable. Faxed copies are not acceptable and will be rejected.

F. CONTRACTOR shall notify OWNER in writing at time of submittal of deviations in

submittals from requirements of the Contract Documents.

G. CONTRACTOR’s responsibility for errors, omissions, and deviations from requirements of the Contract Documents in submittals is not relieved by OWNER’s review or approval.

H. Submit one (1) electronic copy, in Portable Document Format (pdf) format of all

construction submittals; each copy must bear the Contractor’s approval stamp and signature. A marked-up submittal with comments and disposition will be returned to the Contractor electronically via e-mail.

I. Contractor shall produce electronic submittals for product data, shop drawings, design

data, test reports, certificates, manufacturer’s instructions, erection drawings, and all other specific documentation required. The resolution of scanned images shall be a minimum of 300 dpi unless otherwise requested. Files shall be delivered without security features activated (password protected files will not be acceptable).

J. Submittal file names shall include specification section plus ID tag number and .pdf file

extension in accordance with Owner protocol. File naming conventions will also include submittal revision number as appropriate.

K. Shop drawings submitted to OWNER will be reviewed and returned with MMSD submittal

review cover sheet marked either "Approved as Submitted", "Approved as Noted", or "Not Approved". CONTRACTOR shall resubmit corrected shop drawings for all shop drawings marked "Approved as Noted–Resubmit" and "Not Approved" and will continue this process until shop drawings are marked "Approved" or "Approved as Noted–Resubmittal Not

Required". If drawings are marked " Approved as Noted–Resubmit ", fabrication may proceed in accordance with the marked up shop drawings. Installation shall not proceed until shop drawings have been resubmitted and marked "Approved" or "Approved as Noted – Resubmittal Not Required". MMSD submittal review cover sheet is attached at the end of this section.

L. Revise or provide new submittals as required by OWNER’s review and resubmit until final

approval is obtained. Indicate on the drawings any changes which have been made other than those requested by OWNER.

M. No claim will be allowed for damages or extension of time because of delays in the work

resulting from rejection of material or from revision and resubmittal of shop drawings, manufacturer’s data, or samples.

N. If shop drawings are marked "Approved as Noted" or "Approved as Noted–Resubmit" and

CONTRACTOR does not agree with revisions or cannot conform with revisions, fabrication shall not proceed and shop drawings shall be resubmitted with explanation of CONTRACTOR's position.

O. Only those shop drawings marked "Approved" or "Approved as Noted" by OWNER shall

be used for construction site activities.

P. Arrangements may be made between CONTRACTOR and OWNER to provide additional copies of "Approved" shop drawings for field activity purposes.

Q. Shop drawings shall include verification that the item meets applicable codes and

standards, such as NFPA 30, ASTM, OSHA, and others. 1.07 SUBMITTALS SHOWING PROPOSED DEVIATIONS FROM CONTRACT DOCUMENTS

A. Submit to OWNER detailed drawings and description showing any proposed modifications to or deviations from the work shown in the Contract Documents, if necessary to accommodate the proper working installation of any proposed equipment or system which is different from that anticipated in the Contract Documents. Include any necessary modifications to or deviations from the work of other contractors.

B. Submittal and review procedures shall be the same as for shop drawings. No modifications

to or deviations from the work shown in the Contract Documents shall be allowed unless specifically approved by OWNER.

C. Any additional costs associated with said modifications to or deviations from the work

shown in the Contract Documents as necessary to accommodate proposed equipment or systems, including modifications to or deviations from the work of other contractors, shall be borne by CONTRACTOR supplying the equipment or system for which the modifications are needed, with no additional compensation from OWNER.

1.08 PRODUCT DATA

A. CONTRACTOR shall provide product data as required to supplement shop drawings.

B. Product data are illustrations, standard schedules, performance charts, instructions, brochures, diagrams and other information furnished by CONTRACTOR to illustrate a material, product, or system for some portion of the work.

C. CONTRACTOR shall collect required product data into one submittal for each unit of work

or system.

D. CONTRACTOR shall include manufacturer's standard printed recommendations for application and use, compliance with standards, performance characteristics, wiring and piping diagrams and controls, component parts, finishes, dimensions, required clearances, and other special coordination requirements.

E. CONTRACTOR shall mark each copy of standard printed data to identify pertinent

products, models, options, and other data.

F. CONTRACTOR shall supplement manufacturer's standard data to provide information unique to the work.

1.09 RESUBMISSION REQUIREMENTS

A. Make any corrections or changes in the submittals required by ENGINEER.

SECTION 01600

MATERIALS AND EQUIPMENT PART 1–GENERAL 1.01 SUMMARY

A. Work Included: CONTRACTOR shall be responsible for the delivery, handling, storage and protection of all material and equipment required to complete the work as specified herein.

B. Related Sections and Divisions: Specific requirements for the handling and storage of

material and equipment are described in other sections of these specifications. 1.02 PRODUCTS

A. Components required to be supplied in quantity within a specification section shall be the same, and shall be interchangeable.

B. CONTRACTOR shall not use materials and equipment removed from existing construction,

except as specifically required, or allowed, by the Contract Documents.

C. When any construction deviations from the drawings and/or specifications necessary to accommodate equipment supplied by CONTRACTOR, result in additional costs to CONTRACTOR or other contractors, such additional costs shall be borne by CONTRACTOR. CONTRACTOR shall also pay any additional costs necessary for revisions of drawings and/or specifications by ENGINEER.

D. Each major component of equipment shall bear a nameplate giving the name and address

of the manufacturer and the catalogue number or designation. 1.03 TRANSPORTATION AND HANDLING

A. Materials, products and equipment shall be properly containerized, packaged, boxed, and protected to prevent damage during transportation and handling.

B. CONTRACTOR shall not overload any portion of the structure in the transporting or

storage of materials.

C. CONTRACTOR shall not damage other construction by careless transportation, handling, spillage, staining or impact of materials.

D. CONTRACTOR shall provide equipment and personnel to handle products, including those

provided by OWNER, by methods to prevent soiling and damage.

E. CONTRACTOR shall provide additional protection during handling to prevent marring and otherwise damaging products, packaging, and surrounding surfaces.

F. CONTRACTOR shall handle product by methods to avoid bending or overstressing. Lift

large and heavy components only at designated lift points.

1.04 DELIVERY AND RECEIVING

A. CONTRACTOR shall arrange deliveries of products in accordance with construction progress schedules, allowing time for observation prior to installation.

B. CONTRACTOR shall coordinate deliveries to avoid conflict with work and conditions at

site; work of other contractors or OWNER; limitations on storage space; availability of personnel and handling equipment and OWNER's use of premises.

C. CONTRACTOR shall deliver products in undamaged, dry condition, in original unopened

containers or packaging with identifying labels intact and legible.

D. CONTRACTOR shall clearly mark partial deliveries of component parts of equipment to identify equipment and contents to permit easy accumulation of parts and to facilitate assembly.

E. Immediately on delivery, CONTRACTOR shall inspect shipment to assure:

1. Product complies with requirements of Contract Documents and reviewed submittals. 2. Quantities are correct. 3. Accessories, and installation hardware are correct. 4. Containers and packages are intact and labels legible. 5. Products are protected and undamaged.

1.05 STORAGE AND PROTECTION

A. General: 1. CONTRACTOR shall store products, immediately on delivery, in accordance with

manufacturer's instructions, with all seals and labels intact and legible. 2. Available storage space at the job site is limited. Any additional off-site space required

shall be arranged by CONTRACTOR. 3. CONTRACTOR shall allocate the available storage areas and coordinate their use by

the trades on the job. 4. CONTRACTOR shall arrange storage in a manner to provide access for maintenance

of stored items and for observation.

B. In enclosed storage, CONTRACTOR shall: 1. Provide suitable temporary weather tight storage facilities as may be required for

materials that will be damaged by storage in the open. 2. Store unpacked and loose products on shelves, in bins, or in neat groups of like items. 3. Store solid materials such as insulation, tile, mechanical and electrical equipment,

fittings, and fixtures under shelter, in original packages, away from dampness and other hazards.

4. Store liquid materials away from fire or intense heat and protect from freezing.

C. At exterior storage, CONTRACTOR shall: 1. Store unit materials such as concrete block, brick, steel, pipe, conduit, door frames,

and lumber off ground, out of reach of dirt, water, mud and splashing. 2. Store tools or equipment that carry dirt outside. 3. Store large equipment so as not to damage site or present a fire hazard. 4. Cover products subject to discoloration or deterioration from exposure to the

elements, with impervious sheet material and provide ventilation to avoid condensation.

5. Completely cover and protect any equipment or material which is prime coated or finish painted with secured plastic or cloth tarps. Store out of reach of dirt, water, mud and splashing.

6. Store loose granular materials on clean, solid surfaces such as pavement, or on rigid sheet materials, to prevent mixing with foreign matter.

7. Provide surface drainage to prevent erosion and ponding of water. 8. Prevent mixing of refuse or chemically injurious materials or liquids. 9. Cover aggregates such as sand and gravel in cold wet weather. 10. Remove all traces of piled bulk materials at completion of work and return site to

original or indicated condition. 1.06 MAINTENANCE OF STORAGE

A. CONTRACTOR shall periodically inspect stored products on a scheduled basis.

B. CONTRACTOR shall verify that storage facilities comply with manufacturer's product storage requirements, and verify that manufacturer required environmental conditions are maintained continually.

C. CONTRACTOR shall verify that surfaces of products exposed to the elements are not

adversely affected and that any weathering of finishes is acceptable under requirements of Contract Documents.

D. CONTRACTOR shall perform scheduled maintenance of equipment in storage as

recommended by the manufacturer. A record of the maintenance shall be kept and turned over to OWNER when the equipment is installed.

1.07 INSTALLATION REQUIREMENTS

A. Manufactured articles, materials, and equipment shall be applied, installed, connected, erected, used, cleaned, and conditioned as directed by the respective manufacturers, unless otherwise specified.

B. After installation, CONTRACTOR shall protect all materials and equipment against

weather, dust, moisture, and mechanical damage.

C. CONTRACTOR shall be responsible for all damages that occur in connection with the care and protection of all materials and equipment until completion and final acceptance of the work by OWNER. Damaged material and equipment shall be immediately removed from the site.

1.02 CLOSEOUT PROCEDURES

A. CONTRACTOR shall provide submittals to ENGINEER that are required by governing or other authorities.

B. CONTRACTOR shall comply with General Conditions and Supplementary Conditions (if

any) and complete the following before requesting OWNER’s observation of the work, or designated portion thereof, for substantial completion. 1. Submit executed warranties, workmanship bonds, maintenance agreements,

inspection certificates, and similar required documentation for specific units of work, enabling OWNER's unrestricted occupancy and use.

2. Submit record documentation, maintenance manuals, tools, spare parts, keys, and similar operational items.

3. Submit consent of surety (if surety required in Contract). 4. Revise and submit evidences of Completed Operations Liability Insurance, complying

with insurance requirements. 5. Complete final cleaning, touch-up work of marred surfaces, and remove temporary

facilities and tools. 1.03 FINAL CLEANING

A. It is CONTRACTOR's responsibility to completely clean up the inside and outside of all buildings and the construction site at the completion of the work.

B. In addition to the cleaning specified above and the more specific cleaning that may be

required in various technical sections of the specifications, CONTRACTOR shall prepare the project for occupancy by a thorough cleaning throughout, which shall include the following: 1. Clean debris from roofs, gutters, downspouts, and drainage systems. 2. Clean site; sweep paved areas, rake clean landscaped surfaces. 3. Remove waste and surplus materials, rubbish, and construction facilities from the site.

1.04 ADJUSTING

A. CONTRACTOR shall adjust operating products and equipment to ensure smooth and unhindered operation.

A. CONTRACTOR shall maintain on site, one set of the following record documents to record actual revisions to the work: 1. Drawings. 2. Specifications. 3. Addenda. 4. Change orders and other modifications to the Contract. 5. Reviewed shop drawings, product data, and samples. 6. Manufacturer's instruction for assembly, installation, and adjusting.

B. CONTRACTOR shall ensure entries are complete and accurate, enabling future reference

by OWNER.

C. CONTRACTOR shall store record documents separate from documents used for construction.

D. CONTRACTOR shall record information concurrent with construction progress.

E. Specifications: CONTRACTOR shall legibly mark and record at each Product section

description of actual products installed, including the following: 1. Manufacturer's name and product model and number. 2. Product substitutions or alternates utilized. 3. Changes made by addenda and modifications.

F. Record Documents and Shop Drawings: CONTRACTOR shall legibly mark each item to

record actual construction including: 1. Measured depths of foundations in relation to finish floor datum. 2. Measured horizontal and vertical locations of underground utilities and appurtenances,

referenced to permanent surface improvements. 3. Measured locations of internal utilities and appurtenances concealed in construction,

referenced to visible and accessible features of the work. 4. Field changes of dimension and detail. 5. Details not on original Contract drawings.

1.06 WARRANTIES

A. CONTRACTOR shall provide warranties beyond project one year warranty as required by technical sections and as follows.

B. Submit warranty information as follows:

1. Provide notarized copies. 2. Execute and assemble transferable warranty documents from Subcontractors,

suppliers, and manufacturers, and provide Table of Contents and assemble in three ring binder with durable cover.

A. Furnish Engineer for prior review the procedure specifications and qualifications records of welding procedures for all pipe welding to be performed under this section, in accordance with Section IX, Article II of the ASME Boiler and Pressure Vessel Code.

3.3 WELDING PERFORMANCE QUALIFICATION

A. All welders and welding operators shall be qualified at the Contractor's sole expense by a qualified testing laboratory before performing any welding under this section. Qualification tests shall be in accordance with Section IX, Article III of the ASME Boiler and Pressure Vessel Code. Welders and operators shall be qualified for making groove welds in Types 304, 304L, 316, and 316L stainless steel pipe in position 6G for each welding process to be used.

B. Before the start of the work, Contractor shall submit a list of the welders he proposes using and the type of welding for which each has been qualified.

C. Qualification tests may be waived if evidence of prior qualification is deemed suitable by the Engineer. Contractor shall retest any welders at any time Engineer considers the quality of the welder's work substandard.

3.4 FABRICATION

A. End Preparation: Pipe edges shall be prepared preferably by machine shaping or cutting with an aluminum oxide blade. Oxygen or arc cutting are acceptable only if the cut is reasonably smooth and true and all slag is removed either by chipping or grinding. Beveled ends for butt-welding shall conform to ANSI B16.25.

B. Cleaning: Surfaces shall be clean and free of paint, oil, rust, scale, slag, or other material detrimental to welding. Before welding, wire brush joints to be welded with stainless steel wire brushes or stainless steel wool.

C. Alignment and Spacing: Align ends to be joined within existing commercial tolerances on diameters, wall thicknesses, and out-of-roundness. Root opening of the joint shall be as stated in the procedure specification.

D. Procedure:

1. The direct current, reverse polarity, shielded metal arc or gas metal arc processes or direct current, straight polarity, gas tungsten-arc process shall be used for all field welding. Shop fabrication shall be in accordance with the submitted welding procedure qualifications. No welding shall be performed if there is impingement of any rain, snow, sleet, or high wind on the weld area, or if the ambient temperature is below 32º F. If the ambient is less than 32 º F, local preheating to a temperature warm to the hand is required.

2. Tack welds shall be thoroughly cleaned to avoid porosity or pinholing in the cover pass and shall be small enough to be readily fused into the succeeding bead. Tack welds, if not made by a qualified welder using the same procedure as for the completed weld, shall be completely removed. Tack welds which are not removed shall be made with an electrode that is the same as or equivalent to the electrode to be used for the first weld pass. Tack welds which have cracked shall be removed.

3. Each layer of deposited weld metal shall be thoroughly cleaned before the deposition of each additional layer of weld metal, including the final pass, with a power-driven stainless steel wire brush. Surface defects that will affect the soundness of weld shall be chipped out or ground out.

4. Welds shall be free of cracks, incomplete penetration, weld undercutting, excessive weld reinforcement, porosity, slag inclusions, and other defects in excess of the limits prescribed in Chapter V of ANSI B31.3 as applicable.

5. Branch connections shall be fitted and groove-welded in accordance with the details described and shown in Chapter V of ANSI B31.3 as applicable.

SECTION 15050

BREECHINGS, CHIMNEYS, AND STACKS

PART 1 - GENERAL 1.1 SUMMARY

A. This section specifies double wall metal vents and accessories for gas fired appliances.

1.2 SUBMITTALS A. Product Data: Submit product data including materials, dimensions, weights, and

accessories.

B. Shop Drawings: Submits detailed layout shop drawings, plans and elevations, including required clearances, assembly, supports and installation instructions.

1.3 QUALITY ASSURANCE

A. Welder’s Qualifications: All welders shall be certified in accordance with AWS Standard D9.1, Specifications for Welding Sheet Metal.

B. Codes and Standards:

- NFPA: Comply with NFPA 211 “Standard for Chimneys, Fireplaces, Vents

and Solid Fuel Burning Appliances.” - UL: Comply with applicable portions of UL safety standards; provide products

which have been UL 103 listed and labelled. - SMACNA: Comply with SMACNA Low Pressure Duct Standards for

fabricated breeching and smoke pipe. - AWS: Comply with AWS Structural Welding Code for welder’s qualifications,

welding details, and workmanship standards. - ASHRAE: Comply with the ASHRAE Equipment Handbook for Chimney, Gas

Vent, and Fireplace Systems, material requirements and design criteria.

PART 2 - PRODUCTS

2.1 PRODUCTS

A. Double wall metal vents.

B. All steel, positive pressure, double wall stack:

1) Manufacturers: subject to compliance with requirements, provide all steel, positive pressure double wall vents of the following type:

a) Cheminee Lining.E Inc, model IPPL b) or equal

C. The factory built breeching system shall be made in accordance with NFPA 211. This stack system shall be designed and installed to be gas tight. It shall be UL Listed to withstand up to 60" w.c. positive pressures. This breeching system shall be designed to compensate for all flue gas induced thermal expansions. Air space insulation between inner and outer pipe shall be 2 inches thick. Clearances to combustible materials shall be per installation instructions.

D. The joint assembly shall be a male/female slip-type jointing with flange to flange

and V-band assembly. An internal sleeve serves for readily alignment as well as long term joint seal protection from condensate, water and flue gas temperature. Non-slip type joints are not acceptable.

E. The double wall stack has an inner gas carrying pipe of 20 gauge type 304

stainless steel. The outer jacket shall be 24 gauge 304 stainless steel. The materials and construction of the modular sections and accessories shall be as specified by the terms of the product’s UL Listing.

F. The breeching and stack shall be warranted against functional failure due to

defects in material and manufacturer’s workmanship for a period of 10 years from the date of delivery.

G. Drawings showing the actual layout and drawn to scale shall be provided by the

manufacturer. The system shall be installed as designed by the manufacturer and in accordance with the terms of the manufacturer’s 10 year warranty and in conjunction with sound engineering practice.

H. Technical services supports. The factory built modular stack system shall be

furnished by a vendor organization which assures design, installation and service coordination and provides in-warranty and post warranty unified responsibility for owner.

PART 3 - EXECUTION 3.1 INSTALLATION OF DOUBLE WALL CONNECTORS, BREECHINGS, AND VENTS

A. The stack system shall be installed according to the manufacturer’s installation instructions. The joining of pipe sections must be made using the assembly band, the finishing band and the appropriate sealing material.
