B) GENERAL TERMS & CONDITIONS:

1. Signing of tenders:-

(A) The tender is liable to be summarily rejected in case of incomplete information /non submission of relevant

document asked for in the schedule to the tender.

(B) Every Individual signing the tender or other documents concerned with the contract must specify whether

he signs as

i. A sole proprietor of the firm, or constituted attorney of such proprietor.

ii. A Partner of the firm if it be a partnership in which case he must have authority to refer

disputes to arbitration disperses.

iii. Director , if it is a company.

Note:

a) In case of B (ii) a copy of the partnership agreement, attested by a Notary Public should be furnished. An

affidavit on stamped paper of all the partners admitting execution of the partnership agreement should be

furnished.

b) In the case of partnership firms, where no authority to refer disputes concerning the business or the

partnership has been conferred on any partner, the tender and all other related documents must be signed by

every partner of the firm.

c) A person signing the tender form or any documents forming part of the contract on behalf of another shall be

deemed to considered that he has authority to sign and if on enquiry it appears that the person so signing has

no authority to do so, the purchaser without prejudice to other civil and criminal remedies, will cancel the

contract and hold the signatory responsible for all costs and damages.

d) Holder of power of Attorney or representative of proprietor/ Director of security agency is not

authorized to conclude the contract with ESIC.

e) Original ink signed copy of DGR sponsorship letter shall be produced at the time of signing of contract.

(C) Family Members of officers /officials working in ESIC cannot take part in this tender enquiry. Each bidder will

have to give an undertaking to this effect on a Non Judicial stamp paper of Rs. 10/-.This will also apply to

officer/official who resign/retire in any form from the services of ESI Corporation within 01(one) year of date

of opening of tender.

2. Award of contract While the prospective service providers are free to quote the price for services outlined in this tender

document, the price so quoted shall not be below DGR/ State Govt./ Centre Govt. Promulgated minimum

wages.

The service charges of minimum 14% as laid down by DGR will be strictly followed and any in this regard

bidding will be considered willful defiance and will be reported to DGR

3. Terms of Service: As specified under ‘specific terms & conditions’.

4. Right of acceptance:

Medical Superintendent, ESIC Model Hospital, Chandigarh does not pledge to accept the lowest or any

tender and reserves to himself the right to accepting the whole or any part of the tender which shall be

supplied at the rates quoted.

5. Acceptance of tender The formal acceptance of the tender will be communicated to the successful tenderer for immediate

Implementation.

6. Agreement The successful tenderer must submit the acceptance letter to Medical Superintendent, ESIC Model Hospital,

Chandigarh subsequent to which the contract will be executed through an agreement on stamp paper of

adequate value.

7. Period of Contract

The contract will be valid for one year initially, which can be extended further for one additional year after

assessment of performance & mutual consent of both the parties and subject to guidelines from DGR issued

form time to time.

8. Pre-bid meeting

Pre-bid meeting will be held on 04.04.2018 at 2.30pm. All authorised parties/representatives can

attend the same

Specific Terms & Conditions:

1. Acceptance of Tender :-

The Acceptance of tender will be on the basis of lowest price offered by the tenderer. In case more than one

DGR sponsored agencies quoting same rates, the contract will be awarded to senior most sponsored agency

as specified by DGR

2. Terms of service

1. The owner/ Proprietor/Director of the security agency herein after referred to as contractor will be

responsible for supplying Security guards to safeguard ESIC Model Hospital Chandigarh property(i.e.

Building, material, Equipment) staff working at ESIC Model Hospital Chandigarh including surveillance and

monitoring of premises. The security service shall be provided round the clock, on all days including

weekends and gazzetted holidays and in three shifts for a period of one year from the date of

commencement of contract extendable for one year on mutual agreement and on satisfactory service by the

contractor subject to compliance with DGR guidelines issued from time to time.

2. The contractor has to ensure security personnel with excellent credentials are only deployed and he shall

submit copies of service discharge books of ex-servicemen from defence forces to the authorities of ESIC

Model Hospital Chandigarh, before their deployment.

3. The Contractor will maintain Attendance Register in which day to day deployment of personnel will be

entered. While raising the bill, the deployment particulars of the personnel’s engaged during each month,

shift wise, should be shown. The Register shall remain available round the clock for inspection by the

authorized representatives of the ESIC Model Hospital Chandigarh.

4. All liabilities arising out of accident, death or any mishap while on duty/ off duty shall be sole liability of the

contractor.

5. Adequate supervision should be provided to ensure correct & effective performance of the security services in

accordance with the prevailing assignment instructions agreed upon between the two parties. The security

agency will ensure that there is no unidentified/ unclaimed/ suspicious objects/ person in the premises of

Hospital. Vehicles that enter and exit the premises of ESIC Model Hospital Chandigarh must be identified and

noted. The vehicles should be directed towards designated parking places and it should be ensured that the

entry and exit pathways for ambulances and other vehicles is not blocked . Trolley mirrors if required should

be used for the inspection of vehicles. Contractor should arrange surprise visits (during day and night) to

check the alertness and attentiveness of the security guard deployed.

6. The Contractor to ensure security personnel deployed shall take proper and reasonable precautions to

prevent loss, destruction, misuse of the areas of the properties/ assets of the ESIC Model Hospital, Chandigarh

by antisocial elements.

7. The contractor shall have his own Establishment Set up/ Mechanism to provide training of guards to ensure

correct and satisfactory performance of his duties and responsibilities under the contract.

8. Contractor has to submit a Medical Fitness certificate of Security personal from a qualified Registered Medical

practitioner at the time of deployment. The cost of such a medical examination will have to be borne by the

contractor.

9. The ESIC Model Hospital, Chandigarh. shall have the right, without any reason to have any person removed

that is considered to be undesirable or otherwise and similarly Contractor reserves the right to change the

staff with prior intimation to the Medical superintendent, ESIC Model Hospital, Chandigarh.

10. The contractor shall be legally responsible to protect all properties and equipments of the ESIC Model

Hospital, Chandigarh entrusted to him.

11. The personnel engaged by the contractor shall be smartly dressed in neat and clean uniform and are required

to display Name plates & photo identity cards. The uniform must bear the Logo of the security agency. The

cost of the uniform has to be borne by the contractor.

12. The personnel engaged should be of robust physique, sound mental health and not above the age of 65 years.

They have to be extremely courteous with pleasant mannerism in dealing with the Patients/Staff/Officers.

ESIC Model Hospital, Chandigarh shall have right to have any personnel removed in case the security

personnel is not performing the job satisfactorily. The contractor shall have to arrange the suitable

replacement in all such cases well within time without disturbing security requirements of ESIC Model

Hospital Chandigarh.

13. Round the clock security will be ensured by the contractor with property by supplying sufficient Number of

Security personnel working in shifts at ESIC Model Hospital, Chandigarh.

14. Prolonged duty hours shall not be allowed. No payment shall be made for overtime or prolonged duty hours,

if any. Alternative arrangements should be made in case of leave, sickness, unauthorized absence etc.

15. The security personnel deployed by the Contractor shall work under direction of the ESIC Model Hospital,

Chandigarh.

16. The ESIC Model Hospital, Chandigarh. shall specify the services of guards to be obtained in each shift.

17. The payment would be made on monthly basis for actual shifts manned/ operated by the personnel supplied

by the contractor and based on the attendance sheets duly verified by the designated authority of ESIC Model

Hospital, No other claim on whatever account shall be entertained by ESIC Model Hospital, Chandigarh..

18. The Contractor will ensure that workers engaged by him must receive their entitled wages on time. In view of

this, following procedure should be followed.

1. Payment to such workers must be made by the service provider/ contractor through Cheque /ECS

only. Under no circumstances payments will be made in cash. To ensure this, service providers will

ensure that every engaged worker has a bank account.

2. The service provider must ensure that entitled wages of the workers are credited to their bank

account on the last working day of the month. Service provider will not be given any relaxation in this

matter.

3. Although attempt will be made by ESIC Model Hospital Chandigarh to make payment to the security

agency in time but the payment to deployed security personals by the agency shall not be linked to

clearance of bill by ESIC Model Hospital, Chandigarh. While submitting the bill for the next month, the

services provider must file a certificate certifying the following along with copies of proof of payment.

i) Wages to the workers.

ii) ESI Contribution

iii) EPF Contribution

iv) a certificate that the Agency is complying with all statutory Labour Laws including Minimum Wage

Act.

v) Aadhar details of employees.

vi) GST returns with complete breakup.

The service provider should submit the bill in accordance with the above time schedule. In case, he

fails to submit the bill in time, even then he has to make the payment to the workers on the last

working day of every month. Payment will be made to the contractor in the first week of the

succeeding month upon submission of bills in triplicate. The contractor shall compulsorily issue the

salary slip to every security guard duly indicating the salary particulars and deductions.

19. In case any complaint is received attributable to misconduct/ misbehavior/Consumption of alcohol while on

duty/ Substance abuse or laxity of any sort by contractor's personnel & is assessed as true by administration

of ESIC Model Hospital, Chandigarh a penalty of Rs 500 for each such incident shall be levied and the same

shall be deducted from contractor's bill. The Security Guard found involved in the incident shall also be

removed from services at ESIC Model Hospital, Chandigarh.

20. In case the contractor fails to commence/ execute the work as stipulated in the agreement or gives

unsatisfactory performance or does not meet the statutory requirements of the contract, MS ESIC Model

Hospital, Chandigarh reserves the right to impose the penalty, forfeit the Bank guarantee, terminate the

contract, withhold the agreement and get a suitable replacement. All such cases shall be informed to DGR.

21. The contractor shall ensure that its personnel do not, at any time, without the consent of the ESIC Model

Hospital, Chandigarh in writing, divulge or make known any trust, accounts matter or transaction undertaken

or handled by the ESIC Model Hospital, Chandigarh and shall not disclose any information about the affairs of

ESIC Model Hospital, Chandigarh. In the event of any breach/ violation or contravention of any terms and

conditions contained herein by the Contractor, the Security Deposit of the Agency shall stand forfeited.

22. During the course of contract, if any contractor's personnel are found to be indulging in any corrupt practices

or causing any loss of property of ESIC Model Hospital, Chandigarh, Medical Superintendent Reserves the

right to terminate the contract and also forfeit the contractor's Performance Bank Guarantee.

23. The contractor shall not engage any such sub contractor or transfer the contract to any other person In any

manner.

24. The contractor shall indemnify and hold the ESIC Model Hospital, Chandigarh harmless from and against all

claims, damages, losses and expenses arising out of, or resulting from negligence, dereliction of duty by

security guards.

25. The contractor shall also deploy female security guards as per requirements.

26. Security staff engaged by the contractor shall not take part in any staff union and association activities.

27. The security agency shall employ 90% (or as specified by DGR) of total manpower from the category of Ex-

Servicemen not above the age of 65 years. The contractor shall provide satisfactory proof of Ex-Servicemen

status of the Security Guards before their deployment in the ESIC Model Hospital, Chandigarh. The security

agency shall not employ any person below the age of 21 yrs. and above the age of 65 yrs.

28. Manpower engaged should be trained for providing security services.

29. The contractor shall bear all the expenses incurred on the following items i.e. Provision of torches and cells,

lathis / battens and other implements to security staff, stationary for writing duty charts and registers at

security check points and records keeping as per requirements.

30. No Hostel/ accommodation will be provided by the ESIC Model Hospital, Chandigarh. Contractor Security

guards to make own arrangement.

31. The ESIC Model Hospital, Chandigarh shall not be under any obligation for providing employment to any of

the worker of the contractor after the expiry of the contract. The ESIC Model Hospital, Chandigarh does not

recognize any employee- employer relationship with any of the workers of the contractor.

32. lf as a result of post payment audit any overpayment is detected in respect of any work done by the agency or

alleged to have done by the agency under the tender, it shall be recovered from the agency by ESIC Model

Hospital, Chandigarh.

33. The bidder shall provide the copies of relevant records during the period of contract or otherwise even after

the contract is over when ever required by the ESIC Model Hospital, Chandigarh.

34. The bidder will have to enclose the proof/ copies of the challan’s showing payment of statutory dues for the

month along with monthly bills.

35. Rate quoted by the contractor for each post of Security Guard should not be less than the wages notified by

the Minimum Wages issued by the Ministry of Labour and Employment, Govt. of India.

36. Any rules and regulation, made from time to time by the Medical superintendent ESIC Model Hospital

Chandigarh shall be complied with. Any other duties/ responsibilities assigned by the administration of ESIC

Model Hospital, Chandigarh. may be incorporated in the agreement. The same shall also be binding on the

contractor.

37. Agency and all deployed security guards should be conversant with layout of hospital building, fire safety, and

lighting system. They must have telephone number of caretaker of hospital, nearest police station, fire

fighting station, other nearby hospitals, estate office, ESIC Head office. They must have a list of VOIP numbers

of ESIC Model Hospital Chandigarh and should respond briskly to any call made to them.

38. Security guards shall also ensure that all electrical equipments/ lights/computers/motor pumps etc are

switched off at time of closure of the department/office respectively so as to ensure safety and security of

building.

39. Senior most Security guard/Supervisor shall maintain and display list of all security personals along with

phone numbers as mentioned above. They also will be responsible for reporting any special/untoward

incident immediately to the Head of Hospital/ on duty Emergency medical officer.

40. In case of Natural disaster the security personals should be able to respond, act and deliver additionally

assigned duties by ESIC Model Hospital, Chandigarh. They shall also be a part of disaster management team of

the hospital.

41. BLIGATIONS OF THE CONTRACTOR: The bidder shall ensure full compliance with tax laws of India with

regard to this contract and shall be solely responsible for the same. The bidder shall submit copies of

acknowledgments evidencing filing of returns every year and shall keep the Employer fully indemnified

against liability of tax, interest penalty etc. of the contractor in respect thereof, which may arise. The

contractor shall also comply with all applicable statutory liabilities such as labour laws/ ESIC/EPFO etc.

3. Performance security The Successful agency will be required to deposit a Performance guarantee of Rs. 100000/- (Rupees One

lakh only) in the form of Pay Order/Demand Draft in favour of “ESIC Fund account No1” drawn on any

Bank payable at Chandigarh, Security deposit will be refunded after successful completion of contract and no

interest will be paid on it.

4. Experience : The bidder must attach relevant documents regarding past experience of providing security

services.

5. Force Majeure Clause If at any time, during the continuance of this contract, the performance in whole or in part by either party of

any obligation under this contract shall be prevented or delayed by reason of any war, hostility, acts of public

enemy, civil commotion, sabotage, serious loss or damage by fire explosion, epidemics, strikes, lockouts or

acts of God(here in after, referred to events)provided, notice of the happening of any such event is given by

either party to the other within 30 days from the date of occurrence thereof, neither party shall by reason of

such event , be entitled to terminate this contract nor shall either party have any claim for damages against

the other in respect of such non-performance of delay in performance, and works under the contract, shall be

resumed as soon as practicable after such event has come to an end or ceased to exist, and the decision of the

Medical Superintendent as to whether the works have been so resumed or not shall be final and conclusive.

6. Presentation of bill The billing cycle would be the calendar month and the agency Shall present its bill complete in all respects up

to 3rd. of each month. However the agency must make the payment to their workers through bank

transaction on the last day of each month and this payment is not linked to the clearing of the bill by

ESIC Model Hospital, Chandigarh.

The bill is to be submitted along with the following documents:

i) The detailed wages of workers for last month credited to their Bank Account on last day of the month

and the details of payment along with Bank Account No. may be submitted along with next month bill.

ii) ESI/EPF/GST/other statutory dues amounting to Rs............for the month of (previous month)

iii) Employee wise detail of ESI/EPF contribution paid is to be submitted every month.

iv) Undertaking that all statutory Labour Laws including minimum wages DGR rules being complied with

is to be submitted with regular bills.

The bill in triplicate copy shall be in the printed and serially numbered invoice/credit bill with the name

and address of the firm and GST Registration Number printed thereon.

7. System of Payment:

a) ESIC Model Hospital, Chandigarh shall only follow the ECS mode of payment.

b) Bills shall be complete & without errors to prevent rejections/cancellations/delay in processing.

c) Bills are to be submitted in triplicate copies. Bills should be pre-receipted with revenue stamp where ever

necessary. All cuttings/overwriting to be duly attested.

d) The contractor shall claim payments once a month. No claim shall be made by the Contractor against the

ESIC Model Hospital, Chandigarh. in respect of interest or damage in case the payment is delayed for any

reason beyond the control of administration of ESIC Model Hospital, Chandigarh..

8. Termination of Contract:-

Medical Superintendent ESIC Model Hospital, Chandigarh reserves the right to terminate the contract in

case of breach of contract by giving one month notice.

9. Penalty Clause: Penalty for violation of clauses shall be decided and dealt By a monitoring committee constituted by Medical

Superintendent/ Competent Authority.

1. In case of any security personal found absent from duty without having his replacement , Penalty Charges

at the rate double the wage of that security Personnel shall be deducted from the monthly bill.

2. Incidents like non adherence to uniform clause or not wearing Identity cards e.t.c shall be evaluated by an

Examination committee duly constituted by the competent authority. The penalty of Rs 500/- for each

such incident shall be imposed on the contractor and the same shall be deducted from the monthly bill.

3. Any loss due to any event of Theft, Damage e.t.c. caused by anti social elements or any loss due to

negligence of security personals shall be compensated on actual basis from the monthly dues or bank

guarantee of the contractor.

10. Arbitration clause In the event of any dispute or difference arising under these conditions or any special conditions

or contract or in connection with this contract, except as to any matters the decision on which is

specially provided for by these or special conditions the same shall be referred to the sole

arbitration of the Medical Superintendent, ESIC Model Hospital, Chandigarh or some other person

appointed by him/her. There shall be no objection that the arbitrator is a

Government/Corporation servant and that he had to deal with matters to which Contract relates

or that in the course of his duties as Govt. / Corporation servant he had expressed views on all or

any of the arbitration disputes or differences.

The award of the arbitrator shall be final and binding on the parties to this contract.

Terms of Arbitration:

a) If the arbitrator be the Medical Superintendent, ESIC Model Hospital, Chandigarh.

i. In the event of his being transferred or vacating his office by resignation or otherwise, it shall be

lawful for his successor in office either to proceed with the reference himself, or to appoint another

person as arbitrator; or

ii. In the event of his becoming unable to act, for any reason, it shall be lawful for the Medical

Superintendent, ESIC Model Hospital, Chandigarh to appoint another person as arbitrator.

b) If the arbitrator be a person, appointed by Medical Superintendent, ESIC Model Hospital, Chandigarh-

In the event of his delaying, neglecting or refusing to act, being unable to act, for any reason, it shall

be lawful for the Medical Superintendent, ESIC Model Hospital, Chandigarh, either to proceed with

the reference himself or to appoint another person as arbitrator in place of the outgoing arbitrator.

It is further to the terms of this contract that no person, other than the Medical Superintendent, ESIC

Model Hospital, Chandigarh or the person appointed by him should act as arbitrator and that, if for

any reason that is not possible, the matter is not to be referred to arbitrator at all. Upon every such

reference, the assessment of the cost incidental to the reference and award respectively shall be in

the discretion of the arbitrator account of such proceedings.

The venue of the arbitration shall be Chandigarh.

11. Dispute Settlement: All the disputes relating to the Rate Contract shall be subject to the territorial jurisdiction of

Chandigarh.

Remarks: 1. Chandigarh falls under “ Area B” category in DGR notified list and the minimum wages will be

applicable as per the rates. 2. Where ever the wages notified are higher than the wages mentioned herein, the higher wages shall

stand and would be payable. 3. The service charges of minimum 14% as laid down by DGR will be strictly followed any violation by

under bidding will be considered willful defiance and will be reported to DGR. 4. Wages are subject to amendment as per DGR/State/Centre Govt. rules promulgated from time to time. 5. Bidders should note that only the charges mentioned at Sr. No. 13 above can be retained by the
