1. GENERAL INFORMATION 1.1 INTRODUCTION AND OVERVIEW ESD JV International is a company formed by the collaboration of ELCIME, (RSA & DRC), Shaw African Investments, (RSA) and DAFRO Engineering Consultants, (RSA), to unify efforts & jointly pursue future business in Africa. All three companies have extensive previous experience in engineering, consulting and project management in various Southern and Central African countries.

Concept Bankable Proposal 2.2 EQUIPMENT SUPPLY With ESD’s extensive in-house experience we are well placed to add value when supplying equipment related to most industries and all engineering requirements.

ESD is in the process of forming a Joint Venture Company with our South African partner, Bearing Man Group. The new company will be based in the Democratic Republic of the Congo, (DRC), to broaden our current capabilities for equipment supply and support of that equipment for downstream users. Agreements are already in place for this Joint Venture and operations should commence from Kinshasa in mid-2016. 2.3 TRANSPORTATION AND LOGISTICS
ESD is in the process of forming a Joint Venture Company with our South African partner Regal Transport Group. The new company will provide transport and logistics services between the DRC and the Republic of South Africa, (RSA). Agreements are already in place for this Joint Venture and operations should commence in early 2016. Negotiations are already well advanced for the bulk transport of materials such as Copper, (DRC to RSA), and diesel, (RSA to DRC). 2.4 CEMENT PLANTS
ESD is in the process of forming a Joint Venture Company with a South African partner in the cement supply industry. The new company will develop ore resources, (that ESD already have the mining licences for), to provide raw material to new Cement plants in the Lubudi area of the DRC. Negotiations are at an advanced stage for this Joint Venture with anticipated finalisation for all agreements in mid-2016. 2.5 CONTROL & INSTRUMENTATION ENGINEERING

3.3 OFFICE FACILITIES Hardware: ESD’s have at their disposal a range of PCs, Printers, Plotters, and Copiers etc. The equipment is linked together, internally and externally, using the latest computer server networking techniques for optimum efficiency and integrity of standards of designs via a common database. Software: ESD is committed to the use of intelligent software packages to assist in the various aspects of design and project management. 4. COMPANY POLICY STATEMENTS 4.1 QUALITY POLICY The quality of our service shall always comply with or exceed the requirements of our customers. To remain competitive a permanent effort is required from each employee in every activity for ensuring and improving quality. Management irrevocably supports all measures, which contribute to a system of quality assurance and quality improvement. We are in process of implementing and complying with the ISO 9001: 2000 International Standard that will ensure that the quality policy is appropriate to the purpose of ESD JV International. We have developed a Quality Management System, which forms the basis of our total commitment to meeting organizational goals as well as legal/regulatory requirements and our client expectation in a cost effective and acceptable manner. Our Quality Management System defines the means by which ESD management and staff will constantly strive to review and meet quality objectives. All staff are familiarised with the system and will be expected to comply with requirements at all times. 4.2 SAFETY, HEALTH AND ENVIRONMENT POLICY ESD is a multi-disciplinary organisation that offers a diverse range of services in the field of engineering and project consulting. The organisation is committed to adhering to the International Standards that govern management of Safety, Health and Environment in the organisation. As a responsible corporate citizen, the organisation shall conform to the statutory and regulatory requirements as reflected in the OHS act, COID act and the various acts governing safety, health and environmental matters. In pursuit of service excellence, the organisation shall continually strive to improve the Safety, Occupational Health and Environmental issues of its processes and services. This shall be achieved through the extensive development of employees, equipping them with requisite skills in their diverse fields of operation. The organisation shall also endeavour to be in the forefront of the relevant technologies, in order to stay competitive in the provision of its products and services. Cost-effectiveness resulting from this effort shall be to the advantage of the customers and all other stakeholders. The organisation views Safety and Occupational Health management as a business imperative, and is therefore committed to effectively manage the inherent occupational health and safety risks in the business. The organisation shall encourage communication on environmental, occupational health and safety issues amongst employees and other stakeholders. 4.3 SOCIAL RESPONSIBILITY All ESD Projects in the DRC have a social responsibility aspect that varies dependant on the individual projects. Where possible local personnel and suppliers are used, local facilities may be upgraded by provision of utilities, technical or business skills are upgraded, etc.

5. MAJOR CLIENTS ESD can proudly list, amongst their satisfied clients, major companies and household names such as South African Breweries, Anglo American Corporation, and Anglo Platinum.
SAB Miller
ESD have successfully completed turnkey Electrical & Instrumentation projects including PLC, SCADA and Communication Networks Projects at SAB Rosslyn, Chamdor, Jumbo Brewery - Kenya and Lubango Brewery – Angola. Equipment installed has included Modicon, Allen Bradley and Siemens PLCs and proprietary communication networks, Wonderware “In Touch” SCADA systems. Various field instruments for the measurement of process variables were also included within the projects’ scope. Anglo Platinum
ESD have successfully completed Electrical & Instrumentation projects including PLC, SCADA, MCC, HT reticulation and Security Projects at Rustenburg Smelter, BMR, PMR, Rasimone, ATOK, Amandelbult, Twickenham, Hackney and Burgersfort. ESD are one of only two companies Anglo Platinum use as Security System Engineers. Equipment installed has included Moore DCS and Siemens, Modicon & Allen Bradley PLC's and proprietary communication networks. TWP ESD have completed several PLC, SCADA Instrumentation and Electrical Projects for TWP around Rustenburg and in Zimbabwe.
Eskom Distribution ESD are currently involved with Electrification, Reticulation and Distribution projects for Eskom Distribution – Northern Region. Petro SA ESD successfully completed a feasibility study for a platform-decommissioning project for PetroSA in Mosselbaai.
