Subject: Ninety-Fourth Annual Council January 25--27, 2013 Hotel Roanoke & Conference Center Dear Friends:

Happy New Year!!

Here it is—your Council mailing, arriving by email this year. Everything available thus far is in one handy PDF file. Remember to pick up a printed copy at your January convocation meeting and bring it with you to Council.

You will also find it helpful to bring your Spring and Fall Convocation booklets. Program descriptions and budget requests, as well as information relating to the canonical duties of positions being elected at Council, will be found in those booklets and will not be reprinted.

Resolutions submitted after the printing deadline (12/31/12), any changes to the agenda, etc., will be printed as a separate supplement and given to you as you check in at Council.

• The Hotel Roanoke & Conference Center is fully accessible for the physically challenged. If you have any special needs or requirements, please let the Hotel know as soon as possible.

• The polls for various diocesan elections will be located in the Roanoke Foyer. Polls open Friday evening at 5:30 PM. Further ballot times will be announced during the meeting.

• During sessions of the Council and at meals, there are no seat assignments. You may sit with whom you choose.

• Bishop Powell requests that parishes bring banners and stands for display at Council. Please have someone designated to bring your banner, set it up, and make sure it reaches home safely. You are welcome to set up a parish display in the Exhibition Hall if you have registered to do so in advance online.

• Shelley Miller and Jane Cook, of Sacred Garden Bookstore, Greensboro, North Carolina, will bring an array of books and other materials to our Exhibit Hall, so bring money for these valuable resources!

• If you registered online and paid in advance, you can pick up your nametag and check in on Friday. Check-in for clergy and spouses who have registered to meet with our keynoter on Friday morning begins at 9:30 AM. Check-in for all other participants begins at noon.

• Those who did not register online or who have not yet paid may pay with check, cash, or credit card when they reach the hotel. The full fee of $155 will be charged.

• There will be orientation for new and/or interested delegates at 1:30 PM on Friday, and Council proceedings will begin at 2:00 PM.

• The Bishop's Pastoral Address to Council once again will be on Friday at 2:30 PM.

• The former late-night Open Forum meetings with the Budget, Resolutions, and Constitution and Canons committees will be held at 4:00 PM on Friday afternoon. Bring your questions and comments to that afternoon session!

If you have any questions, concerns, or comments, please let me know. I look forward to being with you January 25, 26, and 27, 2013!

The general rules of parliamentary procedure set forth in the latest edition of Robert's Rules of Order shall govern the conduct of the session of Council except wherein other procedure is provided.

Any motion or resolution within the scope of authority of any committee of Council may be presented directly to such committee by the proposer. Any such motion or resolution may be offered on the floor of Council in which event it shall, if seconded, be referred to the appropriate committee of Council for consideration without discussion or debate. The committee to which such a motion or resolution has been presented or referred shall report motion or resolution either favorably or unfavorably prior to the adjournment of Council.

To help us get to know you, briefly describe an example of God's touch in your life through your personal involvement in ministry. God touches and blesses my life each and every time that I attend church and share

that experience with my friends there. Whether I am discussing the business of the church in a Vestry meeting, chalicing in the Eucharist Service, singing hymns with the residents during our nursing home service, watching bedfast patients sing Christmas Carols with us or kneeling at the rail awaiting the Eucharist I can see and feel God's touch in all of it. That is why I attend my church and that is why I am an Episcopalian.

In thirty words or less: if elected, what gifts would you bring to the office? My gifts are: an enthusiasm to serve the diocese in a way that will be beneficial for all members, experience as a member and Sr. Warden of a small church with understanding of our strengths and weaknesses, blessings and needs.

occasions and feel strongly that my continued contribution with personal involvement in ministry is imminent. Without God's provision and his continued blessings, I am convinced I would feel helpless and completely inadequate.

My history includes serving in 2 parishes, over a period of 32 years. This includes, vestry activities, priest search committee, multiple vestry committees, eucharistic minister, lay reader and intercession minister,

recently touched my life through the three healing prayer services undertaken by members of Good Shepherd as part of my doctoral work at Virginia Theological Seminary. As a result of these services, ten people were touched by God in various kinds of physical, emotional, and spiritual healing. This experience says to me that a living, healing Christ exists, available to us all through unconditional love for us. This Christ has been the growing focus of my life for over forty years.

In thirty words or less: if elected, what gifts would you bring to the office? Organizational ability, a gift for analysis, spiritual sensitivity, twenty years of leadership in two dioceses, insight into how the components of a diocese work together, deep belief in Christ's Church.

A. The Constitution and Canons Committee was asked to address the following issues

relating to the Canons:

1. To propose language that would amend Canon 5 in order to provide that

the Deputy or Canon for Administration reports directly to, and is accountable to, the Bishop

rather than to the Council.

2. To propose an amendment to Canon 8, Section 2 regarding audits of

diocesan organizations to accommodate the needs of smaller diocesan organizations.

3. To propose language that would amend Canon 9 in order to permit

amendments to the Council-adopted budget, for budget year 2013 only, to provide the next Bishop

with the ability to reorganize the budget to reflect his/her priorities.

4. To propose an amendment to Canon 24, Section 3(a) to provide that the

president of a convocation may be reelected and succeed himself or herself.

5. To propose an amendment to Canon 27 to allocate responsibility for the

payment of expenses in proceedings arising under Title IV of the Canons of the General

Convention.

B. In reviewing the Canons, the Constitution and Canons Committee determined that

Canon 27, Sections 14 and 15 were no longer applicable and should be deleted.

THE CANONS

I. AMENDMENT TO CANON 5 TO PROVIDE THAT THE DEPUTY OR CANON FOR ADMINISTRATION SHALL REPORT TO AND BE ACCOUNTABLE TO THE BISHOP

The Standing Committee asked the Committee to propose language to amend the Canons

to provide that the Deputy or Canon for Administration reports directly to, and is accountable to,

the Bishop rather than to the Council. The Canons currently provide that Deputy or Canon for

Administration, who is nominated by the Bishop and elected by Council, serves at the pleasure of

Council. The Canon for Administration is the only member of the Diocesan staff that does not

serve at the pleasure of the Bishop.

The Diocese is in the process of electing a new Bishop. The Committee’s research,

conducted at the request of the Standing Committee, indicates that it is highly unusual to have a

Diocesan staff member who does not serve at the pleasure of the Bishop. The Committee takes no

position on the policy question of whether it is a good or bad idea to have the Deputy or Canon

for Administration serve at the pleasure of Council, rather than at the pleasure of the Bishop, but

does recommend the following language that would implement the request of the Standing

Committee.

The following amendment, which would be effective January 1, 2014, would make clear

that the Deputy or Canon for Administration is directly accountable to the Bishop.

Canon 5 – Amend, effective January 1, 2014, as follows:

There shall be elected by the Council, upon nomination by the Bishop, a deputy or canon for administration to the Bishop who shall be a communicant of this church and who shall report to and be accountable to serve at the pleasure of the CouncilBishop. In the event of a vacancy in such office occurring between meetings of Council, the executive board shall have power, upon nomination by the Bishop to fill such office until the next meeting of Council. The deputy or canon for administration shall have such powers and duties as may be assigned or delegated by the Bishop or Council.

Although the Committee takes no position on the merits of the proposed amendment, it does recommend that the amendment, if adopted, not take effect until January 1, 2014. The Committee believes that delaying the effective date of the amendment will clearly indicate that the amendment does not reflect any desire or judgment on the part of the current Bishop or the new Bishop.

II. AMENDMENT TO AMEND CANON 8, SECTION 2 REGARDING AUDITS OF DIOCESAN ORGANIZATIONS.

The Committee was asked to review Canon 8, Section 2 to reduce the burden on both smaller diocesan organizations and the Standing Committee with regard to the audit of accounts. In proposing changes, the Committee sought to provide flexibility for smaller diocesan organizations and the Standing Committee while recognizing the need for the accurate accounting of funds held by all diocesan organizations.

After deliberations, the Committee agreed to recommend the following amendment which it believes is consistent with the Constitution of the Diocese of Southwestern Virginia and with the existing Canons.

Canon 8, Sec. 2 – Amend as follows:

Sec. 2 All accounts having to do with receipts and expenditures of money of all diocesan organizations, including parishes, missions, and other institutions, shall be audited at the close of each year by a certified public accountant, provided, however, that if the amount of income for the year as shown by the account shall be less than three thousand dollars, or if a certified public accountant be not available, the audit may be made by an accountant bookkeeper in no way connected with the subject matter of the account. Notwithstanding the above, accounts of parishes, missions, and other institutions having income for the year of three thousand dollars or more may, in lieu of such audit, either a) with the previous written consent of the Bishop of the diocese acting with the advice and consent of the Standing Committee, be audited by an audit or other appropriate committee of such parish, or mission or other institution or b) be audited by an audit or other appropriate committee of such parish, mission or other institution if such committee: i) is composed of not less than three (3) persons, all of

whom are unrelated; ii) has no members who have the authority to sign checks or otherwise access funds of the diocesan organization; and iii) has no members involved in the counting or deposit of the receipts of the diocesan organization. However, each account subject to this Canon shall be audited by a certified public accountant at least once every three calendar years unless the Bishop of the Diocese, acting with the advice and consent of the Standing Committee, grants written consent to dispense with this requirement.

III. AMENDMENT TO CANONS TO ALLOW THE EXECUTIVE BOARD TO AMEND THE COUNCIL-ADOPTED BUDGET DURING BUDGET YEAR 2013 ONLY.

The Executive Board requested that the Committee propose language temporarily amending the Canons so that the Executive Board would have the authority to revise the Council-adopted budget in order to reflect the new Bishop’s priorities. Currently, the Diocesan Canons permit the Executive Board to “authorize, consolidate, amend or rescind line item expenditures in the annual budgets within categories set by Council.” (Canon 7, Sec. 8.) The Committee determined that the Executive Board’s request can be addressed by providing the Executive Board with the authority, during budget year 2013 only, to reallocate expenses from one budget category to another. The Executive Board, however, will not be able to increase the total amount of the 2013 budget.

After deliberations, the Committee agreed to recommend the following amendment which it believes is consistent with the Constitution of the Diocese of Southwestern Virginia and with the existing Canons.

Canon 7, Sec. 9 – Amend to insert the following new Section 9:

Sec. 9. [In effect for 2013 only] Notwithstanding the provisions of Section 8 of this Canon 7, the Executive Board is empowered to amend and revise the 2013 budget from time to time, including without limitation, by reallocating expenses from one budget category to another, so long as the amount of total expenses is not increased, provided, however, that all such actions be reported to the 2014 annual Council in such detail as Council may require. This Section 9 will be repealed and of no further force and effect at 11:59 p.m. local time on December 31, 2013.

IV. AMENDMENT TO THE CANONS TO PROVIDE THAT THE PRESIDENT OF A CONVOCATION MAY BE REELECTED AND SUCCEED HIMSELF OR HERSELF

The Committee was asked to consider whether to amend the Canon 24, Section 3(a) to provide that the president of a convocation may be reelected and succeed himself or herself.

In reviewing the issue, the Committee recognized that a convocation may desire that its president continue in office and should be allowed to do so.

After deliberations, the Committee agreed to recommend the following amendment which it believes is consistent with the Constitution of the Diocese of Southwestern Virginia and with the existing Canons.

Canon 24, Section 3(a) - Amend as follows:

In each convocation there shall be a president, who shall then serve as a lay member of the executive board from that convocation. The term of office of the president shall begin at the conclusion of the annual Council following his or her election at the fall meeting of the convocation and extend three years. No person who has served as president for a full three-year term shall be eligible for reelection until the fall meeting next succeeding the expiration of such full term The president of a convocation may be

reelected and succeed himself or herself once and may be reelected (and

succeed himself or herself once again) after a hiatus of at least one (1)

year. It shall be the duty of the president within the convocation to assist in the promotion of all the common tasks of the diocese, preside over convocation meetings and perform other such duties as may be assigned by the Bishop or the executive board.

V. AMENDMENT TO THE CANONS TO ALLOCATE EXPENSES UNDER CANON 27

The Committee was asked to consider whether to amend Canon 27 to clarify who is responsible for payment of expenses incurred in a proceeding under Title IV of the Canons of the General Convention.

After deliberations, the Committee agreed to recommend the following amendments which it believes are consistent with the Constitution of the Diocese of Southwestern Virginia and with the existing Canons.

Canon 27, Sec. 11 – Amend as follows:

Sec. 11 Except as expressly provided in Title IV of the Canons of

the General Convention, these Canons, or in any Accord or Order, all

costs, expenses and fees, if any, shall be the obligation of the party, person

or entity incurring them.

(a) The reasonable costs and expenses of the Investigator, the

Church Attorney, the Conference Panel, the Hearing Panel, Disciplinary Board, the Intake Officer, the Investigator, the Church Attorney, the Disciplinary Board Clerk and the Pastoral Response Coordinator shall be the obligation of the Diocese of Southwestern Virginia, subject to budgetary constraints as may be established by the Executive Board.

(b) Nothing in this Canon precludes the voluntary payment of a

Respondent's costs, expenses and fees by any other party or person,

including the Diocese.

VI. CLEAN-UP AMENDMENTS

In reviewing the Canons, the Committee noted several provisions that were adopted as transition provisions in previous years. Because these provisions have expired by their terms, the Committee recommends that they be removed from the Canons.

After deliberations, the Committee agreed to recommend the following amendment which it believes is consistent with the Constitution of the Diocese of Southwestern Virginia and with the existing Canons.

SECTION V: RECOMMENDED INITIATIVES

1. DIOCESAN HUMAN AND PARISH RESOURCE DATABASE

Part V of the Sustainability report recommends the creation of a Human and Parish Resource Database compiling people and parishes willing to offer their assistance as gifts of ministry to congregations in need.

After researching options for developing a Human and Parish Resources database, it is clear that the current Bishop Marmion Resource Center on-line catalog can be modified to store and document “subject matter experts” in the diocese who would be willing to share their talents with local parishes. The catalog is available at www.bmrc-online.org/. Changes to the current database structure to make it “searchable” for diocesan experts will take minimal effort and no additional cost. The Executive Board recommends - and has already implemented - a plan to solicit and make available, on-line, experts who would be willing to be added to the catalog. A letter was sent to clergy and lay leadership on January 4, 2013, requesting resource information.

2. CANON MISSIONERS

Introduction to Canon for Mission Collaboration Position Description

The 93rd Diocesan Council received the Report of the Resolution 8 Sustainability Committee, adopted Sections I and II, and referred Sections III, IV, and V to the Executive Board for implementation. Section V included the recommendation to create two new staff positions, Canon Missioners, to assist congregations, leaders, and the bishop in carrying out the vision and mission of the diocese. This recommendation was referred to the Canon Missioner, Congregational Development, Networking, and Mission Strategies Working Group of the Board for specifics of implementation. The Working

Group has prepared a job description for the recommended positions.

As the Working Group set to work on the job description, two things became clear.

First, we realized that neither the Executive Board nor the Council itself have the authority to tell the bishop what staff the bishop must have. We cannot make our job description part of a resolution for a vote by Council, but only present it to Council as part of Executive Board’s update on its implementation of the Sustainability Report and pass it on as a recommendation to the bishop.

Secondly, as the Working Group met with clericus groups throughout the diocese, we heard repeatedly that it did not seem to make much sense to develop a job description for positions to carry out mission strategy without first developing that mission strategy. Elements of mission strategy had been written by implication into the original Canon Missioner recommendation of the Sustainability Report, but these elements need to be drawn out and organized into a strategy that the whole diocese can support together. Calling for the creation of staff positions at this time therefore seems premature.

For these reasons, the Executive Board has chosen to fulfill its charge from Council to implement this portion of Section V by preparing a job description to be given to the sixth bishop for use at her or his discretion. We intend to include this description in a dossier to be left on the sixth bishop’s desk as she or he begins the new episcopate. As the sixth bishop works with diocesan leaders and members to develop mission strategy, this description may be helpful in selecting staff and setting goals. The job description requires no action from the diocese at this Council.

Furthermore, based on responses from clericus discussions, we have included in this description a change of title for the positions. We found that “Canon Missioner” was too vague, and did not give a clear enough

indication of how these staff persons would fit in the overall vision and mission of the diocese. We have therefore changed the title of the proposed positions to “Canon for Mission Collaboration.” Since collaboration between congregations, clergy, and bishop in bridge-building and networking is central to this vision of diocesan mission, we think designating these staff canons as working for mission collaboration helps to make their purpose and value more clear.

The Executive Board presents this position description to the 94th Diocesan Council in partial fulfillment of our charge to implement Section V of the Sustainability Report, and with anticipation of our growth in mission in the next episcopate.

Canon for Mission CollaborationDiocese of Southwestern Virginia

Position Description and Parameters

Overview

• The addition of two Canons for Mission is recommended: one geographically based in the Abingdon/New River Convocations and one geographically based in the Augusta/Lynchburg Convocations. Along with the Bishop (located centrally in Roanoke), the two Canons for Mission will ensure that every region of the Diocese receives mission support.

• The job description that follows intends to be exhaustive. If the Canons accrue further responsibilities (as has occurred in a number of other dioceses that have adopted similar positions), their ability to fulfill their crucial roles for mission will be compromised. The Canons for Mission should be “firewalled” from additional assignments.

• It is unlikely that any job candidate will emerge who already has all the skills needed to fulfill this job description.

Rather, the Diocese must seek candidates who have the aptitudes and passions necessary to do this work. The Diocese must then commit to train the Canons for Mission to equip them with the skills to fulfill their roles faithfully and successfully.

• The Canons for Mission serve the Bishop of Southwestern Virginia and report directly to the Bishop. The Canons are expected to travel to Roanoke twice monthly for in-person conference with the Bishop.

Position Description

1. Bridge-builder for resources (parish-to-parish, parish-to-Canterbury club, and parish-to-individual resource persons). The Canons for Mission will respond to context-specific parish needs in their respective regions and serve as the bridge-builder (pontifex) between the parish-in-need and the resource-needed. In this regard, the Canons will serve as the managers of the proposed Diocesan Human and Parish Resource Database.

2. Evangelism and stewardship direct consultative services to congregations (training required, perhaps in Russell Crabtree’s Portal and Church Assessment Tool). The Canons for Mission will respond to parish requests for evangelism and stewardship consultation. Such consultation will include an in-depth analysis of the parish’s context so that solutions are tailored to the parish’s specific circumstances. This will require specialized training, in Russell Crabtree’s or another methodology.

3. Conflict mediation in parishes (training required). Canons for Mission

will respond to vestry requests for mediation of intra-parish conflict between rector and laity and in other instances of conflict when requested jointly by rector and vestry.

4. Diocesan transition officer. Each Canon for Mission will serve as the diocesan transition officer for ½ of the Diocese.

5. Safe church training coordinator. Each Canon for Mission will serve as an instructor of safe church training and as coordinator of other instructors in his/her region.

6. Retired clergy ministry team coordinator. Each Canon for Mission will coordinate the retired clergy in his/her region in order to best ensure that supply clergy are available for underserved congregations.

7. Sacramental leadership to congregations in region. The Canons for Mission will provide regular sacramental and homiletic leadership to a sub-set of congregations in their regions. Depending upon the number of congregations in need, the Canons could serve a cluster of up to four parishes, preaching and celebrating at each of the four, twice per month. The Canons will also be on-call for deaths and funerals at these parishes. Regular pastoral care and parish administration in yoked parishes will not be the responsibility of the Canons for Mission. These functions will be the responsibility of lay leaders. (**With regard to numbers 1-7 in this job description, no preference will be given by the Canons for Mission to the yoked congregations they serve sacramentally.)

Compensation

An appropriate gauge for the Canon for Mission compensation package is the national median salary for associate clergy. According to the 2011 Church Compensation Report published by the Church Pension Group, that salary is $60,000. A total compensation package would be:

Potential Funding Sources

The Resolution 8 Sustainability Report identified $89,584 in potential funding. (See pages 28-29.) Further restructuring of Evans House staff could provide additional funding for the Canons for Mission.

Additionally, those yoked parishes served sacramentally by the Canons for Mission would be expected to contribute to the Canons’ compensation, and we recommend that such parishes be required to contract with the Diocese. Tentatively, we assume that each Canon for Mission will be yoked to four parishes as regular sacramental leader and that the Canon will preside and preach at each yoked parish twice monthly (two parishes per Sunday). Additionally, the Canon will be on-call for

deaths and funerals. We recommend that the contract rate for each yoked congregation be $6,000 annually. (That figure is comprised of $150 for each Sunday service plus $200 per month as an on-call death and funeral retainer.) If each of the two Canons for Mission is yoked to four congregations, this will provide a total of $48,000 annually. (Obviously, some parishes have a greater ability to pay than others. This paragraph intends to offer a roadmap and may need to be adjusted as circumstances warrant.)

Finally, we hope that a parish in the Abingdon/New River Convocations and a parish in the Augusta Convocation can and will provide rent-free housing in a vacant rectory or vicarage. This would decrease the salary and housing expense by up to one third. (It would not be expected that parishes providing a house would cover utilities or maintenance. The Canons would pay for utilities from their salary, the Diocese would cover home maintenance as long as the Canon lives in the house.)

We also hope that parishes in the Abingdon/New River Convocations and Augusta/Lynchburg Convocations will provide office space for the Canons for Mission. (Ideally, this office space would be in parishes other than those to which the Canons are yoked sacramentally, so as to prevent the Canons from becoming de facto administrators and pastoral caregivers at their yoked parishes.)

SECTION IV: THE PRESENT DIOCESAN BUDGET

DIOCESAN BUDGET

Recommended for Removal from Operating BudgetPart IV of the Sustainability report developed recommended criteria for the Executive Board and Diocesan Council to utilize in making future budget decisions. Using our vision and guiding principles as a guide, we can ask:

• Can this ministry best be done at the diocesan level or best be done at a parish or convocational level?

• Are these services best provided at a diocesan level or best provided at a parish or convocational level?

• Does this ministry challenge and support Christian growth and global responsibility in our parishes?

Considering our vision and guiding principles, the Executive Board makes several recommendations related to the present diocesan budget. Recommendations for the 2013 diocesan budget are made in light of the budget research that occurred in the Resolution 8 Sustainability Committee’s process.

The Executive Board recommends the following actions:

Ecumenical Committee This line item primarily represents required dues and travel to ecumenical meetings. The Board recommends reducing the funding for the Ecumenical Committee to meet the $240 payment for participation in The Episcopal Church’s ecumenical network.

Virginia Council of Churches This line item primarily represents a voluntary donation to this organization. The Board recommends reducing the payment to the Virginia Council of Churches to $250.

Fresh Start This line item refers to the work of the Fresh Start group. The Board recommends that this unfunded line item be removed from the budget.

River Adventure Program This line item assists in funding canoeing experiences for youth and adults, thus reducing costs for participants. The Board believes that support for this estimable ministry is

more appropriate at the parish and convocation levels and recommends that this line item be removed from the budget.

Prison Chaplaincy This line item refers to financial support given to Chaplain Service Prison Ministry of Virginia, Inc., an organization whose goal is to have a full-time chaplain serving each of Virginia's thirty major adult state prisons and three state juvenile correctional centers. The Board recommends removing this line item from the budget in the belief that support for this important ministry is more appropriate at the parish and convocation level.

Small Church Ministry This line item refers to the work of the Small(er) Church Ministries Committee. The Board recommends that this unfunded line item be removed from the budget.

Parish Nurses This line item refers to funding for continuing education for the diocesan Liaison for Health Ministries as well as the purchase of books for parish use. The Board recommends that this line item be removed from the budget, believing that support for the worthwhile ministry is more appropriate at the parish and convocation level. The Board further recommends that resources on this topic may be made available through the BMRC.

SECTION III: FINANCIAL SUSTAINABILITY

DIOCESAN FINANCES

In the Sustainability Report, one of the recommendations was to consider alterations

to the current Diocesan Voluntary Proportionate Giving formula as set forth by the Canons. In the parish surveys conducted at that time, numerous parishes admitted to feeling burdened by their VPG or failed to see the value received for it. During the summer, members of the Executive Board met with clergy from several parishes across the Diocese to discuss possible alternatives to the current VPG system, as well as reasons why parishes were unable to meet their “asking”. This portion of the report presents the recommendations for modifying the VPG system that grew out of the analysis of VPG and those conversations.

These were further analyzed with the conviction that church assets ought actively to be utilized in

Unrestricted Funds

The Diocese holds over $6 million in a combination of investment vehicles and bank accounts. A portion of those funds’ use is restricted by the terms of the original gift. A larger portion are either unrestricted or temporarily restricted, meaning the use of the gifts is either not designated or its current designation can be changed. The Executive Board examined only how the annual income from these funds might be redesignated and does not advocate using the principle for funding operational activities of the Diocese.

A) One lay and one clergy member to the Standing Committee, each to serve for a term of three (3) years;

B) Two lay and two clergy (one of whom has, by tradition, been the Bishop) delegates, and two lay and two clergy alternate delegates to the Provincial Synod;

C) One lay and one clergy member to the Disciplinary Board, each for a term of three (3) years;

Whereas each of the five (5) Convocations may submit a nominee for each of the positions; and,

Whereas it has in the past proved unduly cumbersome to elect such persons by majority vote, as the election procedures have only allowed the elimination of that person receiving the lowest number of votes per ballot; and

Whereas in order to expedite the balloting procedures, the Council has expressed its wish to reduce the number of ballots for election to such positions to not more than three (3); Now therefore be it

Whereas there will be held, in accordance with Article 2 of the Constitution of the Diocese of Southwestern Virginia, on March 9, 2012, at 10:00 a.m. at St. John's Episcopal Church, Roanoke, a Special Council to Elect the Sixth Bishop of the Diocese of Southwestern Virginia; and

Whereas under the procedures adopted by the Standing Committee the Lay Delegates and Alternates to such Special Council will be those who have been duly elected as lay delegates and alternates to the 94th Annual Council of the Diocese; and

Whereas the Clerical membership of such Special Council will be those who at such date are canonically resident in the Diocese and who are not under ecclesiastical censure; and

Council (or Alternates acting in the place of a duly elected Lay Delegate); and (iii) those other persons granted the right to vote under the Canons of this Diocese; may cast a ballot, make any motion or raise any point of order. No absentee ballots are in order.

RULE II

Other persons may be authorized all privileges of Council, except vote, as set forth in Diocesan Canon.

RULE III

The President of the Council is the Diocesan Bishop. In the event the Bishop is absent or unable to preside, the President of the Standing Committee shall preside until Council elects a Clerical Member as President pursuant to Article 9 of the Constitution of the Diocese of Southwestern Virginia.

RULE IV

The Presiding Officer calls the Council to order. The President appoints a Chief Teller and one or more Assistant Tellers responsible for the balloting and the tabulation of votes. The then serving Secretary of the Council and the Chancellor of the Diocese serve in their respective offices.

RULE V

The Secretary determines and announces that a constitutional quorum in both orders is present.

RULE VI

The Committee on Elections and Credentials reports its findings and determinations to the Special Council.

Rule VII

The Standing Committee places in nomination the names of all persons whose names were submitted by the Search and Nominating Committee as set forth in its report, and the names of any Petition Nominees that have previously been certified by the Standing Committee.

Rule VIII

No nominations from the floor are in order.

Rule IX

No nominating speeches will be allowed. Candidates shall be placed in nomination by name only.p

Rule XI

The Secretary calls for a ballot by orders. The President of the Council shall clearly identify which ballot is being cast. The Chief Teller instructs the Convention how ballots are cast and collected. The President shall officially close the balloting after the tellers have collected the ballots and left the floor of Council. No votes will then be accepted until the next ballot is cast.

Rule XII

A delegate may cast only one vote during each balloting. Alternate

delegates may cast ballots only after

being officially certified as a

replacement delegate.

Rule XIII

Ballots will be cast by orders. The lay

delegates will use one color of ballot

and the clergy another.

Rule XIV

Balloting shall be on machine

readable/optical mark recognition

ballots. Each ballot shall contain

numbered entries which shall

correspond to the names of the

candidates. A delegate shall vote for a

candidate by marking the appropriate

space on the ballot that corresponds

to that candidate’s name. If more than

one space is marked on a ballot, or a

ballot is otherwise improperly

completed, it shall be invalidated.

Rule XV

The Chief Teller reports the results of

each round of balloting to the

President, who announces the results.

Rule XVI

There shall be successive ballots until

the Bishop is elected. The time

permitted between ballots, as well as

the nature of activity between ballots,

shall be determined by the President

of the Council.

Rule XVII

A nominee may withdraw his or her

name at any time by communicating

this decision to the President of the

Council by means of oral

communication with a signed letter of

withdrawal to follow by telecopy or

other electronic means prior to the

next ballot; provided that if the

President is satisfied as to the

legitimacy of the withdrawal, the

President may post-pone or dispense

with the requirement of the

withdrawal letter.

Rule XVIII

At the request of the President of the

council, members of the Search and

Nominating Committee and members

of the Standing Committee shall be

admitted to the floor of Council to

respond to questions.

Rule XIX

The President declares an

election when a nominee has

received the requisite majority of the

ballots cast in each order on the

same ballot.

RULE XX

When there is an election, the

Standing Committee notifies the

Bishop-elect and the other nominees

of the results of the election.

RULE XXII

Immediately following the election,

the Secretary shall provide Council

with the canonical Testimonial of

election. The President shall direct

that Council remain in session until a

majority in each order of those

eligible to vote has signed the

canonical Testimonial as required by

Canon III.11.4(a) of the Canons of

The Episcopal Church.

5. Promptly following the Special Council, the Standing Committee shall examine to its satisfaction the following documents with respect to the Bishop-elect:

(a) Evidence that the Bishop-elect was, prior to election, duly ordered Deacon and Priest at this Church and confirmation he or she is at least 30 years of age;

(b) Evidence that he or she has accepted the election to be Bishop of the Diocese of Southwestern Virginia

Certificates (using forms and procedures devised by the Presiding Bishop and the Church Pension Fund) from a licensed medical doctor and a licensed psychiatrist, both having been appointed by the Ecclesiastical Authority with the approval of the Presiding Bishop, attesting that such persons have thoroughly examined the Bishop-elect as to his or her medical, psychological and psychiatric condition and have discovered no reason why the Bishop-elect would not be fit to undertake the work for which he or she has been chosen.
