Indian Corporate LawServices Academy

The Indian Corporate Law Services

Academy (ICLS Academy) is responsible

for capacity building of the ICLS officers

and officials of the Ministry of Corporate

Affairs and its field offices. Following are

the key functions of ICLS Academy:

1. To impart Induction Training to ICLS

Probationary Officers (POs), who

are recruited through Civil Services

Examination conducted by UPSC. 2. To impart Mid-Career/Mandatory

Training to the ICLS officers of the

Ministry of Corporate Affairs

focusing mainly on corporate law,

accounts, audit and other relevant

laws. 3. To impart Mandatory Training to

Senior Technical Assistants (STAs),

of the Ministry of Corporate Affairs

who are in the feeder cadre of ICLS,

as per the amended Recruitment

Rules applicable to them.

4. To impart training to the officers and

officials posted at office of Official

Liquidators across the country as

per the orders/directions of the

respective High Courts. 5. Any other training programme as

suggested by the Ministry of

Corporate Affairs.

School of Competition Law andMarket Regulations

The School of Competition Law & Market Regulations has been established with the core

objective of meeting the capacity building needs in the area of competition law and market

regulations. As part of the objective and profile of the School, continuous research is

conducted on substantive areas of evolving competition law and policy and the impact of

regulation on competitive market structure in various sectors. The School seeks to assist

in the evolution of competition jurisprudence in India through its research outputs and

c a p a c i t y b u i l d i n g s o l u t i o n s . T h e S c h o o l c o n d u c t s s h o r t & l o n g t e r m

courses (less than three month/three months and above respectively) for training various

stakeholders such as officials of Ministries, Government departments, Regulatory Authorities,

public and private sector enterprises, students and other practitioners of competition law.

Some of the courses are designed to cater to the specific need of the stakeholder.

Certificate Course in Competition Law

The Second batch of certificate course in thCompetition Law, launched on 9 May,

2015 was completed after 3 months of online sessions by having three-days in-

th th stperson classes on 29 , 30 and 31 July, 2015. The Chief Guest for the valedictory ceremony was Hon'ble Justice Mr. G.S. Singhvi, Chairperson, Competit ion Appellate Tribunal.The objective of the certificate course in Compet i t ion Law was to increase awareness that the appl icat ion of competition law in India leads to improving the well being of consumers as well as contributes to economic growth. It aimed at achieving a competition compliant regime for the targeted p a r t i c i p a n t s / s t a k e h o l d e r s f r o m Government Regulatory bodies, PSU's, private companies, law firms and individual advocates and students of law and economics.

A total of 42 participants representing Government departments, public sector enterprises, private sector companies, lawyers and students were enrolled in the course and were made to understand that emphasis should be put on the fact that competition increases the number of innovation incentives, their effectiveness and improves their competitiveness. This would be achieved by limiting the cases of signing prohibited agreements and other forms of anti-competitive conduct. Consumers, individuals and students benefitted by learning that as a result of competition they would be able to choose among a wider range of goods and services of higher quality at lower prices. The participants were from various backgrounds such as power, petroleum sector, Niti Ayog, law firms, practising lawyers, coal sector, India Revenue Service, banking industry, tyre industry and law students.

JOINT LL.M. PROGRAMME IN

COMPETITION LAW AND MARKET

REGULATIONS

National Law University Delhi

(NLUD)-IICA joint LL.M. programme on

Competition Law & Market Regulations

was the first LL.M. degree programme in

Competition Law in India. The Programme

commenced from August, 2015 and in-

person classes continued until March,

2016. The dissertations (thesis) were

submitted to mark completion of the first

joint LL.M. in July, 2016. The objective of

this programme was to develop critical

thinkers in competition law and market

regulations. The pedagogy was based on a

mix of teaching and research methods

aimed at strengthening theoretical

understanding and creative thinking in

participants.

The classes were conducted by

IICA's own faculty members consisting of

Dr. Navneet Sharma, Dr. V.K. Singh and

Dr. Ravikant Bhardwaj along with senior

competition law specialists, heading and

partnering in Tier-1 law firms, such as

Mr. Manas Kumar Chaudhuri from Khaitan

& Co., and eminent faculty members from

NLUD, former members of CCI like

FOR INDIAN OIL CORPORATION LIMITED

The sessions covered evolution of jurisprudence of competition law focusing on the Coal sector, horizontal and vertical agreements, abuse of dominance, a detailed study of procurement process, the Procurement Bill and violations, the recent Coal India order with CCI, understanding jur isd ict iona l issues and ef fect ive competition compliance. The session ended with distribution of certificates to all the participants.

The one day customised training program for Coal India Limited (CIL) held on

th11 January, 2016, was compliance based training for senior employees of CIL with major focus on procurement process.

ONE DAY ADVANCED COURSE ON BUSINESSAGREEMENTS AND E-COMMERCE

The one day Advanced Course on Business Agreements and E-Commerce held

thon 27 November, 2015 was driven by the necessity that without any jurisprudential influence and despite its nascence was facing issues which were covered through sessions tailor made covering exclusive agreements with certain enterprises, innovation and competition issues in horizontal and vertical agreements, market power of the industry and abuse of dominance, predatory pricing i s s u e s a n d r e p e r c u s s i o n s , p r i c e transparency, networking effects and effective competition compliance.

T h e t r a i n i n g f o r I n d i a n O i l Corporation Limited (IOCL) on Competition Law for Senior Executives was held for three

th th thdays on 26 , 27 and 28 October, 2015 at IIPM, Gurgaon, centered around creating a compliance programme completely equipping the participants with the nitty-gritties of the law and its impact on their business interactions and competition.

The training was inaugurated byMr. Raju Ranganathan, Executive Director & Company Secretary, IOCL. The sessions covered jurisprudence of Competition Law including policy framework governing oil marketing sector, horizontal and vertical agreements, abuse of dominance, detailed study of procurement process, the P r o c u r e m e n t B i l l a n d v i o l a t i o n s , understanding jurisdictional issues, application of single economic entity and effective competition compliance.

HALF DAY ROUNDTABLE ON INTELLECTUAL

PROPERTY RIGHTS AND COMPETITION LAW,

IICA-US DEPARTMENT OF JUSTICE

The IICA-Federal Trade Commission th

(FTC) Roundtable on IPRs took place on 19 November, 2015 at India Habitat Centre with knowledge partners, PLR Chambers. In the presence of the distinguished speakers, Mr. M. Brinkley Tappan, International Counsel in the Foreign Commerce section at US Department of Justice and Mr. John E. Dubiansky, Attorney Advisor in Federal Trade Commission's Office of Policy Planning, the roundtable focused on competition law practitioners working as in-house counsel, with law firms or individual practitioners.

The session covered analysis of policy objectives of patents, innovation incentives, right to exclude under patent principles and static versus dynamic efficiencies. It further addressed the US antitrust agencies approach to matters involving patents, including a discussion of the complementary nature of intellectual property and competition laws.

India (CITD)�. The overall objective of the CITD is to support India in strengthening its capacity to achieve economic growth and sustainable development and ultimately poverty reduction, through further integration into the global trading system by increasing the safety and quality of products by reducing costs and impediments to trade and promoting fair competition.

CAPACITY BUILDING INITIATIVE FOR TRADE

DEVELOPMENT IN INDIA

A) CITD Programme (Advanced Session on Cartels)

The CITD Programme on Cartels

instructed by Mr. Kirti Kumar Mehta took place s t n d

on 1 and 2 March, 2016 at CCI in

collaboration with Administrative Staff College

of India (ASCI) for IICA and CCI staff. The CITD

programme is a capacity building programme

supported by the European Union and aims to

build capacity of IICA and CCI in competition

law area. The sessions on both days covered

cartel conduct, its detection, investigation and

prosecution, introduction to the prosecution of

hardcore cartel infringement and the steps in

proving the infringement. The sessions

answered important questions like why hard

core cartel offense needs to be specifically

defined and the criteria for individual and

collective liabilities. Hard core cartels were

differentiated from joint-selling agreements,

joint ventures and conscious parallelism. It was

important to understand inference of collusion

from economic evidence and information

The project is part of the broader European Union-India programme �Capacity Building Initiative for Trade Development in

exchanges. There was a deta i led understanding of the role of trade associations and policy issues related to sanctions for infringements of competition law and liability for private damages.

The CITD Programme on Merger Control instructed by Prof. Alberto Heimler

th thtook place on 25 and 26 February, 2016 at IICA on Day 1 and CCI at day 2 in collaboration with Administrative Staff College of India (ASCI) for IICA and CCI Staff. The sessions incorporated legal and economic concepts of merger detailing structural changes for growth, innovation, rationalisation, internationalisation of market for corporate control, legal definition of a merger and the notion of control, mandatory pre-notification, no t i fiab le even ts and fi l i ng f ees . Prof. Alberto Heimler of SNA explained the typology of merger transactions and their usefulness expounding individually, horizontal, vertical, conglomerate, full functioning joint ventures, financial investment vehicles and asset acquisition. The sessions covered prohibitions of cartels, the burden of proof, experience of India and of the European Union, peculiarity of bid rigging, cases of bid rigging and the OECD guidelines against bid rigging.

The sessions also covered the importance of public procurement as an economic activity and how it accounts for a substantial share of the total expenditure of the Union Government.

The CITD Programme for Micro Small and Medium Enterprises (MSMEs) and Consumer Associations took place on

st nd 21 and 22 September, 2015 at IICA in collaboration with Administrative Staff College of India (ASCI). The main objective of the programme was to build the capacity of MSMEs in the areas of Competition Law and Policy relevant to their needs, to enhance awareness of MSME's right to s e e k l e g a l r e m e d i e s a n d e n s u r e compliance to the Competition Act and to assess the implications of the Competition Law for consumers.

The sessions spread over two days cove red Ind ia ' s Compet i t i on Ac t highlighting abuse of dominance, anti-competitive agreements, regulation of combinations, implications and relevance of competition law for MSMEs, treatment of MSMEs under Competition Law in other jurisdictions and Competition Law and protection of consumer interest.

IICA hosted a public lecture on �Competition & Technology Markets� by distinguished expert on Competition Law,

thDr. R. Shyam Khemani, on 24 April, 2015 at IILM Campus, Lodhi Road, New Delhi. Dr. R. Shyam Khemani, Special Advisor, Competition Policy with SKP Group, dealt with how the underlying paradigm for conducting competition analysis in a given market has evolved over the past decades from initial structure-conduct-performance paradigm to focusing more on 'business conduct' rather than 'market structure' to directly measuring 'effects' in competition assessments.

The session went on to discuss Neo-Classical vs Schumpeterian concepts of competition, possibility of defining relevant market in rapidly evolving technology markets and if firm size matters. The session covered cases relating to search engines and operating systems, two-sided markets and information search markets. Some of the cases discussed were various proceedings initiated against Google in USA, EU and India, the Microsoft Case and the Jet-Etihad merger.

Make in India is a major national initiative of the Government of India to facilitate investment, foster innovation, enhance skil l development, protect intellectual property and build best-in-class manufacturing infrastructure. IICA along with institutions under the Ministry of Corporate Affairs, rendered assistance for successful �Ministry of Corporate Affairs� pavilion at the Make in India Week in

th thMumbai during 13 -18 February, 2016.The initiative provided a platform at

Mumbai to showcase, connect and collaborate with Indian manufacturer, investor and healthy competition between states. The programme was designed to provide investment enabling environment to foreign and domestic investors, for start ups and SMEs to scale up their operations and promoting Industry.

The Faculty Development Programme (FDP) which was part of the CITD Programme

th th thtook place on 9 , 10 & 11 December, 2015 at IICA conducted by the National Law School India

Un ive rs i t y (NLS IU ) and Scuo la Nazionale dell'Amministrazione (SNA), Italy. One of the primary objectives of the CITD Programme was to build the capacity of faculties in the area of Competition Law and Economics. Prof. TS Somashekhar from NLSIU, Banga lo re , spearheaded the programme and in t roduced the V ice Chancellor, Prof. (Dr.) R. Venkata Rao. Prof. (Dr.) Rao inaugurated the FDP that marked the beginning of the three days arduous training at IICA. Shri Dhanendra Kumar, Principal Adviser, IICA was a special guest at the session.

The sessions discussed in depth, the a n a l y s i s o f h a r d c o r e c a r t e l s , t h e i r criminalisation and leniency programmes, evidence gathering and detection of collusive practices, and effective implementation of leniency programmes and plea bargains along with prominent examples from various jurisdictions.

Understanding and assessing relevant market to determine abuse of dominance brought in important factors relating to co-relation between market share and market power and assessment of power which could be based on demand elasticity for a firm's product or service. Cases relating to excessive pricing, refusal to deal and fidelity rebates were discussed in the context of US, EU and Indian jurisdictions. The School conducted the two-days 'Focussed Training Programme for Public Sector Undertakings (PSU's) Directors and Senior Officials', from 30th September to 1st October, 2015 at New Delhi. The programme was organised in collaboration with the International Finance Corporation (IFC) of the World Bank. The programme was intensive, where participants discussed real life strategic issues faced by them at the helm. A total of eight sessions covered the most pertinent areas under Corporate Governance such as Board Strategy Formulation, Director's Duties and Liabilities under the Companies Act, 2013, Stakeholder Management and Corporate Social Responsibility (CSR). The School conducted a training programme for 20 Senior officials of the Ministry of Corporate Affairs on th th“Understanding Financial Statements” from 28 to 29 October, 2015 at IICA campus, Manesar. The objective of the

programme was to facilitate participants in learning the art and science of analyzing the financial statements to

understand performance from various perspectives, interpret current operations and forecast future performance to

enable informed financial decision-making. The sessions were highly interactive and various case studies were

discussed to develop the analytical skills of participants. The programme content and coordination was greatly thappreciated by the participants. Based on the feedback, a similar programme was conducted in Shillong from 26 to

Workshop on Challenges related to Scrutiny of Balance Sheet and Profit & Loss AccountA 2 days residential workshop was conducted for the Ministry of Corporate Affairs officials by the School of

Finance in Bengaluru to facilitate experience sharing by ICLS officers having exposure to scrutiny of Balance Sheet

The School provides for policy insights into Government legislations on the edifice of current epoch of rapid economic expansion and strategic knowledge dissemination in corporate law. The School has organised various consultations, discussions, corporate training programmes and workshops for various stakeholders such as judicial officers, officials of the Min ist r ies, Regulatory Author i t ies, Government departments, public and private sector enterprises. As a Capacity Building think-tank, the School

released a White Paper on Direct Selling Industry in

India. PLR Chambers supported the School in this

study. The study suggested urgent need for drafting

clear definition of direct selling so that law

enforcement agencies could easily differentiate

between legitimate direct selling activities and the

The workshop mainly focused on guiding about orientation of incubation managers as young incubates are young minds filled with passion and technology know but lack skills on business planning and fund raising, go to market ability, compliance and regulatory norms and business sustainability.

Institutional Partnerships and Corporate Communications are cross-cutting services across and within the IICA verticals. The Centre for Institutional Partnerships and Corporate Communications facilitates collaboration and communication for all Schools and Centres and also serves as an external interface of the inst i tut ion. Engagement with external institutions for focused thematic projects, building up of strategic partnerships, creating national and international platforms for exchange of experience and ideas, stimulating dialogue, event planning; notification and Institute of Chartered Accountant of India promotion, communications regarding opportunities and dissemination of information are the major activities of the Centre.

The Centre's activities include forging of Institutional Partnerships - both national and international and collaboration with partners for exchange of knowledge and information, joint research, development and execution of tra in ing programmes, seminars and conferences. During the year 2015 -16, IICA entered into three MoUs with Institute of Rural Management, Anand, Bombay Chamber of Commerce & Industry and for conducting trainings and carrying out research in the field of CSR, Corporate Governance.

The Centre produced updated version of CSR Ready Reckoner, a hand book on comprehensive guidelines of CSR and compilation, editing & designing of Annual Report. One of the major responsibilities of the Centre is the projection of the IICA brand through constant updating and maintenance of IICA website and documentation and preservation of IICA history in print and audio/visual formats.

Corporate Data Management ProjectThe Centre initiated and finalized a project agreement between the Ministry of Corporate Affairs, Government of India and Indian Institute of Corporate Affairs to implement the new Plan Scheme "Corporate Data Management".

Corporate Affairs had to organise a total of 22 training programmes for imparting training in the field of finance, laws, data analytics, governance, statistics, accounts, CSR, Companies Act and Regulations. IICA collaborated with premier institutes like Indian Institute of Management (IIM), Indian Statistical Institute (ISI), Indian Institute of Foreign Trade ( I IFT ) , Nat iona l Ins t i tu te o f F inanc ia l Management (NIFM), FORE School of Management and various industry and legal experts for providing insight view on the specified domain areas. During the year, 10 training programmes were organised, where 145 Ministry of Corporate Affairs officers were trained on issues related to understanding Financial Statements, Best Practices in Corporate Governance, SEBI and Companies Act, 2013, Management Development Programme on Business Analysis in a Big Data World and Certificate Programme on Big Data & Data analytics, Financial Statements and Profit and Loss Account, Primer on Securities Markets, Mapping of Company Accounts to National Accounts and XBRL Implementation in MCA 21.

Access to information both specific and general, across discipl ines and geographical borders plays a very critical role in supporting the academic programmes of any educational institute, leading to the role of libraries as Knowledge Resource Centres. A library identifies, evaluates, procures, process knowledge resources and then makes the learning/knowledge available to the faculty and students for their teaching, learning and reseasrch assignments.

The Knowledge Resource Centre (KRC), has been primarily designed to meet the requirements of the academic and training programmes of the Schools and Centres. It has a collection of more than 5500 volumes of books and other publications. These publications include training material & modules, annual reports, regulatory acts,

informative articles and technical write-ups, among others. The KRC is designed to subscribe to and subsequently provide access to online full text journals. Classified under the DDC 23 method, the resources of the KRC are acquired on demand and on expert approval, thereby ensuring both the quality of publications and its relevance to the subject.

The resources are available in digital format listing to ensure ease of access and classification. For the smooth functioning, KRC has an operational manual containing all rules, regulations and procedures. The manual identifies all crucial functional modules and delineates a clear policy on the modality of the activities of the library such as collection, development, provision of information services, management of other academic support facilities etc.

A field visit to National Institute of Solar Energy (NISE), Gurgaon was

CSR Portal Vertical

Section 135 of the new Companies Act, 2013 mandates that qualifying companies need to spend a minimum 2% of their average “Profit Before Tax” (PBT) of the past three years as Corporate Social Responsibility (CSR). With CSR mandate, it has become necessary for the corporate sector to understand the development sector and also for the NGOs/Implementing organisations to understand nuances of the Section 135 of the Companies Act, 2013. This had thrown up lot of opportunities for IICA, which is mandated to act as a think tank for the Ministry of Corporate Affairs on Corporate Social Responsibility and other relevant matters. This has resulted in creation of CSR Data Analytics Portal Vertical in National Foundation for CSR (NFCSR) in IICA.

India being the first country to bring CSR through the legislative route, there was a need to create not just a database of companies coming under ambit of Section 135 but also a metadata of CSR implementing organisations, CSR policies, CSR spends, best practices on CSR, consulting firms, research organisations, frequently asked questions etc. This portal has various features like Geo-tagged database of companies falling under CSR domain, their CSR policy and plans, geographical spread of CSR activities, CSR spend analysis both sectoral and over a geographical area etc. Analysis of this metadata may be u t i l i sed by var ious stakeholders like Ministries, media, corporates, NGOs, other service providers, consultants, individuals etc. for knowing about CSR opportunities, in accessing and disseminating information about new CSR rules and discuss its implementation related issues, to find out details of CSR activities in India etc.

There is dearth of countrywide and sector wise data on CSR in India. At the same time, IICA was uniquely positioned to quickly scan the CSR landscape and create a credible database on its own. Sensing the opportunity, the vertical created a comprehensive data base of all companies who have done their CSR activities in financial year 2014-15 out of the data available in public domain through Director's Report of the Companies.

At present there is a lack of recognition of NGOs as drivers of CSR which concerns about their legitimacy in relation to CSR, difficulties in the mutual understanding between NGOs and corporates and a lack of self-confidence among NGOs as important players in CSR. The role of NGOs is often regarded as controversial and their integrity is contested. This deep-seated misunderstandings and mistrust among different stakeholder groups (particularly between NGOs and corporates) can be a possible impediment for concrete CSR initiatives. It has to be acknowledged that over the years, a fairly large trust deficit has developed between NGOs and corporates. NGOs, particularly small and medium sized NGOs, frequently paint corporations as solely profit� maximising entities with little care for stakeholders or the environmental impact. Corporations, for their part find it difficult at times to place their faith in NGOs. Their hesitation relates largely to issues of ethics and implementation capabilities.

Highlights of the work in this domain is-

The Global Summit on Corporate Social Responsibility 2015 was organised by Indian Institute of Corporate Affairs, Indian Institute of Management, Raipur and National Law School of

th thIndia University, Bangalore on 15 and 16 May, 2015 at India International Centre, New Delhi. This event experienced a huge participation from India and abroad. The Global Summit had an inaugural, a valedictory, four plenary sessions and eight technical sessions. The call for paper was given in the month of December 2014 and around 250 papers were received. Out of this, 110 papers were shortlisted and presented at the Summit. Around 35 speakers, 110 paper presenters, around 25 NGOs and 50 Corporates attended this event. Mr. Prahlad Kakar, Dr. Ashish Kumar Chauhan, Padma Bhushan Bindeshwar Pathak, Ms. Rebecca Tava res , Mr. Lou is Georges A rsenau l t ,Dr. S. K. Nanda and Mr. Michiel Berkins were few of the luminaries out of the huge galaxy of the star speakers who graced the occasion by their presence.

Synergistic partnership between corporations, NGOs and the Government should also allow for greater transparency in the operations of all three agencies. Government data can help guide CSR agendas into needful areas. Corporations have experience making sure the projects are streamlined and cost� conservative and NGOs have experience and knowledge of marginalised and underserved areas of society as well as experience in operational transparency (some NGOs, in fact, directly target transparency as a goal). As such, if a symbiotic relationship can develop between corporations, NGOs and the Government, socially responsible programmes have a measurable impact faster and more efficiently than if there is less transparency and no trust. The present challenge is therefore to bring all the implementing agencies (IAs) under one umbrella and create a one stop-shop for good and reliable NGOs/IAs for corporate India. To facilitate corporates connect with good quality and well established Implementing agencies, IICA has set up a CSR Implementing Agency (IA) Hub. This would seek to meet the urgent requirement by corporates who would look out for trustworthy and reliable implementing agencies.

LEARNING AND DEVELOPMENT Learning and Development (L&D) NFCSR in association with partner organisations of national repute and resource experts works towards knowledge dissemination and learning enhancement on Corporate Social Responsibility (CSR) in accordance with Section 135 of Companies Act, 2013 and rules made there under. The Ministry of Corporate Affairs makes update and changes in the regulations relating to CSR based on the need and feedback. It, therefore, raises a need for CSR professionals to be kept abreast to help corporates and Implementing Agencies to undertake CSR activities in compliance to these changes by the Ministry of Corporate Affairs

The Vertical has been dedicated towards upgrading the CSR knowledge base and disseminating the same through training programmes, advisory services, advocacy and knowledge products. There are two category of training programmes provided at IICA to cater to the growing needs of the CSR stakeholders:

1) The IICA Certificate Programme (ICP) is a 9 month online training programme covering all aspects of CSR and Sustainability – from global to Indian; theory, and practice. The programme includes an innovative 3 weeks corporate attachment & 12 weeks NGO project to give students hands on learning of CSR policy, strategy and implementation as per the new CSR legislation. The course is delivered through study centers of national repute from around the country and a number of contact classes are held along with online tests under the supervision of IICA certified trainers.

2) The Short Term Programme (STP) in CSR, of 2 to 5 days contact classes, is tailor made capacity building programme that provides customised development-centric knowledge that enables individuals and organisations create socio-economic value in the non-profit, public and private sectors.

The Vertical develops national academic content through in-house authors in collaboration with development sector experts. This content is regularly upgraded and made contemporary to reflect the ever evolving CSR narrative in the country as per Section 135 of the Companies Act, 2013. It is divided into 23 Chapters which comprises of global perspectives, definitions and case studies as well as the Indian agenda CSR under the new Act. CSR compendiums are also developed through stakeholder consultations on key sectors like education, health and skill development. These CSR c h a p t e r s / k n o w l e d g e p r o d u c t s / compendiums act as curriculum and reference material for both ICP and STP in CSR.

During the three days corporate houses and NGOs put up stalls and interviewed the participants for on campus placements. 170 candidates were awarded the cert ificate of I ICA Cert ified CSR Professional. In the subsequent months some of the candidates also secured placement in organisations like Avantha

Foundation and CARE International. The second batch of ICP in CSR was launched

ston 1 February, 2016, with 130 candidates. Officials from top companies like ONGC, NTPC, Tata Capital, Titan, BHEL, IOCL, BEL, Mahindra etc. have been nominated for ICP in CSR course and there is growing demand of the same in the CSR capacity building market.

Executive Education - Short Term Programme (STP) in CSR, CSR Advisory & Eco-system tools: delivered through a Project Management Unit (PMU)

I ICA – STP in CSR is designed for professionals from different fields who can benefit from IICA's expertise in CSR. IICA works with various partner organisations to del iver the STP in CSR to prov ide c u s t o m i s e d d e v e l o p m e n t - c e n t r i c knowledge that would enable individuals and organisations create socio-economic value in the non-profit, public and private sectors. IICA - STP in CSR aims to enable learners to integrate CSR good practices into key business and socio- economic development areas through case studies, interactive discussions and analytical presentations. The programme also provides a greater understanding of how to mitigate negative impacts of business activities on the

environment and to identify opportunities that could simultaneously benefit the society and the organisation. The programme is designed to provide an insight of the key focus areas of CSR process flow, policy, strategy, implementation, monitoring, evaluation, accounting, audit, taxation and reporting as required by the new legislation. The programme is available for different seniority levels and at various locations across India. People enrolling into the programme are likely to emerge as game changers, imbued with the passion and ability to significantly contribute towards nation building.A Project Management Unit (PMU) was also set up under STP in CSR that is supported by IL&FS Academy for Applied Development (IAAD) with a dedicated team. The PMU focuses on action research, training need assessment, design and development of new and innovative capacity building programmes, content development, case study writing and the conduct of STP in CSR on a revenue sharing model with IAAD. It also supports ICP in CSR as a knowledge partner.

A number of STP in CSR were conducted during the year where about 150 officers from Corporates were trained. The participants were provided a 360 degree perspective of Indian CSR as per the new legislation – both theory and practice. The prominent ones amongst them were: Leadership Programme in CSR, New Delhi

rd thheld from 3 to 5 June, 2015 in partnership with Franklin Covey, Gurgaon. 35 candidates were trained and certified by IICA as Trainer (ICT) in CSR. This was strategically planned to develop a cadre of CSR trainers to take up capacity building across the country. Some of them were also engaged as visiting faculty for STP in CSR conducted by IICA.Coal India Limited (CIL) Management Trainee were provided capacity building through STP in CSR and Community Development, IICA Manesar. There were 4 batches catering to a total of 105 CIL officers. Each batch underwent about 24 days of training, out of which 7-8 days were dedicated to understanding of CSR including 1 full day of field visit to organisations like Maruti, Bharti Foundation, America India Foundation and Don Bosco. The 4 CIL batches were conducted from September, 2015 to March, 2016 at IICA campus, Manesar.Totality in Project Management and CSR

Ø CSR and Education – 15 December, 2015 – in association with Jagran Lakecity University, Bhopal The Roundtables were well attended and involved intense, technical discussions be tween gove r nment func t iona r i es , corporates, NGOs/implementation agencies, academic institutions etc. CSR Sammaan - Sammaan is a national flagship initiative designed and developed by Bombay Stock Exchange (BSE) and IICA, in partnership with Confederation of Indian Industry (CII). It is a platform that bridges the CSR accountability gap between corporations and implementation agencies (IA)/NGOs. The aim of Sammaan is to enable corporate houses to access credible NGOs to spend CSR funds and enhance transparency, visibility and social outcomes of their CSR initiatives.

The BSE Sammaan, through its website, facilitates corporate houses to partner screened IA/NGOs for taking up their CSR activities. IICA worked closely with the BSE and CII to help set up the technology platform and get it going. ICP and STP in CSR will also be collaborating with the BSE to further strengthen the process of impactful spending through Sammaan by including it as modules within the training curriculum.CSR INDEX - CSR Index, conceptualised by BSE and I ICA, proposes to deve lop quantifiable, objective parameters that can capture compliance to the CSR legislation and the impact of CSR activities for all companies l isted on the BSE. Based on this, a mathematical figure will be assigned to each such company. This figure will allow to c o m p a re C S R p e r f o r m a n c e a c ro s s companies, industries and sectors and to see if there is a business case to CSR that can evolve over a period of time. BSE, IICA and CII have formed an Advisory Committee to collaborate with various stakeholders to develop the CSR Index. It is proposed to later include non-BSE listed companies as well as part of the CSR Index.
