EMPLOYMENT CONTRACT This Employment Agreement (the “Agreement”) is entered into this 24th day of January 2014 at Unit 1203 Gotesco Regency Twin Tower B, Concepcion Ermita, Manila, Philippines by and between: SIGUI TAMAYO & CLIMACO LAW OFFICE “STC Law”, [a partnership duly organized and existing under the Philippine law], with address at Unit 1203 Gotesco Regency Twin Tower B, Concepcion Ermita, Manila, Philippines, hereinafter referred to as the “Employer”; - and - NIKKI ALLAUIGAN GARCIA, Filipino, 26 years old, with address at 4275 Jordan Plains Subdivision, Commonwealth Quezon City, hereinafter referred to as the “Employee”. WHEREAS, the Employer and the Employee wish to enter into an employment agreement governing the terms and conditions of employment as herein follows: 1. EMPLOYMENT CONTRACT

This Employment Agreement (the Agreement) is entered into this 24th day of January 2014 at Unit 1203 Gotesco Regency Twin Tower B, Concepcion Ermita, Manila, Philippines by and between:SIGUI TAMAYO & CLIMACO LAW OFFICE STC Law, [a partnership duly organized and existing under the Philippine law], with address at Unit 1203 Gotesco Regency Twin Tower B, Concepcion Ermita, Manila, Philippines, hereinafter referred to as the Employer;- and -NIKKI ALLAUIGAN GARCIA, Filipino, 26 years old, with address at 4275 Jordan Plains Subdivision, Commonwealth Quezon City, hereinafter referred to as the Employee.

WHEREAS, the Employer and the Employee wish to enter into an employment agreement governing the terms and conditions of employment as herein follows:

1. Term of Employment The employment of the Employee shall commence from January 27, 2014 and continue for an indefinite term until terminated in accordance with the provisions of this agreement.

2. Probation The parties hereto agree that the initial six (6) month period of this agreement is "probationary" in the following respects: a. the Employer shall have an opportunity to assess the performance, attitude, skills and other employment-related attributes and characteristics of the Employee; b. the Employee shall be given reasonable time for training and familiarization of work-related matters;c. either party may terminate the employment relationship at any time during this period with 5 business days prior notice unless there is a good reason to dispense such notice.However, the Employer may extend the terms of the employment on or before the expiration of the probationary period in which case a new contract or agreement shall be made embodying the terms and condition of the employment.

3. PositionThe Employee shall be employed as Junior Associate of STC Law.

4. Place of WorkThe Employee shall work in the principal office of the Employer with the aforementioned address without regard to the latters option to change the work place when the circumstances warrant it.

5. Working HoursThe Employee shall work from 8:00 am to 5:00 pm, Monday to Friday, with one hour break per working day unless otherwise an extension of time is rendered subject to the approval of the Employee.

6. Compensation and Benefits In consideration of his service, during the term of his employment, he shall be paid with the following:a. Taxable Monthly basic salary of P30, 000.00 payable every 15th and 30th of the month. However when the pay day falls on Saturday, Sunday or Holidays, it shall be move a day earlier. b. Non- taxable Monthly allowances:Meal allowance of P5, 000.00 and transportation allowance of P3, 000.00 creditable every pay day.

Moreover, the following additional benefits shall be enjoyed by him:a. Overtime pay computed in accordance with the Labor Code provisionb. Vacation leave and Sick leave as provided by Labor Code. Unused leaves are convertible to cash to be paid annually.c. Paternity benefits upon observing the requirements of existing law.d. Health insurance as set in the Health Provider agreement.e. Holiday pays as provided in Labor Code.

7. Duties and ResponsibilitiesAs Junior Associate, the following are his duties and responsibilities: perform legal and factual research identify relevant judicial decisions, statutes, legal articles, codes and other pertinent material organize and analyze information prepare written reports draft legal documents including briefs, pleadings, appeals, agreements, contracts and legal memoranda help prepare legal arguments, applications, declarations and motions prepare correspondence check and edit legal forms and documents for accuracy build and maintain databases and files organize and track case files review and monitor new and updated laws and regulations co-ordinate law office activities such as subpoena delivery locate and interview witnesses help with trial preparation including witness lists, exhibits and trial binders assist the lawyer in the courtroomThese duties and responsibilities may be amended from time to time in the sole discretion of the Employer, subject to formal notification of same being provided to the Employee.8. Property Rights

The Employer shall own all proprietary rights and interests over any and all research papers, studies, data, and such other end-products that the Employee shall produce or submit to the Company in relation to the performance of his job. 9. ConfidentialityThe Employee acknowledges that, in the course of performing and fulfilling his duties, he may have access to and be entrusted with confidential information concerning the present and past activities of the Employer, the disclosure of any of which confidential information to non-authorized person would be highly detrimental to the interests of the Employer. The Employee further acknowledges and agrees that the right to maintain the confidentiality of such information constitutes a proprietary right which the Employer is entitled to protect. Accordingly, the Employee covenants and agrees with the Employer that he will not, during the continuance of this agreement, disclose any of such confidential information to any person, firm or corporation, nor shall he use same, except as required in the normal course of his engagement hereunder, and thereafter he shall not disclose or make use of the same. Violation with this, gives rise to the Employers right to resort to any remedy to protect its interest.

10. TerminationThe Employer may terminate this Agreement at any time by giving the Employee at least fifteen (15) days prior written notice of such termination. The Company may likewise terminate this Agreement immediately without need of the giving the employee the requisite fifteen (15)-day prior written notice in cases where: (a) the Employer should find that the Employee is not qualified, competent or efficient; (b) the Employee violates any Employers policy or provision of this Agreement; or(c) such termination is justified under circumstances and conditions recognized by law and jurisprudence.

11. Separability Each paragraph of this agreement shall be and remain separate from and independent of and separable from all and any other paragraphs herein except where otherwise indicated by the context of the agreement. The decision or declaration that one or more of the paragraphs are null and void shall have no effect on the remaining paragraphs of this Agreement.12. Interpretation The validity, interpretation, construction and performance of this Agreement shall be governed by the existing Philippine laws. In case of doubt, it shall be interpreted liberally in favor of the Employee.
