Call to Order: Chairman Whitley called the meeting to order at 6:30 p.m. Minutes: Nancy moved to accept the August minutes. Sabra seconded, motion carried 4/0. Old Business: Curt reported that the total cost to expand and renovate the Physical Therapy department will be $63,810 and the Clinic IT will be $21,059. Mr. Charlie Zitnik with D.A. Da- vidson brought all the documents for financing the expansion/ renovation project for a 10 year period at 2.9%. Mr. Zitnik read Resolution #201909 (copy attached). Sabra moved to adopt the resolution. Nancy seconded, motion carried 4/0. After getting all the required signatures, Mr. Zitnik then left the meeting at 7:25 p.m. Curt reported that the daycare license will take 90-120 days to get approved by the State, which means we will open the first of the year. Travis Sutton arrived at the meeting. Staff Report: Curt reported that we are looking at electronic record systems for PT. At this point, the one that seems the most promising would cost approximately $1,000 per month and that we may be able to recover that amount in additional patient revenue. Curt reported that we need to add an additional 2/3 FTE in Cedar Village nursing administration. He and Sara talked about other nursing homes and the staff that they have to accomplish what is required and we simply cannot handle it without the additional help. Sara presented a “LEP” Plan/Title VI for the van that we will receive from the DOT grant. The board approved the plan. Financial Report: Curt presented the August financial report as prepared by Deb. Nancy moved to accept the financials. Jan seconded, motion carried 5/0. Executive Session: Nancy moved to adjourn to executive session for 10 minutes at 8:00 p.m. to discuss bad debts. Travis seconded, motion carried 5/0. Present were board members, Curt and Deb. Out of session at 8:10 p.m. Jan moved to turn bad debts over for collection. Nancy moved to adjourn to executive session for 10 minutes at 8:10 p.m. to discuss Risk Management/Quality Assess- ment. Travis seconded, motion carried 5/0. Present were board members, Ashley, Ashley and Curt. Out of executive session at 8:20 p.m. Jan moved to approve the plan. Nancy seconded, motion carried 5/0. Other: Curt asked if Tra- vis wanted to go on record in support of the above resolution in Old Business since he was unable to be here when the vote occurred. Travis did, and suggested we re-open the dis- cussion on Resolution #201909. Chairman Whitley re-opened the discussion. Travis asked to go on record in support of the Aye vote. September 23 Present: Chairman Brent Whitley, Sabra Clarke, Nancy Witthuhn and Jan Rider; staff members Curt Thomas, Debbie Frank and Sara Corsair; and Charlie Zitnik with D.A. David-son. Call to Order: Chairman Whitley called the meeting to order at 6:30 p.m. Minutes: Nancy moved to accept the August minutes. Sabra seconded, motion carried 4/0. Old Business: Curt reported that the total cost to expand and renovate the Physical Therapy department will be $63,810 and the Clinic IT will be $21,059. Mr. Charlie Zitnik with D.A. Da-vidson brought all the documents for financing the expansion/renovation project for a 10 year period at 2.9%. Mr. Zitnik read Resolution #201909 (copy attached). Sabra moved to adopt the resolution. Nancy seconded, motion carried 4/0. After getting all the required signatures, Mr. Zitnik then left the meeting at 7:25 p.m. Curt reported that the daycare license will take 90-120 days to get approved by the State, which means we will open the first of the year. Travis Sutton arrived at the meeting. Staff Report: Curt reported that we are looking at electronic record systems for PT. At this point, the one that seems the most promising would cost approximately $1,000 per month and that we may be able to recover that amount in additional patient revenue. Curt reported that we need to add an additional 2/3 FTE in Cedar Village nursing administration. He and Sara talked about other nursing homes and the staff that they have to accomplish what is required and we simply cannot handle it without the additional help. Sara presented a “LEP” Plan/Title VI for the van that we will receive from the DOT grant. The board approved the plan. Financial Report: Curt presented the August financial report as prepared by Deb. Nancy moved to accept the financials. Jan seconded, motion carried 5/0. Executive Session: Nancy moved to adjourn to executive

session for 10 minutes at 8:00 p.m. to discuss bad debts. Travis seconded, motion carried 5/0. Present were board members, Curt and Deb. Out of session at 8:10 p.m. Jan moved to turn bad debts over for collection. Nancy moved to adjourn to executive session for 10 minutes at 8:10 p.m. to discuss Risk Management/Quality Assess-ment. Travis seconded, motion carried 5/0. Present were board members, Ashley, Ashley and Curt. Out of executive session at 8:20 p.m. Jan moved to approve the plan. Nancy seconded, motion carried 5/0. Other: Curt asked if Tra-vis wanted to go on record in support of the above resolution in Old Business since he was unable to be here when the vote occurred. Travis did, and suggested we re-open the dis-cussion on Resolution #201909. Chairman Whitley re-opened the discussion. Travis asked to go on record in support of the Aye vote.
