Introduction
National Bank for Agriculture and Rural Development (NABARD) is an apex
development bank in India with its Head Office at Mumbai (Maharashtra) and Regional
Offices all over the country. It has offices across the country in 28 cities and employs
a total of around 4000 staff. The Bank has around 2700 pensioners settled across
the country out of which more than 850 are 70 years and above.
NABARD has authorized Marsh India Insurance Brokers Pvt. Ltd., to solicit proposals through a two stage bidding process (comprising Technical and Financial Bids) from IRDAI Licensed General Insurance & Stand-Alone Health Insurance companies operating in India for Out-Patient Department Insurance Program offered to their Eligible Pensioners and their spouse. Bidders are invited to submit their proposal in accordance with the enclosed Request for Proposal (RFP) terms.
NABARD proposes to provide OPD benefits to the eligible pensioners and their
spouse through the OPD Cover effective for one year from 15th August 2018.
Complete confidentiality should be maintained. Information provided here should be
used for its intended scope and purpose. Retention of this RFP signifies your
agreement to treat the information as confidential. You must agree to bear all costs
related to the preparation of your proposal.
If a bidder decides to decline this RFP, NABARD requests written confirmation,
via email, of the bidder(s) intent and reason(s) for declination by Tuesday, 31st
July 2018. The bidder may send the email to [email protected] with

Bid submission, queries and all other terms and conditions are detailed in the
following sections of this document. All communication with regard to this

Proposal Requirements
The following sections include the information necessary for the bidder organization
to respond to this RFP. The bidder’s proposal must:
Consider 15th August 2018 as effective date for Policy placement and
administration;
Provide premium quotes in the requested format as stated;
Answer all questions in following sections clearly and concisely; and
Proposal to be submitted in the form of sealed envelopes on or before 5 pm
on Tuesday, 07th August, 2018
Failure to submit the proposal within the stipulated time will result in disqualification of
the proposal.

General Information The objective is to ensure that this GMP for OPD to eligible pensioners is managed at
a high service level and in the most cost-effective manner. The insurer must have the
flexibility necessary to respond to NABARD’s current and changing needs.
NABARD’s primary objective in conducting this RFP is to contract with an insurer
who:
Matches the desired plan design and contract provisions; and
Demonstrates the ability to deliver high quality services at a competitive price.

Proposal Instructions
(A) Proposal Requirements
You may note that for the purpose of appointment of Insurer for OPD Insurance, a
two-stage bidding process will be followed. The response to the present tender will
be submitted in three parts, i.e., the Integrity Pact (IP), the Technical Bid and the
Financial Bid. The Bidder will have to submit the ‘Integrity Pact’, ‘Technical Bid’
and the ‘Financial Bid’ separately in three different envelopes, but within the
stipulated date and time. The terms and conditions of the Integrity Pact are as
indicated in Annexure – 1. The “Technical Bid” will contain the exhaustive and
comprehensive Technical details as indicated in Annexure 2, and “Financial
Bid’’ will contain the Pricing information as indicated in Annexure 3. The
Technical Bid shall NOT contain any pricing or financial information at all and if
the Technical Bid contains any price related information, then that Technical
Bid would be disqualified and would NOT be processed further.

Important Note:
The ‘Integrity Pact’ document is attached as Annexure -1. Prospective vendors/bidders
are requested to submit a duly signed and stamped ‘Integrity Pact’ on an INR 200
Stamp Paper. Compliance to ‘Integrity Pact’ is mandatory and shall be the pre-
qualification criteria.

Non-submission of ‘Integrity Pact’ or submission in different format (other than
the prescribed one) and not duly authenticated by authorized signatory shall
disqualify the prospective vendor/bidder at the initial stage and their
‘Technical/Financial bids shall not be opened.
All proposal responses will be opened in front of a Committee constituted for
this purpose in NABARD in the presence of representatives of Marsh India
Insurance Brokers Pvt. Ltd., 2 (two) representatives of each bidder Insurance
Company, if they choose to remain present.
(B) Important Terms
Quotes: The rates quoted must be final and considered firm regardless of
actual claims experience as on the policy effective date, 15 August 2018.
Terms: Your proposal must not include “Cancellation” and/or “Premium /
Claims Review” clause.
TPA: The Insurer must agree to work with Vidal Health TPA Pvt. Ltd. or any
other TPA identified by NABARD.
Endorsements: Premium for endorsement (addition/deletion/changes in sum
assured) should be computed on daily pro-rata basis. Any refunds on account
of deletions should be refunded on daily pro-rata basis subject to benefit
utilization.
(C) Process to be Adopted for Evaluation of the Bids
In the first stage, only the Technical Bids will be opened of those bidders, which fulfil
the details as indicated in Annexure 1 will be considered. The Technical Bids will be
evaluated on the basis of Technical details and the points to be awarded as per
following table:

* For Point Number 4 and 5 mentioned above, the following conditions will apply:
- Policies where your company is a Co-Insurer will not be considered.
- Micro Insurance/State Policies will not be considered. Only Corporate Group
Medical Insurance policies will be considered for the Technical Bid.
- Company that does not have any policy of the required size will not get any points.
Bidders scoring equal to or more than 60% marks as per the above evaluation
in Technical Bid, will qualify for Financial Bid.
In the second stage, the Financial Bids of only those bidders, who have qualified
through the above process on the basis of evaluation of their Technical Bids,
will be opened. In case of eliminated bidders, the sealed Financial Bid will be
returned.

(D) NABARD reserves the right to:
Reject any or all responses received in response to the RFP without assigning any
reason whatsoever.
Cancel the RFP / Tender at any stage, without assigning any reason whatsoever.
Waive or Change any formalities, irregularities, or inconsistencies in this proposal
(format and delivery). Such a change / waiver would be duly and publicly notified
on NABARD's website before the closure of the bid date.
Extend the time for submission of all proposals and such an extension would be
duly communicated by Marsh India to all the companies.
Select the next most responsive bidder if the first most responsive bidder evaluated
for selection fails to result in an agreement within a specified time frame.
Select the bidder even if a single bid is received as response.
Share the information / clarifications provided in response to RFP by any bidder, with all other bidder(s) / others, in the same form as clarified to the bidder raising the query.

2. The sealed covers containing the Integrity Pact,Technical Bid and the Financial
Bid should in turn be put in one single sealed outer envelope to be super-
scribed as :
‘Integrity Pact, Technical and Financial Bids for Out-Patient Department
Insurance- 2018-19’.
3. The bid should be signed by the bidder or any person duly authorized to bind
the bidder to the contract. The signatory should give a declaration and through
authenticated documentary evidence establish that he/she is empowered to sign
the tender documents and bind the bidder. All pages of the tender documents
except brochures, if any, are to be signed by the authorized signatory.

4. The bid should contain no interlineations, erasures or over-writings except as
necessary to correct errors made by the bidder. In such cases, the person/s signing
the bid should authenticate / countersign such corrections.
5. The bidder is expected to examine all instructions, forms, terms and conditions and
technical specifications in the Bidding Documents. Failure to furnish all information
required by the Bidding Documents or submission of a bid not substantially
responsive to the Bidding Documents in every respect will be at the Bidder’s risk
and may result in rejection of the bid.
6. No columns of the tender should be left blank. Bids with insufficient information and
which do not strictly comply with the stipulations given above, are liable for rejection.
7. The bids will be opened in the presence of authorized representatives of the
bidders. However, the representative of the bidder has to produce an authorization
letter from the bidder to represent them at the time of opening of Technical /
Financial bids. Only two representatives will be allowed to represent any bidder. In
case the bidder’s representative is not present at the time of opening of bids, the
bids will still be opened at the scheduled time at the sole discretion of NABARD.

RFP Terms and Conditions:
Following additional terms and conditions shall apply to the evaluation process:
(a) Bidder warranties - By submitting a Response, the Bidder represents and
warrants to NABARD, that, as at the date of submission:
i. the Bidder has fully disclosed to NABARD in its Responses all information
which could reasonably be regarded as affecting in any way NABARD’s
evaluation of the Response;
ii. all information contained in the Bidder’s Response is true, accurate and
complete; and
iii. not misleading in any way;
iv. no litigation, arbitration or administrative proceeding is presently taking place,
pending or to the knowledge of the Bidder threatened against or otherwise
involving the Bidder which could have an adverse effect on its business, assets
or financial condition or upon NABARD’s reputation if the Response is
successful;
v. the Bidder will immediately notify NABARD of the occurrence of any
event, fact or circumstance which may cause a material adverse effect on the
Bidder’s business, assets or financial condition, or NABARD reputation or
render the Bidder unable to perform its obligations under the NABARD
agreement, if any or have a material adverse effect on the evaluation of the
responses by NABARD; and
vi. the Bidder has not and will not seek to influence any decisions of
NABARD during the evaluation process or engage in any uncompetitive
behavior or other practice which may deny legitimate business opportunities
to other Bidders.
(b) Confidentiality - Bidder must keep confidential any information received from
or about NABARD as a result of or in connection with the submission of the
Response. All information contained in the Response, or in subsequent
communications shall be deemed confidential and may be used only in
connection with the preparation of Bidder’s Response. Unless expressly
agreed in writing, prior to submissions, Responses are not confidential and may
be used by NABARD in whole or part. NABARD however, will not disclose the
information provided by a Bidder in a Response other than to its affiliates or to
its professional advisors, unless required otherwise by any provisions of law.
Additionally and at any point of the evaluation and selection process, NABARD
may require the Bidder to execute a Non-Disclosure Agreement (NDA) if the
Bidder has not executed an NDA with NABARD previously.

(c) Disclaimer - Whilst all reasonable care has been taken in compiling this
Response document, the figures, documents and details are presented in good
faith; and no warranty or guarantee (express or implied) is given by NABARD
as to the completeness or accuracy of the Response or any information
provided in or in connection with it. To the maximum extent permitted by law:
i. NABARD, its officers, employees and agents will not be liable in any way
whatsoever for any loss, damage, cost or expense (including without
limitation any liability arising from any fault or negligence on their part)
arising from the evaluation process; and
ii. each Bidder releases and indemnifies NABARD from all claims, suits,
demands, proceedings, actions, liabilities, damages and costs which may
arise under statute, law, equity or otherwise arising from, whether directly
or indirectly, or in connection with the evaluation and selection process.
(d) This RFP is not an offer to contract, nor should it be construed as such; it is a
definition of specific NABARD requirements and an invitation to recipients
to submit a responsive proposal addressing such requirements. NABARD
reserves the right to make no selection and enter into no agreement as a result
of this RFP. Only the execution of a written agreement between NABARD and
an insurance company will obligate NABARD in accordance with the terms and
conditions contained in such agreement.
(e) It should be understood that your response to this RFP constitutes an offer to
do business on the terms stated in your response and that, should a contract
be awarded to you, NABARD may, at its option, incorporate all or any part of
your response to this RFP in the contract. NABARD reserves the right to accept
your offer without further discussions and without any additional opportunity for
you to amend, supplement or revise your submitted offer.
(f) NABARD’s right to verify - NABARD reserves the right to conduct a site
survey or obtain other evidence of facilities, resources, and managerial,
financial and Bidder performance abilities prior to announcing the successful
Bidder or awarding an agreement under this evaluation process.
(g) Financial documents - NABARD may request additional financial/ business
information from the Bidder at its discretion.
(h) Selection criteria - The selection criteria, inquiries, questions or information
put forth in the Response are meant to be provided on the aforesaid and
established through the details submitted by the bidder in the Technical Bid.
Financial bids of those companies which do not meet the evaluation
standard of 60% marks, will not be opened and processed further.
(i) Termination/or suspension of evaluation process - NABARD reserves the
right to suspend or terminate the Bidder evaluation process (in whole or in part)

at any time in its absolute discretion and without liability to the Bidder or any
third party. Bidders will be notified if any suspension or termination occurs but
NABARD is not obliged to provide any reasons.
(j) Other Rights - Without limiting its rights under any other clause of this
evaluation process or at law, and without liability to the Bidder or any third party,
NABARD may at any stage of the evaluation process:
i. Require additional information from a Bidder;
ii. Change the structure and timing of the evaluation process;
iii. Terminate further participation in the evaluation process by a Bidder;
iv. Negotiate with more than one Bidder;
v. Terminate negotiations being conducted with a Bidder;
vi. Vary or extend the timetable and evaluation process ;
vii. Accept any non-complying Response; or
viii. Vary the terms and conditions of the evaluation process, the RFP or
specifications or requirements at any time.
(k) Responsibility for Costs - Bidder is responsible for all costs, expenses or
liabilities incurred by them or on their behalf in relation to the evaluation
process (including in relation to providing NABARD with the response, the
revised response or any additional information).
(l) Non-Reliance by Bidder - Bidder, by submitting a Response, acknowledges
that:
i. It does not rely on any information, representation or warranty, whether
oral or in writing or arising from other conduct, other than that
specified in this RFP or otherwise provided by NABARD in writing;
ii. It has made its own inquiries as to the risks, contingencies and
other circumstances that may have an effect on the Bidder’s
Response as well as the accuracy, currency or completeness of such
information; and
iii. Information provided in its Responses are based on historical trends
and does not constitute a representation that such trends will continue
into the future or occur again and nothing contained in its Response can
be relied upon as a commitment, guarantee or representation regarding
future events or performance.
(m) NABARD‘s right to vary - NABARD reserves the right to vary any aspect of
this valuation process, RFP without liability to Bidder. Where NABARD varies
any aspect of this evaluation process or the agreement, NABARD shall notify
the Bidder of that variation.
(n) Incorporation of Responses into agreement - The successful Bidder, as
concluded by NABARD, shall sign an agreement with NABARD. NABARD may,
at its sole discretion, incorporate any portion of any successful Response of a
successful Bidder into the final agreement. NABARD may require a successful

Bidder to submit, before negotiation of the NABARD agreement, details of
issues which may affect their ability to act as a Bidder.
(o) Precedence of Documents - If there is any inconsistency between the terms
of this RFP and any of its appendices, schedules or attachments then, unless
the contrary is explicitly stated in this RFP, the terms of the RFP will prevail to
the extent of any inconsistency.
(p) Governing Laws & Dispute Resolution - The RFP and selection process shall be governed by and construed in accordance with the laws of India. Any dispute arising out of the RFP process shall be referred to arbitration under the Arbitration & Conciliation Act, 1996 as provided hereunder:
a. If any dispute, difference or question shall at any time arise between the parties
concerning anything or as to the rights, liabilities and duties of the parties under this RFP, the same shall be referred to arbitration and a final decision after giving at least 30 days’ notice in writing to the other (hereinafter referred to as the “Notice for Arbitration”) clearly setting out the items of dispute to a sole arbitrator who shall be appointed as hereinafter provided. For the purpose of appointing the sole arbitrator referred to above, the NABARD shall send to the BIDDER within thirty days of the “Notice of Arbitration”, a panel of three names of persons who shall be presently unconnected with NABARD or the BIDDER.
b. The BIDDER shall on receipt of the names as aforesaid select any one of the persons so named to be appointed as the Sole Arbitrator and communicate his name to NABARD within 15 days of receipt of the names. NABARD shall thereupon without any delay appoint the said person as the Sole Arbitrator. If the BIDDER fails to communicate such selection as provided above within the period specified, NABARD shall make the selection and appoint the said person as the Sole Arbitrator.
c. If NABARD fails to send to the BIDDER the panel of three names as aforesaid within the period specified, the BIDDER shall send to NABARD a panel of three names of persons who shall be unconnected with either party. NABARD shall on receipt of the names as aforesaid, select any one of the persons and appoint him as the Sole Arbitrator. If NABARD fails to select the person and appoint him as the Sole Arbitrator within 30 days of receipt of the panel and inform the BIDDER accordingly, the BIDDER shall be entitled to appoint one of the persons from the panel as Sole Arbitrator and communicate his name to the NABARD.
d. If the Arbitrator so appointed is unable or unwilling to act or refuses his appointment or vacates his office due to any reason whatsoever another Sole Arbitrator shall be appointed as aforesaid.
e. The Arbitration shall be governed by the Arbitration & Conciliation Act, 1996 as in force time to time or any Ordinance or Legislation that may be made in lieu thereof. The award of the Arbitration shall be binding and final on the parties. It is hereby agreed that in all disputes referred to the Arbitration, the Arbitrator shall give a separate award in respect of each dispute or difference with the terms of reference and the award shall be a reasoned award.
f. The Court’s in Mumbai only shall have exclusive jurisdiction to deal with the matter(s) arising out of the above claims/dispute.
g. The evaluation process as communicated earlier shall continue without any changes. h. In the event that you elect not to respond to this RFP, then the restrictions shall
continue to apply to the use or disclosure of the information. Additionally, Bidders must immediately return this document and certify in writing to Marsh India Insurance Brokers Pvt. Ltd., that all copies have been returned to Marsh India Insurance Brokers Pvt. Ltd., or destroyed.

14. Any activities undertaken by the beneficiaries to

Consultations/documents provided should be
attested/signed by the authorized doctor and not
the consulting company.
If member has lost the bills for any of these
treatments, his claims filed with the TPA will be taken
up to NABARD, who will further discuss the same with
the insurance company and jointly take a call
regarding the amount admissibility

15. De-Addiction programs for be covered under the program. Guidance of NABARD SMO to be taken into consent if any ambiguity of claim.
Exclusions 1. Spectacles used for cosmetic purposes are excluded. Sunglasses and Riding Glasses not covered 2. Dentistry/Opthalmology – No cosmetic treatment should be allowed 3. Expenses medical in nature incurred towards cosmetic body modifications 4. Medical treatment required following any criminal act of the insured person. 5. Any travel/ transportation cost or expenses 6. Yoga Therapy is not covered without proper prescription or bill from registered institute.
Settlement of Claims No Intimation of treatment to be provided. The claim is to be lodged with TPA within period of 60 days from the first expense/treatment taken by member or spouse by submitting original documents, which would necessarily include prescription from registered medical practitioner, bills and receipt. Repudiation of claims shall be at sole discretion of HRMD-bills, NABARD Head Office.
Policy Administration/Special Condition 1. The policy shall be valid for One year. Insurance policy
should not have a cancellation clause.
2. The policy shall be administered through a TPA which will be decided with prior approval of NABARD with a written service level agreement in place prior to the date of commencement of the cover. 3. Addition/Deletion data will be endorsed once a month. Pensioners who turn 70 during the policy period will be eligible from day one cover, subject to intimation to Insurer within 60 days from eligibility date. Sufficient CD balance should be maintained with the insurer for such mid-term inclusions.

4. In the event of death of Pensioner, the spouse continues to be covered.
5. In case of separations/ death of pensioner and their spouse , coverage ceases automatically from that date of death. Pro-rata refund of premium shall be credited in cases of deletion of members provided no claim has been admitted in respect of such member(s).
6.All admissions shall be adjusted pro-rata, subject to monthly declarations-
7.The insured shall maintain a deposit premium to take care of additions / exits of the employees. This deposit shall be replenished each month to maintain the deposit balance. 8.Monthly declarations shall be sent through email by the insured to the insurer in the succeeding month. The insurer shall calculate the pro-rata premium/refund and communicate the same to NABARD who will arrange to give a cheque for additional premium, if any. Refund premiums, if any shall be credited to the deposit account. The final refund, if any shall be returned to the insured within one month from the date of expiry of the policy.
9.There should be a monthly meeting where the insured, the insurer and the TPA to review the progress/ health and service related issues.
10.All supporting documents relating to the claim must be filed with the TPA within period of 60 days from the first expense/treatment
11.No Deletion amount will be refunded if claim has been
lodged.
12.Cover for Terrorism & Epidemic break. 13. Insurance Brokers M/s Marsh India Insurance Brokers Pvt. Ltd. would carry out review of administration of claims on sample basis during the currency of OPD 2018-19. NABARD may carry out review of administration of claims as a part of scope of work.
Servicing MOU for servicing will be signed by the insured, Insurer,
TPA. NABARD reserves the right to seek a change of TPA,
by giving 30 days’ notice, at any time during the currency
of the policy without assigning any reasons.

PRE CONTRACT INTEGRITY PACT
General
This pre-bid pre-contract Agreement (hereinafter called the Integrity Pact) is made on ________ day of the month of ______________ between, on one hand, National Bank for Agriculture and Rural Development (NABARD), represented by Shri_________ (hereinafter called the “BUYER”, which expression shall mean and include, unless the context otherwise requires, his successors in office and assigns) of the First Part and M/s _______________________ represented by Shri _______________________ , Chief Executive Officer (hereinafter called the “BIDDER/Seller” which expression shall mean and include, unless the context otherwise requires, his successors and permitted assigns) of the Second Part. WHEREAS the BUYER proposes to procure (Name of the Stores/Equipment/Item) and the BIDDER/Seller is willing to offer/has offered the stores and
WHEREAS the BIDDER is a private company/public company/Government undertaking/partnership/registered export agency, constituted in accordance with the relevant law in the matter and the BUYER is a body corporate established under NABARD Act, 1981 having its Head Office at Plot No.C-24, Block ‘G’, Bandra-Kurla Complex, Bandra (East), Mumbai.
NOW, THEREFORE,
To avoid all forms of corruption by following a system that is fair, transparent and free from any influence/prejudiced dealings prior to, during and subsequent to the currency of the contract to be entered into with a view to :-
Enabling the BUYER to obtain the desired said stores/equipment at a competitive price in conformity with the defined specifications by avoiding the high cost and the distortionary impact of corruption on public procurement and
Enabling BIDDERs to abstain from bribing or indulging in any corrupt practice in order to secure the contract by providing assurance to them that their competitors will also abstain from bribing and other corrupt practices and the BUYER will commit to prevent corruption, in any form, by its officials by following transparent procedures.
The parties hereto hereby agree to enter into this Integrity Pact and agree as follows:
Commitments of the BUYER
1.1 The BUYER undertakes that no official of the BUYER, connected directly or indirectly with the contract, will demand, take a promise for or accept, directly or through intermediaries, any bribe, consideration, gift, reward, favour or any material or immaterial benefit of any other advantage from the BIDDER, either for themselves or for any person, organization or third party related to the contract in exchange for an advantage in the bidding process, bid evaluation, contracting or implementation process related to the contract.

1.2 The BUYER will, during the pre-contract stage, treat all BIDDERs alike, and will provide to all BIDDERs the same information and will not provide any such information to any particular BIDDER which could afford an advantage to that particular BIDDER in comparison to other BIDDERs. 1.3 All the officials of the BUYER will report to the appropriate Government office any attempted or completed breaches of the above commitments as well as any substantial suspicion of such a breach. 2. In case any such preceding misconduct on the part of such official(s) is reported by the BIDDER to the BUYER with full and verifiable facts and the same is prima facie found to the correct by the BUYER, necessary disciplinary proceedings, or any other action as deemed fit including criminal proceedings may be initiated by the BUYER and such a person shall be debarred from further dealings related to the contract process. In such a case while an enquiry in being conducted by the BUYER the proceedings under the contract would not be stalled.
Commitments of BIDDERs 3. The BIDDER commits itself to take all measures to prevent corrupt practices, unfair means and illegal activities during any stage of its bid or during an pre-contract or post-contract stage in order to secure the contract or in furtherance to secure it and in particular commit itself to the following :- 3.1 The BIDDER will not offer, directly or through intermediaries, any bribe, gift, consideration, reward, favour, any material immaterial benefit or other advantage, commission, fees, brokerage or inducement to any official of the BUYER, connected directly or indirectly with the bidding process, or to any person, organization or third party related to the contract in exchange for any advantage in the bidding, evaluation, contracting and implementation of the contract.
3.2 The BIDDER further undertakes that it has not given, offered or promised to give, directly or indirectly any bribe, gift, consideration, reward, favour, any material or immaterial benefit or other advantage, commission, fees, brokerage or inducement to any official of the BUYER or otherwise in procuring the Contract or forbearing to do or having done any act in relation to the obtaining or execution of the contract or any other contract with the Bank for showing or forbearing to show favour or disfavor to any person in relation to the contract or any other contract with the Bank.
3.3 BIDDERs shall disclose the name and address of agents and representatives and Indian BIDDERs shall disclose their foreign principles or associates. 3.4 BIDDERs shall disclose the payments to be made by them to agents/brokers or any other intermediary, in connection with this bid/contract.
3.5 The BIDDER further confirms and declares to the BUYER that the BIDDER is the original manufacturer/integrator/authorized government sponsored export entity of the defence stores and has not engaged any individual or firm or company whether Indian or foreign to intercede, facilitate or in any way to recommend to the BUYER or any of its functionaries, whether officially or unofficially to the award of the contract to the BIDDER, nor has any amount been paid, promised or intended to be paid to any such individual, firm or company in respect of any such intercession, facilitation or recommendation.

3.6 The BIDDER, either while presenting the bid or during pre-contract negotiations or before signing the contract, shall disclose any payments he has made, is committed to or intends to make to officials of the BUYER or their family members, agents, brokers or any other intermediaries in connection with the contract and the details of services agreed upon for such payments.
3.7 The BIDDER will not collude with other parties interested in the contract to impair the transparency, fairness and progress of the bidding process, bid evaluation, contracting and implementation of the contract.
3.8 The BIDDER will not accept any advantage in exchange for any corrupt practice, unfair means and illegal activities.
3.9 The BIDDER shall not use improperly for purposes of competition or personal gain or pass on to others, any information provided by the BUYER as part of the business relationship regarding plans, technical proposals and business details, including information contained in any electronic data carrier. The BIDDER also undertakes to exercise due and adequate care lest any such information is divulged.
3.10 The BIDDER commits to refrain from giving any complaint directly or through any other manner without supporting it with full and verifiable facts.
3.11 The BIDDER shall not instigate or cause to instigate any third person to commit any of the actions mentioned above.
3.12 If the BIDDER or any employee of the BIDDER or any person acting on behalf of the BIDDER either directly or indirectly is a relative of any of the officers of the BUYER, or alternatively if any relative of an officer of the BUYER has financial interest/stake in the BIDDER’s firm, the same shall be disclosed by the BIDDER at the time of filling of tender.
The term ‘relative’ for this purpose would be as defined in Section 6 of the Companies Act 1956.
3.13 The BIDDER shall not lend to or borrow any money from or enter into any monetary dealings or transactions, directly or indirectly, with any employee of the BUYER.
Previous Transgression 4.1 The BIDDER declares that no previous transgression occurred in the last three years immediately before signing of this Integrity Pact, with any other company in any country in respect of any corrupt practices envisaged hereunder or with any Public Sector Enterprises in India or any Government Department in India that could justify BIDDER’s exclusion from the tender process. 4.2 The BIDDER agrees that if it makes incorrect statement on this subject, BIDDER can be disqualified from the tender process or the contract, if already awarded, can be terminated for such reason.
5. Sanctions for Violations
5.1 Any breach of the aforesaid provisions by the BIDDER or any one employed by it or acting on its behalf (whether with or without the knowledge of the BIDDER) shall entitle the BUYER to take all or any one of the following actions, wherever required:-
i. To immediately call off the pre-contract negotiations without assigning any reason or giving any compensation to the BIDDER. However, the proceedings with the other BIDDER(s) would continue.

ii. The Earnest Money Deposit (in pre-contract stage) and/or Security Deposit/Performance Bond (after the contract is signed) shall stand forfeited either fully or partially as decided by the BUYER and the BUYER shall not be required to assign any reason therefore.
iii. To immediately cancel the contract, if already signed, without giving any compensation to the BIDDER.
iv. To recover all sums already paid by the BUYER, and in case of an Indian BIDDER with interest thereon at 2% higher than the prevailing Prime Lending Rate of State Bank of India, while in case of a BIDDER from a country other than India with interest thereon at 2%, higher than the LIBOR. If any outstanding payment is due to the BIDDER from the BUYER in connection with another contract for any other stores, such outstanding payment could also be utilized to recover the aforesaid sum and interest.
v. To encash the advance bank guarantee and performance bond/warranty bond, if furnished by the BIDDER, in order to recover the payments, already made by the BUYER, along with interest.
vi. To cancel all or any other contracts with the BIDDER. The BIDDER shall be liable to pay compensation for any loss or damage to the BUYER resulting from such cancellation/rescission and the BUYER shall be entitled to deduct the amount so payable from the money(s) due to the BIDDER.
vii. To debar the BIDDER from participating in future bidding processes of the Government of India for a minimum period of five years, which may be further extended at the discretion of the BUYER.
viii. To recover all sums paid in violation of this Pact by BIDDER(s) to any middleman or agent or broker with a view to securing the contract.
ix. In cases where irrevocable Letters of Credit have been received in respect of any contract signed by the BUYER with the BIDDER, the same shall not be opened.
x. Forfeiture of Performance Bond in case of a decision by the BUYER to forfeit the same without assigning any reason for imposing sanction for violation of this Pact.
5.2 The BUYER will be entitled to take all or any of the actions mentioned at para 6.1(i) to (x) of this Pact also on the Commission by the BIDDER or any one employed by it or acting on its behalf (whether with our without the knowledge of the BIDDER), of an offence as defined in Chapter IX of the Indian Penal code, 1860 or Prevention of Corruption Act, 1988 or any other statute enacted for prevention of corruption.
5.3 The decision of the BUYER to the effect that a breach of the provisions of the Pact has been committed by the BIDDER shall be final and conclusive on the BIDDER. However, the BIDDER can approach the Independent Monitor(s) appointed for the purposes of this Pact. 6. Fall Clause
6.1 The BIDDER undertakes that it has not supplied/s not supplying similar product/systems or sub systems at a price lower than that offered in the present bid in respect of any other Ministry/Department of the Government of India or PSU and if it is found at any stage that similar product/systems or sub systems was supplied by the BIDDER to any other Ministry/Department of the Government of India or a PSU at a lower price, then that very price, with due allowance for elapsed time, will be applicable to the present case and the difference in the cost would be refunded by the BIDDER to the BUYER, if the contract has already been concluded.

7.1 The BUYER has appointed Independent Monitors (hereinafter referred to as Monitors) for this Pact in consultation with the Central Vigilance Commission.
7.2 The task of the Monitors shall be to review independently and objectively,
whether and to what extent the parties comply with the obligations under this Pact.
7.3 The Monitors shall not be subject to instructions by the representatives of the
parties and perform their functions neutrally and independently.
7.4 Both the parties accept that the Monitors have the right to access all the
documents relating to the project/procurement, including minutes of the meetings.
7.5 As soon as the Monitor notices or has reason to believe, a violation of this Pact,
he will also inform the Authority designated by the BUYER.
7.6 The BIDDER(s) accepts that the Monitor has the right to access without restriction to all Project documentation of the BUYER including that provided by the BIDDER. The BIDDER will also grant the Monitor, upon his request and demonstration of a valid interest, unrestricted and unconditional access to his project documentation. The same is applicable to Subcontractors. The Monitor shall be under contractual obligation to treat the information and documents of the BIDDER/Subcontractor(s) with confidentiality.
7.7 The BUYER will provide to the Monitor sufficient information about all meetings among the parties related to the Project provided such meetings could have an impact on the contractual relations between the parties. The parties will offer to the Monitor the option to participate in such meetings.
7.8 The Monitor will submit a written report to the designated Authority of BUYER within 8 to 10 weeks from the date of reference or intimation to him by the BUYER / BIDDER and should the occasion arise submit proposals for correcting problematic situations.
8. Facilitation of Investigation
In case of any allegation of violation of any provisions of this Pact or payment of commission, the BUYER or its agencies shall be entitled to examine all the documents including the Books of Accounts of the BIDDER and the BIDDER shall provide necessary information and documents in English and shall extend all possible help for the purpose of such examination.

9. Law and Place of Jurisdiction
This Pact is subject to Indian Law. The place of performance and jurisdiction is the seat of the BUYER.
10. Other Legal Action
The action stipulated in this Integrity Pact are without prejudice to any other legal action that may follow in accordance with the provisions of the extant law in force relating to any civil or criminal proceedings.
11. Validity
11.1 The validity of this Integrity Pact shall be from date of its signing and extend up to 5 years or the complete execution of the contract to the satisfaction of both the BUYER and the BIDDER/Seller, including warranty period, whichever is later in case BIDDER is unsuccessful, this Integrity Pact shall expire after six months from the date of the signing of the contract.
11.2 Should one or several provisions of this Pact turn out to be invalid, the remainder of this Pact shall remain valid. In this case, the parties will strive to come to an agreement to their original intentions.
