2.1 Duration a. The Contract shall commence on 01 December 2014 and complete on 30 November 2018,

unless terminated or extended in accordance with the terms of the Contract. b. Any activity or task under Contract Line Items 2 to 4 that have been contracted prior to 30

November 2018, but which completes after that date, will remain a valid activity or task under the terms of the Contract.

2.2 Security Measures a. In accordance with Annex O to the Contract, the Secret Matter of the Contract is defined in

the Authority’s letter dated 25 November 2014. Any changes in these classifications will be notified by the Authority’s Project Manager, hereafter known as the APM, as detailed at Box 2 of DEFFORM 111 (Appendix to Contract) to whom enquiries about the Security Aspects Letter should be addressed.

2.3 Controlled Information a. This Condition shall apply in addition to and notwithstanding DEFCON 531 (Disclosure of

Information) or any other confidentiality condition of the Contract. b. For the purposes of this Condition 'Controlled Information' shall mean any information in

any written or tangible form which is disclosed to the Contractor by or on behalf of the Authority under or in connection with the Contract, and which is identified by the legend ' Controlled Information' or other approved legend notified to the Contractor. Controlled Information shall exclude information provided by oral communication.

c. The Contractor shall: i. hold the Controlled Information and not to use it other than for the purpose of discharging its obligations under the Contract; ii. not to copy the Controlled Information except as strictly necessary for the purpose of discharging its obligations under the Contract; iii. not to disclose the Controlled Information to any third party unless so authorised in writing beforehand by the Authority; iv. protect the Controlled Information diligently against unauthorised access and against loss; and, v. act diligently to ensure that: (1) Controlled Information is disclosed to its employees only to the extent necessary for the purpose of discharging its obligations under the Contract;

(2) employees to whom Controlled Information is disclosed are made aware of and required to comply with the terms of this Condition. d. Where Controlled Information is provided to the Contractor, it shall: i. compile a register of that Controlled Information, which shall include explicit description of the Controlled Information, a record of the number of copies made and a record of all access to the Controlled Information including access to any copies of the Controlled Information. ii. maintain this register for the duration of the Contract and for two years following completion of the Contract. iii. make the register of access available to the Authority upon reasonable notice for inspection and audit for so long as it is required to be maintained under this Condition; and, iv. at the completion of the Contract, return to the Authority all original and duplicate copies of the Controlled Information, or else at the Authority’s option, destroy these copies and provide a certificate of destruction to the Authority. e. This Condition shall not diminish or extinguish any right of the Contractor to copy, use or

disclose any other information to the extent that it can show: i. that the information concerned was or has become published or publicly available for use without breach of any provision of the Contract or any other agreement between the parties; ii. that the information was already known to it (without restrictions on disclosure or use) prior to receiving it under or in connection with the Contract; iii. that the information concerned was lawfully provided by a third party without restriction on use or further disclosure; or iv. from its records, that the information was derived independently of the Controlled Information; to the extent that copying use or disclosure of this other information shall not disclose its relationship to any Controlled Information. 2.4 Order of Precedence a. In the event of conflict between the contents of any technical or administrative documents

and the Terms and Conditions of the Contract, the Contractor shall seek immediate direction from the Authority’s Commercial Officer as detailed at Box 1 of DEFFORM 111 (Appendix to Contract). Where a conflict arises, the following order of precedence shall apply in descending order of importance:

i. Schedule of Requirements (and Annexes incorporated by reference) ii. DEFCONS iii. Narrative Conditions of Contract

iv. Other Annexes

2.5 Compliance with the Electronic Transactions Agreement a. The Authority and the Contractor shall comply with the Electronic Transactions Agreement

comprised in the completed DEFFORM 30, reference; MOD/Babcock Marine (Clyde) Limited/Corp./DEFFORM 30 Edn 01/07, dated 10 June 2013.

2.6 Sub-Contract Competition a. The Contractor shall maximise the use of competition at subcontract level and shall adhere

to the MoD/Industry Commercial Policy Group Guideline Number 5 - Code of Practice Annex B – Sub-Contractor Selection by Prime Contractors in MoD Acquisitions.

2.7 Assignment a. The rights and obligations of the Authority under the Contract shall not be assigned,

novated or otherwise transferred (whether by virtue of any Legislation or any scheme pursuant to any Legislation or otherwise) other than in respect of the whole of the Contract, to any public body other than any person (being a single entity) having the legal capacity, power and authority to become a party to and to perform the obligations of the Authority under the Contract, namely:

i. A Minister of the Crown pursuant to an Order under the Ministers of the Crown Act

1975; or ii. Any other public body whose obligations under the Contract are unconditionally and

irrevocably guaranteed (in a form reasonably acceptable to the Contractor) by the Authority or a Minister of the Crown having the legal capacity, power and authority to perform the obligations under the guarantee and the obligations of the Authority under the Contract.

2.8 Changes in Shareholders a. The Contractor shall inform the Authority, in accordance with DEFCON 566, of any change

in the ownership of this Contractor. In the event that such change of ownership impacts on the management of this Contract this is to be notified to the Authority as soon as practicable and, in any event within 30 (thirty) business days.

2.9 Contractor’s Personnel a. Only persons with appropriate qualifications and competence for the Tasks on which they

are engaged shall be employed under the Contract. b. Where so required, full particulars of all personnel to be employed shall be forwarded in

advance to the Authority’s Project Manager for confirmation of acceptability. c. The Contractor shall take all reasonable steps to avoid changes of personnel assigned to

and accepted for the work under the Contract, except whenever changes are unavoidable or of a temporary nature caused by sickness etc. Where feasible the Contractor shall give at least 1 (one) month's notice to the Authority’s Project Manager and (a) and (b) above shall apply to the replacement personnel.

3.1 Definition of Requirements a. All work identified in the Schedule of Requirements shall be carried out in accordance with

the appropriate Statement of Work at Annex A and when directed Annexes B, C and D to the Contract.

3.2 Commercial Risk a. The Contractor acknowledges that any risk assessment which has been, or may be

undertaken in connection with this Contract, has been or will be, a project management function only. Such risk assessment does not affect the legal relationship between the Authority and the Contractor. The issuing of any risk assessment questionnaire and the process of risk assessment generally, including without limitation, the identification of (or failure to identify):

- particular risks and their impact; or - risk reduction measures, contingency plans and remedial actions shall not in any way limit or exclude the Contractor’s obligations under this Contract and

shall be entirely without prejudice to the Authority’s rights, privileges and powers under this Contract. These risks identified as a result of any risk assessment questionnaire and risk assessment process generally, remain the risks of the Contractor and are not assumed by

the Authority except to the extent the Authority expressly and unequivocally accepts those risks under the Contract. Any risk assessment questionnaire released was or will be issued by the Authority solely on this basis.

3.3 Quality Assurance Representative (QAR) a. All reference to the QAR in documents which form part of this Contract shall be read as

referring to the Authority specified in Box 7 of DEFFORM 111 (Appendix to Contract). 3.4 Quality Assurance Requirements a. The Contractor shall submit, within 2 (two) months of the date of Contract, a Quality Plan

produced in accordance with AQAP 2015 to the Authority’s Project Manager for approval. b. The Contractor shall ensure that all work under the Contract is carried out in accordance with the Defence Standards (DEF STAN) detailed at Annex M to the Contract. 3.5 Electronic Data a. The Contractor shall provide the Authority with electronic data, if appropriate, in the

following formats:

Data Type Software Text, Spreadsheet, Database, Presentations and other deliverables

MS Office will be used site-wide as standard. This will incorporate MS Word 2003, MS Excel 2003 and MS PowerPoint 2003. PDF File in ADOBE ACROBAT.

Risk Registers Format to be agreed 3.6 Protection of Equipment from Electro-Static Discharge a. The procedure for protection of electronic equipment as defined in BS EN 100015 Issue 1

Pt 1 1992 is to be followed. b. All PECs, modules, sub-assemblies and assemblies containing or comprising electronic

components and individual components are defined as Electrostatic Sensitive Devices (ESDs).

3.7 Sub-Contracts a. The Contractor shall immediately inform the Authority of any proposal to award additional

Sub-Contracts or replace existing Sub-Contractors from those listed in the Contractor’s proposal on the completed DEFFORM 47SC.

3.8 Defective on Receipt - Defect Investigation a. In respect of Articles designated ‘Defective on Receipt’, the Authority shall raise a ‘Defective on Receipt’ failure notification using a copy of the form provided at Annex P. The Contractor shall, with the Authority’s Project Manager and Commercial Manager or his authorised representatives, investigate the defect to establish:

i. actual faults found; ii. probable causes if known;

iii. method of rectification; iv. any action to prevent recurrence;

b The Contractor shall present the above information to the Authority’s Project Manager using the Defective on Receipt form (Annex P) within 2 (two) months of receipt of the Article at the Contractor’s premises. 3.9 Second Hand Material a. It shall be permissible for the Contractor to use components from items that are considered

Beyond Economical Repair (BER) providing the item is MOD owned. The Contractor shall make every effort to recycle usable components in order to reduce repair costs and shall provide evidence of recycled goods in their quotations for repairs.

b. Under no circumstances shall any second hand or previously used material be supplied for

furtherance of this Contract without the express written approval of the Authority’s Project Manager, who will require the full history of any such material, together with other relevant technical details.

c. If the Contractor supplies materials which are in breach of this Condition and evidence of

such breach is made available to the Authority, the Authority’s acceptance of, or lack of objection to, such material shall not constitute a waiver of that breach. Any required waiver shall be agreed under the procedures specified in DEFSTAN 05-61 Part 1, Issue 5, as called up in this Contract, covering Concessions and Production Permits.

4. PRICE

DEFCON 127 (Edn. 10/04) - Price Fixing Condition For Contracts Of Lesser Value DEFCON 619A (Edn. 09/97) – Customs Duty Drawback DEFCON 648 (Edn. 10/02) – Availability of Information NOTE: Applicable to Contract Amendments, Additional Tasking and Repair pricing only.

4.1 Pricing a. Contract Line Item 1 – PDS Activities – The price for Line Item 1 is a Firm Price to carry out

the requirements of the Statement of Work detailed at Annex A to the Contract. b. Contract Line Item 2 – Additional Tasks – Prices for Additional Tasks shall be agreed

between the parties on a case by case basis using the procedure set out at Annex B to the Contract.

c. Contract Line Item 3 – Supply of Spares –The price for the Supply of Spares shall be

established in accordance with Annex I of the Contract. d. Contract Line Item 4 – Survey and Repairs –The price for each Survey and Repair under

Line Item 4 shall be established in accordance with Annexes D & L of the Contract. 4.2 Options

a. In addition to the Contract requirements as agreed at Line Items 1 to 4 of the Schedule of Requirements, the Contractor hereby grants to the Authority irrevocable options as detailed at 4.2b below, in accordance with the terms and conditions of the Contract, it being agreed that the Authority has no obligation to exercise such options.

b. Contract Line Items 1, 2, 3 and 4

i. Option 1 (one): Provision of Services as specified under the Contract for an additional 1 (one) year period up to 30 November 2019 at the agreed Option Prices Rates as set out in Annex R of the Contract, provided that the Authority exercises such an option by 31 May 2018.

ii. Option 2 (two): Provision of Services as specified under the Contract for an

additional 1 (one) year period up to 30 November 2020, at the agreed Option Prices Rates as set out in Annex R of the Contract, provided that the Authority exercises such option shall be taken up no later than 31 May 2019. For the avoidance of doubt Option 2 (two) can only be enacted if Option 1 (one) has been exercised.

iii. Option 3 (three): Provision of Services as specified under the Contract for an

additional 1 (one) year period up to 30 November 2021, at the agreed Option Prices Rates as set out in Annex R of the Contract, provided that the Authority exercises such option shall be taken up no later than 31 May 2020. For the avoidance of doubt Option 3 (three) can only be enacted if Options 1 (one) and 2 (two) have been exercised.

5. INTELLECTUAL PROPERTY RIGHTS (IPR) DEFCON 703 (Edn. 08/13) – Intellectual Property Rights - Vesting In the Authority NOTE: The presence of any Contractor or third party owned intellectual property or information not generated in the performance of work under the Contract and subsisting or contained within the Results shall not prevent the exercise by the Authority of its rights under clause 2 of this DEFCON. DEFCON 632 (Edn. 08/12) – Third party Intellectual Property – Rights and Restrictions 5.1 Technical Publications a. The contractor shall ensure that the Authority has the right to copy, amend, extend or have copied, amended or extended any technical publication called for under item 1 of the Schedule or any part thereof including any such part when incorporated in any amended or extended version of such technical publication, and to circulate, use or have used said technical publication including any amended or extended version and any copies thereof for any United Kingdom Government purpose but not for the purpose of manufacturing equipment to which the technical publication relates. 5.2 Design Authority a. The Contractor shall be the Delegated Design Authority for GWS60/Harpoon and the

integration of the system into Royal Navy (RN) Ships. The Contractor shall not make changes to the design or design intent without approval of the Authority's Project Manager.

b. The Contractor shall manage any Sub-Design Authority issues with other parties taking due

regard of any background Intellectual Property Rights that exist in the equipment covered by this Contract.

c. The Contractor shall advise the Authority immediately upon becoming aware of any IPR issues in connection to this Contract which may have a bearing on the ability of the Contractor to fulfil his obligations under the Contract.

d. The Contractor shall maintain a record of any designs and/or modifications of any item of

equipment carried out under this Contract and shall record whether third parties have been consulted or subcontracted to undertake the work.

e. The designated Subcontractor for the GWS60/Harpoon Interface Translator Unit

Software shall be: Rolls Royce Marine Electrical Systems Ltd Northarbour Road Portsmouth PO6 3TL

f. The designated Subcontractor for the GWS60/Harpoon Interface Translator Unit Hardware shall be:

ULTRA Electronic Command & Control Systems Knaves Beech Business Centre Loudwater High Wycombe Buckinghamshire HP10 9UT

unless it can be demonstrated by the Contractor that any re-design or modification of the Interface Translator Unit (ITU) hardware, required under this Contract, can be undertaken without infringing any Intellectual Property Rights subsisting in the ITU Hardware.

g. The Contractor shall be entirely responsible for all liaisons between the Contractor and the designated Subcontractors or any other third parties regarding Design Authority issues. The Authority shall provide any design and technical information to the Contractor that is held by the Authority and is within the Authority’s legal right to so provide to the Contractor.

h. In the event that the Authority holds design or technical information that the Contractor

requires to perform the Contract the ownership of which is in doubt, then the Authority’s rights to issue such information to the Contractor shall be investigated on a case by case basis.

i. In the event that the Authority inadvertently issues design or technical information to the Contractor that it is not legally entitled to issue and this situation becomes apparent to the Contractor, then the Contractor shall not use or copy this information in any form whatsoever and shall immediately return the information to the Authority together with an explanatory note.

j. In the event that the Contractor is frustrated from performing the Contract as a result of non-provision of design or technical information that the Authority holds but is not legally entitled to provide to the Contractor or that the situation described at clause 5.2.i above applies, then the Contract shall be regarded as frustrated and the parties shall negotiate in good faith in order to determine the best way in which to proceed.

k. The provisions of this condition prevail in the event of a conflict with those of DEFCON 632.

7.1 Export Licence / Customs Clearance a. It shall be the sole responsibility of the Contractor to obtain in a timely manner any export

licences and necessary customs clearance into the UK, or elsewhere, which are required in order to perform any of its obligations under the Contract. The Authority shall assist the Contractor in performance of his export licence and customs clearance responsibilities.

7.2 Warranty – Spares and Repairs a. The Contractor warrants that for a period of 12 (twelve) months from the time an article first comes into service either as a procured spare (under Contract Line Item 3) or a repaired item (Under Contract Line Item 4), hereafter known as the In Service Warranty Period (WP), all Articles shall be free from defects in material, workmanship and manufacturing processes and shall be fit for purpose.

b. Articles supplied under Line Items 3 and 4 shall be capable of being stored for up to 24 (twenty four) months before coming into service, hereafter known as the In Store WP.

c. Any article returned to the Contractor under Warranty shall be replaced or repaired by the Contractor at no additional cost to the Authority. d. Upon replacement or repair of any article under warranty the provisions of this warranty Condition shall apply again in accordance with Condition 7.2 a above. e. The Contractor shall only have an obligation hereunder provided the Article and/or the defective part, as the case may be, has been properly installed, integrated, operated, handled, maintained, transported, stored and repaired and provided that said Article and/or defective part thereof has not been subject to accident, abuse, change, modification or misuse. f The Contractor shall ship the defective part(s) to a location (to be agreed with the

Authority), at the Contractor’s expense. Any defective part which is to be replaced or repaired shall become the property of the Contractor. Upon completion of repair or replacement, the Contractor shall, at his own expense, ship the repaired/replaced part(s) to the Authority and upon receipt the Authority shall take ownership.

g. The Contractor shall not be liable for any defects after the end of the Warranty Period.

7.3 Delivery and Consignment a. Delivery shall be the responsibility of the Contractor and all packages shall be addressed

as follows:

b. In the event that a different consignee address is required, the Contractor will be advised

accordingly by the Authority’s Project Manager.

c. The Contractor shall advise the Naval Base Receipt Point at least 3 (three) working days prior to delivery of items that are in excess of 3.5 metres in length or width, and/or over 3.4 metres in height and/or over 10 tonnes in weight.

d. All delivery related paperwork must show clearly the Contract number together with either

‘/Rep’ for articles delivered under Annex D or ‘/NM’ for articles delivered under Annex C.

e. Consignment Instructions shall be detailed on each Demand Order prior to issue. 7.4 Redistribution of Deliveries a. It may be necessary to redistribute Contract deliveries from one Consignee to another. The

Authority’s Project Manager or their authorised representative will communicate such changes to the Contractor in writing

b. A MoD Form 650 for the diverted quantities should be sent to their Consignee or as may be

directed in the letter authorising redistribution.

c. If quantities are urgently diverted under the provision of DEFCON 113 to a Consignee not already listed in the Contract, the MOD Form 650 shall be dispatched as instructed in DEFCON 113 or the diversion instruction.

7.5 Receipt of Articles Delivered a. On receipt, the Consignee will inspect the delivery for obvious signs of external damage. In

the event that such damage is found, the carrier’s delivery note shall be so endorsed and the Contractor informed within 10 (ten) working days. The Authority shall not accept any liability whatsoever for damage caused by inadequate packaging. In the event that damage is found to have been caused by inadequate packaging the Contractor shall replace the item at no additional cost to the Authority.

b. If, on receipt, no transit damage is found, then the certified Brown copy of the MOD Form

650 shall be forwarded to the Contractor. The certification of the Brown copy of the MoD Form 650 shall not be construed as acceptance by the Authority of satisfactory performance of the Contractor’s obligations nor as a waiver of its rights and remedies under this Contract or otherwise.

c. The detail above within a and b does not negate or affect in any way the Authority’s rights

8.1 Payment a. Contract Line Item 1 - PDS Activities

Payment shall be made quarterly in arrears in accordance with Annex E of the Contract, provided that the Contractor has fulfilled its full obligations in carrying out the activities detailed in Annex A to the Contract within the relevant period.

b. Contract Line Item 2 – Additional Tasks Payment shall be made upon certification by the APM that the Task has been satisfactorily

completed. This shall be communicated to the Contractor by the signature of the APM on Part G of the Task Approval Form.

c. Contract Line Item 3 - Spares Payment shall be made on delivery, to the satisfaction of the APM, of the spares detailed at Annex I to the Contract. d. Contract Line Item 4 - Repairs Payment shall be made upon completion, to the satisfaction of the APM, of each repair in accordance with Annex D to the Contract. 9. Contract Administration

9.1 Project Performance Management a. The performance of the Contractor shall be monitored through Performance Indicators

(PI’s) listed at Annex S to the Contract, and at each quarterly meeting the Contractor shall provide evidence of their performance against the PI’s listed.

b. Any quarter where each indicator is green will not require any further action. Where an

indicator is amber the Contractor shall advise through the Progress Report the reasons for the amber status and the action taken to make improvements to performance in order to revert back to green in the following quarter. Should at any time an indicator be rated as red, the Contractor shall produce an action plan within 14 days following the progress meeting covering the means by which they intend to improve performance and how this will be achieved to ensure an improvement in performance by the following quarter.

c. The Authority shall consider any proposal from the Contractor on an individual basis in

respect of any request that an individual requirement be exempt from the performance measurements with the Contractor. Any decision to make an exemption shall be recorded on the quarterly progress reports as stated in the Statement of Work at Annex A to the Contract.

9.2 Dispute Resolution a. Pursuant to DEFCON 530, the following shall apply:

i. The Authority and the Contractor will attempt in good faith to resolve any dispute through negotiation between the Authority’s and the Contractor’s representatives, which attempts may include the use of any ADR (Alternative Dispute Resolution) procedures on which the Authority and the Contractor may agree.

ii. Any dispute, which has not been settled by the Authority’s and the Contractor’s

representatives, may be referred upwards by either the Authority or the Contractor for settlement at a higher level. It is recommended that in order to prevent a dispute becoming a long running issue, a maximum of 14 (fourteen) days shall be allowed for discussion before escalating the dispute to a higher level for resolution.

b. If the procedure laid down in this Condition fails to resolve the dispute then the provision of

DEFCON 530 shall apply. c. Any Dispute that cannot be resolved between the Authority and the Contractor shall be

settled by Arbitration in London, England by a single arbitrator to be appointed by agreement between the Authority and the Contractor in accordance with the Arbitration Act 1996 as amended for the time being in force.

9.3 Retention of Records a. During the continuance of the Contract, and for not less than 2 (two) years after its

completion, the Contractor shall retain a copy of the fully documented records of work done for the purposes of the Contract.

b. The Authority shall have the right during that time, and thereafter as long as a copy of the

documented records are actually retained, to require the Contractor to furnish the Authority copies of such documented records in such form and details as the Authority may prescribe.

9.4 Reporting and Meeting Requirements a. The provisions of DEFCON 642 shall apply. b. Quarterly Progress Reports and Meetings:

i. The Contractor shall carry out all meetings and reporting activities under the Contract in accordance with the requirements detailed at Annex A to this contract.

10. International Commitments a The Authority and its Contractors are obligated to the US Government in respect of the

Harpoon programme as follows:

i. To ensure that data resulting from tests and trials of Harpoon are made available promptly to the US Government;

ii. To arrange access as appropriate for representatives of the US Government to

witness, physical processes relating to Harpoon equipment;

iii. To arrange access as appropriate for representatives of the US Government, to the premises of manufacturers involved in development and production of Harpoon;

iv. To feed in-service experience into a common surveillance programme that will enable

the US and the UK Governments to benefit from the data provided in terms of weapon reliability performance and logistic support.

b. In addition to the rights provided elsewhere in the Contract, the Contractor shall grant to the

Authority and, through the Authority to the US Government, rights of access to and release of information under the Contract sufficient to permit fulfilment of the above obligations to the US Government in respect of the work under the Contract.

c. The Contractor is to take action in respect of the commitments under clauses 10.a.i and 10.a.ii

above only when specifically requested to do so by the Authority. Requests from other sources are to be referred directly to the Authority.

1. Introduction

1.1. Requirement

Defence Equipment & Support (DE&S), Torpedoes, Tomahawk & Harpoon (TTH) Project Team (PT) has a requirement for an In-Service Support (ISS) Contract for the Harpoon/Guided Weapon System 60, hereafter Harpoon/GWS 60.

Harpoon/GWS60 is installed on 13 (thirteen) Type 23 frigates and two land based test sites. It is due to be installed onto 4 (four) Type 45 destroyers.

1.2. Contract Scope

The Contractor shall be the Delegated Design Authority and shall undertake this function as set out in the Terms and Conditions of the Contract (see Clause 5.2).

In the event that the Contractor considers that revised operating procedures would be more effective or offer better value for money they are to raise the proposals with the Authority’s Project Manager for review. If agreed, the revised operating procedures may be embodied into the Contract by way of Contract amendment.

Requirements that are considered to be beyond the scope of the core element of the Contract will be covered by the additional tasking arrangement in the Contract’s Schedule of Requirements Item 2.

The Harpoon Missile Canister and the Harpoon Missile are out of scope for this Contract.

1.3. Roles and Responsibilities

Roles and responsibilities are suggested as follows:

1.3.1. In-Service Support Manager (ISSM)

The focal point for all communications between the Authority’s Project Manager (APM) and the appointed company will be a nominated person within the company who will be known as the In-Service Support Manager (ISSM). Their responsibility shall include the timely and cost effective delivery of the core elements of the Contract as defined in Section 2 (Project Composition – Core Element), together with any additional, non-core, work agreed under the Contract.

The ISSM shall have a background in an engineering discipline and have project management experience working in a weapons environment.

1.3.2. Authority’s Project Manger (APM)

The APM is responsible for the day to day management of the Harpoon/GWS60 project. All non contractual queries arising from the Contract shall be raised with the APM. Contractual issues shall be dealt with by the issuing contract branch.

1.4. Contract Elements

The Contract shall be split into four (4) elements:

A core element shall provide the Authority with the Contractor support required to support the day to day management of Harpoon/GWS60.

An additional tasking element (Annex B to the Contract) shall provide the Authority with a means to request project activity outside of the core element.

Supply of Spares (Annex C to the Contract)

Survey and Repairs (Annex D to the Contract)

2. Project Composition – Item 1 - Core Element

2.1. Project Management

2.1.1. Project Risk Management

Within 6 (six) months of Contract award the Contractor shall attend and support a formal project risk review between stakeholders at the request of the APM. Project risks shall be assigned to either the Authority or the Contractor at the discretion of the APM and reviewed at the Quarterly Project Reviews (QPR)

The Contractor shall be responsible for management of their project risks to ensure they are reduced to an As Low As Reasonably Practicable (ALARP) status as agreed by the APM and ISSM.

The Contractor is to identify emerging project risks which may require the Contactor or the Authority to take appropriate strategy/actions to minimise their impact. This shall be reported as a topic at the Quarterly Project Reviews.

The Contractor shall maintain a Project Risk Database; a template for guidance is found in Appendix 2 - Contractor Project Risk Database.

2.1.2. Upkeep of Contract’s Project Deliverables

The Contractor shall maintain the deliverables in Appendix 1 for review at the Quarterly Project Reviews or as requested by the APM.

2.1.3. Liaison

The Contractor shall exchange technical data and assist the Harpoon/GWS60 project in ensuring that a close and co-operative working relationship with the Authority and all stakeholders is maintained throughout the life of this Contract.

Liaison with the United States (US) Department of Defence (DoD) shall be initiated through the APM.

2.1.4. Quarterly Project Reviews (QPR)

The Contractor shall attend QPR’s at a UK location agreed between the ISSM and APM. These are expected to alternate between Contractor premises and Ministry of Defence (MOD) Abbey Wood.

The Contractor shall issue a QPR Pack within 5 (five) working days after end of the quarter, and prior to the QPR.

The format of the items contained within QPR Pack shall be established at a Project Kick-off Meeting. The pack will include, but not be limited to, the following items:

An agenda covering the items to be discussed at the QPR.

2.1.4.2. Task Tracking Database Report

A Task Tracking Database is to be kept up to date on a weekly basis by the Contractor.

Orders or taskings for multiple NATO Stock Numbers (NSNs) are to be broken out into separate lines. Appendix 3 - Task Tracking Database provides an example of this report.

2.1.4.3. Operational Report

This shall be a short summary of the quarter’s work towards Operational Support and Defects, as defined in section 2.3.1. Appendix 4 - Operational Support Log provides an example of this report.

2.1.4.4. Documentation Status Report

This report should provide the status of any documentation updates that are in progress and cross refer to any related additional tasks. Appendix 5- Documentation Status List gives an example of this report.

2.1.4.5. Obsolescence Report

This report shall detail any observations of obsolete items or items becoming obsolete and recommend a course of action. It shall cross refer to any additional tasks that have been raised to resolve issues.

The resolution of obsolescence will be covered under an additional task.

2.1.4.6. Project Risk Database Report

This report should comprise of a paragraph detailing any changes to the Risk Database; and the status of any risks that are still not mitigated to ALARP status; and progress against plan of risk reduction activities. Appendix 2 gives an example of a risk entry item.

2.1.4.7. Contract Spend Report

This report could comprise a table stating overall Contract spend, core spend, committed additional task spend and uncommitted additional task spend per financial quarter. Previous quarters’ figures should be shown.

2.1.4.8. Project Performance Dashboard

Project performance shall monitored by performance indicators and be reported in a clear and concise manner via the Project Performance Dashboard. This shall show the performance indicators for the preceding quarters. Annex S provides greater detail on the specific indicators and their scoring methodology.

2.1.4.9. Spares and Repairs Report

In the event that spares or repairs are ordered, the Contractor shall compile and maintain a Spares and Repairs Report (example at Annex J to the Contract). This report shall be reviewed as part of the QPR.

2.1.4.10. Meeting Records

The Contractor shall be responsible for taking meeting minutes and producing an action list. Meeting minutes are to be presented in draft for agreement by the APM within ten (10) working days of the meeting. The Authority will confirm acceptance of these minutes to

the Contractor within ten (10) working days of receipt. Formally agreed minutes shall be recorded and distributed by the Contractor within five (5) working days.

2.2. Configuration Management

The Contractor shall produce a Configuration Management Plan within 3 (three) months of Contract placement in accordance with DEF STAN 05-57. The Contractor shall seek agreement from the APM.

2.2.1. Documentation

The Contractor shall be responsible for the configuration management of Harpoon/GWS 60 and the configuration management documentation covered by the Contract. This will include the upkeep of the Master Record Index (MRI), Establishment List (E-List; designation W1044) and current maintenance standard of Harpoon/GWS 60.

The Contractor shall ensure that the documentation reflects the current maintenance standard of the equipment.

2.2.1.1. Storage of Documentation

The Contractor shall be responsible for providing secure (both electronic and physical) storage for documentation issued and produced under the Contract. Adequate measures shall be taken to ensure their safety against hazards such as fire and flood.

The documentation issued (as defined in Annex N to the Contract) is held in a total of 59 storage boxes of approximate size 35x43x29cm, in various forms such as books, pamphlets, box files and bound papers. The majority of this documentation is protectively marked to OFFICIAL SENSITIVE level and includes, but is not limited to:

Books of Reference (BR) - approximately 22 separate A4 chapters in ring binders, including one chapter protectively marked SECRET.

Programme Assembly Instruction Document (PAID) - approximately 6 A4 documents

Technical Drawings - approximately 33 drawing packs, up to A1 in size

2.2.1.2. Documentation Issue Status

The requirement relates to the issue status of documentation which will involve compiling and maintaining the documentation in a format to be agreed with the APM. Currently documentation masters are held in Microsoft Word 2003 Format and are compiled into Adobe Acrobat PDF files for formal release.

The Contractor shall provide, review (at least annually) and maintain a comprehensive Documentation Status List (which shall include a log of any routine amendments and discrete documentation change tasks) and a Documentation Distribution List.

Possible templates for the Documentation Status List and Documentation Distribution List can be found in Appendix 5 and Appendix 6 respectively.

2.2.1.3. Routine Amendments of Documentation

The Contractor shall be responsible for all minor amendments to documentation covered under Annex A. This could cover alterations due to obsolescence, configuration, new codification or design changes.

The Contractor shall maintain an amendment log of all amendments issued, and hold documentation copies prior to the amendment and after incorporation. This log can be subject to audit by the APM at any time.

2.2.1.4. Review of Documentation

The Contractor shall, subject to approval of the final draft by the APM, prepare documentation amendments for submission to the MOD industry partner (BAE Systems, provided through the Handbook Management Team (HMT) Contract) by a date agreed by the APM and ISSM. The Contractor is responsible for managing the communication with the industry partner and resolution of any issues arising.

2.2.2. Planned Maintenance Schedule

The Contractor shall maintain the Harpoon/GWS60 operational maintenance schedule records. There are six (6) Unit Maintenance Management System (UMMS) schedules containing a total of 46 work task entries.

The Contractor is therefore required to obtain access to UMMS. To view UMMS the Contractor shall require a web browser and an active user account. The Authority can initiate the creation of a user account.

The Contractor is expected to train their staff on the use of the UMMS system at their own expense. The Authority may assist the Contractor arrange their training requirements.

2.3. Technical Support

2.3.1. Operational Support and Defects

Operational support will be classified into three categories. Each request will be assigned a category by the APM and an initial technical response is to be delivered to the APM within the following timeframes:

Urgent 10 working days from receipt

Priority 20 working days from receipt

Routine 30 working days from receipt

The Contractor response shall include conclusions and recommendations for defect resolution. If the technical response requires follow on activities then this will be covered by an additional task (Annex B to the Contract).

The Contractor shall maintain an Operational Support Log which will provide a historical source of reference.

Technical responses to Operational Defects, MCTA trial reports, S2022’s and technical queries are covered by the core element of the Contract.

2.3.1.1. Defect Reports

The Contractor shall log and conduct analysis of all Defect Reports forwarded by the APM, Platforms or Test Facilities. Such reports could be in a variety of formats and shall include S2022s.

The Contractor shall log and conduct analysis of all Operational Defects (OPDEFs) forwarded by the APM.

The Contractor shall log, investigate and reply to defect items contained in Maritime Commissioning and Trials Agency (MCTA) Installation Inspections (II), Harbour Acceptance Trials (HAT) and Non Firing Assessment (NFA) referred to them by the APM for action.

2.3.2. Technical Queries

The Contractor shall provide advice and assistance, including answering of technical queries as forwarded by the APM. These shall be recorded in the Operational Support Log (Appendix D).

2.3.3. Reference Equipment

Reference equipment is supplied to the Contractor as Government Furnished Equipment (GFE). The Contractor shall be responsible for installing the equipment at their place of work; Annex N to the Contract lists this in more detail and sets out the installation requirements.

The equipment will be supplied in a serviceable condition and loaned to the Contactor throughout the duration of the Contract. At the end of the Contract the equipment shall be returned to MOD stores.

The Contractor is responsible for maintaining the equipment in working order and the replacement of minor components (such as consumable items) at no extra cost to the Authority, but may demand larger codified items through the MOD stores procedures.

1. Introduction a. This Procedure defines and describes the Additional Tasking element of the Contract under

Item 2 of the Schedule of Requirements. 2. Activity Tasking a. The Authority or the Contractor shall raise tasks on a case by case basis and shall agree

the scope and Firm Price or Limit of Liability (LoL) prior to requiring the Contractor to proceed with any work.

b. Tasks shall be completed in accordance with the agreed scope, programme, price and

delivery agreed for each task. Tasks may include, but are not limited to the following: i. Attendance at trials as defined by the APM

ii. Attendance onboard a RN platform or shore facility for further investigations iii. Specialist technical investigations iv. Procurement of additional Harpoon/GWS60 Spares v. Repair of Harpoon/GWS60 component and ancillaries

vi. Any resultant formal modification to Harpoon/GWS60 vii. Disposal activities Procedure a. The Task Authorisation Form (TAF) at Annex G to the Contract shall be used to authorise

work against Contract Line Item 2 of the Schedule of Requirements, and is formed of seven parts as follows:

i. Part A – to be completed by the Authority’s Project Manager or the Contractor

ii. Part B – Quotation – to be completed by the Contractor

iii. Part C – Project Authorisation – to be completed by the Authority’s Project Manager

b. On receipt of a TAF with completed Part A, the Contractor shall complete Part B and return

to the Authority’s Project Manager within 20 (twenty) working days. The Contractor’s Firm Price quotation is to be broken down in accordance with the agreed Schedule of Rates at Annex H to the Contract.

c. Following approval and signature of the TAF at Parts C and D, the Authority’s Commercial

Officer will complete Part E authorising the TAF, which will then be issued to the Contractor. The Authority’s Commercial Officer shall also create a Purchase Order in P2P for the specific task. The Contractor shall not put any work in hand until properly authorised. The Authority shall not be liable to pay any work put in hand by the Contractor without authorisation.

d. On completion of a Task the Contractor shall submit the relevant TAF signed at Part F to

the Authority’s Project Manager and shall create an Invoice for payment in P2P. Upon satisfactory completion, identified by the APM’s signature of Part G of the TAF, the Authority’s Project Manager shall create a Receipt in P2P.

e. Where it is not possible for the Contractor to provide a Firm Price Quotation ahead of

undertaking the task, the Authority shall agree a Limit of Liability (LoL) with the Contractor and the task shall be authorised to proceed on this basis. Upon completion of the task, the Contractor shall provide a Firm Price Quotation which shall be broken down in accordance with the Agreed Schedule of Rates at Annex H of the Contract. The provisional Limit of Liability (LoL) agreed will be set on a case by case basis. The Contractor shall provide evidence to support the costs such as invoices/receipts etc for the Sub-contractor’s element, together with copies of any hotel bills, travel and airline tickets etc. The Authority reserves the right to reject the Contractor’s claim which is not supported by such evidence.

f. The originally agreed LoL shall be converted into an agreed Firm Price. The Contractor shall

not “invoice” for such tasks until a Firm Price has been agreed and the P2P order amended accordingly.

g. Details of all tasks that are authorised shall be added to Annex G of the Contract by way of

Contract Amendment, at an appropriate point in time. .

i. The Additional Task Authorisation Form at Annex F shall be used to place an order for Strip/Survey on possible repair item(s). The Contractor, upon receipt of a Task Approval Form, shall undertake the Strip and Survey of the items as directed and return the Task Approval Form completed at Part B with a Firm Price using the Firm Prices in Annex L. ii. Once the Strip and Survey activity is complete the Contractor shall provide a Task Approval Form with a Firm Price for repair for the Authority’s consideration. iii. If the Authority wishes the Repair to proceed they shall return the Task Approval Form, properly signed at Part C, to authorise the repair.

iv. If the Authority does not wish to complete the repair, then a separate instruction shall be given to return or dispose of the asset. Requests for disposal shall be submitted to the Authority on a MOD Form 651 for approval. Physical disposal of the asset shall be notified to the Authority via a MOD Form 650A. Disposal of the assets shall be through a Disposal Services Authority (DSA) approved route. v. If the Authority wishes to carry out a Strip and Survey of an item not listed at Annex L the Contractor will be requested to submit a price within 20 (twenty) working days of the Authority’s request using the Additional Task procedure.

b. Note i. Repairs shall use the MOD Form 650 process to allow P2P payment. 4. Spares and Repairs Status Report a. Security Measures Definition 1. In this Condition: a. ‘Secret Matter’ means any matter connected with the Contract, or its performance which is

designated by the Authority in the security aspects letter annexed to the Contract or otherwise in writing as "Top Secret" or "Secret", and shall include any information concerning the content of such matter and anything which contains or may reveal that matter;

b. ‘Employee’ shall include any person who is an employee or director of the Contractor or

who occupies the position of a director of the Contractor, by whatever title given. The Official Secrets Act 2. The Contractor shall: a. take all reasonable steps to ensure that all Employees engaged on any work in connection

with the Contract have notice that the Official Secrets Acts 1911-1989 apply to them and will continue so to apply after the completion or termination of the Contract; and

b. if directed by the Authority, ensure that any Employee shall sign a statement

acknowledging that, both during the term of the Contract and after its completion or termination, they are bound by the Official Secrets Acts 1911-1989 (and where applicable any other legislation).

Security Measures 3. Unless they have the written authorisation of the Authority to do otherwise, neither the

Contractor nor any of their Employees shall, either before or after the completion or termination of the Contract, do or permit to be done anything which they know or ought reasonably to know may result in Secret Matter being disclosed to or acquired by a person in any of the following categories:

a. who is not a British citizen b. who does not hold the appropriate authority for access to the protected matter; c. in respect of whom the Authority has notified the Contractor in writing that the Secret Matter

shall not be disclosed to or acquired by that person; d. who is not an employee of the Contractor; e. who is an Employee of the Contractor and has no need to know the information for the

proper performance of the Contract.

4. Unless they have the written authorisation of the Authority to do otherwise, the Contractor and their Employees shall, both before and after the completion or termination of the Contract, take all reasonable steps to ensure that:

a. no photograph of, or pertaining to, any Secret Matter shall be taken and no copy of or

extract from any Secret Matter shall be made except to the extent necessary for the proper performance of the Contract;

b. any Secret Matter is at all times strictly safeguarded in accordance with the Security Policy

Framework (as amended from time to time) and upon request is delivered up to the Authority who shall be entitled to retain it.

A decision of the Authority on the question of whether the Contractor has taken or is taking reasonable steps as required by this Clause, shall be final and conclusive.

5. The Contractor shall: a. provide to the Authority:

1. upon request, such records giving particulars of those Employees who have had at any time, access to any Secret Matter that is required to be kept in accordance with Sub-clause 4.b.);

2. upon request, such information as the Authority may from time to time require so as

to be satisfied that the Contractor and their Employees are complying with their obligations under this Condition, including the measures taken or proposed by the Contractor so as to comply with their obligations and to prevent any breach of them;

3. full particulars of any failure by the Contractor and their Employees to comply with

any obligations relating to Secret Matter arising under this Condition immediately upon such failure becoming apparent;

b. ensure that, for the purpose of checking the Contractor's compliance with the obligation in

Sub-clause 4.b.), a representative of the Authority shall be entitled at any time to enter and inspect any premises used by the Contractor which are in any way connected with the Contract and inspect any document or thing in any such premises, which is being used or made for the purposes of the Contract. Such representative shall be entitled to all such information as they may reasonably require.

6. If at any time either before or after the completion or termination of the Contract, the

Contractor or any of their Employees discovers or suspects that an unauthorised person is seeking or has sought to obtain information directly or indirectly concerning any Secret Matter, the Contractor shall forthwith inform the Authority of the matter with full particulars thereof.

Sub-Contracts 7. If the Contractor proposes to make a sub-contract which will involve the disclosure of

Secret Matter to the sub-contractor, the Contractor shall: a. submit for approval of the Authority the name of the proposed sub-contractor, a statement

of the work to be carried out and any other details known to the Contractor which the Authority shall reasonably require;

b. incorporate into the sub-contract the terms of the Appendix to this condition and such secrecy and security obligations as the Authority shall direct. In the appendix "Agreement" shall mean the "Sub-Contract", "First Party" shall mean the "Contractor" and "Second Party" shall mean the "Sub-Contractor";

c. inform the Authority immediately they become aware of any breach by the sub-contractor of

any secrecy or security obligation and, if requested to do so by the Authority, terminate the sub-contract.

Termination 8. The Authority shall be entitled to terminate the Contract immediately if: a. the Contractor is in breach of any obligation under this Condition; or b. the Contractor is in breach of any secrecy or security obligation imposed by any other

contract with the Crown;

where the Authority considers the circumstances of the breach jeopardise the secrecy or security of the Secret Matter.

Appendix to Security Measures Security Measures Provisions to be Included in Relevant Sub-Contracts Definition 1. In this Condition; a. ‘Secret Matter’ means any matter connected with the Agreement, or its performance which

the First Party informs the Second Party in writing has been designated by the Authority as "TOP SECRET" or "SECRET" and shall include any information concerning the content of such matter and anything which contains or may reveal that matter;

b. ‘Employee’ shall include any person who is an employee or director of the Second Party or

who occupies the position of a director of the Second Party, by whatever title given. c. The ‘Authority’ means the Secretary of State for Defence. The Official Secrets Act 2. The Second Party shall; a. Take all reasonable steps to ensure that all Employees engaged on any work in connection

with the Agreement have notice that the Official Secrets Acts 1911-1989 apply to them and will continue so to apply after the completion or termination of the Agreement; and

b. If directed by the First Party or the Authority, ensure that any Employee shall sign a

PROJECT PERFORMANCE MANAGEMENT

The Contractor is expected to record and report their scoring against Performance Indicators (PIs) at the Quarterly Project Reviews (QPR), embodied as the Project Performance Dashboard (PPD).

The PPD will provide a reportable metric to the Authority’s senior management.

Should PI 2, PI 3 and/or PI 4 be recorded as late in accordance with the agreed contractual delivery date; they shall be included in the measurement of performance against these PIs. Deliveries still outstanding and past the contractual delivery date from the previous quarter will be included in the calculation for the next quarter’s PIs.
