Virginia is in a prolonged state of growth and home to Loudon, the nation’s fastest-growing county and leader in median household income. It is here, a commonwealth with both past and present significance, that Wheeler Interests has quickly established roots and positioned itself to prosper throughout the state and the eastern U.S.

Jon S. Wheeler founded the company in 1999 and serves as its president and chief executive officer. Victoria Paul joined the team during 2002 and serves as its vice president, asset management, overseeing the company’s property management, lease administration, legal and property accounting departments. George Fox joined the company during 2004 and serves as its director of leasing, overseeing the in-house leasing department while managing its relationships with national and regional retailers. Kris Knepper joined the company last year and works in acquisitions and development. Today, Wheeler Interests is a full-service real estate company focusing on development and acquisitions and dispositions with a portfolio of 40 properties spanning the southeastern U.S.

The company is an acquisitions specialist. Wheeler attributes the company’s success to its management of relationships. “We know how to source deals, and we have great relationships with investment brokers in our markets,” he says. “This helps us achieve a great closing rate with brokers, which leads to a higher level of confidence for anyone entering a deal with us.”

Wheeler Interests has found success with grocery-anchored centers, and continues to focus its attention towards them. Wheeler says, “We like to acquire approximately five centers a year, and while we buy within our existing markets, we are also looking west into Arkansas, Kansas and Missouri and north into Connecticut, Pennsylvania and Vermont. Our perfect acquisition is a grocery-anchored center with a GLA ranging from 50,000 sq.ft. to 300,000 sq.ft., a high market share and upward trending sales, with shop spaces occupying about 30% to 40% of the total GLA and a little bit of vacancy.” He says, while the company will consider centers with value-added potential, it does not do much of it. “We buy a little bit of value-add, but 70% occupied is about as low as we go.”

Once the company has acquired a center, it works to improve its value by filling any vacancies and improving the overall tenant mix. Fox says, “We

are very good in creating value on the short and long term. Tenanting a vacant space is facilitated by the relationships we maintain with retailers, both regional and national.” These tenants include Stein Mart and T.J. Maxx along with a stable of grocery stores, including Food Lion, Farm Fresh, Ukrops, Ingles, Save-A-Lot and Winn-Dixie. He says the company works to maintain and improve on relations with retailers; a process made easier with the hiring of a tenant relations coordinator. He says, “We created a position within our office whose sole duty is to serve as a liaison between tenants and our property management team. We have found a lot of value in the position and our tenants appreciate it. It gives us the opportunity to have a person that focuses on the ‘feel good’ side of the business in such areas as improving their business with enhanced storefront displays and other ways of increasing traffic to the overall center.”

An example of the company’s acquisition, leasing and disposition skills working together to produce maximum value is Fairfield Shopping Center, a 225,000 sq.ft. project located in Virginia Beach, VA. The company acquired the infill center during December 2004 for $22.5 million. Wheeler says, “At the time we acquired it, the center had no competition risk and low market threat and the rents were extremely below value.” Over three years, the company raised the rents from the $12 psf to $13 psf range to the $22 psf to $23 psf range, losing only one tenant in the process. The company re-financed the property during October 2007 at a value equal to $38 million; a difference of $15.5 million.

In the acquisition and disposition realm as well as the leasing realm, Wheeler Interests makes strategic use of auxiliary resources available to the markets. ARGUS, computer software designed to provide financial outlooks and predictions, provides the company with five- and 10-year outlook predictions for a property and greatly facilitates the analysis given to every potential acquisition. Fox notes that the company’s property management division makes heavy use of the MRI Commercial software suite to weigh the finances of every center. In addition to electronic tools, the company utilizes print sources for lead generation. Wheeler says, “We had a 40,000 sq.ft. junior anchor box at Fairfield Shopping Center that we placed a Jerry’s Artarama in, using information we found in the Leadsheet section of The Dealmakers.” Additionally, the company focuses on the fundamentals. He says, “We create value by maintaining relationships with our vendors, being very careful in contract negotiations, budgeting and expense management, and ensuring that leases are administered correctly to tenants.”

Current projects for the company include the refreshing of Port Crossing Shopping Center, a 56,960 sq.ft. strip center located in Harrisonburg, VA. The company acquired the Food Lion-anchored center during February and is working on bringing the 94%-occupied property to full occupancy and constructing an 8,400 sq.ft. expansion. Additionally, the company is working on a few small

developments, though no projects are immediately pending. Wheeler says, “Development is severely strained in today’s lending environment. Lenders are lending on cost, not value, and development financing is not available unless the project is at least 70% committed.” He notes that, once a project is 70% committed, it goes vertical and construction begins. He says, “Most of our focus is on maximizing the value of our existing properties. Instead of developing new properties, which is limited today due to the debt restraints, we are looking at a lot of ‘phase twos’ and additions to existing centers.”

Wheeler Capital is a division of Wheeler Interests that provides small mezzanine loans for established retailers looking to expand throughout the Mid-Atlantic region, with a special emphasis on Maryland, North Carolina, the Hampton Roads and Richmond markets in Virginia, and Washington, DC. The company typically provides mezzanine loans ranging from $100,000 to $1 million with attached warrants, but can and has arranged larger financing packages. Additional divisions and services provided by Wheeler Interests include Site Applications, a full-service construction and maintenance company, and Creative Retail Works, a tenant evaluation and advisory service available to Wheeler Interest tenants.

Going forward, the people at Wheeler Interests know that transactions are not going to be easy. Wheeler says, “What is important today is that, regardless of whether you’re dealing with banks or with tenants, you need to understand that they are all partners. It is important to have a sponsor that understands the ebb and flow of these trials and tribulations; someone who hasn’t survived one downfall but several.” He notes that, while it will take 12 to 18 months to fill a dark anchor, it is important to team up with people that have the expertise to know what to do when the opportunity comes.
