1.0 BACKGROUND The Legislative Counsel Bureau (LCB) is the nonpartisan, centralized agency serving both houses and all members of the Nevada Legislature. The Nevada Legislature conducts regular legislative sessions beginning the first Monday of February in odd-numbered years. 2.0 PURPOSE The Nevada Legislative Counsel Bureau (LCB) is requesting proposals for Crestron Control Systems Programming Services. Crestron programmers with knowledge, expertise and experience in Crestron control programming, installation, testing and support are being sought to provide proposals for services and deliverables. 3.0 RFP SUBMITTAL All proposals must be submitted in writing. Oral or telephone proposals, modifications or amendments will not be considered. Fax or computer data transfer submittals will not be accepted. Bidders must carefully review all RFP documents to ensure that their bids reflect the most favorable terms possible. A proposal submitted must strictly comply with Section 7.0 - Proposal Format & Submittal Requirements. Failure to comply with all provisions in this RFP may result in your bid being disqualified. The PRICE IN THE PROPOSAL MUST REMAIN FIXED FIRM FOR 90 DAYS AFTER THE DUE DATE to allow time for evaluation and award. Price increases after signing the Agreement are not allowed. 3.1 WITHDRAWAL OF PROPOSAL A bidder may withdraw its proposal by written request at any time prior to the deadline set for receipt of proposals. Withdrawal requests must be in writing, signed by the bidder and received by the LCB prior to the date and time designated for receipt of proposals. No proposal may be withdrawn or modified after that deadline. Withdrawn proposals may be resubmitted up to the date and time designated for the receipt of proposals. 3.2 ADDENDA Any interpretation, correction or change of this RFP will be made by written addendum issued by the LCB. Interpretations, corrections or changes of this RFP made in any other manner will not be binding, and bidders may not rely upon such interpretations, corrections and changes. Addenda will be mailed, e-mailed or faxed to all that are known to have received a copy of this RFP. Since failure to acknowledge any addendum(s) may be cause for rejection, a bidder must return the addendum/completed acknowledgment(s) prior to or with its proposal. 3.3 DEVIATIONS Proposals that deviate from this RFP’s specifications or scope of work, or take exception to the specifications in Sections 4.0 and 5.0, are subject to rejection without consideration.

3.4 SUBMISSION OF PROPOSAL Submit your proposal in the following manner: one original (marked as such), one copy and one copy in PDF format on a CD/DVD/Flash drive. Any proposals received after the deadline will not be accepted or considered. 3.5 EVALUATION OF PROPOSALS This RFP does not constitute a commitment by the LCB to award a contract. The LCB reserves the right to waive any informalities, reject any or all proposals, cancel the RFP, or award all or only a portion of the project described in this RFP. 3.6 POINT OF CONTACT Bidders are not permitted to contact anyone on the staff of the LCB for answers to questions except the contact person identified below and any person specifically identified by that contact person. 4.0 SPECIFICATIONS/ SCOPE OF WORK 4.1 SUMMARY

A. Scope of Work: These specifications define the control systems programming services to be provided to the Nevada Legislative Counsel Bureau for its Video Systems Upgrade Project located in the Legislative Building at 401 S. Carson Street, Carson City, Nevada and its satellite office in Las Vegas, Nevada at 555 E. Washington Ave., Ste. 4400. The services include:

1. Review of hardware specifications and design in relation to the remote control portion of the Project.

2. Review of the legacy control systems in regard to function, features, GUI design, presets, interfacing with existing DSP programming, router salvos and interaction with Allen Bradley PLC devices.

3. Assessment of the current network topology and hardware in relation to the control systems interaction.

4. Coordination with third party supplier of Allen Bradley hardware/ software/ programming.

5. Interfacing with BACnet/Modbus devices.

6. Furnishing complete control systems programming, installation, testing and training for the Project.

7. Providing annual support services.

B. Intent: The intent of the Project is to furnish and install control systems programming for the LCB.

C. The work will require working on site at several locations to upload and test control systems code.

D. Installation and operation shall adhere to all national and local codes detailed in Section 4.10. The Contractor shall abide by the best practices and standards set forth by the InfoComm and ANSI organizations.

E. Project requirements:

1. Provide all labor, materials, transportation and equipment to complete the furnishing, installation, assembly, set up and testing of the control systems work indicated on the drawings and specifications herein. Notwithstanding any detailed information in these specifications, provide complete working systems.

2. Generate all submittal information for the complete touch panel and control system button layouts, installation and wiring of the system.

3. Provide staff for the initial adjustment of the systems as described and provide all test equipment for the system checkout and acceptance tests.

4. Provide staff training in the operation and maintenance of the systems for personnel designated by the LCB.

5. Provide warranty for all systems installed, as specified in Section 4.9.

4.2 QUALITY ASSURANCE

A. Comply with the following requirements:

1. Contractor: Work of these specifications shall be performed by a Control Systems Programmer who has at least 3 years of direct experience with the equipment and systems of the type and scope specified herein, and who has a fully staffed and equipped support facility, and who is licensed to perform work of this specification. Submit the following as part of the acceptance of contractor qualifications process:

(a) Reference list of at least 3 projects of similar scope to the work of this specification, at least 1 of which has been completed in the last 12 months. Listings are to include key client contact and telephone numbers.

(b) Examples of post-award submittal documentation similar in scope to the specifications contained herein.

2. Personnel: Contractor must use an adequate number of skilled workers who are thoroughly trained and experienced with the specified requirements and the methods needed for proper performance of the control systems installation work specified herein. Supervisors must have at least 3 years of direct experience in similar work. The control systems technicians assigned to this project shall be fully trained, qualified and carry valid and current industry certifications regarding the engineering, installation, operation and testing of control systems.

3. Custom Control System Programmer: Contractor must provide at least one full time programmer on staff who is capable of providing on-site custom programming of the custom remote control system specified herein, one staff professional who is a Crestron Technical Institute Certified programmer with a minimum of Gold Level Masters in programming, and one programmer who is a Certified Biamp Audio programmer.

4. Designated Project Manager: Contractor must provide a designated Project Manager who must be remain responsible for all phases of installation and testing of the work included in this specification. The Project Manager must not be changed without prior approval of the LCB and must be present throughout the execution of the work unless illness, loss of personnel, or other circumstances reasonably beyond the control of the Contractor intervene.

B. Coordination: Contractor must coordinate the work specified in this RFP with the work of all sections being provided by any separate AV Contractor, third-party programmer or the LCB.

C. Verification: Contractor must verify proposed equipment and design at the project sites. Contractor must submit any conflicts in timely manner for resolution.

D. Project Site Installation and Testing: Contractor must provide installation as specified herein, perform specified adjustment procedures, and provide test equipment and test according to procedures specified herein.

E. Verification of Submitted Test Data: Contractor must retest in the presence of designated representative(s) of the LCB at reasonable mutual convenience, provide services

of a technician familiar with work of this specification, provide all test equipment, provide complete set of latest stamped “Submittals of Record” for reference and provide a complete set of manufacturer’s original operation manuals to the LCB for each piece of equipment as a reference.

F. Reference/Project Record Documents: Contractor must maintain at the workplace and provide to the LCB a complete set of manufacturer’s original operation manuals for each equipment item for reference.

G. Schedule: Comply with the submitted Project schedule. Contractor must complete all submittals specified herein in a timely manner. Failure to complete submittals in a timely manner as specified herein shall be deemed to be failure to make substantial progress of the work of this specification and a breach of the agreement.

4.3 DIVISION OF RESPONSIBILITY

A. Work to be performed by the Contractor:

1. Post award engineering, documentation and supervision as defined herein.

2. Testing of all low voltage control systems system cable.

3. Design of all GUI for touch panels.

4. Furnish complete project archive including, but not limited to:

(a) Uncompiled SIMPL Windows source code files.

(b) Unprotected Crestron or custom user modules.

(c) SIMPL+ header and source code files.

(d) VTPro-E files.

(e) Infrared files.

5. Control system programming and training as defined herein and in the control system drawings and supplemental documentation.

A. Work not performed by the Contractor: The LCB shall install and furnish or cause to be installed and furnished:

1. All related audio, video and control systems hardware, wiring and termination.

2. LAN connections to computer and control system workstations.

3. All AC power conduit and junction boxes as required by the AV system.

4. All millwork as required for installation of the AV equipment.

5. Cabling, termination and programming of all lighting dimmer equipment and required low voltage interfaces.

6. Cabling and termination of all telephone and data distribution equipment.

7. Any modifications to PLC Programming.

4.4 PROJECT DESIGN COORDINATION

A. The Contractor must provide the following drawings and engineering services. Acceptance and sign-off by the LCB will be required for each of the following major project design and engineering phases:

1. Installation, purchase and engineering production schedules.

2. Construction drawings, equipment lists and product data.

3. Control system programming layouts and functionality.

4. As-built drawings, operations manuals and maintenance data.

B. Coordination with LCB’s Network:

1. Secure from the LCB private IP addresses for use by Ethernet-equipped audiovisual devices. No Ethernet-equipped device shall be connected to LCB’s network without the express permission of the LCB. This shall include, but is not limited to, configuration parameters such as DHCP, IP addresses, subnet information, VLAN setup and authorization.

2. Confirmation with Digital Media Design, LLC that coordination with the LCB regarding Ethernet-equipped audiovisual devices as outlined in Section 4.15 governing submittals.

4.5 SUBSTITUTIONS

The specific manufacturers and model numbers of all equipment specified are required to meet the design criteria specified by the LCB. Proposed substitutions must meet the following procedures and criteria:

A. Prior acceptance by the LCB, or if directed by the LCB, by Digital Media Design, LLC to proceed with demonstration of equivalency:

1. Provide manufacturer’s product data sheets on both the specified product and proposed substitute product.

2. Provide a written comparison for equivalency based on at least the following criteria:

(a) Performance specifications.

(b) Product and installation costs.

(c) Physical dimensions and weight.

(d) Maintenance costs and product life-span.

B. Control Systems: Due to the design criteria and interaction with the Allen Bradley PLC logic control systems, there shall be no substitution for Crestron.

4.6 SYSTEM DESCRIPTION

A. Project Overview:

The Nevada Legislative Counsel Bureau (LCB) is a nonpartisan centralized agency serving both houses of the Nevada Legislature. Meetings and hearings are conducted in both Carson City and Las Vegas, Nevada. The primary location of the LCB is in Carson City, Nevada. This location contains 11 committee rooms, an Assembly Chamber and a Senate Chamber. Meetings from each room are captured via remote pan/tilt cameras and microphones to a centralized video control room that contains 8 control stations that record, webcast and broadcast in-house via a CATV system. Each station can be designated to control any of the rooms. Multiple sessions may occur concurrently. There are two committee rooms in Las Vegas. These rooms can be controlled either locally or remotely from Carson City. The content of meetings is delivered to Granicus encoders for webcasting and VOD, Blonder Tongue CATV standard definition RF distribution, Polycom video codecs and DVD/HDD consumer grade recorders as backup.

B. System Details:

1. Carson City Committee Rooms within the Legislative Building are rooms 1214, 2134, 2135, 2144, 2149, 3137, 3138, 3142, 3143, 3161 and 4100 and the Assembly and Senate Chambers:

Each committee room and the Senate and Assembly Chambers are equipped with a presentation system (not part of this contract) that includes a room amplifier, speakers, a hearing assist transmitter, local monitors, far-end monitors, a PC, an audio mixer (shared by the video control room and local room), microphones (shared), push-to-talk buttons (shared) and two PTZ video cameras (shared), except that the Assembly Chamber has three PTZ video cameras (shared). The Senate Chamber and the Assembly Chamber also have voting buttons (not part of this contract). Audio from the meetings is also recorded in the room by the secretary and available as press feeds (not part of this contract). Shared equipment details: (a) PTZ Cameras (furnished and installed by the LCB):

(1) The cameras for rooms 1214, 2134, 2135, 3137, 3138 and 4100 and the Senate and Assembly Chambers are Panasonic AW-HE130 3-CCD HD-SDI cameras.

(2) The cameras for rooms 2144, 2149, 3142, 3143 and 3161 are Panasonic AW-E40 3-CCD HD-SDI cameras.

(3) Camera control shall be via LAN connection

(b) Microphones:

The gooseneck microphones at each seat have a local P-T-T control (furnished and installed by the LCB):

(1) Contact closure trigger Allen Bradley PLC to mute or unmute and illuminate the button (furnished and installed by the LCB).

(2) Allen Bradley triggers Biamp Logic Box which, in turn controls the Biamp Audia (furnished and installed by the LCB).

(3) Crestron control system shall allow P-T-T function remotely from the video control station in the video control room, including button illumination (furnished and installed by the LCB).

(c) Audio DSP Systems: The DSP audio mixer is a Biamp AudiaFlex (furnished and installed by the LCB):

(1) Mic/Line inputs and line outputs vary per room configuration.

(2) Each system includes 1 TI-2 telephone input card.

(3) Each system includes a Biamp LogicBox (furnished and installed by the LCB).

(d) Remote Control Systems:

(1) A local control processor (Crestron CP3) shall be used to control the PTZ Cameras, Biamp Audiaflex via the Allen Bradley PLCs and the FieldServer Technologies protocol gateway (furnished and installed by the LCB).

(2) Allen Bradley Programmable Logic Controllers:

(i) MicroLogix Control Processor (furnished and installed by the LCB).

(ii) IV32 Current Sourcing DC Input Module (furnished and installed by the LCB).

(iii) OB32 Current Sourcing Output Module (furnished and installed by the LCB).

(3) Custom illuminated button control panel:

(i) Buttons for “SPK”, “YEA”, “NAY”, “NV”, “MIC”, “PGE” – Senate and Assembly Chambers.

(ii) Buttons for “YEA”, “NAY”, “MIC”, “SPK” – All Carson City committee rooms.

2. Las Vegas Committee Rooms 4401 and 4412: Each committee room is equipped with a presentation system (not part of this contract) that includes a room amplifier, speakers, a hearing assist transmitter, local monitors, far-end monitors, a PC, an audio mixer (shared by the video control room and local room), microphones (shared), push-to-talk buttons (shared) and voting buttons (not part of this contract) and two (2) PTZ video cameras. 4. Video Control Stations, Carson City Room 3112: Each Video Control Station consists of a 6-input HD video switcher, program and preview monitors, a desktop pc, a DVD/HDD recorder and a Crestron TSD-2020

Touch Screen Control Panel. Inputs to the switcher are routed via the HD/SD/Analog Audio/Video Router. There are three signals from the HD video switcher to the router—HD-SDI program, down-converted SD-SDI, and down-converted SD-SDI clean feed. Audio is routed via the dedicated Biamp DSP’s for each room as well as directly to the HD video switcher for an embedded AES audio signal. In addition to the camera sources, the station can run a Compix HD-SDI video character generator to overlay lower-thirds of members’ names on the recording/webcast. Each touch screen is connected to a Crestron DGE-2 and each DGE-2 is connected to a Crestron CP3-PRO Master Control Processor located in the AV Router Rack in the control room.

A user can sit at any of the eight video control stations and configure the station to capture and control any of the rooms.

(a) Components at each station are follows:

(1) One Blackmagic Design Atem Production Studio 4K Video Switcher (furnished and installed by the LCB).

(2) One Blackmagic Design Atem 1M/E Production Panel (furnished and installed by the LCB).

(3) Two Blackmagic Design SmartView HD-SDI Monitors (furnished and installed by the LCB).

(4) One Dell OptiPlex PC and LCD Monitor (furnished and installed by the LCB).

(5) One Crestron TSD-2020 20” HD Touch Screen Display Monitor (furnished and installed by the LCB).

(6) One Crestron DGE-2 Digital Graphics Engine (furnished and installed by the LCB).

5. Video Control Stations, Las Vegas Room 4402: Each video control station consists of a 6-input HD video switcher, program and preview monitors, a desktop personal computer, a DVD/HDD recorder and a Crestron TSD-2020 Touch Screen Control Panel. Inputs to the switcher are routed via the HD/SD/Analog Audio/Video Router. Each touch screen is connected to a Crestron DGE-2 and each DGE-2 is connected to a Crestron CP3-PRO Master Control Processor located in the AV router rack in the control room.

A user can sit at either of the two video control stations and configure the station to capture and control either of the rooms.

6. Carson City Control Room 3112- MASTER AV RACK:

The control room houses the main AV RACK. The feeds from the various cameras, scalers, microphones and program audio from all of the aforementioned rooms in Carson City.

The rack shall contain all necessary hardware for AV routing, the Master Control Processor, and network switches. The Master CPU communicates to the Local Control Processors over the LCB local area network via the network switch. The Local CPUs communicate to the Allen Bradley PLCs via the Local Control Protocol Gateways via the local network switches in each equipment closet.

Components in the Master AV Rack are as follows:

(a) One Crestron CP3-PRO control processor (furnished and installed by the LCB).

(b) One Imagine Communications PT128x256 3GB/S Audio/Video Router (furnished and installed by the LCB).

(c) One Imagine Communications RCB64PB-OLED Control Panel (furnished and installed by the LCB).

(d) One Imagine Communications PT-RES Resource Control Module (furnished and installed by the LCB).

(e) Four Imagine Communications XHD-6801+UCDT Up/Down Cross Converter (furnished and installed by the LCB).

(f) One Cisco WS-C3560X 24-port network switch with dual 10GB fiber uplinks (provided by the LCB) for AV network connections (furnished and installed by the LCB).

(g) Two Compix Compact CG-HD (furnished and installed by the LCB).

7. Las Vegas Control Room 4402- Master AV RACK:

The Las Vegas control room houses the main AV RACK. The feeds from the various cameras, scalers, microphones and program audio from the two Committee Rooms in Las Vegas.

The rack shall contain all necessary hardware for AV routing and a network switch. The Master CPU communicates to the Local Control Processors over the LCB local area network via the network switch. The Local CPUs communicate to the Allen Bradley PLCs via the Local Control Protocol Gateways via the local network switches.

Components in the Master AV Rack are as follows:

(a) One Crestron CP3-PRO control processor (furnished and installed by the LCB).

(b) One Imagine Communications PT64x64 3GB/S Audio/Video Router (furnished and installed by the LCB).

C. Contractor is responsible to ensure the following programming requirements:

1. The programmable control system shall provide manual and semi-automatic control of specific AV system functions as specified herein and on the system drawings. The recommended Crestron products are specified to interface with the Owner Furnished Equipment Crestron Room View resource management software. The Contractor shall provide up to 16 hours of reprogramming of control system functionality and graphical layout within the first 6 months of system use as requested by the LCB.

2. Remote control operations at each video control station shall be performed on a Crestron TSD-2020 20” color touch panel connected to a Crestron DGE-2 Digital Graphics Engine which is then connected to the main control system detailed in the control systems drawings via the network.

(iii) When the seat is designated as a chairperson, the seat icon changes to a larger style chair

(2) Camera preset control: Select a seat, it turns blue and the camera goes to its preset

(3) Autocast (Character Generator)

(i) Automatically call up name when appropriate seat is selected

(ii) Manually turn the name on/off

(iii) Blank out the name only (leave lower third background)

(iv) Insert/remove order of business

(4) Set back up DVD recorder into record mode

(5) Select End-of-Meeting button at the conclusion of the live event

5. The Contractor shall provide an intellectual property release for installing editable, un-compiled source code for the entire remote control system and associated panel layouts on the dedicated workstation PC. The LCB must be able to make additions, modifications and changes to the remote control system after the warranty period has expired. The LCB cannot copy the programming code for another installation.

6. Contractor shall provide and load onto the LCB’s dedicated PC editable versions of all configuration files for any digital signal processing as well as the associated software required for editing those files.

7. At a minimum, the remote control system shall include the following:

(a) Full function control of all source components, processing and switching devices.

(b) Touch panel layout to include user screens as well as password-protected technician pages.

D. Preliminary Control Surfaces Submittal:

1. The intent of the preliminary control surfaces submittal is to create a base level collaboration tool whereby the Contractor can solicit direction from the LCB and Consultant towards a mutually agreeable design. Based upon the equipment lists and control system functionality provided in the audiovisual systems specification, and in combination with the system topology illustrated on the signal flow drawings, the Contractor will generate preliminary control

surface layouts for all pushbutton panels, touch sensitive panels, PC-based controllers or other control surfaces. The Contractor should endeavor to make the preliminary layouts as complete as possible. The layouts should illustrate all pushbuttons, labels, bar graphs, timers, video windows, etc. for each control panel and each system page. The Contractor should include suggestions for color schemes and graphics where applicable.

2. It is recommended that control touch panel layouts conform to the InfoComm Dashboard for Controls Design Guide. This design guide is available on the InfoComm International website at www.infocomm.org.

E. Control Surfaces Submittal Format:

1. Control surface submittals may be in the form of 8½ x 11 inch full-color printed sheets, JPEG image files (maximum 1920x1080 pixels), or as PDF files. The submittal must include information clearly indicating page flips and other features that may not be evident in static images. This may be accomplished by including a logic flow diagram to supplement the control surface images.

2. The Contractor shall provide one copy each of the submittal to the LCB and two copies of the submittal to the Consultant identified in section 3.6 for review.

3. The Contractor shall receive a written response from the LCB indicating approval to proceed, or changes required to the control surfaces layouts, within 10 working days after receipt of the submittal by the LCB and the Consultant.

F. Revised Control Surfaces Submittal:

1. If changes are required to the preliminary control surfaces submittal, the Contractor shall generate a revised preliminary control surfaces submittal to include the additions, changes or revisions generated by the preliminary submittal review. The form and quantity of the submittal shall be identical to the preliminary submittal, unless otherwise directed. If the revised control surfaces submittal reflects those additions, changes or revisions called for in the preliminary submittal review, the Contractor shall receive written approval to proceed within 10 working days after receipt of the submittal by the LCB.

G. Post-Integration Control Surfaces Adjustments:

1. If so requested by the LCB, and within 90 days after substantial completion of the project, the Contractor shall be prepared to make one visit to the site locations to make final minor adjustments to the control system code or programming without additional compensation. This may include, but may not be limited to, renaming or changing the size or location of buttons, page flip calls, or adjustments to code to provide a fully functioning system. If engraved control system panels require modification at a cost to the LCB, such cost information must be submitted to the LCB for approval prior to any such work being performed.

2. The Contractor shall be responsible for ensuring that any changes to the control system or control surfaces that are made post integration are appended to the final system documentation.

3. The Contractor shall receive written response indicating approval to proceed, or changes required to the control surfaces layouts, within 10 working days after receipt of the submittal by the the LCB or its designee.

4.7 DEMONSTRATION AND TRAINING

A. At a mutually agreeable time between the Contractor, the LCB and the consultant for the LCB, the Contractor shall provide two sessions which are 4 hours in length to demonstrate and instruct the employees of the LCB on the use of the system.

B. The Contractor must obtain written acknowledgment of instruction at the time that instruction is provided to the employees of the LCB.

C. Initial Use Support: Provide standby trainer/ system engineer during initial use of the system.

D. The Contractor must provide at least 8 hours of follow-up instruction as needed during the warranty period, as follows: Up to 3 hours per quarter, not to exceed 8 hours total.

4.8 CLOSE-OUT DOCUMENTS

A. Contractor shall provide a CD of all programming code, including audio matrix, DSP settings, touch panel layouts and control system code.

B. Any control system related equipment shall have the manufacturer, model, serial number, IP address (if applicable) and room location on an Excel spreadsheet furnished on the project documents CD-ROM disc.

C. Contractor shall furnish a laminated one-sheet “quick start” guide for each room. An electronic copy shall be furnished on the project documents CD-ROM disc.

D. Contractor shall furnish a laminated one-sheet troubleshooting guide for each room. An electronic copy shall be furnished on the project documents CD-ROM disc.

E. Contractor shall furnish all operation manuals on the project documents CD-ROM disc.

4.9 WARRANTY SERVICE

A. Warranty: Contractor must warrant the system to be free from defects for a period of at least 12 months after the date of acceptance of the completed project. The Contractor shall also provide a 12-month maintenance agreement for the programming design and software in the RFP, plus an optional extended maintenance plan for the second and third years.

B. Warranty shall include technical assistance via toll free telephone number which is accessible 24 hours, 7 days per week. Warranty shall provide for response to service calls or questions via phone within 2 business hours of the initial call. If Contractor is not able to provide technical assistance to resolve the issue, a technician must be dispatched within 24 hours, or the next normal working day (Monday thru Friday, except for nationally recognized holidays), during the normal working hours (between 8:00 a.m. and 5:00 p.m.), whichever is sooner.

4.10 REGULATORY REQUIREMENTS: Contractor must comply with the following:

4.13 CONFLICTS

Contractor must inform the LCB of any conflicts between codes, regulations, specifications and requirements at least 10 days prior to the commencement of the scheduled work.

4.14 SYSTEM PERFORMANCE REQUIREMENTS

Contractor must ensure that the system meets the following system performance requirements:

A. Remote Control System:

1. Functional requirements:

(a) Coordinate with any electrical contractor to insure proper interface between line voltage and low voltage units.

(b) Verify functional operation for specified control operations.

(c) Wireless systems shall be neither the source of nor be affected by radio-frequency interference to or from external signal devices.

(d) WEP ID for control system shall not be broadcasted.

a) Design Layout Requirements: Provide illuminated feedback of the active functions via illuminated or shaded push buttons at operator and wired remote control stations.

2. Graphics:

(a) Avoid abbreviations.

(b) Size lettering at 1/8 inch minimum.

(c) Maintain background-to-lettering contrast.

3. Positive Logic: Avoid conditions that may cause command synchronization conflicts. Provide A.C. line level power switching and/or power sensing devices where necessary to insure that positive logic conditions are maintained.

4. Timing: Utilize control routines that avoid the possibility of two or more serial macros or control signals being sent simultaneously to the same piece of equipment.

5. Linking: Provide linking of functions to require the fewest number of user actions to effectively control the equipment.

6. Clearing: Ensure that each media selection clears both the previous audio and the previous visual selection to prevent source mixing.

7. Defaults: Establish default conditions for the system at power-up, including device audio levels, warm-up routine, power conditions and switcher status as well as any other default conditions required by the LCB.

8. Audio Volume Memory: Provide easy-to-use memory for volume settings associated with each particular source device.

9. Fail-safe: No operation or sequence of operations of the control system shall cause it to become inoperative or interfere with the further procession, execution of commands or correct operation of the system.

4.15 SUBMITTALS

Contractor must comply with the following:

A. Submit all materials for review arranged in same order as specifications, individually referenced to Specifications paragraph and Contract Drawing number. Submit two copies of 8 1/2 x 11 inch material and two prints plus one reproducible of drawings in edge-bound sets. Submit all drawings on sheets of the same size.

B. Make each specified submittal as a coordinated package complete with all information specified herein. Incomplete or uncoordinated submittals will be returned with no review action.

C. Should the Contractor proceed with the work of these specifications in the absence of submittals for such work submitted and returned with action “No Exception Taken” or “Make Corrections As Noted” the Contractor proceeds at the Contractor’s own risk.

D. Progress Schedule: Include duration and milestones for at least the following:

1. All submittals specified.

2. Installation.

3. Field-testing.

4. Training.

5. First event date.

E. Shop and Project Site Test Reports:

1. Project Site test report: Submit following system completion and prior to and as condition precedent to acceptance review and testing of the work of these specifications.

2. Content: Include at least:

(a) Time and date of test.

(b) Test object.

(c) Procedure used.

(d) Results of test-numerical or graphical presentation.

4.16 OPERATING AND MAINTENANCE DATA

A. Manuals: Contractor must submit two sets of manuals. One set shall be furnished on a CD-ROM and the second set shall be submitted in three-post binders or three-ring binders with tabs. Contractor must include:

1. Index.

2. Systems operating instructions, custom:

(a) Include custom written instructions to include:

(1) Table of contents and page index.

(2) System description.

(3) A “quick-start” guide for simple operation.

4. Maintenance information and spare parts schedules.

5. Shop and field test reports.

6. Equipment manuals. Collate alphabetically by manufacturer. Provide manufacturer’s original operation, instruction and service manuals for each equipment item.

B. Operating and maintenance instructions: Provide adjacent to each ensemble of equipment racks. Provide sturdy holder or non-scratching plastic cover. Provide permanent, non-fading media. Blueprints shall not be acceptable. Include:

1. Sequence for system start-up and shutdown.

2. System functional diagrams.

3. Signal levels and impedances at accessible system signal and test ports.

4.17 PROJECT RECORD DOCUMENTS

A. Record Drawings: At all times when the work is in progress, contractor must maintain at the project site, a complete separate set of the submittals. As work progresses, the Contractor must maintain records of “as installed” conditions on this set in suitable red ink. After successful completion of project site testing specified herein, and after completion of punch list corrections, the Contractor must copy all records of “as built” conditions on to the originals.

4.18 ACCEPTANCE REVIEW AND TESTING PROCEDURES

A. Contractor must complete all work included in these specifications:

1. Submit test report.

2. Submit review copies of operating and maintenance manuals, less reduced set of record drawings.

3. Notify the LCB in writing that the work of this specification is complete and fully complies with the contract documents.

4. Request acceptance review and testing.

5. The LCB will conduct a verification of the submitted test data, and otherwise direct testing and adjustment of this work. These procedures may be performed at any hour of the day or night as required by the LCB to comply with the project schedule and avoid conflict with these procedures from possible ongoing work of other sections. Provide all specified personnel and equipment at any time without claim for additional cost or time.

B. Personnel: Contractor must provide services of the designated supervisor and additional technicians familiar with work of these specifications and provide such quantity of technicians as required to comply with project schedule.

C. In Addition, Contractor must provide:

1. Set of tools appropriate for performance of adjustment of and corrections to this Work. Include spare wire and connectors and specified tooling for application.

2. All test equipment.

3. Complete set of latest stamped, actioned submittals of record for reference.

4. Complete set of shop and project site test reports.

5. Complete set of manufacturer’s original operation manuals for each equipment item for reference.

D. Contractor must demonstrate: Complete operation of all systems and equipment, including portable equipment.

E. Contractor must make such adjustments as directed by the LCB.

F. Contractor must correct: In timely manner, failure to comply with the contract documents, as reasonable determined by the LCB.

4.19 CLOSEOUT

A. Contractor must correct items on the punch list: Perform any and all remedial work, at no claim for additional cost or time. Where required, Contractor must retest and submit test report. Notify the LCB of completion of punch list.

B. Portable Equipment: Contractor must furnish all portable equipment and spares to the LCB, along with complete documentation of the materials presented. Where applicable, Contractor must furnish portable equipment in the original manufacturer’s packaging.

C. Operating and Maintenance Data: Contractor must install framed operating and maintenance instructions. Submit manuals.

D. Contractor must submit project record documents.

E. Keys: If applicable, Contractor must replace construction locks with permanent locks. Transmit keys to the LCB.

F. Training: Contractor must perform the specified training.

G. Warranty: Contractor must submit the warranty dated to run from date of acceptance of the work of these specifications.

4.20 LCB’S RIGHT TO USE EQUIPMENT: Acceptance of the work of these specifications will be after completion of corrections and adjustments required by the “Punch List” which results from the acceptance review and testing of the completed installation. The LCB reserves the right to use equipment, material and services provided as a part of the work of these specifications prior to acceptance without incurring any obligation to accept any equipment or completed systems until all “punch list” work is complete and all systems comply with the contract documents; or accept any claim for additional cost or time. 5.0 CONTRACTUAL PROVISIONS TO BE INCLUDED IN CONTRACT AWARDED

I. TERM OF THE AGREEMENT/PROJECT TIMING/ STANDARD OF PERFORMANCE

(A) The term of this Agreement shall commence on the date on which it has been signed by all of the parties and shall continue in full force and effect until terminated pursuant to Section XI or XII of this Agreement. (B) Contractor and the LCB agree that time is of the essence in the performance of the duties set forth in this Agreement. (C) Contractor agrees to work faithfully, industriously and to the best of its ability, experience, and talents in the performance of its duties under this Agreement. (D) Unless otherwise agreed to in writing, the provisions of Sections I to XXII, inclusive, of this Agreement shall prevail over any conflicting provision in any other document. The provisions of this Agreement, however, do not amend, replace, modify or affect in any way, the provisions of any other Agreement entered into by the parties.

II. RESPONSIBILITIES OF CONTRACTOR

As specified in this RFP

III. REVIEW AND APPROVAL OF WORK

(A) Upon receipt of each bill submitted by the Contractor pursuant to Section XII of this Agreement which describes the work completed since the last bill, the LCB agrees to inspect any work completed which has not already been approved and notify Contractor within 10 business days whether the work is approved or rejected. Contractor acknowledges that acceptance is within the sole discretion of the LCB. The LCB agrees that it will not exercise its discretion in an arbitrary or capricious manner. The LCB further agrees that if it rejects any work, the LCB will provide Contractor along with the notice of rejection, a list of the deficiencies in the work performed by Contractor that Contractor must correct for the LCB to accept the work. (B) If the LCB notifies the Contractor that any aspect of the work has been rejected, the Contractor shall correct the specified deficiency within 10 business days for reconsideration, unless a longer time is authorized by the LCB. Any such correction of a deficiency shall be at the expense of the Contractor. After the Contractor has corrected a deficiency, Contractor agrees to notify the LCB and the process set forth in paragraph (A) for the inspection of work will apply.

(C) Upon approval of the Contract Administrator for the LCB of all of the work set forth in the bill, the LCB agrees to pay the Contractor within 30 days, less 10 percent. Final payment for the project shall be withheld until the LCB approves the project and the Contractor has completed all of its responsibilities under this Agreement to the satisfaction of the LCB.

IV. THE WORKSITE: LEGISLATIVE BUILDING

(A) The LCB agrees that it will provide access to the Legislative Building to the Contractor and surrounding areas as necessary. Any keys provided to the Contractor for the purpose of providing such access must not be taken off of the premises of the LCB and must be returned to the Contract Administrator for the LCB each day. (B) The Contractor agrees that any employee or subcontractor of the Contractor who performs work in or around the Legislative Building must obtain from the LCB an identification badge which must be worn by the employee while performing such work. The Contractor further agrees that a foreman or superintendent of any subcontractor employed by the Contractor will be physically present on site during the performance of any work on the premises of the Legislative Building. (C) The Contractor acknowledges that the Legislative Building will remain open while work is performed and agrees to coordinate its work activities with the LCB to ensure that access to the Legislative Building by the public and employees of the LCB is not unduly impaired.

(D) The Contractor agrees that, except with approval of the Contract Administrator for the LCB, all work performed pursuant to this Agreement must occur during regular working hours of regular working days.

(E) The Contractor acknowledges that the Legislative Building is a professional building and agrees to perform all work within and around the Legislative Building in a professional manner and to be courteous to all persons encountered in the performance of its responsibilities under this Agreement.

(F) The Contractor acknowledges that it is responsible for protecting the safety of the public and employees of the LCB from any hazards that may arise from work performed pursuant to this Agreement.

(G) The use of tobacco products is prohibited within the Legislative Building and on the roof. Smoking is permitted on the grounds of the Legislative Building away from the public entrances. The Contractor agrees that its employees and any subcontractors will abide by the tobacco use policy of the LCB.

(H) The Contractor agrees that its employees and any subcontractors will use only travel routes through the Legislative Building and the surrounding grounds that have been approved by the LCB.

(I) The Contractor agrees to ensure that the work site is cleaned daily and that upon completion of the project will be cleaned to the satisfaction of the LCB. The Contractor is responsible for the disposal of any refuse generated from the project.

(J) The LCB agrees to allow the Contractor to store equipment and materials in locations designated by the LCB. The Contractor bears the risk of loss of, or damage to, any equipment or materials used in completing the project, including any equipment or materials stored on site.

(K) The LCB agrees that it will provide access to the Contractor to utilities, including, without limitation, electricity and water, as needed in the performance of its responsibilities under this Agreement. (L) The Contractor agrees to adhere to and follow all security protocols required in the Legislative Building and its perimeter. (M) The Contractor agrees to abide by any other rules of conduct of the LCB while performing work at the Legislative Building as directed by the Contract Administrator for the LCB or his designee.

V. INDEPENDENT CONTRACTOR

The parties to this Agreement agree that for the purposes of the work performed pursuant to this Agreement, Contractor is an independent contractor as that term is defined in NRS 333.700 and is not an employee of the LCB or the State of Nevada. There will not be: (A) Withholding of personal income tax by the State of Nevada; (B) Industrial insurance coverage funded by the State of Nevada; (C) Participation in group insurance plans which may be available to employees of the State of Nevada; (D) Participation or contributions by either Contractor or the State of Nevada to the Public Employees’ Retirement System; (E) Accumulation of vacation leave or sick leave; or (F) Unemployment compensation coverage provided by the State of Nevada.

VI. PRIMARY RESPONSIBILITY

Contractor shall not subcontract, sell, transfer, assign, delegate or otherwise dispose of its rights, obligations or duties under this Agreement or any portion thereof without the prior written

consent of the LCB. The LCB agrees not to unreasonably withhold such consent. If the LCB provides any such consent, Contractor agrees to remain primarily responsible for the work. Contractor shall not seek approval to subcontract work to any subcontractor who has been suspended by the State of Nevada. No subcontractor may in any case relieve Contractor of its liability under this Agreement and any person engaged in the performance of work covered by this Agreement shall be considered an employee of Contractor.

VII. AUDIT REQUIREMENTS

(A) Contractor agrees that any books, records, documents and accounting procedures and practices relevant to the performance of this Agreement are subject to inspection, examination, audit and copying by a person designated by the LCB at reasonable times and with reasonable notice. The LCB may request at any time, and Contractor shall provide, any such documentation in a form acceptable to the LCB at a location determined by the LCB. (B) Contractor further agrees to preserve and make available any books, records and documents relevant to the performance of this Agreement for 3 years after the date of final payment under this Agreement. If this Agreement is completely or partially terminated, the books, records and documents relating to the work terminated shall be preserved and made available for 3 years after the date of any resulting final settlement.

VIII. NOTICES/CONTRACT ADMINISTRATION

(A) All notices under this Agreement shall be deemed sufficient if delivered in person or sent by registered mail, return receipt requested. IX. STATE OWNERSHIP

(A) All of the work performed by or at the direction of Contractor and all materials, products and deliverables developed or prepared for the LCB by or at the direction of Contractor pursuant to this Agreement are the property of the LCB and all title and interest therein shall vest in the LCB and shall be deemed to be a work made for hire and made in the course of the services rendered hereunder. To the extent that title to any such works may not, by operation of law, vest in the LCB or such works may not be considered works made for hire, all rights, title, and interest therein are hereby irrevocably assigned to the LCB. All such materials, products and deliverables shall belong exclusively to the LCB, with the LCB having the right to obtain and to hold in its own name copyrights, registrations or such other protection as may be appropriate to the subject matter, and any extensions and renewals thereof. Contractor shall not use, willingly allow, or cause to have such materials, products and deliverables used for any purpose other than the performance of its obligations under this Agreement without the prior written consent of the LCB. (B) Contractor agrees to give to the LCB and any person designated by the Nevada Legislature, reasonable assistance required to perfect the rights defined in this section. Unless otherwise requested by the LCB, upon the completion of the services to be performed, Contractor shall immediately turn over to the LCB all materials and deliverables developed pursuant to this Agreement.

X. CONFIDENTIALITY

Contractor agrees to maintain the confidentiality of the information, records and data obtained during the performance of its duties under this Agreement. Contractor further agrees not to use such information for any purpose other than to perform its duties under this Agreement and that it will require its employees to comply with the confidentiality requirements of this section.

XI. PUBLICITY

Contractor shall not use any data, pictures or other representations of the State of Nevada, the Nevada Legislature or the LCB in its external advertising, marketing programs or other promotional efforts, unless it obtains the specific advance written authorization of the LCB. The LCB agrees not to unreasonably deny authorization to Contractor to use the LCB as a reference or to use samples of any work product that it developed during the performance of this Agreement.

(C) Contractor may submit a bill to the LCB not more than one time each 30 days in an amount which corresponds to the percentage of the project that has been completed since the last payment. The bill must specify all work completed since the last bill and all work left to be completed. Upon approval by the contract administrator for the LCB of the work identified in the bill provided pursuant to section III of this Agreement, the LCB agrees to pay Contractor within 30 days, less 10 percent. (C) Upon approval of all work required under this Agreement, Contractor may submit a bill for final payment and the LCB agrees to pay Contractor the balance owed within 30 days. (D) The payments provided pursuant to this section shall constitute the entire compensation for the services rendered by Contractor and shall be deemed to cover all of the costs of Contractor, including, without limitation, overhead, travel, expenses, taxes, supplies and other related expenses, if any. No additional charges of any kind will be paid unless specifically agreed to in writing, in advance, by the LCB.

XIII. TERMINATION BY THE LCB

(A) The LCB may at any time, for its convenience and without cause, terminate all or part of this Agreement. To terminate this Agreement pursuant to this paragraph, the LCB must send to Contractor a notice of termination without cause. Termination of this Agreement pursuant to this paragraph shall be within the sole discretion of the LCB and shall become effective upon receipt by Contractor of the notice of termination without cause. The LCB’s liability to Contractor with respect to any such termination is limited to the reasonable costs incurred by Contractor before the effective date of the termination for any approved project which must not exceed the maximum amount authorized for the project pursuant to Section X of this Agreement. If requested, Contractor shall substantiate any cost submitted for payment with proof satisfactory to the LCB. This paragraph does not apply to termination for cause. (B) Contractor is in default of this Agreement and the LCB may terminate this Agreement for cause if the LCB determines that: (1) The quality of the work performed by Contractor is unacceptable; (2) Contractor has failed to comply with the terms of this Agreement to the satisfaction of the LCB; (3) Contractor is unable to identify and resolve problems in a timely manner; (4) Contractor has breached this Agreement or is not fulfilling its obligations under this Agreement in any other respect; or

(5) Contractor has sought, or been forced to seek, protection under the Federal Bankruptcy Act. (C) The LCB is in default of this Agreement if, at any time, the LCB materially breaches any term of this Agreement. (D) To terminate this Agreement for cause, the nondefaulting party shall send to the defaulting party a notice of default. Termination shall become effective 5 days after the defaulting party receives the notice of default unless during those 5 days the defaulting party cures the default. (E) If the LCB terminates this Agreement for cause, the LCB is not liable for any costs incurred by Contractor and the LCB may procure the services from another source and hold Contractor liable for any excess cost occasioned thereby.

XIV. LIABILITY INSURANCE

During the term of this Agreement, Contractor shall maintain comprehensive public liability insurance coverage of not less than $1,000,000 in a form and with an insurer acceptable to the LCB. The policy shall be a combined single limit, bodily injury and property damage, against liability arising out of the services of Contractor and its officers, employees, subcontractors and agents. Contractor agrees to name the State of Nevada, the Nevada Legislature and the LCB and their officers, employees and authorized agents as additional insureds on the policy. Evidence of the policy required by this section must be furnished to the LCB at the time of the signing of this Agreement and thereafter from time to time as the LCB deems necessary. Such evidence must demonstrate that the policy may not be modified or terminated without at least 30 days’ prior written notice to the LCB.

XV. COMPLIANCE WITH LAWS

Contractor shall comply with all applicable federal, state, county and local laws, ordinances, regulations and codes in the performance of its duties under this Agreement.

XVI. INDEMNIFICATION

(A) Contractor agrees to hold harmless, indemnify and defend the State of Nevada, the Nevada Legislature and the LCB and their officers, employees and authorized agents against any claim, action, loss, damage, injury, liability, cost and expense of any kind or nature arising from the performance of this Agreement by Contractor which is not due to or caused by the negligence of the State of Nevada, the Nevada Legislature or the LCB or one of their officers, employees or authorized agents.

(B) In any claim against the State of Nevada, the Nevada Legislature or the LCB or one of their officers, employees or authorized agents by any employee or subcontractor of Contractor, or any person directly or indirectly employed by any of them, or any person for whose acts any of them may be liable, this indemnification shall not be limited in any way by any limitation on the amount or type of damages, compensation, or benefits payable by or for Contractor or any subcontractor under workers’ compensation acts, disability benefits acts, or other employee benefit acts. (C) The indemnification conferred by this section is not intended to waive the limitation on the award of tort damages otherwise applicable to the acts or omissions to which the indemnification applies. (D) The remedy provided by this indemnification is in addition to, and not in lieu of, any other remedy. This indemnification must not be diminished or limited in any way to the total limits of insurance required by this Agreement or otherwise available to Contractor.

XVII. CONTINGENCY/FORCE MAJEURE

(A) Neither of the parties to this Agreement shall be held responsible for any delay or failure in the performance of this Agreement which is caused by a fire, strike, embargo, requirement imposed by governmental regulation, civil or military authorities, an act of God, the public enemy, or any other cause beyond the control of any of the parties. (B) If such a contingency occurs, the party injured by the other’s inability to perform may elect to: (1) Terminate this Agreement or any part thereof; or (2) Suspend this Agreement for the duration of the delaying cause, with the option of extending the period for performance for not longer than the length of time the contingency endured. (C) Unless written notice is given within 30 days after the injured party is apprised of the contingency, suspension of this Agreement as set forth in paragraph (B)(2) shall be deemed selected.

XVIII. SEVERABILITY

If any term or provision of this Agreement is determined to be illegal, unenforceable or invalid in whole or in part for any reason, such illegal, unenforceable, or invalid provisions or part thereof shall be stricken from this Agreement, and such provision shall not affect the legality, enforceability or validity of the remainder of this Agreement.

XIX. INTERPRETATION

This Agreement shall be construed, interpreted and enforced in accordance with the laws of the State of Nevada.

XX. VENUE

Any cause of action brought by or against the State of Nevada, the Nevada Legislature or the LCB or their officers, employees or authorized agents arising out of the performance of this Agreement must be instituted and maintained in a court of competent jurisdiction in the County of Carson City, State of Nevada.

XXI. REMEDIES NOT EXCLUSIVE

No remedy provided herein shall be deemed exclusive of any other remedy allowed or provided by law.

XXII. REPRESENTATION BY INDEPENDENT COUNSEL

This Agreement was executed voluntarily without any duress or undue influence on the part of or on behalf of the parties hereto. The parties acknowledge that they have read and understood this Agreement and its legal effect. Each party acknowledges that it has had a reasonable opportunity to obtain independent legal counsel for advice and representation in connection with this Agreement. Each party further acknowledges that it is not relying on, and it is not for the purposes of the negotiation, execution and delivery of this Agreement a client of, the legal counsel employed by any of the other parties to this Agreement.

XXIII. ENTIRE AGREEMENT

This Agreement sets forth the entire Agreement between the parties hereto and no representation or promise not specifically set forth herein shall affect the duties or liabilities of either party hereunder, unless set forth in writing and agreed to by the parties.

9.0 SELECTION CRITERIA Proposals will be evaluated by the Nevada Legislative Counsel Bureau (LCB) and any subsequent award shall be based on the company’s qualifications including, but not limited to, the following:

Ability to meet the LCB’s needs: (maximum 5 points) Proposals will be evaluated based on the bidder’s ability to meet the needs and desires of the LCB as outlined in this RFP, including price, ability to meet stated timelines and services provided, as well as:
