1. Claim against (the Buyer or the Seller) for something (losses and

damages): Demand for something as rightful or due

In the event that this Contract was cancelled by the Buyer unilaterally,

the Seller would have right to claim the Buyer for its losses and damages.

Trong trường hợp hợp đồng này bị người mua đơn phương hủy bỏ, người

bán sẽ có quyền khiếu nại người mua cho những tổn thất và thiệt hại của hợp

đồng.

2. Set forth: to present something for consideration as in to propose something

or to express something in words

The stipulations were set forth in Clause 1 of this Contract.

Các quy định đã được trình bày trong điều 1 của hợp đồng này.

3. Delegation of duty: the act of passing your duty to another one. It is

normally to a person in lower level.

The rights under this Contract may not be assigned nor the duties

delegated by either party without the prior written consent of the other party.

Các quyền theo hợp đồng này có thể sẽ không được giao hoặc các nghĩa

vụ sẽ không được chuyển giao bởi một trong các bên nếu không có sự đồng ý

bằng văn bản trước đó của bên kia.

4. Final and binding to both parties: Common and binding property to

someone.

In the execution course of this contract, all disputes not reaching at

amicable agreement shall be settled by the Economic Arbitration board of

Hochiminh City under the rules of the International Chamber of Commerce

whose awards shall be final and binding both parties.

Trong quá trình thực hiện hợp đồng, tất cả các tranh chấp không đạt

được thỏa thuận hòa giải sẽ được giải quyết bởi Hội đồng Trong tài kinh tế của

thành phố Hồ Chí Minh theo các quy tắc của Phòng thương mại quốc tế mà

phán quyết sẽ là chung cuộc và ràng buộc cả hai bên.

5. Become null and void: have no effect if it has not come into force within a

certain time (some days/months from signature).

This Agreement shall become null and void and all earnest money

refunded in full, in which event all parties agree to execute all necessary

documentation.

Thỏa thuận này sẽ vô hiệu và tất cả tiền sẽ được hoàn trả đầy đủ nếu

trong trường hợp tất cả các bên đồng ý kí kết thực hiện tất cả các chứng từ cần

thiết.

6. Performance Guarantee: The guaranty of the parties will perform the

Contract.

The performance guarantee shall be valid for a period commencing on

the date of issue and shall terminate when the DTI informs the Seller /

Contractor in writing that it has fulfilled its Industrial Participation

Obligation.

Bảo lãnh thực hiện hợp đồng sẽ có giá trị trong khoảng thời gian bắt đầu

từ ngày cấp và sẽ chấm dứt khi DTI thông báo cho người bán/ hoặc nhà thầu

bằng văn bản rằng DTI đã hoàn thành nghĩa vụ tham gia của mình.

7. Payment Guarantee: the simple commitment that the bank will pay for

the seller if the buyer defaults.

This document, together with the signature of the authorized person, shall be deemed the only evidence for our payment under this Guarantee.

Chứng từ này, cùng với chữ kí của người có thẩm quyền sẽ được coi là bằng chứng duy nhất cho việc chúng tôi đã thanh toán theo bảo lãnh này.

8. Standard export package: package especially for export and already be

standardized.

Standard export package and then placed in container to be carried by

ship to HCMC Port – Vietnam.

Bao bì dùng cho việc đóng gói xuất khầu và sau đò sẽ đươc chứa trong

các container để vận chuyển bẳng tàu thủy đến cảng thành phố Hồ Chí Minh –

Việt Nam.

9. Be made out to the order of: be established according to someone’s

requirement.

3/3 originals clean on board Bill of Lading marked “FREIGHT

PREPAID” made out to the order of Issuing bank and notify the Buyer.

3/3 bản gốc vận đơn sạch đã xếp được kí mã hiệu “Cước phí đã trả” thực

hiện theo yêu cầu của ngân hàng phát hành và thông báo cho người mua.

10. Claim payable: require to pay

Insurance policy in duplicate, covering “All risks and War risks” 110%

of invoice value showing claim payable in HCMC, Vietnam.

2 bản hợp đồng bảo hiểm, bảo hiểm cho “tất cả rủi ro và rủi ro chiến

tranh” cho 110% giá trị hóa đơn phải trả tại thành phố Hồ Chí Minh, Việt

Nam.

11. To be at Seller's account: seller will pay all fees, costs…when having any

cost arising.

Fumigation to be effected on board the vessel after completion of

loading with expenses to be at Seller's account.

Xông hơi khử trùng được thực hiện trên boong tàu sau khi hoàn thành việc

bốc hàng với chi phí được tính vào tài khoản của người bán.

12. Pratique: license or permission to use a port, given to a ship after

quarantine or on showing a clean bill of health.

Before submitting N.O.R., the vessel must be in free pratique.

Immediately after vessel at berth, captain shall request Vinacontrol to inspect

the hatches/holds and issue a cetificate certifying the hatches/ holds are clean,

dry, free from harmful factions and suitable for goods loading with such

expensses to be at ship owner's account and time not to count as laytime.

Trước khi trao NOR, con tàu phải có giấy phép thông cảng. Ngay sau khi

tàu đến bến cảng, thuyền trưởng sẽ yêu cầu Vinacontrol kiểm tra các hầm tàu /

hầm hàng và cấp chứng nhận xác nhận các hầm tàu / hầm hàng sạch khô,

không có tác nhân gây hại và thích hợp cho việc bốc dỡ hàng hóa mà chi phí do

chủ tàu chịu và thời gian đó không được tính là thời gian xếp hàng

13. In conformity with: following the rules of something

Irrevocable and confirmed L/C which is in conformity with this

contract by an international first class bank at sight

Tín dụng thư không hủy ngang phải phù hợp với hợp đồng này và phải

được xác nhận bởi một ngân hàng hàng đầu ngay khi tín dụng thư được trình ra

trước ngân hàng.

14. Be referred to: to send something to somebody for help, advice…

Any discrepancies and/or disputes arising out or in connection with this

contract not settled amicably shall be referred to Arbitration accordance with

the Rules and Practices of the International Chamber of Commerce in Paris

or such other place agreed by both sides.

Bất kì sự khác biệt và/hay tranh chấp phát sinh từ hoặc có liên quan đến

hợp đồng này không được giải quyết một cách thỏa đáng sẽ được trình lên

trọng tài theo Các quy tắc và thực hành của Phòng thương mai quốc tế tại Paris

hoặc những nơi khác đã được hai bên thỏa thuận.

15. Be entitled to: to give (a person or thing) a title, right, or claim to

something; furnish with grounds for laying claim.

The Buyer will be entitled to have the goods inspected by Vinaconntrol

at the destination, if any discrepancy arises in respect of quantity and quality.

Người mua có quyền đưa hàng hóa giám định bởi Vinacontrol tại nơi

đến, nếu có bất kì khác biệt nào phát sinh có liên quan đến số lượng và chất

lượng.

16. Pursuant to: proceeding after; following

The Buyer shall give a guarantee pursuant to procedure at the Bank for

Foreign Trade of Vietnam.

Người mua sẽ cung cấp một bảo lãnh theo quy trình tại Ngân hàng Ngoại

thương Việt Nam.

17. Sailing date: the date when ship starts off.

Within 2 days after the sailing date of carrying vessel to S.R Vietnam,

the Seller shall notify by cable to the Buyer the following information:

Trong thời hạn 2 ngày kể từ ngày tàu chở hàng rời cảng đến nước Công

hòa Xã hội chủ nghĩa Việt Nam, người bán phải thông báo bằng điện cho người

mua các thông tin sau:

18. Amicable agreement: agreement with goodwill; friendly; peaceable

In the execution course of this contract, all disputes not reaching at

Trong quá trình thực hiện hợp đồng, tất cả các tranh chấp không đạt

được thỏa thuận hòa giải sẽ được giải quyết bởi Hội đồng Trong tài kinh tế của

thành phố Hồ Chí Minh theo các quy tắc của Phòng thương mại quốc tế mà

phán quyết sẽ là chung cuộc và ràng buộc cả hai bên.

19. Loss payee: people who have to receive loss and damage.

On the demand of the Seller, the Buyer shall keep the goods adequately

insured with the Seller named as the loss payee.

Theo yêu cầu của người bán, thì người mua phải mua bảo hiểm cho hàng

hóa với tên người bán là người đươc bồi thường khi có rủi ro.

20. Due on: something must be paid immediately.

The full balance shall become due on default.

Việc thanh toán đầy đủ phải được thực hiện ngay khi không thực hiện

đúng hợp đồng.

21. In default upon: failure to do something that must be done by law.

This agreement shall also be in default upon the death, insolvency, or

bankruptcy of Buyer.

Thỏa thuận này cũng sẽ không được thực hiện nếu người mua chết. mất

khả năng trả nợ hoặc phá sản.

22. Premises: a proposition supporting or helping to support a conclusion.

In the event of a default, Seller may enter upon the premises of the

Buyer and reclaim said goods.

Trong trường hợp không thực hiện hợp đồng, người bán có thể thực hiện

theo đề xuất của người mua và nhận lại hàng hóa.

23. Unless otherwise agreed: If there is not any other agreement

Unless otherwise agreed, the Buyer does not acquire any intellectual or

industrial right relating to the products and services.

Trừ khi có thỏa thuận nào khác, thỉ người mua không có bất kì quyền sở

hữu trí tuệ hay sở hữu công nghiệp liên quan đến hàng hóa và dịch vụ.

24. Shall be borne by somebody: shall be paid by somebody

Arbitration fee and other related charges shall be borne by the losing

party, unless otherwise agreed.

Chi phí trọng tải và những hci phí khác có liên quan sẽ được thanh toán

bởi bên thua kiện, nếu không có thỏa thuận nào khác.

25. To be concluded by and between: Parties reach an agreement or reach a

conclusion after a discussion or deliberation

This Contract is concluded by and between Advance Media and Multi-

Import.

Hợp đồngn này được kí kết giữa Advance Media và Multi-Import.

26. To be duly signed by both parties: There are all signatures of parties in

the contract.

The agreement comes into effect as soon as it is duly signed by both

parties.

Thỏa thuận này sẽ có hiệu lực ngay khi có đủ chữ kí của cả hai bên.

27. On the stipulation that…: Provided that…

On the stipulation that the transaction must be completed before we

would receive the money,…

Với điều kiện là giao dịch phải được hòan tất trước khi chúng tôi nhận

28. Inherent to: existing as an essential characteristic - vốn có trong, vốn thuộc

The goods shall be shipped in adequate export standard packing

capable of withstanding the normal handling inherent to air freight as per

export packing standard.

Hàng hóa phải được giao trong bao bì đóng gói theo tiêu chuẩn xuất

khẩu có khả năng chịu đựng được việc nâng nhầc bình thường vốn có trong vận

tải bằng hàng không theo như tiêu chuẩn đóng gói xuất khẩu.

29. As evidence thereof: a proof for what already happened

In such cases the Seller / Buyer shall telex, fax and cable immediately

and shall send a certificate of Force Majeure issued by the Chamber of

Commerce or a competent institution as evidence thereof within 30 days by

registered air mail.

Trong những trường hợp như vậy, nhười bán/ người mua phải đánh điện

báo, fax hoặc gửi điệnngay lập tức và gửi Giấy chứng nhận bất khả kháng được

phát hành bởi Phòng thương mại hoặc một cơ quan có thẩm quyền như là bằng

chứng trong vòng 30 ngày bằng thư hàng không đã đăng kí.

30. Change or amendment: a change beyond our expectation

If any change or amendment to this Contract must be made in writing

and approved by both Parties.

Nếu bất kì thay đổi hay sửa đổi nào đối với hợp đồng này phải được thực

hiện bằng văn bản và được chấp thuận bởi cả hai bên.

31. Hereunder set forth: the following

After discussion, both parties have agreed to sign this the sales contract

with the terms and conditions hereunder set forth:

Sau khi thảo luận, cả hai bên đã đồng ý kí vào hợp đồng mua bán này với

nhửng điều khoản và điều kiện theo sau đây:

32. Be bound to resolve promptly: be forced to accept all claims immediately

Seller shall be bound to resolve promptly all claims occurred, if any.

Người bán sẽ phải chấp nhận tất cả khiếu nại xảy ra, nếu có.

33. To take legal action: to enter a lawsuit against somebody.

In the event of any such lawsuit, the A company shall immediately

notify the B company and shall fully cooperate with the B company in taking

any necessary legal action.

Trong trường hợp có những sự kiện như vậy, bên công ty A phải ngay lập

tức thông báo cho công ty B và phải hợp tác toàn bộ với công ty B trong việc

thực hiện bất kì hành động pháp lí cần thiết nào.

34. Be liable for : held legally responsible.

The seller shall be liable for defects which come to light during a period

of 15 days from 9/11/2010.

Người bán sẽ chịu trách nhiệm cho những khuyết tật của hàng hóa bị

phát hiện trong khoảng thời gian 15 ngày kể từ ngày 9/11/2010.

35. Other than: except for

In the event of late delivery for reasons other than force majeure as

defined in clause 12 below, the seller shall pay as liquidated damages.

Trong trường hợp giao hàng trễ vì bất kì lí do gì ngoại trừ bất khả kháng

được định nghĩa trong điều khoản 12 bên dưới, thì người bán sẽ phải trả thiệt

hại ước tính.

36. Be offset against: cost or payment used to reduce or to cancel the effect of

another.

The sale has been offset against costs.

Doanh thu đã được trừ vào chi phí.
