OPERATIVEPROVISIONS1.PRELIMINARYDefinitions1.1 InthisConstitution,unlessthecontextotherwiserequires:$meansAustraliandollars.ActmeanstheCorporationsAct2001(Cth).BoardmeanstheDirectorsactingasaBoardofDirectors.CompanymeansFoundationforAustralia'sMostEndangeredSpeciesLimited

CAN[ACNtobeprovidedbyASIConregistrationaspubliccompanylimitedbyguarantee].

ConstitutionmeanstheConstitutionoftheCompanyforthetimebeinginforce.Departmentmeans,atthedateofregistrationoftheCompany,theDepartment

ofSustainability,Environment,Water,PopulationandCommunities,oranyothergovernmentdepartmentresponsibleformaintainingtheRegisterfromtimetotime.

DirectorsmeansthedirectorsoftheCompanyfromtimetotime.EnvironmentMinistermeanstheMinisteradministeringsection1ofthe

EnvironmentProtectionandBiodiversityConservationAct1999(Cth).EnvironmentalRegistermeanstheRegisterofEnvironmentalOrganisationskept

bytheDepartment.FinancialYearhasthesamemeaningasintheAct.GiftFundmeanstheFoundationforAustralia'sMostEndangeredSpeciesGift

Fund,establishedandmaintainedpursuanttoclause17.1.GiftFundCommitteemeansthecommitteerecommendedbytheBoardunder

clause12.18.MembermeansapersonwhoisgrantedMembershipintheCompanyinaccordancewithclause2.7,andisenteredintheMembershipRegisterasaMember,includingtheVotingMembers,Founding,OrdinaryandtheLifeMembers.


MembershipmeansmembershipoftheCompanyand,forclarity,includes(withoutlimitation)bothMembersandOrdinaryMembers.

MembershipRegistermeanstheregisterofMemberstobekeptpursuanttothe

Act.Monthmeansacalendarmonth.OfficemeanstheregisteredofficeforthetimebeingoftheCompanyOfficerhasthemeaninggivento“officerofacorporation”insection9oftheAct.OrdinaryResolutionmeansaresolutionoftheMemberspassedbyasimple

majorityofthevotescastbyMembersentitledtovoteontheresolution.PrincipalPurposesmeansthepurposesoftheCompanysetoutinclause1.6and

1.7.RelatedBodyCorporatehasthesamemeaningasintheAct.ReplaceableRulesmeanstheprovisionsoftheActwhichwouldbutforthis

Constitutionapplyasreplaceablerulesundersection141oftheAct.SealmeansthecommonsealoftheCompany(iftheBoardresolvestoadopta

commonseal)or,whereappropriate,theduplicatesealortheofficialseal.SecretarymeansapersonappointedassecretaryoftheCompanyfromtimeto

time.SpecialPurposeSubscriptionmeansasubscriptionpayablebyaMemberfora

specialpurposeasdeterminedbytheBoardandapprovedbytheMembersinaccordancewithclause2.17.

SpecialResolutionmeansaresolutionofMemberspassedbyatleast75%ofthe

votescastbyMembersentitledtovoteontheresolution,unlessotherwiserequiredbytheActorthisConstitution.

SubscriptionmeansanannualsubscriptionfeeoraSpecialPurposeSubscription.TaxActmeanstheIncomeTaxAssessmentAct1997(Cth).VotingMembersmeansaMemberwhoisenteredintheMembershipRegisteras

aVotingMemberandwhoserights,privilegesandobligationsincludethosesetoutinclause2.15and2.16.


TheActdefinitions1.2 InthisConstitution,unlessthecontextotherwiserequires,ifanexpression

isdefinedin,orgivenameaningforthepurposesoftheAct,thatexpressionhasthesamedefinitionormeaninginthisConstitutiontotheextentthatitrelatestothesamematterforwhichitisdefinedorgivenameaningintheAct.

Replaceablerulesnottoapply1.3 TothefullextentpermittedbytheAct,thoseprovisionsoftheAct,which

applyasreplaceablerules,aredisplacedbythisConstitutioninrelationtotheCompanyandarereplacedbythetermsofthisConstitution.

ConstitutionsubjecttotheAct1.4 ThisConstitutionissubjecttotheAct.Wherethereisanyinconsistency

betweenaclauseofthisConstitutionandtheAct,theActprevailstotheextentoftheinconsistency.

Interpretation1.5 InthisConstitution,unlessthecontextotherwiserequires:

(a) areferenceto:(i) thesingularincludesthepluralandviceversa;(ii) agenderincludeseverygender;(iii)theAct,anysection,regulationorscheduleoftheActorany

otherlegislationisareferencetothatlawasamended,consolidated,supplementedorreplaced;

(iv)inwritingorwrittenincludesprinting,lithography,photographyandothermeansofrepresentingorreproducingwordsinavisibleform;

(v) paiduporpaidincludescreditedaspaiduporpaid;(vi)dividendincludesbonus;(vii)anypersonincludesareferencetoanyindividual,company,

bodycorporate,association,partnership,firm,jointventure,trustorgovernmentagency;

(viii)apersonincludestheperson'ssuccessorsandlegalpersonalrepresentatives;

(ix)abody(includinganinstitute,association,authorityorgovernmentagency)whetherstatutoryornot:(A)whichceasestoexist;or(B)whosepowersaretransferredtoanotherbody,isareferencetothebodywhichreplacesitorwhichsubstantiallysucceedstoitspowersorfunctions;

(b) thewordsincludingorincludesmeansincludingbutnotlimitedtoorincludingwithoutlimitation;

(c) ifaperiodoccursfrom,after,untilorbeforeadayofanactorevent,itexcludesthatday;and

(d) headingsareforconvenienceonlyandmustbeignoredininterpretingthisConstitution.

PrincipalPurposes1.6 TheCompanyexistsforthepublicbenefitandtosupporttheprotection

andenhancementofthenaturalenvironmentandinparticular,Australia'snativefloraandfauna.


1.7 Withoutlimitingclause1.6,thePrincipalPurposesoftheCompanyinclude:

(a) establishingandmaintainingtheGiftFundforreceivinggiftsanddonationstopursuethePrincipalPurposes;

(b) ensuringthatAustralia'snaturalhabitatremainsasdiverseaspossible;

(c) raisingandeffectivelydirectingfundstowardssavingAustralia'smostendangerednativespecies;

(d) promotingandalertingthecommunitytotheplightofAustralia'smostendangerednativefloraandfaunaspecies;

(e) promoting,motivatingandeducatingthecommunitytotakeactiontopreventtheextinctionofAustralia'smostendangerednativespecies;

(f) doingallotherthingsasmaybeincidentalandancillarytotheattainmentofthesePrincipalPurposes;and

(g) exercisinganypowersthattheCompanyhasbyhavingthelegalcapacityofanaturalperson,includingbyperforminganyactorfunctionwhichitisauthorisedorrequiredtodobyanylaw.

1.8 TheCompanymustpursueonlythePrincipalPurposessetoutinclauses1.6

and1.7.1.9 Clause1.8doesnotlimitthelegalcapacityandpowersoftheCompany,as

setoutinsection124oftheAct.Incomeandproperty1.10 Subjecttoclause1.12,theincomeandpropertyoftheCompany,including

theGiftFund,whereverderivedwillbeappliedsolelytowardspromotingthePrincipalPurposesandnoportionmaybedistributed,paidortransferred(whetherdirectlyorindirectlyandwhetherbywayofdividend,bonusorbywayofprofit)totheMembers,Directorsoranyotherbeneficiaries.

1.11 Anyallocationoffundsorpropertytootherpersonsororganisationswillbe

madeinaccordancewiththePrincipalPurposesandnotbeinfluencedbythepreferenceofthedonor.

1.12 Clause1.10doesnotpreventthepaymentingoodfaithofreasonableand

proper:(a) remunerationtoanyOfficeroremployeeoftheCompany,inreturn

forservicesactuallyrenderedtotheCompany;(b) paymentforgoodsandservicessuppliedintheordinaryandusual

courseofbusiness,includingchargesforgoodshiredbytheCompanyfromaMember;

(c) remunerationtoanyDirectorinreturnforanyprofessionalservicesactuallyrenderedtotheCompanypursuanttothetermsofacontractexecutedunderclause14.6;

(d) reimbursementoftravellingandotherexpensesincurredbyDirectors;

(e) interesttoaMemberorDirectoronmoneyadvancedbytheMemberorDirectortotheCompanyorotherwiseowingbytheCompanytotheMemberorDirector;or


(f) rentforpremisesleasedbyanyMemberorDirectortotheCompany,whereapprovedbytheBoardinaccordancewiththetermsofthisConstitution.

2 MEMBERSHIP

MinimumnumberofMembers2.1 SubjecttotheTaxActoranyotherchangeinlaw,forsolongasthe

CompanymaintainstheGiftFund,itsMembershipmustconsistof:(a) principallybodiescorporate;or(b) atleast50MemberswhoareindividualsthatareVotingMembers;or(c) wheretheEnvironmentMinisterhasdeterminedthat,becauseof

specialcircumstances,theCompanydoesnothavetomeettherequirementsinclause2.1(a)or2.1(b),atleastoneVotingMember.

CategoriesofMembership 2.2 TheMembershipwillconsistof: (a)VotingMembers; (b)OrdinaryMembers; (c)LifeMembers;and (d)anyotherclassofMembershipdeterminedbytheBoardfrom timetotime.

ApplicationforMembership2.3 EveryapplicantforMembershipmust:(a) beanindividual,partnership,corporationororganisationthat:

(i) isinterestedinandagreestosupportthePrincipalPurposesoftheCompany;

(ii) agreestoabidebythisConstitutionasamendedfromtimetotime;and

(iii) meetsanyadditionalcriteriaestablishedforMembershipintheCompanyasmaybeadoptedbytheBoard;

(b) subjecttoclause2.4and2.5asitrelatestoVotingMembers,signanapplicationforMembershipintheformprescribedbytheDirectorsatthattime;and

(c) asaconditionofadmission,payanySubscriptionprescribedbytheBoardfromtimetotimefortherelevantcategoryofMembership.

NominationforVotingMembership2.4 ApersonwhoisnotaVotingMemberwillnotbeadmittedtoVoting

Membershipunless:(a) theyarenominatedasprovidedinclause2.5;and(b) theiradmissionasaVotingMemberisapprovedbytheBoardinits

absolutediscretion. 2.5 AnominationofapersonforVotingMembership:

(a) mayonlybemadebyaVotingMember;(b) mustbesecondedbyasecondVotingMember;(c) mustbemadeinwritingintheformdeterminedbytheDirectors;

and(d) mustbelodgedwiththeSecretary.


2.6 AssoonasispracticableafterthereceiptofanominationforVoting

Membership,theSecretarywillreferthenominationtotheBoard.2.7 UponanominationbeingreferredtotheBoard,theBoardwilldetermine

whethertoapproveortorejectthenomination.2.8 UponanominationbeingapprovedbytheBoard,theSecretarywill,as

soonaspracticable,notifythenomineeinwritingthatthenomineeisapprovedforVotingMembershipandrequestpaymentwithintheperiodof28daysafterreceiptofthenotificationofanySubscriptionpayable,asdeterminedbytheBoard.

2.9 IftheapplicantisrejectedbytheBoard,theSecretarywillnotifythe

applicantandneednotincludeanyreasonwhytheapplicationwasrejected.AnySubscriptionpaidinadvancewillberefundedinfull.

2.10 Fortheavoidanceofdoubt,anapplicationforOrdinaryMembershipisnot

subjecttothenominationproceduresetoutinclause2.4and2.5.Entryofnominee'snameintotheMembershipRegister2.11 TheSecretarywill,uponpaymentoftheamountsreferredtoinclause2.3

withintheperiodreferredtointhatclause,enterthenominee'snameintheMembershipRegisterand,uponthenamebeingsoentered,thenomineebecomesaMember.

JointMembers2.12 TwoormorepersonsregisteredasaMemberaredeemedjointtenants

withbenefitsofsurvivorship,subjecttothefollowingprovisionsinrespectofthatjointMember:(a) eachpersonformingpartofthejointMemberisjointlyandseverally

liableforallpaymentsrequiredtobemadebyaMember(includingallSubscriptions);

(b) ifapersonformingpartofajointMemberdies,thesurvivororsurvivorsaretheonlypersonorpersonsrecognisedbytheCompanyasbeingtheMember;and

(c) deliveryofanoticetoanypersonformingpartofajointMemberissufficientdeliverytoallthejointMembers.

Morethanthreepersonsregistered2.13 IfmorethanthreepersonsarenotedintheMembershipRegisterasajoint

Member,orarequestismadetoregistermorethanthreepersonsasajointMemberthen(exceptinthecaseofexecutorsortrusteesoradministratorsofadeceasedMember),thefirstthreepersonsnamedintheMembershipRegisteraredeemedtobetheMemberandnootherpersonswillberegardedbytheCompanyasaMemberforanypurpose.


Membershiprights2.14 Aright,privilege,orobligationofapersonbyreasonofhisMembership:

(a) isnotcapableofbeingtransferredortransmittedtoanotherperson;and

(b) terminatesuponthecessationofMembership(exceptasotherwiseprovidedinthisConstitution).

RightsandprivilegesofMembership2.15WithoutlimitinganyotherrightsconferredonMembers:

(a) VotingMembershavetherighttoreceivenoticeof,attendandvoteatanygeneralmeetingoftheCompany;and

(b) OrdinaryMembershavetherighttoreceivenoticeofandtoattend,butnottherighttovoteat,anygeneralmeetingoftheCompany.

LimitedtenureofVotingMembership2.16 EachVotingMemberwillremainaMemberonlyuntiltheendofthethird

FinancialYearfollowingentryintheMembershipRegisterunderclause2.11,atwhichtimetheVotingMembermust(ifitsochooses)re-applyforVotingMembershipinaccordancewithclause2.3to2.5.

Subscriptions2.17 TheSubscriptionspayablebyMembersoftheCompanymaybeprescribed

bytheBoardfromtimetotimeintheirabsolutediscretion.2.18 Allannualsubscriptionfeeswillbecomedueandpayableinadvanceonthe

firstdayofJulyeveryyear.2.19 AnySpecialPurposeSubscriptionmustbepaidwithintwoMonthsafter

receiptofanotificationgiventosuchMembersthataSpecialPurposeSubscriptionispayablebythatMember.

2.20Withoutlimitingclause2.17,indeterminingthatSubscriptionsshouldbe

payablebyMembers,theBoardmayprovidefordifferentsubscriptionsforeachcategoryofMembershipanddifferentsubscriptionswithinaparticularcategorybasedonsuchfactorsappearingtotheBoardtojustifydifferentialsubscriptions.

2.21 IfaMemberisadmittedtoMembershipduringaFinancialYear,a

Subscriptionmay,atthediscretionoftheBoard,becalculatedproportionatelyforthepartoftheFinancialYearremaininginwholeMonthsplustheMonthinwhichtheMemberwasadmittedtoMembership.

RegisterofMembers2.22 ThesecretarywillkeepandmaintaintheMembershipRegisterinwhichwill

beenteredthefullname,addressanddateofentryofthenameofeachMemberandtheregisterwillbeavailableforinspectionbyMembersattheOffice.


ResignationorexpulsionofMember2.23 AMemberwhohaspaidallmoneysdueandpayabletotheCompanymay

ceasetheirMembershipbygivingoneMonth'snoticeinwritingtotheSecretary.Onexpirationofthenoticeperiod,theMemberwillceasetobeaMember.TheMemberwillremainliableforanySubscriptionandallothermoneysduebythemtotheCompanyandunpaidasatthedateofresignationandforanysumforwhichtheyareliableunderclause2.30.

2.24Upontheexpirationofanoticegivenunderclause2.23,theSecretarywill

makeintheMembershipRegisteranentryrecordingthedateonwhichtherelevantMemberceasedtobeaMember.

2.25 Subjecttotheserules,theBoardmaybyresolution:

(a) expelaMember;or(b) suspendaMemberfromMembershipforaspecifiedperiod;who

has:(c) hasrefusedorneglectedtocomplywiththisConstitution;or(d) engagedinconductwhichis,inthedeterminationoftheBoard,

unbecomingaMember,prejudicialtotheinterestsoftheCompanyorcontrarytothePrincipal

Purposes2.26 IfaSubscriptionofanyMemberremainsunpaidforthreeMonthsafterit

becomesdue,theSecretarywillgivenoticetotheMemberofthatfact.IftheSubscriptionremainsunpaidfor14daysafterthedateofthenotice,theDirectorsmayresolvetoexpeltheMemberfrommembershipoftheCompanyandremovetheMember'snamefromtheRegister.

TheDirectorsmayreinstatetheMemberonpaymentofallarrearsiftheDirectorsthinkfittodoso.

2.27WheretheBoardpassesaresolutionunderclause2.25or2.26,the

Secretarywill,assoonaspracticable,causetobeservedontheMemberanoticeinwritingsettingouttheresolutionoftheBoardandthegroundsonwhichitisbased.

Othergroundsforcessationofmembership2.28 AMember'smembershipoftheCompanywillautomaticallycease:

(a) ifaVotingMemberdoesnotvoteattwoconsecutiveannualgeneralmeetingsoftheCompany(whetherinpersonorbyproxy)ortheCompanydoesnothaveanycorrespondence(whetherwrittenorverbal)withthatVotingMemberforaperiodof12Months;

(b) inthecaseofaMemberwhoisanaturalpersononthedatethattheMember:(i) dies;or(ii)becomesofunsoundmindorapersonwhoseestateisliabletobe

dealtwithinanywayunderthelawsrelatingtomentalhealth;or(c) inthecaseofaMemberwhichisabodycorporateonthedatethat:

(i)aliquidatorisappointedinconnectionwiththewindingupoftheMember;or

(ii) anorderismadebyacourtforthewinding-uporderegistrationoftheMember.


LimitedLiability2.29 TheliabilityoftheMembersislimited.Members'guarantee2.30 IftheCompanyiswoundup,anyonewhoisaMemberwhentheCompany

iswounduporwhoceasestobeaMemberwithinoneyearbeforetheCompanyiswoundupmust,onwindingup,contributetotheCompany'spropertythelesserof:(a)theamountrequiredfor:

(i)paymentoftheCompany'sdebtsandliabilitiesthatwerecontractedbeforethepersonceasedtobeaMember;

(ii) thecosts,chargesandexpensesofthewindingup;and(iii)adjustmentoftherightsofcontributorsbetweenthemselves;and

(b) $20.00.

3.GENERALMEETINGS

AnnualGeneralMeetings3.1 SubjecttotheAct:

(a) theCompanymustholditsfirstannualgeneralmeetingbytheendofthecalendaryearoftheregistrationoftheCompany;and

(b) subsequentannualgeneralmeetingsmustbeheldatleastonceineverycalendaryearandwithinfivemonthsaftertheendofthefinancialyearoftheCompany.

3.2 Theannualgeneralmeetingwillbespecifiedassuchinthenotice

conveningitandthebusinessofanannualgeneralmeetingmayinclude:(a) receivingandconsideringthestatementoffinancialperformance,

statementoffinancialposition,thereportsoftheDirectorsandoftheauditors,andthestatementoftheDirectors;

(b) electingDirectors;(c) adoptingtheremunerationreport;(d) appointingtheauditor,and(e) fixingtheremunerationoftheauditor,whetherornotthisisstated

inthenoticeofmeeting.3.3 TheDirectorsmayconveneageneralmeetingoftheCompanywhenever

theythinkfit.Venueandconductofgeneralmeetings3.4 Subjecttosection249RoftheAct,annualgeneralmeetingsandgeneral

meetingsmaybeheldwithinoroutsideAustralia.Deemedholdingofannualgeneralmeeting3.5 AnannualgeneralmeetingisdeemedtohavebeenheldiftheCompany

hasheldageneralmeetingatwhichresolutionshavebeenpasseddealingwithallmattersrequiredtobedealtwithatanannualgeneralmeeting,butthisdoesnotaffecttheobligationtoholdanannualgeneralmeetingasrequiredbytheActorthisConstitution.


Membersmayrequisitionmeeting3.6 VotingMembersmayrequisitiontheholdingofageneralmeetingin

accordancewiththeActandtheDirectorsmustconveneageneralmeetinginaccordancewiththetimelimitsundertheAct.

Noticeofgeneralmeeting3.7 Noticeofeveryannualgeneralmeeting,generalmeetingormeetingofany

classofMembersmustbegiveninthemannerprovidedbythisConstitutionandtheActtotheMembersandthosepersonswhoareotherwiseentitledunderthisConstitutiontoreceivenotices.

Directorsentitledtonoticeofmeeting3.8 ADirectorisentitledtoreceivenoticeofandtoattendallgeneralmeetings

andallseparatemeetingsofanyclassofMembers,andisentitledtospeakatthosemeetings.

Contentsofnoticeofgeneralmeeting3.9 Everynoticeconveningageneralmeetingmustincludeorbeaccompanied

byallinformationrequiredbytheActandmustatleast:(a) setouttheplace,thedayandtimeforthemeeting(and,ifthe

meetingistobeheldintwoormoreplaces,thetechnologythatwillbeusedtofacilitatetheholdingofthemeetinginthatmanner);

(b) subjecttoclause3.2,statethegeneralnatureofthebusinesstobetransactedatthemeetingandanySpecialResolutiontobeproposed;

(c) includeastatementthat:(i)aVotingMemberentitledtoattendandvoteisentitledtoappoint

aproxy;and(ii)aproxymustbeaVotingMember;

(d) beaccompaniedbyaninstrumentofproxyintheformdescribedinthisConstitutionorinanyotherformastheDirectorsmaydetermineoraccept;and

(e) includeinformationabouthowinstrumentsofproxycanbedeliveredtotheCompany.

Omissiontogivenotice3.10 ExceptasprescribedbytheAct,theaccidentalomissiontogivenoticeofa

meetingtoanyMemberorthenon-receiptofnoticeofameetingbyanyMemberdoesnotinvalidateanyoftheproceedingsatthatmeeting.

Changestogeneralmeeting3.11 IftheDirectorsconsiderthat:

(a) ageneralmeetinghasbecomeunnecessary;(b) thepostponementofageneralmeetingisintheinterestsof

Members;(c) thevenueforageneralmeetingisnolongerappropriate,convenient

orpractical;or(d) achangeisotherwisenecessarytoconductthegeneralmeeting

efficiently,theDirectorsmay:(e) changethevenueforthegeneralmeeting;(f) cancelthegeneralmeeting;(g) postponethegeneralmeeting;and/or


(h) makeanychangetheyconsidernecessarytotheefficientconductofthegeneralmeeting.

3.12 Theonlybusinessthatmaybetransactedatageneralmeeting,theholding

ofwhichispostponed,isthebusinessspecifiedintheoriginalnoticeconveningthemeeting.

4.PROCEEDINGSATGENERALMEETING

Memberdeemedtobepresent4.1 AMembermayattendageneralmeetingatwhichitisentitledtobe

present,andisdeemedtobepresent,inanyofthefollowingways:(a) inperson;(b) byattorney;(c) byproxy;(d) inthecaseofaMemberwhichisabodycorporate,bya

representativeappointedundersection250DoftheAct.

AttorneyofMember4.2 AnyMembermayappointanattorneytoactonitsbehalfatallmeetingsof

ExpensesofDirectors14.8 IfapprovedbytheDirectors,aDirectormaybepaidallreasonable

travellingandotherexpensesincurredbytheminattendingandreturningfrommeetingsoftheDirectors,anycommitteeoftheDirectorsoranygeneralmeetingsoftheCompanyorotherwiseinconnectionwiththebusinessoftheCompanyandtheperformanceoftheirfunctionsinaccordancewiththisConstitution.

15.INDEMNITYANDINSURANCE

Indemnity15.1 Subjecttoclause15.3,tothemaximumextentpermittedbylaw:

(iii) aliabilityowedtotheCompanyoraRelatedBodyCorporate;(iv) aliabilityforapecuniarypenaltyorderundersection1317G

(v) aliabilitythatdidnotariseoutofconductingoodfaith;

(b) theCompany:(i) mustindemnifyeachDirectorandSecretary,andeachformer

DirectorandSecretary,includingeachDirectorandSecretarywhoisorwas,attherequestoftheCompany,servingasadirectororsecretaryofanothercompany;and

(ii) mayindemnifyanyotherOfficerorformerOfficer,forcostsandexpensesincurredbyaDirector,SecretaryorotherOfficeroftheCompany,indefendinganactionforaliabilityincurredinactingasaDirector,SecretaryorotherOfficeroftheCompany,orasadirectororsecretaryofanothercompanyattherequestoftheCompany,exceptforlegalcostsincurred:

(v) indefendingorresistingproceedingsbroughtbytheASICorby

aliquidatorforacourtorderifthegroundsformakingtheorderarefoundbythecourttohavebeenestablished,exceptforcostsincurredinrespondingtoactionstakenbytheASICoraliquidatoraspartofaninvestigationbeforecommencingproceedingsforthecourtorder;or

(vi) inconnectionwithproceedingsforrelieftotheDirector,SecretaryorotherOfficeroftheCompany,undertheActinwhichthereliefisdeniedbythecourt;and.

(c) theCompanymaymakeapayment,oragreetomakeapayment,

whetherbywayofadvance,loanorotherwise,foranylegalcostsincurredbyaDirector,SecretaryorotherOfficeroftheCompany,includingaDirectorandSecretarywhoisorwas,attherequestoftheCompany,servingasadirectororsecretaryofanothercompany,ontheconditionthattheDirector,Secretaryor,otherOfficeroftheCompany,mustrepaytheamountpaidbytheCompanytotheextentthattheCompanyisultimatelyfoundnotliabletoindemnifytheDirector,Secretaryor,otherOfficeroftheCompany,forthoselegalcosts.

Company;or(b) arisesoutofacontraventionofsections182or183oftheAct.

17.GIFTFUND

TheGiftFund17.1 TheCompanymustestablishandmaintainapublicfund(GiftFund):

(a) theobjectiveofwhichmustbetosupportthePrincipalPurposes;(b) isoperatedonanot-for-profitbasis;(c) towhichmembersofthepublicaretobeinvitedtomakegiftsor

moneyorpropertytothefundforthePrincipalPurposes;(d) towhichgiftsofmoneyorpropertyforthePrincipalPurposesareto

bemade;(e) towhichcontributions(thatarenotgifts)butwhicharedescribedin

section30-15oftheTaxActaretobemade;(f) towhichcontributions(thatarenotgifts)butwhichcanbemadeto

theGiftFundwithoutadverselyaffectingtheCompany'sdeductiblegiftrecipientstatusaretobemade;

(g) towhichanymoneyreceivedbytheCompanybecauseofsuchgiftsorcontributionsistobecredited;and

(h) thatdoesnotreceiveanyothermoneyorproperty.LimitsonuseofGiftFund17.2 TheCompanymustuseassetsoftheGiftFundonlyforthePrincipal

Purposes.MaintainingtheFund17.3 InmaintainingtheGiftFund,theCompanywill:

(a) ensurethatalltimesthefundismaintainedandusedforthePrincipalPurposes;

(b) ensurethattheGiftFundhasitsownbankaccount(separatefromtheCompanybankaccount)forthedepositofdonatedmonies,includinginterestaccruingthereonandmoniesearnedfrompublicfundassets;

(c) ensurethattheGiftFundisoperatedseparatelyandmaintainedwithseparatebooksofaccountfromtheCompany'sgeneralaccounts;

(d) haveinplaceappropriateprocedurestoensureonlyandallproperamountsofmoneyandpropertyarecreditedtotheGiftFund;

(e) ensurethatanymoneyreceivedbytheCompanyfrominterestondonations,incomederivedfromdonatedproperty,andmoneyfromtherealisationofsuchpropertyistobedepositedintotheGiftFund;

(f) ensurethatreceiptsaretobeissuedinthenameoftheGiftFund;(g) ensureanymoneyorpropertywhichisincorrectlyreceivedintothe

GiftFundwillberemovedfromtheGiftFundassoonaspracticablewiththeaccountsfortheGiftFundadjustedandnotedaccordingly;and

(h) keepproperaccountingrecordsandproceduresfortheGiftFundwhich:(i) recordandexplainalltransactionsandotheractstheGiftFund

and/ortheCompanyengagesinwhichisrelevanttotheCompany'sstatusasadeductiblegiftrecipient;and


(ii) showthattheeachofthefollowingassetsoftheGiftFundisusedbytheGiftFundand/ortheCompanyonlyforthePrincipalPurposes:(A) giftsofmoneyorpropertyforthePrincipalPurposes;(B) contributions(thatarenotgifts)butwhicharedescribed

insection30-15oftheTaxActheldforthePrincipalPurposes;

(C) contributions(thatarenotgifts)butwhichcanbemadetotheGiftFundwithoutadverselyaffectingtheCompany'sdeductiblegiftrecipientstatus;and

(D) moneyreceivedbytheGiftFundbecauseofsuchgiftsorcontributions;

(i) keeptherecordsreferredinparagraph(h)foratleastfiveyearsafterthecompletionofsuchtransactionsoractstowhichtheyrelate;

(j) ensurethatthereleaseofmoniesfromtheGiftFundandthemanagementof,andsaleof,GiftFundassetsisauthorisedbytheGiftFundCommittee;

(k) atalltimesensureitcomplieswiththerequirementsoftheTaxActandallotherlawsandregulationsinexistencefromtimetotimeoranyguidelinesissuedbytheAustralianTaxationOfficeinrelationtogiftfundsorsuchothergovernmentauthorityoverseeingtheadministrationofgiftfunds.

17.4 TheCompanyagreestocomplywithanyrulesorrequirementsthatthe

Treasurerand/ortheEnvironmentMinisterwithresponsibilityfortheenvironmentmaymaketoensurethatgiftsmadetotheGiftFundareonlyusedforitsPrincipalPurposes.

17.5 TheCompanywillinformtheDepartmentassoonasreasonablypracticable

intheeventof:(a) anychangeinnameoftheCompanyorthenameoftheGiftFund;(b) anychangetothemembershipofGiftFundCommittee;or(c) anychangetothisConstitutionresultinginthedeparturefromthe

modelrulesforpublicfundsintheGuidelinestotheRegisterofEnvironmentalOrganisations.

17.6 TheCompanywillprovidestatisticalinformationrequestedbythe

DepartmentondonationstotheGiftFundwithinfourMonthsoftheendoftheFinancialYear.

17.7 AnauditedfinancialstatementfortheCompanyanditsGiftFundwillbe

suppliedtotheDepartmentwiththeannualstatisticalreturn.ThestatementwillprovideinformationontheexpenditureofGiftFundmoniesandthemanagementofGiftFundassets.

WindingupofGiftFund17.8 AtthefirstoccurrenceofeitherthewindingupoftheGiftFundorthe

CompanyceasingtobeendorsedasadeductiblegiftrecipientundertheTaxAct,anysurplusassetsoftheGiftFundmustbetransferredtoafund,authorityorinstitutionwhich:(a) haspurposessimilartothePrincipalPurposes;(b) islistedontheRegister;and


(c) whoseconstitutionprohibitsthedistributionofitsincomeandpropertyamongitsDirectors,MembersandbeneficiariestoanextentatleastasgreatasisimposedontheCompanyunderorbyvirtueofclauses1.10.

Distributionofassets18.1 Subjecttoclause17.8,ifuponthewindingupordissolutionofthe

Companythereremainsaftersatisfactionofallitsdebtsandliabilitiesanypropertywhatsoever,thesamewillnotbepaidtoordistributedamongsttheMembersbutwillbegivenortransferredtooneormoreotherfunds,authoritiesorinstitutionswhichoreachofwhich:(a) haspurposessimilartothePrincipalPurposes;(b) islistedontheRegister;and(c) whoseconstitutionprohibitsthedistributionofitsincomeand

propertyamongitsDirectors,MembersandbeneficiariestoanextentatleastasgreatasisimposedontheCompanyunderorbyvirtueofclauses1.10.
