CONSTITUTION
CONSTITUTION OF THE AFRICAN CORRECTIONAL SERVICES
ASSOCIATION (ACSA)

PREAMBLE
We, the countries of Africa, through our Heads of Corrections/ Prisons/ Penitentiary Services,
COGNISANT of the need to expedite a paradigm shift in Corrections/ Prisons/ Penitentiary
Services on the African Continent from punitive to human rights-based Corrections/ Prisons/
Penitentiary Services;
DETERMINED to ensure through common action the progress and well-being of Corrections/
Prisons/ Penitentiary facilities and systems;
MINDFUL of the need to involve individuals and civil society in the affairs and improvement of
Corrections/ Prisons/ Penitentiary facilities and services in Africa, particularly through the
guarantee of democratic rights, respect for human rights and the rule of law;
DEDICATED to secure by concerted action international understanding, support and
cooperation;
NOTING the principles of international law governing relations between and amongst states;
DESIROUS of obtaining recognition as an intergovernmental body and observer status at
Continental and International level;
RESOLVE to establish an Association known as the African Correctional Services Association
(ACSA) and hereby agree as follows:
PART ONE
ARTICLE 1
DEFINITIONS
In this Constitution, unless the context is otherwise stated,
“Association” means the African Correctional/ Prisons/ Penitentiary Services Association;
“Associate Members” are individuals and associations who shall pay 50% of the full
Membership, enjoy discussion and not have any voting rights;
“Code of Conduct” means a set of rules and regulations that govern the Association;
“Chairperson” means the Chairperson of the Association;
“Constitution” means the Constitution of the Association;
“Core Members Council” means all Heads of African Correctional, Prisons and Penitentiary
Services of the Association;

“Executive Committee” means a committee made up of the Association’s elected office-bearers;
“Headquarters” means the Headquarters of the Association;
“Honorary Members” are individuals who have significantly contributed to the development of
correctional, prison and penitentiary services as well as those who have made an outstanding
contribution to the well-being of society;
“Liaison Officer” means the person appointed by a Member State to coordinate ACSA activities
on behalf of that Member State;
“Member State” means a registered African State who pays the required annual subscription fees
and has the right to vote;
“Ministerial Consultative Forum” means a forum composed of African Ministers whose
portfolios include corrections/ prisons / penitentiaries in their respective countries;
“Observers” are individuals or institutions who are invited or whose application for attendance is
accepted by the Chairperson and participate in discussion by invitation and not have any voting
rights;
“Principal Officer” means the Chief Executive Officer of the Association who is the Head of the
Secretariat;
“Region” means regional blocks as determined by the African Union;
“Regional Vice Chairperson” means regional vice chairpersons elected by the Core Members
Council for designated Regions;
“Secretariat” means an office entrusted with the responsibility of performing executive and
administrative functions of the Association and may include the Headquarters;
“Secretary” means the Secretary of the Association;
“Treasurer” means the Treasurer of the Association;
“Vice Chairperson” means the Vice Chairperson of the Association;
“Vice Secretary” means the Vice Secretary of the Association; and
“Vice Treasurer” means the Vice Treasurer of the Association.
PART TWO
ARTICLE 2
ESTABLISHMENT AND LEGAL STATUS

2.1 By this Constitution, the African Correctional Services Association (hereinafter referred to as
ACSA) is established.
2.2 The Headquarters of ACSA shall be in a Member State.
2.3 ACSA shall be an all-African intergovernmental body with legal personality and capacity to
enter into contracts and to acquire, own or dispose of movable or immovable property and sue
or be sued.
PART THREE
ARTICLE 3
OBJECTIVES
3.1 The objectives of ACSA shall be to:
3.1.1 Promote technical assistance and cooperation among Member States;
3.1.2 Promote Human Resource Development and improve conditions of service of correctional/
prisons / penitentiary services’ personnel;
3.1.3 Promote international interaction and collaboration in respect of correctional/prisons /
penitentiary services;
3.1.4 Promote human rights and international norms and standards in correctional/ prisons/
penitentiary services;
3.1.5 Promote cultural, sports and recreational activities between Member States;
3.1.6 Promote correctional/ prison/penitentiary services in post-conflict reconstruction;
3.1.7 Promote non-custodial measures and parole/probation.
PART FOUR
SCOPE, MEMBERSHIP, ADMISSION OF MEMBERS,
WITHDRAWAL, SUSPENSION AND TERMINATION

ARTICLE 4
SCOPE
4.1 ACSA shall be an all-African intergovernmental body open to correctional/
prison/penitentiary services in terms of this Constitution.
ARTICLE 5
MEMBERSHIP
5.1 The membership of ACSA shall be open to all African States.
ARTICLE 6
STAKEHOLDERS
6.1 Associate Members, Corporate Organisations, Academics, Students, Volunteers, other
Governmental Organisations, Non-Governmental Organisations, International Organisations
and Honorary Members may engage in ACSA activities with no voting rights.
ARTICLE 7
ADMISSION OF MEMBERS
7.1 An application for membership shall be made to the Principal Officer in writing and the
Executive Committee shall make a decision to grant membership.
7.2 The Principal Officer shall issue a Membership Certificate to a new Member State after
payment of required registration fee and subsequent annual subscription fee as prescribed.
ARTICLE 8
WITHDRAWAL OF MEMBERSHIP
8.1 A Member State may unilaterally withdraw by notice in writing to the Principal Officer.
8.2 A Member State may reapply in writing for membership of ACSA after such withdrawal.

ARTICLE 9
SUSPENSION OF MEMBERSHIP
9.1 Membership may be suspended by the Core Members Council on grounds of breach of
ACSA Code of Conduct.
ARTICLE 10
TERMINATION OF MEMBERSHIP
10.1 Membership may be terminated by the Ministerial Consultative Forum on grounds of serious
breach of the ACSA Code of Conduct including international instruments for protection of
human rights.
PART FIVE
ARTICLE 11
ORGANS OF THE ASSOCIATION
11.1 The Association shall have the following organs:
11.1.1 Ministerial Consultative Forum;
11.1.2 Core Members Council;
11.1.3 Executive Committee; and
11.1.4 Secretariat.
11.2 Other organs may be established as necessary.
ARTICLE 12
MINISTERIAL CONSULTATIVE FORUM (MCF)
12.1 There shall be a Ministerial Consultative Forum (MCF).

12.2 The MCF will be responsible for the following:
12.2.1 Serve as a collective platform that champions the effective action and the promotion
of African Corrections/ Prisons/ Penitentiaries reform agenda in multilateral and
continental fora;
12.2.2 Represent and promote the strategic interests of ACSA by providing political support
necessary to strengthen corrections/prisons/ penitentiaries;
12.2.3 Actively assist in mobilizing resources for ACSA among Member States and other
partners; and
12.2.4 Perform such other functions as may be referred to the MCF by the CMC.
12.3 The Structure of the MCF
12.3.1 The MCF shall consist of:
12.3.1.1 Chairperson;
12.3.1.2 Vice Chairperson; and
12.3.1.3 Secretary.
12.3.2 The Minister of a Country that is Chairperson of the Executive Committee shall be
the Chairperson of the MCF.
12.3.3 The Minister of a Country that is Vice Chairperson of the Executive Committee shall
be the Vice Chairperson of the MCF.
12.3.4 The Principal Officer of ACSA shall be the Secretary to the MCF.
12.4 Meetings of the MCF
12.4.1 MCF Meetings will be held biennially on advice by the Executive Committee.
12.5 Notices
12.5.1 MCF meetings will be held by notice.
ARTICLE 13
CORE MEMBERS COUNCIL (CMC) AND THE EXECUTIVE
COMMITTEE
13.1 Core Members Council

13.1.1 The CMC shall be the highest decision making organ of the Association and has the
authority to lead ACSA in accordance with the provisions of this Constitution.
13.1.2 The CMC shall consist of all the Heads of African Correctional/Prisons/Penitentiary
Services.
13.1.3 In the absence of the Head of Corrections/Prisons/Penitentiaries, the Deputy Head or any
Senior Officer of the respective Services may represent the Head of
Corrections/Prisons/Penitentiaries.
13.1.4 The CMC will meet biannually to review progress made in the implementation of
resolutions of the Association.
13.1.5 The CMC shall elect from among themselves office bearers of the Executive Committee of
ACSA.
13.2 Functions of the Core Members Council
13.2.1 Monitor and evaluate implementation of resolutions of the MCF and Executive Committee.
13.2.2 Review of suspension of a Member State.
13.2.3 Receive and adopt annual reports on the state of the Association from the Executive
Committee.
13.2.4 Ratification of rules and regulations.
13.2.5 Shall ratify the appointment of a Principal Officer.
13.2.6 Submit progress reports to the MCF as-and-when the MCF meets.
13.3 Executive Committee
13.3.1 The Executive Committee shall consist of:
13.3.1.1 Chairperson;
13.3.1.2 Vice-Chairperson;
13.3.1.3 Regional Vice-Chairpersons;
13.3.1.4 Treasurer;
13.3.1.5 Vice Treasurer;
13.3.1.6 Secretary; and
13.3.1.7 Vice Secretary.
13.3.2 The Principal Officer shall be an ex officio Member of the Executive Committee.

13.4 The Executive Committee shall have the following powers and functions:
13.4.1 Appoint the Principal Officer;
13.4.2 Approve the Strategic Plan and the structure of the Secretariat;
13.4.3 Approve contracts, memoranda of understanding (MoUs) and other agreements;
13.4.4 Oversee the implementation of resolutions;
13.4.5 Report to the CMC;
13.4.6 Admission of members;
13.4.7 Formation of sub-committees;
13.4.8 Deployment of missions to governments, regional, continental and international;
13.4.9 Policy formulation and development of regional and international cooperation;
13.4.10 Exercise oversight functions on the overall operations of the Association; and
13.4.11 Formulation of rules and regulations.
13.5 Expiration of the term of the Executive Committee Members
In an event where the term of the Executive Committee Members expires before CMC
meeting, the office bearers may be allowed to remain in office until such time that elections
will be held.
ARTICLE 14
THE CHAIRPERSON
14.1.1 Election of Chairperson
14.1.1.1 The Chairperson shall be elected by the Core Members Council for a period of two
(2) years.
14.1.1.2 The Chairperson is eligible for re-election for a further term of two years but shall
not be re-elected for the third term consecutively.
14.1.1.3 Any Member State may propose a Member State for election to the position of
Chairperson and such election will proceed in accordance with the prescribed
procedure.
14.1.2 The Chairperson shall:

14.1.2.1 Oversee the overall performance of ACSA;
14.1.2.2 Chair the meetings of the Executive Committee and the CMC;
14.1.2.3 Be the Chief Spokesperson of ACSA; and
14.1.2.4 Be the Chief Representative of ACSA at meetings of multilateral organs and other
partners.
ARTICLE 15
VICE CHAIRPERSON
15.1 Election of Vice Chairperson
15.1.1 The Vice Chairperson shall be elected by the Core Members Council for a period of two
(2) years.
15.1.2 The Vice Chairperson is eligible for re-election for a further term of two years but shall not
be re-elected for the third term consecutively.
15.1.3 Any Member State may propose a Member State for election to the position of Vice
Chairperson and such election will proceed in accordance with the prescribed procedure.
15.2 The Vice Chairperson shall:
15.2.1 Perform all duties assigned by the Chairperson in his or her absence or as requested by the
Chairperson.
ARTICLE 16
REGIONAL VICE CHAIRPERSON
16.1 Election of Regional Vice Chairperson
16.1.1.1 The Regional Vice Chairperson shall be elected by the Core Members Council of their own
respective region for a period of two (2) years.
16.1.1.2 The Regional Vice Chairperson is eligible for re-election for a further term of two years
but shall not be re-elected for the third term consecutively.
16.1.1.3 Any Member State within a respective region may propose a Member State for election to
the position of Regional Vice Chairperson and such election will proceed in accordance
with the prescribed procedure.

16.2 Functions of the Regional Vice Chairperson
16.2.1 Be the official Regional Spokesperson for the Association in the Region.
16.2.2 Submit periodical reports to the Executive Committee.
16.2.3 Convene Regional Conferences and training programmes.
16.2.4 Facilitate sports and cultural activities in the Region.
16.2.5 Promote ACSA programmes and activities in their respective region and serve as regional
coordinators of ACSA activities.
16.2.6 Market ACSA and mobilise regional resources for the purpose of promoting the aims and
objectives of ACSA.
16.2.7 Implement ACSA Strategic plan and resolutions in their respective region.
ARTICLE 17
TREASURER
17.1 Election of the Treasurer
17.1.1 The Treasurer shall be elected by the Core Members Council for a period of two (2) years.
17.1.2 The Treasurer is eligible for re-election for a further term of two years but shall not be re-
elected for the third term consecutively.
17.1.3 A Member State may propose any Member State for election to the position of Treasurer and
such election will proceed in accordance with the prescribed procedure.
17.2 The Treasurer shall:
17.2.1 Manage the ACSA bank accounts.
17.2.3 Present financial status to the CMC.
17.2.3 Ensure that sound and prudent financial and accounting practices are adhered to for the
smooth running of the Association.
17.2.4 Perform any other functions as may be assigned.

ARTICLE 18
VICE TREASURER
18.1 Election of Vice Treasurer
18.1.1 The Vice Treasurer shall be elected by the Core Members Council for a period of two (2)
years.
18.1.2 The Vice Treasurer is eligible for re-election for a further term of two years but shall not be
re-elected for the third term consecutively.
18.1.3 A Member State may propose any Member State for election to the position of Vice
Treasurer and such election will proceed in accordance with the prescribed procedure.
18.2 Functions of the Vice Treasurer
18.2.1 Perform all duties of the Treasurer in his or her absence or as requested by the Treasurer.
ARTICLE 19
SECRETARY
19.1 Election of the Secretary
19.1.1 The Secretary shall be elected by the Core Members Council for a period of two (2) years.
19.1.2 The Secretary is eligible for re-election for a further term of two years but shall not be re-
elected for the third term consecutively.
19.1.3 A Member State may propose any Member State for election to the position of Secretary
and such election will proceed in accordance with the prescribed procedure.
19.2 The Secretary shall:
19.2.1 Organise meetings and take minutes;
19.2.2 Be responsible for communication and correspondence;
19.2.3 Support the Principal Officer in the smooth running of the Secretariat;
19.2.4 Report to the Chairperson.

ARTICLE 20
VICE SECRETARY
20.1 Election of Vice Secretary
20.1.1 The Vice Secretary shall be elected by the Core Members Council for a period of two (2)
years.
20.1.2 The Vice Secretary is eligible for re-election for a further term of two years but shall not be
re-elected for the third term consecutively.
20.1.3 A Member State may propose any Member State for election to the position of Vice
Secretary and such election will proceed in accordance with the prescribed procedure.
20.2 Functions of the Vice Secretary
20.2.1 The Vice Secretary shall perform all duties of the Secretary in his or her absence or as
requested by the Secretary.
ARTICLE 21
THE SECRETARIAT
21.1 The Secretariat
21.1.1 The Secretariat means an office entrusted with the responsibility of performing executive
and administrative functions of the Association.
21.1.2 A Secretariat shall be established and operate as provided for under this Constitution.
21.1.3 The head of the Secretariat shall be the Principal Officer.
21.1.4 The Secretariat shall have other staff as may be approved.
ARTICLE 22
THE PRINCIPAL OFFICER
22.1 Appointment of the Principal Officer
22.1.1 The Principal Officer shall be appointed by the Executive Committee to such term as
prescribed by the Executive Committee.
22.1.2 The appointment of the Principal Officer shall be on such terms and conditions as may be
agreed.

22.1.3 A Principal Officer may be seconded by a Member State without prejudice to any
provision of this Constitution.
22.1.4 The secondment of the Principal Officer may be continued until such a time that the
Association may deem fit.
22.2 The Responsibilities of the Principal Officer shall include:
22.2.1 Effective coordination and implementation of decisions of the Executive Committee;
22.2.2 Initiating research, receiving and submitting recommendations to the Executive Committee
and implementing such programmes as approved;
22.2.3 Strategic planning, management and monitoring of programmes for the development of
ACSA;
22.2.4 Ensure sound corporate and managerial practices by the Secretariat;
22.2.5 Undertaking, either on his or her own initiative or otherwise, such investigations, collection
of information, or verification of matters relating to any matter affecting ACSA that
appears to it to merit examination;
22.2.6 Coordination and harmonisation of policies and strategies and the general promotion and
dissemination of information on ACSA to stakeholders and the general public;
22.2.7 Submission of reports on the activities of ACSA to the Executive Committee;
22.2.8 Mobilisation of funds from partners and other sources for the implementation of projects
and other activities of ACSA;
22.2.9 Be the Spokesperson of ACSA as mandated by the Chairperson;
22.2.10 Be the Representative of ACSA at meetings of multilateral organs and other partners as
mandated by the Chairperson;
22.2.11 Submission of the budget of ACSA to the CMC for its consideration; and
22.2.12 Such other matters that may be assigned by the Executive Committee.
ARTICLE 23
THE DEPUTY PRINCIPAL OFFICER
23.1 Appointment of the Deputy Principal Officer
23.1.1 The Deputy Principal Officer may be appointed for a period of two (2) years, and is
eligible for re-appointment for another period not exceeding two (2) terms.

23.2 Functions and Duties of the Deputy Principal Officer
23.2.1 The Deputy Principal Officer shall perform such duties and functions as assigned to him or
her by the Principal Officer from time-to-time and will act as the Principal Officer in his/ her
absence.
ARTICLE 24
LIAISON OFFICER
24.1 Each Member State shall appoint a Liaison Officer whose duties shall include the facilitation
of all interaction between the respective Member State and ACSA.
24.2 The Liaison Officer shall be the contact person for purposes of communication between the
respective Member State and the Secretariat.
ARTICLE 25
APPOINTMENT OF SUB-COMMITTEES
25.1 The Executive Committee may appoint sub-committees as and when a need arises.
ARTICLE 26
CODE OF CONDUCT
26.1 ACSA may formulate a Code of Conduct to regulate the affairs of the Association.
PART SIX
QUORUM, MEETINGS, DECISIONS, PROCEDURE, LANGUAGE AND
NOTICES
ARTICLE 27
QUORUM
27.1 The quorum for all meetings of the institutions of ACSA shall be 50% plus one (1) of its
members.

ARTICLE 28
MEETINGS
28.1 ACSA shall convene the following meetings:
28.1.1 Biannual Executive Committee;
28.1.2 Biennial Core Members Council;
28.1.3 Biennial Conference which shall be attended by all Member States and other categories of
the ACSA membership as well as stakeholders as may be invited;
28.1.4 Biennial Ministerial Consultative Forum;
28.1.5 Any other meeting as the Executive Committee may decide; and
28.1.6 The Executive Committee shall decide on the venues of meetings indicated in paragraph 1 of
this Article.
ARTICLE 29
DECISIONS
29.1 Except as otherwise provided in this Constitution, decisions of the organs of ACSA shall be
taken by consensus.
29.2 Where a decision cannot be reached by consensus the members may agree to take a decision
by secret ballot.
29.3 Decisions taken by ACSA shall be binding.
ARTICLE 30
PROCEDURE
30.1 Except where otherwise provided in this Constitution, the organs of ACSA shall determine
their own rules of procedure.

ARTICLE 31
LANGUAGE
31.1 The working languages of ACSA shall be English, French, Portuguese and Arabic.
ARTICLE 32
NOTICES
32.1 The Secretary shall send a written notice of the date and venue of meetings of any organ of
ACSA to all participating members not less than three (3) months before the dates of meeting.
32.2 Notice for extraordinary meetings shall be one (1) month before the dates of the meetings.
PART SEVEN
ARTICLE 33
FUNDING, COSTS, ASSETS AND AUDIT
33.1 Funding
33.1.1 Funding for ACSA shall consist of compulsory payment of annual subscription fees.
33.1.2 The annual subscription shall be Five Thousand Dollars ($5000) subject to periodic review.
33.1.3 Other sources of funding may come from donations, levies, production and sale of the
Association’s memorabilia and other legitimate sources.
33.1.4 Failure to pay annual subscription fee shall attract sanctions as prescribed.
33.2 Costs
33.2.1 ACSA shall be responsible for costs relating to the venue and translation services during the
meetings.
33.2.2 A Member State hosting a meeting shall be responsible for logistics during the meeting.
33.2.3 The cost of travel, accommodation and allowances for invited resource persons shall be paid
by the Association.
33.2.4 The cost of travel and accommodation for invited Honorary Members shall be borne by
ACSA unless stated otherwise by the respective Honorary Members.

33.3 Assets
33.3.1 Property, both movable and immovable, acquired by or on behalf of ACSA, shall constitute
the assets of the Association irrespective of their location.
33.4 Audit
33.4.1 The Executive Committee shall appoint external auditors to audit the accounts of ACSA at
the beginning of each financial year.
PART EIGHT
ARTICLE 34
AMENDMENTS
34.1 The CMC may amend any part of this Constitution provided that such amendment is passed
by a two-third (2/3) majority of Core Members present at the meeting.
34.2 A proposal for any amendment shall be communicated to the Chairperson through the
Secretariat and the Secretariat shall circulate a two (2) months’ notice to all Core Members
before the amendment is considered.
PART NINE
ARTICLE 35
SETTLEMENT OF DISPUTES
35.1 Any dispute arising from the interpretation or application of this Constitution or any other
instrument made under this Constitution shall be resolved through consultation and
negotiation.

PART TEN
ARTICLE 36
DISSOLUTION
36.1 ACSA shall only be dissolved by a resolution passed in a meeting of ACSA members by a
vote of two-thirds (2/3) of the Core Members Council and no further action shall be taken by
any institution, sub-committee or any office bearer in connection with the objectives of
ACSA.
36.2 The dissolution shall be subject to the payment of all the debts and other liabilities of ACSA,
the balance thereof shall be distributed in such a manner as may be resolved by the meeting
at which the resolution for dissolution is passed.
PART ELEVEN
ARTICLE 37
ENTRY INTO FORCE
37.1 This Constitution came into force upon being adopted by the Launch Conference of the
African Correctional Services Association (ACSA) on the 26th
September 2008 in
Livingstone, Zambia.
