is currently planning on the Group’s family day which will be held this year. I wouldlike to encourage all staff to stay healthy by participating in sports eventsorganized by the Sports Club or if not, at your own initiative. Staying fit andhealthy is an important ingredient towards quality living both at work and athome. Malaysians in general tend to neglect exercise while enjoying excessconsumption of food.

Bina Puri has always supported the Government’s call to be a good corporatecitizen. We supported the National Blood Bank, where Blood Donation Drive areorganized periodically at the Head Office in Selayang and we made contributionsto Sichuan Earthquake, China and the Gaza-Palestin Campaign.

Last but not least, we encourage individuals to excel in their studies and academicperformance. For that reason, we provide Undergraduate Scholarship Awards toour employees’ children pursuing degree and professional courses and presentedthe Educations Incentives for students and staff who perform well in theirexaminations and studies for primary, secondary, tertiary and professional levels.

Finally, let me once again express my appreciation to the staff and management. We shall strive to work together and harder in achieving our goals. May goodhealth be with all of us and our family members.

Firstly, let me express my appreciationto everyone, especially to the staffmembers of Bina Puri Group ofCompanies. Thank you and mayeveryone in good health, enjoy thehappy moments with your family.

In 2008, Bina Puri remained focused andresilient in under difficult conditions anddownturn experienced throughout theworld by continuing to secure new projectswhile completing a few landmark projectsin our order book. Indeed, we were alsorecognized by our country’s Construction

Industry Board (“CIDB”) as Malaysia’s “Best International Builder”.

We registered a record revenue of RM676.5 million and pre-taxprofit of RM8.13 million. Although revenue increased by elevenpercent (11%), pre-tax profit declined by 5%. This was due toescalation of construction raw materials which had spiraledupwards on average by more than 50%.

We believe new opportunities have started to open up with thetimely introduction of a number of fiscal and financial initiativesundertaken by the Malaysian Government to strengthen thedomestic economy as shown by the RM67 Billion stimuluspackage. With our Bina Puri’s excellent performance and trackrecord, we are confident that we will be one of the majorbeneficiaries to undertake some of the earmarked projects, therebyadding value to our stakeholders. Our commitment to buildingshareholders’ value, our experienced operations staff together withour long standing ties with suppliers and sub-contractors are partof our core value.

Our prospects remain vibrant, with a total book order of RM2.7billion which consists of projects in Malaysia and overseas, namelyUnited Arab Emirates, Brunei, Pakistan and Thailand. In 2008, theGroup secured RM 830 million new projects with a higherpercentage of it in Malaysia (85% ) as compared to the previousyear (43%). Recognition and accolades have encouraged Bina Purito raise our standards further. As mentioned, we were proudrecipients of the CIDB International Achievement Award for ourprojects in Thailand and the Innovative Award for the BangpleeProject in Thailand.

The Construction Division will continue to be the core driver of theGroup as it accounts for 80% of the Group’s revenue. With rawmaterials stabilizing, we anticipate that this division will have abetter year.

Our 50% associate, KL-Kuala Selangor Expressway Bhd, (KLSEB),the concessionaire for KL-Kuala Selangor Expressway (KLSExpressway), has finally started construction of the RM958 millionexpressway after close to 10 years of anticipation. Theconstruction works had commenced on 28 October 2008 withMudajaya Corporation Berhad appointed as the TurnkeyContractor after going through a competitive tendering and

evaluation process. The KLS Expressway is targeted to becompleted by 2011. On 13 January 2009, KL-Kuala SelangorExpressway Bhd, has successfully achieved its financial close withBank Pembangunan Malaysia Berhad for the Istisna’ Facility ofRM740.0 million and Islamic Development Bank for the IstisnaaWaIjaraara’ facility of RM300.0 million.

The Property Division recorded an impressive revenue of RM46.9million (RM35.6 million in 2007) and a profit before tax of RM3.1million (RM2.6 million in 2007).The improved results were due toprogressive profits recognized from the Jesselton Condominiumand Taman Malawa Jaya, Phase 2 sold during the year. Havingsuccessfully launched Phase 2 of Taman Malawa Jaya in KotaKinabalu, which comprised of 4 storey walkup Apartments totaling96 units, the Property Division is now focusing on launching itslatest development in JesseltonView@Hilltop comprising 1 blockof 80 units of modern and contemporary condominium built over2 acres of land.

This new development is located at the highest point in HilltopLuyang, Kota Kinabalu, a well sought after address. Jesselton View@ Hilltop will be another niche development after the success ofour high end 15-storey Jesselton condominium at Jalan Bersatu offJalan Damai, Kota Kinabalu which is now recognized as one of thetop address in the city.

The quarry and ready mix concrete division recorded a revenue ofRM91.2 million (RM107.8 million in 2007) and a profit before taxof RM2.8 million (RM3.3 million in 2007), while the Polyol Divisionrecorded a revenue of RM18.7 million (RM23.3 million in 2007)and a profit before tax of RM20,000 (RM961,000 in 2007).

The year 2009 looks to be a promising year. While executing themany projects that are on-hand,we are also aggressively biddingfor new orders within and outside Malaysia. We are confident ofsecuring more than RM1.5billion in new projects for 2009 as awhole as our success rate over the past few years have been good.Until 15th May 2009, we have managed to secure new projects inexcess of RM1billion, with the major portion of it being the RM693million contract to build 2,000 houses in Brunei. We believe Bruneiwill be a promising base for the Group as Thailand was in 2006.We also hope the KLS Expressway when completed in 2011, willassist to bring the Group recurring income. We are confident thatthe other divisions will perform better as everyone will be extramotivated to achieve targets with new Key Performance Indicatorsare being set for each divisions and departments.

Our staffs are the most valuable resource and are vital to theGroup. Recently, we awarded The “Best Employee Awards” torecognize the achievements and contributions of each individualto the Group. Congratulations to the receivers.

Our active Kelab Sukan & Sosial Bina Puri had initiated manyactivities including outing, bowling tournament, badmintontournament, table tennis tournament and others. These activitiesserve as a platform of interaction and communication between themembers in the Group. The Sports Club led by Tuan Syed Nasser

B O A R D

Today, we are just about 2 weeks into the NewYear 2009. However, we cannot avoid to lookback into 2008 wherein the internationaleconomies have experienced economicmeltdown. Among the triggering factors werethe severe problems of sub-prime loans in theUnited States and Europe which created negativedomino effects in the world financial system, thetrading system and world market place. The USwith the largest economy is already in troubleattributable also with the massive globalwritedowns and credit losses which currentlyamounting to a little over USD1 trillion, of whichtwo-thirds originated from the US. The otherthree traditional vibrant economies i.e theEuropean Union (EU), Japan and China have alsobeen affected. They are now experiencing theirown respective problems suchrising unemployment and cut-down oninventories. On the international front there is ageneral pattern of reduction of supply anddemand, growing unemployment, general loss inconfidence and a general down ward spiral ofasset prices.

Malaysia, being an export-led nation, isno exception. We have to brace ourselvesto face the escalating difficulteconomic conditions at least in 2009.Notwithstanding, Malaysia has still some strongeconomic fundamentals. We are also fortunatethat the Federal Government under the BarisanNasional has introduced a number of fiscal andfinancial initiatives to stabilize and strengthen ourdomestic economic system.

In this respect, our Government has taken severalmeasures to counter the effect of the worldeconomic meltdown, among which, byannouncing a RM7 billion stimulus package inNovember 2008 and to roll out the High ImpactProjects under the 9th Malaysian Plan to stimulatethe economy. The Government has revised theGDP growth forecast to drop to 3.5% from 5.4%projected previously for 2009 as the Governmentexpects revenue to fall, due also to the drop inPetronas’ oil revenue and expected decrease inexports to Europe and the United States. OurDeputy Prime Minister, who is also the FinanceMinister, Yang Amat Berhormat Dato’ Sri MohdNajib Tun Razak has stated that if need be, the

Government would announce more stimuluspackages to lessen the burden of all Malaysians infacing the economic crisis. At the micro and more positive front at our BinaPuri Group, I am happy to note and report thatwe were able to weather through the difficulteconomic conditions in 2008 with timelycompletions of several major projects and alongthe way achieved some outstanding success. I amproud to say that this is our trade mark.

Ladies and Gentlemen:

This morning I am pleased to announce that wehave been awarded by the ConstructionDevelopment Industry Board (CIDB) during theMalaysian Construction Industry ExcellenceAward (MCIEA) event this evening as the recipientfor International Award for our projects inThailand and the Innovation Award for theBangplee Project, Thailand. I wish to express myappreciation and congratulate our Joint Venturepartner, DEVA Development Public Co. Ltd (DEVA)and the team members in Bina Puri (Thailand) Ltdfor this outstanding achievement. Since 2006, wehave participated together with DEVA toconstruct 8 packages of low cost housingschemes for the National Housing Authority ofThailand valued at about Baht 10 billion(approximately RM1 billion). These two awardsfrom CIDB are testimonies and recognition for thesuccessful cross-border partnership betweenDEVA and our Bina Puri Group in Thailand. In thisrespect, I like to single out our Group ManagingDirector, Yang Berhormat Senator Tan Sri DatukTee Hock Seng for your untiring and relentlessefforts to make our projects in Thailand a successdespite facing various difficulties.

Ladies and Gentlemen:

On the domestic front, we have completedseveral projects in 2008 and among them werethe 3rd Lane Widening of the Plus Highwaybetween Rawang and Tanjung Malim; BuildingWorks for North and South Office Towers forCapital Square Development; KompleksIbupejabat Pentadbiran PLUS Berhad at theSubang Toll Plaza; and our very own propertyproject in Kota Kinabalu, Sabah, the JesseltonCondominium (all 133 units have been sold).

On our overseas operations, we have completedthe Infrastructure Works at Sungai Liang IndustrialPark, Brunei; Interior Decoration & Fittings Outworks for Abu Dhabi National Islamic FinanceCompany; and four (4) packages of the low costhousing schemes in Thailand namely, Krasaebon(272 units), Nadee (1,288 units), Romkloa (6,024units) and Bangplee (5,604 units).

With the dedication and efforts put in by the topmanagement of Bina Puri Group, we have beenawarded several new local projects namelyTerrace Houses Development, Papar, Sabah;Infrastructure and Building Works at UniversityMalaysia Kelantan, Bachok; Eastern Dispersal Link(EDL) Johor Bahru, Johor; and the Constructionof the Central Lecture Hall and Post GraduatesCentre for University Malaysia Sabah, KotaKinabalu, Sabah.

On the international front, we have securedprojects such as Works at Club House at Phase VIDHA, Lahore, Pakistan; and most recently inThailand, a project for warehouse construction atRojana Industrial Park at Ayutthaya.

Another significant contract and a new milestoneworth mentioning is our successful bid in 2009for a RM693 million contract to build 2000houses for the National Housing Scheme ofBrunei Darussalam from the Brunei EconomicDevelopment Board n view of the above, ourprospects remain good with current Order Bookhas increased to RM2.7 billion keeping us busyfor the next two years. Out of this RM2.7 billion, about RM1.2 billion or 44% represents Bina Puriprojects in Malaysia and RM1.5 billion or 56% areour overseas projects. With regard to the KualaLumpur-Kuala Selangor Expressway Bhd (KLKSE)toll road concession project, KLKSE has recentlysigned the Loan Facility Agreement with BankPembangunan Malaysia on 10 December 2008for a loan package of RM740 million signaling thefinancial close for the project. The constructionworks for the project have already started on 28October 2008 and we target for completion forthe whole expressway and the administrativebuilding within 30 months. We have 50%shareholding interest in KLKSE and we lookforward to positive contribution in the form of astable and growing income stream from KLKSE to

the Group when the highway is fullycommissioned.

Ladies and Gentlemen:

Bina Puri Group of Companies’ key objective forthe coming years is to remain focus in our corebusiness that is construction and engineering forbusiness expansion and profit generation.Economic experts have predicted that year 2009would be a very difficult year due to the impactand spill over of world financial and economicmeltdown which started in 2008. We in Bina PuriGroup of Companies have to remain vigilant andprudent in our financial management to survive inthis difficult economic environment. We have tomonitor our cost and spending wisely and weneed to promote the “SAVE COST” culture withinour Group.

For the financial year ended 31 December 2008,Bina Puri Holdings Bhd achieved satisfactoryresults overall, with the Group reporting a 11.3%increase in our revenue to RM676.5 million fromRM607.9 million recorded in 2007. Profit beforetax decreased slightly to RM8.0 million ascompared with the RM8.5 million recorded in theprevious year, while earnings per share for 2008was 5.17 sen (2007: 8.60 sen). For 2007, ourannual turnover achieved was RM 607.9 million. In the first half of Year 2008, the constructionindustry was badly affected by the sharp increaseof prices for building materials and fuel. Forexample steel bar prices in Malaysia had exceededRM4,000 per ton and world oil prices hadexceeded USD145 per barrel by mid 2008.Malaysians felt the impact as the Governmenthad increased petrol price at the pump fromRM1.92 to RM2.70 per litre in June 2008.However, the world oil prices have since camedown in the 2nd half of 2008. Our Governmenthas been lowering the petrol price and recentlythe price has dropped to RM1.80 per litre. Steelprices have also dropped to about RM2,500 perton at the end of 2008 and we expect the priceto drop further to below RM2,000 per ton in early2009. Liberalization by the MalaysianGovernment to allow the imports of steel bars forconstruction projects would also assist to ease theprice of steel. With these positive development, Ihope our Bina Puri construction units will be able

to sustain and improve on profit margin forour projects.

Bina Puri Holdings Bhd has recently paid aninterim dividend for Year 2008 of 2% lesstax @ 25% on 9 January 2009 making thetotal dividend declared for the currentfinancial year to 4% per share (6% in2007), subject to the approval of theshareholders at the forthcoming AnnualGeneral Meeting on 28 May 2009.

We must be constantly aware of theexpectations of our shareholders to achievehigher profit and to pay respectable andreasonable dividends. In this respect, ourparent company, Bina Puri Holdings Bhdwould expect all our subsidiaries of theGroup to pay dividend as a return of ourinvestments. As such, I would expect allsubsidiaries of the Group to improve ontheir financial results by maximizing theprofit level for payment of dividends. The “Special Task Force” formed after theSenior Management’s workshop in JandaBaik in 2007 and chaired by ourIndependent Director, Encik Khalid Sufatwould have to play an important role inimplementing and monitoring the KeyPerformance Indicators (KPI) for all oursubsidiaries this year. For a start, the GroupEXCO has instructed that all on-goingconstruction projects secured by our Grouphave to set the relevant KPIs for eachproject. All departmental and division headswithin all our subsidiaries have to set theirown KPIs and these KPIs would beconsolidated into the subsidiary KPIs andthe Group KPIs respectively. The work of theSpecial Task Force does not end here. In theearly part of the first quarter 2009, I wouldlike the Special Task Force to start workingon a specific proposal on how to streamlinethe Group Policy in a comprehensive andsynergistic manner as part of totalmanagement system in finance, humancapital, project execution, profitmaximization and others.

Cashflow planning and management is anessential ingredients for a company to

function in good or bad times. Therefore, itis imperative we now need to organizeourselves effectively to maximize ourincome by reducing bank borrowings. Fromthe financial report, I observe that ourinterest payments to financial institutionshave depleted our potential income bymore than 30%. I urged all managementand staff, especially those who are directlyinvolve in operations to be more sensitiveand effective on the methodology appliedused in the execution of each project.

Cross financing between projects shouldnot be practised. This unhealthy exercisetends to divert the attention from the realactual issue which is a sick project to abearable or acceptable ”hedging” system. As a reminder to all I would like to reiteratethat we are a construction company andnot a financial institution where fundhedging is a norm.

In the area of our Business Plan, theBusiness Plan budget and profit forecast isa very powerful management tool if utilizedsmartly. This tool will assist the Group inachieving cashflow planning as well curbinginter project cross financing. It is essentialthat all our business units need to achievetheir respective quarterly target in aconsistent manner so that the annualforecast can be achieved. I am confidentthat all of us in Bina Puri Group will be ableto combine our resources together to workon all these improvements and I amconfident we all can do much better andachieve more than what we have today. Also, we need to continue to put in placegood corporate governance including onthe human dimension side the factor ofhonesty and integrity at all levels ofmanagement.

Ladies and Gentlemen:

As part of our Corporate SocialResponsibility (CSR), Bina Puri Group ofCompanies has always supported theGovernment’s vision of a Caring Society. The Group EXCO has recently approved

payment of scholarships to thirteen (13)recipients who are children of ourmanagement and staff. The Group also hasbeen providing incentives to managementand staff children who have done well inexaminations and providing training to allstaff. The Group has also contributed to theneeds of the less fortunate in our societyand supported the activities of Kelab SukanDan Sosial Bina Puri in organizing BloodDonation Campaigns together with sportsand social events.

On behalf of myself and on behalf of YangBerhormat Senator Tan Sri Datuk Tee HockSeng and members of the Board, I wouldlike to extend our thanks and gratitude toall our management and staff for yourcommitment and support to the Group andwe will build on this strength to achievehigher level of success.

And to all our Directors, management andstaff in our Group, I like to extend all goodwishes for 2009.

Thank you.
