The TENDER COMMITTEE - COLLEGE OF THE NORTH ATLANTIC-QATAR (hereafter referred to as CNA-Q) invites interested parties to submit sealed submissions in response to this Bid Document for Vehicle Leasing – Request for Proposal. This will be a yearly contract with annually renewable options up to five years subject to the approval of CNA-Q or sole discretion of CNA-Q. 1.0 BACKGROUND College of the North Atlantic-Qatar Background (http://www.cna-qatar.com) The College of the North Atlantic – Qatar, a campus of the College of the North Atlantic in the province of Newfoundland and Labrador in Canada, is located in Al Tarafa District in Doha, State of Qatar. The College of the North Atlantic – Facilities Department The College campus located Zone 68, Al-Tarafa Next to University of Qatar, Duhail North District. Doha - Qatar consists of more than 75,000 sq. m. in 21 buildings, all linked by courtyards and walkways. The campus is designed to accommodate 3000 students and features state of the art computer systems, industrial workshops and laboratories. Each program area, including Engineering Technology, Health Sciences, Information Technology and Business, have dedicated buildings intended to accommodate their own specialty, shops, labs and equipment. Traditional elements and modern design have merged in a unique architectural concept. The basic goals of the design are to provide for a friendly and comfortable environment that is conducive to study, learning and communication, and to deliver an exterior and interior design that is memorable and worthy of the institution. Male and female students will have separate cafeterias, student lounges, and recreational areas with swimming pools. Common spaces include public lobbies, cafés, libraries, classrooms, laboratories, auditoriums and courtyards. The facilities department has been mandated to supervise the performance and maintenance of the site, including the building, systems and equipment installations. The facilities department consists of a 15 member team working to create an efficient, comfortable and safe work environment for the almost 600 staff members and approximately 2300 students. In addition the department is responsible for the future development plans of the campus and has the ongoing responsibility to administer various service contracts and indirectly provides oversight to over 600 contracted staff.

1.1 PURPOSE 1.1.1 The purpose of this proposal is to request interested firms to submit a

proposal to lease to CNA-Q various types of vehicles as and when required by CNA-Q subject to the terms and specifications set out herein.

1.1.2 CNA-Q also requires that if throughout the contract there is a need to

lease additional vehicles for any locations within CNA-Q management wishes to facilitate its related facilities or campus, CNA-Q would be permitted to do so without having to rewrite the proposal agreement and would obtain the vehicles for the same terms and conditions as specified in this document.

SECTION II

TERMS & CONDITIONS OF THIS BID 1.0 DEFINITIONS The following words are used throughout this bid document and bidders should note these conditions when completing their bid submission. 1.0.1 The word “MUST” - Bidders “must” include the required information in

bid submission. Failure to include the required information will deem submission noncompliant.

1.0.2 The word “SHOULD” - Bidders “should” include the required information in bid submission. 1.0.3 The word “NONCOMPLIANT” – Bid submissions will be eliminated from

further evaluation if the submission does not include the required information.

1.0.4 The word “SUBCONTRACTOR” shall mean a person, firm or company

hired by the bidder(s) or the successful bidder(s) to perform all or any portion of this bid.

1.0.5 The word “QUALIFIED” shall mean a Bidder who is compliant and has

included the required information in their bid submission. 1.0.6 INSTRUCTIONS TO BIDDERS A. INTRODUCTION

1. DEFINITIONS: “The Client” Means the Director of Facilities or his/her designate, College of the North Atlantic, Qatar on behalf of executive committee of CNA-Q “The Bidder” Means the individual or firm who participates in this tender and submits its bid. “The Contractor” Means the individual or firm supplying the goods and implementing the project under the contract. “The Services” Means all services requirement which the CONTRACTOR is required to supply the CLIENT under the contract “The Advance Purchase Order” Means the intention of CLINE to place Purchase order on the bidder “The Contract Price” Means the price payable to the CONTRACTOR under the contract for the

full and proper performance of its contract obligations. “Validation” Is a process through which type of services is inspected to ascertain its performance against set of technical standards as per tender specification in College of the North Atlantic, Qatar. 1.0.7 ELIGIBLE BIDDERS (a) In order to enable the CLIENT to assess the proof/prequalification of the

services offered, the bidder should have experience for works in similar field for an amount of Qr. 1,200,000/- minimum in a single year during any last period of contract in State Government or undertaking. The bidding companies should have experience in similar fields for three years.

(b) CLIENT reserves the right to disqualify such bidders who have a record

of not meeting the contractual obligations against earlier contracts entered into with the CLIENT.

1.0.8 COST OF BIDDING

The bidder shall bear all costs associated with the preparation and submission of the bid. The CLIENT, will in no case, be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process.

1.0.9 COST OF BIDDING

A deviation between the requirements (terms, conditions, specifications, special instructions) of a bid response for the purposes of this bid; bid irregularities are further classified as major irregularities or minor irregularities. The classification of what is a major irregularity or a minor irregularity shall be in the sole discretion of CNA-Q. Major Irregularity: A deviation from the bid request which affects the

price, quality, quantity or delivery, and is material to the award. If the deviation is permitted, the bidder could aim an unfair advantage over competitors. CNA-Q will reject any bid which contains a major irregularity.

Minor Irregularity: A deviation from the bid request which affects from,

rather than substance. The effect on the price, quality, quantity or delivery is not material to the award. If the deviation is permitted or corrected the bidder would not gain an unfair advantage over competitions. CNA-Q may permit the bidder to correct a minor irregularity.

1.4.2 Answers to all questions will be posted to all tenders by above given

date. 1.4.3 Purchasing Bid documents All bidders willing to participate must pay a non-refundable fees of 1000 QAR for bid documents at CNAQ Finance Dept. Bldg.3. A copy of the receipt of payment should be placed in the technical bid submission when submitting the bid by the closing date. Failure to do so can result in your bid from being rejected.

1.4.4 Questions concerning the terms and conditions of the bid whether made

orally or in writing, to any individual other than indicated above may, at the sole discretion of CNA-Q, render your submission noncompliant. Direct questions in written form only to: Tender committee. CNA-Q will only be bound by written answers to questions.

1.4.5 Should questions raised by a bidder necessitate an addendum to this bid

document, the addendum will be posted as- See Section1.4.2.

SECTION III

PRICING/TAXES/DELIVERY/PAYMENT

All pricing should reflect all applicable pricing to the services provided, state taxes and delivery to the site etc….

1.0 PRICING AND TAXES 1.0.1 Bidders must complete the pricing section in Section X-Transportation

Schedule Pricing page 2017 1.0.2 The lease will be based upon 3,000 kilometers per month per vehicle.

However, due to our large geographic area, it is requested that the kilometers can be averaged for the term of the lease. e.g. if two saloon cars or two buses are being returned for invoicing for one month lease term and one has 2,000 kilometers and the other one has 4,000 kilometers the average would be 3,000 and there would be no excess mileage charge.

1.0.3 There will be no down payment on the lease. CNA-Q will pay an equal

amount over the term of the lease to the successful bidder(s) monthly/yearly

1.0.4 The lease will not commence from the date mentioned in the official letter

of award. If you are unable to meet the service requirement as mentioned, there will be a penalty of Qrs. 1000/- per day per vehicle. Also there will be a penalty of Qrs. 1000/- per day if Contractor fails to supply the vehicle in time for any further requirements/replacement due to breakdown or additional requirements.

1.0.5 The successful bidder(s) shall be responsible to arrange for any

licensing required by the related authorities required in the state of Qatar to operate the vehicle for its purpose. This will include any branding licenses required for the client and/or any licensing requirement for equipment for the security vehicle.

1.0.6 The leases will be closed (end leases) so that the vehicles can be

returned at the end of the term with no further liability to CNA-Q. There will be no obligation upon CNA-Q when the vehicles are returned.

1.0.7 All pricing must be in Qatari Riyals. Price must include all applicable costs as required in the appendix that with/without driver and 24/7 on call basis. Overtime of the drivers should be included in the price rate for on call vehicles. Fuel and its tracking is the responsibility of Contractor for all vehicles.

1.0.8 The Normal Business hours of CNAQ required under this contract, for the vehicles supplied with driver shall be 6 am to 6 pm Saturday to Thursday.

1.0.9 CNAQ is not responsible for the compensation or overtime on this

normal business requirement of 12 hours. Such compensation, overtime or split duty, reliever arrangements shall be to the responsibility of the contractor as per Qatar Labor law.

1.0.10 Any additional requirement for overtime other than above said normal operations shall be pre-approved by CNAQ Facilities Services Manager.

1.0.11 CNAQ transportation coordinator is authorized to call the additional requirement as and when required for CNAQ, however certified time sheets or an email confirmation from Transportation coordinator needs to attach with the overtime approval to produce the Invoice.

1.0.12 CNAQ Facilities Services Manager sole discretion shall be applied for the overtime by verifying the split duty arrangements as well as for approval of overtime. Contractor is responsible to provide a justification of overtime by providing the vehicle log sheet and drivers duty schedules to justify the overtime.

1.0.13 Over time pay shall be calculated for after normal business hours, Fridays and public holidays. Overtime Pay calculation based driver’s overtime rate as agreed in the price schedule.

1.0.14 Overtime charges shall apply to all additional duties other than agreed business hours, considered flat rate and same regardless the time and duration. For example, if there is call on Friday and the vehicle requirement is for fourteen hours, then the charges shall be calculated as per the agreed overtime rate only. The vendor is responsible for the split duty or compensations to the drivers in this regard.

1.0.15 Additional requirements shall be called and compensated only for the drivers overtime, whereas vehicle charges and fuel is covered as per the rental terms agreed as per the price schedules agreed.

1.0.16 It is a mandatory requirement that all drivers supplied for transportation requirement to CNAQ, along with vehicles shall be mobilized to the locations with appropriate CNA-Q approved neat and tidy uniform, name tag CNAQ Logo and required communication devices (cell phones).

1.0.17 It is mandatory that Drivers are familiar with routes, location of government/corporate departments/ministry locations/city zones etc.

1.0.18 All supplied manpower should have the ability to speak and write in English language is an essential requirement.

1.0.19 A fuel credit/debit card shall supply by Contractor for each vehicles supplied (applicable for all vehicles if the lease period is minimum for more than one month for that particular vehicle lease) and the cost of fuel shall back charge to Contractor.

1.0.20 All costs related fuel shall include in the pricing. That credit card shall be

from the bidder or for the fuel supplier who has got fuel stations at least for all Doha city zones.

1.0.21 All the vehicles supplied to CNAQ (including short term on calls) shall be provided with full tank fuel and required maintenance & servicing.

1.0.22 Standing offer limit is average 100 KM per day /3000 KM per month. The excess in standing offer shall be paid upon the basis of trip/log sheet.

1.0.23 The excess payments shall be certified by CNAQ Facilities Services Manager upon receipt of trip/log sheet, justification from the CNAQ transportation coordinator or from the requesting department as well as based on related documents and invoices.

1.1 DELIVERIES & ORDERING 1.1.1 It is anticipated that the letter of award will be issued immediately after

the evaluation. CNA-Q should receive the vehicles as soon as possible but maximum period shall be within thirty days from the letter of Award. Delivery should take no longer than 3-4 days after the issuing of the Purchase Order for any additional requirement.

1.1.2 A purchase order will be issued annually for these leases. The first year

purchase order will be issued at the beginning of the contract to the successful bidder(s).

1.1.3 All vehicles will be subject to an inspection upon delivery and CNA-Q reserves the right to accept/reject the vehicles if it is not found as new vehicles/models. All supplied vehicles for the yearly contract shall be new & zero mileage. This refers to the main offer pricing schedules.

1.1.4 The vehicle offered in this category should be maintained and Serviced

as per manufactures specifications and in good working conditions with all provisions such as mileage, capacity of engine, air-conditions, air quality etc.

1.1.5 If there is no official Purchase Order or a confirmation by email/fax from CNA-Q Facility Manager, Contractor is not allowed to issue a vehicle to any employee or other contract workers for business purpose set out in this contract.

1.2 INVOICING/PAYMENT TERMS 1.2.1 All invoices must be sent to CNA-Q FACILITIES DEPARTMENT-

COLLEGE OF THE NORTH ATLANTIC-QATAR, B#16 Zone 68, P.O. 24449, and Doha, Qatar Attention: Facilities Services Manager.

1.2.2 Breakdown of agreed BOQ should be shown as separate line items on all invoices. 1.2.3 The invoice must reference the purchase order number.

SECTION IV

FUNCTIONAL REQUIREMENTS/SPECIFICATIONS 1.0 FUNCTIONAL REQUIREMENTS 1.0.1 The requirement of service and general specifications for the vehicles

are set out in this document. Proposals must meet the minimum specifications as stipulated in this document in order to be considered.

1.0.2 The successful bidder(s) must be licensed vehicle rental organizations operating in State of Qatar. 1.0.3 Public Liability, Property Damage Coverage, Collision and

Comprehensive Coverage and Accident Benefits Coverage including passengers shall be to the responsibility of the Contractor.

1.0.4 CNA-Q will return all vehicles in good physical condition. Small scratches

or paint chips (i.e. parking lot damage or normal wear & tear) and holes that were made from retrofitting the security vehicles will not be repaired prior to return. This damage will be considered normal wear and tear and CNA-Q will not be responsible for the cost of repairing it.

1.0.5 Proposed vehicle modification if required shall be at CNA-Q’s expense:

(applicable only for security or any program/facilities/custodial/Special Event requirements & any related branding)

1.0.6 All necessary equipment installations will be removed when the vehicles

are returned with the prior approval of CNA-Q & in coordination with the contractors. The cost incurred for such removal shall be the responsibility of the contractor.

1.0.7 Vehicle Identification Number with CNAQ Logo shall be affixed in all

vehicles prior to the delivery of the vehicle for the operation. Such stickers shall be agreed at the time of contract finalization. Stickers along with logo shall be the same three color CNAQ logo and maximum 15 inch Dia.

1.0.8 Branding of supplied Vehicles under this project:- The successful bidder(s) shall be responsible for assisting the required permission from concerned state agencies as well as necessary provisions for the clients branding (as supplied by the client) to the vehicles deemed necessary by the client. The branding shall be similar to Karwa or Qatar University Vehicles.

1.0.9 The charges for the supply, design, delivery and installation and branding shall be to the responsibility of the client. The vendor must

submit all actual bills to CNAQ for claiming any charges incurred for branding of vehicles such as approval from traffic, municipality etc…

1.0.10 The proposed branding for the vehicles needs to complete within the given time requested by CNAQ without any disruption to the normal business operation to CNAQ.

1.0.11 The Branding shall be finalized by CNAQ Marketing department and

appropriate vehicles identified. Approval for such vehicles by related state agencies shall be the responsibility of the contract. The client reserves the right to approve / disapprove such companies identified by the Bidder(s) to provide these services

1.0.12 CNA-Q will prefer to have advanced branding technologies. The

damages to the branding due to any accident or the negligence of the drivers, contractor is responsible to reinstate the branding under their cost.

1.0.13 CNA-Q will be retrofitting with shelving, ladder racks and interior grille

partition to all of the utility vehicles if required. These items will be removed when the vehicles are returned.

1.0.14 Small scratches or paint chips and holes that were made from retrofitting

will not be repaired prior to return. This damage will be considered normal wear and tear and CNA-Q will not be responsible for the cost of repairing it.

1.1 ILLUSTRATIVE LITERATURES

1.1.1 Bidders should submit detailed ILLUSTRATIVE and SPECIFICATION

INFORMATION for all equipment/ vehicles proposed in this RFP along with manufacturer’s catalogue.

1.2 PRESENTATIONS / INTERVIEW/ DEMONSTRATION

1.2.1 Each bidder may be required to make a presentation / attend pre-bid or

post-bid meetings at their own expense or arrange a site visit for the evaluation committee to an existing unit that matches the requirements of the proposed bid. No bid alterations will be allowed after the submission. CNAQ reserves the right to visit or reference checks the confirmation of the submission. Notification will be given to qualified bidders as to time and place.

1.3 SERVICES

1.3.1 Bidders must submit an undertaking letter to confirm warranty and service

for the proposed vehicles along with the bid. 1.3.2 In the event of vehicle breakdown, Contractor will make every effort to

replace the vehicle, or supply a suitable replacement within 6 Hrs. times for the vehicle supplied without driver. Whereas there will be no

compromise against the failure in scheduled service/breakdown provided for the vehicle supplied with driver. Such service / breakdown replacement must be immediate.

1.3.3 Any vehicles taken out of service due to major mechanical failure must be

replaced with a substitute same unit immediately. The contractor will be responsible for pickup and delivery of replacement vehicles as and when required for the client.

1.3.4 When vehicle breakdown occurs, contractor is responsible for all the

services incurred. 1.3.5 Fueling, lubrications, preventative maintenance and warranty checks will

be the responsibility of the Contractor & realistic time schedules to be followed and communicated to the end users to avoid any normal business interruptions.

1.3.6 The contractor shall carry out all services in a professional manner and to

the satisfaction of CNA-Q. All required service to be performed through appropriately certified staff or contractor.

1.0 GENERAL TERMS AND CONDITIONS 1.0.1 Any response submitted to the Bid is IRREVOCABLE for 120 days. 1.0.2 A bidder who has already submitted a bid may submit an addendum in

writing and signed by the bidder at any time up to the official closing time. (No facsimiles shall be accepted). The last submission shall supersede and invalidate all previous submissions by that bidder as it applies to this Bid. Addendum must be submitted to the “Tender Committee’s” Box in the same manner and within the same time constraints as the Bid Submission.

1.0.3 A bidder may withdraw the bid at any time up to the official closing time by

letter bearing his/her signature as it is in the submission. Withdrawal requests received after the closing date shall not be permitted. Submission withdrawals must be submitted to the “Tender Committee” box in the same manner and within the same constraints as a Bid Submission.

1.0.4 The issuance of this call for bids shall not constitute any obligation on the

part of CNA-Q to any firm or individual who submits a Bid. 1.0.5 The bidder should have satisfactorily fulfilled all relevant obligations as

required under the terms and Conditions of any previous award in order to be considered as an acceptable bidder.

1.0.6 The laws of the State of Qatar shall govern in any dispute occasioned as a

result of the performance or non-performance and/or service requirement of a contract issued pursuant to the bid and any dispute arising out of the issuance of and response to this bid.

1.0.7 CNA-Q reserves the right to withdraw the award of the contract to a

successful bidder(s) within 30 days of the award if in the opinion of CNA-Q the successful bidder(s) is unable or unwilling to enter into a form of contract satisfactory to CNA-Q. CNA-Q shall be entitled to do so without any liability being incurred by CNA-Q to the bidder.

1.0.8 The lowest or any bid submission may not necessarily be accepted. CNA-

Q reserves the right to decline any or all bid submissions, or to cancel the Bid call in whole or in part at any time prior to making an award, for any reason, or no reason, without liability being incurred by CNA-Q to any bidder for any expense, cost, loss or damage incurred or suffered by the bidder as a result of such withdrawal.

1.0.9 All costs associated with the preparation of the bid submission will be

solely the responsibility of the bidder.

1.0.10 CNA-Q reserves the right to decline or purchase one or all items in this Bid from one supplier or from multiple suppliers.

1.0.11All of the terms and conditions of this bid are deemed to be accepted by

the bidder and incorporated into the bidder’s proposal submission. It is CNA-Q’s intention that the Terms and Conditions stated in this bid and the successful bidder’s response to this bid will form the contract between CNA-Q and the successful bidder(s). Any conflict in the wording of the bidder’s invoice and/or sales agreement and the wording of the terms and conditions of this proposal shall be resolved in favor of CNA-Q and shall be deemed to be incorporated into the bidder’s invoice and/or sales agreement.

1.0.12The successful bidder(s) must not be at any time subcontract any portion

of its contract with CNA-Q nor shall it assign the contract without the written permission of CNA-Q. The successful bidder(s) must not, at any time, change subcontractors approved by CNA-Q without written permission of CNA-Q.

1.0.13 While CNA-Q has used considerable efforts to ensure an accurate

representation of information in this bid document, the information contained herein is contained solely as a guideline for bidders. The information is not guaranteed or warranted to be accurate by CNA-Q, nor is it necessarily comprehensive or exhaustive. Nothing in this bid document is intended to relieve bidders from forming their own opinions and conclusions in respect to the matters addressed in this bid document according to local state agency or traffic police regulations.

1.0.14 CNA-Q may accept or waive a minor irregularity, or where practical to do

so CNA-Q may as a condition of bid acceptance request a bidder to correct a minor irregularity with no change in bid price. Items of non-compliance on any bid submissions which do not strictly comply with the provisions, procedures and requirements of this Bid, or are incomplete, ambiguous, or which contain errors, alterations, misleading information, omissions, or irregularities of any kind, may be rejected and disqualified at the sole discretion of CNA-Q. All bidders agree to provide all such additional information as, and when requested, at their own expense, provided no bidder in supplying any such information shall be allowed, in any way to change the pricing or other cost quotations originally given in its bid submission or in any way materially alter or add to the solution originally proposed.

1.0.15The contractor will reimburse CNA-Q for any damages through

negligence or willful acts of any of the successful bidder(s)’ employees or contracted staff.

1.0.16The contractor’s employees and contracted staff shall not be considered

CNA-Q employees and shall not represent themselves as an agent / employee of CNA-Q nor be eligible for any of the benefits provided to CNA-Q employees.

1.0.17CNA-Q reserves the right to demand the removal of any contract employees or contracted staff engaged in this contract if, in CNA-Q’s opinion, their conduct has been of an unacceptable nature.

1.0.18 The successful bidder(s) will be responsible for seeing that regular

supervision is maintained over all working personnel. It is the contract’s responsibility to see that all their activities are properly coordinated with CNA-Q’s operations and modify assignments as required.

1.0.19This bid document is being issued pursuant to CNA-Q’s Purchasing

Policies and Procedures. 1.0.20The acceptance of the bid by the successful bidder(s) and the award of

the contract contemplated by this bid document are subject to approval of the Procurement Committee.

1.0.21The successful bidder is bound to CNAQ lease agreement upon

completion of all tender formalities proposed in the bid. 1.1 CANCELLATION OF CONTRACT / LOSS OF SERVICE 1.1.1 CNA-Q reserves the right to terminate this contract within 30 days written

notice if, in its opinion, the contractor fails to meet the terms and conditions of the contract. Notwithstanding the termination of the contract, the contractor shall remain responsible for its obligations under this contract up to the date of termination. CNA-Q reserves the right to commence an action in a court of competent jurisdiction against the contractor for damages that result from the breach of the terms and conditions of the contract, by the contractor.

1.1.2 CNAQ shall have the right to retain and set off from any monies payable to

the contractor under the contract the total outstanding amount from time to time and for all damage claims by CNA-Q or any third parties arising out of this contract which have not been resolved by the contractor or its insurer.

1.1.3 CNA-Q reserves the right to withhold monies owing under a contract to

the value of the obligation to a maximum of the monies owing to the contractor for any indebtedness of the supplier that may impact on CNAQ.

1.1.4 The contractor shall be responsible for ensuring continuous delivery of

the goods and services in the event of a labor disruption by either, the contractor, CNA-Q’s staff or third party interruptions.

1.1.5 In the event that the contractor becomes insolvent, and/or the contractor

is unable or unwilling to provide the contracted service for a period of more than 30 consecutive days during the period of the contract, CNAQ shall have the right to replace the contractor with another service provider suitable to CNAQ in addition to all of its other rights pursuant to the term of this Bid.

1.1.6 CNA-Q Reserves the right to suspend the services temporarily without any rental charges to CNA-Q during the period of the contract; if CNA-Q feels the service not required for the break/holidays falls to the region/campus more than ten consecutive days. Such services shall be adjusted with mutually agreed terms and conditions as per this contract.

1.2 GATE PASS / VECHICLE PASS

1.2.1 Bidders agree that all documentation and information contained in any bid

submissions and any addendum that for the supplied vehicles as well as the supplied employees under the sponsorship/ownership of Contractor and inform the client time to time in writing to acquire the gate pass for vehicles and their employees.

1.2.2 All bidders agree not to disclose any gate pass/vehicles pass or any other

information provided by CNA-Q during the execution of the service to any third party without the written consent of CNA-Q. Upon completion of the each task all the pass should return to CNA-Q

1.3 LIMOUSINE SERVICES

1.3.1 The Vendor is responsible to provide chauffeur-driven services required

for CNAQ employees and spouses, as and when required by CNAQ employees for business requirement or personal requirement.

(a) Business purpose services shall be initiated by CNAQ transportation

and accommodation coordinator and certified by Facilities Services Manager.

(b) Personal service requirement will be requesting by CNAQ employee or their spouse to Contractors transportation coordinator.

The charges shall be calculated by the hourly/KM charges agreed through the contract herein upon finalization.

1.4 COMMERCIAL LIABILITY INSURANCE

1.4.1 The successful bidder(s) must be covered by Commercial General Liability Insurance throughout the term of the Contract. Each bidder must state if it has Commercial General Liability Insurance Coverage.

1.4.2 Each bidder should show proof with the submission of this bid that upon

the award of this contract that it will be covered by Commercial Liability Insurance coverage with limits of QRs.1 million per occurrence for liability (by way of primary coverage and/or Umbrella Coverage and/or otherwise), arising at law for damages caused by reason of bodily injury (including death) or damage to property by its employees or subcontractors. If the bidder does not presently have QRs.1 million per occurrence of Commercial Liability Insurance coverage, the bidder shall provide a written assurance from his insurer or agent on the insurer’s or agent’s letterhead

that liability insurance limits will be increased to QRs.1 million per occurrence from the commencement of the Contract should the contract be awarded to the bidder. The successful bidder(s) further agrees to maintain good standing throughout the term of the contract. CNA-Q reserves the right to request proof of coverage any time throughout the duration of the contract.

This liability policy shall contain the following coverage:

• Personal Injury & Property Damage • Non-Owned Automobile Liability • Owners and Contractors Protective Coverage • Contractual Liability • Broad Form Property Damage • Products & Completed Operation Insurance • Contingent Employees Liability • Cross Liability Clause and Severability of Interest Clause

1.4.3 Upon an award to the successful bidder(s) by CNA-Q, the successful

bidder(s) shall be required to submit certification in a form satisfactory to CNA-Q of the above-mentioned coverage to protect CNA-Q against claims for property damages and personal injuries, including accidental death, caused by the successful bidder(s) or its employees or subcontractors during the performance of its obligations under the contract.

1.4.4 The successful bidder(s) agrees to indemnify, hold harmless and defend CNA-Q from and against any and all liability for loss, damage and expense, which CNA-Q may suffer or for which CNA-Q may be held liable by reason or injury (including death) or damage to any property arising out of negligent or willful acts on the part of the successful bidder(s) or any of its representatives or employees or subcontractors in the execution of the work performed or from defects in the equipment supplied.

1.5 MOTOR VEHICLE LIABILITY INSURANCE 1.5.1 Bidders must state if loan vehicles will be covered by the following insurance. 1.5.2 In the event that CNA-Q employees will operate bidder’s vehicles during

the contract each bidder must state Automobile Liability Coverage. Sub clauses also subsection

1.5.3 To subsection 1.5.5 applies if CNA-Q employees operate the automobiles. 1.5.4 Bidders must show proof with the submission of this bid, that upon the

award of this contract that it will be covered by Automobile Liability Insurance with coverage limits of QRs.2 million per occurrence for liability arising at law for damages caused by reason or bodily injury (including death) or damage to property by CNA-Q employees. If the bidder does

1.5.5 Upon an award to the successful bidder(s) by CNA-Q, the successful bidder(s) shall be required to submit certification in a form satisfactory to CNA-Q of the above-mentioned coverage to protect CNA-Q against claims for property damage and personal injuries, including accidental death, caused by the successful bidder(s) or CNA-Q employees during the performance of its obligations under the contract by way of the ownership or operation of an automobile.

1.5.6 The successful bidder(s) agrees to indemnify, hold harmless, and

defend, CNA-Q from and against any and all liability for loss, damage and expense, which CNA-Q may suffer or for which CNA-Q may be held liable by reason of injury (including death) or damage to any property arising out of negligence on the party of the successful bidder(s) or any of its representatives or CNA-Q employees by way of the ownership or operation of an automobile.

1.0 EVALUATION PROCESS

SECTION X

MASTER LEASE AGREEMENT

MASTER LEASE AGREEMENT BETWEEN: CONTRACTOR (hereinafter referred to as contractor) AND

CNAQ PROCUREMENT COMMITTEE COLLEGE OF THE NORTH ATLANTIC-QATAR (hereinafter referred to as CNAQ) Zone 68. Duhail North, Doha – Qatar.

1.0 RENTAL PAYMENTS:

All rental payments shall be upon the completion of required services as well as

with submission of all backup documents along with the copy of PO. Payment shall be as per CNAQ finance policy.

1.1 NOTICES:

Notices hereunder must be in writing or by e-mail, and may be delivered as

follows: To Contractor, Attention: Leasing Manager; and to CNAQ. Subject to the prohibition against assignment herein before set out, this Agreement shall ensure to the benefit of and be binding upon the parties hereto, and their respective heirs, executors, administrators, successors and assigns.

1.2 TERM OF LEASE AND RATES:

Rentals and other charges shall be payable as per the contract setout herein.

1.3 VEHICLES AND EQUIPMENT: The motor vehicles, the subject of this lease shall be motor vehicles of the type

and model set out in Transportation schedule pricing page. CNA-Q may installed any equipment if needed to the supplied vehicles, but such additional equipment and accessories may be removed by CNA-Q prior to the expiration of the term of hire of the vehicle in question as per the terms and conditions set out herein.

1.4 DELIVERY:

The motor vehicles covered under this lease agreement shall be delivered by Contractor to CNA-Q at locations within the State of Qatar as and when

required by CNA-Q as per the terms and conditions of the contract agreed. The delivery of vehicles shall be validated only through the official purchase order

and / or the written confirmation from CNAQ Facilities Services Manager or his/her designee.

1.5 USE OF VEHICLES: Each vehicle leased hereunder shall be used for the normal and usual purpose of motor vehicles, as the case may be, in the business of CNA-Q. Vehicles may be used by employees of CNA-Q, or the contractors under CNAQ, for any and all proper and lawful purposes; provided that nothing in this paragraph shall derogate from the liability of CNA-Q. For any use and operation of each vehicle leased hereunder in breach of any of the terms and conditions of the insurance policy or policies intended to cover Contractor’s liability as owner and that each vehicle leased hereunder shall be lawfully operated according to the laws of any jurisdiction to which the use and operation thereof may at any time be subject. CNA-Q hereby agreeing to indemnify and save harmless the Contractor of and from any and all fines or penalties levied or imposed in respect of the use and operation of each vehicle other than it prove that it is a mistake of Contractor. VEHICLES LEASED HERE UNDER MUST NOT:

1.5.1 be loaned to or operated by anyone not referred to in this provision of the said Lease or other CNA-Q authorized employees or contract worker unless prior permission is obtained from Contractor.

1.5.2 be operated or driven by anyone who is neither licensed to drive

by the appropriate governmental authority, nor qualified to drive, or be operated by anyone whose license to drive or operate an automobile or motor vehicle of any kind is suspended or while his right to obtain a license is suspended, or while he is prohibited under the order of any Court from driving or operating an automobile or motor vehicle.

1.5.3 be operated or driven by anyone who is under the influence of

intoxicating liquor or drugs or while in a condition for which he is convicted of an offence under Criminal Code of State of Qatar or under or in connection with circumstances for which he is convicted of an offence under Criminal Code of State of Qatar or such similar provisions of any statute or provision of the laws of any other jurisdiction.

1.5.4 Operated for any illicit or prohibited trade or transportation. 1.5.5 Be operated in any race or speed test. 1.5.6 Be operated to draw, push or in any way, propel any other

vehicles or motor vehicle or apparatus, which would invalidate the manufacturer's warranty.

1.5.7 Be operated by anyone not employed/contracted by CNAQ.

1.6. MAINTENANCE REPAIRS: Contractor agrees to service the vehicle in accordance with the

manufacturer’s requirements and or as and when required by CNA-Q. Minimum general washing and cleaning required once in a week.

1.7. LIMITATIONS OF LIABILITY: Either party shall not be required to carry out any of the terms of this

Agreement if prevented from so doing by acts of God or War, viz. major strikes, substantial destruction of its plant and equipment or any other circumstances beyond its control, and shall not be liable for any loss or damage sustained and resulting there from. This contract and any vehicles leased there under will be subject to any rights and interest in and to said vehicles under any respective contract or contracts that Company or any other secured party may hold on the same.

Contractor agrees to indemnify, hold harmless and defend CNA-Q from

and against any and all liability for loss, damage or expense, which CNA-Q may suffer or for which the Board may be held liable by reason of injury (including death) or damage to any property arising out of the negligence on the part of the Contractor or any of its representatives or employees in the execution of the work to be performed hereunder from or defects in the equipment supplied.

1.8 TITLE: Title, ownership and right of property in and to the motor vehicle leased

shall at all times remain vested in Contractor, and CNA-Q covenants and agree not to do or perform any act prejudicial thereto, and, without limiting the generality of the foregoing, not to do any act to encumber, convert, pledge, sell, assign, rehire, underlet or lease, lend, conceal, abandon, give up possession, damage, or destroy the said vehicles or any one or more of them. CNA-Q hereby agrees to indemnify and save harmless Contractor from any loss or damage which Contractor may sustain as a result of any of the foregoing acts.

1.9 REGISTRATION: Each vehicle leased hereunder shall be registered in the name of

Contractor under the Laws of state of Qatar pertaining to motor vehicles in the Province of which the vehicle is to be regularly used. Notwithstanding such registration, it is understood and agreed between the parties hereto that CNAQ shall not be liable or responsible for the infraction of or non-compliance with any Dominion, Provincial or Municipal statute, law, ordinance, rule or regulation whatsoever relating to the operation or use of motor vehicles, or for the use or operation of any vehicle hereunder to the provisions of any insurance policy, or for loss or damage to persons or property caused or contributed to by the operation or use of any motor vehicle leased hereunder.

1.10 INSURANCE:

Contractor agrees, at his or her own expense to obtain and, subject to the insurer's right of cancellation, to maintain during the currency of this agreement a standard automobile insurance policy or policies insuring Contractor, CNAQ and the designated drivers. The coverage shall be as follows:

1.10.1 Inclusive coverage for legal liability for bodily injury or death, or damage

to the property of others, including passenger hazard, regardless of the number of claims arising from any one accident.

1.10.2 Collision coverage of the insured motor vehicle as defined in the State of

Qatar Standard Automobile Policy in the amount of the actual cash value of each motor vehicle leased hereunder at the time the loss or damage occurs, with the amount of deductible to be determined by CNAQ.

1.10.3 Comprehensive coverage as defined in the standard automobile policy,

subject to deductible as determined by CNAQ. Notwithstanding anything contained herein, or in any insurance policy or policies issued as aforesaid, the following provisions shall also apply to any such insurance:

1.10.3.1In the event of any accident of any kind whatsoever involving a

motor vehicle leased hereunder, whether the said motor vehicle is damaged or not CNAQ will forthwith notify Contractor of the said accident, with full particulars, including a statement of the operator. CNAQ will not admit liability and contractor will assist the insurer's insurance adjuster to make a full investigation and will permit him to take full charge of the leased vehicle if it is damaged, and give directions for its repair.

1.10.3.2In the event of the insurer cancelling the coverage’s with respect to

any motor vehicle leased hereunder, CNAQ will not further use the said motor vehicle nor permit it to be used, but will immediately return it to Contractor.

1.10.3.3 In the event that the insurer cancels the insurance coverage with

respect to any particular operator or driver, CNAQ will not permit that operator or driver or any member of his family under any circumstances whatsoever to use or operate a motor vehicle leased hereunder.

1.10.3.4 CNAQ covenants and agrees with Contractor that CNAQ will pay

or reimburse the insurer upon demand any amount which the insurer may have paid by reason of the provisions of any statute, relating to automobile insurance and/or motor vehicles in connection with the use and/or operation of any motor vehicle leased hereunder, and which amount the insurer would not otherwise be liable to pay under the insurance policy or policies herein before referred to; CNAQ in addition to any other

agreement of indemnity herein contained, agrees to indemnify and save Contractor harmless from and against all such claims and demands.

1.10.3.5 Subject to the provisions herein before set out, the amounts paid

by or received from the insurer or insurers herein before mentioned shall be applied in reduction of CNAQ's liability to Contractor under the agreement of indemnity herein contained and expressed.

1.11 INDEMNITY:

CNAQ covenants and agrees with Contractor that he/she or it will indemnify and save Contractor harmless from and against all fines and penalties, all liability and all loss, costs, damages and expenses resulting from, caused by or contributed to by the operation and use of the vehicles leased under this Agreement from the time that they are delivered by Contractor to CNAQ until the time that they are returned by CNAQ to Contractor according to the terms hereof.

1.12 DEFAULT AND TERMINATION:

CNAQ shall have the right to cancel and to terminate this agreement, with Thirty (30) day’s written notice or 24 hours’ notice depends to the nature of incident, to Contractor, with respect to one or all of the vehicles covered hereby on the following ground, namely:

1.12.1 For failure by Contractor to pay any vehicle loan installment hereunder

when it shall become due and any disruption faced dude to the normal business operation failed causing because of the failure;

1.12.2 For a breach of any of the terms, covenants or conditions of this

agreement by CNAQ.

1.12.3 If the insurance in this agreement mentioned shall for any reason be cancelled in whole or in part.

1.12.4 In any such event or in the event a proceeding in bankruptcy, receivership or insolvency be instituted against Contractor or Contractor’s property, CNAQ shall have the right to immediate possession of a motor vehicle or motor vehicles covered by this lease and CNAQ shall immediately redeliver to Contractor the said vehicles together with the Motor Vehicle Registration permit or permits pertaining thereto.

1.12.5 In the event that Contractor shall, by reason of the breach of any of the terms of this Agreement become entitled to the return of some one or more or all of the motor vehicles leased hereunder, then notwithstanding any terms or conditions herein contained, Contractor at it sole discretion, in addition to any other remedy open to it, may at any time upon giving

notice aforesaid take possession of any or all of the said vehicles without process of law, and CNAQ hereby authorizes and empowers Contractor, it servants, agents or other representatives to enter on any of CNAQ's lands or premises, or any other place or places where any of the said motor vehicles may be found, for the purpose of taking possession thereof, and on the happening of such an event or events CNAQ hereby irrevocably appoints Contractor, or any of its officers, as CNAQ's true and lawful attorney to execute such documents as may be necessary for the purpose of regaining possession of the said motor vehicles or any of them and the accessories attached thereto. CNAQ shall pay the costs of such repossession including transportation and storage charges.

1.13 RETURN OF VEHICLES:

CNAQ inform to the Lesser if not required for further use and Contractor will responsible to take off from CNAQ’s premises or as and where it is required basis by CNAQ. CNAQ agrees to return the vehicle at the end of the normal lease term and any extension thereof or upon earlier termination of the lease, in the same condition as when the vehicle was delivered, ordinary wear and tear and equipment installations and removal as set out in Schedule excepted, or to pay an additional amount equal to Contractor cost of performing all repairs necessary in order that a vehicle Safety Standard Certificate can be issued in respect of the leased vehicle upon its return to Contractor. CNAQ and Contractor, or their agents, shall inspect the returned vehicle and provide a jointly signed report on the condition of the vehicle. CNAQ hereby expressly acknowledges that:

1.13.1 CNAQ shall replace if any damages by their employees and with enough certification from the agents from both parties agreed upon or traffic authorities for the vehicles delivered for the operation without driver.

1.13.2 CNAQ shall repair all metal damage both to the exterior and interior of the vehicle that is not considered normal wear and tear; (small scratches or paint chips and holes that were made from retrofitting shall be included in the definition of normal wear and tear)

1.13.3 CNAQ shall permit no stains, tears or holes in the upholstery, carpets or other soft material in the trunk or interior of the vehicle, or, in the alternative, shall repair such damage if the same is present.

The items referred to in subparagraphs a), b) and c) of this paragraph do not constitute "ordinary wear and tear". Upon return of the leased vehicle, all mechanical components of the vehicle must be intact and functioning properly within the manufacturer's specifications.

1.14 CHOICE OF LAW: This Agreement shall be construed according to the laws of the State of Qatar and no action shall be brought against Contractor to construe or enforce this Agreement or otherwise with respect to it except in the Courts of the State of Qatar.

1.15. INSTRUCTIONS:

CNAQ covenants and agrees with Contractor that the motor vehicles

leased hereunder will at all times be operated only in accordance with the schedules of instructions hereto attached and marked schedules which said schedules forms part of this agreement.

1.16 ASSIGNMENT: It is understood and agreed between the parties hereto that this Lease

Agreement and Schedules is personal to CNAQ and may not under any circumstances be transferred or assigned by CNAQ to any other person, firm or corporation without the written consent of Contractor.

1.17 SCHEDULES: The attached Schedule forms part of this lease agreement contract. The

parties acknowledge that the Tender and the Response to the Tender shall form part of this lease agreement contract.

No over time charges shall be payable to the contractor or their employees from CNAQ for the normal business operation hours agreed in this contract. Normal

operational hour’s requirement for the vehicles shall be 6 am to 6 pm (12/6) days per week. The duty rosters or split working hours arrangements or its

compensation to the drivers mobilized to this project shall be to the responsibility of the contractor. The Preferred Vehicles in this bid shall be Mitsubishi, Nissan,

Toyota & Honda.
