Citi Rewards 2009 Terms and Conditions The Citi Rewards Program, which allows Citi Cardholders to redeem goods and services for Rewards Points accumulated through specified use of Citi VISA and MasterCard, has the following terms and conditions: DEFINITIONS In these Terms and Conditions: “Account” means your Citi VISA or MasterCard credit card facility. “Accountholder” or “you” means the principal cardholder, the person in whose name the Account is maintained. “Supplementary cardholder” means the person to whom an additional card is issued in respect of your Account. “Card” means the VISA or MasterCard issued by Citibank for use of the account. “Citibank” means Citibank N.A. Philippines, referred to as Citibank thereafter. “Citi Rewards” means the rewards program offered by Citibank as described in these Terms and Conditions, Series of 2009. “Rewards” means the goods and services described in the Rewards Catalog. “Rewards Catalog” means the catalog, and other promotional offers specifically designated as part of the Citi Rewards program, issued from time to time by Citibank. “Rewards Points”, referred to as RPs thereafter, mean the points earned through usage of the Citi VISA or Citi MasterCard as specified in these Terms and Conditions. 1. Eligibility Citi Rewards is open to principal cardholders of Citi Classic VISA/MasterCard, Citi Gold VISA/ MasterCard or Citi Platinum VISA issued by Citibank. This Rewards Catalog is valid from August 15, 2009 to November 30, 2009. All redemption requests for products and items featured in this catalog must be received by Citibank on or before January 31, 2010 to be considered valid. 2. Accumulation of Rewards Points 2.1. During the program period of Citi Rewards, you will be awarded 1 Rewards Point (RP) for every Php30* charged by you on your Account for purchase of goods or services for personal consumption while your account is open, remains in good credit standing and is currently within terms and conditions. 2.2. Charges not eligible include, but are not limited to, cash advance transactions, all fees and charges, interest charges, traveler check or casino chip purchases and other unauthorized charges, etc. Balance Transfer, Balance Conversion, Retail Conversion, and Call for Cash transactions do not earn RPs unless otherwise stated. 2.3. PayLite transactions earn RPs for the portion of the principal of the monthly installment amount billed on the Statement of Account. Any interest charges will not be entitled to earn RPs. 2.4. One Bill transactions up to Php 100,000 will earn RPs. Except for Meralco and PLDT One Bill transactions up to only Php 20,000 will earn RPs. Any amount in excess will not be entitled to earn RPs. 2.5. RPs accrue in the principal Accountholder’s name only, but are earned through supplementary card usage as well. 2.6. RPs are not transferable to any other person or convertible for cash. However, RPs earned on separate Citibank VISA or Citibank MasterCard Accounts in your name can be combined for redemption. RPs cannot be combined for requests done thru Citibank Online. 3. Duration and Loss of Rewards Points 3.1. Subject to clauses 3.2, 3.3 and 7, there is no time restriction on the redemption of RPs. 3.2. Citibank reserves the right to suspend or exclude you from participating or continuing to participate in Citi Rewards if: a. In its opinion you or a supplementary cardholder has in any way breached the Citi Rewards Terms and Conditions or the Terms and Conditions of your Citi VISA or MasterCard Account; or b. In its opinion you conduct your account in a manner inconsistent with the object and intent of Citi Rewards. 3.3. The accumulation and redemption of RPs shall be specified in the monthly statement of account. Unless Citibank hears from the Cardholder within 20 days upon delivery of his monthly Account Statement to his billing address, the RPs for the Cardholder account on the statement are considered correct. 3.4. Transfer of RPs from expired or closed Citibank account to current Citibank account will not be allowed. 3.5. Fraud and abuse relating to the earning of points in the Rewards Program or redemption of rewards including transfer of points to participating Partner Programs, may result in forfeiture of earned points. 3.6. All questions or disputes regarding eligibility for the Rewards Program or eligibility of points for redemption of rewards including transfer of Points to a Partner Program will be resolved by Citibank at its sole discretion. 4. Rewards Redemption 4.1. Citibank will from time to time issue a Rewards Catalog which will set out the number of points required for you to claim a Reward for each good and/or service. 4.2. Where you have accumulated the required number of RPs, you may claim a Reward in accordance with the instructions contained in the Rewards Catalog. 4.3. FAST TRACK Redemption - Upon written notice, selected Rewards may be described as being eligible for Fast Track redemption. This means you will be eligible to claim the Reward if you accumulate the Fast Track points required and charge the Fast Track Cash specified to your Citibank VISA or Citibank MasterCard. The use of your Citibank VISA or Citibank MasterCard to pay the Fast Track redemption will generate further RPs. The RPs will not be available until Fast Track is charged or posted to your statement of account. Fast Track Redemptions on PayLite shall be subject to the applicable terms and conditions of PayLite Installment Plan. 4.4. GOLD AND PLATINUM CARDHOLDER PURE POINTS Redemption - Upon written notice, selected Rewards may be described as being available for redemption by Gold and Platinum Accountholders at a special Pure points requirement. The same item may be offered to Silver Accountholders at a different Pure points requirement. This means Gold and Platinum Accountholders may redeem the item using a certain amount of Pure points while Silver Accountholders may redeem the same item using a different amount of Pure points. The Fast Track redemption for same items would be available for Gold, Platinum and Silver Accountholders at the same rate. 5. Participating Programs 5.1. RPs can be converted into mileage or other benefits in participating programs specified in the Rewards Catalog. Allow 2 to 3 weeks for the crediting of miles into your mileage account, except for Northwest World Perks which will take 6 to 8 weeks. 5.2. Frequent flyer miles, hotel privileges, kilometer credits or points, travel certificates and gift or cash coupons are not exchangeable, refundable, or redeemable for cash or credit under any circumstances, and are subject to the terms and conditions as may be prescribed by the issuer of the same. 5.3. The Accountholder may transfer points from his/her Citibank account into any one or more participating programs accounts in his/her name only (and not in anyone else’s name), and thereafter cannot transfer back the said points into his / her Citibank account. 5.4. Points converted into frequent flyer miles or donated to charity cannot be converted back into points. 5.5. Accountholders are subject to and must comply with the terms and conditions applying to participating Programs in which they are enrolled. 6. Redemption Mechanism and Standard 6.1. You can redeem by calling the 24-hour CitiPhone at 995-9999 in Metro Manila or 234-9999 in Metro Cebu. Redemption requests can also be made through Citibank Online at our website, www.citibank.com.ph. 6.2. Rewards can only be redeemed in accordance with the current Rewards Catalog. 6.3. If you want to transfer RPs to mileage points in partner airline or hotel programs, you must be enrolled in the relevant partnership program in order to convert these RPs. 6.4. Principal Accountholders will exercise the right of redemption for RPs earned through supplementary usage. 6.5. RPs can be combined for redemption by cardholders who own more than one eligible Citi Card. 6.6. The annual fee waiver redemption is eligible for your principal or supplementary card under your account and is limited to once a year only. 6.7. All Rewards and Rewards certificates will be dispatched by courier or post to the last known address for your Account. Delivery will only be made to either the home or business address as indicated in your customer records with Citibank N.A. Philippines. Allow about 7 banking days for delivery within Metro Manila and 12 banking days for CAMANAVA (Caloocan, Malabon, Navotas, Valenzuela) and provincial areas.

Citi Rewards 2009 Terms and Conditions

The Citi Rewards Program, which allows Citi Cardholders to redeem goods and services for RewardsPointsaccumulatedthroughspecifieduse of Citi VISA and MasterCard, has the following terms and conditions:

In these Terms and Conditions:“Account” means your Citi VISA or MasterCard credit card facility.“Accountholder” or “you” means the principal cardholder, the person in whose name the Account is maintained.“Supplementary cardholder” means the person to whom an additional card is issued in respect of your Account.“Card” means the VISA or MasterCard issued by Citibank for use of the account.“Citibank” means Citibank N.A. Philippines, referred to as Citibank thereafter.“Citi Rewards” means the rewards program offered by Citibank as described in these Terms and Conditions, Series of 2009.“Rewards” means the goods and services described in the Rewards Catalog.“Rewards Catalog” means the catalog, and other promotionaloffersspecificallydesignatedaspartof the Citi Rewards program, issued from time to time by Citibank.“Rewards Points”, referred to as RPs thereafter, mean the points earned through usage of the CitiVISAorCitiMasterCardasspecifiedintheseTerms and Conditions.

1. Eligibility

Citi Rewards is open to principal cardholders of Citi Classic VISA/MasterCard, Citi Gold VISA/MasterCard or Citi Platinum VISA issued by Citibank. This Rewards Catalog is valid from August 15, 2009 to November 30, 2009. All redemption requests for products and items featured in this catalog must be received by Citibank on or before January 31, 2010 to be considered valid.

2. Accumulation of Rewards Points

2.1. Pay with PointsTerms and Conditions

1. Promo period is from September 1, 2009 to January 31, 2010.2. All Citi Classic/Gold VISA/MasterCard and Citi Platinum VISA Principal Cardholders, whose cards have been locally issued by Citibank, N.A. Philippines (referred to as “Cardholder”), and are active and in good creditstanding,arequalifiedtojoin.3. Cardholders may use their Citi Rewards Points to pay for up to a maximum of 50% of the retail or discounted price of all items in the participating merchants.4. Any amount that is not covered by the Citi Rewards Points should be paid by the Cardholder using his/her Citi Classic/Gold VISA/MasterCard or Citi Platinum VISA. The portion charged to the Citi Card will generate Rewards Points.5. Cardholder can have his Citi Card swiped at the Citibank Terminal at the designated counter to check his/her available Rewards Points.

Per DTI-NCR Permit No. 4303, Series of 2009.

6.8. Any bonus Rewards Points for online redemption shall be awarded the following month after redemption is made.

7. Conditions of Redeeming Rewards

7.1. Citi RPs are only redeemable by you if your Account is open and remains in good credit standing and currently within terms and conditions. Unused points will be forfeited immediately after voluntary or involuntary cancellation of the Citi Card.

7.2. Unused RP’s of accountholders who have availed of debt restructuring and other collection programs for their accounts shall remain forfeited despite eventual payment of their account.

7.3. If an Accountholder who has more than one Citibank account voluntarily cancels any such account, the Accountholder shall not be entitled to transfer unused RPs in the cancelled account to another Citibank account. 7.4. Your redemption request must be made duringthespecifiedprogramperiod.

7.5. Once redemption offers are accepted by CitiPhone, Citibank Online or other redemption channels, they cannot be revoked or canceled. 7.6. Upon receipt of your Rewards item, please inspect it immediately for damage or defect without destroying its original packaging. Please read the product manual (if applicable) for clarificationsonset-upandproductspecifications.

7.7.IfafterinspectionyoufindthattheRewardsitem is defective or damaged, you can request an exchange for the same Rewards item within 48 hours of receipt by calling Citibank. Upon return, you must include original manufacturer’s packaging together with any or all instructions andwarrantycertificates.Ifrequesttoreplaceis beyond the 48-hour limit, the warranty of the supplier within the warranty period remains valid. The 48-hour warranty is on top of the applicable warranty on the items. Please call the item’s Service Center number

7.8. Citibank shall pick-up the reported defective Rewards item for inspection within 1 week from the date the report on the defective item was made. Should the dispute be found valid, Citibank shall replace the Rewards item within 2 weeksfromthedateoffinalinspection.Adisputeis valid when there is damage or manufacturing defect in the Rewards item or when the description of the Rewards item indicated in the Rewards Catalog is found to be inconsistent with

the actual Rewards item delivered. A Rewards handling fee of Php500 will be charged to the Cardholder for each Rewards item retrieved by the Bank arising from an invalid dispute.

7.9. For delivery of Rewards items at the Accountholder’sgivenaddress(home/office/etc), the Accountholder understands and agrees that he/she authorizes any one living/staying at the given address to receive the item on his/her behalf.Howeverforgiftcertificates,vouchers,tickets or subscriptions, delivery will only be made to the redeeming Accountholder.

7.10. Should the Accountholder not be around to receivethegiftcertificates,vouchers,ticketsorsubscriptions redeemed, he/she must prepare a letter of authorization and photocopies of identification(theAccountholderandauthorizedrepresentative) and submit the same to the courier service provider. Accountholder may also advise Citibank of the name of the authorized representative via CitiPhone. In this case, authorized representative will be asked to providephotocopiesofvalididentification(theAccountholder and authorized representative) and submit the same to the courier service provider.

7.11.Issuanceofgiftcertificates,vouchers,or tickets does not constitute a reservation. Therewardscertificateholderisresponsiblefor making all reservations and notifying the participating merchant of the reward(s) they are going to redeem. For hotel rewards and travel packages, prior booking is essential and is subject to availability. Some black out dates may apply.

7.12. Submission of the redemption warrants the Accountholder’s acceptance of the Terms and Conditions stipulated in the Rewards catalog.

7.13. Redeemed Rewards are not exchangeable for other Rewards, nor refundable, replaceable or transferable for cash or credit under any circumstances.

7.14. Citibank shall not be obliged to recognize or replace any Rewards Items, redeemed through the program that are lost or stolen after delivery.

7.15. Citibank shall not be liable for any defective products or items purchased using giftcertificates,vouchersorticketsredeemed.Any complaint as to the quality of said goods or services redeemed shall be referred to the merchant.

7.16 Unless otherwise stated, installation costs and/or eventual servicing of Rewards Items redeemed, including but not limited to electronic

equipment and household appliances, shall be for your account. In cases, certain Rewards Items may be covered by a manufacturer’s warranty and Accountholders should direct their inquiries to the manufacturer of the Rewards Item in accordance with the warranty information.

8. Disclaimers 8.1. Citibank has taken and will take reasonable care to ensure that information it publishes in relation to Citi Rewards is accurate. All descriptions of Rewards in the Rewards Catalog and other Rewards program offerings are based on information provided by suppliers. 8.2. Batteries are not included with battery-operated items, unless stated. 8.3. Unless otherwise stated, installation and/or service of items are not included. 8.4. Any Reward that relates to travel includes only those features described in the Rewards Catalog. Any applicable airport tax and other charges are the Accountholder’s responsibility.

8.5.GiftCertificatesarevalidforone(1)yearupon claiming of the Accountholder unless otherwise stated.

8.6. Items photographed in the Reward Catalog may differ slightly in visual color from the actual items to be delivered to the Accountholder.

9. Warranties

9.1. Designated products are covered by applicable warranty.

10. Taxation

10.1. Except for Fast Track redemptions, the rewards obtained as a result of a Citibank customer’s private transactions should have no taxation consequences (Pure Points). In Fast Track Redemption, Accountholder is responsible for the tax applicable in Fast Track Cash. 10.2. The Accountholders will be responsible for whatever tax implications may arise out of the ultimate treatment of the Rewards items.

11. General

11.1. Citibank shall be entitled to have an agent or contractor carry out all or part of Citi Rewards on its behalf. You consent to Citibank supplying any such agent or contractor with such information as is required for them to perform their duties.

11.2. These terms and conditions are subject to any relevant law, government direction and regulation. For administrative complaints related to the Rewards program, the venue of administrative action shall be in accordance with the Department of Trade and Industry’s rules on venue of action. Venue of any civil action arising under this agreement shall be in the proper courts of Makati City, Philippines, all other available venues of suit being waived.

*Computation of RPs is 3.33% per eligible transaction made on the Citi Card. Example: P1,000 x 3.33% = 33.30 Rewards Points
