cash flows, and financial ratios.

knowledge of payback, discounted

of risk, return and diversification, and

measurement of risks.

The Itermeiate Stage consists of 3 classroom sessions to be held fromOctober/November to February.

The emphasis in the Intermediate Stage is on providing transaction-orientedknowledge to enhance and develop key analytical skills. Professor and Lawrence Bloomberg Chair in Accountancy,

Dr. Magnan is a Professor and the Lawrence Bloomberg Chair in Accountancy. He

has more than 20 years of professional experience. His teaching interests include

financial reporting, mergers and acquisitions and management control. He has taught

in many Canadian and European universities at the B.Comm., MBA, EMBA and Ph.D.

levels, and has been involved in professional development and teaching. Dr. Magnan`s research activities

Sprott School of Business, Carleton University 

Michael McIntyre is an Associate Professor, Finance at the Sprott School of

Business. He has experience teaching in Undergraduate, Masters and Ph.D.programs, including both offshore and executive programs. In addition to teaching,

Michael is an active researcher in the areas of corporate governance and derivative

securities. He uses his foundation in option theoretic techniques and proprietary

software to advise deposit insurers around the world on a variety of policy issues,

including provisioning and capital adequacy.

Part I – Primer & Refresher Corses

You’ll find these courses particularly useful in areas where you either need a refresher or are

just starting out in corporate finance. Either way, they will provide you with a foundation in

the underlying corporate finance fundamentals related to:

• Fiacial Statemet Iterpretatio – This on-line course was developed exclusively

for participants in the CF Education Program who want to quickly review financial

statement ratios and how to interpret their results. Over approximately 2 hours, it will

prepare you to get the most out of the CF Program.

• Time Vale of Moey – This is another important concept that you’ll need to master to

perform well in corporate finance. Brush up with this hour-long tutorial that explains

how to calculate the present and future value of both lump sums and annuities, as

well as the present value of perpetual annuities.

• Itroctio to IFRS – Implicatios for Caaia Bsiesses – This 3-hour e-learning

course provides a high-level overview of IFRS and is an excellent place to get up to

speed quickly on the implications of IFRS in Canada.

• Valatio – Valuation is a key technique in corporate finance and you are expected to

have a good knowledge of valuation basics before enrolling in the CF Program. Many

Provincial CA Institutes (PICAs)/Ordre across Canada offer excellent valuation courses

at all levels.

• Excel Moelig – Over the years, some CF Program participants have commented

that their Excel modeling skills were not adequate. If you might be in this situation,

you can also find modeling courses at many of the PICAs/Ordre across Canada.

MOduLE 1 – Changes in Control an Restrctring goes beyond the techniques and skills learned in the

Intermediate Stage, and provides you with an in-depth look at the different kinds of changes in control

and restructurings in use today.

u Evaluate how a company’s strategic, operational and financing plans map into its financing and

ownership structures

u Determine, analyze and recommend alternative methods for asset, ownership and/or financial

changes of control of a company or its assets

u Identify the alternatives open to a company in financial distress

MOduLE 2 – Mergers & Acqisitions is an important type of a ‘change in control’ and the one that you are

most likely to encounter in the workplace and in the media. This module builds on Advanced Module 1 to

address M&A specifically.

u Evaluate M&A opportunities, M&A targets or bidders

u Advise on all the aspects of an M&A transaction (eg, valuation/synergy, risks, due diligence,

documentation, laws and regulations, etc.)

u Evaluate M&A transactions from the standpoint of shareholder value (post-merger integration)

MOduLE 3 – debt an Eqity Isses builds on concepts from the Intermediate Stage module and delves

into more complex issues around debt and equity.

u Translate a business plan into investment and financing plans with specific objectives

u Select and support the appropriate financing decisions for the company (in light of theorganization’s capital structure, current capital market conditions and company strategy)

u Advise a company’s management (and/or board of directors) on the financing process

MOduLE 4 – Strategic Financial Management an Avice focuses on the corporate finance deal as a

whole and on the skills you need to be able to advise a client on a winning corporate finance strategy.

u Integrate an entity’s mission, as well as its strategic, risk and financial objectives into a value-

creating corporate finance strategy

u Develop, design and advise on corporate financial management

u Advise on the ethical, governance and regulatory aspects of corporate financial management

The Advanced Stage of the Corporate Finance

Education Program is held in residence at The

Kingbridge Centre.

Advanced Stage participants are required to live

in residence at the Kingbridge Centre during

the sessions. The Kingbridge Centre is located

30 minutes from Pearson International Airport

and 45 minutes north of downtown Toronto. The

in-residence all-inclusive total package rate per

session is approximately $770 Single Occupancy,

and includes accommodation, three meals per
