The TopLegal Awards held last November broke records going back to 2007. Over 800 guests gathered at the East End Studios in Milan to celebrate the most important night of the year for Italian commercial
lawyers. As usual, company counsel representing leading Italian corporates and financial institutions were also in attendance, drawn by an event widely recognised as the legal industry standard in Italy. A record num-ber of law firms - 143 in all - nominated themselves for a prize. The night’s winners were selected by a joint team composed of TopLegal journalists and researchers working throughout the year. Assisting them was a 29-strong panel of in-house legal, tax and employment experts drawn from a cross-section of domestic and international corporates and banks based in Italy. In total 42 prizes were presented based on a highly selective process which, in many respects, resembles a grand but informal beauty contest for lawyers and law firms. In addition to the candidates’s technical merits, the panel of experts considered a range of factors including the merits of the legal solutions proposed, the development of innovative services and delivery models, investments in human capital and technology, and the overall practical impact and business outcome for clients.

The HighlightsAmong the notable winners on the night, Ugo Molinari claimed the top prize for Lawyer of the Year. The prize for Managing Partner of the Year went to Chiomenti’s Filippo Modulo. BonelleErede, meanwhile, secured the top team recognition after being named Law Firm of the Year. The lifetime achievement award for Excellence was presented to Rome-based corporate finance specialist Francesco Carbonetti, founder of Carbonetti. Six law firms collected two prizes each: BonelliErede also won for Tax; Chiomenti emerged as this year’s team winner for Banking & Finance; Gattai Minoli Agostinelli picked up individual prizes for Regulatory Authorities and Banking & Finance; Gianni Origoni Grippo Cappelli received a team recognition for Litigation and an individual prize for Corporate/M&A; Hogan Lovells took the team prizes for Regulatory Authorities and Intellectual Property; and finally Linklaters scooped the prize for Pro Bono and Capital Markets team. In the other headline transactional category, Cleary Gottlieb won the team prize for Corporate/M&A. Once again, the big-name law firms did not dominate the TopLegal Awards. Lesser known practices over-shadowed their more illustrious rivals for team categories including Innovation (won by La Scala) and Diver-sity (Albè). Niche boutique firms also put up a strong showing for Antitrust (Lipani Catricalà) Arbitration (Arblit), and Public Law (Cintioli). The Italian Desk of the Year award, introduced three years ago in 2014 to recognize Italian legal teams without a presence in Italy, saw serial winner Skadden victorious once again in the International category. First-time victor WKB Wiercinski Kwiecinski Baehr from Poland won in the independent firm category.

Lawyer of the YearUGO MOLINARI (Molinari)After two highly prolific decades at Lombardi Molinari of which he was a co-founder, Molinari struck out on his own at the start of 2017. The new firm won immediate market recognition as a significant player in the transactional market. At the deal table, he advised mutual bank Banca Popolare di Milano on its ground-breaking €3.7bn merger with mutual counterpart Banco Popolare. The deal received the blessing of the Italian government which introduced new rules to promote consolidation in the Italian banking sector. Other major mandates included the complex €1bn restructuring of energy player Sorgenia.
Managing / Senior Partner of the YearFILIPPO MODULO (Chiomenti)The first ever lawyer at Chiomenti to be appointed to the position of managing partner, Filippo Modulo earnt recognition for his role in combining continuity with innovation. Under his stewardship, the law firm over-hauled it internal organization and expanded its services with new practices for white collar crimes and wealth management.

The regulatory team also advised Italy’s Ministry of the Economy and Finance on attracting financial institutions to Italy in the light of the United Kingdom’s Brexit vote.
Banking and Finance Individual: RICCARDO AGOSTINELLI (Gattai Minoli Agostinelli) Agostinelli played a pivotal role in advising the sponsors and AC Milan in relation to the club’s acquisition by Rossoneri Sport Investment Lux, the holding company controlled by the Chinese businessman Yonghong Li. Agostinelli’s team put together the €303m financing made available by the fund Elliot for the acquisition of the club in a race against the clock to repay debts racked up during the Berlusconi era. The deal also had to contend with restrictions on the transfer of capital from China to Europe.

Corporate M&A Individual: ROBERTO CAPPELLI (Giani Origoni Grippo Cappelli)A skilled negotiator, Cappelli made a decisive contribution to the fraught headline acquisition of AC Milan advising Rossoneri Sport Investment Lux. He also advised US Värde Partners Fund on the €310m acquisition of the Italian luxury hotel group Boscolo, following several previous unsuccessful attempts to sell the company to Italian and international investors.
Team: CLEARY GOTTLIEBUndisputed leader for front-page M&A deals in 2017. The Italian team advised on AM Investco Italy, a joint venture of the steelmaking groups ArcelorMittal and Marcegaglia, on the winning bid for the acquisition of the assets of troubled Italian steelmaking group, Ilva. The assets include the largest steelmaking plant in Europe, located in Taranto, for a combined €4.2bn investment. Hitachi’s move to a full takeover of Ansaldo STS had previously been under attack from activist fund Elliot Management which had blocked the deal.
