India Spectrum Auctions

The wireless spectrum auctions took place in March 2015 and ended after 114 rounds of bidding. Finally the

results showed that the Government will collect Rs.1,097 billion from this auction.

Immediately after the auctions ended, equity analyst CLSA put out some comments, extracts of which are

given below:

In March 2015, the spectrum auctions ended and operator-wise details reveal highest spend by Idea Cellular

at Rs301bn and Rs291bn by Bharti Airtel (of which c.40% was for new 3G/4G spectrum). Of the governments

Rs1.1 trillion aggregate collection, Rs290bn (US$4.7bn) will be payable upfront.

The spectrum auction ended with the 900MHz band 111% above reserve price and government collecting aggregate Rs1.1tn (US$17.7bn). However, of this Rs290bn (~US$4.7bn) needs to be paid upfront by operators. Of Bharti Airtels spend, 40% has been for new 3G/4G spectrum wins. CLSA estimates that the additional spectrum burden will reduce FY17-18CL earnings by ~2% and 10-20% for Bharti Airtel and Idea Cellular mainly due to higher amortisation and interest on deferred spectrum payments. Net debt/Ebitda will also increase, with Idea Cellular seeing the biggest jump to 3.9x net debt to Ebitda, followed by Bharti Airtel at 3x and Reliance Comm net debt to Ebitda at 5.3x. With added spectrum wins, Bharti Airtel now has a pan-India 3G (except Kerala) and pan-India 4G (LTE-TDD/LTE-FDD) and the best spectrum utilisation in the sector.

In this auction, Idea Cellular won back crucial renewal spectrum in all nine circles and 900MHz in Kolkata, but it is still missing 3G in nine of 22 circles. Bharti Airtel has seen wins in all six renewal circles as well as added 900MHz wins in four circles, 1800MHz in six circles and 2100MHz in seven circles. Besides new spectrum wins, mainly for Bharti Airtel, this auction has ended spectrum renewal risks for the next five years for all three incumbents, as the next major bunched-up spectrum expiry will be in 2020. In 2020, BSNL and RCom will see maximum renewals, while Bharti Airtel, Vodafone and Idea Cellular - have little exposure.

CLSA view is that this will allow top operators to increase their outlay on network rollouts and capitalise on

the data boom. Also with an end of the auction, the sector consolidation opportunity will accelerate alongside

improvements in fundamentals. Bharti Airtel, Vodafone and Idea Cellular already control 72% of sector

revenue and have gained 90bps share in 3QFY15. Meanwhile, with aggressive infrastructure sharing and no

handset subsidies, operators continue to drive growth and boost margins by expanding data networks in a

cost-effective manner.

did they build a business case? 3. What do investors look for while studying the impact of such large spectrum buy-outs on the share

appropriateness of the bidding strategy
