ORIGINAL COMPLAINT

Plaintiff Wi-LAN Inc. (“Wi-LAN”) files this Original Complaint for patent

infringement against Defendants “RIM,” which refers to Research in Motion Corporation

and Research in Motion, Ltd., Motorola, Inc. (“Motorola”), and UTStarcom, Inc.

(“UTStarcom”) for infringement of U.S. Patent No. RE37,802 (“the ’802 Patent”) and

U.S. Patent No. 5,282,222 (“the ’222 Patent”) pursuant to 35 U.S.C. § 271. A copy of the

’802 Patent is attached hereto as Exhibit A. A copy of the ’222 Patent is attached hereto

as Exhibit B.

PARTIES

1. Plaintiff Wi-LAN is a corporation existing under the laws of Canada with

its principal place of business at 11 Holland Ave., Suite 608, Ottawa, Ontario, Canada.

2. Upon information and belief, Defendant Research in Motion Corporation

is a Delaware Corporation with its principal place of business at 122 W. John Carpenter

Parkway, Suite 430, Irving, Texas 75039. Upon information and belief, Research In

Motion, Ltd. is a corporation organized and existing under the laws of Ontario, Canada

with a principal place of business at 295 Phillip Street, Waterloo, Ontario, Canada. RIM

manufactures for sale and/or sells handsets and/or other products compliant with the

CDMA2000 standard and/or the 802.11 standards. Upon information and belief,

Defendants Research in Motion Corporation and Research In Motion, Ltd. are commonly

owned by the same corporate entity and are alter egos and/or agents of one another. RIM

may be served with process by serving its registered agent, CT Corporation System, 350

N. St. Paul Street, Dallas, Texas 75201.

3. Upon information and belief, Defendant Motorola is a Delaware

Corporation with its principal place of business at 1303 E. Algonquin Rd., Schamburg,

Illinois 60196. Motorola manufactures for sale and/or sells mobile handsets and/or other

products compliant with the CDMA2000 standard and/or the 802.11 standards. Motorola

may be served with process by serving its registered agent, CT Corporation System, 350

N. St. Paul Street, Dallas, Texas 75201.

4. Upon information and belief, Defendant UTStarcom, Inc. is a Delaware

Corporation with its principal place of business at 1275 Harbor Bay Parkway, Alameda,

CA 94502. UTStarcom manufactures for sale and/or sells mobile handsets and/or other

products compliant with the CDMA2000 standard and/or the 802.11 standards.

UTStarcom may be served with process by serving its registered agent, CT Corporation

System, 350 North St. Paul St., Dallas, TX 75201.

JURISDICTION AND VENUE

5. This is an action for patent infringement under the Patent Laws of the

United States, 35 U.S.C. § 271.

6. This Court has subject matter jurisdiction pursuant to 28 U.S.C. §§ 1331

and 1338(a).

7. This Court has personal jurisdiction over each Defendant. Each

Defendant has conducted and does conduct business within the State of Texas. Each

Defendant, directly or through intermediaries (including distributors, retailers, and

others), imports, ships, distributes, offers for sale, sells, and advertises (including the

provision of an interactive web page) its products in the United States, the State of Texas,

and the Eastern District of Texas. Each Defendant has purposefully and voluntarily

placed one or more of its infringing products, as described below, into the stream of

commerce with the expectation that they will be purchased by consumers in the Eastern

District of Texas. These infringing products have been and continue to be purchased by

consumers in the Eastern District of Texas. Each Defendant has committed the tort of

patent infringement within the State of Texas and, particularly, within the Eastern District

of Texas.

8. Venue is proper in this Court pursuant to 28 U S.C. §§ 1391 and 1400(b).

COUNT I: PATENT INFRINGEMENT

9. On July 23, 2002, the United States Patent and Trademark Office duly and

legally issued the ’802 Patent, entitled “Multicode Direct Sequence Spread Spectrum”

after a full and fair examination. Wi-LAN is the assignee of all rights, title, and interest

in and to the ’802 Patent and possesses all rights of recovery under the ’802 Patent,

including the right to recover damages for past infringement.

10. The ’802 Patent is valid and enforceable.

11. On January 25, 1994, the United States Patent and Trademark Office duly

and legally issued the ’222 Patent, entitled “Method and Apparatus for Multiple Access

Between Tranceivers in Wireless Communications Using OFDM Spread Spectrum” after

a full and fair examination. Wi-LAN is the assignee of all rights, title, and interest in and

to the ’222 Patent and possesses all rights of recovery under the ’222 Patent, including

the right to recover damages for past infringement.

12. The ’222 Patent is valid and enforceable.

13. Upon information and belief, RIM has been and is now infringing, directly

and indirectly by way of inducement and/or contributory infringement, literally and/or

under the doctrine of equivalents, the ’802 Patent in this District and elsewhere by

making, using, offering for sale, importing, and/or selling mobile station products and/or

other products compliant with the CDMA2000 standard and/or the 802.11 standards that

fall within the scope of at least one claim of the ’802 Patent.

14. Upon information and belief, RIM has been and is now infringing, directly

and indirectly by way of inducement and/or contributory infringement, literally and/or

under the doctrine of equivalents, the ’222 Patent in this District and elsewhere by

making, using, offering for sale, importing, and/or selling mobile handsets and/or other

products compliant with the 802.11 standards that fall within the scope of at least one

claim of the ’222 Patent.

15. Upon information and belief, Motorola has been and is now infringing,

directly and indirectly by way of inducement and/or contributory infringement, literally

and/or under the doctrine of equivalents, the ’802 Patent in this District and elsewhere by

making, using, offering for sale, importing, and/or selling mobile handsets and/or other

16. Upon information and belief, Motorola has been and is now infringing,

directly and indirectly by way of inducement and/or contributory infringement, literally

and/or under the doctrine of equivalents, the ’222 Patent in this District and elsewhere by

making, using, offering for sale, importing, and/or selling mobile handsets and/or other

products compliant with the 802.11 standards that fall within the scope of at least one

claim of the ’222 Patent.

17. Upon information and belief, UTStarcom has been and is now infringing,

directly and indirectly by way of inducement and/or contributory infringement, literally

and/or under the doctrine of equivalents, the ’802 Patent in this District and elsewhere by

making, using, offering for sale, importing, and/or selling mobile handsets and/or other

products compliant with the CDMA2000 standard and/or the 802.11 standards that fall

within the scope of at least one claim of the ’802 Patent.

18. Upon information and belief, UTStarcom has been and is now infringing,

directly and indirectly by way of inducement and/or contributory infringement, literally

and/or under the doctrine of equivalents, the ’222 Patent in this District and elsewhere by

making, using, offering for sale, importing, and/or selling mobile handsets and/or other

products compliant with the 802.11 standards that fall within the scope of at least one

claim of the ’222 Patent.

19. Wi-LAN has no adequate remedy at law against Defendants’ acts of

infringement, and, unless Defendants are enjoined from their infringement of the ’802

Patent and the ’222 Patent, Wi-LAN will suffer irreparable harm.

20. The Defendants have had knowledge of the ’802 Patent and the ’222

Patent and have not ceased their infringing activities. The Defendants’ infringement of

the ’802 Patent and the ’222 Patent has been and continues to be willful and deliberate.

21. Wi-LAN is in compliance with the requirements of 35 U.S.C. § 287.

22. Defendants, by way of their infringing activities, have caused and continue

to cause Wi-LAN to suffer damages in an amount to be determined at trial.

PRAYER FOR RELIEF

WHEREFORE, Wi-LAN prays for the following relief:

1. A judgment in favor of Wi-LAN that Defendants have infringed, directly

and indirectly by way of inducement and/or contributory infringement, literally and/or

under the doctrine of equivalents, the ’802 Patent and the ’222 Patent;

2. A permanent injunction, enjoining Defendants and their officers, directors,

agents, servants, employees, affiliates, divisions, branches, subsidiaries, parents and all

others acting in concert or privity with any of them from infringing, inducing the

infringement of, or contributing to the infringement of the ’802 Patent and the ’222

Patent;

3. Award to Wi-LAN the damages to which it is entitled under 35 U.S.C.

§ 284 for Defendants’ past infringement and any continuing or future infringement up

until the date Defendants are finally and permanently enjoined from further infringement,

including both compensatory damages and treble damages for willful infringement;

4. A judgment and order requiring Defendants to pay the costs of this action

(including all disbursements), as well as attorneys’ fees as provided by 35 U.S.C. § 285;

A Markman Order establishes the meaning of the patent claim terms in dispute between the parties. The claim-construction hearing with respect to the '222 and '802 patents was held Monday before Judge T. John Ward of the U.S. District Court for the Eastern District of Texas. Wi-LAN said the judge rejected LG's arguments in separate briefing that sought to invalidate claims in the '802 patent. Ottawa-based Wi-LAN, a patent-licensing company, has been involved in litigation with several companies it alleges are infringing on its patents. This year alone it sued LG in connection with Wi-LAN's V-chip technology, and settled another patent lawsuit with Telus Corp. (TU). Paradigm Capital analyst Barry Richards said in a note Wednesday that Monday's ruling covers 23 terms in dispute across two patents and deals with highly complex issues, making it difficult to fully assess winners or losers. "Having said that, there are very few changes to Wi-LAN's proposed '802 claims (covering 14 of the 23 terms) and Wi-LAN appeared to be the clear winner there," he wrote. Richards said the verdict is "less obvious" on the '222 patent (covering 9 of the 23 terms) where he said the judge

As promised, we write to follow up on our telephone conference from Monday concerning the specific discovery Wi-LAN Inc. (“Wi-LAN”) seeks from non-party Qualcomm, Inc. (“Qualcomm”).

A. Technical Documents For Chipsets At Issue In The Litigation

Wi-LAN requires the core technical documents that describe the structure and operation of the CDMA-2000 technology implemented in each of the Qualcomm chips at issue in the litigation pending in the United States District Court for the Eastern District of Texas, Wi-LAN Inc. v. Research in Motion Corporation et al., No. 2:08-CV-247 (the “Litigation”).1 Such documents must reflect the structure and operation of the base band processing and radio components at the PHY and MAC layers.

We would like you to confirm in writing that we have the core technical documents for each of the Qualcomm chipsets at issue. We have reviewed Qualcomm’s production of documents to date and have determined that Qualcomm has not produced any of the core technical documents for at least the following chipsets at issue in the litigation:

Wi-LAN proposes that Qualcomm complete its production of the above materials by no later than June 4, 2010.

B. Source Code

Wi-LAN is amenable to proceeding with discovery of Qualcomm’s source code through the use of representative samples provided that Qualcomm produces documents sufficient to allow Wi-LAN to understand the changes made in the CDMA technology from chip to chip.

You advised that Qualcomm intends to initially make available for review the source code for the MSM6550 chip. As promised, we have reviewed our records and, based upon that review, Wi-LAN requests that Qualcomm also make available the source code for the MSM6800, MSM6500, MSM6100 and MSM6050 chips. Given our time frame, we need access to the source code for these chips sooner than later. Once we have had the opportunity to review the source code for the five chips, we can discuss the viability and logistics of using these chips as representative of the remaining chips at issue.

Wi-LAN proposes that the source code for the MSM6550 chip be made available as soon as possible, but no later than Friday, May 21. Wi-LAN proposes that source code for the MSM6800, MSM6500, MSM6100 and MSM6050 chips be made available by June 4, 2010.

C. License Agreements

Wi-LAN agrees to substantially narrow the scope of licensing materials that it seeks pursuant to the subpoena served on April 16, 2010 as amended May 5, 2010. Wi-LAN seeks only the following materials:

• License agreements for Qualcomm’s CDMA technology sufficient to establish the standard or typical Qualcomm license agreement terms, a representation that the agreements produced are sufficient, and the identity of all companies that have taken licenses from Qualcomm under such terms or similar terms;

• Qualcomm’s license agreements with Broadcom and Mediatek and the related communications between Qualcomm and Broadcom and between Qualcomm and Mediatek;

• License Agreements and related communications between Qualcomm and the companies whose patents are included as part of Qualcomm’s standard or typical CDMA licenses (e.g., InterDigital, Philips and Ericsson);

• License agreements related to OFDM technology that Qualcomm has licensed in or out;

• Documents sufficient to determine Qualcomm’s licensing practice and procedures for CDMA and OFDM technologies.

We explained at great length Wi-LAN’s need for these license materials and look forward to receiving them as quickly as possible. Wi-LAN proposes that these materials be produced no later than June 4, 2010.

This responds to John’s letter of May 12 and Bob's emails of May 26 and 27, regarding Wi‐LAN’s license‐related requests in the April 16th subpoena.  We are proceeding as set forth in my May 28 email below on the technical documents and the source code and this email in no way changes what we have previously agreed to as to those items.  Since we last spoke in mid‐May and you emphasized your desire to obtain Qualcomm’s licenses and related communications, we have spent a fair amount of time considering the relevancy of Qualcomm’s licenses, the confidentiality of those agreements and have also assessed the burden imposed by your request.   

Although you say are narrowing your license‐related requests from the April 16th subpoena, your request seem to be getting broader in scope.  Based on your May 26 email, Wi‐LAN seeks “at least a subset of Qualcomm’s agreements that are representative of the royalty rates Qualcomm charges and pays for CDMA technologies in each of these areas [CDMA, CDMA‐2000, WCDMA], for both chipset manufacturers and handset manufacturers.”  In addition, Wi‐LAN seeks Qualcomm’s OFDM agreements “that are representative of the royalty rates Qualcomm receives and pays for this technology.”   

As we have previously noted, these license agreements contain highly‐confidential business information of Qualcomm, as well as it’s licensees and licensors.  We understand that the basis for Wi‐LAN’s April 16th subpoena for the license agreements and related communications is Wi‐LAN’s intention to use the Qualcomm’s confidential license terms to support Wi‐LAN’s reasonable royalty action in the Texas Action.  Our research confirms that Qualcomm’s licenses are completely irrelevant to Wi‐LAN’s reasonable royalty claim.  See, for example, the Federal Circuit’s recent holding in ResqQNet.com, Inc. v. Lansa, Inc., 594 F.3d 860 (Fed. Cir. 2010), where the court held that the any evidence related to the damages proof must tie directly to the claim invention and any evidence unrelated to the claimed invention is irrelevant because it does not support compensation for infringement.  Id. at 869. 

We also understand from Qualcomm that there is no such thing as a representative or standard license agreement ‐‐ each license agreement is the subject of lengthy and complex negotiations. Further, we have confirmed with LG Electronics and UTStarcom that both of those defendants have produced their license agreements to Wi‐LAN; and, confirmed that Wi‐LAN has demanded that Motorola produce its license agreement with Qualcomm.  While we don’t believe that any of Qualcomm’s licenses are relevant to any aspect of the Texas Action, including Wi‐LAN’s damages, the license agreements that Wi‐LAN already has (from LG Electronics and UTStarcom) and will presumably receive from Motorola are as good a cross‐section of such agreements as Wi‐LAN could hope for (in terms of the dates such licenses were entered and the size of the licensees). 

We conferred with Qualcomm to understand the burden that would be imposed if we were to comply with Wi‐LAN’s demands to produce even “representative” agreements.  We’ve determined that compliance would impose a huge burden upon Qualcomm in terms of time, expenses and personnel and would likely trigger

problems with its licensee‐base (as well as significant attorney‐client privilege issues if you were also to persist in seeking communications relating to such agreements).   

Notwithstanding the complete lack of relevance of Qualcomm’s licenses to Wi‐LAN’s damages claim, in exchange for Wi‐LAN’s agreement to drop the rest of its license‐related demands, Qualcomm is willing to provide the template agreement that it uses as a starting point for its CDMA license agreement negotiations.   However, for the reasons set forth above, Qualcomm will not produce any agreements it has with other non‐parties. 

I am in meetings most of the next two days, but I’m sure we can find time to speak.  I would like to know whether what we’re offering to you is acceptable and, if not, why not and why you believe Qualcomm’s licenses are in anyway relevant to Wi‐LAN’s damages claim.  Let me know times you are available to speak.  I’m hopeful that what we’ve agreed to provide is acceptable.

Bob ‐‐  Let's plan on talking Tuesday.  I am still working on what Qualcomm is willing to do in response to the license‐related requests.  The source code for the MSM6550 has been deposited at Iron Mountain and is ready for your review.  I am in the process of having the source code collected for the other four priority chips on your list ‐‐ MSM6800, MSM6500, MSM6100 and MSM6050 ‐‐ and will have a better sense of when that can be produced next week.  We are also in the process of collecting more documentation for the "Relevant Qualcomm Chipsets" and hope to start producing those by next Friday.  It may be that the additional code and documents will be produced on a rolling basis.   Regarding your experts, as long as they have agreed to the Supplemental PO we probably won't have any objections.  But if you want to send me all their info at once I can try to expedite the process ‐‐ other than Dr. Lomp, I haven't seen any disclosures from you since the Supplemental PO was entered. Thanks,

Bob and John,   As you know, we contacted Motorola and advised Motorola that Qualcomm does not object to Motorola's production of its license agreement to W‐LAN under the terms of the protective order in the Texas Action and on an attorneys' eyes only basis.  We also confirmed with LG Electronics that it previously produced its license agreement with Qualcomm to you.  We understand, as well, that Wi‐LAN already received the UT Starcom license.  Beyond these actions, we don't intend to make any further contacts with the defendants in the Texas Action to ensure that their license agreements were or will be produced.  It's not our responsibility to provide bates numbers and/or get involved in effectively meet and confer activities between Wi‐LAN and any of the defendants.  As to what Qualcomm is willing to produce in response to the subpoena, Qualcomm agrees to produce a sample/template CDMA license agreement.  In exchange, Wi‐LAN will seek no other licensing documents from Qualcomm and agree that all matters related to the subpoena for the license agreements and related communications are concluded.    We don't believe that any Qualcomm license agreements or related documents are relevant to any issue in the Texas Action, including the licenses of the defendants in the Texas Action.  Our efforts to contact the defendants in the Texas Action should not be construed in any way as a concession or agreement that any Qualcomm license agreement is relevant to your case.  Our efforts were done to avoid motion practice before the court.  David and I are both available on either Thursday or Friday morning pacific time to discuss.  If we need to involve the Court then, and as we discussed, let's isolate exactly what the disputed issues are so that our briefs target the disputed issues only.  Let us know how you want to proceed.  Thanks.   Dave Dolkas | IP Litigation McDermott Will & Emery [email protected] Direct: 650 815‐7415 Assistant: Maria Collins [email protected] Direct: 650 815‐7586

Qualcomm and UTStarcom Sign CDMA Subscriber UnitSAN DIEGO – March 22, 2004 – Qualcomm Incorporated (Nasdaq: QCOM), pioneer and world leader

of Code Division Multiple Access (CDMA) digital wireless technology, and UTStarcom, Inc. (Nasdaq:

UTSI), a global leader in IP access networking and services, today announced the companies have

signed a commercial CDMA subscriber unit and infrastructure license agreement. Under the terms of

the worldwide royalty-bearing agreement, Qualcomm has granted UTStarcom a patent license to

develop, manufacture and sell subscriber and infrastructure equipment for use in CDMA2000®,

WCDMA (UMTS) and TD-SCDMA systems. The royalties payable by UTStarcom are at Qualcomm’s

standard rates and are the same irrespective of CDMA standard for which the subscriber and

infrastructure equipment are sold.
