•�Vietnam had many challenges within network marketing industry, and these

challenges occurred by lack of regulations and improper practices from the

MLM companies. As a result, the government decided to be more involved in

enforcing those regulations in the market.

•�The improper practices are as follows; misrepresenting, income plan, product

claim, pyramid scheme, cross recruiting, and other factors considered improper

practices.

•�This challenge has created the turmoil in the industry, leading the government

to minimize the MLM companies from 102 to 23.

•�These improper practices brought about establishment of Decree 40 to regulate

the company standards and prevent reoccurrence of misconduct business.

•�Now the government decides to address the issues by creating new Decree 40

consisting of all we need to know about Network Marketing. There is Decree 40:

In order to participate in MLM business and activities in Vietnam,

MLM participants must obey the MLM regulations and Decree 40.

Please read 5 Key Highlights of Decree 40 carefully before starting

Seacret business in Vietnam.

■Article 5. Prohibited acts in MLM activities•�Request other people to deposit or pay a certain amount of money or

buy a certain quantity of goods to sign MLM contract

•�Organize seminars, conferences and training courses on MLM business

without getting written authorization from MLM companies

•�Conduct MLM activities in localities where the MLM company has not

yet been granted the certification of registration of MLM activities by

these local authorities.

■Article 26. Announcement of MLM conferences, seminars and training•�MLM companies may only organize MLM conferences, seminars and

training courses in provinces and central cities where companies have

been granted the certification of registration of MLM activities.

•�In case of MLM conferences, seminars, training attended from 10 MLM

agents or from 30 people, the company is responsible for notifying the

case, before implementation, to Department of Industry and Trade of

provinces and central cities.

■Article 31. Basic training program•�Basic training program is compulsory for MLM participants.

•�Training contents include Law on multi-level selling, Ethical standards,

the MLM contract, Code of Conduct, Compensation plan.

•�The minimum training duration is 8 hours.

■Article 47. Return and repurchase of goods•�MLM participants have the right to return goods purchased from MLM

companies, including goods purchased under the promotion program,

within 30 days from the date of receipt.

•�In case of MLM contract terminating, MLM companies shall buy back

goods sold to MLM participants.

•�Within 30 days after MLM participants request to return valid goods,

MLM companies shall have to buy back goods qualifying the conditions.

The refund amount agreed with the MLM participants but not less than

90% of the amount that the MLM participant had paid to receive such

goods.

■Article 48. Commissions, bonuses and other economic benefits•�The total value of commissions, bonuses and other economic benefits,

including benefits earned under the promotion program, paid to MLM

participants in a year converted into money must not exceed 40% of

MLM revenue in that year of the MLM company.

•�MLM companies are required to pay commissions, bonuses, promotions

and other economic benefits to MLM participants in the form of bank

transfer.

08C: BUSINESS INFORMATION

In order to conduct business in Seacret, the following guideline is

a prerequisite.■Walk-in Orders (coming soon)•Agent visits Seacret Vietnam’s offices or branches

•�Agent takes the order number, filling in Agent's information (name,

Agent ID, etc.) and information on products to be purchased, quantity,

unit price, amount, etc. on the order.

■Phone-in Orders (coming soon)•�Agent calls Seacret Services department at (028) 73007566 to order.

Agents need to reveal their Agent name, product number, product to

be purchased and quantity to Service staff.

■Email Orders (coming soon)•�Agent sends the content of the order according to the pre-designed

form (including name, Agent ID, product to be purchased, quantity, unit

price, amount, etc.) to the email address [email protected] to

order.

■Online Orders (Now available)•�Agent visits Seacret Vietnam’s website www.seacret-vietnam.vn

•�Agent needs to log in with the username and password provided by

Seacret Vietnam to Agent when Agent signed a contract with Seacret

Vietnam to enter the order page.** Online order is available for Agent who completed submission of all required documents

for registration.

■Qualifications: Register as a Seacret Agent

< Both Foreign and Vietnamese citizens>•Vietnamese citizens over 18 years of age with a valid Vietnamese ID card.

•Foreign Citizens over 18 years of age with a valid work permit

•Valid bank account in local banks or foreign banks located in Vietnam

•Pass the basic training program (only available in the Vietnamese language)

•Sign the commitment Form (Form 13 Decree 40).

< Prohibited >•Officials and government employees are not allowed to do Seacret

•�Orders in Ho Chi Minh City and Ha Noi City will be delivered within 1-2

working days from the time Agent transfers money to the order.

•�Orders in other Cities and Provinces will be delivered within 3-5 working

days from the time Agent transfers money to the order.

•�Orders in remote Provinces will be delivered within 5-7 working days

from the time Agent transfers money to the order

•�Time required for the shipping above is subject to change depending

on the circumstances of carrier or our company.

C3. Product Shipping

< Both Foreign and Vietnamese citizens >■�After Agent signs MLM Contract, Agent must complete 8-hour-long

Basic Training Program (Online or Offline) by Seacret Vietnam•�Place and time will be announced to Agent for offline basic training.

•�Agent must register his / her Name and Agent ID at the registration

area before entering the course.

■End of Basic Training Program•�Agent must have 14 correct answers out of 20 questions of multiple-

choice test of 30 minutes to pass the program.

C5. Basic Training Program

■Conditions for Returnable products:

•�Unused products

•�Products with intact packaging, stamps and labels

•�Requests for return of products shall be made within 30 days from the

date Agent receives the products;

•�Accompany the invoice to buy the required number of returned products.

■Return Process. •�In case Agent is eligible to return the products: Seacret shall make an

appointment to work with Agent, check the actual status of the products

and the purchase invoice, and take back the products from Agent.

■Refund Process•�Within 30 days from the date of Agent's request to return the products

properly, depending on the case of the purchase of products, based

on the status of the products as well as the actual situation of Agent,

Seacret proceeds Refund to Agent as stipulated by Decree 40.

C4. Return and Refund


■Register as a Speaker in Seacret corporate events (Product training)

■Attend Meetings downline / upline

< Both Foreign and Vietnamese citizens >

As Decree 40, it’s required to register with local DOIT (Department of

Industry and Trade) for meetings attended from 10 MLM agents or from

30 people

•�Prior written approval from Seacret Vietnam (including meeting’s

contents)

•�Event shall be approved by local DOIT in advance.

•�Other legal documents as stipulated by current Vietnamese laws /

regulations.

•�Seacret Vietnam’s staff members may attend and record these events.

< Both Foreign and Vietnamese citizens>■Qualification to Seacret Agent Card•�Agent who has passed the Basic Training Program and signed the

Form No. 13.

■The process of issuing Seacret Agent Card:•�The time for issuing an Agent Card is within 30 working days from the

day the Distributor signs the Commitment Form No. 13

•�Seacret Agent Card will be sent to Agents by post or Agent also can

receive directly at Seacret Vietnam's offices/ branches.

C6. Seacret Agent Card

Foreign Affairs in Vietnam.

C7. Meetings and Events


■Attend Trainings with downlines/upline

< Both Foreign and Vietnamese citizens>

As Decree 40, it’s required to register with local DOIT (Department of

Industry and Trade) for trainings attended from 10 MLM agents or from

30 people

•�Prior written approval from Seacret Vietnam (including meeting’s

contents)

•�Event shall be approved by local DOIT in advance.

•�Training materials must be approved by Seacret Vietnam (should be

aligned with training materials registered with VCA)

•�Other legal documents as stipulated by current Vietnamese laws/

regulations.

•�Seacret Vietnam’s staff members may attend and recording these

events.

■Retailing activities•�Agents must present Seacret Agent Card before introducing or selling

products to customers, ordering products at Seacret Offices and

branches.

•�Agents are not allowed to enroll or invest in multiple Agent ID, if any

fraud is found, Seacret shall deny payment of bonus to Agents and

MLM Contract will be terminated.

•�Agents must properly describe the products and Compensation Plan

provided by Seacret. Agents are strictly prohibited from overclaiming or

doing wrong promotion on the products.

■Conduct your business•�Do not use Seacret's network to market or trade products of other

companies.

•�Do not sell, introduce, display Seacret products at any retail outlet.

•�Do not organize seminars, customer conferences, product introduction,

training events without getting written authorization from Seacret.

•�Do not ask the participant to pay any fees in the name of the training

course, workshop, social activity or other activities.

•�Any advertising activity using the Seacret name, trademark or logo,

product images is not permitted in any form, by any means. Only

Seacret has the right to carry out advertising activities. Violation of this

advertising term may result in penalties and termination of the MLM

Contract at Seacret's discretion.

Fast Start Bonus, Rank Advancement and Drive Your Dream Bonus)

■To be Active•�60 BV within 4 consecutive weeks (Last 4 Weeks) from personal

purchases or 40BV with Auto-ship Program.

■Ranks in Vietnamese system•�There are 10 Ranks: Bronze, Silver, Gold, Platinum, Ruby, Diamond, Blue

Diamond, Red Diamond, Crown and Crown Royale.

•�There is no Royal Rank **There is no Royal Rank

C9. Compensation Plan ■Bonus over 40% Adjustments•�As local regulation, the total value of commissions, bonuses and other

economic benefits paid to Agents in a year converted into money

must not exceed 40% of MLM revenue in that year. Notice that your

bonus should be deducted in weekly payments if company-wise actual

accumulated bonus amount is greater than 40%. The accordingly

adjusted amounts will be advised to Agents and will be based on the

incremental percentage vs. 40%. Same treatment is applied to all

Agents without exception.

•�The adjusted balances are valid only until the end of fiscal year and not

carried forward to next year.

■Team Commission Bonus•Qualifications: Active Agent, Qualified

•Rules:

- A Team Commission Bonus is paid when the 2 teams accumulate a

minimum of 500 CV lesser-volume team and 1,000 CV greater-volume team

- To calculate the amount of the bonus to be paid, Total the lesser volume

deducted and multiply by 10% or 15% as the following conditions

▶ 10% - applied to Agents without achievement of Bronze or higher Rank

▶ 15% - applied to Bronze and Above agent (Paid Rank)

- The max. payout for this bonus is VND 575,000,000. Any volume over

this threshold will not be deducted and will be carried forward to the

next pay period.

- Any unmatched commissionable volume in a weekly pay period will

be carried forward to the next pay period. The max. Carry Forward

Volume is 1,000,000 CV/Leg.

•Rules:

This bonus is calculated as a percentage of the Team Commission Bonus

of Paid Rank as Bronze or Higher Agents as the following conditions:

▶ From Bronze to Diamond Agents: Leadership Check Match Bonus cannot

be greater than the individual Team Commission Bonus of that agent

▶ From Blue Diamond and above: Agent can earn unlimited Leadership

■Fast Start Bonus •�Qualifications: Active Agent, Qualified and must achieve Bronze Agent

within first 5 weeks of enrollment (week of enrollment +4)

•�Agents will receive a bonus of VND 2,300,000 for each 1,000 BV package

newly purchased by personally enrolled agents until the agent achieve

Bronze and above rank and these downline agents must be enrolled as
