• Intheeventofanydisputeover,relatingorreferringtothisAgreement,includingbutnotlimitedtocollectionsactions,breachofAgreementactions,declaratoryjudgmentactionsorequitableinjunctionactionstheprevailingpartywillbeentitledtoitsreasonablelegalcosts,expertfees,andattorneys’fees.
• Theconstruction,validityandperformanceofthisAgreementwillbegovernedby,andconstruedinaccordancewith,thelawsofthestateofWashington.AllpartiesherebysubmittothejurisdictionofWashingtonstatecourts.ThevenueforalldisputesshallexclusivelyresideinthecourtsofKingCounty,Washington.
• Ifanyterm,clauseorprovisionofAgreementisheldinvalidorunenforceablebyacourtofcompetentjurisdiction,suchinvaliditywillnotaffectthevalidityoroperationofanyotherterm,clauseorprovisionandsuchinvalidterm,clauseorprovisionwillbedeemedtobeseveredfromtheAgreement.

• Thefailureofnon‐breachingPartytoseekreliefforthebreachingParty’sbreachofanydutyunderAgreement,willnotwaiveanyrightofthenon‐breachingPartytoseekreliefforanysubsequentbreach.
