    The "Nautical Highway" is a combination of overland highways and roll-on, roll-off (RoRo) vesselsthat allow you to bring your vehicle up to Panay Island and visit key cities like Kalibo. Taking your carall the way to Boracay, though, is not possible. Public transport also operates on the same route,and is the most cost-effective way of traveling between Manila and Boracay. Assuming goodconnections, the total journey time is around 12 hours.

    Boracay is a tropical island about an hour's flight fromManila in the Philippines. Its long white sandbeaches rival the best beaches of more popular destinations such as the Caribbean, the SouthPacific as well as neighbouring Thailand, Malaysia and Indonesia. Facilities are available to suitdifferent levels of activity. For those wanting to just lounge around and take in some rays, beach-front hotels usually have lounge chairs set up just a few steps away from the hotel entrances.Facilities for the usual water sports activities such as sailing, wind surfing, snorkeling, diving and jetskiing are also widely available for those in search of more active pursuits.     The nearest domestic airport to the island of Boracay is Caticlan or Godofredo P. Ramos Airport.The runway is very short and only propeller planes can land there. Flights to and from this Caticlanare bounded by sunrise and sunset limitations. Airlines with flights to and from Caticlan are SouthEast Asian Airlines (SEAIR), Cebu Pacific Air, Philippine Airlines (PAL), and Air Philippines.

    From the Caticlan airport, you can either take a tricycle or walk (10minutes) to Caticlan Jetty Port.

    The second airport near Boracay is the Kalibo International Airport. With longer runway and nightlanding facilities, Kalibo Airport is served by bigger planes with early morning and late eveningflights. The airport is at least 90 minutes away by land to Caticlan Jetty Port. Airlines with flights toand from Kalibo are Cebu Pacific Air, Philippine Airlines, and Zest Airways.

    There are minivans, vans, coasters and buses that serve travelers between Kalibo InternationalAiport and Caticlan Jetty Port.

    Purchase Agreement:

    The Condotel Unit purchase agreement for is irrevocable upon signing.     Q1. How does the Condotel operation differ from Timeshares?

    In timeshare, you only exercise a right to use the property and facilities for a certain period oftime. When you own a Unit in , you own aPreferred Stock Share in the company wherein your share/s is/are represented by a specificCondotel Unit. At the same time, since you own a Club Ultima membership, you have a vacationexchange privilege with Interval International.

    Q2. Is the Preferred Stock Share certificate redeemable from the holder of such share to be replacedby a title to the Unit? If so, when?

    The Preferred Stock Share certificate, which represents ownership or title to the CondominiumUnit, shall be redeemed once. The title to the property, by the issuing company, is obtained withindividual title to each Condominium Unit issued and distributed to each shareholder. This isindicated in the Articles of Incorporation of the company.

    Q3. How does the Condotel operate?

    The Condotel will be managed and operated by theas a resort hotel. Subject to advance booking, Unit owners have

    priority use of their Condotel Units or an equivalent type for 45 days every year, for FREE. If theusage will exceed 45 days, they will have to pay the members rate (30% discount from theregular rate).

    A 20% of net sales in exchange of the following: All salaries of Sales & Marketing and Reservation Staff except for promotional and advertisingcollaterals.

    All expenses related to maintaining a Sales & Marketing office. All salaries of General Manager and Resident Manager. The Hotel Operator also guarantees to exchange the Unit owners unused 45-day FREE stay

    in his Condotel with Crown Regency Hotels room nights nationwide, with no expiry date. As a premium responsibility to the Hotel Operator, if total expenses do not exceed 30% of netsales, which shall result in a 50% gross operating profit before income tax, an additional 3% ofnet income will be given as a bonus to the Hotel Operator.

    Q6. Is the Unit owner required to source insurance by themselves in order to protect their investment?

    Insurances are sourced by the Hotel Operator and are shouldered under operating cost coveredin the estimated 50% Hotel Operators share.

    Q8. When will be the declaration of dividends?

    A8. Quarterly or semi-annually, as may be mutually agreed upon with the Unit owners.

    Q9. What are the considerations in determining revenues and dividends for Unit owners?

    In order to maximize returns and ensure cost efficiency for Unit owners, only room revenues and roomdivisions related expenses are considered in the determination of income such as housekeeping,laundry, front office, security, repairs & maintenance, utility, taxes, and insurance attributable only tothe Units. F&B income and its related expenses as F&B personnel, kitchen equipment, supplies,utilities, taxes, and insurance are treated separately from and independent of the room divisionsexpenses of each Condotel Units.

    This setup assures the Unit owners a cost efficient operation as room related expenses are easilycontrolled and managed.

    Q10. How will dividends be paid to the Unit owner?

    Dividends are payable in checks to be mailed to Unit owners or paid directly to the bank accounts ofUnit owners. Dividends will be in Peso currency. For foreign currencies, prior arrangement can bemade with the Hotel Operator on a case to case basis.

    Q11. Are there any other Condominium Association dues?

    None. All expenses are charged to the Hotel Operator and part of the operating cost covered in theestimated 50% Hotel Operators share.

    Q7. Can a Unit owner live in their property full time?

    This project is for Investors only. You are required to enroll in the Condotel operations for a minimumof ten (10) years with further option available to the operator which he is likely to invoke to extend theterm on expiry subject to mutual agreement as per majority vote of the Unit Owners Association.

    Q13. What is the purpose of the Unit Owners Association?

    The Unit Owners Association is organized to provide financial, operational, and propertymanagement of the Condotel Units. The association needs to elect board officers to make surethat the Unit owners interests are protected and their Units are well managed.

    Minor and major repairs are shouldered by the Hotel Operator and chargeable to and part of theoperating cost covered in the estimated 50% Hotel Operators share.

    Q16. Can a Unit owner use his *45-day FREE stay in another Crown Regency Resort in Boracay?

    Yes, he can. However, this must only be on a one to one room night basis.

    Q14. Will the Unit owner still earn if his Unit was not rented?

    Yes. Unit owners will still receive quarterly income based on the type of Unit regardless ofwhether the Unit was rented or not. This is because Condotel operator will pool together itsentire total income from rental operations and distribute this to the Unit owners as dividendsaccording to the pro-rata percentage sharing on Unit types.

    Income will come from room revenue less room division expenses.

    Q17. Is there any benefit if the Unit owner does not use his FREE stays on peak season?

    Yes. The Unit owner, as individual and not pooled, will receive a bonus on those days equivalentto room rate difference on regular days.

    Q18. Can a Unit owner upgrade his FREE stay to a different Unit category?

    Yes. Unit owners FREE stay can be upgraded but he has to pay the price difference inroom rates.

    Q19. When does the Unit owner get his *45-day FREE stay benefit?

    The 45-day FREE stay commences at the start of every fiscal year. This will be distributed to theUnit owner in terms of certificates where they are entitled to priority in booking even on peakseasons provided the availing of the 45-day FREE stay is exercised and availed of by negotiatingin advance the use of the Unit.

    Q20. Can a Unit owner use his *45-day FREE stay for more than one Unit at the same duration?

    Yes, he can, provided that it would be the same Unit type. For example, if an owner will stay inthe resort for a week and he will rent another Unit for his friend, he will consume a total of14 days for the week chargeable to his 45-day FREE stay.

    Q21. What if the Unit owner was not able to use the *45-day FREE stay benefit?

    Subject to 3 months prior notice before expiry, the unused 45-day FREE stay is convertible tosame room night equivalent at any Crown Regency Hotel, with no expiry period. The 45-dayFREE stay could also be exchanged with 2,000 Interval International affiliated hotels and resorts,worldwide. Advance booking and registration is required and subject to Interval International rules,regulations, and fees.

    Q22. Can a Unit owner, who has made an initial booking to use his *45-day FREE night stay but eventuallycancels it, be allowed to make new booking dates to use his room Unit?

    Yes, provided, the notice of cancellation is made two (2) weeks in advance. However, the newbooking dates are subject to availability of room Units. This is because all the pooled room Units areblocked and rented on a day to day basis by guests of the hotel condominium facility, hence, advancebooking is necessary.
