MEETING GUIDELINES

The purpose of the Global Roundtable for Sustainable Beef is to discuss sustainability issues related to the global beef system. Conversation and discussion about increasing industry sustainability are neutral and pro-competitive. While compliance with antitrust and other laws that govern participation in industry meetings is the responsibility of each participant, we ask you to follow both common sense and these simple guidelines to help us conduct our meeting according to good practices, and to ensure that your fellow participants are comfortable attending and actively participating.

DO adhere to the written meeting agenda.

DO NOT, in our organized meeting sessions, in informal discussions in the hallway, or in any other setting:

• discuss prices, rates, or other terms of trade among competitors; • engage in discussions that could result in

o the allocation of customers or markets, o the fixing or stabilization of prices, o limitations on production, o boycotts of customers, suppliers, or rivals, or o agreements that would competitively disadvantage certain rivals;

• discuss proprietary or other competitively sensitive information; • discuss or engage in coordinated behavior to maintain prices, profit margins, or

stability in an industry; • engage in any other anti-competitive behavior or any discussion you feel might

be inappropriate.

GRSB BOARD OF DIRECTORS April 27, 2020 Page 2 of 7 Consideration of Minutes It was moved by McDonald and supported by Wasko that the minutes of the March 25, 2020 Board of Directors meetings be approved as presented. Motion carried. Opening Remarks/Executive Committee Report McCan advised the board that the Executive Committee has met twice since the last board meeting. Primary discussions have been centralized around the COVID-19 pandemic. The 2019 audit report has been reviewed and will recommended for approval and a revised budget for FY2020. Budget amendments are a result of reduced travel and the postponement of the Global Conference until 2021. McConnel will highlight all changes later in the GRSB financial report. Regional Roundtables and Country Initiatives Updates GTPS: Luiza Bruscato reported that GTPS is dealing with some difficulties due to the pandemic. The bylaws do not provide for virtual meetings and the notary does not accept the registration of minutes if they are not in accordance with the bylaws. As a result, their General Assembly meeting is postponed until June 16th, which will impact the change of the board of directors scheduled for July. She is implementing a new management and governance system, collecting data from the last 12 years of our institution and designing internal processes and procedures. They are building a new website for GTPS, which will go live next week, however only in Portuguese. At a later date it will be available in English and Spanish. The GIPS Project with the slaughterhouses is on hold due to the inability to travel. The PES Project is ongoing and they have a new partner who understands the theme and is supporting it. The Map of Initiatives is in progress, with 50 initiatives in the validation process. They have prepared a proposal on Carbon in livestock and will do a study to draw the profile of low carbon livestock in Brazil. In a second phase, we will make a cross with the profile of the GTPS member farmers. CRSB: Anne Wasko reported on the CRSB COVID-19 business continuity planning. Membership engagement is encouraged by offering bi-weekly engagement or learning opportunities. The CRSB Council approved an exception policy for the Certified Sustainable Beef Framework; on-site audits may be replaced with remote audits, at the discretion of the Certification Body, where necessary. There were 100 participants at each of the three goal webinars: greenhouse gas, land use and animal health and welfare, held on April 1, 14 and 21, respectively. They hired a communications and marketing agency to develop a 3-year plan for CRSB and implement one campaign that includes paid advertising to determine the potential impact, reach and return on investment. The CRSB Semi-Annual Meeting, was held via GoToWebinar, on March 31st, there were 106 participants.

USRSB: Ashley McDonald reported that the first set of educational modules will be launched on April 29th, which are devoted to the cow-calf sector. They are free, public, and do not require setting up an account. Only basic information is collected, and no personal information: state, sector, head, acres. The Goals Phase I Report has gone through a member comment period where a few constructive suggestions were received. The report will be presented to the membership on April 29th during the member webinar and then the membership vote on the

GRSB BOARD OF DIRECTORS April 27, 2020 Page 3 of 7 revised report. There will be a Business Meeting (in lieu of the General Assembly Meeting) on April 29, 2020. GRSB will provide an update along with CRSB. The new date for the General Assembly Meeting will be April 27-29, 2021 in Kansas City, MO. The USRSB 2019 Annual Report is also available at the following link: https://www.usrsb.org/Media/USRSB/Docs/2019_usrsb_annual_report.pdf MGSC (Colombia): David Calderone was not on the call to provide a report. ERBS (Europe): Sarah Haire reported that many meetings have been cancelled due to the COVID lockdown. Board elections have been delayed, however the target to have the new board announced in July 10th. A virtual General Assembly will be held on May 19th. MPCS (Paraguay): Sanchez reported that The MPCS had their General Assembly meeting March 30th, with good participation of members of all constituencies. All authorities were reelected. They have agreed to have virtual meetings every 1-2 months. The Board of Directors had a virtual meeting where priorities were set for the year and to consider candidates for the GRSB working groups. The MPCS continues to work in the development of the survey to assess the application of the sustainability measures in producers in cooperation with Fecoprod (member of the MPCS). Fecoprod is working in the development of the tool to process the data. A scheduled field trip to Paraguarí, Eastern Region, was cancelled and they do not have immediate activities in addition to the monthly calls. The field trip has been rescheduled for September. As the GRSB global conference was also postponed, they are thinking to have a local meeting in Asuncion during that time. . New Zealand: Justin Courtney was unable to attend. Ruaraidh Petre that much of business has been on hold and meetings have been cancelled due to the country being in a lockdown state. Restrictions are slowly being lifted and there should be more of a region update for next month’s call. Australia Beef Sustainability Framework: Pip Band reported that in June, 2020 the ABSF will publish its fourth report (third long-form report). This report provides detail across the six key priorities of the framework and updates data across the 47 indicators. The report also provides contextual updates relevant to progressing the framework. The work is currently focused on finalizing the draft report for industry review and developing a remote launch approach to target industry, government, Consultative Committee as well as targeted engagement with food media and influencers. A dashboard for Balance of Tree and Grass cover (BoTGC) will be released later this year. The BoTGC will provide users with the ability to drill down into regional and local trends. Interactive maps will show changes in tree cover and ground cover. Goal setting process is currently being considered by industry and consideration to a phased development/ release of goals.

The annual update on progress for Carbon Neutral 2030 is due within next month. This provides an annual update on progress towards goal using National Greenhouse Gas Inventory. The next update will be for the 2017 reporting period. SSG to lead consultation with all the industry Peak Councils and State Farming Organizations for review of the 2020 report about to commence Consultation plan for goals being considered with likely commencement mid-2020. The next SSG meeting is Wednesday, 30 April to review draft report and the 2020 Framework

GRSB BOARD OF DIRECTORS April 27, 2020 Page 4 of 7 Sustainability report in June (date TBC). The next Consultative Committee (multi-stakeholder forum) is due to be held in August. A three-year project is commencing with funding from the federal government to develop an innovative national platform to enable grass-fed beef producers to demonstrate performance in order to access emerging markets through various value chains. The platform will be co-designed with producers, processors and end markets.

MACS (Argentina): Josefina Eisele reported on behalf of the Argentinean Roundtable. Representatives from MACS had connectivity issues due to inclement weather. They have had a series of webinars; the first was on the topic of Green House Gases. Based on popularity there will be a follow up webinar. They have hired a communication agency to draft a communications plan that will focus on disseminating their body of work, membership and membership materials. They are also looking for experts in the region to focus on the areas of industry importance. Southern Africa Roundtable: Max Makuvise and Christine YambaYamba reported that a virtual meeting was held that saw half the members participate. These being Malawi, Zimbabwe, Zambia. ILRI Research, Solidaridad and Namibia sent in apologies. Research is ongoing that is looking at the effect of development programs in Southern Africa. The Roundtable is finalizing the registration of SARRSB in Zambia. Executive Director’s Report Petre reported that the GRSB webinar: Focusing on Sustainability in a COVID-19 World scheduled for April 28th currently has 163 registrations from 27 countries. He briefly recapped the speakers and topics and encouraged anyone that did not already register to do so. New dates proposed for the Global Conference are April 12-16 or April 26-30, 2021. Input from the board was requested concerning any foreseeable conflict. McDonald stated that the U.S. Roundtable General Assembly Meeting is scheduled for April 27-29, 2021. Hearing no further comments, the new dates for the Global Conference will be April 12-26, 2021. Petre has been meeting with the various working groups; Green House Gas, Land Use Change and GOALS, and all are making progress with their work. The next webinar will be scheduled for May 19th on GWP*. It will focus on understanding the metric, the benefit of using it and developing GRSB’s position on the topic. A June webinar is being planned that will focus on the topic of Land use change and will be a partner effort with the working group. The U.S. Roundtable is having a virtual meeting this week where Petre will be providing the GRSB update. He emphasized to the board that membership is going to be a big focus and that he would be looking to board members to help drive new member efforts. Before moving on to the Council Reports, McCan called for motion to change the Global Conference Dates. It was moved by McDonald and supported by Bhandal that the new dates for the Global Conference in Paraguay will be April 12-16, 2021. Motion carried.

GRSB BOARD OF DIRECTORS April 27, 2020 Page 5 of 7 Council Reports GHG Working Group Tim Hardman reported that the group has leads for all three of the technical working groups. Brenna Grant (Canfax) is leading the Accounting and Methodology Group (which is currently meeting), Josefina and Pete Garbutt are leading the Sequestration Group and they will be partnering with the Land Use Change Working Group on the Land Conversion portion. He has met with Viresco Solutions and is working on a proposal for technical assistance. GOAL Setting Ian McConnel reported that most of the work that is happening on target setting is happening at the regional roundtable level. They are waiting for the technical review documents which are due in a couple of days. Work will resume once those reports have been received and reviewed.

JWG on Land Use Change Simon Hall reported that the second call of the group just occurred, which is well over 30 members. May 1st is the deadline for the technical assessment which they still are confident that they can deliver on. The group voted via survey to change the name of the group to Joint Working Group on Land Use Change. Communications Council Gurneesh Bhandal reported that the RFP went out at the end of March and have received an intent to bid from 43 agencies. Stuart and Petre have been answering questions from the agencies during the question and answer period and the proposals will be due by May 20th. The final five proposals selected will give presentations to the Communications Council the week of May 25th. Regional Director’s Report Eisele reported that she has been requested by the Latin American countries to form a Roundtable call. She has been focusing on membership and targeting new members in the beef supply chain. She will be coordinating a beef dialogue with the Tropical Forest Alliance. Additional workstreams have been discussed earlier in the agenda. Mexican Roundtable for Sustainable Beef Diana Forero reported that they have been working on the development of the roundtable, but because of the pandemic the process has been delayed. Once restrictions relax, they hope to coordinate workshops and continue the development process.

After discussion, it was moved by Sherrard and supported by Mol that all members be accepted for GRSB membership as presented, with the exception of Vence Corp which will be an Observing Member for 1-year. Motion carried. Presentation of the GRSB Financials McConnel reviewed in detail the 2019 Financial Audit, the March 31, 2020 Financial Report and the Revised FY 2020 Budget. The audit raised no concerns and he emphasized that the statement in audit letter regarding internal controls is non-threatening in nature due to the board always has oversight of the financials. He highlighted all changes to the FY 2020 budget which were discussed in detail during an Executive Committee budget session on April 22nd. Changes to the budget were ordered to offset the postponement of the Global Conference until April 2021. McConnel answered all questions from the board. Our leadership turned over on April 29, 2020. Our new chair is Wayne Morgan with Golden State Foods; Chair-Elect Steve Wooten with Beatty Canyon Ranch/CO Cattlemen’s Assoc.; and Secretary/Treasurer Scott Anderson with CRI Feeders.

Report on Projects and Initiatives:

We are now at 125 members with the addition of two new members Zeppelin Land & Cattle and Syngenta. They also approved a new project related to connecting the economic benefits of low-stress handling techniques out of the University of Tennessee through the use of biometrics on both handlers and animals.

Report on Committee and Working Group Activities:

Goals Committee Phase I Report was approved unanimously by our membership. The Committee will meet May 26 to decide how to move into the next Phases of work. The Outreach Working Group released its cow-calf educational modules which are free and publicly available here. Work on the Feedyard and auction market modules are now underway, to be followed by the packer/processor modules and then the retail/food service modules.

Report on Governance and Organization:

ABSF is funded through Meat & Livestock Australia from grass fed, grain-fed and processing levies. The ABSF is overseen by a Sustainability Steering Group (SSG) appointed by the Red Meat Advisory Council. The SSG has representatives from across the beef value chain and is informed by a multi-stakeholder Consultative Committee.

Report on Projects and Initiatives:

• The Framework’s 2020 report will be launched via a Virtual event through theQueensland Rural Press Club to industry and key stakeholders on 25 June. In addition, atargeted food media launch will be undertaken. The report will be the fourth report(third long-form report). The report provides detail across the six key priorities of theframework and updates data across the 47 indicators.

• Consultation within industry on the Australian and GRSB goal setting process isunderway. Once the global process is clear consideration will be given by the ABSF andindustry groups if it is possible to combine consultation for both sets of goals.

Report on Committee and Working Group Activities:

• The Steering Group is having regular zoom meetings in the lead up to finalising the 2020report and due to travel restrictions

• Cattle Council Environment Committee are having updates on GRSB and will beproviding more producer members for working groups

• 2020 Sustainability Report Launch (25 June) The invite will be shared with GRSB. Due tovirtual event, we would welcome other GRSB members and roundtables participating,although a lunch event will be a difficult time zone for most of the world.

• Cattle Council will be co-hosting with GRSB a GWP Webinar for Australian and NZ time-zones as a follow-on from the GRSB webinar with local academics to explore GWP*.

• Next Consultative Committee (multi-stakeholder forum) due to be held in August.

Other:

A three-year partnership project (MLA, WWF and University of Queensland) is commencing with funding from the federal government to develop an innovative national platform to enable grass-fed beef producers to demonstrate performance in order to access emerging markets through various value chains. The platform will be co-designed with producers, processors and end markets and will:

1. provide a user-friendly tool enabling producers to:

a) assess themselves against one or more sustainability areas leveraging remote sensingand other technologies across five areas (four from framework environment and onefrom economic themes):

1. Vegetation management

2. Ground cover and soil conservation

3. Biodiversity stewardship

4. Carbon balance

5. Drought resilience

b) opt-in to have additional verification (e.g. through certification etc.); and

2. offers self-directed learning pathways for those wishing to improve practices.

The approach will remove traditional auditing and reporting burdens on-farm. The platform will be flexible enough to enable adaptation as new knowledge and technologies emerge.

Report on Governance and Organization:

We were incredibly happy to have been accepted as provisional members of GRSB at the last Board Meeting.

It has been agreed that Solidaridad will do a phased handover of the Secretarial function of the Roundtable to the Board. Suggestions have been made by some Board Members and we await responses from one or two others. Once this is done, we will convene a meeting and start the process of formalizing the new secretarial set up. This will ensure that we have a cohesive approach to SARRSB business which has been lacking in the past due to the issues pertaining to the secretariat. Corporate Governance is close to the heart of our Chairman Patrick Khembo.

Within the next few weeks, we will also have our trust document and bank accounts opened.

Nothing to report. Dealing with the secretariat issue is our foremost concern.

We would also like clarity on the IFAD project and where role of the SARRSB in this from GRSB perspective.
