I. This request for proposal (RFP Document) for Licensing out Built-up & Bare shellstructure of Corporate Park “D21” at Delhi Airport Metro Express Line contains briefinformation about the available space, Qualification Requirements and the Selectionprocess for the successful bidder. The purpose of the RFP document is to provide bidderswith information to assist the formulation of their Bid.

II. The information contained in this RFP Document or subsequently provided to participants,in writing by or on behalf of Delhi Metro Rail Corporation Ltd. (DMRC) is provided toBidder(s) on the terms and conditions set out in the RFP Documents and any other termsand conditions subject to which such information is provided.

III. This RFP Document does not purport to contain all the information that each Bidder mayrequire. This RFP Document has been prepared with a view to provide the relevantinformation about the space available at D-21 Corporate Park. DMRC advises each Bidderto conduct its own investigations and analysis and satisfy itself of the accuracy, reliabilityand completeness of the information in this RFP Document and to obtain independentadvice from appropriate sources. DMRC, its employees and advisors make norepresentation or warranty and shall not be liable in any manner whatsoever to theaccuracy; reliability or completeness of the information provided in this RFP Document.

IV. Intimation of discrepancies in the RFP Document, if any, may be given before the pre-bidmeeting, by the Bidders, to the office of the DMRC. If DMRC receives no writtencommunication, it shall be deemed that the Bidders are satisfied with the informationprovided in the RFP document.

V. Any character or requirement for the Built up & Bare shell structure, which may bedeemed to be necessary by the Bidder should be independently established and verified bythe Bidder.

VI. This RFP Document is not an agreement and is not an offer or invitation by DMRC to anyparty. The terms for development of built up & Bare shell structure and the right of thesuccessful Bidder shall be as set out in separate agreement executed between DMRC andthe successful Bidder, broadly in the format setout herein.

VII. DMRC reserves the right to accept or reject any or all Bids without assigning any reasons,thereof. DMRC shall not entertain or be liable for any claim for costs and expenses inrelation to the preparation of the documents to be submitted in terms of this RFPDocument.

CHAPTER 1

INTRODUCTION

1. Delhi Metro Rail Corporation (DMRC) has completed the Phase I and Phase II of the DelhiMetro and is currently engaged in Phase-III of the project. The Delhi Airport Metro ExpressLine, also known as Orange Line, is a Delhi Metro Line from New Delhi Metro Station toDwarka Sector-21, linking the Indira Gandhi International Airport, Palam Airport, DhaulaKaun, Shivaji Stadium. Corporate Park (D-21) is in the vicinity of Dwarka Sector-21 andDwarka Sector -8 Metro Stations.

2. As part of its existing mandate, DMRC has also undertaken value capture from real estate insuch a manner that on one hand it gives sustainable additional revenue to the corporation,and on the other hand facilitating DMRC commuters by providing one stop solution for theirneeds. Through this Bid, DMRC intends to select Licensee(s) to grant Licensing Rights ofBuilt up and bare shell structure at 2nd, 3rd & 4th Floors of Corporate Park (D-21) atDwarka, New Delhi as mentioned in Annexure-1.

3. Corporate Park (D-21) is the depot of the Delhi Airport Metro Express Line (Dwarka Sec21,New Delhi). The floor wise detail of the Building is as follows:

a) Ground & 1stfloor: Occupied by DMRC

b) 2nd Floor: Built-up Space of 1889 Sqm marked as “A” in the plan at Annexure-13.

c) 3rd Floor: Bare Shell Space of 5700 Sqm marked as “B” in the plan at Annexure-13.

d) 4th Floor(A): Bare Shell Space of 4365 Sqm marked as “C” in the plan at Annexure-13.

e) 4th Floor(B): Bare Shell Space of 4319 Sqm marked as “D” in the plan at Annexure-13.

4. This built up & bare area in close proximity to I.G. International Airport, owing to itsstrategic location, gives a unique opportunity for various purposes.

CHAPTER 2

NOTICE INVITING BID

2.1 Corporate Park (D-21) is the depot of the Delhi Airport Metro Express Line at Dwarka,Sec 21, New Delhi. The depot has approximately 16,273 sqm spare built up and Bare shellstructure at Second, Third and Ground Floor, which is proposed to be given on licensebasis through this Bidding process. Owing to its strategic location due to its closeproximity to I.G. International Airport, the Built up & Bare shell space gives a uniqueopportunity for various purposes.The Depot has space as follows:

Ground & 1st Floor: Occupied by DMRC.

2nd Floor: Built-up space of 1889 Sqm marked as “A” in the plan at Annexure-13.

3rd Floor: Bare shell space of 5700 Sqm marked as “B” in the plan at Annexure-13.

4th Floor (A): Bare shell space of 4365 Sqm marked as “C” in the plan at Annexure-13.

4th Floor (B): Bare Shell space of 4319 Sqm marked as “D” in the plan at Annexure-13.

2.2 DMRC invites sealed Bids from suitable participants who may be a registered soleproprietorship firm, a partnership firm or a company having registered office in India or acombination of above in the form of Joint Venture (JV) or Consortium, etc. for selectionof Licensee(s) to grant Licensing Rights of Built-up & Bare shell structure of CorporatePark‘D-21’on “as is where is basis” for commercial utilization for various purposes,except banned list of usages as detailed in Annexure-11.

a) The RFP Bidder may be any entity which is a registered sole proprietorship firm, apartnership firm or a company having registered office in India or a combination ofabove in the form of Joint Venture (JV) or Consortium.

b) Bid by a JV/Consortium of firms: In case of a Bid by a JV/Consortium of firms,following shall be abide by its members:i. The Lead Member of the JV/Consortium shall maintain a minimum percentage

share of 51% of the aggregate shareholding of the JV/Consortium during fulltenure of License Agreement.

ii. During initial lock in period, normally no change in the percentage stake ofJV/Consortium members shall be permitted. However, if warranted, the changein the percentage stake of JV/Consortium members during initial lock in period,substantiated with specific reasons, may be permitted with prior written approvalof DMRC.

iii. After initial lock in period, the change in percentage stake of JV/Consortiummembers may be permitted with prior written approval of DMRC.

iv. Any change in percentage stake of JV/Consortium members without prior writtenapproval of DMRC shall be treated as Material Breach of Contract andLicensee’s Event of Default entitling DMRC to encash SecurityDeposit/Performance Guarantee and or to terminate the License Agreement after30 days notice.

v. It is clarified that percentage stake of lead member of JV/Consortium membersshall always be more than 51% during license period. After lock-in period, Leadmember may be any member of JV/Consortium, provided its percentage stake inJV/Consortium is more than 51%.

vi. Minimum percentage stake of any member in JV/Consortium during licenseperiod (including lock-in period) shall not be less than 15%.

vii. Partners having less than 26% participation shall be considered as non-substantialpartner and shall not be considered for evaluation which means that theireligibility shall not be considered for evaluation of JV/Consortium.

viii. All members of such entity shall be jointly and severely liable for theperformance of License agreement.

c) The Bidders shall not have a conflict of interest that affects the Bidding Process. AnyBidder found to have conflict of interest shall be disqualified. A Bidder shall bedeemed to have a conflict of interest affecting Bidding Process if a constituent of oneBidder is also a constituent of another Bidder.

d) The Bidders shall enclose with its application an undertaking stating/providing thenecessary supporting documents, including audited accounts and financial statements.

2.3 DMRC shall receive RFP Bids pursuant to this RFP document, in accordance with theterms set forth herein as modified, altered, amended and clarified from time to time byDMRC. RFP Bidders shall submit bids in accordance with such terms on or before thedate specified in this document. The RFP Bidders are advised to visit the DMRC premisesat the stations/ site and familiarise themselves with the proposed arrangements and allactivities necessary in this regard.

2.4 Salient features of Bidding Process:

a) DMRC has adopted a two packet Bidding Process to select suitable highest Bidder(s)to grant Licensing Rights of Built-up & Bare shell structure of Corporate Park‘D-21’asper the following bidding schedules.

b) The bidder may participate in one schedule or more than one schedule. The Bidder(s)shall submit bid security of Rs.10,00,000/- (Rupees ten lakh) for each biddingschedule for which the Bidder is bidding along with the Bid Document. The mode ofpayment for bid security shall be made in the form of a Demand Draft / Pay Order /Bank Guarantee drawn on any Indian Scheduled bank / Indian Branch of foreign bankin favour of “Delhi Metro Rail Corporation Ltd” payable at New Delhi.

c) The bidder shall specify details of Bid Security corresponding to the Schedule Numberin Bid Form (Annexure-6) for which the bid security is being submitted. The Bid shallbe summarily rejected if it is not accompanied with appropriate bid security for theparticular schedule. The bid security of the selected Bidder shall be adjusted againstthe Interest Free Security Deposit/ Performance Security. The bid security ofunsuccessful bidders shall be refunded after award of contract, without consideringany interest, thereof. If the bidder withdraws his bid at any stage, his Bid Securityamount shall be forfeited in favour of DMRC.

2.5 Request for Proposal Document (non-transferable) can be obtained from the O/o- Dy.Chief Engineer/PB-1, 4th Floor, ‘B’ Wing, Metro Bhawan, Fire Brigade Lane,Barakhamba Road, New Delhi–110001. Cost of RFP Application Fee (Non-refundable) isRs. 21,000/- (Rupees Twenty one Thousand only) including 5% DVAT. RFP Documentcost shall be submitted in the form of Demand Draft / Pay Order drawn on any IndianScheduled bank/ Indian Branch of foreign bank in favour of “Delhi Metro RailCorporation Ltd” payable at New Delhi.

RFP document can also be downloaded from DMRC’s website www.delhimetrorail.comand may be submitted along with document cost at the time of submission of RFP bids.RFP bids submitted without cost of RFP document by the Bidders who have downloadedthe RFP document from DMRC’s website, shall be out rightly rejected. Late/ delayed RFPreceived after the stipulated date and time of submission of RFP shall be summarilyrejected.

CHAPTER 3

ELIGIBILITY CRITERIA FOR RFP BIDDERS

3.1. In order to be eligible for participation in a particular schedule, the Bidders must havefollowing minimum Cumulative Gross Turnover in immediately preceding three completedfinancial years as on date of notice for invitation of Bid on DMRC website.

3.2. The bidder may participate in one schedule or more than one schedule. If a Bidder isinterested to participate in two or more schedules, its eligibility shall be assessed based onthe eligibility criteria of concerned schedules in which the bidder is interested. For example,if the bidder has Cumulative Gross Turnover of Rs. 11 crore during last three completedfinancial year, then the bidder shall be eligible for Schedule I, III & IV only and ineligiblefor Schedule II. Further, if the bidder has Cumulative Gross Turnover of Rs. 13 croreduring last three completed financial year, then the bidder shall be eligible for to bid in allfour Schedules.

3.3. While calculating the updated value of turnover, escalation of 5% per annum shall beconsidered in India and 2% for foreign based firm. In case of a JV/ Consortium, theeligibility of all substantial members of JV/ Consortium would be considered, in proportionof their share/ participation in the JV/ consortium.

3.4. The Bidder shall enclose following document along with its Bid:a) The Certificate(s) from its statutory auditors with its Bid providing the information

sought in clause 3.1 as per format given in Annexure-4.b) Audited financial statements including Gross Turnover, Balance Sheet, Profit Loss

Account, etc. for immediate preceding 3 (three) completed financial years [i.e. 2011-12, 2012-13 & 2013-14]. If audited financial statement for the last completed year2013-14 is not available, the Bidder shall furnish a certificate from statutory auditor inthis regard.

c) An undertaking stating/providing the necessary supporting documents, includingaudited accounts and financial statements.

3.5. The bids shall be submitted by the bidder in two parts comprising of Technical Bid andFinancial Bid. The Technical Bid shall include the details for fulfilling eligibility criteriaas laid down in this document. The Financial Bid shall include the financial offer of thebidder in the manner prescribed in this document. Both the Technical Bid and FinancialBid shall be submitted by the bidder on the due date as mentioned in the RFP document.The offer of Bidder who does not fulfill the Eligibility criteria, shall be summarilyrejected.

CHAPTER 4

TERMS AND CONDITIONS

4.1. The Built-up space & Bare shell, as mentioned in Annexure-1, shall be handed over within7 days from the date of receipt of payment in accordance with Letter of Acceptance.

4.2. Details of Bidding Schedule are as under:a) Bidding Schedule-I: Built-up Space of 1889 Sqm marked as “A” in the plan placed at

Annexure-13.b) Bidding Schedule- II: Bare shell space of 5700 Sqm marked as “B” in the plan placed

at Annexure-13c) Bidding Schedule- III: Bare shell space of 4365 Sqm marked as “C” in the plan placed

at Annexure-13.d) Bidding Schedule-IV : Bare Shell space of 4319 Sqm marked as “D” in the plan placed

at Annexure-13.

4.3. The areas of Built-up & Bare shell structure specified in RFP document are approximate.Actual area shall be measured at the time of handing over of the area. If the actual area oflicensed space varies, the License Fee shall be charged for actual area to be handed over tothe selected Bidder. The actual area of columns shall be excluded from the chargeablearea.

4.4. The Licensee may be allowed for augmentation/ amalgamation/ divisions of licensedBuilt-up & Bare shell structure with the prior approval of DMRC. In this case, no damageto any load bearing/ structural member and any service/utility shall be permitted.

4.5. On completion/ termination of License Agreement, the Licensee shall hand over the spaceafter removing his movable assets like furniture, almirahs, air-conditioners, DG sets,equipments, etc without causing damage to the existing structure. However, the Licenseeshall not be allowed to remove any facility, equipment, fixture, etc. which has become anintegral part of the development plan of the space.

4.6. Additional built up or bare space can also be handed over to licensee subsequently at thesole discretion of DMRC, if feasible. The license fee of such additional spaces shall becharged at the prevalent rate of license fee applicable on date of handing over of suchadditional space(s) where such additional spaces are located. If the Licensee(s) requires toinstall any utility/ equipment common for two or more Schedules, the license fee shall becharged at the prevalent rate of license fee applicable on the date of handing over of theadditional space. The license period of such additional spaces shall be co-terminus withthe License Agreement(s). The license fee for such additional spaces shall be levied afterexpiry of 30 days from the date of handing over by DMRC.

4.7. Permissible Usage of Space: Built up Space and Bare Shell can be put for any activityaccept banned list of usage mentioned in Annexure-11.

4.8. The License fee shall commence after fitment period of 90 days for Schedule-I andfitment period of 180 days for Schedule-II, III and IV from the date of handing over of thespace by DMRC. The Licensee is expected to complete its furnishing/ development workin all respects within this specified fitment period. The License Fee shall commenceimmediately after the expiry of fitment period.

4.9. License Fee shall along with other dues shall be payable in advance by the Licensee toDMRC on quarterly basis before the commencement of respective quarter.

4.10. The License Agreement shall be executed within 30 days of handing over of the licensedspace. Payment of stamp duty on agreement, if any, to be executed in pursuance of thisBid shall be borne by Licensee. The License period shall commence from the date ofhanding over of Built up Space and Bare Shell.

Interest Free Security Deposit/ Performance Security :

4.11. The selected Bidder(s) shall submit Interest Free Security Deposit / Performance Securityto DMRC equivalent to 1.1 times the Annual License Fee applicable for the year underconsideration (based on area handed over in that year) for which Interest Free SecurityDeposit/ performance security is being submitted. In case of subsequent handing over ofadditional area to the licensee, Interest Free Security Deposit/ performance security shallbe updated as per updated area under possession of licensee. The Interest Free SecurityDeposit/ performance security shall be payable for each Bidding schedule I, II, III & IV inany one of the following forms:

(a) Bank Draft in favour of DMRC payable at New Delhi from a Schedules CommercialBank based in India, or

(b) Fixed Deposit Receipt of a Scheduled Commercial Bank/Post Offices based in Indiaduly pledged in favour of DMRC, or

(c) Irrevocable Bank Guarantee in the prescribed format (Annexure-7) issued by the StateBank of India or any other Nationalized Bank or other Scheduled Commercial Banks,acceptable to DMRC, with branches located in Delhi. The Bank Guarantee shall bevalid for at least three years. The Bank Guarantee shall be renewed/ extended everyyear before expiry of earlier Bank Guarantee, failing which the previous BankGuarantee shall be en-cashed by DMRC without any prior intimation. For last year oflicense period, the Licensee shall submit the Bank Guarantee valid for remaininglicense period plus six months and shall renew it, if required, till the final settlement ofall accounts failing which the Bank Guarantee of the Licensee shall be en-cashed byDMRC.

4.12. In case of a JV/Consortium, the Interest Free Security Deposit/ performance security is tobe submitted in the name of its JV/ Consortium. However, splitting of the Interest FreeSecurity Deposit/ performance security (while ensuring the Interest Free Security Deposit/performance security is in the name of JV/ Consortium) and its submission by differentmembers of the JV/ Consortium for an amount proportionate to percentage stake orotherwise is also acceptable.

4.13. Tenure of License Agreement:a) Licensing Rights shall be for a period of Twenty Five (25) years, unless otherwise

terminated by DMRC or surrendered by the Licensee, as per terms of LicenseAgreement. The tenure of License Agreement shall commence from the date ofhanding over of space.

b) The licensee shall have option to exit from the License Agreement after a lock inperiod of five years from the date of commencement of agreement. For it, the Licenseeshall have to issue six months prior notice to DMRC after completion of five (5) yearslock in period. In this case, Interest Free Security Deposit / performance security of theLicensee shall be refunded after adjusting the dues, if any, to be payable by theLicensee.

c) If the Licensee is desirous of terminating the license hereby created before expiry ofthe lock-in period of the license or without giving advance notice of 6 months afterlock-in period, the agreement shall deemed be terminated on the date of receipt oftermination/ surrender notice in DMRC. In such cases, the interest free SecurityDeposit/ Performance Security shall be forfeited in favour of DMRC. Any outstandingdues payable to DMRC shall be adjusted/ recovered from the advance license fee andforfeited interest free Security Deposit/ Performance Security. Balance outstandingdues, if remaining after adjustment of outstanding dues from the advance license feeand interest free Security Deposit / Performance Security, shall be recovered from thelicensee.

4.14. All other statutory taxes, statutory dues, local levies, as applicable shall be charged extrafrom the Licensee and shall have to be remitted along with the License Fee for onwardremittance to the Government. However, the property tax, if applicable on the property ofDMRC, shall be borne by DMRC. The Licensee shall indemnify DMRC from any claimsthat may arise from the statutory authorities in connection with this License Agreement.

4.15. The Licensees shall be entitled to sub-license the license spaces during the subsistence ofthe License period. However, for any such sub-license the following guiding principlesshall be scrupulously observed.

a) The Licensee shall prepare a draft standard format of the sub-license agreement, whichshall be required to sign with the sub-licensees for the use of the Licensed Space basedon terms and condition of License Agreement between DMRC and Licensee. Allagreements or arrangements with the sub-licensees shall specifically have stipulationof a covenant that the sub-licenses shall be co-terminus with the termination of theLicense Agreement, including on sooner determination of the License Period for anyreason whatsoever of termination of the sub-licensee’s rights. The Licensee/ sub-licensee shall not have any claim or seek any compensation from DMRC for suchtermination.

b) The Licensee shall obtain the prior approval of DMRC for a format of standard Sub-License Agreement before its execution with any sub-licensee. In case, any deviationin this format of standard sub-license agreement is required, the Licensee shall againobtain prior approval of DMRC before entering into an agreement with the sub-licensee. DMRC reserves the sole right not to give consent/approval to such a requestand no compensation or claim on this account shall be entertained.

d) No objection certificate for height clearance from Airport Authority of India isattached as Annexure-16. Licensee shall be liable to renew this NoC as per termsand conditions of Airport Authority of India.

Further details of availability of existing infrastructure related to electrical power supplyincluding capacity of electrical load that can be sanctioned, air-conditioning works, fireprotection system & fire NOC, and the proposed corresponding terms/ conditions/procedure for Built-up spaces, are attached as Annexure-12.

4.17. For any addition & alteration to the existing floor plan, structure, utilities, etc., the licenseeshall be solely responsible for obtaining all necessary prior permissions/ approvals fromthe concerned bodies/ departments. DMRC shall restrain itself only up to forwarding/applying for obtaining the permission/ approval from the other bodies/ departments. Theliaising, risk & cost, etc. in this regard shall be borne by the Licensee.

4.18. ParkingDMRC shall provide open parking spaces for cars @ 1 ECS/100 Sqm of licensed space.Additional parking spaces, if required, may be provided by DMRC subject to itsavailability as per DMRC’s extant policy and rate applicable time to time.

CHAPTER 5

SUBMISSION & EVALUTION OF BIDS BY BIDDERS

5.1. The bidder may participate in one or more Schedules in this RFP document. However, theBidder shall not submit more than one Bid for a particular Schedule in this RFP document.

5.2. Notwithstanding anything to the contrary contained in this RFP, the detailed termsspecified in the draft License Agreement shall have overriding effect; provided, however,that any conditions or obligations imposed on the Bidder hereunder shall continue to haveeffect in addition to its obligations under the License Agreement.

5.3. The Bid should be furnished in the format at Annexure 2-10, clearly indicating thefinancial offer in both figures and words, in Indian Rupees, and signed by the Bidder’sauthorised signatory.

5.4. Bid Variable: The bidders shall quote rate(s) of license fee (exclusive of all taxes)payable per sqm area per month for the Built up Space in the Bid Form given inAnnexure-6 (in four different parts corresponding to each schedule), in figures as well asin words. Bidders shall quote rate(s) for the schedules area marked as “A”, “B”, “C” &“D” in the financial bid form given in Annexure-6. If there is a discrepancy betweenwords and figures, the amount quoted in words shall prevail. The License fee shall beincreased by 5% on compounding basis with effect from 1st April of each financial year.First escalation of 5% in License fee shall be applicable from 1st April 2016.

5.5. The Bidder should submit a Power of Attorney as per the format at Annexure-5,authorising the signatory of the Bid to commit the Bidder.

5.6. The Bid and all communications in relation to the Bidding Documents and the Bid shall bemade in English language.

5.7. The documents including this RFP and all attached documents, provided by DMRC shallremain or become the properties of DMRC and are transmitted to the Bidders solely forthe purpose of preparation and the submission of a Bid in accordance herewith. Biddersare to treat all information as strictly confidential and shall not use it for any purpose otherthan for preparation and submission of their Bid. The provisions of this Clause shall alsoapply mutatis mutandis to Bids and all other documents submitted by the Bidders, andDMRC shall not return to the Bidders any Bid, document or any information providedalong therewith.

5.8. The Bidder shall not have a Conflict of Interest that affects the Bidding Process. AnyBidder found to have a Conflict of Interest shall be disqualified. A Bidder shall be deemedto have a Conflict of Interest affecting Bidding Process if a constituent of such Bidder isalso a constituent of another Bidder.

5.9. Cost of Bidding: The Bidders shall be responsible for all of the costs associated with thepreparation of their Bids and their participation in the Bidding Process. DMRC shall notbe responsible or in any way liable for such costs, regardless of the conduct or outcome ofthe Bidding Process.

5.10. Space visit and verification of information: Bidders are advised to submit their respectiveBids after visiting said premises and ascertaining themselves the conditions, traffic,location, surroundings, climate, availability of power, water and other utilities, access tostation/ space, handling and storage of materials, weather data, applicable laws andregulations and any other matter considered relevant by them. DMRC shall providenecessary permission and assistance to the prospective Bidders in this regard.

5.11. It shall be deemed that by submitting a Bid, the Bidder has:

a) made a complete and careful examination of the bidding documents;

b) received all relevant information from DMRC;

c) accepted the risk of inadequacy, error or mistake in the information provided in thebidding documents or furnished by or on behalf of DMRC relating to any of thematters referred to in RFP document;

d) satisfied itself about all matters, things and information hereinabove necessary andrequired for submitting an informed Bid, execution of the license agreement inaccordance with the bidding documents and performance of all of its obligationsthere under;

e) acknowledged and agreed that inadequacy, lack of completeness or incorrectness ofinformation provided in the bidding documents or ignorance of any of the mattershereinabove shall not be a basis for any claim for compensation, damages, claim forperformance of its obligations, loss of profits, etc. from DMRC, or a ground fortermination of the License Agreement by the Licensee;

f) acknowledged that it does not have a Conflict of Interest; and

g) Agreed to be bound by the undertakings provided by it under and in terms hereof.

5.12. DMRC shall not be liable for any omission, mistake or error in respect of any of the aboveor on account of any matter or thing arising out of or concerning or relating to RFP or theBidding Process, including any error or mistake therein or in any information or datagiven by DMRC.

5.13. Verification and Disqualification: DMRC reserves the right to verify all statements,information and documents submitted by the Bidder in response to the RFP or the BiddingDocuments and the Bidder shall, when so required by DMRC, make available all suchinformation, evidence and documents as may be necessary for such verification. Any suchverification or lack of such verification, by DMRC shall not relieve the Bidder of itsobligations or liabilities hereunder nor shall it affect any rights of DMRC there under.

5.14. Amendment of RFPa) At any time prior to the Due Date for submission of bid, DMRC may, for any

reason, modify the RFP by the issuance of Addenda/ Corrigenda.

b) Any Addendum/ Corrigendum issued hereunder shall be uploaded on DMRCwebsite.

c) In order to afford the Bidders a reasonable time for taking an Addendum intoaccount, or for any other reason, DMRC may, in its sole discretion, extend the Bidsubmission Due Date.

5.15. Preparation and Submission of Bids

a) Format and Signing of Bid: The Bidder shall provide all the information soughtunder this RFP as per the format/s.

b) The Bid and its copy shall be typed or written in indelible ink and signed by theauthorised signatory of the Bidder who shall also initial each page, in blue ink. Allthe alterations, omissions, additions or any other amendments made to the Bid shallbe initialled by the person(s) signing the Bid.

c) The Bidders who have down loaded the RFP Document from the DMRC’s website,should carefully note the following instructions:

i. The Bidders should ensure that the complete RFP Document has beendownloaded.

ii. The printout of RFP Documents should be taken on an ‘A4’ size good qualitypaper. The printout should be same as available on DMRC’s website. The printshould be legible and indelible.

iii. The downloaded RFP Documents should have tamperproof binding.

iv. In case of any correction/addition/alteration/omission in the RFP Documentobserved at any stage, the bid shall be treated as non-responsive and shall berejected out-rightly.

5.16. Sealing and Marking of Applications: Bidder shall submit the Application in the formatsspecified in Annexure-2 together with the documents specified above and seal it in anenvelope and mark the envelope as “RFP Bid Document for Licensing Rights of Built-upspace at D-21 Corporate Park of Delhi Airport Metro Express Line”.

5.18.The Bid shall contain following envelopes:

a) Envelope -1, marked as “Envelope-1 for Bid Security Amount and RFP documentcost”, containing Bid Security Amount @ Rs. 10 lakh for each of the Schedule andRFP document cost, if the RFP document has been downloaded from DMRC’swebsite, or copy of DMRC receipt of RFP document cost, if bid is purchased fromDMRC office.

b) Envelope-2 containing Technical Bid and marked as “Envelope-2 for Technical Bid”.The technical bid shall contain Bidders Application as per format given in Annexure-2 along with the necessary documents required as per Annexure 3-5 & 7-10 and asspecified in chapter-3. Bidder shall also enclose Audited financial statementsincluding Gross Turnover, Balance Sheet, Profit Loss Account, etc. for the last threecompleted financial years i.e. for 2011-12, 2012-13 and 2013-14.

c) Envelope-3 containing Financial Offers in Separate Envelopes for each of theSchedule in which bidder is interested as per Annexure-6 and marked as “Envelope-3for Financial Bid for Schedule-I/ II/ III/ IV (mention only that Schedule which isapplicable)”.

d) Envelope -4: Copy of the Request for Proposal(RFP), Draft Concession Agreement ,Addenda / Corrigenda , if any, duly signed and stamped on each page by authorizedrepresentative of the Bidder as acceptance of terms and conditions given thereof.

5.19. The above sealed envelopes are to be put in one big envelope and addressed to:Chief Engineer/Property Business,2nd Floor, ‘A’ Wing, Metro Bhawan,Fire Bridge Lane, Barakhamba Road,New Delhi-110 001

5.20. Bid documents submitted by fax, telex, telegram, mail or e-mail shall not be entertainedand shall be summarily rejected. Only detailed, complete RFP document, in a physicalformat and duly sealed envelopes, as mentioned above, received on Application Due Dateprior to schedule time shall be taken as valid. Bid documents received after the due dateshall be summarily rejected. Applications received without due bid security amount shallbe summarily rejected.

5.21. Bid Submission Date :

The Bid should be submitted before due date and time at the address provided in themanner and form as detailed in this RFP document. Any bid application received after duedate and time as prescribed in RFP document shall be summarily rejected.

5.22. DMRC shall open the Technical Bids on the Due Date of Bid Submission, at the place&time specified in this document and in the presence of the Bidders who choose to attend.DMRC will subsequently examine and evaluate the Technical Bids in accordance with theEligibility Criteria set out in this RFP document.

5.23. To facilitate evaluation of Bids, DMRC may, at its sole discretion, seek clarifications inwriting from any Bidder regarding its Bid.

5.24. The sealed Financial Bid shall be kept in safe custody of DMRC and shall be opened on asubsequent date after evaluation of Technical eligibility. Financial Bids of only thoseBidders whose submissions are found to be technically eligible as stipulated in chapter-3above, shall be opened. The offer of Bidder, who does not fulfil the Eligibility criteria,shall be summarily rejected. The time of opening of Financial Bid shall be informedseparately to the eligible Bidders and eligible Bidders can be present to witness theopening of the Financial Bid.

5.25. Evaluation of Bid : The evaluation and assessment for the selection of the Bidder(s) shallbe based on the Bid Variable i.e. the rate of License Fee quoted by the Bidders for eachSchedule. The Technically Eligible Bidder, quoting the highest rate of License fee perSqm per month, for a particular Schedule shall be declared the highest Bidder for thatSchedule and his offer shall be evaluated and assessed by DMRC for that Schedule.

5.26. After evaluation of Bids, Letter of Acceptance (the “LOA”) shall be issued, in duplicate,by DMRC to the Selected Bidder and the Selected Bidder(s) shall, within 7 (seven) daysof the receipt of the LOA, sign and return the duplicate copy of the LOA inacknowledgement and unconditional acceptance thereof. In the event the duplicate copyof the LOA duly signed by the Selected Bidder is not received by the stipulated date,DMRC may, unless it consents to extension of time for submission thereof, appropriatethe Bid Security of such Bidder as Damages on account of failure of the Selected Bidderto unconditionally accept the terms of LOA.

5.27. The selected Bidder is required to submit Interest Free Security Deposit/ PerformanceSecurity within 30 (Thirty) days from the date of issuance of Letter of Acceptance, failingwhich, DMRC shall be free to cancel the Letter of Acceptance without any further noticeand the Bid Security of such Bidder shall be appropriated as damages on account offailure of the Selected Bidder.

DMRC shall hand over the built up space or bare shell to the Licensee within 7 days ofsubmission of Interest Free Security Deposit/ Performance Security. Selected Bidder shallsign the License Agreement within 30 days of handing over of the licensed space. TheSelected Bidder shall not be entitled to seek any deviation, modification or amendment inthe License Agreement.

The licensee shall pay Advance License Fee for 1st Quarter to DMRC within 75 days afterhanding over of licensed space. If the licensee fails to pay the Advance License Fee for 1st

Quarter by the due date, interest @ 2% shall be charged at the outstanding amount. If theSelected Bidder fails to deposit the dues even after 90 days from the date of handing overof the licensed space, Interest Free Security Deposit/ Performance Security, amount of bidsecurity and any part payments made by the selected bidder, shall stand forfeited in favourof DMRC. The bidder voluntarily and unequivocally agrees not to seek any claim,compensation, damages or any other consideration, whatsoever on this account.

5.28. Notwithstanding anything contained in this Bid document, DMRC reserves the right toaccept or reject any Bid offer and to annul the Bidding Process and reject all Bid offers, atany time without any liability or any obligation for such acceptance, rejection orannulment, and without assigning any reason therefore. In the event that DMRC rejects orannuls all the Bids, it may, in its discretion, invite all eligible Bidders to submit fresh Bidshereunder.

5.29. Confidentiality

Information relating to the examination, clarification, evaluation, and recommendation forthe Bidders shall not be disclosed to any person who is not officially concerned with theprocess or is not a retained professional advisor advising DMRC in relation to, or mattersarising out of, or concerning the Bidding Process. DMRC shall treat all information,submitted as part of Bid, in confidence and shall require all those who have access to suchmaterial to treat the same in confidence. DMRC may not divulge any such informationunless it is directed to do so by any statutory entity that has the power under law to requireits disclosure or is to enforce or assert any right or privilege of the statutory entity and/ orDMRC or as may be required by law or in connection with any legal process.

CHAPTER 6

MISCELLANEOUS

6.1 The Bidding Process shall be governed by, and construed in accordance with, the laws ofIndia and the Courts at New Delhi shall have exclusive jurisdiction over all disputesarising under, pursuant to and/ or in connection with the Bidding Process. During thebidding process no dispute of any type would be entertained. Even in such cases whereDMRC asks for additional information from any bidder, the same cannot be adduced as areason for citing any dispute. All disputes between the selected bidder and DMRC shall besettled as per the Dispute Resolution procedure elaborated in the Draft License Agreementafter signing the License Agreement. The courts at Delhi shall have the sole & exclusivejurisdiction to try all the cases arising out of this License agreement.

6.2 DMRC, in its sole discretion and without incurring any obligation or liability, reserves theright, at any time, to;a) suspend and/ or cancel the Bidding Process and/ or amend and/ or supplement the

Bidding Process or modify the dates or other terms and conditions relating thereto;b) consult with any Bidder in order to receive clarification or further information;c) retain any information and/ or evidence submitted to DMRC by, on behalf of, and/ or

in relation to any Bidder; and/ ord) Independently verify, disqualify, reject and/ or accept any and all submissions or other

information and/ or evidence submitted by or on behalf of any Bidder.

6.3 It shall be deemed that by submitting the Bid, the Bidder agrees and releases DMRC, itsemployees, agents and advisers, irrevocably, unconditionally, fully and finally from anyand all liability for claims, losses, damages, costs, expenses or liabilities in any wayrelated to or arising from the exercise of any rights and/ or performance of any obligationshereunder, pursuant hereto and/ or in connection with the Bidding Process and waives, tothe fullest extent permitted by applicable laws, any and all rights and/ or claims it mayhave in this respect, whether actual or contingent, whether present or in future.

6.4 The RFP and License Agreement are to be taken as mutually explanatory and, unlessotherwise expressly provided elsewhere in this RFP, in the event of any conflict betweenthem, the priority shall be in the following order:a) License Agreementb) RFP Document;i.e. the License Agreement above shall prevail over RFP Document.

6.5 The Bidders who have down loaded the RFP Document from the DMRC’s website,should carefully note the following instructions:a) The Bidders should ensure that the complete RFP Document has been downloaded.b) The printout of RFP Documents should be taken on an ‘A4’ size good quality paper.

The printout should be same as available on DMRC’s website. The print should belegible and indelible.

c) The downloaded RFP Documents should have tamperproof binding. Loose/ spiralbound RFP Documents shall be rejected out-rightly.

Note-4: Bidders who propose to download and use this Bid document are required to collectthe location plans for the above built-up spaces and bare shell from the office of theDy.CE/PB-1, DMRC Ltd, 4th Floor, B-Wing, Metro Bhawan, Fire Brigade Lane,Barakhamba Road, New Delhi 110 001, between 1500 hrs to 1700 hrs on all workingdays, free of cost on production of identity proof and authority letter of the Bidder.The location plans shall be duly signed and submitted along with the Bid.

I/ We acknowledge that DMRC shall be relying on the information provided in the Bidand the documents accompanying the Bid for selection of the Licensee for the aforesaidsubject, and we certify that all information provided therein is true and correct; nothinghas been omitted which renders such information misleading; and all documentsaccompanying the Bid are true copies of their respective originals.

2. This statement is made for the express purpose of our selection as Licensee for theaforesaid subject. I/ We shall make available to DMRC any additional information it mayfind necessary or require to supplement or authenticate the Bid.

3. I/ We acknowledge the right of DMRC to reject our Bid without assigning any reason orotherwise and hereby waive, to the fullest extent permitted by applicable law, our right tochallenge the same on any account whatsoever.

4. I/ We declare that:

(a) I/ We have examined and have no reservations to the Bidding Documents, includingAddendum/ Corrigendum, if any, issued by DMRC; and

(b) I/ We do not have any conflict of interest in accordance with provisions of the RFPdocument; and

(c) I/ We have not directly or indirectly or through an agent engaged or indulged in anycorrupt practice, fraudulent practice, coercive practice, undesirable practice orrestrictive practice, as stipulated in the RFP document, in respect of any Bid orrequest for proposal issued by or any agreement entered into with DMRC; and

(d) I/ We hereby certify that we have taken steps to ensure that in conformity with theprovisions of the RFP, no person acting for us or on our behalf has engaged or shallengage in any corrupt practice, fraudulent practice, coercive practice, undesirablepractice or restrictive practice; and

(e) the undertakings given by me/us along with the Application in response to the RFPfor the above subject were true and correct as on the date of making the RFPApplication and are also true and correct as on the Bid Due Date and I/we shallcontinue to abide by them.

5. I/ We understand that you may cancel the Bidding Process at any time and that you areneither bound to accept any Bid that you may receive nor to invite the Bidders to Bid forthe above subject, without incurring any liability to the Bidders, in accordance withprovisions of the RFP document.

6. I/ We hereby irrevocably waive any right or remedy which we may have at any stage atlaw or howsoever otherwise arising to challenge or question any decision taken by DMRCin connection with the selection of the Bidder, or in connection with the Bidding Processitself, in respect of the above mentioned subject License Agreement and the terms andimplementation thereof.

7. In the event of my/ our being declared as the Selected Bidder, I/we agree to enter into aLicense Agreement in accordance with the draft that has been provided to me/ us prior tothe Bid Due Date. We agree not to seek any changes in the aforesaid draft and agree toabide by the same.

8. I/ We have studied all the Bidding Documents carefully and also surveyed the DMRCSpace. We understand that except to the extent as expressly set-forth in the LicenseAgreement, we shall have no claim, right or title arising out of any documents orinformation provided to us by DMRC or in respect of any matter arising out of or relatingto the Bidding Process including the award of License Agreement.

9. I/ We offer due Bid Security to DMRC in accordance with the RFP Document. Thedocuments accompanying the Bid, as specified in RFP, have been submitted in a separateenvelope and marked as “Enclosures of the Bid”.

10. I/ We agree and understand that the Bid is subject to the provisions of the BiddingDocuments. In no case, I/we shall have any claim or right of whatsoever nature if thelicensing rights as mentioned in above subject are not awarded to me/us or our Bid is notopened or rejected.

11. The financial offer has been quoted by me/us after taking into consideration all the termsand conditions stated in the RFP, draft License Agreement, addenda /corrigenda, our ownestimates of costs and after a careful assessment of the site and all the conditions that mayaffect the project cost and implementation of the project.

13. I/We agree and undertake to be jointly and severally liable for all the obligations of theLicensee under the License Agreement for the License period in accordance with theAgreement.

14. I/ We shall keep this offer valid for 180 (one hundred and eighty) days from the Bid DueDate specified in the RFP.

15. I/ We hereby submit bid documents i.e. RFP documents and Draft License Agreementduly signed on each page as token of unconditional acceptance of all terms and conditionsset out herewith.

THE CONDITIONS OF THIS OBLIGATION ARE:

1. if the Bidder withdraws his Bid during the period of validity of Bid as specified in the Biddocument, or

2. if the selected Bidder having been notified of the acceptance of his Bid by DMRC duringthe period of Bid validity,

3. fails or refuses to abide by the terms and conditions laid in the Bid Document or Letter ofAcceptance issued subsequent to the bid Process.

4. Or fails or refuses to enter into a License Agreement within the time limit specified inLetter of Acceptance.

NOW, THEREFORE, THIS BANK GUARANTEE WITNESSETH AS FOLLOWS: -

1. The Guarantor, as primary obligor shall, without demur, reservation, contest, recourse orprotest and/or without reference to Bidder, pay to DMRC an amount not exceedingRs……………………………. (Rupees ………………………………………… only),on the same working day of receipt of a written demand from DMRC, calling upon theGuarantor to pay the said amount and stating that the Bank Guarantee provided by theBidder has been forfeited.

2. The Guarantor agrees that DMRC shall be the sole judge to decide as to whether theBidder has defaulted in the performance of its obligations as per the Bid document, andthe decision of DMRC in this regard shall be final and binding on the Guarantor,notwithstanding any differences in this regard between DMRC and the Bidder or anydispute pending before any Court, Tribunal, Arbitrator or any other Authority.

3. Any such demand made on the Guarantor by DMRC shall be conclusive, absolute, finaland binding on the Guarantor, and the amount due and payable by the Guarantor underthis Guarantee shall be honored by the Guarantor, simply on demand, without demur,reservation, contest, protest, recourse whatsoever and without need for ascribing anyreason to the demand. The liability of the Guarantor under this guarantee is absolute andunequivocal. The above payment shall be made without any reference to the Bidder orany other person.

4. This Guarantee shall be irrevocable, valid and remain in full force till the end of validityperiod of Bid, or for such extended period as may be mutually agreed between DMRCand the Bidder, and shall continue to be enforceable till all amounts under this Guaranteeare paid.

5. This Guarantee is unconditional and irrevocable till such time DMRC discharges thisguarantee by issuing a letter to the Guarantor in this behalf.

6. The Guarantor undertakes to pay the amount mentioned herein as principal debtor andnot a surety and it shall not be necessary for DMRC to proceed against the Bidder.

7. The guarantee hereinbefore contained shall not be affected by any change in theconstitution of the Bank or of the Bidder.

8. The Courts at Delhi shall have exclusive jurisdiction to adjudicate on any or all matterarising under this Guarantee.

9. The Guarantor declares that it has power to issue this Guarantee and discharge theobligations contemplated herein and the undersigned is duly authorised to execute thisGuarantee

AND WHEREAS all the parties hereto have discussed and agreed to form a Consortium forparticipating in the aforesaid bid and have decided to reduce the agreed terms to writing.NOW THIS CONSORTIUM AGREEMENT/MEMORANDUM OF AGREEMENT HEREBYWITNESSES:

1. That in the premises contained herein the Lead Member and the Participant Memberhaving decided to pool their technical know-how, working experiences and financialresources, have formed themselves into a Consortium to participate in the Bid processfor Licensing of ______________________________________________________interms of the Bid invited by Delhi Metro Rail Corporation Ltd., (DMRC).

2. That all the members of the Consortium have represented and assured each other thatthey shall abide by and be bound by the terms and conditions stipulated by DMRC forawarding the Bid to the Consortium so that the Consortium may take up the aforesaidlicense, in case the Consortium turns out to be the successful bidder in the bid beinginvited by DMRC for the said purpose.

3. That all the members of the Consortium have satisfied themselves that by pooling theirtechnical know-how and technical and financial resources, the Consortium fulfills thepre-qualification/eligibility criteria stipulated for a bidder, to participate in the bid forthe said Bid process for _________________________________________________.

4. That the Consortium have agreed to nominate any one of__________, _____ and_____ as the common representative who shall be authorized to represent theConsortium for all intents and purposes for dealing with the Government and forsubmitting the bid as well as doing all other acts and things necessary for submissionof bid documents such as Bid Application Form etc., Mandatory Information,Financial Bid. etc. and such other documents as may be necessary for this purpose.

That it is clarified by and between the members of the Consortium that execution tothis Consortium Agreement/Memorandum of Agreement by the members of theConsortium does not constitute any type of partnership for the purposes of provisionsof the Indian Partnership Act and that the members of the Consortium shall otherwisebe free to carry on their independent business or commercial activities for their ownrespective benefits under their own respective names and styles. This ConsortiumAgreement is limited in its operation to the specified project.

Annexure-12

Availability of existing infrastructure related to electrical power supply including capacityof electrical load that can be sanctioned, air-conditioning works, fire protection system &

fire NOC, and the proposed corresponding terms/ conditions/ procedure

A. 2nd floor of D-21 Corporate Park

1 ELECTRICAL POWER SUPPLY:

1.1 Availability of Electrical load:

a. Electric power required for commercial activity within footprint of D-21 Building2nd Floor is to be drawn from existing available source. Availing power supply fromoutside agencies in DMRC is not permitted. 2nd Floor proposed leased out area isalready furnished with all facilities for main & common area viz. lights, small powersockets, air conditioning ducts & AHUs, ventilation, fire system along withsprinklers, detectors, hydrants etc. Hence, no additional work regarding lights, airconditioning and fire system is envisaged in view point of DMRC. However, if anyadditional work to be undertaken in view point of Licensee to meet their specificrequirement, then the corresponding work has to be got done by Licensee at his owncost subject to technical feasibility & ensuring compliance of statutory requirements,stipulations of Fire & safety norms and corresponding approval from DMRC.

b. Proposed Depot 2nd floor leased out area is fed by at least 8 nos. small lighting &power distribution boards for electrical power and 4 nos. AHUs along with chilledwater supply for air conditioning system. Details of available electrical load atincomer end of distribution board are mentioned as Annexure-12-A. Availability ofAHUs along with their electrical load, electrical & BTU metering points and Airconditioning feeding area is mentioned in Annexure-12-B1 & B2.

c. Any addition / up-gradation/ modification of existing electrical power system worksif required, are to be taken up subjected to technical feasibility and approval fromDMRC. If approved, same work can be carried out by Licensee with all cost to beborne by Licensee.

d. For addition / up-gradation/ modification of electrical power system work carried outby Licensee under supervision of DMRC, a supervision fee of Rs 10,000/- percircuit/ feeder will be charged by DMRC.

1.2 Reliability of Power supply/ Use of DG set :

Lighting and small power is on normal power supply as well as part of the same ison DG power supply available in Depot building. Hence, no separate DG powerrequirement has been envisaged. However, air conditioning system is based onnormal power network not on DG power supply network. No UPS supply will bemade available to Licensee from DMRC system and Licensees can provide UPS /Inverter at their own cost in own premises, if desire or need arise.

1.3 Specifications for electrical work:

a. For any addition / up-gradation/ subsequent extension / modification of electricalpower system works carried out by Licensee, to be carried out in accordance withdetailed electrical specifications as per Annexure-12-C.

b. The dismantled accessories of existing work as defined in 1.1.a above, if any, needsto be handed over to DMRC.

c. The works executed by licensee shall be inspected by DMRC representative forensuring compliance of specifications / stipulations of contract.

d. At the end of the contract (pre-mature surrender/termination, natural completion,etc.) all facilities installed by DMRC shall be sole property of DMRC. Licensee hasto handover these in good order & working condition. The facilities installed byLicensee will be his own property and Licensee has to remove all these from the site.If facilities installed by DMRC have not been handed over in good workingcondition or Licensee found unable to remove his own installed facilities, DMRChas the right to rectify / remove the same and recover the corresponding cost fromLicensee.

e. For carrying out any addition / up-gradation/ subsequent extension/ modificationwork by Licensee / any work related to construction/ finishing work , for whichpower is required, licensee will apply for temporary electrical connection fromDMRC. Temporary connection is given for reasonable time period. Format ofapplication for seeking temporary connection and lists of documents required forsame is attached at Annexure-12-D.

f. Licensee after completion of all electrical and fire safety works in leased premises inall respect duly complied to all safety norms prescribed by DMRC as per Annexure-12-E, F & G, will apply for permanent electrical connection. After inspection andverification by DMRC representative to all compliance, Connection will beconverted in to permanent one.

g. If Licensee fails to complete the work as mentioned above in order to regularizetemporary connection in to permanent connection with in reasonable time, temporaryconnection will also be disconnected. For this Licensee will be solely responsible.

1.4 Electrical Metering:

a. Calibrated 3-phase CT / without CT operated Energy meters having TOD facility asper Delhi Tariff schedule shall be installed at all feeding point i.e. incomer feeder ofexisting panel/ DBs, Electrical feeder at Panel end for AHU etc. with all cost to beborne by Licensee. DMRC in any case will not provide meters to individual shops/kiosk.

b. One combined load will be sanctioned for all meters. The sanctioned load shalldecide whether load is more or less than 108 kVA for purpose of deciding tariff.

c. Electrical load & metering will be carried out after algebraic sum of consumed unitsof all meters installed.

d. Energy Meters including connected accessories/ meter box / modification atpanel/DB level to install meter etc., in line with specifications of DMRC to beprocured, installed and commissioned by Licensee for his own metering at his owncost.

e. Regular testing of all meters at defined interval will be responsibility of Licensee.

1.5 Tariff for Electrical Metering:

a. Rate of electricity for temporary or permanent electrical connection shall be chargedfrom licensee at whom concerned DISCOM would be charging, had they obtainedelectric connection from them as per prevalent tariff orders issued by DERC.

b. Tariff applicable shall be NDHT for LT load greater than 108 kVA and NDLTbelow 108 kVA as per existing tariff order. However, same may change as perprevalent tariff orders.

1.6 Operation and Maintenance:

Licensee has to operate and maintain entire electrical system viz. lighting & smallpower DBs, their circuits, Lights, sockets, Air conditioning AHUs under itsjurisdiction i.e. for proposed leased out area. Entire system has to be maintained inline with good maintenance practice to maintain entire system in safe & workingcondition.

Licensee has to ensure that all the electrical work done within the Licensee premisesincluding wiring, power outlets and gadgets for power distribution & airconditioning system are used, operated and maintained properly for guarding againstshort circuits/fires and are as per the Indian Electricity Rule, 1956 and otherapplicable laws, statutory provisions and standards in force at the time, and Licenseehas to indemnify DMRC against any loss accrued to the Licensee on this account.Further, the Licensee agrees that if there is any harm/loss to the property of DMRCor to any other third party due to fault in the electrical work, outlets or apparatuswithin the premises of the licensee, all the loss shall be borne by the licensee.

2 AIRCONDITIONING SYSTEM:

2.1 Availability

a. 2nd Floor proposed lease out area air conditioning is already available from Depotbuilding air conditioning system as defined in para 1.1.a above. Availability ofAHUs along with their electrical load, electrical & BTU metering points and Airconditioning feeding area is mentioned in Annexure-12- B1 & B2.

b. Existing Chiller capacity of D 21 building is 2 x 260 TR (1 working & 1 standby).

c. Operating time of chillers is 0800 hrs to 2100 hrs for period of 15th March to 15th

November.

d. Proposed area is not provided with heating facility for winters.

e. Air conditioning is on reliable Normal power supply not on DG backup.

f. For meeting Air conditioning requirement, the Licensee will have to access / use thealready installed system. Licensee is advised to have a site visit. Any additionalworks has to be carried out by Licensee at its own cost. Licensee is required tosubmit its plan to DMRC and DMRC will check that the plan submitted doesn’taffect the building air conditioning system and the works undertaken are in line withsafety norms of electrical & fire safety.

g. If Licensee desires to achieve their extra air-conditioning requirement throughprovision of VRV/ package AC, then the same will have to be provided by Licenseeat his own cost subject to technical feasibility of electrical load / space for pipeline /equipment installation. DMRC would try to consider request of Licensee provided itis feasible.

h. Any addition / up-gradation/ modification of air-conditioning system works thatrequire system augmentation to be taken up subjected to technical feasibility andapproval from DMRC. If approved, same work can be carried out by Licensee.

i. The dismantled accessories of existing DMRC installations, if any needs to behanded over to DMRC.

j. Air conditioning & smoke extraction is integrated with Fire alarm and controlsystem of depot in such a way that in event of fire, automatic smoke extractionsystem will work and air conditioning system to put off automatically for thatrespective floor level. Any addition / up-gradation/ modification /rectification onbasis of above has to be carried out by Licensee.

2.2 Metering

a. All BTU Meters etc. including connected accessories/ meter box / valves /modification at connection level etc. to be procured, installed and commissioned byLicensee at his own cost.

b. Calibrated BTU Meters provided by Licensee shall be installed at each tapping pointto record the actual usage so as to being capable of measuring the entire airconditioning load being fed to Licensee through chilled water pipe system ofDMRC. DMRC in any case will not provide meters to individual shops/ kiosk.

c. However metering will be carried out on the basis of algebraic sum of consumedunits of all meters installed.

d. Regular testing/ calibration of all meters at defined interval will be responsibility ofretailer.

2.3 Tariff charges

a. Charges of Air conditioning will be based on BTU / TR of actual consumption.

b. The equivalent BTU / TR shall be as underi. 1 Tr = 1.494 units (KVAH)

ii. 10,000 BTU = 1.245 units (KVAH)Equivalent Energy units derived on the above basis for the cost of providing chilledwater supply by DMRC shall be charged based on same category energy unit rateapplicable in terms of para 1.5 above. In addition to above, 20% charges over &

above on these air conditioning charges will be added as Operation & maintenancecharges for the high end installations maintained by DMRC viz. chillers, Pumps etc.

2.4 Operation and Maintenance:

Licensee has to operate and maintain their entire Air-conditioning and mechanicalsystem under its jurisdiction in line with good maintenance practice to maintain entiresystem electrically & Fire safely and in working condition.

3 Fire Alarm & Control System and Fire NOC:

a. All fire system requirements viz. Detectors, sprinklers, hydrants are installed in 2nd

Floor proposed leased out area and same is integrated with Building Fire alarm andcontrol system.

b. No Fire NOC is available for proposed leased out area. Licensee has to plan & carryout all fire system works to meet the statutory requirement of DFS at their own cost,got it verified by DMRC and seeks NOC from DFS department as per their retailplanning.

c. Existing capacity of Fire Fighting pumps and tanks are as under:o Fire water tank ( 2 nos. of 100 KL)o 1 no. 75 KW , 2850 LPM, 90 mtr head main pump and 1 no. 7.5 KW

jockey pump, 180 LPM, 90 mtr head for fire hydrant.o 1 no. 75 KW , 2850 LPM, 90 mtr head main pump and 1 no. 7.5 KW

jockey pump, 180 LPM, 90 mtr head for fire sprinkler.o 1 no. Diesel operated fire pump of capacity 2850 LPM, 90 mtr head in

case of emergency.Above infrastructure is already meeting the fire provision requirement of the D-21building u/g, ground floor, 1st floor and 2nd floor area operation area of DMRC. Anyaddition / up-gradation/ modification to this existing system on account of Fire NOCcategory as per Licensee retail planning will have to be carried out by Licensee at hisown cost so as to meet all statutory requirement of DFS department.

d. Provision of portable fire extinguishers as per requirement to be provided byLicensee as per Annexure-12-H.

e. Putting up of signage for Emergency walkway/fire escape route/ refusearea/entrance/common area and their lighting, cleaning, maintenance and security isunder Licensee scope of work.

f. Licensee should not in any way obstruct or permit the obstructions of any emergencywalkway/fire escape route/ refuse area/entrance/common area within or outside theirpremises.

g. If the existing retail area structure / usage are required to be upgraded/ modified forcommercial reasons, the same has to be carried out by licensee at its own cost dulyensuring that entire work on completion meets statutory requirement on Fire safety& electrical safety including meeting with the specifications of DMRC electricalitems. The dismantled accessories etc., if any needs to be handed over to DMRC.

h. Licensee shall not store or use flammable or explosive substance in their premises,except with the DMRC consent.

i. On issue of permissibility to use coal/LPG/PNG and other electrical appliances forthe purpose of cooking / serving the eateries, instructions / guidelines issued byPD/PB wing of DMRC may be referred. Clarification, if any may be sought fromPB/PD Department only.

j. Integration of water sprinkler system to the hydrant pipe line of DMRC will have tobe carried out by Licensee by approaching Works (Civil Engg.) department ofDMRC.

k. Licensee has to operate and maintain entire Fire system under its jurisdiction in linewith good maintenance practice to maintain and keep all fire hydrants, sprinklers,emergency lights, exit signage and fire fighting equipments in working order at alltimes and system meet all stipulations / requirement laid down by DFS

4 General:

a. That except in the event of mechanical defect and/or electrical defect/ scheduledmaintenance activity / any other defect not in control of DMRC, DMRC will provideelectric supply, however , DMRC shall not be liable and / or responsible for anyclaim of whatsoever in nature arising out of them.

b. Licensee to permit DMRC employee at all reasonable hours in normal case / at anytime in emergency, to enter in the premises for the inspection or for any otherpurpose connected with the work.

c. Licensee has to own entire Electrical Power supply from downstream the electricalenergy metering points including energy meters , Air conditioning system fromdownstream the BTU metering points including meters and Fire alarm & controlsystem on “ as is where is basis” at D-21 Building Second Floor, and licensee willhave to operate & maintain the system / equipments installed by it to the bestmaintenance practice duly ensuring compliance of various stipulations related toelectrical & fire safety. Any rectification /repair/ modification with regard to abovehas to be carried out by Licensee itself at its own cost. The licensee voluntarily andunequivocally agrees not to seek any claim, damage, compensation or any otherconsideration whatsoever on account of time & costs associated in carrying out theabove works.

d. Licensee has to appoint his own Facility Manager at his own cost for looking afterthe operation & maintenance of various electrical power supply, distribution and air-conditioning system ( i.e. all E&M activities) and fire protection system for theequipments/assets installed by the Licensee under his jurisdiction .

e. If any work is carried out by DMRC for the licensee on being requested by thelicensee, then cost for the same will be the actual cost incurred on the work byDMRC + 15% supervision charge of DMRC.

f. Lifts: There are 3 nos., 20 passengers elevators serving to GF, 1st,2nd, 3rd, & 4th floorsof D21 building. DMRC is carrying out comprehensive maintenance of theseelevators regularly. However, each Licensee has to provide unhindered access toDMRC representative for carrying out normal maintenance or emergencyprocedures.

B. For 3rd Floor of D-21 Corporate Park

2 ELECTRICAL POWER SUPPLY:

2.1 Availability of Electrical load:a. Electric power required for commercial activity within footprint of D-21 Building 3rd

Floor are to be drawn from existing available source i.e. from one no. 3000 kVA ,33/0.415 kV Auxiliary transformer installed at basement of D-21 building ( Referdrawing at Annexure-12-A). Distribution of Electrical load including airconditioning for 3rd Floor Licensee of D-21 building from this transformer will be asunder:

b. Availing power supply from outside agencies in DMRC is not permitted. Hence, forreliability of power supply, if desire, Licensee can install their own DG sets at theirown cost as mentioned in 1.2 below.

c. The common lobby area at 3rd floor is provided with necessary lights, as somelicensees are already working at 3rd floor.

d. Any addition / up-gradation/ modification of existing electrical power system works(refer 1.1.a) if required, are to be taken up subject to technical feasibility andapproval from DMRC. If approved, same work can be carried out by Licensee withall cost to be borne by Licensee.

e. Except this one no. 3000 kVA, 33/0.415 kV Auxiliary transformer installed atbasement of D-21 building, no further LT system has been planned for distributionby DMRC. Each Licensee has to plan & carry out all further LT distribution workand bear all cost.

f. Being common transformer, one common LT panel with one incomer and twooutgoing feeders each for 3rd & 4th Floor licensee to be planned & installed by 3rd or4th Floor (or both) licensee, with cost to be shared by both licensees on termsmutually agreed to both of them. DMRC will have no role to play in this aspect ofcost sharing between the Licensees. Further distribution from this LT paneloutgoing feeders to their respective areas is responsibility of respective individuallicensee and all cost related to this work to be borne by the same licensee.

g. In addition to the works mentioned above, the licensee for 3rd Floor has to carry outall works for functioning of retail area on their own cost including outgoing feedersfrom common LT panel, cable trays, hangers in cable route, individual LT panelroom at respective floor and subsequent extension of power supply from individualLT panel room along with associated cabling, cable tray, earthing , common & retailshops internal wiring, lighting, power distribution etc.

h. Licensee has to integrate with already earthing system installed by DMRC. Twocommon points for earthing will be provided to individual licensee at basement levelitself in the existing METs of DMRC. All further work has to be carried out byLicensee at its own cost.

2.2 Reliability of Power supply/ Use of DG set :a. Power Supply of DMRC is from reliable network which draws power from two

different 66 kV sources. In case of failure of one source, power can be fed fromsecond source. The power supply connection released for commercial activity isfrom single feeder from this available DMRC power network. Hence, for reliabilityof power supply, if desire, individual Licensee can install their own DG set at theirown cost, as DG power available in DMRC network will not be made available toLicensee(spare capacity is not available). DG set planned for this purpose shouldcover Licensee’s load requirement and same to be provided in line with guidelinesissued by DMRC (refer annexure-12-B).

b. Certain ventilation ducting along with installation of fans already exists in basementarea where installation of DG (is required) to be installed by Licensee. Licensee hasto check & verify the same. For any addition / up-gradation/ subsequent extension /modification of the same to be carried out by Licensee at their own cost inaccordance with statutory requirements and stipulations of Fire & electrical safety.

c. Each Licensee has to plan(if required) at their own cost DG set, DG exhaust,earthing of DG system and associated panel & cabling system for feeding the DGpower to his own LT panel room at each floor. Please refer cl. No. 2.1c for allotmentof space for installation of DG set.

d. Licensees can also provide UPS / Inverter at their own cost in own premises, ifdesire or need arise.

2.3 Specifications for electrical work:a. For any addition / up-gradation/ subsequent extension / modification of electrical

power system works carried out by Licensee, to be carried out in accordance withdetailed electrical specifications as per Annexure- 12-C.

b. Licensee has to submit the plan of DG installation & smoke extraction system toDMRC and DMRC will check and approve the same so that the works undertakenare in line with safety norms of electrical & fire safety.

c. The dismantled accessories of existing work as defined in 1.1.a & c above, if any,needs to be handed over to DMRC.

d. The works executed by licensee shall be inspected by DMRC representative forensuring compliance of specifications / stipulations of contract and fulfillment ofsafety norms of electrical & fire safety.

e. At the end of the contract (pre-mature surrender/termination, natural completion,etc.) all facilities installed by DMRC ( refer 1.1.a & c) shall be sole property ofDMRC. Licensee has to handover these in good order & working condition. Thefacilities installed by Licensee will be his own property and Licensee has to removeall these from the site. If facilities installed by DMRC ( refer 1.1.a & c) have notbeen handed over in good working condition or Licensee found unable to remove his

own installed facilities , DMRC has the right to rectify / remove the same andrecover the corresponding cost from Licensee.

f. For carrying out any addition / up-gradation/ subsequent extension/ modificationwork by Licensee / any work related to construction/ finishing work , for whichpower is required, licensee will apply for temporary electrical connection fromDMRC. Temporary connection is given for reasonable time period. Format ofapplication for seeking temporary connection and lists of documents required forsame is attached at Annexure-12-D.

g. Licensee after completion of all electrical and fire safety works in leased premises inall respect duly complied to all safety norms prescribed by DMRC as per Annexure-12-E, F & G, will apply for permanent electrical connection. After inspection andverification by DMRC representative to all compliance, Connection will beconverted in to permanent one.

h. If Licensee fails to complete the work as mentioned above in order to regularizetemporary connection in to permanent connection with in reasonable time, temporaryconnection will also be disconnected. For this Licensee will be solely responsible.

2.4 Electrical Metering:a. Calibrated CT operated Energy meter having TOD facility as per Delhi Tariff

schedule shall be installed at single point i.e. at individual outgoing feeder ofcommon LT panel at basement level for 3rd Floor Licensee, with cost to be borne byLicensee. DMRC in any case will not provide meters to individual shops/ kiosk.

b. Electrical load will be sanctioned individually for individual feeder of 3rd Floor atwhich meter is installed at basement and tariff will be based on individual sanctionedload.

c. Energy Meters including connected accessories/ meter box etc., in line withspecifications of DMRC to be procured, installed and commissioned by Licensee forhis own metering at his own cost.

d. Regular testing of all meters at defined interval will be responsibility of Licensee.

2.5 Tariff for Electrical Metering:a. Rate of electricity for temporary or permanent electrical connection shall be charged

from licensee at whom concerned DISCOM would be charging, had they obtainedelectric connection from them as per prevalent tariff orders issued by DERC.

b. Tariff applicable shall be NDHT for LT load greater than 108 KVA and NDLTbelow 108KVA as per existing tariff order. However, same may change as perprevalent tariff orders.

2.6 Operation and Maintenance:Licensee has to operate and maintain entire electrical system under its jurisdictioni.e. entire electrical power system downstream from transformer along with DG setsand DG smoke extraction. For common LT panel, both 3rd & 4th floor Licensee hasto come to understanding and make one party responsible for same. Entire systemhas to be maintained in line with good maintenance practice to maintain entiresystem in safe & working condition.Licensee has to ensure that all the electrical work done within the Licensee premisesincluding wiring, power outlets and gadgets for power distribution & air

conditioning system are used, operated and maintained properly for guarding againstshort circuits/fires and are as per the Indian Electricity Rule, 1956 and otherapplicable laws, statutory provisions and standards in force at the time, and Licenseehas to indemnify DMRC against any loss accrued to the Licensee on this account.Further, the Licensee agrees that if there is any harm/loss to the property of DMRCor to any other third party due to fault in the electrical work, outlets or apparatuswithin the premises of the licensee, all the loss shall be borne by the licensee.

2 AIRCONDITIONING SYSTEM:

2.1 Availability

a. Licensee has to plan its his own air-conditioning system along with all associatedpumps, piping/ducting, cooling towers, cabling, etc. and fresh air, normal & smokeexhaust system including ducting, fans, dampers , staircase pressurization systemetc. as per their requirement, with all cost to be borne by Licensee.

b. All smoke extraction, fresh air and exhaust air system has to be developed byLicensee at his own cost. For 3rd floor, Licensee has also to integrate existing smokeextraction and fresh air ducts already installed for existing licensees and maintain thesystem as per statutory requirement for total 3rd Floor. No separate cost will be paidby DMRC in this regard.

c. Allotment of Space in Basement level for ECS Equipment, DG set & ElectricalPanel: The space for installation of equipment/plants etc. for ECS equipment & DG set

including panels by each of the licensee for each of the floors has been allotted/enmarked out of the existing space available in the basement of D-21 Building(refer Annexure-12-A).

The space for installation of common LT Panel for electrical power supply byeach of the licensee for each of the floor has been allotted/enmarked out of theexisting space available in the basement of D-21 Building”( refer Annexure-12-A).

The space for installation of Piping, cabling & smoke exhaust by each of thelicensee for each of the floor has been allotted/ enmarked out of the existingspace available in the common shafts from basement to 3rd ,4th floor and rooftop of 4th floor of D-21 Building( refer Annexure- 12-A).

d. Allotment of Space on the roof top of 4th Floor to the 3rd Floor Licensee:For meeting the service requirements for Basement, 1st & 2nd Floor of D-21Building, DMRC has installed Cooling towers of centralized air-conditioningsystem, outdoor (condensing unit) of VRV etc., DG exhaust & overhead watertanks on roof of 4th floor at D-21 building. Therefore, 3rd floor Licensee would alsobe permitted to install only the above equipments on the pattern of DMRC on theroof of 4th floor at D-21 building with the condition that in case DMRC constructadditional floor in future, then the licensee will be bound to shift the aboveequipments/utilities to the roof top of newly constructed additional floor in linewith building height clearance from Airport Authority of India (refer biddocument), with cost for shifting being born by Licensee at that point of time.

Therefore, the licensee will be required to design & install their above mentionedequipments such that the same can be shifted on the roof top of newly constructedadditional floor without change of equipment. The licensee will not be permitted toinstall any other equipment on roof top of 4th Floor other than those mentionedabove.

DMRC will not bear the cost of shifting & associated modification related topipelines/cabling etc. and the change of equipment w.r.t. D-21 building. All costrelated to change of equipment (if required at that point of time due to licensee nottaking care of the same at the initial stage of installation) will have to be borne byLicensee.

e. Availability of water tank, RO plant and Booster pump for 3rd Floor Licensee:Presently 5 nos. Water storage underground tanks each of 100KL consisting of 2nos. for Fire, 1 for raw water, 1 for domestic water and 1 for CT makeup water havebeen provided at D-21 building. Each licensee to take supply of water from existingraw tanks and thereby install their own RO/Water Softening Plant along with waterdistribution system for meeting requirement of treated water supply for ECS System(chilled water and condensing water requirement) & general requirement. WorksDepartment should decide the metering arrangement for water consumption of thelicensee. The space for installation of equipment/plants etc. for RO Plant & boosterpumps for water supply by each of the licensee for each of the floor has beenallotted/ enmarked out of the existing space available in the basement of D-21Building( refer Annexure-12-A).

f. Overhead tank at terrace levelPresently 3 nos. Overhead tank each of 20 KL, one for domestic water, one for Firesprinkler and one for cooling tower makeup tank have been provided at D-21building and same is sufficient to meet DMRC requirement only. Therefore, on thesimilar pattern, each of the licensees will have to install their respective overheadstorage tanks on roof of 4th floor for meeting their water requirement of differenttypes in consultation with DMRC works department.

g. Wall / structural opening & closingAll structural / wall / facade glass opening for electrical, DG, Air conditioning,smoke extraction, fresh air & normal exhaust works and their sealing aftercompletion of work with Fire resistant material in line with statutory requirement hasto be carry out by licensee at his own cost after DMRC approval. Licensee has tocarry out the work in such a way that opening does not adversely affect the structuredesign.

h. Any addition / up-gradation/ modification of existing requirement as defined aboveif required, are to be taken up subjected to technical feasibility and approval fromDMRC. If approved, same work can be carried out by Licensee with all cost to beborne by Licensee.

i. For meeting Air conditioning, fresh air, normal & smoke exhaust system, RO plant& water requirement, Licensee will have to plan/ design their own system /

equipment in totality. Licensee is advised to have a site visit. Above works have tobe carried out by Licensee at its own cost. Licensee is required to submit its plan toDMRC and DMRC will check and approve the same so that the works undertakenare in line with safety norms of electrical & fire safety.

j. Licensee has to submit the specifications of equipments and scheme for the workcarried out to seek approval from DMRC.

k. The dismantled accessories of existing DMRC installations, if any, need to behanded over to DMRC.

l. Air conditioning & smoke extraction installed by Licensee to be integrated with Firealarm & control system made available by Licensee itself in such a way that in eventof fire, automatic smoke extraction system should work and air conditioning systemto put off automatically for that respective floor level.

Note:1. Annexure-12-A mention only proposed route/ path & placement of equipments.

However, Licensee has to plan all his works and carry out all detailed engg athis own cost. Licensee at any point can not claim to DMRC for anychange/modification of route/ placement of equipments after detailed engg.Thearea required for installation of above will also be considered as part of leasedout area issued to Licensee.

2. Instead of planning/installation of individual” DG set, ECS system, LT panel andRO plant” by each licensee of 3rd and 4th Floor, if mutually agreed combinedsystem of ” DG set, ECS system, LT panel and RO plant” to meet combinedrequirement of 3rd and 4th Floor can be planned by either 3rd or 4th floor ( both)licensee. The cost to be shared by both licensees on terms mutually agreed toboth of them. DMRC will have no role to play in this aspect of cost sharingbetween the Licensees.

3. Proposed area is tentative and Licensee has to make his own arrangement in thisproposed area only. However, area may vary as per vendor requirement onlywith DMRC consent.

2.2 Metering :

No separate metering is envisaged as all system is installed by licensee and electricalload is taken from already sanctioned load.

2.3 Operation and Maintenance:Licensee has to operate and maintain their entire Air-conditioning, heating, water,RO system and mechanical system under its jurisdiction in line with goodmaintenance practice to maintain entire system in electrically & Fire safe and inworking condition.

3 Fire Alarm & Control System and Fire NOC:

a. Dedicated Fire alarm & control system for each floor has to be planned and installedby Licensee at his own cost.

b. Existing capacity of Fire Fighting pumps and water tanks are as under:

Fire pipe line risers are available up to 3rd & 4th Floor and same to be used byLicensee for tap-off for hydrants and sprinkler. Although, installed system issufficient to take care upto 4th floor. Any addition/ up gradation / modification in theexisting Fire protection system as per statutory requirement for licensee retailplanning will have to be carried out by licensee at his own cost.

c. Licensee has to plan & install all further fire related works including Fire alarm &control system for each floor at his own cost. Licensee has to install repeater panel &mimic panel nearby to the space where DMRC existing FACP is installed and/oralong with already installed DMRC repeater and mimic panel so as to meet statutoryrequirement of DFS, with all cost to be borne by licensee.

d. No Fire NOC is available for 3rd floor. Licensee has to plan & carry out all firesystem works to meet the statutory requirement of DFS at their own cost, got itverified by DMRC and seeks NOC from DFS department as per their retail planning.

e. Provision of portable fire extinguishers as per requirement to be provided byLicensee as per Annexure-12-H.

f. Part of 3rd floor area is already leased out and fire sprinklers & detectors are installedin this area. 3rd floor licensee has to plan their Fire alarm & control panel in such away that this leased out area fire system can also be integrated in their proposedsystem and Licensee has to seek NOC of combined area.

g. Basement area (planned for DG sets & ECS System and LT Panel room etc.) fireprotection system installation & maintenance is responsibility of 3rd floor licensee athis own cost.

h. Putting up of signage for Emergency walkway/fire escape route/ refusearea/entrance/common area and their lighting, cleaning, maintenance and security isunder Licensee scope of work.

i. Licensee should not in any way obstruct or permit the obstructions of any emergencywalkway/fire escape route/ refuse area/entrance/common area within or outside theirpremises.

j. If the existing retail area structure / usage are required to be upgraded/ modified forcommercial reasons, the same has to be carried out by licensee at its own cost dulyensuring that entire work on completion meets statutory requirement on Fire safety& electrical safety including meeting with the specifications of DMRC electricalitems. The dismantled accessories etc., if any, need to be handed over to DMRC.

k. Licensee shall not store or use flammable or explosive substance in their premises,except with the DMRC consent.

l. On issue of permissibility to use coal/LPG/PNG and other electrical appliances forthe purpose of cooking / serving the eateries, instructions / guidelines issued byPD/PB wing of DMRC may be referred. Clarification, if any, may be sought fromPB/PD Department only.

m. Integration of water sprinkler system to the hydrant pipe line of DMRC will have tobe carried out by Licensee by approaching Works (Civil Engg.) department ofDMRC.

n. Licensee has to operate and maintain entire Fire system of 3rd Floor in line with goodmaintenance practice to maintain and keep all fire hydrants, sprinklers, fire alarmand control system, emergency lights, exit signage and fire fighting equipments inworking order at all times and system meet all stipulations / requirement laid downby DFS.

4 General:

a. That except in the event of mechanical defect and/or electrical defect/ scheduledmaintenance activity / any other defect not in control of DMRC, DMRC will provideelectric supply, however, DMRC shall not be liable and / or responsible for anyclaim of whatsoever in nature arising out of them.

b. Licensee to permit DMRC employee at all reasonable hours in normal case / at anytime in emergency, to enter in the premises for the inspection or for any otherpurpose connected with the work.

c. Licensee has to own entire Electrical Power supply, Air conditioning and Fire alarm& control system (refer 1,2 &3 above) on “ as is where is basis” at D21 Building3rdFloor , and licensee will have to operate & maintain the system / equipmentsinstalled by it to the best maintenance practice duly ensuring compliance of variousstipulations related to electrical & fire safety. Any rectification /repair/ modificationwith regard to above has to be carried out by Licensee itself at its own cost. Thelicensee voluntarily and unequivocally agrees not to seek any claim, damage,

compensation or any other consideration whatsoever on account of time & costsassociated in carrying out the above works.

d. If any work is carried out by DMRC for the licensee on being requested by thelicensee, then cost for the same will be the actual cost incurred on the work byDMRC + 15% supervision charge of DMRC.

e. Lifts : There are 03 nos, 20 passengers elevators serving to GF, 1st ,2nd , 3rd & 4thfloors of D21 building. DMRC is carrying out comprehensive maintenance of theseelevators regularly. However, each licensee has to provide unhindered access toDMRC representative for carrying out normal maintenance or emergencyprocedures.

f. Facility Manager: Each licensee has to appoint his own Facility Manager at his owncost for looking after the operation & maintenance of various electrical powersupply distribution, air-conditioning system (i.e. all E&M activities) and fireprotection system for the equipments/assets installed by the licensee under hisjurisdiction.

C. For Bidding Schedule 3 & 4 of 4th floor D-21 Corporate Park

3 ELECTRICAL POWER SUPPLY:

3.1 Availability of Electrical load:a. Electric power required for commercial activity within footprint of D-21 Building 4th

Floor are to be drawn from existing available source i.e. from one no. 3000 kVA ,33/0.415 kV Auxiliary transformer installed at basement of D-21 building ( Referdrawing at Annexure-12-A). Distribution of Electrical load including airconditioning for 4th Floor Licensee of D-21 building from this transformer will be asunder;

(refer 1.1.a) if required, are to be taken up subject to technical feasibility andapproval from DMRC. If approved, same work can be carried out by Licensee withall cost to be borne by Licensee.

e. Except this one no. 3000 kVA, 33/0.415 kV Auxiliary transformer installed atbasement of D-21 building, no further LT system has been planned for distributionby DMRC. Each Licensee has to plan & carry out all further LT distribution workand bear all cost.

f. Being common transformer, one common LT panel with one incomer and twooutgoing feeders each for 3rd & 4th Floor licensee to be planned & installed by 3rd or4th Floor (or both) licensee, with cost to be shared by both licensees on termsmutually agreed to both of them. DMRC will have no role to play in this aspect ofcost sharing between the Licensees. Further distribution from this LT paneloutgoing feeders to their respective areas is responsibility of respective individuallicensee and all cost related to this work to be borne by the same licensee.

g. In addition to the works mentioned above, the licensee for 4th Floor has to carry outall works for functioning of retail area on their own cost including outgoing feedersfrom common LT panel, cable trays, hangers in cable route, individual LT panelroom at respective floor and subsequent extension of power supply from individualLT panel room along with associated cabling, cable tray, earthing , common & retailshops internal wiring, lighting, power distribution etc.

h. Licensee has to integrate with already earthing system installed by DMRC. Twocommon points for earthing will be provided to individual licensee at basement levelitself in the existing METs of DMRC. All further work has to be carried out byLicensee at its own cost.

3.2 Reliability of Power supply/ Use of DG set :

a. Power Supply of DMRC is from reliable network which draws power from twodifferent 66 kV sources. In case of failure of one source, power can be fed fromsecond source. The power supply connection released for commercial activity isfrom single feeder from this available DMRC power network. Hence, for reliabilityof power supply, if desire, individual Licensee can install their own DG set at theirown cost, as DG power available in DMRC network will not be made available toLicensee(spare capacity is not available). DG set planned for this purpose shouldcover Licensee’s load requirement and same to be provided in line with guidelinesissued by DMRC (refer annexure-12-B).

b. Certain ventilation ducting along with installation of fans already exists in basementarea where installation of DG is required to be installed by Licensee. Licensee has tocheck & verify the same. For any addition / up-gradation/ subsequent extension /modification of the same to be carried out by Licensee at their own cost inaccordance with statutory requirements and stipulations of Fire & electrical safety.

c. Each Licensee has to plan(if required) at their own cost DG set, DG exhaust,earthing of DG system and associated panel & cabling system for feeding the DGpower to his own LT panel room at each floor. Please refer cl. No. 2.1b for allotmentof space for installation of DG set.

d. Licensees can also provide UPS / Inverter at their own cost in own premises, ifdesire or need arise.

3.3 Specifications for electrical work:

a. For any addition / up-gradation/ subsequent extension / modification of electricalpower system works carried out by Licensee, to be carried out in accordance withdetailed electrical specifications as per Annexure-12- C.

b. Licensee has to submit the plan of DG installation & smoke extraction system toDMRC and DMRC will check and approve the same so that the works undertakenare in line with safety norms of electrical & fire safety.

c. The dismantled accessories of existing work as defined in 1.1.a & c above, if any,needs to be handed over to DMRC.

d. The works executed by licensee shall be inspected by DMRC representative forensuring compliance of specifications / stipulations of contract and fulfillment ofsafety norms of electrical & fire safety.

e. At the end of the contract (pre-mature surrender/termination, natural completion,etc.) all facilities installed by DMRC ( refer 1.1.a & c) shall be sole property ofDMRC. Licensee has to handover these in good order & working condition. Thefacilities installed by Licensee will be his own property and Licensee has to removeall these from the site. If facilities installed by DMRC ( refer 1.1.a & c) have notbeen handed over in good working condition or Licensee found unable to remove hisown installed facilities , DMRC has the right to rectify / remove the same andrecover the corresponding cost from Licensee.

f. For carrying out any addition / up-gradation/ subsequent extension/ modificationwork by Licensee / any work related to construction/ finishing work , for which

power is required, licensee will apply for temporary electrical connection fromDMRC. Temporary connection is given for reasonable time period. Format ofapplication for seeking temporary connection and lists of documents required forsame is attached at Annexure-12-D.

g. Licensee after completion of all electrical and fire safety works in leased premises inall respect duly complied to all safety norms prescribed by DMRC as per Annexure-12-E, F & G, will apply for permanent electrical connection. After inspection andverification by DMRC representative to all compliance, Connection will beconverted in to permanent one.

h. If Licensee fails to complete the work as mentioned above in order to regularizetemporary connection in to permanent connection with in reasonable time, temporaryconnection will also be disconnected. For this Licensee will be solely responsible.

3.4 Electrical Metering:

a. Calibrated CT operated Energy meter having TOD facility as per Delhi Tariffschedule shall be installed at single point i.e. at individual outgoing feeder ofcommon LT panel at basement level for 4th Floor Licensee, with cost to be borne byLicensee. DMRC in any case will not provide meters to individual shops/ kiosk.

b. Electrical load will be sanctioned individually for individual feeder of 4th Floor atwhich meter is installed at basement and tariff will be based on individual sanctionedload.

c. Energy Meters including connected accessories/ meter box etc., in line withspecifications of DMRC to be procured, installed and commissioned by Licensee forhis own metering at his own cost.

d. Regular testing of all meters at defined interval will be responsibility of Licensee.

3.5 Tariff for Electrical Metering:

a. Rate of electricity for temporary or permanent electrical connection shall be chargedfrom licensee at whom concerned DISCOM would be charging, had they obtainedelectric connection from them as per prevalent tariff orders issued by DERC.

b. Tariff applicable shall be NDHT for LT load greater than 108 KVA and NDLTbelow 108KVA as per existing tariff order. However, same may change as perprevalent tariff orders.

3.6 Operation and Maintenance:Licensee has to operate and maintain entire electrical system under its jurisdictioni.e. entire electrical power system downstream from transformer along with DG setsand DG smoke extraction. For common LT panel, both 3rd & 4th floor Licensee hasto come to understanding and make one party responsible for same. Entire systemhas to be maintained in line with good maintenance practice to maintain entiresystem in safe & working condition.Licensee has to ensure that all the electrical work done within the Licensee premisesincluding wiring, power outlets and gadgets for power distribution & airconditioning system are used, operated and maintained properly for guarding againstshort circuits/fires and are as per the Indian Electricity Rule, 1956 and other

applicable laws, statutory provisions and standards in force at the time, and Licenseehas to indemnify DMRC against any loss accrued to the Licensee on this account.Further, the Licensee agrees that if there is any harm/loss to the property of DMRCor to any other third party due to fault in the electrical work, outlets or apparatuswithin the premises of the licensee, all the loss shall be borne by the licensee.

2 AIRCONDITIONING SYSTEM:

2.1 Availability

a. Licensee has to plan its his own air-conditioning system along with all associatedpumps, piping/ducting, cooling towers, cabling, etc. and fresh air, normal & smokeexhaust system including ducting, fans, dampers , staircase pressurization systemetc. as per their requirement, with all cost to be borne by Licensee.

b. Allotment of Space in Basement level for ECS Equipment, DG set & ElectricalPanel: The space for installation of equipment/plants etc. for ECS equipment & DG set

including panels by each of the licensee for each of the floor has beenallotted/enmarked out of the existing space available in the basement of D-21Building( refer Annexure-12-A).

The space for installation of common LT Panel for electrical power supply byeach of the licensee for each of the floor has been allotted/enmarked out of theexisting space available in the basement of D-21 Building ( refer Annexure-12-A).

The space for installation of Piping, cabling & smoke exhaust by each of thelicensee for each of the floor has been allotted/enmarked out of the existingspace available in the common shafts from basement to 3rd ,4th floor and rooftop of 4th floor of D-21 Building( refer Annexure-12- A).

c. Allotment of Space on the roof top of 4th Floor to 4th Floor Licensee:For meeting the service requirements for Basement, 1st & 2nd Floor of D-21Building, DMRC has installed Cooling towers of centralized air-conditioningsystem, outdoor (condensing unit) of VRV etc., DG exhaust & overhead watertanks on roof of 4th floor at D-21 building. Therefore, 4th floor licensee would alsobe permitted to install only the above equipments on the pattern of DMRC on theroof of 4th floor at D-21 building with the condition that in case DMRC constructadditional floor in future, then the licensee will be bound to shift the aboveequipments/utilities to the roof top of newly constructed additional floor in linewith building height clearance from Airport Authority of India (refer biddocument), with cost for shifting being born by Licensee at that point of time.Therefore, the licensee will be required to design & install their above mentionedequipments such that the same can be shifted on the roof top of newly constructedadditional floor without change of equipment. The licensee will not be permitted toinstall any other equipment on roof top of 4th Floor other than those mentionedabove.

DMRC will not bear the cost of shifting & associated modification related topipelines/cabling etc. and the change of equipment w.r.t. D-21 building. All costrelated to change of equipment (if required at that point of time due to licensee nottaking care of the same at the initial stage of installation) will have to be borne byLicensee.

d. Availability of water tank, RO plant and Booster pump for 4th Floor Licensee:Presently 5 nos. Water storage underground tanks each of 100KL consisting of 2nos. for Fire, 1 for raw water, 1 for domestic water and 1 for CT makeup water havebeen provided at D-21 building. Each licensee to take supply of water from existingraw tanks and thereby install their own RO/Water Softening Plant along with waterdistribution system for meeting requirement of treated water supply for ECS System(chilled water and condensing water requirement) & general requirement. WorksDepartment should decide the metering arrangement for water consumption of thelicensee. The space for installation of equipment/plants etc. for RO Plant & boosterpumps for water supply by each of the licensee for each of the floor has beenallotted/enmarked out of the existing space available in the basement of D-21Building( refer Annexure-12-A).

e. Overhead tank at terrace levelPresently 3 nos. Overhead tank each of 20 KL, one for domestic water, one for Firesprinkler and one for Cooling tower makeup tank have been provided at D-21building and same is sufficient to meet DMRC requirement only. Therefore, on thesimilar pattern, each of the licensee will have to install their respective overheadstorage tanks on roof of 4th floor for meeting their water requirement of differenttypes in consultation with DMRC works department.

f. Wall / structural opening & closingAll structural / wall / facade glass opening for electrical, DG, Air conditioning,smoke extraction, fresh air & normal exhaust works and their sealing aftercompletion of work with Fire resistant material in line with statutory requirement hasto be carry out by licensee at his own cost after DMRC approval. Licensee has tocarry out the work in such a way that opening does not adversely affect the structuredesign.

g. Any addition / up-gradation/ modification of existing requirement as defined aboveif required, are to be taken up subjected to technical feasibility and approval fromDMRC. If approved, same work can be carried out by Licensee with all cost to beborne by Licensee.

h. For meeting Air conditioning, fresh air, normal & smoke exhaust system, RO plant& water requirement, Licensee will have to plan/ design their own system /equipment in totality. Licensee is advised to have a site visit. Above works have tobe carried out by Licensee at its own cost. Licensee is required to submit its plan toDMRC and DMRC will check and approve the same so that the works undertakenare in line with safety norms of electrical & fire safety.

i. Licensee has to submit the specifications of equipments and scheme for the workcarried out to seek approval from DMRC.

j. The dismantled accessories of existing DMRC installations, if any, need to behanded over to DMRC.

k. Air conditioning & smoke extraction installed by Licensee to be integrated with Firealarm & control system made available by Licensee itself in such a way that in eventof fire, automatic smoke extraction system should work and air conditioning systemto put off automatically for that respective floor level.

Note:4. Annexure-12-A mention only proposed route/ path & placement of equipments.

However, Licensee has to plan all his works and carry out all detailed engg athis own cost. Licensee at any point can not claim to DMRC for anychange/modification of route/ placement of equipments after detailed engg.Thearea required for installation of above will also be considered as part of leasedout area issued to Licensee.

5. Instead of planning/installation of individual” DG set, ECS system, LT panel andRO plant” by each licensee of 3rd and 4th Floor, if mutually agreed combinedsystem of ” DG set, ECS system, LT panel and RO plant” to meet combinedrequirement of 3rd and 4th Floor can be planned by either 3rd or 4th floor ( both)licensee. The cost to be shared by both licensees on terms mutually agreed toboth of them. DMRC will have no role to play in this aspect of cost sharingbetween the Licensees.

6. Proposed area is tentative and Licensee has to make his own arrangement in thisproposed area only. However, area may vary as per vendor requirement onlywith DMRC consent.

2.2 Metering

No separate metering is envisaged as all system is installed by licensee and electricalload is taken from already sanctioned load.

2.4 Operation and Maintenance:Licensee has to operate and maintain their entire Air-conditioning, heating, water,RO system and mechanical system under its jurisdiction in line with goodmaintenance practice to maintain entire system in electrically & Fire safe and inworking condition.

3 Fire Alarm & Control System and Fire NOC:

a. Dedicated Fire alarm & control system for each floor has to be planned and installedby Licensee at his own cost.

Fire pipe line risers are available up to 3rd & 4th Floor and same to be used byLicensee for tap-off for hydrants and sprinkler. Although, installed system issufficient to take care up to 4th floor. Any addition/ up gradation / modification inthe existing Fire protection system as per statutory requirement for licensee retailplanning will have to be carried out by licensee at his own cost.

d. Licensee has to plan & install all further fire related works including Fire alarm &control system for each floor at his own cost. Licensee has to install repeater panel &mimic panel nearby to the space where DMRC existing FACP is installed and/oralong with already installed DMRC repeater and mimic panel so as to meet statutoryrequirement of DFS, with all cost to be borne by licensee.

e. No Fire NOC is available for 4th floor. Licensee has to plan & carry out all firesystem works to meet the statutory requirement of DFS at their own cost, got itverified by DMRC and seeks NOC from DFS department as per their retail planning.

f. Provision of portable fire extinguishers as per requirement to be provided byLicensee as per Annexure-12-H.

g. Basement area (planned for DG sets & ECS System and LT Panel room etc.) fireprotection system installation & maintenance is responsibility of 4th floor licensee athis own cost.

h. Putting up of signage for Emergency walkway/fire escape route/ refusearea/entrance/common area and their lighting, cleaning, maintenance and security isunder Licensee scope of work.

i. Licensee should not in any way obstruct or permit the obstructions of any emergencywalkway/fire escape route/ refuse area/entrance/common area within or outside theirpremises.

j. If the existing retail area structure / usage are required to be upgraded/ modified forcommercial reasons, the same has to be carried out by licensee at its own cost dulyensuring that entire work on completion meets statutory requirement on Fire safety& electrical safety including meeting with the specifications of DMRC electricalitems. The dismantled accessories etc., if any, needs to be handed over to DMRC.

Annexure-12-B

Guidelines for use of DG set by PD Licensee at Metro Stations(For Scheduled Spaces at 3rd and 4th Floor Level)

1. DG set shall be allowed only as standby power supply arrangement, after release ofpermanent supply.

2. Capacity of DG set should not be more than sanctioned load. DG set supply should be fedonly to essential loads.

3. Proper size cable should be laid as per capacity of DG set. Electrical drawings and layoutplans be got prior approval from DMRC/EIG.

4. Proper protection should be provided so that normal and DG supply are not mixed.

5. DG set should be silent type and noise and emission limits should be as per CPBC norms.

6. CPCB certificate of DG set should be submitted confirming the standards.

7. DG set should be installed in proper fencing/room so that inconvenience to commuters maybe avoided.

8. Proper fire protection and suppression system should be provided for DG set room. Clearanceshall have to be obtained from Fire Officer.

9. Proper maintenance of DG set should be carried out so that parameters are within CPCBlimits.

10. Proper separate double earthing of DG set for body and neutral should be provided as perfault calculation. Neutral earthing should of copper.

11. DG exhaust stack height should not be less than H=h+0.2√ (KVA), where H=height ofexhaust stack, h=height of building.

12. Diesel should only be stored in inbuilt tank of DG set.

13. Area allotted for DG set shall be billed for license fee.

14. EIG (Electrical Inspector General to Govt. of India) sanction is required before starting ofDG set. Inside metro premises, DMRC nominated officer act as EIG.

Annexure -12-C

SPECIFICATIONS FOR ELECTRICAL WORKS

1. Licensee is required to prepare all the plans/drawings for Electrical & Fire work to becarried by them and obtain prior approval of DMRC before execution. The work isrequired to be executed as per IE rules and through a licensed Sub Contractor. All costsassociated with provision of electricity will be borne solely by the licensee. The licenseehereby voluntarily and unequivocally agrees not to seek any claim, damages,compensation or any other consideration whatsoever on account of time and costassociated in making provision of electricity.

2. For Elevated station load up to 10 KVA shall given in single phase & in case ofunderground stations load upto 5KVA shall be given. Load above this shall only be givenin three phase. License is required to balance load at his end so that no unbalancing occursat DMRC end.

3. Cables upto 6 Sq.mm. will be of copper conductor and above 6 Sq.mm. Aluminumconductor may be used. However in case of underground station use of Aluminumconductor cable is not allowed. Cables for single phase shall be three core , with one coreas earth. For three phase load four core cable along with separate 2 nos. of 8 SWG GIwires shall be used for earthing. For underground stations 2 separate earth wire of 8 SWGcopper conductor shall be used.

4. For elevated stations all wires shall be FRLS. Cables shall be armoured, XLPE , FRLS. Incase of Underground stations all wires and cables shall be armoured , XLPE FRLSZH andconform to NFPA-70 ,BS-6724 and BS6724.

5. The meter box along with MCB & ELCB will be metallic and without any holes. DPMCB & ELCB is required for single phase supply. TPN MCB and ELCB are required incase of three phase. ELCB, cables, MCB rating for main connection shall be as per table-E-1.

6. Use of any PVC material is not permitted in the underground stations

7. Licensee will provide their proposed protection philosophy with proper discriminationwith upstream breaker and seek approval from DMRC.

8. Specification for all materials / works must follow the standards, codes and specificationsas used by DMRC in the E&M works. If any item/ equipment/ work is not covered instandards, codes and specifications of DMRC, then the same has to be procured / installedfrom reputed manufacturer/ make in line with relevant IS/IEC standard with prior approvalof DMRC.

9. In case, the licensee draws power more than the sanctioned load, electricity connectionmay be disconnected. The electricity connection will be restored on first occasion onlywhen licensee pays necessary penalty as per DERC norms and removes excess load. Onthe subsequent occasion, DMRC reserves the rights to revoke the license and forfeited theinterest free security deposit.

10. Only Galvanized Cable tray, Conduit, Cable Ladder shall be allowed.

11. Internal wiring of luminaries (Light Fittings) and Signage in signage’s panel shall also beFRLSZH in case of UG stations.

12. All Plastic accessories used in luminaries shall be non-flammable material, meeting all theNFPA requirements, preferable by UV and shall be suitable for application at UG stationconforming to UL – 94 standards on flammability of material.

The Applicant hereby agrees and undertakes:1. That the Applicant desires to have and agrees with DMRC to take supply of energy for the

above mentioned purpose, for a period of not less than two years from the date ofcommencement of supply and to pay for the energy so supplied and all other charges at therates set out in the concerned State Electricity Regulatory Commission’s Tariff Scheduleand the miscellaneous charges for supply as may be in force from time to time, includingadvance Consumption Deposit etc.

2. That the Applicant shall have no objection for the DISCOMs to carry out Inspections of theApplicants’ Meters & Equipments & Any Observation made by such Agencies, Which areacceptable to DMRC, shall be binding on the Applicant for Attention/Compliance.

3. That DMRC shall be entitled to disconnect the supply of energy by issuing a disconnectionnotice in writing, to the Applicant, if the Applicant is in default of payment of the duecharges.

4. That the applicant shall pay the full amount mentioned in the Monthly/Bi-monthlyConsumption Bill as raised by DMRC before the last date mentioned in such Monthly./Bi-monthly Bill. Licensee shall provide Test Report/Calibration report in regard to EnergyMeter installed. DMRC may ask Licensee to recalibrate the Energy Meter wheneverconsidered necessary.

5. That all or any taxes/duties, as may be levied on the supply of electricity to the Applicant byDMRC, shall be paid and borne by the Applicant.

6. That the Applicant agrees that DMRC would accept an application from the Applicant forreduction in load only after two years from the original sanction. All applications for loadenhancement by the Applicant would be dealt with by DMRC as a new connection andDMRC would follow the procedure as in the case of a new connection.

7. That DMRC shall have the right to recover the fixed charges due as per applicable tariff forthe remaining contracted period in case the contract is terminated prior to the expiry of thecontracted period.

8. That all the electrical work done within the Applicant’s premises including wiring, poweroutlets and gadgets for power distribution & air conditioning system are used, operated andmaintained properly for guarding against short circuits/fires and are as per the IndianElectricity Rule, 1956 and other applicable laws, statutory provisions and standards in forceat the time, and indemnify DMRC against any loss accrued to the Applicant on this account.Further, the Applicant agrees that if there is any harm/loss to the property of DMRC or toany other third party due to fault in the electrical work, outlets or apparatus within thepremises of the applicant, all the loss shall be borne by the Applicant.

9 That specification for all materials / works will follow the standards, codes andspecifications as used by DMRC in the E&M works. If any item/ equipment/ work is notcovered in standards, codes and specifications of DMRC, then the same will be procured /installed from reputed manufacturer/ make in line with relevant IS/IEC standard with priorapproval of DMRC.

10 To pay DMRC all costs and expenses that DMRC may incur by reason of a fresh serviceconnection being given to the Applicant.

11. To indemnify DMRC against all proceedings, claims, demands, costs, damages andexpenses that DMRC may incur by reason of a fresh service connection given to theApplicant.

12. To be bound by DMRC’s conditions of supply, and all applicable acts and rules.

13. That DMRC shall not be responsible for any interruption/diminution of supply.14. Others

14.1 Licensee will have to provide a Low voltage switch-board with MCBs & ELCB’s ofrequired capacity with Electronics Static Energy Meters having provision of MDI,TOD etc. of required capacity at his cost conforming to relevant BIS standards andof approved make along with test certificate shall be arranged by the applicant. Themeter shall be installed and sealed by DMRC, either within the premises of theapplicant or at a common meter room/board. Applicant shall not tamper with ordisturb the meter in any manner whatsoever, and shall be responsible for its safety.

14.2 DMRC shall provide supply, if available, at one fixed point as per DMRC plan. Allcabling work to tap off the supply from the fixed point and to avail it within hispremises shall be done by the applicant in line with scope of work provided byDMRC. Approval to the layouts/schemes/details shall be taken from DMRC O&Mwing.

14.3 Only FRLS /FRLSZH cable of required size shall be used for tapping off supplyfrom DMRC fixed supply to licensee premises in rigid GI Conduit pipe in line withspecifications of Electrical works provided to applicant by DMRC.

14.4 Licensee will also do wiring within his shop/stall by using GI conduit or fireresistance PVC casing/ caping. The Licensee shall use FRLS /FRLSZH copper wireof the required size in line with specifications of Electrical works provided toapplicant by DMRC (the wiring scheme, the type of wiring, size of wires, variousloads, plug point, light fan etc. shall be as per DMRC’s approval).

14.5 DMRC will provide Power Supply of single phase, 230V, 50Hz for a max.connected load up to 10kVA/5 KVA in line with specifications of Electrical worksprovided to applicant by DMRC. Electrical load requirement exceeding above willbe given on 3-phase, 415V, 50Hz subject to availability.

14.6 Licensee shall be given only normal power supply available in station premises.Licensee may use suitable voltage stabilizers and power factor correction equipmentas per his requirement. DMRC shall not be providing any standby power supplyfrom station DG set or UPS.

14.7 Licensee shall not be permitted to use any standby Diesel Generator Sets. Licenseewill only be the permitted to use standby UPS/Inverter system will also be taken as apart of total connected load.

14.8 The Total Demand Load& Total Connected load shall be treated as same. Licenseewill have to pay applicable demand charges as per the Total Connected Load Only.

14.9 Licensee shall use Energy efficient lighting& shall provide proper Lighting fixtures,Lamps, Electronic Ballast etc. Licensee shall provide uniform & good illuminationlevel not less that 100 Lux in any case.

14.10 Licensee shall use Brand/make Electrical wiring and switch gear items in line withspecifications of Electrical works provided to applicant by DMRC. The ElectricalContractor/agency at Licensee’s cost shall carry the entire work. DMRC’srepresentative may inspect and supervise the work.

14.11 Licensee shall provide proper Earthing connection as per the applicable standardsand shall terminate the same to the DMRC’s Distribution Board or to any other placeas directed by the DMRC. Installation Test Report issued by licensed electricalwiring contractor in the prescribed format (available with the application form) andcountersigned by the applicant shall be submitted by the Licensee. Every shop/property Development area must have enough fire Extinguisher as stipulated.

14.12 Licensee will not be allowed to provide Room Heating appliance of any kind.14.13. The power shall be supplied normally as per approved sanction load by DMRC.

Minimum load to be given shall be 2 KVA on which the demand charges asapplicable shall be paid by the Licensee. Additional power up to 10 kW on singlephase and thereafter on three phase system if required by the Licensee will besupplied subject to availability at an additional cost and conditions to be stipulatedby DMRC.

14.14. In case, Licensee draws power more than the connected load, his electricityconnection shall be disconnected. The electricity connection will be provided backon first occasion only when Licensee pays necessary penalty as per State ERC normsand removes excess load. On the subsequent occasion, DMRC reserves the right torevoke the license and forfeit the interest free security deposit.

14.15 In case, the Licensee is found misusing Electricity or tampering with the Energymeter, a token penalty of Rs. 1000/- will be charged from him along withdisconnection of power supply. Reconnection of power supply will be done onlyafter charging Rs. 100/- as reconnection fee and clearance of all dues duly obtainingapproval of Competent Authority of DMRC.

15. That the Applicant shall have no objection at any time to the rights of DMRC to supplyenergy to any other consumer from the service line or apparatus installed on the Applicant’spremises.

16. That the supply shall be used for the purpose that it has been sanctioned by DMRC and shallnot be misused in any way to serve any other purposes.

17. That the supply shall not be extended/sublet to any other premises.18. That the Applicant’s industry/trade has not been declared to be obnoxious,

hazardous/pollutant by any Government agency and that no court orders are being infringedby grant of applied electricity connection at the Applicant’s premises.

19. That DMRC shall be at liberty to adjust the electricity consumption charges along with anyother charges against the consumption deposit paid by the Applicant, in the event oftermination of the agreement prior to the expiry of the contracted period or in case of anycontractual default.

20. That DMRC shall be at liberty to transfer the dues remaining unpaid by the Applicant, afteradjusting the advance consumption deposit, to other service connections(s) that may stand inthe Applicant’s name.

21. To allow clear and unencumbered access to the meters for the purpose of meter reading,maintenance, inspection, checking, testing etc.

22. That DMRC shall be entitled to disconnect the service connection under reference in theevent of any default and /or non-compliance of contractual and / or statutory requirements,and/or in consequence of legally binding order by statutory authority(ies)/court of Law,without prejudice to the DMRC’s rights to exercise its rights under law including that ofgetting its due payments as on the date of connection. The Applicant undertakes to paypenalty imposed by DMRC on its own discretion for the damages caused to the leasedproperty on account of any default or non-compliance of any statutory requirements.

23. That all details furnished in this Requisition form are true to the Applicant’s knowledge. Ifany information is found incorrect at a later date, the company will have the right towithhold/disconnect supply, as the case may be, and forfeit the advance consumptiondeposit.

24. The applicant acknowledges and accepts that the relationship of the applicant with DMRC isnot that of a consumer and a licensee but that of a commercial arrangement where theapplicant has taken on lease/license premises of DMRC and the Electricity connection isbeing provided as a part of the above arrangement.

That the Applicant is an occupant of the premises No.______________ at _______________having taken the premises from DMRC on the terms and conditions agreed to with DMRCwhich include that DMRC may supply electricity as a part of the lease or license of thepremises, based on the commercial arrangement.

The Applicant has requested the DMRC to provide an electricity connection at the above-mentioned premises in the Applicant’s name for the purpose mentioned in the application form.

The Applicant hereby agrees and undertakes:

1. That the Applicant desires to have and agrees with DMRC to take supply of energy for theabove mentioned purpose, for a period of not less than two years from the date ofcommencement of supply and to pay for the energy so supplied and all other charges at therates set out in the concerned State Electricity Regulatory Commission’s Tariff Scheduleand the miscellaneous charges for supply as may be in force from time to time, includingadvance Consumption Deposit etc.

2. That the Applicant shall have no objection for the DISCOMs to carry out Inspections ofthe Applicants’ Meters & Equipments & Any Observation made by such Agencies, Whichare acceptable to DMRC, shall be binding on the Applicant for Attention/Compliance.

3. That DMRC shall be entitled to disconnect the supply of energy by issuing adisconnection notice in writing, to the Applicant, if the Applicant is in default of paymentof the due charges.

4. That the applicant shall pay the full amount mentioned in the Monthly/Bi-monthlyConsumption Bill as raised by DMRC before the last date mentioned in such Monthly./Bi-monthly Bill. Licensee shall provide Test Report/Calibration report in regard to EnergyMeter installed. DMRC may ask Licensee to recalibrate the Energy Meter wheneverconsidered necessary.

5. That all or any taxes/duties, as may be levied on the supply of electricity to the Applicantby DMRC, shall be paid and borne by the Applicant.

6. That the Applicant agrees that DMRC would accept an application from the Applicant forreduction in load only after two years from the original sanction. All applications for loadenhancement by the Applicant would be dealt with by DMRC as a new connection andDMRC would follow the procedure as in the case of a new connection.

7. That DMRC shall have the right to recover the fixed charges due as per applicable tarifffor the remaining contracted period in case the contract is terminated prior to the expiry ofthe contracted period.

8. That all the electrical work done within the Applicant’s premises including wiring, poweroutlets and gadgets for power distribution & air conditioning system are used, operatedand maintained properly for guarding against short circuits/fires and are as per the IndianElectricity Rule, 1956 and other applicable laws, statutory provisions and standards inforce at the time, and indemnify DMRC against any loss accrued to the Applicant on thisaccount. Further, the Applicant agrees that if there is any harm/loss to the property ofDMRC or to any other third party due to fault in the electrical work, outlets or apparatuswithin the premises of the applicant, all the loss shall be borne by the Applicant.

9. That specification for all materials/ works will follow the standards, codes andspecifications as used by DMRC in the E&M works. If any item/ equipment/ work is notcovered in standards, codes and specifications of DMRC, then the same will be procured /installed from reputed manufacturer/ make in line with relevant IS/IEC standard withprior approval of DMRC

10. To pay DMRC all costs and expenses that DMRC may incur by reason of a fresh serviceconnection being given to the Applicant.

11. To indemnify DMRC against all proceedings, claims, demands, costs, damages andexpenses that DMRC may incur by reason of a fresh service connection given to theApplicant.

12. To be bound by DMRC’s conditions of supply, and all applicable acts and rules.13. That DMRC shall not be responsible for any interruption/diminution of supply.

14. Others14.1 From the DMRC DB to main MCB / MCB of shops only XLPE insulated armored

copper conductor LSZH cables shall be used. Licensee will have to provide a Lowvoltage switch-board with MCBs& ELCB’s of required capacity with ElectronicsStatic Energy Meters having provision of MDI, TOD etc. of required capacity athis cost conforming to relevant BIS standards and of approved make along withtest certificate shall be arranged by the applicant. The meter shall be installed andsealed by DMRC, either within the premises of the applicant or at a common meterroom/board. Applicant shall not tamper with or disturb the meter in any mannerwhatsoever, and shall be responsible for its safety.

14.2 DMRC shall provide supply, if available, at one fixed point as per DMRC plan. Allcabling work to tap off the supply from the fixed point and to avail it within hispremises shall be done by the applicant. Approval to the layouts/ schemes/ detailsshall be taken from DMRC O&M wing. The licensee hereby voluntarily andunequivocally agrees not to seek any claim, damage, compensating or any otherconsideration what so ever on account of time and cost associated in makingprovision of electricity.

14.3 That the use of any PVC material is not permitted in the underground stations.

14.4 Licensee will also do wiring within his shop/stall/KIOSK by using GI conduit. TheLicensee shall use FRZHLS copper wire of the required size (the wiring scheme,the type of wiring, size of wires, various loads, plug point, light, fan etc. shall be asper DMRC’s approval).

14.5 DMRC will provide Power Supply of single phase, 230V, 50Hz for a max.connected load up to 10 KW, Electrical load requirement exceeding 10 KW will begiven on 3-phase, 415V, 50Hz subject to availability.

14.6 Licensee shall be given only normal power supply available in station premises.Licensee may use suitable voltage stabilizers and power factor correctionequipment as per his requirement. DMRC shall not be providing any standbypower supply from station DG set or UPS.

14.7 Licensee shall not be permitted to use any standby Diesel Generator Sets. Licenseewill only be the permitted to use standby UPS/Inverter System with maintenancefree battery. The Load of such standby UPS/Inverter system will also be taken as apart of total connected load.

14.8 The Total Demand Load & Total Connected load shall be treated as same.Licensee will have to pay applicable demand charges as per the Total Connectedload only.

14.9 Licensee shall use Energy efficient lighting & shall provide proper Lightingfixtures, Lamps, Electronic Ballast etc. Licensee shall provide uniform & goodillumination level not less than 100 Lux in any case.

14.10 Licensee shall provide proper Earthing connection as per the applicable standardsand shall terminate the same to the DMRC’s Distribution Board or to any otherplace as directed by the DMRC. Installation Test Report issued by licensedelectrical wiring contractor in the prescribed format (available with the applicationform) and countersigned by the applicant shall be submitted by the Licensee.

14.11 Fire Extinguisher: Every shop/ property Development area must have enough fireExtinguisher as stipulated.

14.12 Licensee will not be allowed to provide Room Heating appliance of any kind.14.13 The power shall be supplied as per sanctioned load approved by DMRC. Minimum

load to be given shall be 2 KVA on which the demand charges as applicable shallbe paid by the Licensee. Additional power up to 5 KVA on single phase and thereafter on three phase system if required by the Licensee will be supplied subject toavailability at an additional cost and conditions to be stipulated by DMRC.

14.14 In case, Licensee draws power more than the connected load, his electricityconnection shall be disconnected. The electricity connection will be provided backon first occasion only when Licensee pays necessary penalty as per State ERCnorms and removes excess load. On the subsequent occasion, DMRC reserves theright to revoke the license and forfeit the interest free security deposit.

14.15 In case, the Licensee is found mis-using Electricity or tampering with the Energymeter, a token penalty of Rs.1000/- will be charged from him along withdisconnection of power supply. Reconnection of power supply will be done onlyafter charging Rs. 100/- as reconnection fee and clearance of all dues dulyobtaining approval of Competent Authority of DMRC.

15. That the Applicant shall have no objection at any time to the rights of DMRC to supplyenergy to any other consumer from the service line or apparatus installed on theApplicant’s premises.

16. That the supply shall be used for the purpose that it has been sanctioned by DMRC andshall not be misused in any way to serve any other purpose.

17. That the supply shall not be extended/sublet to any other premises.18. That the Applicant’s industry/trade has not been declared to be obnoxious,

hazardous/pollutant by any Government agency and that no court orders are beinginfringed by grant of applied electricity connection at the Applicant’s premises.

19. That DMRC shall be at liberty to adjust the electricity consumption charges along withany other charges against the consumption deposit paid by the Applicant , in the event oftermination of the agreement prior to the expiry of the contracted period or in case of anycontractual default.

20. That DMRC shall be at liberty to transfer the dues remaining unpaid by the Applicant,after adjusting the advance consumption deposit, to other service connection(s) that maystand in the Applicant’s name.

21. To allow clear and unencumbered access to the meters for the purpose of meter reading,maintenance, inspection, checking, testing, etc.

22. That DMRC shall be entitled to disconnect the service connection under reference in theevent of any default and/or non-compliance of contractual and / or statutory requirements,and/or in consequence of a legally binding order by statutory authority(ies)/Court of Law,without prejudice to the DMRC’s rights to exercise its rights under law including that ofgetting its due payments as on the date of connection. The Applicant undertakes to paypenalty imposed by DMRC on its own discretion for the damages caused to the leasedproperty on account of any default or non-compliance of any statutory requirements.

23. That all details furnished in this Requisition form are true to the Applicant’s knowledge. Ifany information is found incorrect at a later date, the company will have the right towithhold /disconnect supply, as the case may be, and forfeit the advance consumptiondeposit.

24. The applicant acknowledges and accepts that the relationship of the applicant with DMRCis not that of a consumer and a licensee but that of a commercial arrangement where theapplicant has taken on lease/license a premises of DMRC and the Electricity connection isbeing provided as a part of the above arrangement.

The applicant further agrees that this declaration given by him will be construed as anagreement with the DMRC to the above effect.

Kiosks: This category includes ATMs, Retails Outlet provided as bare space for a maximumarea of 100 Sq m. Under this category, only fire Extinguishers are required is detailed in belowin table -1

For bigger spaces, licensee is required to plan & carry out all fire system works to meet thestatutory requirement of DFS at their own cost and got it verified by DMRC.

2. Licensee shall commission, manage, operate, maintain, market and sub-license built-up& Bare shell structure in DMRC stations as specified in this Agreement at its own cost.

DMRC has agreed to provide to the Licensee the licensed space on “as is where isbasis”, herein after referred to as spaces, as mentioned below on the terms andconditions hereunder contained in this License Agreement.

3. This License is for a period of …………………. years from the date of commencementof License Agreement, unless otherwise terminated/surrendered earlier.

6. The Licensee is also required to make payments of License Fee & other dues as perLicense Agreement and applicable taxes to DMRC.

7. The Licensee shall also: -a) bear and pay all expenses, costs and charges incurred in the fulfilment of all its

obligations under the License Agreement ;andb) not assign or create any lien or encumbrance on the License Agreement hereby

granted or on the whole or any part of the Project Facility nor transfer, or partpossession therewith save and except as expressly permitted by this Agreement.

8. The Licensee is required to furnish an unconditional irrevocable Bank Guarantee for anamount of Rs. _______________ (Rupees _____________________________ only) i.e.equal to half the annual license fee applicable for next financial year, as security for theperformance and fulfillment of all its responsibilities and obligations as per the LicenseAgreement. The Licensee has requested the Guarantor to issue the said Bank Guaranteein favour of DMRC.

9. Now, therefore at the request of the Licensee, the Guarantor has agreed to execute thisGuarantee in favour of DMRC for the due payment of Rs._________________ (Rupees_______________________________ only).

NOW, THEREFORE, THIS BANK GUARANTEE WITNESSETH AS FOLLOWS: -

1. The Guarantor, as primary obligor shall, without demur, reservation, contest, recourse orprotest and/or without reference to Licensee, pay to DMRC an amount not exceedingRs._________ (Rupees ___________________ only), on the same working day of receipt ofa written demand from DMRC, calling upon the Guarantor to pay the said amount andstating that the Bank Guarantee provided by the Licensee has been forfeited.

2. The Guarantor agrees that DMRC shall be the sole judge to decide as to whether theLicensee has defaulted in the performance of its obligations as per the License Agreement,and the decision of DMRC in this regard shall be final and binding on the Guarantor,notwithstanding any differences in this regard between DMRC and the Licensee or anydispute pending before any Court, Tribunal Arbitrator or any other Authority.

3. Any such demand made on the Guarantor by DMRC shall be conclusive, absolute, final andbinding on the Guarantor, and the amount due and payable by the Guarantor under thisGuarantee shall be honored by the Guarantor, simply on demand, without demur,reservation, contest, protest, recourse whatsoever and without need for ascribing any reasonto the demand. The liability of the Guarantor under this guarantee is absolute andunequivocal. The above payment shall be made without any reference to the Licensee or anyother person.

4. This Guarantee shall be irrevocable, valid and remain in full force till the end of the LicensePeriod, or for such extended period as may be mutually agreed between DMRC and theLicensee, and shall continue to be enforceable till all amounts under this Guarantee are paid.The said Guarantee shall be released by DMRC after the expiry of the License Period

subject to fulfillment of all handover requirements by the Licensee, to the satisfaction ofDMRC and further subject to adjustment for all damages suffered by DMRC.

5. This Guarantee is unconditional and irrevocable till such time DMRC discharges thisguarantee by issuing a letter to the Guarantor in this behalf.

6. The Guarantor undertakes to pay the amount mentioned herein as principal debtor and not asurety and it shall not be necessary for DMRC to proceed against the Licensee beforeproceeding against the Guarantor, notwithstanding the fact that DMRC may have obtainedor obtains from the Licensee, any other security which at the time when proceedings aretaken against the Guarantor hereunder, is outstanding and unrealized.

7. The obligations of the Guarantor shall not be affected by any variations in the terms andconditions of the License Agreement or other documents or by extension of time ofperformance of any obligations granted to the Licensee or postponement / non-exercise /delayed exercise of any of its rights by DMRC against the Licensee or any indulgenceshown by DMRC to the Licensee, and, the Guarantor shall not be relieved from itsobligations under this Bank Guarantee on account of any such variation, extension,postponement, non exercise, delayed exercise or omission on the part of DMRC or anyindulgence by DMRC to the Licensee to give such matter or thing whatsoever which underthe law relating to sureties would, but for this provision, have effect of so relieving theGuarantor.

8. The Guarantee shall not be affected by any change in the constitution or winding up of theLicensee/the Guarantor or any absorption, merger or amalgamation of the Licensee / theGuarantor with any other person.

9. The Bank agrees that DMRC at its option shall be entitled to enforce this guarantee duringits currency against the bank as a Principal Debtor in the first instance without proceedingagainst the Licensee and notwithstanding any security or other guarantee that DMRC mayhave in relation to Licensee’s liabilities.

10. The guarantee hereinbefore contained shall not be affected by any change in the constitutionof the Bank or of the Licensee.

11. The expressions “Bank” and “Licensee” hereinbefore used shall include their respectivesuccessors and assigns.

12. The Courts at Delhi shall have exclusive jurisdiction to adjudicate on any or all matterarising under this Guarantee.

13. The Guarantor declares that it has power to issue this Guarantee and discharge theobligations contemplated herein and the undersigned is duly authorised to execute thisGuarantee.

14. This guarantee shall come into effect forthwith and shall remain in force up to_________________ or the extended period if any and shall not be revoked by theGuarantor at any time without DMRC’s prior consent in writing. This Guarantee is valid fora period of __________ Months from the date of signing.
