Supply of office stationery articles to the office of the CGMT, Assam Telecom Circle

Sealed tenders are invited on behalf of the Chief General Manager Telecom, Assam Telecom Circle, Panbazar,Guwahati.-1.from reputed firms for supply of office stationery articles to the office of the Chief General Manager Telecom , Assam Telecom Circle, Guwahati-781001 ..

Tender document set will be supplied by ADT(Genl), O/o The CGMT, Assam Telecom Circle, Panbazar,Guwahati-781001 on all working days between 1100hrs. to 1600hrs. From 15-09-09 to 07-10-09 producing DD/Banker Cheque/Cash receipt of Rs 500.00( Five hundred) only for tender papers/document in favour of “ AO (A&P), BSNL, O/o CGMT, Assam Telecom Circle, Panbazar, Guwahati-781001”.

N.B. If for any reason (e.g. a holiday or bandh day), the office remains closed on the date of opening

stated above, the Tender opening date will automatically shift to the next working day. The timings and venue will remain unchanged.

TERMS & CONDITIONS

Supply of office stationery articles to the office of the CGM, BSNL, Assam Circle

No Genl-2009/Tender/Stationary/Pt -VII/08-09 Date: 05-09-09

B-1 Purpose of this Tender

For supply of office stationary articles to the office of the Chief General Manager Telecom, Assam Telecom Circle, Guwahati-781001.

B-2 A Few Definitions of terms used throughout the Tender Document Set

i) In the Tender Document Set the Assam Telecom Circle, M/s Bharat Sanchar Nigam Limited, is also referred to as simply “BSNL”.

ii) “Bidder” means the individual or Organization who offers bid for getting selected for undertaking

the works through the Tender process.

iii) “Contract Price” means the price(s) payable to the SUPPLIER for the full and proper

performance of his / her contractual obligations.

B-3 Basic Terms :

i) The Notice Inviting Tender, the Terms & Conditions Sections, the Agreement and Annexures etc. constitute the Tender Document Set.

ii) The Chief General Manager Telecom, Assam Telecom Circle reserves the right to accept or reject any Tender offer. The Chief General Manager Telecom, Assam Telecom Circle is not bound to accept only the lowest price offer.

iii) The SUPPLIER must abide by ALL the terms and conditions laid down in the Tender Document Set.

i) Earnest Money, ( non interest bearing ) in the form of Bank Draft / Banker’s cheque for Rs. 11,450/- ( Rupees Eleven thousand Four Hundred Fifty) from any Nationalized Bank drawn in favour of “ AO ( A&P ), O/O CGMT, Assam Telecom Circle, Guwahati-781001” and the same in original is to be attached with the Technical Bid part of the tender documents..

ii) Any Tender offer not accompanied with the prescribed EMD would be rejected and would not be considered further.

iii) The EMD will not carry any interest while in custody with the BSNL.

iv) The Earnest Money Deposit of Tenderers shall be refunded within a reasonable time, not later than six ( 6 ) months from the date of opening of the Tender.

B-4 Submission of Security Deposit and Signing of Agreement :

i) On finalization of the Tender, a Letter of Intent ( LOI ) would be issued to the successful Tenderer.

ii) Within ten ( 10 ) days of issue of the Letter of Intent the successful Tenderer will have to provide a Security Deposit in the form of Demand Draft/Banker’s cheque in favour of “ AO ( A&P ), BSNL, O/O CGMT, Assam Telecom Circle, Guwahati-781001”, for Rs. 22,900 /- ( Rupees Twenty Two

Thousand and Nine Hundred ) only. The Security Deposit will not carry any interest while in custody with the BSNL

iii) Within seven ( 7 ) days of submission of the Security Deposit the successful Tenderer shall be

obliged to enter into an “Agreement” with the Chief General Manager,BSNL, Assam Circle.

iv) All incidental expenses upto signing of the Agreement shall be borne by the SUPPLIER.

v) The Contract would come into force from the date of signing of the Agreement.

B-5 Tenderer’s Eligibility and Credential :

(i) The Tenderer must have valid Trade License for 2008-09 issued by the competent authority in Assam. (ii) The Tenderers must have experience in supply of the stationery items on a similar scale for at least

2(two) years for 2007-08 & 2008-09 and supply of such materials of Rs.2 Lackhs in last 2(Two) years(Supporting documents are to be furnished with the tender ).

(iii) The tenderer must not have any sum/sums of money outstanding against him/her which are presently due and payable to the BSNL Assam Circle or any other unit of BSNL

(iv) No near relative of any BSNL employee is engaged/associated, proposed to be engaged/associated with the Tenderer during the tenure of the Contract.

(v) The Tenderer was not removed from any other Contract with any Units of BSNL in last two (2) years ( 07-08 & 08-09)

(vi) The Tenderer must not be under blacklisting with any Unit of BSNL.

B-6 Period of Contract :

Validity of the tender is one year from the date of acceptance subject to a maximum extension for 6 months beyond above mentioned in exigencies.

B-7 Validity period of Rates quoted & rates finalized in the Tender :

i) The Tender offer submitted shall remain irrevocable and open for acceptance for a minimum period of ninety ( 90 ) days from the date of opening of the Tender.

ii) Any Tender offer valid for a shorter period shall be rejected as a non-responsive tender.

iii) The rate(s) finalized in the Tender shall remain valid for the entire period of Contract from the date of signing of the Agreement.

B-8 Quoting Prices :

The rate should be quoted both in figures and in words including of all taxes/packing/forwarding and delivery charges upto the premises of the indenting officers in the office of the CGMT, BSNL, Guwahati.

B-9 Payment Schedule :

i) All payments shall be made by cheque in Indian Rupees.

B-10 Suspension, Revocation or Termination of the Contract :

i) BSNL reserves the right to suspend the operation of the Contract, at any time, on the directions of the competent authority.

a) Provided that BSNL shall not be responsible for any damage or loss caused or arisen out of aforesaid action.

b) Provided further that the suspension of the Contract shall not be a cause or ground for extension of the period of the Contract and suspension period will be taken as period spent. No charges for use of the facility of the SUPPLIER shall be payable by BSNL.

ii) BSNL may, without prejudice to any other remedy available for the breach of any conditions of the Contract, by a written notice of 1 month issued to the SUPPLIER, terminate the Contract if, :

a) the SUPPLIER fails to perform any of its obligation(s) under the Contract &/or,

b) the SUPPLIER if fails to replace the defective items within the time specified,

c) In case of failure in execution of the orders whether on verbal/written purchase orders etc., the security money shall stand forfeited along with termination of the contract.

iii) It shall be the responsibility of the SUPPLIER to maintain the Quality of ITEMS, even during the period when the notice for surrender / termination of the Contract is pending. If the Quality of MATERIALS is not maintained, during the said notice period, it shall be treated as material breach liable for termination at risk and consequent of the SUPPLIER and the security deposit shall be forfeited.

iv) Return of SECURITY DEPOSIT on Termination of Contract :

On expiry or termination or surrender of the Contract, the Security Deposit shall be released to the SUPPLIER within 3 (three) months from the date of last bill payment after ensuring clearance of all dues, if any, which the SUPPLIER is liable to pay to the BSNL. Security Deposit will carry no interest while in custody with the BSNL

B-11 Penalty Provisions :

i) In case the successful Tenderer, after receiving the LOI, fails to submit the security deposit within the stipulated time period (see section B-4), the LOI will stand automatically cancelled without any further reference or notice and the EMD of the Tenderer concerned shall automatically be forfeited.

ii) Failure to sign the Agreement within specified time (see Section B-4) will result in outright cancellation of the LOI and the EMD of the tenderer concerned shall automatically be forfeited without any further reference or notice.

iii) In case of any breach in terms and conditions of the Agreement by the SUPPLIER or in case of loss suffered by BSNL due to failure of service on part of the SUPPLIER, BSNL may encash any or all Security Deposit available with it without prejudice to its rights of any other remedy, BSNL may also debar the SUPPLIER for future dealings with BSNL for any other Contract.

iv) In case the SUPPLIER unable to supply the whole ordered items ( where printing is not required) within 10 (ten) days and the items ( where printing is required) within 25 ( twenty five) days from the date of receipt purchase order then LD may be deducted @ 0.5% every week upto 10 weeks thereafter @ 0.7% after permissible grace period from the total amount of the bill against the particular order.

B-12 Disputes and Arbitration :

i) Any question, dispute or differences arising out of or in connection with the Agreement or breach, termination or validity thereof, shall be first endeavored to be settled through discussion or negotiations between the SUPPLIER and the BSNL.

ii) If any dispute cannot be amicably settled, either party, as soon as practicable, but not earlier than three months after a request to settle the dispute amicably has been made to the other party, give to the other party notice in writing of existence of such question, dispute or difference, specifying the nature and the point at issue.

iii) In the event of any doubt, dispute or differences arising under this Tender agreement or in connection wherewith except as to matters the decision on which is specifically provided under the Terms and Conditions of this Tender, the same shall be referred to the sole arbitration of the Chief

General Manager, Assam Telecom Circle or any other person appointed by him as the ARBITRATOR.

iv) No objection to any such appointment shall be entertained on the ground that the Arbitrator is a Government servant or an employee of M/s BSNL. However, the Arbitrator will not be the one who had an opportunity to deal with the matter to which the Agreement relates to or that in course of his/her duties has expressed his/her view, on all or any of the matters in dispute or in difference.The award of the Arbitrator shall be final and binding on the parties.

v) In the event of such Arbitrator, to whom the matter was originally referred to, being transferred or vacating his office due to death, resignation, or refusal to work or neglecting his/her work or being unable to act as Arbitrator for any reason whatsoever, the Chief General Manager, Assam Telecom Circle, shall appoint another person to act as the Arbitrator in place of the outgoing Arbitrator in accordance with the terms of the Contract Agreement and the person so appointed shall be entitled to proceed with the reference from the stage at which it was left by his predecessor.

vi) All incidental expenses in the arbitration proceedings will be borne by the party as decided by the Arbitrator.

vii) The Arbitrator may, from time to time, with the consent of parties, enlarge the time for making and publishing the award of Arbitration. Upon any such reference, the assessment of the costs incidental to the reference and award respectively shall be in the discretion of the Arbitrator.

viii) Subject to the aforesaid provisions, the Arbitration & Conciliation Act, 1996 and the rules made thereunder and any stipulation / modification for the time being in force shall be deemed to apply to the Arbitration proceedings.

ix) The venue of the Arbitration proceedings will be Guwahati.

x) Any dispute, which cannot be settled by the Arbitration process, is judicable in the courts within the jurisdiction of Gauhati High Court only.

B-13 Force Majeure Clause :

1. If at any time, during the continuance of this Contract, the performance in whole or in part by either party of any obligation under this Contract be prevented or delayed by reason of

a) Any war or hostility,

b) Acts of public enemy, civil commotion, sabotage, explosions,

c) Effects of flood, epidemics, quarantine restrictions, freight embargoes,

d) General strikes, Bandhs,

e) Acts of God.

-- hereinafter referred to as the EVENT, neither party shall, by reason of such EVENT, be entitled to

terminate this Contract, nor shall any party have any claim to the damages against the other in respect of such non-performance or delay in performance, - provided that notice of happening, of any such EVENT is given by either party to the other within 7 (seven) days from the date of occurrence of such EVENT.

2. If a Force Majeure EVENT occurs, the SUPPLIER shall promptly notify the BSNL in writing of such

conditions and the cause thereof. Unless otherwise directed by the BSNL in writing, the SUPPLIER shall continue to perform its obligations under the contract as far as reasonably practicable and shall seek all reasonable alternative means for performance not prevented by the Force Majeure EVENT.

3.Expected Work and deliveries under this Contract shall resume as soon as practicable after such EVENT

comes to an end or ceases to exist. The decision of the Chief General Manager, Assam Telecom Circle as to whether the situation has become normal or not, shall be final and conclusive.

4. If the performance in whole or part of any obligation under this Contract is prevented or delayed by reason of any such EVENT for a period exceeding 60 (sixty) days, either party may, at his / their

option, terminate this Contract

B-14 Instructions regarding submission of Tender Bid :

i) The Tender Document Set is not transferable.

ii) Canvassing in any form is forbidden and will amount to disqualification.

iii) Please study the Tender Document Set carefully before filling up forms for Tender Offer &/or signing by the authorized signatory.

iv) Please use only Deep-Blue Ink pen / roller ball pen to fill in and signing of Tender Offer.

v) All fill-in entries must be in BLOCK CAPITALS without any smudging &/or overwriting. All corrections must be initialed by the Authorized signatory.

vi) The Tender Bid must be submitted in the format specified in the SECTIONS D, F, Annexure-I, Annexure-II,G,Annexure-III( A,B,C.D) of the Tender Document Set without any exception /

alteration of format.

vii) While filling in the Tender Bid forms, strike out whatever is not applicable, wherever alternatives are specified in the formats in SECTIONS – F, Annexure-I ,Annexure-II

No other part of the Tender Document Set should be tampered with in any way.

viii) In the Financial Bid all prices / rates must be quoted both in figures and words.

ix) Submission of the Tender Offer signifies that the Tenderer has gone through the Tender Document, has understood the meaning of each of the terms and conditions of the Tender, and that the Tenderer is agreeable to ALL the terms and conditions of the Tender Document Set.

x) The Tender offer submitted must not contain any ambiguity. In case of any ambiguity in the price offer, the amount quoted in words shall be considered.

xi) Declaration : The Tenderer shall enclose an affidavit duly sworn / declared before a 1st class

Magistrate to the effect that :

a) The Tenderer does not have any sum / sums of money outstanding against him / her which are presently due and payable to the Assam Telecom Circle or any other unit of M/s Bharat Sanchar Nigam Ltd.

b) The Tenderer does not have a past record of non-performance with M/s Bharat Sanchar Nigam Ltd. for any other Contracts.

c) The Tenderer was not removed from any other Contract with any other Unit of BSNL / DOT / MTNL in the last two (2 ) years.( 07-08 & 08-09)

d) No near relative of any BSNL employee is engaged/associated, proposed to be engaged / associated with the Tenderer during the tenure of the Contract.

The term “near relative” includes :

(I) Members of Hindu Undivided Family.

(II) Husband, Wife, Father, Mother, Son (s), Son’s wife ( daughter in law ), Daughter (s), Daughter’s Husband ( son in law ), Brother (s), Brother’s wife, Sister(s) & Sister’s Husband ( brother in law).

xii) If the Tenderer wishes that any of his / her authorized representative be present during the Tender Opening, such representative must present the Tender opening presiding officer on behalf of BSNL, duly filled in and signed application form as per format specified in SECTION – D of the Tender

Document Set.

Xiii) Tender Offer Envelope Content, Marking & Sealing :

a) Marking : All the envelopes containing the Tender offer shall be boldly superscribed on the

outside as :“Tender for supply of stationery items – Guwahati”.

and the NIT Ref No. No Genl-2009/Tender/Stationary/Pt -VII/09-10 Date: 05-09-09 .The name of the Tenderer shall be typed / printed at the bottom left corner of the envelope.

b) All the envelopes, including the Financial Bid envelope, shall be addressed to :

AGM (Admn ),BSNL

O/o the CGMT, Assam Telecom Circle,

3 rd.FloorAdministrative Building, Panbazar, Guwahati – 781 001

c) SUBMISSION OF BIDS:INSTRUCTIONS REGARDING.

The bidder shall submit the Bids in the following manner:-

i) Envelove-A will contain EMD Rs.11,450/-(Rupees Eleven Thousand Four Hundred Fifty)only

in the form of DD/Banker Cheque and will be superscripted as “ Technical Bid( EMD)”.

ii) Envelope-B shall contain all the relevant documents in support of their eligibility condition as listed under B-5( page no 4/15) and will be superscripted as “TECHNICAL BID”.

iii) Envelope –C will contain Price Bid(FINANCIAL BID) in the respect format Bid Section-G and will be superscripted “PRICE/COMERCIAL BID”.

iv) Envelope-D will contain envelope A,B & C and will be superscripted as “TENDER FOR SUPPLY OF OFFICE STATIONERY ARTICLES FOR THE YEAR 2009-10”.

v) No open /loose documents will be accepted.All the above documents should be put under WAX SEALED COVERS and thereafter all the three envelopes namely A ,B, C should be put in a 4

th Envelove( D ) slidly bigger size such that the sealed envelope do not get damage

during the process of handling. The Bidders are therefore instructed to ensured proper sealing the all the envelopes including the 4

th outer envelope so as as to avoid any damage the

seals.All the envelopes both inner and outer shall be superscripted as “TENDER FOR SUPPLY OF OFFICE STATIONERY ARTICLES FOR THE YEAR 2009-10”.

d) Tender Offers received incomplete, &/or received in unsealed covers &/or not conforming to the method of submission described above, will not be considered / evaluated further.

xiv) Depositing Tender : Sealed Tender offer has to be dropped in the Tender box kept in the

chamber of AGM ( Admn ), O/o CGMT, Assam Telecom Circle, 3 rd. floor Administrative Building, Panbazar, Guwahati – 781 001. No tender will be received in hand from the tenderer/postal/courier services.

Xv) The Tenderer shall be solely responsible for timely depositing of his / her Tender Offer. Any

tender offer submitted late – whatever be the reason, shall not be considered.

i. The self attested copy of latest valid Trade License for 2008-09 issued by Competent Authority applicable in the State of Assam.

ii. The self attested copy of PAN

iii. The self attested copy of partnership certificate ( if the firm is a partnership firm ).

iv. The self attested copy of dealership certificate ( if the firm having a certificate of dealership of any item)

v. The self attested copy of Power of Attorney ( if any person other than the owner of the firm signed in the tender documents).

vi. The original copy of declaration of tenderer ( Annexure-I) duly sworn/declared before a Megistrate.

vii. The original copy of information about the tenderer ( Annexure-II)

viii. The original copy of 2 years experience certificate for the financial year 2007-08 & 2008-09.Proof of supply of such materials of Rs.2 Lackhs in last 2 ( two) years.

ix. Photocopy of all tender documents signed by the authorized signatory with seal

on behalf of the tenderer. ( as a mark of proof that the tenderer has gone through

each of the tender document set )

In Financial Bid envelope:-

11) The rates quoted parts of G-SECTION based on Annexure-III( A,B,C& D )in a

separate sealed envelope –C “ FINANCIAL BID”

B-16 Tender Bid Opening

i) Authorisation letter ( in the bidding Company’s letterhead ) as per Proforma in SECTION – D, is to be

submitted by the attending person on behalf of the Bidder before the representative is allowed to be present at the time of opening of the Bids. A maximum of one representative on behalf of any Bidder shall be allowed to attending the bid opening .

ii) The bidder’s representative present during the bid opening shall have to sign an attendance register.

iii) The Bidder’s names & other important details, which the Bid opening Presiding Officer of BSNL at his / her discretion may consider appropriate, will be announced at the time of opening of Tender Bids.

B-17 Tender Evaluation and issue of Letter of Intent Steps in brief :

i) At the time of opening of the Tender bids, for each Tender offer, it would be checked whether all the necessary documents supposed to be submitted (detailed in SECTION – B-15) have indeed been submitted. Tender offers, which fail this scrutiny, will be outright rejected.

ii) Tender evaluation will be done by an Evaluation Committee -- to be appointed by the General Manager Telecom, (Admn & OP), Assam Telecom Circle, M/s BSNL.

iii) At the 1st stage of technical bid evaluation, for each bid, it would be verified that :

a) the Tenderer meets all the requirements of eligibility criterion,

b) the Tenderer has fulfilled all the General Terms and Conditions of the Tender and

c) the Tenderer has abided by all instructions on submission of Tender bid.

iv) For bids, not fulfilling any criterion in the above stage of scrutiny, the “Financial Bid” shall not be opened at all.

v) Only for those Tenderers who have passed the initial checking in the above steps, the “Financial Bid” envelope will be opened & they would be separately intimated about the date & time and venue

vi) After the Tender Evaluation Committee decides the successful Tenderer and the acceptable rate, its recommendation will be submitted for approval to the competent authority.

vii) In the process of approval, the successful Tenderer, the rate would be finalized,

Then a Letter of Intent (LOI) will be issued to the successful Tenderer stating therein the finalized rate.

The process of selection will be deemed to be completed with the submission of the Security deposit plus signing of the Agreement – as stated earlier.

Scope of Works & Responsibilities

For supply of office stationary articles to the office of the Chief General Manager Telecom, Assam Telecom Circle, Guwahati from the reputed and authorized dealers. Quantity of the tendered items shall have to be supplied on the same day or latest by third day even on telephonic/verbal orders to meet the emergent requirements if any and such orders shall subsequently be confirmed by formal orders. The materials supplied should be as per the specification, make and quantity. Whenever any item of any quantity will be supplied, the receipt of the same to be obtained in the printed challan of the firm on the same date. No material will be supplied without challan. Bill to be submitted in duplicate with challan/challans after completion of ordered item/items only.

[ Sample Agreement between BSNL and selected SUPPLIER ]

The Agreement should be typed on non-judicial stamp paper of Rs.100 /-. ]

This Agreement is made on ______________ day of ______________ , 2009 between the General Manager ( Development ), Assam Telecom Circle, on behalf of M/s Bharat Sanchar Nigam Limited ( a Govt. of India Enterprise ), a Company incorporated under the Companies Act, 1956 having its Corporate Office at Statesman House, B-148, Barakhamba Road, New Delhi-110001 ( hereinafter referred to as “BSNL”, which expression shall be deemed to include its successors and assigns wherever the context so admits or requires ), through its duly authorized representative Mr. ____________________________ , Designation ______________________, ON THE ONE PART,

AND _____________________________________ ( hereinafter referred to as the “SUPPLIER” which expression shall include his servants, heirs, executors and administrators wherever the context so admits or requires ) through its authorized representative Mr. ___________________________________ ON THE OTHER PART.

WHEREAS

A) The BSNL is desirous supply of stationery items to the Office of the CGMT, BSNL, Assam Circle Panbazar, Guwahati.

B) The SUPPLIER has been found suitable for the job at rates finalized through a Tendering process and is agreeable to the terms and conditions hereinafter appearing,

C) The SUPPLIER has given Security Deposit as stipulated in the Tender Document Set for the due fulfillment of the said Agreement,

It is now hereby agreed by and between the parties hereto as follows :

E-1 Period of Contract :

The period of Contract shall be initially for one (1) year starting from the date of signing of the Agreement.

The period of Contract may be extended for 6(Six) months more by BSNL at the same rates and terms & conditions subject to mutual consent.

E-2 Validity period of Rates quoted & rates finalized in the Tender :

The rate(s) finalized in the Tender shall remain valid for the entire period of Contract from the date of signing of the Agreement

E-3 Payment Schedule :

i) All payments shall be made by cheque in Indian Rupees.

ii) For processing payment for a certain month, pre-receipted bill in triplicate is to be submitted to the AGM (Admn). Normally, payment will be made within the month of presenting the bill.

iii) Income Tax at the rates applicable will be deducted at source from all the running account bills and final bills. For all such deductions tax the Accounts Officer concerned would issue deduction certificate at the end of the Financial Year.

E-4 Suspension, Revocation or Termination of the Contract :

i) BSNL reserves the right to suspend the operation of the Contract, at any time, on the directions of the competent authority.

a) Provided that BSNL shall not be responsible for any damage or loss caused or arisen out of aforesaid action.

b) Provided further that the suspension of the Contract shall not be a cause or ground for extension of the period of the Contract and suspension period will be taken as period spent. No charges for use of the facility of the SUPPLIER shall be payable by BSNL.

ii) BSNL may, without prejudice to any other remedy available for the breach of any conditions of the Contract, by a written notice of 1 month issued to the SUPPLIER, terminate the Contract if, :

a) the SUPPLIER fails to perform any of its obligation(s) under the Contract &/or,

b) the SUPPLIER if fails to replace the defective items within the time specified, c) In case of failure in execution of the orders whether on verbal/written purchase orders etc., the security money shall stand forfeited along with termination of the contract.

iii) It shall be the responsibility of the SUPPLIER to maintain the Quality of ITEMS, even during the period when the notice for surrender / termination of the Contract is pending. If the Quality of MATERIALS is not maintained, during the said notice period, it shall be treated as material breach liable for termination at risk and consequent of the SUPPLIER and the security deposit shall be forfeited.

iv) Return of SECURITY DEPOSIT on Termination of Contract :

On expiry or termination or surrender of the Contract, the Security Deposit shall be released to the SUPPLIER within 3 (three) months from the date of last bill payment after ensuring clearance of all dues, if any, which the SUPPLIER is liable to pay to the BSNL. Security Deposit will carry no interest while in custody with the BSNL

E-5 Penalty Provisions :

i) In case the successful Tenderer, after receiving the LOI, fails to submit the Performance Bank Guarantee within the stipulated time period (see Section B-4 ), the LOI will stand automatically cancelled without any further reference or notice and the EMD of the Tenderer concerned shall automatically be forfeited.

ii) Failure to sign the Agreement within specified time (see Section B-4) will result in outright

cancellation of the LOI alongwith encashment of the security deposit plus forfeiture of the

EMD.

iii) In case of any breach in terms and conditions of the Agreement by the SUPPLIER or in case of loss suffered by BSNL due to failure of service on part of the SUPPLIER, BSNL may encash any or all Security Deposit available with it without prejudice to its rights of any other remedy, BSNL may also debar the SUPPLIER for future dealings with BSNL for any other Contract.

iv) In case the SUPPLIER unable to supply the whole ordered items ( where printing is not required) within 7 (seven) days and the items ( where printing is required) within 25 ( twenty five) days from the date of receipt purchase order then LD may be deducted @ 0.5% every week upto 10 weeks , thereafter @ 0.7% after permissible grace period from the total amount of the bill against the particular order.

E-6 Disputes and Arbitration :

i) Any question, dispute or differences arising out of or in connection with the Agreement or breach, termination or validity thereof, shall be first endeavored to be settled through discussion or negotiations between the SUPPLIER and the BSNL.

If any dispute cannot be amicably settled, either party, as soon as practicable, but not earlier than three months after a request to settle the dispute amicably has been made to the other party, give to the other party notice in writing of existence of such question, dispute or difference, specifying the nature and the point at issue.

ii) In the event of any doubt, dispute or differences arising under this Tender agreement or in connection wherewith except as to matters the decision on which is specifically provided under the Terms and Conditions of this Tender, the same shall be referred to the sole arbitration of the Chief General Manager, Assam Telecom Circle or any other person appointed by him as the ARBITRATOR.

iii) No objection to any such appointment shall be entertained on the ground that the Arbitrator is a Government servant or an employee of M/s BSNL. However, the Arbitrator will not be the one who had an opportunity to deal with the matter to which the Agreement relates to or that in course of his/her duties has expressed his/her view, on all or any of the matters in dispute or in difference.

iv) The award of the Arbitrator shall be final and binding on the parties.

v) In the event of such Arbitrator, to whom the matter was originally referred to, being transferred or vacating his office due to death, resignation, or refusal to work or neglecting his/her work or being unable to act as Arbitrator for any reason whatsoever, the Chief General Manager, Assam Telecom Circle, shall appoint another person to act as the Arbitrator in place of the outgoing Arbitrator in accordance with the terms of the Contract Agreement and the person so appointed shall be entitled to proceed with the reference from the stage at which it was left by his predecessor.

vi) All incidental expenses in the arbitration proceedings will be borne by the party as decided by the Arbitrator.

vii) The Arbitrator may, from time to time, with the consent of parties, enlarge the time for making and publishing the award of Arbitration. Upon any such reference, the assessment of the costs incidental to the reference and award respectively shall be in the discretion of the Arbitrator.

viii) Subject to the aforesaid provisions, the Arbitration & Conciliation Act, 1996 and the rules made thereunder and any stipulation / modification for the time being in force shall be deemed to apply to the Arbitration proceedings.

ix) The venue of the Arbitration proceedings will be Guwahati.

x) Any dispute, which cannot be settled by the Arbitration process, is judicable in the courts within the jurisdiction of Gauhati High Court only.

E-7 Force Majeure Clause :

i) If at any time, during the continuance of this Contract, the performance in whole or in part by either party of any obligation under this Contract be prevented or delayed by reason of :

a) Any war or hostility,

b) Acts of public enemy, civil commotion, sabotage, explosions,

c) Effects of flood, epidemics, quarantine restrictions, freight embargoes,

d) General strikes, Bandhs,

e) Acts of God.

� hereinafter referred to as the EVENT, neither party shall, by reason of such EVENT, be

entitled to terminate this Contract, nor shall any party have any claim to the damages against the other in respect of such non-performance or delay in performance, - provided that notice of happening, of any such EVENT is given by either party to the other within 7 (seven) days from the date of occurrence of such EVENT.

ii) If a Force Majeure EVENT occurs, the SUPPLIER shall promptly notify the BSNL in writing of such

conditions and the cause thereof. Unless otherwise directed by the BSNL in writing, the SUPPLIER shall continue to perform its obligations under the contract as far as reasonably practicable and shall seek all reasonable alternative means for performance not prevented by the Force Majeure EVENT.

iii) Expected Work and deliveries under this Contract shall resume as soon as practicable after such EVENT comes to an end or ceases to exist. The decision of the Chief General Manager, Assam

Telecom Circle as to whether the situation has become normal or not, shall be final and conclusive.

iv) If the performance in whole or part of any obligation under this Contract is prevented or delayed by reason of any such EVENT for a period exceeding 60 (sixty) days, either party may, at his / their

option, terminate this Contract.
